(vi) during the Relevant Period, from time to time Crewe Sharp invoiced the Company for Evan Sofronas's work as Treasurer and Commercial Services Manager of the Company, and those invoices were paid by the Company;
(vii) during the Relevant Period, Trevor Crewe and Evan Sofronas were the persons who liaised, on behalf of the Company, with ANZ bank, the Company's banker;
(viii) Crewe Sharp's involvement with the Company was continuous, from the time of its engagement in about 2001 until the Company's collapse on 1 February 2010;
(ix) Crewe Sharp was engaged by the Company to perform, and did perform, top level management functions, including, during the Relevant Period, seeking sources of funding for the Company, dealing with debtors and dealing with creditors, and cash flow management, being key areas of the business affairs of the Company in respect of which one would expect a director to be involved;
(x) Crewe Sharp actively participated in the strategic decision making process of the Company during the Relevant Period, in relation to seeking sources of funding for the Company, dealing with debtors and dealing with creditors, and cash flow management;
(xi) John Sill and Rob Sill followed, and were accustomed to follow, the direction of Crewe Sharp, through Trevor Crewe, in relation to seeking sources of funding for the Company, dealing with debtors and dealing with creditors, and cash flow management. In relation to those matters John Sill and Rob Sill deferred to Crewe Sharp, through Trevor Crewe, in the exercise of their management powers in relation to the Company. In doing so, Crewe Sharp had the potential to control, and did control, the Company's affairs. There was a pattern of behaviour in which John Sill and Rob Sill did not exercise discretion or judgment of their own but acted in accordance with the directions of Crewe Sharp, and habitually complied with those directions over a period of time, including during the Relevant Period;
(xii) in the liquidators' public examinations, Trevor Crewe admitted (on behalf of Crewe Sharp) that Crewe Sharp was engaged as a director of the Company in attending board meetings and performing other duties that relate to being a director. (T123:9-15).
