Judgment
- By Originating Process filed on 1 November 2019, the Plaintiff, Prime Media Group Limited ("Prime") seeks orders under ss 411 and 1319 of the Corporations Act 2001 (Cth) convening a meeting of its members to consider, and if thought fit, agree to a scheme of arrangement and approving the explanatory memorandum to accompany the notice of meeting. Broadly, the scheme provides for Seven West Media Limited ("SWM") to acquire all of the issued shares of Prime.
- By way of background, Prime is an Australian public company listed on the Australian Securities Exchange ("ASX") and is a free-to-air television broadcaster which broadcasts in regional New South Wales, the Australian Capital Territory, regional Victoria, the Gold Coast area of Southern Queensland and regional Western Australia. SWM is an Australian media group, with a market presence in broadcast television, magazine and newspaper publishing and online. The proposed scheme provides that Prime shareholders would receive 0.4582 SWM shares for each Prime share that they hold and, if the scheme proceeds, existing SWM shareholders would own 90% of the combined entity, with former shareholders in Prime owning the remaining 10% of that entity. Prime will seek orders approving the scheme at a second Court hearing, if shareholders vote in favour of the relevant resolutions.
