What it does
Mechanically, the Act creates a statutory framework by which the Minister forms and controls a company limited by shares to manage a shipping service to and from Tasmania, and by which Crown-owned assets, rights and liabilities connected to that service may be transferred into that company or (in the alternative) to other specified persons. The Minister may form or participate in the formation of the company (s 5). The company’s incorporated name must include the words "TT-Line", or other words approved by the Minister (s 6). The company’s memorandum and articles on incorporation must include the principal object stated in Schedule 1 Part 1 , namely to manage and facilitate a shipping service to and from Tasmania consistent with sound commercial practice , and prescribed articles in Schedule 1 Part 2, subject to Ministerial approval (s 7, Sch 1 Pt 1 & Pt 2).
Ownership and share capital are controlled by the Treasurer and members who hold shares in trust for the Crown. The members at incorporation are the Minister and the Treasurer and any other persons determined by the Minister; shares held by those persons are held in trust for the Crown (s 8). The Treasurer determines the nominal and issued share capital at incorporation and the consideration for shares must be money provided by Parliament, money from an account established under s 20(7) (as amended in the past), business, property or rights transferred by order under s 10, or combinations of those (s 9). Members holding shares in trust for the Crown are barred from selling or otherwise disposing of Crown-trust shares and from voting to allow the company to issue shares other than pro rata to existing holders (s 9A).
The Act grants Ministers power to transfer into the company any business, property, right or liability of the Crown or a statutory authority by order, specifying a transfer day on which those assets and liabilities vest in the company and on which existing proceedings and contractual relations continue as against the company (s 10). A parallel provision authorises transfer of contractual interests to persons other than the company where a prescribed person and the relevant Minister agree (s 21). On either form of transfer, the Act treats the transferred assets as having belonged to the Crown immediately prior to transfer for certain statutory purposes (s 10(7), s 21(5)).
