However, extensive amendments—particularly the 2025 'Government Business Governance Reforms'—have transformed it into a comprehensive corporate governance framework. It now includes detailed provisions on: board term limits and CEO cooling-off periods; mandatory publication of ministerial directions and corporate intent statements; sponsorship frameworks; mid-year financial reporting; and complex objection procedures for board-level decisions. It essentially privatised (or \"corporatised\") what used to be a government department (the TT-Line Prescribed Branch of the Transport Commission) into a company structure, while keeping it fully owned by the Tasmanian Government.\n\n**Who it affects:**\n\n* **The Company:** TT-Line itself, its board of directors, and any subsidiaries it creates.\n* **Shareholders (the \"Members\"):** The Minister and Treasurer (and potentially others appointed by the Minister) hold shares on behalf of the Crown (the government).\n* **Employees:** Staff who transferred from the public service to the company, particularly regarding their superannuation (pension) arrangements.\n* **The public:** Anyone who uses the Bass Strait ferries, as the company must operate \"in a manner consistent with sound commercial practice.\"\n\n**Key things the law sets up:**\n\n* **Formation & Control:** The Minister forms the company, sets its name (must include \"TT-Line\"), and determines its share capital. The government retains 100% ownership — members cannot sell shares or dilute government ownership.\n* **Transfer of Assets:** Allows the government to transfer the ferry business, ships, property, and debts from the old Transport Commission to the new company.\n* **Governance:** \n * The board manages the company, but shareholders (the Ministers) set expectations and can give **binding directions** that override even the company's own constitution.\n * New rules (from 2026) limit directors to two terms and prevent former CEOs from becoming directors unless there are \"exceptional circumstances.\"\n * The company must publish a \"statement of corporate intent\" and report regularly to Parliament.\n* **Financial Controls:** The Treasurer can lend money to the company, guarantee its debts, and issue binding \"Treasurer's Instructions.\" The company must pay tax equivalents like a private business.\n* **Superannuation:** Deals with complex pension arrangements for employees who moved from the public service to the company, ensuring they don't lose their benefits.\n\n**Why it matters:**\n\nThis is the legal foundation for Tasmania's vital Bass Strait shipping link.
