NCAT Appeal Panel | 2014-04-09
Tenants were terminated for non-payment of rent following an uncontested hearing where the landlord's agent gave evidence and the Member recorded findings in hearing notes. The tenants sought leave to internally appeal under s 80(2)(b) but did not raise any question of law; therefore leave required. Clause 12 Schedule 4 requires showing the appellant 'may have suffered a substantial miscarriage of justice' because the decision was unfair, against the weight of evidence, or there is significant new evidence. The tenants relied on phone logs and asserted contact and willingness to pay. The Appeal Panel found the record disclosed arrears and necessary findings, the phone logs were not fresh or persuasive, and there was no denial of procedural fairness. Leave was refused, the appeal dismissed, and the stay of the original orders lifted.

The appeal concerned how to value a technology start-up after the Companies’ business had been taken and later returned. The trial judge rejected both sides’ expert valuations. The Court of Appeal held that a recent, informed investment can help show a start-up’s minimum value, even if the investment is speculative and the business’s future remains uncertain. Axiom’s $2 million loan to fund Fletch’s acquisition and operation of the business was an important transaction. The Court found the evidence adequately supported a value of at least $2 million and dismissed Mr Birch’s appeal. It also held that the Business Sale Agreement’s price-adjustment provision was irrelevant because that agreement had been set aside.

The court did not decide whether RC’s allegations qualify as child abuse for limitation purposes, whether any part of his case is time-barred, or whether Ballarat Grammar is liable. It decided that those limitation questions should not be heard in a separate preliminary trial because they were fact-heavy, would overlap with the main trial, were unlikely to end the case or save work, and could delay the case and require RC to give evidence twice. The court also refused the school’s request to postpone the trial until 2026. It allowed only a one-week delay, to 17 November 2025, because some discovery and possible further particulars remained outstanding.
