Public Corporations (Adelaide Venue Management Corporation) Regulations 2013

Several interlocking concepts structure the regulatory design: subsidiary status, ministerial ownership and control, ministerial/treasurer oversight, narrow functional mandate, internal governance, financial constraint, reporting transparency to Parliament, and confidentiality exceptions.

Subsidiary status and ministerial ownership. Regulation 5 continues the Adelaide Entertainments Corporation as AVMC, explicitly as a subsidiary of the Minister (r 5(1)). The instrument therefore places the body firmly within the Public Corporations Act framework and under ministerial ownership, as reinforced by reg 4 which applies specific provisions of the Act to the Minister, including s 24 (formation of subsidiary by regulation), s 25 (dissolution), and the Schedule (Provisions applicable to subsidiaries) (r 4).

Defined, narrow functional mandate. Regulation 13 limits AVMC’s functions to managing and operating the AVMC sites, promoting and staging events on those sites or elsewhere, fostering commercial development of the sites, and to other functions conferred by the Minister (r 13(1)(a)-(e)). The AVMC sites are defined, including the Adelaide Convention Centre site and the Adelaide Entertainment Centre site (r 13(3)). This limitation functions as a statutory constraint on corporate diversification.

Charter-and-performance accountability. The Minister and Treasurer must prepare a charter that prescribes the nature and scope of AVMC’s operations, reporting obligations, accounting and audit systems, and rules on acquisition or disposal of capital or assets; the charter is reviewable annually, amendable by Minister and Treasurer, and must be laid before Parliament within 12 sitting days after coming into force (r 14(1)-(7)). A performance statement specifying targets for the coming financial year must be prepared concurrently, after consultation with AVMC and the Treasurer, reviewed when the charter is reviewed and able to be amended (r 15). These provisions create a chain of accountability: operational management must align to objectives set by Ministers and the Treasurer and be publicly disclosed to Parliament.

Financial controls and approval gates. The regulations create multiple approval gates requiring Treasurer consent for risk-transferring activities. AVMC cannot form subsidiaries or acquire future subsidiary shareholding interests without the Treasurer’s approval; the Treasurer may impose conditions or make directions concerning the subsidiary’s constitutional documents (r 16). AVMC must not enter schemes, joint ventures, or transactions that are not principally for staging events where AVMC’s maximum liability would exceed $50,000 without Treasurer approval (r 17(1)). AVMC may not lend money or undertake commercial borrowings without prior Treasurer approval (r 20(1)-(2)). Dividend policy is subject to a board recommendation and Treasurer approval or determination; payments are made at the Treasurer’s direction (r 22). These controls concentrate financial decision-making power with the Treasurer.

Internal controls, auditing and reporting. AVMC must maintain internal auditing and, unless exempted by the Treasurer, establish an audit committee which must include at least a board member and other appointed persons but not the chief executive (r 18). The audit committee has duties to review annual financial statements, liaise with external auditors and review accounting and internal audit systems (r 18(4)). AVMC must file quarterly financial reports to the Minister and an annual report within three months of the year end, which the Minister must lay before both Houses (rr 19, 24).

Governance mechanics. The board must have between seven and ten directors appointed by the Minister (r 7(1)). Directors are appointed for terms not exceeding three years and are eligible for reappointment (r 8(1)). The Minister appoints the chair and may appoint a deputy chair and interim deputies; the Minister may remove directors by written notice (rr 7(2)-(3), 8(2)(f)). A quorum consists of one half the total number of members plus one, and must include the chair or the chair’s deputy (r 11(1)). Meeting rules cover voting, casting votes, remote conferencing and circulation resolutions, and minutes (r 11).

Confidentiality and ministerial access. The Treasurer may authorise a person to attend board meetings and access papers, albeit non-participatively (r 11(9)). The board can notify the Treasurer where a matter should be treated as confidential and the Treasurer must, if satisfied, ensure the observance of the duty of confidence subject to ministerial disclosure obligations (r 11(10)-(11)). AVMC must notify the person to whom a duty of confidence is owed if it discloses any confidential matter to the Minister or Treasurer (r 12(1)). These provisions balance oversight access against specified confidentiality procedures.

Procedural limits and non-delegable duties. Certain actions are explicitly non-delegable; for example, the board must make a dividend recommendation itself and may not delegate that recommendation (r 22(6)). The common seal requires attestation by two directors and can only be affixed pursuant to a board decision (r 23(1)). These provisions ensure particular high-level corporate acts remain with the board rather than delegated staff or committees.

Transitional continuity and legislative amendments. The legislative history records the 2013 regulation commencement and significant variations made in 2015 (Legislative history and Transitional Pt 3). Transitional provisions clarify the continuity of corporate identity and the re-reading of instruments referring to the prior entity name as references to AVMC (Transitional s 26).

Taken together, the principal concepts are ministerial ownership and control over a corporatised venue manager, a constrained mandate focused on venue and event management, layered financial gatekeeping by the Treasurer, and formalised transparency to Parliament and internal audit requirements.

The regulations allocate rights, duties and decision-making authority across a discrete set of actors. The primary affected parties are the Minister for Tourism, the Treasurer, the AVMC board and directors, AVMC as an entity and AVMC’s employees and agents. Secondary affected parties include venue contractors, event promoters, joint venture partners, potential subsidiary companies and Parliament through its receiving of laid documents.

Minister and Treasurer. The Minister for Tourism has appointment and removal powers over the board, must prepare and review the AVMC charter and performance statement in conjunction with the Treasurer and controls material policy or budget changes by AVMC (rr 7, 13(2), 14-15). The Treasurer has approval and oversight powers over corporate structure and finance: prior written approval is required for subsidiaries, borrowing and loans (rr 16, 20); the Treasurer may set conditions on subsidiaries and approve or determine dividend recommendations (rr 16(2), 22). The Treasurer may request and retain records from AVMC, authorise attendance at board meetings and ensure observance of confidential duties (rr 11(9)-(11), 21(1)-(4)). Regulation 4 explicitly applies specified provisions of the Public Corporations Act to the Minister, and the Schedule of that Act applies to subsidiaries, thereby embedding Ministerial and Treasurer roles in the broader statutory regime (r 4).

AVMC board, directors and officers. The Minister appoints between seven and ten directors and a chair; directors are appointed for up to three years and may be reappointed (rr 7, 8). Directors are entitled to remuneration, allowances and expenses determined by the Minister, creating a direct financial dependence on ministerial decision-making for board compensation (r 10). The board must govern AVMC subject to the charter and legislative restrictions, keep accurate minutes, establish an audit committee unless exempted, and make non-delegable decisions such as dividend recommendations (rr 11, 18, 22). Directors have protected latitude to report to the Minister or Treasurer without committing a breach of duty when doing so (r 12(2)). The chief executive is excluded from service on the audit committee (r 18(3)).

AVMC as corporate entity, employees and contractors. AVMC is the corporate entity required to maintain specified internal controls, file quarterly financial reports, provide information on request and recommend dividends through the board (rr 19, 21, 22). The requirement for Treasurer approvals for lending, borrowing and subsidiary activities limits AVMC’s ability to transact without central approval, which will affect how AVMC negotiates commercial arrangements with third parties (rr 16, 20). Contractors and potential JV partners face caps on AVMC’s authorised liability in joint ventures absent Treasurer approval (r 17(1)) and the need to operate within AVMC’s defined functions (r 13(1)).

Parliament and public scrutiny. The Minister must lay the charter (or amendments) and the annual report before both Houses of Parliament within specified timeframes (r 14(7), r 24(2)). Those obligations create a public disclosure channel. The Treasurer’s power to retain copies of records provided by AVMC (r 21(2)) and the audit committee’s liaison with external auditors (r 18(4)(b)) are additional mechanisms that render AVMC’s affairs accessible to oversight.

Private sector event organisers, venues and financiers. The operational and financial constraints shape the choices available to venue users and counterparties. AVMC’s mandate ties it primarily to its specified sites and event management functions (r 13). Its inability to enter significant commercial joint ventures or undertake borrowings without Treasurer approval (rr 17, 20) will affect counterparties who might otherwise rely on AVMC’s balance sheet for larger projects. The requirement that the board direct dividend recommendations itself (r 22(6)) influences distributions to the State and therefore may affect retained earnings available for re-investment.

People and entities with confidentiality interests. Where AVMC owes duties of confidence, the regulations require notification to the person owed the duty if a disclosure is made to the Minister or Treasurer (r 12(1)). The Treasurer must ensure observance of confidentiality when satisfied that AVMC owes a duty of confidence (r 11(11), r 21(4)). Those provisions affect third parties whose confidential commercial information may come into AVMC’s possession.

Transitionally affected parties. Instruments and references that previously named the Adelaide Entertainments Corporation are to be read as references to AVMC where context permits (Transitional s 26(2)). That affects contract drafters, registrars and entities relying on pre-existing instruments.

Who pays and who decides. The regulations place most decision-making over corporate structure, finance, and performance objectives with the Minister and the Treasurer. The fiscal costs and compliance burdens fall on AVMC, which must staff and resource internal audit, reporting and approvals processes, and on counterparties who must operate knowing those approval gates exist. Directors receive remuneration from AVMC funds but that remuneration is determined by the Minister, linking board financial incentives to ministerial discretion (r 10).

This Part summarises required actions, delegated authorities and protected rights in discrete, actionable terms and cites the regulating provisions.

Duties of AVMC and the board

• Operate only within the functions set out in regulation 13(1), unless other functions are conferred by the Minister (r 13(1)(a)-(e)). AVMC must obtain Ministerial approval before making a material change to its policy direction or budget (r 13(2)). This creates a statutory duty to secure ministerial sign-off for material strategic changes.

• Observe the charter. The Minister and Treasurer prepare a charter that prescribes operations, reporting, accounting and asset rules; the charter is binding on AVMC on a day specified and must be reviewed annually by the Minister (r 14(1)-(6)). AVMC therefore has a duty to implement systems and practices required by the charter.

• Prepare and pursue a performance statement prepared by the Minister after consultation with AVMC and the Treasurer and reviewed with the charter (r 15(1)-(3)). AVMC has a duty to pursue targets set out in the performance statement.

• Maintain internal auditing and, unless exempted by the Treasurer, establish an audit committee with specific composition and functions: include a member of the board and other appointed persons but exclude the chief executive, and review annual accounts, liaise with external auditors and review accounting/financial systems (r 18(1)-(4)).

• File quarterly financial reports to the Minister (r 19), and deliver an annual report to the Minister within three months after the end of each financial year (r 24(1)), which the Minister must lay before both Houses within 12 sitting days (r 24(2)). AVMC must therefore maintain financial systems capable of producing periodic statements and an annual report.

• Seek Treasurer approval before forming a subsidiary or acquiring subsidiary share interests (r 16(1)), before entering into high-liability joint ventures not principally for staging events (r 17(1)), and before lending money or undertaking commercial borrowings (r 20(1)-(2)).

• Provide information and records to the Treasurer on written request, in the manner specified, and notify the Minister if a request is made (r 21(1)-(2), (5)). If records are provided the Treasurer may retain copies and deal with them as the Treasurer thinks fit (r 21(2)).

• Make dividend recommendations by resolution of the board, not by delegated committee or person, and do so before the end of each financial year when recommending dividends for that financial year (r 22(1), (6)). AVMC may be required to recommend interim dividends at the Treasurer’s request (r 22(3)).

Duties of directors

• Directors must be appointed by the Minister for terms up to three years and are eligible for reappointment; their office ceases on death, expiry without reappointment, resignation, bankruptcy, conviction of an indictable offence, or removal by the Minister (r 8(1)-(2)).

• Directors must attend and participate in board meetings, ensure minutes are kept, and abide by the board’s procedures subject to these regulations (r 11(1), (8), (12)).

• Directors are entitled to remuneration, allowances and expenses as determined by the Minister, to be paid from AVMC funds (r 10).

• Directors do not breach duty by reporting matters relating to AVMC to the Minister or Treasurer (r 12(2)). This provides a defined right for directors to report up the chain without incurring personal duty exposure under the regulations.

Procedural and execution rights

• Quorum: one half the total number of members plus one, and must include the chair or deputy (r 11(1)). Presiding officer: chair presides when present, otherwise deputy (r 11(2)-(3)). Voting: majority decision, each director one vote, presiding director has casting vote in event of tie (r 11(4)-(5)).

• Remote participation: telephone or video conference is a meeting if notice is given and each participating director can communicate with every other participant (r 11(6)). Circular resolutions by written communication are valid if notice is given and a majority concur (r 11(7)).

• Common seal: may only be affixed pursuant to a board decision and attested by two directors (r 23(1)). Board may authorise named persons to execute documents on AVMC’s behalf subject to limitations in the instrument (r 23(2)-(4)). These provisions allocate execution powers and require board oversight for the seal.

Treasurer and Minister rights and discretions

• The Treasurer may approve subsidiary formations and impose conditions or directions about subsidiary constitutions (r 16(1)-(2)). The Treasurer may require prior written approval for lending, borrowing and other transactions (rr 20, 21).

• The Treasurer may authorise persons to attend board meetings and have access to papers; where the board advises material is confidential, the Treasurer may, if satisfied, ensure the observance of a duty of confidence (r 11(9)-(11); r 21(3)-(4)).

• The Treasurer may approve or determine dividends and specify timing and manner of payment after consultation with AVMC and the Minister; dividend recommendations must come from the board (r 22(1)-(6)).

Restrictions and non-delegable duties

• Board must itself make dividend recommendations; delegation prohibited in that respect (r 22(6)).

• AVMC cannot enter specified transactions without prior written Treasurer approval (rr 16, 17, 20).

Rights of confidentiality and notification

• If AVMC discloses confidential matter to the Minister or Treasurer it must give written notice of the disclosure to the person to whom the duty of confidence is owed (r 12(1)). The Treasurer may retain and deal with copies of records supplied by AVMC (r 21(2)). Where the Treasurer is satisfied that AVMC owes a duty of confidence, the Treasurer must ensure observance of that duty, subject to ministerial duties to disclose as proper (r 11(11), r 21(4)).

Limits and gaps

• The regulations set duties but do not specify penalties for breach within their text. Enforcement therefore operates mainly through directional powers, approval gates and parliamentary scrutiny rather than explicit criminal penalties in the regulations themselves.

The regulations do not prescribe express criminal offences or quantified pecuniary penalties within their own text. Enforcement and compliance mechanisms in the regulations rely primarily on administrative controls, approval gates, reporting obligations and oversight channels. The following are the principal enforcement instruments and the practical consequences they create.

Administrative approval gates and condition-setting. The Treasurer’s prior written-approval powers for forming subsidiaries or acquiring subsidiary interests (r 16(1)), for entering schemes or joint ventures beyond the limited event-purpose/maximum $50,000 liability allowance (r 17(1)), and for lending or undertaking commercial borrowings (r 20(1)-(2)) create administrative vetoes. The Treasurer may impose conditions on any approved subsidiary, including provisions in its memorandum or articles that limit operations or impose controls as considered appropriate (r 16(2)). Non-compliance with these approval requirements is not paired with a bespoke penalty clause in the regulations; rather, the practical consequence is that transactions contrary to these provisions would be unauthorised and could be set aside, attract ministerial remedies, or trigger other legal consequences under the Public Corporations Act or general law.

Reporting and parliamentary oversight as supervisory mechanisms. The duty to report quarterly to the Minister (r 19) and to provide an annual report within three months of year end (r 24(1)) that the Minister must lay before both Houses within 12 sitting days (r 24(2)) creates transparency and reputational enforcement. The charter and its amendments must also be laid before Parliament within 12 sitting days (r 14(7)). These disclosure obligations expose AVMC actions to parliamentary scrutiny and public accountability.

Access, information and audit oversight. The Treasurer may request information or records in writing and may retain and deal with copies as the Treasurer thinks fit (r 21(1)-(2)). The Treasurer may authorise an observer to attend board meetings and access directors’ papers (r 11(9)). AVMC must establish internal auditing and, unless exempted, an audit committee that liaises with external auditors and reviews financial statements and financial management systems (r 18(1)-(4)). These access and audit mechanisms enable administrative intervention, financial review and external audit scrutiny.

Dividends and financial directions. The Treasurer has explicit power to approve a board recommendation on dividends, to determine a dividend where the Treasurer considers appropriate, and to direct payment, timing and manner after consultation (r 22(2), (5)). The Treasurer may require interim dividend recommendations at any time during a financial year (r 22(3)-(4)). These provisions allow the Treasurer to compel distribution of funds or to retain funds within AVMC, affecting AVMC’s balance sheet and financial strategy. A failure to comply with a Treasurer’s written direction would be an internal governance breach subject to ministerial and possibly statutory follow-up.

Board-level controls and procedural enforcement. The regulations require the board to keep accurate minutes (r 11(8)), to ensure that corporate acts are performed according to the seal and execution rules (r 23), and to make dividend recommendations itself (r 22(6)). Board members can be removed by the Minister by written notice (r 8(2)(f)). The Minister’s removal power is an enforcement instrument against directors.

Confidentiality enforcement. Where the board advises that a matter should be treated as confidential, the Treasurer must, if satisfied, ensure observance of that duty, subject to required ministerial disclosures (r 11(10)-(11), r 21(3)-(4)). The regulations therefore create an administrative duty on the Treasurer to uphold confidentiality when satisfied, rather than a private cause of action in the regulations.

Absence of penalty clauses in the regulations. Because the text does not encode specific penalties for contraventions of individual regulatory duties, enforcement will likely be exercised through the Public Corporations Act, general administrative law powers, contractual remedies, or other statutes where applicable. The regulations create multiple administrative levers but do not themselves prescribe fines or imprisonment for non-compliance.

Practical enforcement risks and implementation. Enforcement is concentrated in Ministerial and Treasury discretion. That concentration means compliance is driven by the exercise of approval powers, the capacity of the Treasurer and Minister to detect non-compliance through reporting and audits, and by parliamentary exposure through laid documents. The lack of express penalties within the regulations implies that enforcement will depend on administrative remedies, board-level discipline, contractual mechanisms and potential remedial action under other statutory provisions.

The regulations are enacted under the Public Corporations Act 1993 and explicitly interact with that Act and other instruments referenced within the text. The interaction points are primarily in the areas of statutory application to the Minister, subsidiary provisions, land/site definitions and legislative revision.

Direct application of parts of the Public Corporations Act to the Minister. Regulation 4 specifies that Part 1 of the Act (Preliminary), s 24 (formation of subsidiary by regulation), s 25 (dissolution of subsidiary established by regulation) and the Schedule (Provisions applicable to subsidiaries) apply to the Minister (r 4). This cross-reference incorporates the statutory framework governing public corporations and their subsidiaries into the regulatory treatment of AVMC and ensures that the Minister’s role is regulated as the corporate owner under the wider Act.

Subsidiary status and the Act’s Schedule. The regulations continue AVMC as a subsidiary of the Minister (r 5(1)). By invoking s 24 in reg 4, the regulations tie AVMC’s creation and any subsequent dissolution or variation to the mechanisms in the Public Corporations Act and its Schedule. Practitioners will therefore need to consult the Act and the Schedule for additional provisions applicable to subsidiaries that are not repeated in the regulations.

Cross-reference to other subordinate instruments. Regulation 13(3) defines the “Adelaide Convention Centre site” by reference to Schedule 1 of the ASER (Restructure) Regulations 2013 as the Convention Centre subsidiary site (r 13(3)). That definition creates a direct interaction with another subordinate regulation set, meaning land boundaries and site descriptions are shaped by separate regulatory instruments. Additionally, the legislative history notes that Schedule 1 was omitted under the Legislation Revision and Publication Act 2002 (Legislative history), which may affect how site definitions are interpreted in practice.

Legislative revision and continuity. The legislative history records that these regulations replaced earlier Public Corporations (Adelaide Entertainments Corporation) Regulations 1999 and that a 2015 variation (No 182) amended many provisions, including name changes, definitions and other operational rules. Transitional provisions in the variation regulations state that AVMC is the same body corporate as the Adelaide Entertainments Corporation and that references in instruments to the older name are to be read as references to AVMC (Transitional Pt 3, s 26). Practitioners must therefore treat pre-existing instruments and statutory references as preserved where context permits.

Parliamentary procedures. The regulations require laying of the charter and annual reports before both Houses of Parliament within 12 sitting days after coming into force or receipt (rr 14(7), 24(2)). These requirements connect AVMC’s regulatory obligations with parliamentary disclosure processes and the conventions and statutory rules governing material laid before Parliament.

Administrative law overlay. While the regulations give the Treasurer and the Minister broad discretion to approve, direct or require matters of corporate governance and finance, any exercise of that discretion will be subject to administrative law principles including lawful exercise, reasonableness and procedural fairness where applicable. The regulations do not alter those general legal constraints.

Commercial and property laws. The regulations reference specific land titles in defining the Adelaide Entertainment Centre site (r 13(3)(a)-(b)) and thereby interact with land titles and property law. Any transactions involving land or property will engage conveyancing and property law requirements outside these regulations.

External audit and corporate law norms. The mandate for an audit committee that liaises with external auditors (r 18(4)(b)) and the requirement to prepare financial statements (r 14(2)(c)) tie AVMC into audit standards, accounting frameworks and the general law obligations around corporate financial reporting. For questions about duties of care or breach of duties by directors, broader corporate governance and common law duties will remain relevant, though the regulations provide specific protections for directors reporting to Minister or Treasurer (r 12(2)).

In sum, the regulations are designed to sit within and rely upon the Public Corporations Act framework, cross-reference other subordinate instruments for land definitions, and interact operationally with statutory parliamentary disclosure requirements, administrative law principles and general corporate reporting and property laws. Practitioners will need to consider the Act, the referenced subordinate instruments and administrative law doctrines together with these regulations for a complete legal assessment.

The legislative history section in the instrument sets out the origin and subsequent variations of the regulations. Key events are:

• Initial instrument: The Public Corporations (Adelaide Venue Management Corporation) Regulations 2013 commenced as No 208 of 2013 with Gazette notice on 22 August 2013 and (subject to r 2) commenced 1 September 2013 (Legislative history table: 2013, No 208, Gazette 22.8.2013 p3565, commencement r 2 1.9.2013).

• Name and structural variations: The legislative history records a substantial variation made by the Public Corporations (Adelaide Entertainments Corporation) Variation Regulations 2015 (No 182 of 2015) that effected many amendments with commencement 1 August 2015. The variation changed terms, replaced references to the Adelaide Entertainments Corporation with Adelaide Venue Management Corporation (rr labelled in the variation references), substituted headings, varied board definitions and membership rules, and deleted or reinserted multiple provisions (Legislative history entries list which regs varied and by which provision).

• Specific amendments recorded in the history. The history lists many entries; representative examples include:

  • r 1 varied by 182/2015 r 4 (commencement 1.8.2015).
  • r 3 changes: the phrase Adelaide Entertainments Corporation or AEC was deleted and replaced with Adelaide Venue Management Corporation or AVMC by 182/2015 r 5(1) (1.8.2015).
  • r 5(1) substitution and r 5(2) variations by 182/2015 r 7(1)-(2) (1.8.2015).
  • r 13(1) varied by 182/2015 r 14(1), (2); r 13(2) varied by 182/2015 r 14(3); definitions for Adelaide Convention Centre site and AVMC sites inserted or adjusted by r 14(4)-(5) (1.8.2015).
  • r 14(1)-(2) (charter provisions) were varied by 182/2015 r 15(1)-(2) (1.8.2015).
  • r 16(1)-(2) and r 17(1) varied by 182/2015 r 17-18 respectively (1.8.2015).
  • The audit provisions r 18(1)-(4) and related regs were varied by 182/2015 r 19 (1.8.2015).
  • Dividend and common seal provisions (r 22, r 23) were varied by 182/2015 r 23-24 (1.8.2015).
  • r 24(1) (annual report timeline) varied by 182/2015 r 25 (1.8.2015).
  • Schedule 1 was omitted under the Legislation Revision and Publication Act 2002 (1.8.2015).

• Transitional provisions. The Variation Regulations included transitional provisions in Pt 3, notably s 26, which confirm that AVMC is the same body corporate as the previously established Adelaide Entertainments Corporation and that references in instruments to the earlier name are to be read as references to AVMC where context permits (Transitional Pt 3, s 26(1)-(2)). This preserves continuity of contractual and statutory obligations.

• Former regulations revoked. The 2013 regulations revoked the prior Public Corporations (Adelaide Entertainments Corporation) Regulations 1999 (Legislative history notes). This ensures the 2013/2015 regulatory architecture superseded earlier instruments.

How to read the history. The legislative history demonstrates that the 2015 variation was comprehensive. Practitioners reviewing older contracts or administrative decisions should be alert to the transitional provision that substitutes names and confirms continuity (Transitional s 26). Where site definitions reference other subordinate regulations, the history notes that Schedule 1 was omitted under another Act, which may require cross-referencing those instruments and any consequent re-mapping of site definitions.

Record-keeping. The instrument’s legislative history and the variation entries identify which specific provisions were substituted, varied or omitted and when those variations took effect. For any compliance or transactional matter that spans the 2013-2015 change period, legal advisers should check the version in force at the time the relevant action occurred and apply the transitional rules in s 26 as appropriate.

The regulations and the legislative history provided do not list any case law or judicial decisions arising from the regulations. The legislative material included contains no references to litigation, court decisions or Tribunal determinations concerning AVMC or the regulations. The source text therefore records no litigation history.

Implication for practitioners. The absence of recorded litigation in the instrument does not mean disputes cannot arise; rather, no authoritative judicial interpretations of these regulations are cited in the instrument. For points of statutory interpretation, administrative powers or director duties under these regulations, advisers must rely on the text itself, the Public Corporations Act (as applied by reg 4), general administrative law principles and any relevant precedent from analogous provisions in other jurisdictions or from the Act, noting that the instrument does not provide case citations.

Due diligence when litigation arises. If a dispute does proceed to litigation, relevant materials will include the regulations, the Public Corporations Act provisions applied by reg 4 (including the Schedule), the charter and performance statement once produced and laid before Parliament, board minutes and the audit and financial records that the regulations require AVMC to keep and provide (rr 11, 18, 19, 21, 24). The regulations’ silence on penalties suggests remedies may take the form of declaratory relief, injunctive relief, orders to comply, or review of administrative decisions under administrative law rather than statutory penalties contained in the regulations.

This section sets out practical traps, compliance pitfalls and high-impact textual features that commonly cause operational friction or legal risk.

1. Concentration of approval powers with the Treasurer. Multiple key commercial activities require the Treasurer’s prior written approval: formation of subsidiaries and acquisition of future subsidiary interests (r 16(1)); entering joint ventures or schemes where liability could exceed $50,000 or that are not principally for staging events (r 17(1)); lending or advancing money, securities or property (r 20(1)); and commercial borrowings (r 20(2)). Practical effect: AVMC cannot autonomously expand into new corporate forms or leverage debt without Treasury sign-off. Failure to secure written approval before undertaking these actions risks rendering transactions unauthorised; the regulations do not specify an explicit penalty but do create an administrative compliance breach.

2. $50,000 liability cap in joint ventures. The regulator draws a bright-line cap on AVMC’s contingent liability in joint ventures absent Treasurer approval (r 17(1)(b)). This is a small threshold for large events or property developments; counterparties expecting AVMC to expose greater capital may be frustrated. Ensure any cap calculations account for maximum contingent liabilities under guarantees, indemnities or performance bonds.

3. Dividend recommendation non-delegable. The board itself must make dividend recommendations and cannot delegate this function (r 22(6)). Operationally, that means the full board must formally resolve dividend recommendations; relying on a finance committee or management for final sign-off would contravene the regulation.

4. Quorum requires chair or deputy. The quorum calculation requires inclusion of the chair or the chair’s deputy (r 11(1)). A board with the right number of present members but without the chair/deputy physically or virtually present will lack a valid quorum, potentially invalidating decisions taken.

5. Remuneration set by Minister. A director’s entitlement to remuneration, allowances and expenses is subject to Ministerial determination and paid from AVMC funds (r 10). This creates a potential conflict of incentives: directors are financially dependent on ministerial determination and paid from the entity they govern.

6. Audit committee composition and CEO exclusion. The audit committee may not include the chief executive (r 18(3)). Failing to structure committees in compliance with this rule could compromise audit independence expectations.

7. Confidentiality mechanics and notification obligations. If AVMC discloses confidential information to the Minister or Treasurer, it must notify the person to whom the duty is owed (r 12(1)). Simultaneously, the Treasurer may retain and deal with copies of records provided (r 21(2)). These provisions could create tension with commercial confidentiality undertakings to third parties and require careful procedure for notifying affected parties and obtaining any necessary consents.

8. Telephone and written concurrence rules. Remote participation is valid only where all participating directors can communicate with every other participant and notice is given according to board determination (r 11(6)). Circular resolutions are valid but require notice to all directors and majority concurrence in writing (r 11(7)). Boards must maintain robust notice and minute-taking procedures to ensure electronic or written decisions are legally effective (r 11(8)).

9. Ministerial removal power for directors. Directors may be removed by the Minister by written notice (r 8(2)(f)). This creates a political check on board composition and may influence the independence of directors.

10. No statutory penalties in the regulations. The absence of explicit penalties means enforcement will be pursued through administrative channels, approvals, remedial action under the Public Corporations Act, parliamentary scrutiny, or common law remedies. This can create uncertainty about the consequences of breaches and increase reliance on Treasury and Ministerial discretion.

11. Execution and seal formalities. The common seal must be affixed pursuant to a board decision and attested by two directors (r 23(1)). Instruments executed otherwise may be at risk. The board may authorise others to sign (r 23(2)), but these delegations must be properly recorded under the common seal in a formal instrument.

12. Transitional reading of older instruments. Instruments referring to the Adelaide Entertainments Corporation are to be read as references to AVMC where context permits (Transitional s 26(2)). Do not assume a literal substitution will always be contextually appropriate; check contracts for purpose, parties and registration requirements where name changes may have practical consequences.

13. Charter and performance statement laid before Parliament. The charter and any amendments must be laid before both Houses within 12 sitting days (r 14(7)). Failure to do so represents a procedural risk that may attract parliamentary or administrative attention.

14. Consultation requirements. The Minister must prepare the performance statement after consultation with AVMC and the Treasurer and must consult when amending or reviewing the statement (r 15(1)-(3)). Ensure consultations are documented to evidence compliance.

15. Interaction with other regulatory instruments for site definitions. Site descriptions may rely on other subordinate regulations (r 13), and the legislative history notes the omission of Schedule 1 under another Act. Confirm current legal descriptions of sites by checking referenced instruments.

These gotchas show where textual requirements create strict procedural or approval constraints. Boards, executives and counterparties should build processes, minute controls and pre-approval workflows around these rules to avoid invalid transactions or unwanted administrative consequences.

This section offers concrete, practice-oriented steps for AVMC boards, executives, advisors and counterparties to align with the regulatory requirements.

1. Governance and board processes

• Appointment and terms. Maintain appointment instruments that specify terms not exceeding three years and track reappointment eligibility; ensure the Minister’s appointment and removal processes are documented (r 8(1)-(2); r 7(1)-(3)). Keep an up-to-date register of directors and deputies and instruments appointing deputies.

• Quorum and meeting protocol. Implement board procedures that ensure the chair or deputy is always present for quorum (r 11(1)-(3)). Create a standing rule that meetings will be scheduled only when the chair or deputy can attend, or that deputies are appointed in advance for anticipated absences. Record and preserve minutes diligently as required (r 11(8)).

• Remote participation and circular resolutions. Adopt a notice procedure specifying how remote conferences and written concurrence are to be given in line with r 11(6)-(7). Use meeting technology that ensures each participant can communicate with every other during telephone/video meetings and retain records of participation and votes.

• Common seal and execution. Record all board decisions to affix the common seal; ensure two directors’ signatures attest to the seal. Maintain formal instruments authorising named officers or employees to execute documents subject to board-specified limitations (r 23(1)-(3)).

2. Financial controls, approvals and treasury engagement

• Prior approvals workflow. Establish an internal approvals workflow that flags any proposed subsidiary formation, acquisition of subsidiary interests, lending, commercial borrowing or joint venture with potential liabilities exceeding $50,000 for Treasury approval well before contract execution (rr 16, 17, 20). Provide the Treasurer with required information in the manner and form requested (r 21(1)).

• Dividend decision process. Schedule formal board meetings to consider dividend recommendations and prepare board papers and financial analyses to support recommendations. Ensure the board itself passes the recommendation by resolution; do not rely on delegation for dividend recommendations (r 22(1), (6)). Track any Treasurer directions or approvals and ensure payment timing adheres to the Treasurer’s direction (r 22(5)).

• Audit committee and internal audit. Establish and resource an audit committee that excludes the chief executive (r 18(3)). Record its composition, meeting schedule and responsibilities in an audit committee charter aligned to r 18(4). Maintain regular internal audit activity and ensure liaison with external auditors to facilitate review of financial statements and systems.

• Quarterly and annual reporting. Develop processes to prepare quarterly financial reports for submission to the Minister (r 19) and to compile the annual report within three months of the year end (r 24(1)). Coordinate with the Minister’s office to ensure timely laying before Parliament (r 24(2)).

3. Charter, performance statement and consultation

• Co-design processes. When the Minister and Treasurer prepare the charter and performance statement, engage proactively in consultations and ensure the entity’s systems can deliver on required reporting, accounting practices and performance targets (rr 14(1)-(6), 15(1)-(3)). Document consultations and retain versions of the charter and performance statement for governance records.

• Monitor amendments. Maintain a process to receive and implement charter amendments; track the 12 sitting day lay requirement and design internal change-control triggers to update procedures upon charter amendment coming into force (r 14(6)-(7)).

4. Confidentiality and information handling

• Notice and consent systems. Put in place procedures for handling information that may be the subject of confidentiality duties. If AVMC discloses confidential matter to the Minister or Treasurer, the entity must give written notice to the person owed the duty (r 12(1)). Pre-emptively seek consents or provide contractual assurances where necessary and maintain a register of confidential disclosures and notices.

• Treasurer requests. Prepare a template process for responding to written requests from the Treasurer under r 21(1) that documents the information supplied, the manner and form and retains copies of records that the Treasurer may keep (r 21(2)). Notify the Minister when such requests are made (r 21(5)).

5. Contracts, joint ventures and counterparties

• Liability budgeting. For joint ventures, calculate maximum potential liability including guarantees, indemnities and contingent exposures to check whether the $50,000 ceiling applies; if greater, seek Treasurer approval before entering the arrangement (r 17(1)-(2)). Ensure joint venture agreements expressly limit AVMC’s liability to the approved level where applicable.

• Subsidiary constitutions. If applying for Treasurer approval to form or acquire a subsidiary, anticipate conditions the Treasurer may impose under r 16(2) and prepare draft memorandum and articles of association amenable to such conditions.

6. Compliance documentation and audit trail

• Record-keeping. Keep full documentary evidence of board resolutions, minutes, approvals, Treasurer correspondence, audit committee minutes, audit reports and quarterly and annual financial statements. The regulations’ lack of explicit penalties increases the evidentiary value of contemporaneous records for defending actions or demonstrating compliance.

• Training and induction. Provide directors, senior management and relevant staff training on the regulations’ requirements, particularly around Treasurer approvals, dividend recommendation procedures, confidentiality notification obligations, meeting quorum rules and execution formalities.

7. Interface with Minister and Treasurer

• Liaison roles. Designate a senior officer to manage relationships with the Minister’s office and the Treasurer, to coordinate consultation on the charter and performance statement, to facilitate audit committee liaison with external auditors and to handle written requests for information from the Treasurer (rr 14-15, 18, 21).

• Remuneration processes. Since director remuneration is determined by the Minister (r 10), coordinate any requests for increases or changes through the Minister’s office with full supporting budget information and justification.

8. Transitional and historical documents

• Instrument review. Review instruments and documents that refer to the Adelaide Entertainments Corporation and annotate them to confirm that, where context permits, those references are to be read as references to AVMC in line with the transitional provision (Transitional s 26(2)). Update title pages, letterheads and registrations where necessary to avoid confusion.

9. Legal advice and statutory cross-references

• Check the Act and other instruments. For matters involving subsidiary formation, dissolution, or disputes about the Minister’s or Treasurer’s powers, consult the Public Corporations Act provisions applied by reg 4 and associated Schedule provisions. Verify site definitions in related subordinate instruments (r 13(3)).

10. Contingency planning

• Breach-response plan. Because the regulations rely on administrative enforcement, prepare a breach-response plan that includes immediate notification to the Minister and Treasurer, remediation steps, document preservation, and media/parliamentary liaison protocols where appropriate.

By operationalising these steps, AVMC and its board can create compliance systems aligned with the regulations’ procedural, reporting and approval requirements. Where material uncertainty exists , for example, about the scope of required Treasurer approvals or confidentiality obligations , seek written guidance from the Treasurer or Minister’s offices and preserve that guidance.
