and\n\t(b)\tAVMC's obligations to report on its operations; and\n\t(c)\tthe form and contents of AVMC's accounts and financial statements; and\n\t(d)\tany accounting, internal auditing or financial systems or practices to be established or observed by AVMC; and\n\t(e)\tthe acquisition or disposal of capital or assets.\n\t(3)\tThe charter may deal with any other matter not specifically referred to in subregulation (2).\n\t(4)\tThe charter must be reviewed by the Minister at the end of each financial year.\n\t(5)\tThe Minister and the Treasurer may amend the charter at any time.\n\t(6)\tThe charter, or an amendment to the charter, comes into force and is binding on AVMC on a day specified in the charter or amendment (but without affecting any contractual obligations previously incurred by AVMC).\n\t(7)\tOn the charter or an amendment to the charter coming into force, the Minister must, within 12 sitting days, have copies of the charter, or the charter in its amended form, laid before both Houses of Parliament.\n15—Performance statement\n\t(1)\tThe Minister must, when preparing the charter for AVMC, also prepare, after consultation with AVMC and the Treasurer, a performance statement setting the various performance targets that AVMC is to pursue in the coming financial year or other period specified in the statement and dealing with such other matters as the Minister considers appropriate.\n\t(2)\tThe Minister must, after consultation with AVMC and the Treasurer, review the performance statement when reviewing AVMC's charter.\n\t(3)\tThe Minister may, after consultation with AVMC and the Treasurer, amend the performance statement at any time.\n16—Subsidiary companies\n\t(1)\tAVMC must not, without the approval of the Treasurer—\n\t(a)\tform a subsidiary company; or\n\t(b)\tacquire, or enter into an arrangement under which it will at a future time or would on the happening of some contingency hold, relevant interests in shares in a company such that the company becomes a subsidiary of AVMC.\n\t(2)\tThe Treasurer may, as a condition of approval under this regulation, or by direction, require AVMC to take steps to include in a subsidiary company's memorandum or articles of association such provisions as the Treasurer considers appropriate—\n\t(a)\timposing limitations on the nature or scope of the company's operations; or\n\t(b)\timposing other controls or practices,\nconsistent with those applicable to AVMC.\n17—Indirect or joint operations\n\t(1)\tAVMC must not, without the approval of the Treasurer, enter into a scheme or arrangement or joint venture with another person or undertake any operations or transactions pursuant to such a scheme, arrangement or joint venture except where—\n\t(a)\tthe principal purpose of the scheme, arrangement or joint venture is to stage an event or function; and\n\t(b)\tthe board is satisfied that the maximum amount for which AVMC will become liable as a result of its involvement in the scheme, arrangement or joint venture does not exceed $50 000.\n\t(2)\tIn subregulation (1)—\nscheme or arrangement means a trust scheme or a partnership and includes any other scheme or arrangement for sharing profits.\nDivision 3—Financial and related matters\n18—Internal audit\n\t(1)\tAVMC must establish and maintain effective internal auditing of its operations.\n\t(2)\tAVMC must, unless exempted by the Treasurer, establish an audit committee.\n\t(3)\tThe audit committee will comprise—\n\t(a)\ta member of the board of AVMC, or such members of the board as the board may from time to time determine; and\n\t(b)\tsuch other person or persons as the board may from time to time appoint,\nbut may not include the chief executive of AVMC.\n\t(4)\tThe functions of the audit committee include—\n\t(a)\treviewing annual financial statements to ensure that they provide a true and fair view of the state of affairs of AVMC; and\n\t(b)\tliaising with external auditors; and\n\t(c)\treviewing the adequacy of the accounting, internal auditing, reporting and other financial management systems and practices of AVMC on a regular basis.\n19—Quarterly reports\nAVMC must report to the Minister on AVMC's financial position on a quarterly basis.\n20—Loans etc require approval\n\t(1)\tAVMC must not lend or advance to any person any money, securities or property without the prior written approval of the Treasurer.\n\t(2)\tAVMC must not undertake commercial borrowings without the prior written approval of the Treasurer.\n21—Provision of information\n\t(1)\tAVMC must, at the request in writing of the Treasurer, provide the Treasurer with such information or records in the possession or control of AVMC as the Treasurer may require in such manner and form as the Treasurer may require.\n\t(2)\tIf a record in the possession or control of AVMC is provided to the Treasurer under this regulation, the Treasurer may make, retain and deal with copies of the record as the Treasurer thinks fit.\n\t(3)\tIf the board considers that information or a record provided under this regulation contains matters that should be treated as confidential, the board may advise the Treasurer of that opinion giving the reason for the opinion and the Treasurer may, subject to subregulation (4), act on that advice as the Treasurer thinks fit.\n\t(4)\tIf the Treasurer is satisfied on the basis of the board's advice under subregulation (3) that AVMC owes a duty of confidence in respect of a matter, the Treasurer must ensure the observance of that duty in respect of the matter (but this subregulation does not prevent a disclosure as required in the proper performance of ministerial functions or duties).\n\t(5)\tAVMC must notify the Minister if a request is made under this regulation.\n22—Dividends\n\t(1)\tAVMC must, before the end of each financial year, after consultation with the Minister, recommend by writing to the Treasurer that AVMC pay a specified dividend, or not pay any dividend, for that financial year, as AVMC considers appropriate.\n\t(2)\tThe Treasurer may, after consultation with the Minister, by notice in writing to AVMC—\n\t(a)\tapprove a recommendation of AVMC under subregulation (1); or\n\t(b)\tdetermine that a dividend specified by the Treasurer be paid, or that no dividend be paid,\nas the Treasurer considers appropriate.\n\t(3)\tAVMC must, if so required by the Treasurer by notice in writing to AVMC at any time during a financial year, after consultation with the Minister, recommend by writing to the Treasurer that a specified interim dividend or specified interim dividends be paid by AVMC for that financial year, or that no such dividend or dividends be paid by AVMC as AVMC considers appropriate.\n\t(4)\tThe Treasurer may, after consultation with the Minister, by notice in writing to AVMC—\n\t(a)\tapprove a recommendation of AVMC under subregulation (3); or\n\t(b)\tdetermine that an interim dividend or interim dividends specified by the Treasurer be paid, or that no interim dividend be paid,\nas the Treasurer considers appropriate.\n\t(5)\tIf the Treasurer approves a recommendation or determines under this regulation that a dividend or interim dividend or dividends be paid by AVMC, the dividend or interim dividend or dividends must be paid at the direction of the Treasurer, in the manner and at the time or times determined by the Treasurer, after consultation with AVMC and the Minister.\n\t(6)\tA recommendation under this regulation must be made by the board and may not be made by any person or committee pursuant to a delegation.\n23—Common seal and execution of documents\n\t(1)\tThe common seal of AVMC must not be affixed to a document except pursuant to a decision of the board, and the affixing of the seal must be attested by the signatures of 2 directors.\n\t(2)\tThe board may, by instrument under the common seal of AVMC, authorise a director, an employee of AVMC (whether nominated by name or by office or title) or any other person to execute documents on behalf of AVMC subject to limitations (if any) specified in the instrument of authority.\n\t(3)\tWithout limiting subregulation (2), an authority may be given so as to authorise 2 or more persons to execute documents jointly on behalf of AVMC.\n\t(4)\tA document is duly executed by AVMC if—\n\t(a)\tthe common seal of AVMC is affixed to the document in accordance with this regulation; or\n\t(b)\tthe document is signed on behalf of AVMC by a person or persons in accordance with authority conferred under this regulation.\n24—Annual report\n\t(1)\tAVMC must, within 3 months after the end of each financial year, deliver to the Minister a report on the operations of AVMC during that financial year.\n\t(2)\tThe Minister must cause a copy of the report to be laid before both Houses of Parliament within 12 sitting days after receipt of the report.\nLegislative history\nNotes\n\t•\tFor further information relating to the Act and subordinate legislation made under the Act see the Index of South Australian Statutes or www.legislation.sa.gov.au.\nFormerly\nPublic Corporations (Adelaide Entertainments Corporation) Regulations 2013\nLegislation revoked by principal regulations\nThe Public Corporations (Adelaide Venue Management Corporation) Regulations 2013 revoked the following:\nPublic Corporations (Adelaide Entertainments Corporation) Regulations 1999\nPrincipal regulations and variations\nNew entries appear in bold.\nYear\nNo\nReference\nCommencement\n2013\n208\nGazette 22.8.2013 p3565\n1.9.2013: r 2\n2015\n182\nGazette 25.6.2015 p3108\n1.8.2015: r 2\nProvisions varied\nNew entries appear in bold.\nEntries that relate to provisions that have been deleted appear in italics.\nProvision\nHow varied\nCommencement\nPt 1\n\n\nr 1\nvaried by 182/2015 r 4\n1.8.2015\nr 2\nomitted under Legislation Revision and Publication Act 2002\n1.8.2015\nr 3\n\n\nAdelaide Entertainments Corporation or AEC\ndeleted by 182/2015 r 5(1)\n1.8.2015\nAdelaide Venue Management Corporation or AVMC\ninserted by 182/2015 r 5(1)\n1.8.2015\nboard\nvaried by 182/2015 r 5(2)\n1.8.2015\nrevoked regulations\ndeleted by 182/2015 r 5(3)\n1.8.2015\nPt 3\n\n\nheading\nsubstituted by 182/2015 r 6\n1.8.2015\nr 5\n\n\nr 5(1)\nsubstituted by 182/2015 r 7(1)\n1.8.2015\nr 5(2)\nvaried by 182/2015 r 7(2)\n1.8.2015\nr 6\n\n\nr 6(1)\nvaried by 182/2015 r 8(1)\n1.8.2015\nr 6(3)\nvaried by 182/2015 r 8(1), (2)\n1.8.2015\nr 7\n\n\nr 7(1)\nvaried by 182/2015 r 9\n1.8.2015\nr 9\nvaried by 182/2015 r 10\n1.8.2015\nr 10\nvaried by 182/2015 r 11\n1.8.2015\nr 11\n\n\nr 11(11)\nvaried by 182/2015 r 12\n1.8.2015\nr 12\n\n\nr 12(1) and (2)\nvaried by 182/2015 r 13\n1.8.2015\nr 13\n\n\nr 13(1)\nvaried by 182/2015 r 14(1), (2)\n1.8.2015\nr 13(2)\nvaried by 182/2015 r 14(3)\n1.8.2015\nr 13(3)\n\n\nAdelaide Convention Centre site\ninserted by 182/2015 r 14(4)\n1.8.2015\nAEC sites\ndeleted by 182/2015 r 14(5)\n1.8.2015\nAVMC sites\ninserted by 182/2015 r 14(5)\n1.8.2015\nr 14\n\n\nr 14(1)\nvaried by 182/2015 r 15(1)\n1.8.2015\nr 14(2)\nvaried by 182/2015 r 15(1), (2)\n1.8.2015\nr 14(6)\nvaried by 182/2015 r 15(1)\n1.8.2015\nr 15\n\n\nr 15(1)\nvaried by 182/2015 r 16(1)\n1.8.2015\nr 15(2)\nvaried by 182/2015 r 16(1), (2)\n1.8.2015\nr 15(3)\nvaried by 182/2015 r 16(1)\n1.8.2015\nr 16\n\n\nr 16(1) and (2)\nvaried by 182/2015 r 17\n1.8.2015\nr 17\n\n\nr 17(1)\nvaried by 182/2015 r 18\n1.8.2015\nr 18\n\n\nr 18(1)—(4)\nvaried by 182/2015 r 19\n1.8.2015\nr 19\nvaried by 182/2015 r 20(1), (2)\n1.8.2015\nr 20\n\n\nr 20(1) and (2)\nvaried by 182/2015 r 21\n1.8.2015\nr 21\n\n\nr 21(1)—(2) and (4)—(5)\nvaried by 182/2015 r 22\n1.8.2015\nr 22\n\n\nr 22(1)—(5)\nvaried by 182/2015 r 23\n1.8.2015\nr 23\n\n\nr 23(1)—(4)\nvaried by 182/2015 r 24\n1.8.2015\nr 24\n\n\nr 24(1)\nvaried by 182/2015 r 25\n1.8.2015\nSch 1\nomitted under Legislation Revision and Publication Act 2002\n1.8.2015\nTransitional etc provisions associated with regulations or variations\nPublic Corporations (Adelaide Entertainments Corporation) Variation Regulations 2015 (No 182 of 2015), Pt 3\n26—Transitional provisions\n\t(1)\tThe Adelaide Venue Management Corporation is the same body corporate as the Adelaide Entertainments Corporation established under the Public Corporations (Adelaide Entertainments Corporation) Regulations 1999 and continued under the Public Corporations (Adelaide Entertainments Corporation) Regulations 2013 (see Gazette 22.8.2013 p3565).\n\t(2)\tA reference in an instrument to the Adelaide Entertainments Corporation is (where the context admits) to be read as a reference to the Adelaide Venue Management Corporation.","sortOrder":0}],"analysis":{"flash_summary_failed":{"failed":true,"reason":"Unauthenticated. The Minister appoints directors, prepares the charter and performance statement (in consultation), and must be consulted on AVMC recommendations; the Treasurer has approval and direction powers over subsidiaries, borrowing, dividends and access to AVMC records (regs 4, 14–16, 20–22, 21).\n- Event promoters, commercial partners and lenders are indirectly affected because AVMC needs Treasurer approval for subsidiaries, significant joint ventures, loans and commercial borrowing (regs 16–17, 20).\n- Parliament is an information recipient: charters/amendments and the annual report must be laid before both Houses (regs 14(7), 24(2)).\n\nWhy it matters (stated purpose and practical effects)\n\n- Purpose-claim: the instrument formalises governance, financial controls and reporting for a government-owned venue manager (see regs 5, 13–15). That creates a tighter framework for accountability to the Minister, Treasurer and Parliament.\n\n- Costs and compliance burdens: AVMC must maintain internal audit and (unless exempted) an audit committee, prepare quarterly and annual reports, seek Treasurer approval for subsidiaries, borrowings, loans and many joint arrangements, and follow the charter and performance statement (regs 18–21, 16–17, 19). These requirements increase administrative and compliance costs and limit unilateral commercial flexibility.\n\n- Who decides and who pays: the Minister decides board composition, chairs, charters and sets policy direction (regs 7, 14). The Treasurer controls financial permissions and may determine dividend timing and quantum (regs 16, 20, 22). AVMC funds pay directors’ remuneration (reg 10) and any dividends are paid as directed by the Treasurer (reg 22(5)).\n\n- Incentives and behavioural effects: because Treasurer approval is required for subsidiaries, significant joint ventures and borrowings (regs 16–17, 20), AVMC has limited capacity to expand via new corporate structures or take on commercial risk beyond modest joint venture exposure (a $50,000 cap without Treasurer approval — reg 17(1)(b)). The dividend and approval regime channels surplus returns and major financial decisions through central Treasury oversight (reg 22). Reporting and audit obligations push AVMC toward formalised financial controls and conservative risk-taking.\n\n- Trade-offs and opportunity costs: the regulations strengthen public-sector oversight and fiscal control but reduce AVMC's autonomy to pursue commercial opportunities quickly or to structure operations through subsidiaries without Treasurer approval. The need to obtain Minister/Treasurer approval for many activities may slow decision-making and create negotiation costs.\n\n- Implementation and discretion risks: the instrument leaves significant discretions to the Minister and Treasurer (for appointments, remuneration, approvals, charter amendments and confidentiality determinations — regs 7, 10, 14(5), 16, 21(3)–(4), 11(10)–(11)). Those discretions concentrate decision rights in central officials and require AVMC to manage relations with those offices.\n\nKey mechanics to note (with section pointers)\n\n- Continuation and corporate status: AVMC is the continued body corporate and can sue/be sued (reg 5).\n- Board size and appointment: Minister appoints 7–10 directors; chair and deputy appointed by Minister (reg 7).\n- Director terms and vacancies: terms up to 3 years, eligible for reappointment; grounds for vacancy listed (reg 8).\n- Decision-making and quorum: quorum is half the board plus one, with chair (or deputy) included; majority decisions with chair casting vote if tied (reg 11).\n- Restricted commercial powers: subsidiaries, share acquisitions, joint ventures and borrowings require Treasurer approval; joint ventures limited to $50,000 max liability without approval (regs 16–17, 20).\n- Financial control and dividends: Treasurer can direct dividend payments; board must make recommendations but cannot delegate that recommendation power (reg 22).\n- Reporting and oversight: quarterly financial reports to Minister, annual report to Minister to be tabled in Parliament, charter and performance statement required and reviewable (regs 19, 24, 14–15).\n\nOverall: the regulations convert an existing government-owned venue operator into the Adelaide Venue Management Corporation, set detailed corporate governance and meeting rules, and impose a suite of financial controls and reporting obligations that prioritise Ministerial and Treasury oversight over autonomous commercial expansion (see regs 5, 7–11, 13–22)."},"summary":{"complexity_score":1,"scope_assessment":{"changed":false,"description":"Scope cannot be assessed — the legislative text was not available for review. AVMC is a government-owned company (a \"subsidiary\" of the Minister for Tourism) that manages major entertainment venues in Adelaide, specifically the **Adelaide Convention Centre** and the **Adelaide Entertainment Centre**.\n\n**What it does:**\n- **Renames and continues** an existing government body (formerly called Adelaide Entertainments Corporation) as AVMC, keeping all its assets, debts, and staff intact.\n- **Sets up a board of directors** (7 to 10 people) appointed by the Minister to run the corporation, with rules about how they meet, vote, and get paid.\n- **Defines what AVMC can do**: manage venues, promote events, foster commercial development of the sites, and do anything else the Minister specifically asks.\n- **Puts financial controls in place**: AVMC needs Treasurer approval for loans, borrowings, creating subsidiary companies, joint ventures over $50,000, and paying dividends. It must report quarterly to the Minister and produce an annual report for Parliament.\n- **Requires a \"charter\" and \"performance statement\"**: These are documents prepared by the Minister and Treasurer that set out AVMC's goals, reporting obligations, and financial targets.\n\n**Who it affects:**\n- The board members and staff of AVMC\n- The Minister for Tourism and the Treasurer (who have oversight powers)\n- Anyone doing business with AVMC or using the Adelaide Convention Centre and Entertainment Centre\n\n**Why it matters:**\nThis is essentially the \"rulebook\" for running two of Adelaide's biggest entertainment venues. It balances commercial operations (making money from events) with government oversight (ensuring public assets are managed responsibly). The 2015 amendments expanded AVMC's role from just the Entertainment Centre to also include the Convention Centre, making it a bigger player in the state's events and tourism industry."}},"importantCases":[],"_links":{"self":"/api/acts/public-corporations-adelaide-venue-management-corporation-regulations-2013","history":"/api/acts/public-corporations-adelaide-venue-management-corporation-regulations-2013/history","analysis":"/api/acts/public-corporations-adelaide-venue-management-corporation-regulations-2013/analysis","conflicts":"/api/acts/public-corporations-adelaide-venue-management-corporation-regulations-2013/conflicts","importantCases":"/api/acts/public-corporations-adelaide-venue-management-corporation-regulations-2013/important-cases","documents":"/api/acts/public-corporations-adelaide-venue-management-corporation-regulations-2013/documents"}}
