Powers of Attorney Act 1980

The Act revolves around a small set of core legal concepts and definitional cross-references, each with concrete legal consequences.

• Power (power of attorney). The Act uses the term power (defined, s 5). It governs both general powers and enduring powers. A general power is one to which revocation by donor incapacity applies (see s 6A(6) definition by context). An enduring power is defined functionally: an instrument that meets s 13’s requirements and continues notwithstanding donor incapacity.

• Donor and donee. The donor is the person who creates the power; the donee is the person given authority. The Act recognises an extended category of "agent" in s 5 that includes decision makers under the Advance Personal Planning Act 2013 and guardians under the Guardianship of Adults Act 2016, and any other person who has lawful authority to manage the donor’s affairs. That definition links the Act to other decision-making statutes and changes the relational map between advance planning, guardianship and donees.

• Enduring power. Section 13 specifies the components that create an enduring power able to operate after the donor becomes legally incapacitated: (a) the instrument must have been executed before commencement of s 8 of the Advance Personal Planning Act 2013 (the Part III note clarifies that new enduring powers cannot be created in the Territory after that provision commenced); (b) the instrument must express an intention that it continue notwithstanding subsequent legal incapacity; (c) the donee must endorse or annex an acceptance in or to the effect of Schedule 1; and (d) the instrument must be registered.

• Registration and its consequences. Registration is optional (an instrument may be registered, s 7(1)), but registration has sharp legal effects. A dealing in land purporting to be exercised under a power (other than short leases) is of no effect unless the instrument creating the power is registered (s 8(1)). Registration also triggers protection periods: unless the donee has actual notice of revocation, donees and third parties are protected where the instrument is registered and, for non-land transactions, a 30-day rule applies after registration of an instrument revoking a power (ss 20-21).

• Witnessing and execution formalities. Section 6 prescribes signing in presence of the donor and attestation by persons listed in Schedule 2. There is a distinct procedure if an instrument is signed by direction of the donor (s 6(2) and 6(4)(b)). For enduring powers additional witness constraints apply: a witness must not be a party or a near relative of the donee (s 14).

• Court supervision and remedies. For enduring powers the Local Court has express jurisdiction to order production of records, appoint auditors, revoke or vary enduring powers, and appoint substitutes including the Public Trustee (s 15(2)-(4)). The Court must consider the donor’s advance personal plan, if there is one, when deciding whether to vary or revoke an enduring power (s 15(6)).

• Recognition of interstate powers. Section 6A converts and recognises interstate instruments to the extent their powers could validly be given under NT law, differentiating between interstate general and interstate enduring powers and creating a clear rule for cross-border recognition.

These concepts are embedded in the Act’s mechanics: registration and witnessing control evidentiary and property consequences; the enduring-power test restricts which instruments survive incapacity; and court and administrative supervision creates ex post controls. The Act therefore structures the allocation of decision authority, evidentiary weight and third-party protections through formalities and registration rather than through substantive limits on the content of powers.

The Act allocates rights, duties and risks among identifiable groups. State the parties, who pays, who decides.

• Donors. Individuals (or bodies corporate, with a modified regime) who grant powers. Donors who want enduring authority must have created instruments before the Advance Personal Planning reform cutoff and comply with s 13 requirements; donors of powers affecting land trigger registration requirements (s 8). Donors who want to revoke a general power must do so subject to s 19 for powers granted to secure proprietary interests (see s 16(e); s 19(2)(a)). Donors who are potential protected persons under the Aged and Infirm Persons' Property Act 1979 or subject to a guardianship order must note the special rules in ss 18 and 19.

• Donees (attorneys). Persons granted the power must comply with execution formality obligations when acting (s 10). They have record-keeping obligations: keep and furnish true and accurate records of transactions that charge or dispose of donor assets, at the donor’s request and expense (s 11). Donees are protected if they act without actual notice of revocation, with special rules where registration interacts with land dealings and a 30-day rule for other transactions (s 20). For enduring donees, the Local Court requires leave to retire (s 15(1)), and donees must accept the Schedule 1 acceptance terms and, if the donor has an advance care statement, give effect to it subject to narrow exceptions (s 15A(1)).

• Third parties and institutions. Banks, conveyancers, real estate agents and other persons dealing with donees rely on registration and the Act’s protections (ss 20-21). Where instruments are registered, third parties are insulated from claims relating to donees acting under a power unless they have actual notice of revocation, or unless an instrument revoking the power has been registered and the requisite time has passed. Schedule 2 explicitly lists categories such as legal practitioners, police officers, conveyancing or real estate agents as authorised witnesses within the Territory , those professions therefore bear witness responsibilities in practice.

• Public Guardian, Public Trustee and decision-makers under Advance Personal Planning. The Act refers to these statutory actors. They have standing to apply to the Court in relation to enduring powers (s 15(2)). The Public Trustee can be appointed as a substitute donee by the Court (s 15(4)). The definition of "agent" in s 5 includes decision makers appointed under the Advance Personal Planning Act 2013 and guardians under the Guardianship of Adults Act 2016, integrating those roles with the powers of attorney regime.

• Registrar-General and Minister. Administrative control is concentrated with the Registrar-General: approved forms (s 23), directions about lodging, registering and witnessing (s 24), and the power to approve any other person as a witness (sch 2). The Registrar-General must comply with Ministerial directions about those directions (s 24(4)), so administrative practice can be influenced by executive direction.

• The Local Court. The Court (defined in s 5 as the Local Court) is the supervisory body for enduring powers: it can require records, order audits, vary or revoke instruments, and appoint substitutes (s 15). The Court’s jurisdiction and the remedies it can order are the principal enforcement mechanism for enduring-power disputes.

Who pays: registration fees are the prescribed fees under the Registration Act 1927 (s 7(2) and definitions), donees pay for preparing records but must furnish them at the donor’s request at the donor’s expense (s 11). The Act also exposes persons certifying copies of instruments to a penalty if they knowingly sign a false certificate (s 12(4)).

In short, the Act affects donors, donees, third parties who transact with donees, statutory guardians and trustees, and Registrar-General/Ministerial administration. The structure privileges formalities and registration to allocate transaction certainty and to limit prospective liability for donees and third parties when they follow those formalities.

The Act sets a small number of enforceable duties and confers rights significant for transactional certainty.

Duties

• Execution and attestation. An instrument creating or revoking a power must be signed by, or by direction and in the presence of, the donor (s 6(2)). A donor-signed instrument must be attested by a person listed in Schedule 2; if signed by direction and in the donor’s presence, two persons are required (s 6(4)(a)-(b)). For enduring powers, the witness must not be a party or a near relative of the donee (s 14). The Act exempts section 6’s formalities where the donor is a body corporate (s 6(1)), implying other law governs corporate execution.

• Keep and furnish accounts. The donee must keep true and accurate records of any transaction entered into by the donee charging or disposing of any of the donor’s assets, whether for value or not (s 11). Those records must be furnished to the donor at the donor’s request and at the donor’s expense. The Court may compel filing and audit of such records after the donor becomes legally incapacitated (s 15(2)(a)-(b)).

• Evidentiary formalities for copies. A person relying on a copy to prove contents must ensure the copy complies with s 12(2)-(3): reproduction by photographic or facsimile device and the requisite certificates signed by the donor or a legal practitioner. False certification carries an 8 penalty unit maximum (s 12(4)).

• Registration compliance with Registrar-General directions. Persons lodging or registering documents must comply with directions issued by the Registrar-General about requirements for lodging, registering, witnessing or giving documents under the Act (s 24(1), (3)). The Registrar-General must make directions publicly available (s 24(2)), and must comply with Ministerial directions about those directions (s 24(4)).

• For donees of enduring powers: give effect to advance care statements. If the donor has made an advance care statement, the donee must exercise power so as to give effect to that statement even if doing so is not in the donor’s best interests, subject to two narrow exceptions (s 15A(1); cross-ref APP Act s 23(1) and (2) as referenced). The donee must also cooperate with any agents appointed under the Advance Personal Planning Act 2013 (s 15A(2)).

Rights

• Authority to act in own name for donor. Unless the instrument provides otherwise, the donee may execute instruments and do other things in the donee’s own name by the donor’s authority; those instruments are as effective as if done by the donor (s 10(2)). When exercising that right, the donee must show the act was for and on behalf of the donor (s 10(3)).

• Protection from liability for acts after revocation in absence of notice. A donee who acts in pursuance of a power after it has been revoked is not liable to the donor or another person unless they had actual notice of the revocation (s 20(a)). For registered powers, additional safeguards require that an instrument revoking the power has been registered or that 30 days has elapsed after registration of the revocation for non-land acts (s 20(b)).

• Third-party protection. Transactions between a donee and a third party are valid against the third party unless the third party had actual notice of revocation or, in registered cases, an instrument revoking the power has been registered (and the 30-day rule or the land registration rule applies) (s 21). This gives third parties transactional certainty when relying on registered instruments.

• Ability to register interstate instruments. An instrument executed interstate can be registered in the Territory even if it was executed before (s 7(1A)), and interstate instruments are recognised under s 6A within the parameters set out there.

• Court-ordered remedies and substitution. The Court can vary or revoke enduring powers, order audits of donee records, and appoint substitute donees including the Public Trustee (s 15(2)-(4)). Donees have a right to seek leave to retire, but must obtain leave (s 15(1)).

Other operational rights and duties. The Act allows instruments not to be under seal and continues to give effect to powers created both before and after the Act’s commencement (s 6(3); the Part III note re enduring powers created before APP reform). Registration fees are payable as prescribed fees (s 7(2); Registration Act 1927 reference). The Registrar-General’s control over forms and directions (ss 23-24) creates administrative duties for practitioners and institutions.

In sum, the Act balances the donee’s practical powers to transact with the donor’s protection through record-keeping, registration and Court oversight. The statutory protections for third parties incentivise reliance on registration and create administrative costs for donors and donees who want to preserve or extinguish powers associated with land or other property.

The Act is light on criminal penalties and relies chiefly on administrative measures and civil remedies enforced through the Court. The only explicit penal provision in the text is s 12(4): a person must not sign the certificate required to prove a copy of an instrument knowing it to be false, with a maximum penalty of 8 penalty units. No other express criminal penalties (fines, imprisonment) are specified in the Act’s text.

Enforcement and remedial mechanisms

• Court supervision (Local Court). The Local Court has express powers for enduring powers (s 15). After the donor is legally incapacitated, an interested person, including the Public Trustee, Public Guardian, an agent for the donor, or any person with an interest in property the donee may deal with, can apply for orders to require the donee to file records, to order audits of records and reports, to revoke or vary the enduring power (including by appointing a substitute donee), and to make orders facilitating workable decision-making between the donee and any agents (s 15(2)(a)-(d)). The Court’s powers include appointment of the Public Trustee as substitute donee (s 15(4)) and the power to impose terms and conditions on orders or grants of leave (s 15(5)).

• Administrative compliance and directions. The Registrar-General may issue directions on lodging, registering, witnessing and giving documents under the Act and must specify a place where those directions are available for public inspection (s 24(1)-(2)). Persons must comply with directions unless the Registrar-General dispenses with compliance (s 24(3)). The Registrar-General is required to comply with a Minister’s direction concerning those directions (s 24(4)). Regulations (s 22) may prescribe the establishment of a register and the practice and procedure to be followed, which creates an administrative enforcement layer governed by secondary instruments and fees.

• Registration consequences and transactional protections. Registration creates substantive legal effects that serve as enforcement proxies. For land dealings, an unregistered instrument creating a power renders the dealing void (s 8(1)). Donees and third parties receive statutory protection where they act without actual notice of revocation and in reliance on registration status (ss 20-21). Those provisions limit post-facto claims and operate as enforcement-by-certainty for third parties who rely on recorded instruments.

• Civil liability and audit. A donee who fails to provide records or whose records, once audited, reveal improper dealing can trigger Court remedies under s 15, including revocation and appointment of substitute donees. The Court can order audits and require reports to be furnished to it (s 15(2)(b)).

Fees and costs

• Registration fees. The fee for registration is the prescribed fee under the Registration Act 1927 (s 7(2)). The Act also contemplates fees for registering revocations and dealings in land (s 8(4) references prescribed fee for registration of a dealing in relation to land). Those fees are administrative enforcement levers and impose compliance costs on donors and donees.

Implementation risk, delegation and discretion

• Registrar-General and Ministerial control. The Registrar-General’s directions and the requirement to comply with Ministerial directions (s 24(4)) mean administrative practice can be used to enforce compliance or change procedural burden. That creates a point of regulatory discretion with compliance consequences.

Summary: enforcement is primarily civil and administrative, directed through registration and Court supervision. The only direct penal sanction is the 8-penalty-unit maximum for false certification under s 12(4). Practitioners should therefore approach the regime as one of formalities, registration and Court remedies rather than criminal enforcement.

The Act is expressly drafted to operate in a network with other Territory statutes and registration law. The text itself identifies cross-references and overlays that determine substantive effect.

Advance Personal Planning Act 2013 (APP Act)

• The Act cross-references the APP Act in several places. The definition of agent in s 5 includes decision makers appointed under the Advance Personal Planning Act 2013, aligning powers of attorney with the APP Act’s decision-making architecture. The Part III note records that following the APP Act reforms an enduring power cannot be created in the Territory after commencement of s 8 of the APP Act 2013; Pt III therefore applies only to enduring powers created before that change and to interstate enduring powers recognised under s 6A(4). Section 15(6) requires the Court, when considering orders varying or revoking enduring powers, to take into account whether the donor has an advance personal plan (as defined in the APP Act) and, if so, the terms of that plan (including appointment of decision makers). Section 15A(1) requires a donee to give effect to an advance care statement (again defined in the APP Act) unless certain conditions apply, with the APP Act’s s 23(1) and (2) expressly referenced as possible exceptions.

Guardianship of Adults Act 2016

• The Act incorporates guardianship consequences. Section 5’s agent definition includes guardians appointed under the Guardianship of Adults Act 2016. Section 18 provides that upon making of a guardianship order under that Act, a power is revoked to the extent it authorises the donee to deal with property the subject of the guardianship order, subject to s 19. Section 21A clarifies that the appointment of a guardian for a donor of an enduring power does not itself revoke that enduring power; rather revocation depends on the guardianship order’s terms per s 18.

Registration Act 1927 and Land regimes

• Registration and prescribed fees are defined by reference to the Registration Act 1927 (s 5 definition of "prescribed" and s 7(2) fee note). Section 8 requires registration of instruments creating powers for dealings in land (except short leases), and provides that where an instrument creating the power is registered subsequent to the dealing, the dealing takes effect as if the instrument had been registered before the dealing (s 8(2)). The Act’s endnotes record consequential amendments associated with land title and registration reforms (Land Title Act 2000; Registration Amendment Acts listed in endnotes).

Aged and Infirm Persons' Property Act 1979

• Section 19(2)(c) explicitly states that an irrevocable power given to secure a proprietary interest is not revoked upon making of a protection order under the Aged and Infirm Persons' Property Act 1979 unless the Court expressly revokes it, and s 19(3) allows the Court to revoke or vary powers where the donor is a protected person within that Act.

Public Trustee Act 1979 and Public Guardian

• The Public Trustee and Public Guardian have standing and roles: the Public Trustee can be appointed by the Court as substitute donee (s 15(4)); both the Public Trustee and Public Guardian are named as possible applicants under s 15(2). The Act’s s 5 cross-references the Public Trustee Act for definition.

Local Court Act 2015

• The Act defines Court to mean the Local Court (s 5), and the endnotes record amendments tied to Local Court-related legislative changes, reflecting procedural and jurisdictional harmonisation.

Interstate instruments and the APP Act’s recognised interstate document provision

• Section 6A(4)-(5) interacts with s 88 of the APP Act 2013, excluding instruments that are "recognised interstate documents" under the APP Act from being converted automatically; for interstate enduring powers not revoked by donor incapacity, s 6A(5) provides conversion to an enduring power to the extent consistent with NT law, except where the instrument is a "recognised interstate document" under the APP Act.

Registrar-General and Ministerial direction

• The Registrar-General’s powers to issue directions and approve witnesses (s 24, sch 2) are restrained by a requirement to make directions publicly available and by a duty to comply with Ministerial directions concerning those directions (s 24(2), (4)). This sets up administrative interdependence with Ministerial oversight.

Overall, the Act is designed to operate within a statutory ecosystem where advance planning, guardianship, registration, land title and public fiduciary institutions have defined touchpoints. Practitioners should map powers to APP Act instruments (advance personal plans and advance care statements), confirm whether enduring powers were created before the relevant APP Act commencement, and ensure registration, witnessing and proof formalities are consistent with both the Powers of Attorney Act and the applicable registration and land laws.

The endnotes provided within the Act list specific amending Acts and dates; they also indicate where formal textual amendments were made. Below is a chronological mapping grounded in the Act’s endnotes.

The Act’s Pt III note and s 13 were amended to reflect that new enduring powers could not be created after commencement of s 8 of the APP Act 2013; s 13, s 6A, s 15A and others were amended or rephrased (endnotes list s 6A amd No. 36, 2013 s 122; Pt III note ins No. 36, 2013 s 123; s 13 amd No. 36, 2013 s 124; s 15 amd No. 36, 2013 s 125; s 15A ins No. 36, 2013 s 126; s 19 amd No. 36, 2013 s 127).

• Local Court and guardianship modernisation

  • Local Court (Related Amendments) Act 2016 (Act No. 8, 2016), and Guardianship of Adults Act 2016 (Act No. 15, 2016), Advance Personal Planning Amendment Act 2016 (Act No. 13, 2016): amendments recorded include s 15 and s 21A being amended and other consequential changes (endnotes list). S 17 was amended by No. 8, 2016 and s 18 amended by No. 13, 2016.

• Health Care Decision Making Act 2023

  • Health Care Decision Making Act 2023 (Act No. 19, 2023), assent 17 August 2023, commenced 1 July 2024. The endnotes record that s 15A was amended by No. 19, 2023, s 102, suggesting integration with newer health-care decision-making reforms.

• Interpretation Legislation Amendment Act 2018

  • General amendments of a formal nature were made by the Interpretation Legislation Amendment Act 2018 to a range of sections (s 1, 5, 6A, 13, 15, 15A, 18, 19, 21A and schs 1 and 2), indicating statutory housekeeping and alignment with modern drafting conventions.

The endnotes list many consequential and minor amendments and show that the Act has been updated for registration and land-title reforms, that enduring-power creation was curtailed by the APP Act, and that the Court and guardianship interactions were modernised. The Act’s text therefore reflects several policy packages: registration and land-titling (early 1990s), justice/administrative reforms (2008-2011), and the broader restructure of advance personal planning and guardianship (2013-2016), with health-care decision-making reforms added in 2023.

For practitioners: the amendment history matters because it explains why enduring powers are a legacy construct in the NT (Pt III applies only to older instruments and interstate enduring instruments), why s 6A exists to manage interstate recognition, and why the Court’s supervisory regime and Registrar-General’s powers have been refined over time.

The Act as reproduced contains no reported case law citations and the endnotes do not list litigation decisions. Consequently, the statutory text does not identify any judicial interpretations or precedent-based clarifications contained in court decisions. The Act’s enforcement and remedial focus is channelled to the Local Court (defined in s 5), which has express jurisdiction to hear applications under s 15(3) regarding enduring powers, but the Act’s text does not list specific cases or reported decisions.

What this absence means in practice:

• No statutory precedent provided. The Act does not contain interpretive guidance derived from case law. Practitioners must therefore rely on statutory text, cross-referenced legislation (Advance Personal Planning Act 2013, Guardianship of Adults Act 2016, Aged and Infirm Persons’ Property Act 1979, Registration Act 1927), Registrar-General directions and any subsequent Local Court decisions that have interpreted these provisions.

• Litigation likely to focus on a small set of recurring issues. Absent textual case references, the practical litigation universe under this Act is predictable from the Act’s mechanics: applications under s 15 to vary or revoke enduring powers or to compel records and audits; disputes over whether an instrument is an enduring power under s 13 (particularly where questions of timing and compliance with s 13(b)-(c) arise); challenges to the validity of execution or witness formalities under s 6 and sch 2; disputes over whether an instrument has been revoked and whether third parties had actual notice (ss 20-21); and conflicts arising from interaction with guardianship orders under s 18 and s 21A.

• Court of first instance and appeal. The Act assigns jurisdiction to the Local Court for the orders listed. For appeals, usual appellate pathways in Territory court structure will apply (matters such as appeals from the Local Court to higher courts), but the Act contains no special appellate mechanism.

• Evidence regime and reforms matter. Section 12’s specific provision for proving instruments by certified copy and the penalty for false certification suggests evidentiary disputes could arise where originals are missing or where interstate instruments are relied upon. Section 6A’s interstate-recognition rules will be a focal point where instruments are executed in a State or another Territory and their persistence after donor incapacity is contested.

Recommendation for practitioners in the absence of Act-cited cases: anticipate typical litigated issues (validity, registration status, revocation notice, enduring-power qualification, interactions with guardianship and advance personal plans), and consult Local Court decisions and contemporary Registrar-General directions to understand current administrative practice and judicial interpretation.

This section lists traps, tight spots and idiosyncrasies in the Act’s mechanics that create compliance and legal risk, each grounded in the statutory text.

1. Enduring powers: legacy-only status and registration requirement (s 13; Pt III note). New enduring powers cannot be created in the Territory after commencement of s 8 of the Advance Personal Planning Act 2013. Only enduring powers executed before that cut-off and properly accepted (Schedule 1) and registered qualify. Practitioners must not assume newly drafted enduring language creates an enduring power; the statutory temporal cut-off is dispositive.

2. Registration is consequential for land dealings (s 8). A dealing in land purporting to take effect under a power is void unless the instrument creating the power is registered (s 8(1)). Short leases (not more than one year) are excepted. If an instrument is registered only after the land dealing, s 8(2) saves the dealing , it takes effect as if the instrument had been registered before the dealing. However, relying on retroactive validation is risky: timing and registration proof will be focal points in disputes.

3. Different formalities if instrument is signed by direction (s 6(2), 6(4)(b)). If someone signs by direction and in the presence of the donor, the instrument must be attested by a person listed in Schedule 2 and another person. Failure to have the extra attestor will endanger validity.

4. Witness pool and localities (sch 2). Schedule 2 prescribes who can witness within the Territory , a commissioner for oaths, member of Legislative Assembly, legal practitioner, specified court officers, police officer, licensed conveyancer/real estate agent, Notary Public, or any other person approved by the Registrar-General. For instruments executed in a State, another Territory, or outside Australia, only persons approved by Registrar-General’s directions can be witnesses (sch 2). Practically, a witness valid in the donor’s place of execution may not satisfy NT requirements unless Registrar-General directions permit it.

5. Enduring-power witness restrictions (s 14). A witness to an enduring power must not be a party to the instrument or a near relative of the donee. Overlooking this will invalidate the enduring-power execution.

6. Donee’s dual roles and advance care statements (s 15A). If the donor has an advance care statement, the donee must give effect to it even if not in the donor’s best interests, subject to narrow exceptions. Donees who ignore this duty risk Court orders under s 15.

7. Guardianship interplay: appointment vs order (s 18; s 21A). Appointment of a guardian does not itself revoke an enduring power (s 21A). However, a guardianship order can revoke powers to the extent they authorise the donee to deal with property subject to the guardianship order (s 18). Practitioners must look beyond mere appointment to the terms of the guardianship order.

8. Irrevocable powers securing proprietary interests survive death, incapacity and bankruptcy unless limited by s 19. A power expressed to be irrevocable and given to secure a proprietary interest may not be revoked by the donor without the donee’s consent (s 19(2)(a)), and survives death, legal incapacity and bankruptcy (s 19(2)(b)). That is a material limitation on donor freedom.

9. Protections depend on actual notice and registration timing (ss 20-21). Donees and third parties have protection from liability unless they have actual notice of revocation. For registered instruments, either an instrument revoking the power must be registered for land dealings, or 30 days must have elapsed from registration of revocation for other transactions (ss 20(b), 21(b)). This creates a window where ordinary searches and registration practice materially impact risk allocation.

10. Certification by copy, penalty for falsehood (s 12). Proving an instrument by copy requires certificates signed by the donor or a legal practitioner; a false certificate is penalised (8 penalty units). Where originals are missing, the statutory method must be strictly followed.

11. Registrar-General directions and Ministerial oversight (s 24(1)-(4)). Compliance with Registrar-General directions is mandatory unless dispensed; the Registrar-General must comply with Ministerial directions concerning those directions. Administrative practice can therefore change, and forms or approved witnesses may be limited by directions. Practitioners should check current directions before lodging documents.

12. Bodies corporate as donors: s 6(1). Section 6’s execution formalities do not apply to instruments executed by a body corporate as donor. That means corporate donors are governed by other law; practitioners must verify applicable corporate execution rules instead of assuming s 6 applies.

13. Interstate instruments: conversion limit (s 6A). Section 6A converts interstate instruments to the extent their powers could have been validly given under NT law. If the interstate instrument grants powers that would be invalid in NT, those parts may not be recognised. Also, s 6A(4) excludes interstate enduring powers that are recognised interstate documents under s 88 of the APP Act 2013 from automatic conversion, a nuance that can cause unexpected non-recognition.

14. No explicit criminal penalties for mismanagement. Except for false certification (s 12(4)), the Act provides no criminal penalties for mismanagement of donor assets; remedial mechanisms are civil, administrative and judicial (s 15). Practitioners advising clients should plan for civil remedies and Court oversight rather than criminal sanction.

These “gotchas” are practical failure points: witness selection, registration timing, proof by copy, interplay with guardianship and advance personal planning instruments, and registrar/ministerial direction. Addressing these requires procedural checklists, regular liaison with the Registrar-General, and clear drafting about proprietary and irrevocable powers.

This section offers concrete, Act-grounded steps for donors, donees, third parties and professionals to reduce legal risk and satisfy statutory requirements.

1. Validate instrument type and timing

• Check whether the instrument is intended as an enduring power. If so, confirm that it was executed before commencement of s 8 of the Advance Personal Planning Act 2013, because new enduring powers cannot be created after that date (Pt III note; s 13). For interstate instruments, use s 6A to determine whether the instrument converts to an NT general or enduring power and whether it is a recognised interstate document under the APP Act (s 6A(4)).

2. Execute with correct formalities

• Have the donor sign the instrument in the donor’s presence (s 6(2)). Use appropriate witnesses per Schedule 2 for instruments executed in the Territory; if executed interstate or overseas, check Registrar-General directions for approved witnesses (sch 2). If the instrument is signed by direction, ensure two attestors are present as required (s 6(4)(b)). For enduring powers, ensure the witness is not a party or near relative of the donee (s 14).

3. Enduring power specific steps

• For an enduring power (pre-APP cutoff), ensure the instrument expressly states that the donor intends it to continue notwithstanding legal incapacity (s 13(a)), the donee signs an acceptance in or to the effect of Schedule 1 (s 13(b)), and the instrument is registered (s 13(c)). Without all these elements an instrument will not operate as an enduring power under the Act.

4. Register where required and prudent

• Register instruments that will be used for dealings in land (s 8(1)). Registration is optional generally (s 7(1)), but it is critical for land transactions and for the enhanced statutory protections for donees and third parties (ss 20-21). Pay the prescribed fees (s 7(2)) under the Registration Act 1927. For interstate instruments, note that s 7(1A) allows registration regardless of the date of execution.

5. Use Registrar-General-approved forms and comply with directions

• Use approved forms where provided (s 23). Before lodging, review the Registrar-General’s directions about lodging, registering, witnessing and giving documents (s 24(1)-(3)); the directions must be available for public inspection and compliance is mandatory unless the Registrar-General dispenses with it. Remember that the Registrar-General must comply with Ministerial directions about those directions (s 24(4)). Confirm whether any special local practice applies.

6. Keep and provide records

• Donees must keep true and accurate records of any transactions charging or disposing of the donor’s assets (s 11). When the donor requests records, the donee must furnish them at the donor’s expense. Practically, keep contemporaneous ledgers, copies of bank statements, receipts, and a clear audit trail to satisfy any Court order and to reduce litigation risk under s 15.

7. Beware of irrevocability clauses securing proprietary interests

• If drafting a power to secure a proprietary interest of the donee, know that s 19(2) preserves such powers against donor revocation, death or bankruptcy while the proprietary interest remains. If a donor wants flexibility, avoid irrevocable language or limit the scope of the proprietary-security power.

8. When acting as a donee: show you act for the donor and check registration status

• When executing documents, the donee must execute in a way that shows they act for and on behalf of the donor (s 10(3)). Before relying on a power, third parties and donees should check whether an instrument creating the power is registered and whether a revocation has been registered, and whether 30 days have elapsed where relevant (ss 20-21). If in doubt, obtain actual notice clearance in writing.

9. Dealings in land: register before or promptly

• For conveyancing transactions, confirm the instrument creating the power is registered before completing a dealing in land (s 8(1)). If registration will be later, understand the risk and the limited protection in s 8(2) that validates registrations subsequent to a dealing; but do not rely on retroactive validation without careful checks.

10. Proof by copy: follow s 12 to the letter

• If originals are not available, prove instrument contents by a certified photographic or facsimile reproduction that includes the end-of-copy certificate and per-page certificates as required by s 12(2)(b)(i)-(ii). Ensure the certifier is the donor or a legal practitioner. A false certificate is an offence (s 12(4)).

11. If donor becomes incapacitated: expect Court supervision

• If the donor becomes legally incapacitated, be prepared for potential Court applications under s 15(2) for records, audits, revocation or variation, or appointment of a substitute donee. Proactively maintain records and be ready to cooperate with the Public Trustee, Public Guardian or other agents to avoid or limit Court intervention. For donees of enduring powers, do not retire without Court leave (s 15(1)).

12. Respect advance care statements and agents

• If the donor has an advance care statement or one or more agents under the APP Act, comply with s 15A: give effect to valid advance care statements unless the donor with capacity withdraws them, or an APP Act exception applies; cooperate with agents appointed under the APP Act (s 15A(2)). Check the APP Act s 23 exceptions cited in s 15A(1).

13. For institutions and third parties: obtain indemnities and perform searches

• Financial institutions and conveyancers should maintain practice of obtaining a certified copy of the power and checking registration status. Where practical, seek indemnities if relying on a power that is not registered or where the revocation history is uncertain. The Act’s statutory protections depend on actual notice and registration, so a robust search and a written reliance record reduce exposure.

14. Consult up-to-date administrative guidance

• Always check current Registrar-General directions and the register (if established under s 22 regulations) because administrative practice governs witness approvals outside the Territory (sch 2) and document-lodgement requirements (s 24).

By following these steps grounded in the Act’s text, execution formalities, registration where required, meticulous record-keeping, adherence to Registrar-General directions, and Court-aware practice for enduring powers, donors, donees and transactional counterparties will be best placed to minimise legal risk under the Powers of Attorney Act 1980.
