Power Retail Corporation Act 2014

The Act directly affects RetailCorp itself, its board, its CEO and all employees and agents. Because RetailCorp is a government owned corporation, the Northern Territory Government as shareholder is also affected through the shareholding minister arrangements under the GOC Act. Consumers of electricity in the Northern Territory are indirectly affected because RetailCorp is the dominant or exclusive supplier of electricity to most retail customers; its functions under section 9(a) to supply electricity mean that price, reliability and service quality are determined in part by the corporation’s commercial incentives and regulatory obligations. Local government councils are affected by the rates exemption in section 13: they cannot levy rates on RetailCorp land, but they can charge for works carried out or goods or services provided. When RetailCorp leases land to a third party, that lessee becomes liable for rates, so the Act shifts the tax burden from the state-owned entity to private lessees. Private businesses that compete with RetailCorp are affected because section 9(i) and (h) permit RetailCorp to provide consultancy services for profit and to commercialise intellectual property. A state-owned entity with a captive electricity customer base can cross-subsidise those profit-making activities, potentially distorting competition. The Schedule’s modifications to the PSEMA affect public sector employment generally by carving RetailCorp out of certain standard provisions. The CEO’s accountability is shifted from the normal PSEMA framework to board direction, which affects how the CEO manages staff and allocates resources. The repeal of sections 27 and 28 of the PSEMA removes certain procedural requirements that would otherwise apply to RetailCorp’s employment decisions. The Act also binds the Crown in right of the Territory and, to the extent of legislative power, the Crown in all other capacities, which means federal and other state entities could potentially be affected if they interact with RetailCorp.

RetailCorp has the right to exercise all functions listed in section 9, which include supplying electricity, generating electricity, purchasing electricity, providing efficiency and demand-management services, maintaining power system infrastructure, using fixed assets for other purposes (paragraph (g)), developing and marketing products and intellectual property (paragraph (h)), providing consultancy services for profit (paragraph (i)), and doing anything it determines conducive or incidental (paragraph (j)). Under section 50 of the GOC Act (cross-referenced in the note to section 9), RetailCorp also has all the powers of a natural person. This gives it the right to enter contracts, acquire and dispose of property, borrow money and form subsidiaries. Section 13 (1) gives RetailCorp the right to an exemption from local government rates on land it owns or controls, but this right is qualified: it does not apply to charges for works or services provided by councils, and it ceases if the land is leased, at which point the lessee becomes liable. Section 14 gives employees and agents a right to protection from personal liability for acts or defaults done in good faith in the course of operations. This is not a blanket immunity; it requires good faith, so an employee acting in bad faith or outside the course of operations may still be personally liable. Section 15 gives RetailCorp the right to authenticate documents without a corporate seal, by signature of an authorised person. Section 16 gives RetailCorp the right to recover any money due to it under the Act as a debt, a simple mechanism that avoids the need to prove damages. The CEO has the duty under the modified section 24 of the PSEMA to employ and manage employees for the purpose of enabling RetailCorp to perform its functions, and must uphold the human resource management principle and the performance and conduct principle. The CEO is also subject to the direction of the board under section 16(5) of the GOC Act, so the CEO’s duties are subordinate to board policy. RetailCorp has no explicit duty to supply electricity to all consumers; the Act does not impose a universal service obligation. The right to use fixed assets for other purposes under paragraph (g) is conditional on not affecting the proper performance of the primary functions, placing a duty on the board and CEO to ensure that commercial side-activities do not impair electricity supply.

The Power Retail Corporation Act 2014 contains no offence provisions and creates no criminal penalties. Enforcement is limited to civil debt recovery under section 16, which allows RetailCorp to recover money due to it under the Act as a debt in a court of competent jurisdiction. This would apply to unpaid charges for electricity supply, consultancy fees, or lease payments. The Act does not create any regulatory enforcement mechanism or confer enforcement powers on any government body. Enforcement of the GOC Act provisions (such as reporting requirements, board duties and conflicts of interest) is handled through that Act, not through this one. The absence of penalties in this Act means that if RetailCorp fails to perform its functions, the only remedies are political (through the shareholding minister and board) or contractual (through supply agreements). There is no statutory mechanism for a consumer or competitor to enforce compliance with section 9. The protection in section 14 for employees and agents does not itself create a penalty; it is a defence to personal liability in civil proceedings. However, if an employee acts in bad faith, the protection is lost and the employee may be personally liable for damages. The regulations power under section 17 could theoretically create penalties, but no regulations have been made in the version provided. The Act is essentially a permissive enabling statute rather than a regulatory or punitive one. The enforcement gap is notable: consumers have no statutory right to electricity supply, and the Act does not guarantee service standards. Enforcement of any consumer protections would have to come from other legislation, such as the Electricity Reform Act or the Australian Consumer Law.

The Act explicitly interacts with three principal statutes. First, the Government Owned Corporations Act 2001 applies to RetailCorp by virtue of section 6, which declares it a GOC. That Act imposes governance requirements (board appointment, shareholding ministers, corporate plans, reporting) and gives RetailCorp all the powers of a natural person under section 50. The note to section 9 of this Act cross-references that power. The GOC Act also subjects the CEO to board direction under section 16(5), which is then picked up in the Schedule modifications. Second, the Public Sector Employment and Management Act 1993 applies but with modifications set out in the Schedule. Section 7(1)(a) designates RetailCorp as an Agency for PSEMA purposes, but Schedule 1 repeals sections 22 and 23 of PSEMA, which deal with chief executive officer functions and delegations. Section 24 is substantially rewritten to confine the CEO’s employment functions and to make them subject to board direction. Sections 27 and 28 (covering discipline and appeals) are repealed entirely, removing standard public sector employment safeguards. This creates a hybrid: RetailCorp staff are public servants in some respects but not others, with the CEO having more direct control and less external oversight. Third, the Local Government Act 2019 is affected by section 13, which overrides council rating powers. The definition of “local government rates” in section 13(4) expressly refers to the 2019 Act. The exemption does not apply to charges for works or services provided by councils, so councils can still charge for garbage collection, water supply or road maintenance on RetailCorp land. The Act also binds the Crown under section 4, which may interact with Commonwealth laws if RetailCorp deals with federal entities. Section 7(1)(b) says RetailCorp is not an Agency for any other Act, meaning it avoids being treated as a government agency for purposes such as the Freedom of Information Act or the Ombudsman Act unless those Acts specifically include government owned corporations. The Interpretation Amendment Act 2021 affected section 12 (since repealed), showing that the Act is subject to general interpretation legislation. The repeal of sections 10, 11 and 12 by the Statute Law Revision and Repeals Act 2026 removed provisions that likely dealt with board constitution or procedural matters, simplifying the Act.

The Act received assent on 15 May 2014 as Act No. 15 of 2014 and commenced on 29 May 2014 by Gazette notice. It has been amended by five subsequent Acts. The Local Government Act 2019 (No. 39 of 2019) amended section 13 to update the reference to local government legislation; section 370 of that Act substituted the reference from the earlier Local Government Act to the 2019 Act. The Statute Law Revision Act 2020 (No. 26 of 2020) made minor formal amendments, effective 20 November 2020. The Local Government Amendment Act 2021 (No. 15 of 2021) further amended section 13, effective 26 May 2021. The Interpretation Amendment Act 2021 (No. 28 of 2021) amended section 12 (since repealed), effective 1 January 2022. The most significant changes came from the Statute Law Revision and Repeals Act 2026 (No. 3 of 2026), which commenced on 10 February 2026. That Act amended section 9 (removing or adjusting some functions? Actually the list of amendments says s 9 amd No. 3, 2026, s 51. The amendment to section 9 is not detailed in the source text, but the Act as printed is as in force at 10 February 2026, so the current version incorporates it. That same 2026 Act repealed sections 10 and 11 entirely, and also repealed section 12. Sections 10 and 11 presumably dealt with the board or other governance matters; their removal simplifies the Act. The endnotes indicate that sections 10 and 11 were originally present and have been removed. Also, the Interpretation Legislation Amendment Act 2018 made general formal amendments to sections 3, 6, 7, 8, 9, 12 and 13 and the Schedule. The Act has been consolidated into a reprint as at 10 February 2026, incorporating all amendments. The current Act is therefore a slimmed-down version of the original, with the board-related provisions removed (perhaps because they are now dealt with exclusively by the GOC Act) and with updated references to the Local Government Act.

The source text of the Act provides no information about litigation history. No cases are cited in the Act itself. Because the Act is an enabling statute that establishes a corporation and confers functions, most disputes involving RetailCorp would arise under contract law (electricity supply agreements), the GOC Act (governance disputes) or consumer law, rather than under this Act directly. The section 14 personal liability shield could be litigated if an employee’s good faith is challenged, but no such case is reported in the source. The rates exemption in section 13 could give rise to disputes between RetailCorp and local councils over whether a particular charge is a rate or a charge for works, but again no case is cited. The debt recovery provision in section 16 is procedural and unlikely to generate reported litigation on its interpretation. A search of Northern Territory Supreme Court decisions might reveal cases where RetailCorp is a party, but the Act itself does not reference any. The absence of any litigation history in the source is itself notable and suggests that the Act has operated without significant judicial contest. This may be because the Act is clear and narrow, or because disputes are resolved through internal governance or commercial negotiation rather than litigation.

Several features of the Act could catch practitioners off guard. First, the rates exemption in section 13 is not absolute. Section 13(2) expressly states that the exemption does not apply to charges for works carried out or goods or services provided by a local government council. This means that a council can still levy fees for water supply, sewerage, garbage collection or road maintenance on RetailCorp land. The line between a rate (exempt) and a service charge (not exempt) could be litigated. Second, if RetailCorp leases land to a third party, the exemption disappears for the leased land and the lessee becomes directly liable for rates under section 13(3). A lessee who assumes the land is rate-free because it is owned by a government corporation could face an unexpected rates bill. The lease agreement should address this. Third, the employee protection in section 14 is limited to acts done in good faith. An employee who acts negligently, in bad faith or outside the course of operations faces personal liability. The protection does not extend to the corporation itself; RetailCorp remains vicariously liable for employee conduct. Fourth, the CEO’s functions under the modified PSEMA are narrower than normal. The CEO cannot, for example, exercise the functions that were in repealed sections 22, 23, 27 and 28 of PSEMA. Disciplinary processes and appeals that would normally be handled under PSEMA do not apply, so RetailCorp staff may have fewer procedural protections than other public servants. Fifth, section 7(1)(b) provides that RetailCorp is not an Agency for the purposes of any other Act. This means that unless another Act expressly includes government owned corporations, RetailCorp is not subject to the FOI Act, the Ombudsman Act or the Public Interest Disclosures Act as an agency. This creates a transparency gap. Practitioners dealing with RetailCorp should not assume that standard public sector accountability mechanisms apply. Sixth, the functions in section 9 are extremely broad. Paragraph (g) allows RetailCorp to use fixed assets for other purposes so long as the proper performance of core functions is not affected. This could permit RetailCorp to run commercial operations on land or using equipment that was funded by taxpayers or electricity consumers, raising cross-subsidisation risks. Seventh, section 9(i) expressly allows RetailCorp to provide services for profit. This is not a residual power; it is a primary function. Competitors in the electricity consulting or technology markets should be aware that a state-owned entity with a captive customer base can enter those markets. Eighth, the debt recovery mechanism in section 16 is limited to money due under the Act. Money due under a separate contract may not be recoverable under this section, so RetailCorp may need to rely on ordinary contract claims.

Compliance obligations under this Act depend on the entity’s role. For RetailCorp itself, the primary compliance task is ensuring that its activities fall within the functions set out in section 9. While the functions are broad, the board and CEO should maintain records demonstrating how each activity relates to the listed functions, particularly for the profit-making activities under paragraphs (h) and (i) and the non-core asset use under paragraph (g). The condition in paragraph (g) - that proper performance of the core function is not affected - requires regular monitoring to ensure side-activities do not compromise electricity supply, generation or system security. RetailCorp must also comply with the GOC Act, including requirements for corporate plans, reporting to shareholding ministers, board governance and conflict-of-interest management. The CEO must comply with the modified PSEMA provisions set out in the Schedule, which means the CEO must employ and manage staff for the purpose of enabling RetailCorp to perform its functions, and must uphold the human resource management principle and the performance and conduct principle. Because sections 27 and 28 of PSEMA are repealed, the CEO must have alternative policies and procedures for staff discipline and grievance handling. The board must ensure that directions to the CEO under section 16(5) of the GOC Act are consistent with the CEO’s statutory functions.

For lessees of RetailCorp land, compliance means arranging to pay local government rates directly to the council. The lease should contain a covenant requiring the lessee to pay rates and indemnifying RetailCorp if the rates are not paid. Lessees should also confirm that the exemption under section 13(1) does not apply and budget for rates accordingly.

For local government councils, compliance means not levying rates on RetailCorp land (including land owned by or under the care, control and management of RetailCorp) but continuing to charge for works or services provided. Councils should maintain separate billing for service charges to avoid inadvertent breach of the exemption.

For employees and agents of RetailCorp, the personal liability shield in section 14 applies only to acts done in good faith in the course of operations. Employees should document their decision-making and ensure they act within their delegated authority and for proper purposes. If an employee suspects that a direction is unlawful or outside the corporation’s functions, the protection may not apply if they follow the direction. Employees should seek internal legal advice in such situations.

For competitors and consumers, compliance is not the primary concern; instead, they should be aware of the Act’s scope to assess whether RetailCorp is operating within its statutory functions. If RetailCorp engages in activity that appears to fall outside section 9, a competitor could seek judicial review or raise the issue with the shareholding minister. The Act provides no direct private right of action, so any challenge would need to rely on the GOC Act or administrative law.
