Jabiru Town Development Repeal Act 2021

The Act operates around a handful of tightly defined legal concepts and transitional devices. Key definitions and constructs appear in section 3 and are applied through Parts 2 and Schedule 1.

• Authority, commencement and Jabiru Town (s 3). “Authority” is defined as the Jabiru Town Development Authority under the repealed Act immediately before commencement. “Commencement” is expressly defined as the commencement of section 4, which is the section effecting the statutory repeals. “Jabiru Town” is defined by reference to the land specified as Jabiru town land under the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth). Those definitional choices determine the referents for the abolition, transfers and by-law continuations the Act effects.
• Repeal and revival logic (s 4, Schedule 1). The Act repeals the principal Act (the Jabiru Town Development Act 1978), two amending Acts, and a list of subordinate legislation in Schedule 1. The interaction between blanket repeal (s 4) and specific savings (s 9) is a principal structural device: the Act removes the statutory basis for the Authority while temporarily keeping some by-laws operative under the Local Government Act 2019’s by‑law machinery (s 9(1)).
• Abolition and office-holder removal (s 5). The Act abolishes the Authority and removes its Chairman and members from office “on the commencement” (s 5). That phrase is technical: the Act’s own definition of “commencement” (s 3) focuses the effect to when section 4 takes effect.
• Transfer of property, rights, liabilities and obligations (s 7(1)). The statutory fiction that “all property, rights, liabilities and obligations of the Authority are taken to be the property, rights, liabilities and obligations of the Territory” centralises asset and liability ownership within the Territory. The form of the transfer is statutory rather than by conveyance or assignment, and it applies “on and from the commencement” (s 7(1)).
• Substitution in contracts (s 7(2)). Where the Authority was a party to a contract immediately before commencement, West Arnhem Regional Council is statutorily substituted for the Authority as a party to that contract, agreement or arrangement. The substitution is automatic under the Act and does not require contractual consent under the instrument’s wording.
• Superseded references (s 8). The Act simplifies the administration of legacy instruments by declaring that references to the repealed Act or to the Authority are taken as references to the Local Government Act 2019 (or its most equivalent provision) and the West Arnhem Regional Council respectively. This device is intended to remove drafting friction where older instruments retain references to the repealed statutory architecture.
• Saved by-laws (s 9). By-laws made under section 31 of the repealed Act continue to operate as if made under section 275 of the Local Government Act 2019, subject to amendments made by Schedule 3 and subject to limits: they apply only to the Jabiru Town area of the West Arnhem Regional Council and will be repealed on 1 January 2025 unless earlier repealed (s 9(1)-(2)). The Act also clarifies that references to the Authority in such by-laws are to be read as references to the West Arnhem Regional Council (s 9(3)). Schedule 1, however, lists certain subordinate instruments that are expressly repealed and therefore do not remain in force (Schedule 1).
• Interaction with Commonwealth land‑law and other Territory statutes (s 6). The normalisation of Jabiru Town into the West Arnhem council area is expressly “subject to this Act and the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth)” (s 6(1)). Road control is placed with West Arnhem under section 271 of the Local Government Act 2019, but is subject to section 7 of the Control of Roads Act 1953 (s 6(2)). Those cross-references mean the Act does not displace Commonwealth land-rights constructs or pre-existing statutory restrictions on road control.

These concepts work together to effect a legal transfer of governance and regulatory competence from a specialised statutory authority to ordinary Territory and local government institutions, while providing a limited transitional period for legacy by-laws. The Act accomplishes that result through statutory transfer rules and substitution mechanisms rather than through requiring fresh assignments, council resolutions or negotiated transfers in each instance.

The Act names and changes the legal status of a short list of legal actors and interest-holders. The principal affected parties and stakeholder classes are:

• Jabiru Town Development Authority (the Authority). The Authority is abolished on the commencement (s 5(a)). Its statutory existence and powers under the repealed Act end at that moment; its members and Chairman are removed from office (s 5(b)). The statutory body ceases to be an entity in law upon commencement.
• The Territory (Northern Territory). The Territory becomes the legal owner of “all property, rights, liabilities and obligations of the Authority” from commencement (s 7(1)). That statutory transfer places assets and liabilities on the public purse (the Territory), making the Territory the party with legal title and responsibility for pre-existing liabilities of the Authority insofar as such liabilities are captured by the statutory transfer.
• West Arnhem Regional Council. The council acquires the Jabiru Town area as part of its council area (s 6(1)), assumes the care, control and management of roads in Jabiru Town under section 271 of the Local Government Act 2019 (subject to the Control of Roads Act provision noted in s 6(2)), and is statutorily substituted for the Authority in any contracts, agreements or arrangements to which the Authority was a party immediately before commencement (s 7(2)). The council therefore becomes the local government entity with jurisdictional, contractual and certain operational responsibilities for Jabiru Town.
• Residents, businesses and visitors to Jabiru Town. Those physically present in the Jabiru Town area are affected by the change in whose by-laws and local government rules apply. Certain by-laws made under the repealed Act continue in force as by-laws under the Local Government Act 2019 but apply only to the Jabiru Town area (s 9(1)-(2)). Some subordinate legislation listed in Schedule 1 is repealed outright and therefore no longer applies.
• Counterparties to contracts with the Authority. Parties that had contracts, agreements or arrangements with the Authority will find those contracts intact in form but with West Arnhem substituted as the party in the Authority’s place (s 7(2)). The Act’s substitution is statutory; it does not require parties to renegotiate or to give consent under the contractual terms unless those contracts impose additional requirements beyond the Act (not stated in the Act).
• Commonwealth and devotees of Aboriginal land law. Jabiru Town is defined by reference to the land specified as Jabiru town land under the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth) (s 3). The normalisation of the council area is explicitly subject to that Commonwealth Act (s 6(1)), so individuals and entities with statutory rights or interests arising under that Commonwealth scheme are necessarily affected by the fact that the local governance overlay is now the West Arnhem council, within the constraints of Commonwealth law.
• Entities or individuals involved in enforcement, licensing or administration under repealed subordinate legislation. Schedule 1 lists subordinate instruments specifically repealed. Any licence, permission, or regulatory regime created only by those subordinate instruments is affected by the repeal (s 4(2) and Schedule 1). Conversely, by-laws not listed in Schedule 1 but made under the repealed Act remain temporarily in force, now under the Local Government Act 2019 regime (s 9(1)).

Who pays: The Act places asset ownership and liabilities on the Territory (s 7(1)). That allocation means that the Territory bears financial responsibility for debts and obligations of the Authority captured by the statutory transfer. West Arnhem assumes contractual obligations and, as the local council with responsibility for the Jabiru Town area, will bear the operational costs of local government functions in that area from commencement (s 6(1), s 7(2)).

Who decides after commencement: Local government decision-making, including the making and enforcement of by-laws, shifts to West Arnhem (s 6 and s 9). For matters originally governed by the repealed Act but preserved by the Act (s 9), decision-making will be exercised under the Local Government Act 2019 structure.

The Act therefore redistributes legal roles and financial burdens: it eliminates the Authority, places legal title and liabilities with the Territory, and places day-to-day local governance, contractual standing and road care on the West Arnhem Regional Council.

The Act itself primarily reassigns duties and rights rather than creating new types of obligations. The main duties and rights created, migrated or preserved by the Act are:

• Duty of the Territory to hold and manage transferred property, rights, liabilities and obligations. By section 7(1), all property, rights, liabilities and obligations of the Authority “are taken to be the property, rights, liabilities and obligations of the Territory.” That statutory transfer imposes on the Territory the legal status of owner and liable party for those matters from commencement. The specific operational duties arising from those assets and liabilities (for example, ongoing maintenance obligations) depend on the nature of each asset and liability and on other legislation, but the Act makes the Territory the legal holder.
• Contractual obligations now owed or performed by West Arnhem. Section 7(2) substitutes West Arnhem Regional Council for the Authority as a party to contracts, agreements and arrangements to which the Authority was a party immediately before commencement. West Arnhem therefore acquires the contractual duties and receives the contractual rights that were formerly vested in the Authority. The substitution is automatic under the Act and does not, on its face, require assignment formalities or third-party consent.
• Local government regulatory duties. Section 6(1) places Jabiru Town within the council area of West Arnhem Regional Council, “subject to this Act and the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth).” As a consequence, West Arnhem is responsible for exercising the functions of a council over the Jabiru Town area in accordance with the Local Government Act 2019. The Act’s cross-reference to the Local Government Act 2019 and to section 271 of that Act for road management (s 6(2)) means duties that arise under the Local Government Act 2019 will apply to West Arnhem in relation to the Jabiru Town area.
• Rights and limits under saved by-laws. By-laws made under section 31 of the repealed Act, insofar as they are not repealed by Schedule 1, continue in force as if they were made under section 275 of the Local Government Act 2019 (s 9(1)). Those by-laws confer regulatory powers and potentially impose obligations or prohibitions on persons within Jabiru Town, but the Act narrows their geographic application to the Jabiru Town area and limits their temporal duration to expiry on 1 January 2025 unless earlier repealed (s 9(2)(a)-(b)). The Act also treats references in those by-laws to the “Authority” as references to West Arnhem Regional Council (s 9(3)), aligning enforcement responsibility.
• Supersession of references. Section 8 alters interpretive rights and duties under existing instruments by directing that references to the repealed Act be read as references to the Local Government Act 2019 (or the most equivalent provision) and references to the Authority be read as references to West Arnhem. This reduces interpretive friction and creates a default read-across for instruments and documents.
• Road care, control and management duties. Section 6(2) places roads within Jabiru Town under the care, control and management of West Arnhem, in accordance with section 271 of the Local Government Act 2019, subject to section 7 of the Control of Roads Act 1953. That provision allocates a specific operational responsibility to West Arnhem for public roads within the Jabiru Town area consistent with the Local Government Act 2019.

Notably absent from the Act are express new offence provisions or novel penalty regimes. The Act does not itself impose fines, criminal offences or administrative penalties. Enforcement and penalty mechanisms for continued by-laws (s 9) will thus flow from the Local Government Act 2019 and the content of the by-laws themselves, not from the Repeal Act.

Rights of private parties are primarily preserved through contractual continuity. Contracts to which the Authority was a party remain in force but with West Arnhem substituted (s 7(2)), and property rights are preserved by the statutory transfer to the Territory (s 7(1)). However, the Act’s constructs limit the ability of parties to argue that a contract requires new formal assignment consent in order for West Arnhem to step into the Authority’s place, because substitution is achieved by statute.

Practical obligations for West Arnhem and the Territory will include identifying and managing transferred liabilities and property, reviewing substituted contracts for operational feasibility and any immunity, and managing by-laws that continue for the limited time window (s 9(2)(b)). Those duties implicate budgetary and administrative planning at both the Territory and the West Arnhem council levels.

The Jabiru Town Development Repeal Act 2021 itself does not create new offences or attach new penalty regimes. Its function is principally transitional and allocative: it repeals legislation, abolishes a statutory body, transfers assets and liabilities, substitutes parties to contracts and prescribes the status of legacy by-laws. Consequently:

• The Act contains no express penalty clauses. The statutory text does not make breach of any provision of the Repeal Act itself an offence nor does it specify civil remedies for breach of its transitional provisions.
• Enforcement of remaining local regulatory controls is delegated to the Local Government Act 2019 regime and to the content of the by-laws that are saved. Section 9(1) expressly continues certain by-laws “as if they were a by-law made under section 275 of the Local Government Act 2019.” Enforcement powers, infringement regimes, fines, and penalty notices connected to those by‑laws will therefore be those available under the Local Government Act 2019 and under the by-laws themselves, not under this Act. Practitioners must therefore consult the Local Government Act 2019 (and the specific by-law text) to determine enforcement mechanisms and penalty levels.
• Instruments repealed by Schedule 1 (s 4(2) and Schedule 1) cease to operate. Any enforcement powers, licensing regimes, or specific penalties that were contained solely in those repealed subordinate instruments will no longer be available under that textual basis. Where those repealed instruments had created offences or penalty regimes, those mechanisms will be removed unless replaced or mirrored under the Local Government Act 2019 or other legislation. The Act does not detail replacement regimes; it simply repeals the listed subordinate instruments.
• Contractual enforcement follows substitution. Where the Authority was a contracting party immediately before commencement, West Arnhem Regional Council is substituted for the Authority (s 7(2)). Parties seeking to enforce contractual rights or to pursue remedies for breaches of pre-existing agreements will proceed against West Arnhem as the contractual party. The Act does not alter contractual remedies otherwise available under the contract or under general law; it determines which legal person is the defendant or respondent.
• Liability allocation for claims against the Authority. Section 7(1) declares that the Authority’s property, rights, liabilities and obligations are taken to be those of the Territory. That statutory allocation signals that, to the extent a claim arises from pre-commencement liabilities of the Authority, the Territory is the legal entity against which those claims should be directed. Practical enforcement of claims will depend on the nature of the claim and other applicable procedural or substantive law. The Act does not, for example, specify time-limited windows for bringing claims or provide a claims procedure; it simply identifies the legal entity that now holds the relevant liabilities.
• Road and local regulation enforcement. Road care and management in Jabiru Town is allocated to West Arnhem under section 271 of the Local Government Act 2019 subject to the Control of Roads Act 1953 (s 6(2)). Enforcement of road-related duties, including traffic controls and associated penalties, will therefore be under the operational powers applicable to local governments and road authorities under those Acts.

Implementation risk in enforcement terms therefore derives from the need to reconcile legacy regulatory instruments and repealed subordinate legislation with the enforcement architecture of the Local Government Act 2019 and other existing Territory and Commonwealth laws. The Act leaves the content and penalties of preserved by-laws to be governed by the Local Government Act 2019 and by the by-laws themselves; it leaves repealed subordinate instruments removed from force; and it transfers liability for past obligations to the Territory. Practitioners should not look to the Repeal Act itself for offences, fines or enforcement process; the enforcement picture requires consulting the Local Government Act 2019, the specific preserved by-laws and any residual relevant Commonwealth statutes.

The Act is explicitly drafted to reconfigure a local statutory architecture into the Territory/local government framework and to recognise applicable Commonwealth law. The principal statutory interactions are:

• Interaction with the Local Government Act 2019. Section 8 directs that references to the repealed Act or to a provision of the repealed Act are to be taken as references to the Local Government Act 2019 or the most equivalent provision of that Act (s 8(a)). Section 9 continues certain by-laws “as if they were a by-law made under section 275 of the Local Government Act 2019” (s 9(1)). Section 6(2) places roads within Jabiru Town under care, control and management “in accordance with section 271 of the Local Government Act 2019.” These cross‑references transfer the governance, regulatory and operational mechanics from the specialised Jabiru Town Development legislative framework to the Local Government Act 2019 framework. The precise substantive duties, powers, enforcement mechanisms and by-law-making processes will therefore be governed by the Local Government Act 2019.
• Interaction with the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth). The Act expressly recognises the primacy of that Commonwealth statute in respect of Jabiru Town land. Section 6(1) states that Jabiru Town becomes part of the West Arnhem Regional Council “subject to this Act and the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth).” Section 3 defines “Jabiru Town” by reference to land specified under that Commonwealth Act (s 3). Those provisions mean the transition to local government control is constrained by the existence of Commonwealth statutory land‑rights arrangements. The Act does not purport to alter Commonwealth land‑rights entitlements; it places the local governance overlay within the constraints of that Commonwealth statute.
• Interaction with the Control of Roads Act 1953. Section 6(2) makes road care, control and management subject to section 7 of the Control of Roads Act 1953. That means that while West Arnhem gets responsibility under section 271 of the Local Government Act 2019, there may be statutory limits or qualifications under the Control of Roads Act which remain in effect. The Repeal Act does not displace that statutory relationship; it defers to the Control of Roads Act 1953 for aspects of road control.
• Effect on subordinate legislation. Schedule 1 lists subordinate legislation repealed by the Act (s 4(2) and Schedule 1). These repeals remove the specific regulatory instruments that once sat under the Jabiru Town Development Act 1978. However, s 9 saves some by-laws by re-casting them as Local Government Act 2019 by-laws. For subordinate instruments included in Schedule 1, practitioners must consult other statutory instruments or the Local Government Act 2019 to see whether their regulatory content is replicated elsewhere or whether a regulatory gap now exists.
• Contract law and assignment rules. The Act addresses substitution in contracts by statutorily substituting West Arnhem Regional Council where the Authority was a party immediately before commencement (s 7(2)). The Act thereby overrides the need for conventional assignment formalities insofar as the statutory substitution applies. The Act does not discuss contractual provisions that might restrict assignment or require a particular form for consent; it imposes substitution by statute regardless. Parties and courts will therefore need to read contracts alongside the substitution rule in s 7(2) to determine whether contractual non-assignment clauses can operate to resist statutory substitution (the Act’s text provides substitution without caveat).
• Interpretive and documentary references. Section 8 creates an interpretive bridge: references in instruments to the repealed Act become references to the Local Government Act 2019 or the most equivalent provision (s 8(a)), and references to the Authority become references to West Arnhem (s 8(b)). This reduces the need to amend every instrument that mentions the old statutory authority; it aligns historic documents with the current legislative framework.

These statutory interactions show that the Repeal Act is not intended to be standalone. It operates as a transitional mechanism which levers existing Territory and Commonwealth statutes to reallocate governance: the Local Government Act 2019 becomes the locus for local governance functions; the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth) remains the controlling Commonwealth framework for land-rights issues; and the Control of Roads Act 1953 continues to shape road-related responsibilities.

The Act does not itself create parallel regulatory schemes or new enforcement powers; instead, it remaps existing rights and duties into the local government and Territory architecture. Practitioners should therefore view the Repeal Act as a translator and transferor that requires consultation of the Local Government Act 2019, the Aboriginal Land Rights Act and the Control of Roads Act to understand post‑commencement legal entitlements and duties.

The Act’s endnotes and table of provisions provide the enacted text and a short amendment record. The Act itself is an amending/repeal instrument; the provided endnotes include the following authoritative items:

• Title and assent/commencement. The Act is cited as the Jabiru Town Development Repeal Act 2021 (Act No. 29, 2021). The endnotes record an assent date of 15 December 2021 and commencement on 16 December 2021 (s 2). Section 2 of the Act states the Act commences the day after the Administrator's assent is declared (s 2), and section 3 defines “commencement” for internal references as the commencement of section 4 (s 3).
• Internal amendments and expirations. The endnotes list specific expirations: “pt 3 hdg exp No. 29, 2021, s 11” and “ss 10 - 11 exp No. 29, 2021, s 11” and “sch 2 - 3 exp No. 29, 2021, s 11.” These endnote entries indicate that certain parts, sections or schedules (as listed) are marked as expired by the same Act’s s 11. The provided text of the Act as reproduced in the source does not show those parts, sections or schedules in full; the endnotes record their expiry status in the statute database. Readers should check the official consolidated instrument for any expired provisions and the meanings of the specific endnote codes.
• Repeals. The Act itself repealed the Jabiru Town Development Act 1978 and the named amending Acts (s 4(1)(a)-(c)), and repealed subordinate legislation listed in Schedule 1 (s 4(2)). Schedule 1 enumerates specific by-laws and the Jabiru Town Development Regulations 1982 as repealed.
• No recorded subsequent amendments in the provided text. The source reproduced stops at the Act as in force at 17 December 2021 and records its own assent and commencement dates in the endnotes. The endnotes do not record subsequent amendments to the Repeal Act after 16 December 2021 within the provided material.

Practical note for users: the Act itself explicitly refers to Schedule 3 in s 9(1), stating the continuation of by-laws is “subject to the amendments made by Schedule 3.” The reproduction of the Act in the provided text does not include Schedule 3. The absence of Schedule 3 in the provided copy is material: practitioners should consult the officially published Act (consolidated statute or Government Gazette) to read Schedule 3 and to verify the exact amendments the Act makes to preserved by-laws. The endnotes indicate the Act’s own internal expiry mechanics for some provisions (as recorded), so users should inspect consolidated sources to confirm whether any parts have expired and what effect that may have on transitional arrangements.

In sum, the amendment history within the supplied source is limited to the enactment and commencement details and the Act’s internal expiry notes recorded in the endnotes. The Act repealed older statutory instruments and created temporary transitional provisions; any subsequent amendments or legislative changes affecting these arrangements are not recorded in the provided material.

The provided text and associated endnotes contain no record of judicial decisions, disputes, or litigation arising from the Jabiru Town Development Repeal Act 2021. The source contains:

• The full text of the Act as in force at 17 December 2021.
• Endnotes recording assent and commencement dates and certain expiry annotations.
• A schedule of subordinate legislation repealed.

There are no cases cited in the Act text, no footnoted judicial references, and no statutory references to litigation in the material supplied. Therefore, within the scope of the supplied document:

• There is no reported litigation history against or under this Act recorded in the text.
• There are no named judicial interpretations, interlocutory decisions, appeals or reported disputes included in the source material provided.

Users seeking litigation or administrative decision history that interprets or applies the Repeal Act must consult external legal databases, court records or the consolidated legislation package beyond the supplied text. Any judicial issues that might arise from the Act in practice, such as disputes about whether a particular asset or liability falls within the statutory transfer (s 7(1)), whether statutory substitution in a particular contract operates despite contractual non-assignment clauses (s 7(2)), or claims about by-law enforceability as carried over under s 9,are not addressed by the text itself and would have to be tested in courts or tribunals. The supplied source does not report any such proceedings.

Given the Act’s transitional and administrative nature, potential sources of litigation could include contractual disputes following s 7(2), property or title disputes following s 7(1), or challenges relating to the interaction between the Act and the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth) where rights over land intersect with local governance changes. None of those hypothetical disputes are recorded in the Act text provided.

The Act contains several drafting and transitional features that create material risks, uncertainties and compliance traps for practitioners, local authorities, counterparties and affected residents. These features are concrete and derive from the Act’s text:

• Divergence between ownership and contractual substitution. The Act takes “all property, rights, liabilities and obligations of the Authority” to be those of the Territory (s 7(1)) while simultaneously substituting West Arnhem Regional Council for the Authority in existing contracts (s 7(2)). That creates an immediate structural split: the Territory holds legal title to property and is the repository of liabilities, but West Arnhem steps into the Authority’s contractual position. Practitioners must identify whether particular assets tied to contracts now vest in the Territory while contractual operation occurs with West Arnhem, and how claims against the Authority arising from contracts will be allocated between the Territory and West Arnhem given this split. The Act does not provide a schema for allocating costs or liabilities between the Territory and West Arnhem where both ownership and contract duties implicate the same subject matter.
• Automatic contractual substitution may clash with contract terms. Section 7(2) statutorily substitutes West Arnhem for the Authority “if the Authority is a party to any contract, agreement or arrangement immediately before the commencement.” The Act does not carve out contracts containing non-assignment clauses, personal services clauses or consent requirements. That statutory approach potentially overrides contractual consent provisions; however, the Act does not expressly address the legal effect where a contract requires third-party approval for assignment, or where a personal services contract depends on the Authority’s specific statutory status. Contracting parties should examine whether the contract’s drafting or equitable principles give rise to practical obstacles even if the Act effectually substitutes the council.
• Repeal of subordinate legislation and partial continuation of by-laws. Schedule 1 lists subordinate legislation expressly repealed (s 4(2) and Schedule 1), including multiple by-laws and the Jabiru Town Development Regulations 1982. Section 9 preserves some by-laws made under the repealed Act, but only those not repealed by Schedule 1. Practitioners must therefore identify, instrument-by-instrument, which by-laws continue and which are removed. There is a risk of assuming that all prior local regulatory measures survive the repeal, when in fact several listed in Schedule 1 are removed.
• Time-limited survival of by-laws. By-laws continued under s 9(1) apply only to the Jabiru Town area (s 9(2)(a)) and are statutorily repealed on 1 January 2025 unless earlier repealed (s 9(2)(b)). That creates a finite regulatory bridge. Councils and regulated entities must plan for regulatory transition by that expiry date. The Act references amendments made by Schedule 3 in relation to those saved by-laws (s 9(1)), but the provided text does not include Schedule 3. Users must obtain the full Act with Schedule 3 to understand the precise content and amendments to the saved by-laws.
• Cross-jurisdictional constraints. Section 6(1) expressly subjects the normalisation of Jabiru Town to the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth). The practical effect is that Commonwealth statutory land-rights arrangements may constrain West Arnhem’s local government functions and the Territory’s ownership rights. Planning, infrastructure, leasing and development activities in Jabiru may require navigation of Commonwealth land-rights law as well as the Local Government Act 2019.
• Road-control limitation. Section 6(2) places roads within Jabiru Town under West Arnhem’s care, control and management “subject to section 7 of the Control of Roads Act 1953.” This subject clause means West Arnhem’s practical road responsibilities may be limited or qualified by the Control of Roads Act 1953, and practitioners should not assume unilateral council authority over roads without looking at the Control of Roads Act.
• References and interpretive mapping may miss “equivalent” provisions. Section 8 declares that references to the repealed Act are taken as references to the Local Government Act 2019 or “the most equivalent provision of that Act.” Determining what is the “most equivalent provision” can be contested and may produce interpretive proceedings when an instrument’s subject-matter does not map neatly to a single Local Government Act 2019 provision. Parties and courts will need to resolve mapping disputes on a case-by-case basis.
• Absence of Schedule 3 in the supplied text. Section 9(1) saves by-laws “subject to the amendments made by Schedule 3.” The provided copy of the Act does not include Schedule 3. That absence is operationally important: practitioners cannot confirm the exact amendment text affecting preserved by-laws without consulting the complete Act as published. This is a documentary gotcha, practitioners should not rely solely on the provided excerpt.
• Potential gaps where specific subordinate regulation was repealed. Schedule 1 repeals instruments covering caravan parks, chemical preparations, community hall amendments, roads and public places, and regulations generally. Unless those regulatory functions are now captured within the Local Government Act 2019 or other instruments, there may be regulatory lacunae for issues previously governed by those instruments. Parties should check whether equivalent controls exist under the Local Government Act 2019 or whether new by-laws need to be made before the expiry of saved by-laws on 1 January 2025.
• Drafting precision on “on and from the commencement.” Multiple operative clauses use the phrase “on the commencement” or “on and from the commencement” (e.g. ss 5-9). Section 3 defines commencement as the commencement of section 4. Practitioners must therefore read the timing rules against s 3 and confirm the exact start date as per the Act’s formal commencement declared by the Administrator (s 2) and the endnotes’ dates.

These gotchas indicate that while the Act achieves a clear high-level reallocation of governance and assets, the transitional mechanics require careful instrument-level analysis to identify the continuing regulatory instruments, to map contractual consequences, to determine who bears which liabilities, and to design operational steps ahead of the 2025 by‑law expiry.

Practical compliance work under the Act requires action by three principal actors: the Territory, West Arnhem Regional Council and affected private parties (contract counterparties, residents, businesses). The following is a practical checklist, mapped to the Act’s sections, for different duties and risks created by the statutory changes.

Territory (per s 7(1))

• Inventory assets and liabilities transferred by statute. Prepare a detailed register of property, rights, liabilities and obligations taken to be those of the Territory under s 7(1). Determine which liabilities are contingent, secured, or otherwise encumbered.
• Establish claims-management procedures. Given that pre‑commencement liabilities now rest with the Territory, prepare processes for dealing with claims arising out of the Authority’s activities, including legacy contractual disputes, property claims and tort liabilities.
• Coordinate with West Arnhem where ownership and contract obligations intersect. Because s 7(1) vests ownership in the Territory but s 7(2) substitutes West Arnhem in contracts, create inter-governmental memoranda of understanding (MOUs) that allocate responsibility for ongoing operational costs, maintenance, and enforcement arising from assets and contracts.

West Arnhem Regional Council (per ss 6(1), 6(2), 7(2), 9)

• Contract due diligence and operational readiness. Review all contracts where the Authority was a party and confirm West Arnhem’s practical ability to perform. Where performance requires regulatory approvals, licences or expertise formerly held by the Authority, take steps to obtain necessary authorisations or to secure technical capability.
• By-law review and alignment. Identify all by-laws that continue under s 9(1), confirm which are not repealed by Schedule 1, and obtain Schedule 3 to see any amendments. Assess whether the continued by-laws comply with the Local Government Act 2019 formulation and decide whether to revise or repeal by-laws before the default repeal date of 1 January 2025 (s 9(2)(b)).
• Budget for local service provision. Prepare budgets for local governance in the Jabiru Town area, including roads management under s 271 of the Local Government Act 2019 (s 6(2)). Account for any limitations arising from the Control of Roads Act 1953 (s 6(2)) and from Aboriginal Land Rights constraints (s 6(1)).
• Engage with the community. Because by-laws saved under s 9 apply only to the Jabiru Town area (s 9(2)(a)), inform residents and businesses which regulatory regime now applies, and the timeframe to any prospective changes up to the 2025 repeal deadline.

Private parties and counterparties

• Contractual verification. Parties that had contracts with the Authority should identify whether their contract was in force immediately before commencement. Under s 7(2), West Arnhem is substituted for the Authority. Confirm whether contractual consent requirements or personal services provisions create any residual disputes; seek legal advice as necessary.
• Confirm regulatory status. Businesses and residents should determine whether the regulatory instrument affecting their activity remains in force, check Schedule 1 to see which subordinate legislation was expressly repealed and identify which by-laws are saved under s 9(1). Prepare for a potential change in regulatory requirements by 1 January 2025, when saved by-laws expire unless repealed earlier (s 9(2)(b)).
• Asset and title enquiries. Where property interests are concerned, seek confirmation from Territory land registries or counsel about the effect of the statutory transfer (s 7(1)) on title, leases, licences and encumbrances.

Operational and legal housekeeping (all parties)

• Obtain the complete enacted text including Schedule 3 and any expiring provisions referenced in the endnotes. The Act references Schedule 3 for amendments to saved by-laws (s 9(1)), but that Schedule is not included in the version supplied here. Confirm the full text in the Government Gazette or the consolidated statutes to determine the precise transitional amendments.
• Review cross‑statutory constraints. Check the Aboriginal Land Rights (Northern Territory) Act 1976 (Cth) for any continuing land‑rights obligations that affect development or local government action in Jabiru (s 6(1)). Consult the Control of Roads Act 1953 regarding any limitations on road-related functions assigned to West Arnhem (s 6(2)).
• Draft intergovernmental agreements. Because the Act separates asset ownership (Territory) from contractual performance and local governance (West Arnhem), a practical approach is to negotiate MOUs or service-level agreements between the Territory and West Arnhem to allocate costs, ongoing maintenance responsibilities and the defence of legacy claims.
• Timetable by-law reform. If existing by-laws are operationally inadequate or inconsistent with the Local Government Act 2019, begin the process of repealing or remaking them in line with council procedure well in advance of 1 January 2025 (s 9(2)(b)). Where Schedule 3 makes amendments, integrate those changes into the council’s regulatory programme.
• Public communication and regulatory certainty. Both governmental entities should publish guidance for residents, businesses and counterparties summarising which rules apply, where to direct claims, and what changes to expect before the 2025 sunset date on saved by-laws.

Administrative compliance and legal advice

• Seek targeted legal advice on contract substitution. Where contracts are complex, personal or involve third-party rights, obtain advice on whether s 7(2) fully resolves assignability issues or whether litigation risk remains.
• Update documentation and registers. West Arnhem and the Territory should update land, contract and asset registers to reflect the statutory transfers (ss 6-7), and re-issue notices where statutory substitution affects licensing or contracting status.

In sum, compliance under the Act is largely a matter of inventory, mapping and procedural transition: identify what transferred, determine who now performs contractual duties, reconcile ownership and operational responsibility between the Territory and West Arnhem, and manage the limited survival of by-laws pending the 2025 sunset. The Act provides the legal reallocation but leaves practical allocation of costs and operational responsibilities to administrative arrangements and to the underlying statutory architectures it references.
