What it does
This order transfers St Joseph’s Hospital (Auburn) from St Vincent’s Hospital Sydney Limited to Western Sydney Local Health District (WSLHD) and implements a set of linked legal and practical transfers on a single date. The order is named the Health Services (St Joseph’s Hospital) Order 2023 and commences on 8 November 2023 (name and commencement: s1; s2; transfer date defined in s3). The transfer is made under the Health Services Act 1997, section 64(1)(a), with section 4(1) stating the hospital itself is transferred to WSLHD on the transfer date. The order limits the scope of that transfer to the employees, assets, rights and liabilities specifically identified in Part 3 (s4(2)).
Mechanically, the instrument does the following, each on the transfer date: transfers specified trusts held by St Vincent’s as trustee to WSLHD (s6); transfers specified employees and their accrued entitlements to the WSLHD division of the NSW Health Service and makes WSLHD solely responsible for those accrued entitlements from the transfer date (s7(1)-(2)); requires St Vincent’s to pay to WSLHD an amount specified in the transfer deed representing those accrued entitlements and liabilities (s7(3)); transfers identified equipment and copyright-bearing documents to WSLHD, with WSLHD required to pay St Vincent’s the compensation amount specified in the transfer deed for equipment (s8(1)-(2)); transfers classes of patient records and certain employee records and other documents necessary for continuity of services, while leaving all other documents with St Vincent’s (s9(1)-(2)); and expressly excludes any interests in real property or fixtures, and generally excludes assets, rights and liabilities incurred before the transfer date except as the order provides (s10(1)-(2)).
The order also effects a consequential amendment to the Health Services Act 1997 by removing the hospital from the Schedule listing affiliated health organisations in relation to St Vincent’s (s5). A Part 3 note records that the Health Services Act, Schedule 4, clause 5(1) applies on and from the date specified in an order under s64(1)(a) transferring a public hospital of an affiliated health organisation to a local health district; that Schedule 4, Part 2 then has effect to the extent of the transfer. The order therefore operates as a standalone instrument that implements a transfer package largely by reference to a separately executed transfer deed, and leaves specific quantums for payments, identifications of transferring employees, equipment, documents and patient classes to that deed (see definitions in s3 and multiple cross‑references in Parts 2 and 3).
