sec.139 Attendance by proxy—particular board members
A board member mentioned in section 132 (1) (a) or (b) may attend a meeting of the board by proxy. The proxy holder— may participate in the meeting, and vote, on the board member’s behalf; and is to be counted for the purpose of deciding whether a quorum is present under section 138 . s 139 prev s 139 om 2024 No. 32 s 55 pres s 139 ins 2025 No. 14 s 42 (sec.139-ssec.1) A board member mentioned in section 132 (1) (a) or (b) may attend a meeting of the board by proxy. (sec.139-ssec.2) The proxy holder— may participate in the meeting, and vote, on the board member’s behalf; and is to be counted for the purpose of deciding whether a quorum is present under section 138 .
