Competition and Consumer (Industry Code—Sugar) Regulations 2017

The instrument constructs a small statutory architecture around contracts for sugar cane supply and for the on‑supply (sale) of raw sugar. The central concepts and the roles they play in the regime are:

• Supply contract (defined): a written contract between a grower and a mill owner for the supply of cane, required for a grower to supply cane for a crushing season (definitions; clause 7(1), (5)). The definition explicitly includes contracts "taken to have been made" following arbitration (definitions; subclause 12(2) and clause 17).
• Grower and mill owner: primary contracting parties. A grower supplies cane to a mill; a mill owner owns or controls a mill (definitions).
• On‑supply sugar and grower economic interest sugar (GEI): the code distinguishes between the raw sugar manufactured from a grower’s cane (on‑supply sugar) and the portion of that sugar for which the grower bears sale price exposure (grower economic interest sugar) (definitions; clause 10(1)(c)(ii)). These distinctions underpin pricing and marketing obligations.
• Related sugar pricing term and GEI sugar price exposure term: a supply contract may link cane payments to the sale price of on‑supply sugar (a related sugar pricing term), and where that exists it must specify how sale price exposure is allocated between the mill owner and the grower (clause 10(1)(b)-(c)).
• GEI sugar marketing term and nomination rights: where a grower bears price exposure, the contract must include a GEI sugar marketing term obliging the mill owner to have an agreement with a stated GEI sugar marketing entity to sell the amount of sugar corresponding to the grower’s GEI, and the grower may nominate that marketing entity unless the parties otherwise agree (clause 10(1)(d)-(e)).
• Good faith: the code imposes a standing obligation to act with good faith "within the meaning of the unwritten law from time to time" in relation to proposed and concluded supply contracts and on‑supply agreements, with additional express duties not to mislead, harass, intimidate or oppress (clause 5(1)-(3)). The code therefore imports common‑law uncertainty about the content of "good faith" while adding particular behavioural benchmarks.
• Arbitration: a two‑level arbitration mechanism appears. For disputes over proposed terms of supply contracts, a party may refer terms to arbitration (clause 12). For disputes about proposed terms of on‑supply agreements (applies to intended agreements for exported sugar and where parties are bodies corporate), clause 14 establishes appointment procedures, the Treasurer’s appointment power if parties do not agree, a 30‑day decision timeframe (extendable once), reliance on the Resolution Institute Arbitration Rules 2016 subject to the code, and cost allocations (clauses 14-19).
• Application constraints: the code applies only when at least one party is a corporation, the grower is not a related body corporate of the mill owner, and where no other Australian law specifically governs those supply contracts (clauses 4, 6 and 13(e); definitions referencing Corporations Act s 50 for related bodies corporate).

These concepts interlock: the supply contract requirements dictate what must be in a written, signed contract before supply; the good faith duty shapes negotiations; and arbitration is the statutory means of settling contested contractual terms, including on who bears price risk and who controls marketing of the GEI sugar. At each step the code uses defined concepts (for example on‑supply sugar, GEI) to allocate economic rights and responsibilities between growers and mill owners, and to preserve certain nomination and delivery rights for growers (clause 10).

The code and the Regulations identify discrete groups that will experience legal obligations or benefits, and specify the thresholds that pull parties into the regime.

• Growers: defined as persons who supply, or propose to supply, cane to a mill (definitions). A grower may supply cane for a crushing season only if there is a signed written supply contract with the mill owner (clause 7(1), (5)). Growers who are corporations or whose counterparty is a corporation will frequently be within the code’s scope; the code also applies to proposed supply contracts, so prospective growers are covered at negotiation stage (clause 4).
• Mill owners and mill‑related entities: mill owners, defined as entities owning or having control of a mill and including entities that control the business of a mill, are primary addressees of the code (definitions; clause 10 imposes duties on mill owners to bear certain sale price exposures for a proportion of on‑supply sugar and to have GEI marketing arrangements). Related body corporates of mill owners are mentioned in application tests and definitions (clauses 6, 13(e); definitions referencing Corporations Act s 50).
• Marketers: entities that make or negotiate agreements with mill owners to buy sugar manufactured by the mill are affected when negotiating on‑supply agreements for GEI sugar, and such negotiations are subject to the arbitration regime in Part 4 where the sugar is intended ultimately for export and other criteria are met (clause 13).
• Bargaining representatives and groups of growers: collective contracts are permitted (clause 9). A collective contract is a supply contract between two or more growers and a mill owner and each grower must sign. A group may appoint a bargaining representative with written authority from each grower in the group (definitions; clause 9(3)). That creates a mechanism for multi‑grower negotiation and potential scale effects.
• Interested third parties: an "interested third party may be a party to a supply contract between a mill owner and a grower" (clause 7(4)). The Regulations do not circumscribe the identity of such third parties in Schedule 1; their inclusion could alter contractual rights and allocation of obligations.
• Government actors: the Treasurer, in consultation with the Agriculture Minister, may appoint an arbitrator where parties fail to appoint within ten days and the applicant requests the Treasurer to appoint (clause 14(3)). The Minister administering s 51AE is required to cause a review of operation of the code to commence within 18 months (Regulation 7). Those powers place decision nodes in the hands of specified ministers and the Treasurer.

Who pays and who bears costs under the code is explicitly allocated in some instances. Clause 19 requires parties to arbitration to bear their own costs of attending and to be equally liable for key arbitration costs unless otherwise agreed (19(a)-(b)), and to be liable for other costs as determined by the arbitrator (19(c)). That means parties participating in arbitration will bear both direct arbitration costs and their own participation costs.

The code applies only in transactions where at least one party is a corporation and where the grower is not a related body corporate of the mill owner (clauses 4 and 6). It is also disapplied where another Australian law specifically relates to supply contracts and would apply (clause 6(c)). Part 4 (on‑supply agreement arbitration) additionally requires the sugar to be intended ultimately to be exported and both the mill owner and the marketer to be bodies corporate (clause 13(a), (c)).

This section lists the principal statutory duties imposed on different participants and the rights the code secures.

Primary duties

• Written, signed supply contracts: Growers may supply cane to a mill for a crushing season only if they have a supply contract for that season, and each party must sign the contract (clause 7(1), (2), (5)). The contract may be individual or collective (clause 7(3), 8, 9).
• Content of supply contracts: Every supply contract must include a term providing for the amount, or the basis for working out the amount, of the cane payment (clause 10(1)(a)). Unless otherwise agreed, it must include a related sugar pricing term linking the cane payment to the sale price of the on‑supply sugar (clause 10(1)(b)). Where such a related pricing term exists, it must also set out allocation of sale price exposure: the mill owner bears sale price exposure for a proportion and the grower bears sale price exposure for the remainder (GEI) (clause 10(1)(c)).
• Marketing and delivery obligations: If the contract includes a GEI sugar price exposure term, it must require the mill owner to have an agreement with a stated GEI sugar marketing entity to sell a quantity at least equal to the GEI sugar (clause 10(1)(d)(i)). Unless the parties otherwise agree, it must allow the grower to nominate the GEI sugar marketing entity (clause 10(1)(d)(ii)). If the grower nominates the marketing entity, the mill owner must deliver for sale the GEI sugar as directed within a stated reasonable period (clause 10(1)(e)); reasonableness is to be assessed with regard to likely period to deliver to a related body corporate of the mill owner (clause 10(3)).
• Good faith obligations: Each party to a supply contract or an on‑supply agreement must act towards another party with good faith according to the unwritten law from time to time in relation to the contract and the code; persons proposing to become parties must act in good faith in negotiation and dealings (clause 5(1)-(2)). The code expressly requires parties to act reasonably, fairly, honestly and co‑operatively and prohibits misleading, harassing, intimidating or oppressing the other party (clause 5(3)).

Arbitration duties and procedures

• Right to refer disputed proposed terms to arbitration: A party negotiating a supply contract may, by written notice, refer a dispute about any proposed term to an independent arbitrator appointed by the parties (clause 12(1)). For on‑supply agreements the initiating party may similarly give written notice (clause 14(1)-(2)).
• Appointment and default appointment: Parties are expected to appoint an arbitrator; if they do not agree within ten days and the initiating party requests it, the Treasurer, in consultation with the Agriculture Minister, may appoint an independent arbitrator (clause 14(3)).
• Time limits and process: The arbitrator must determine the term in dispute within 30 days (extendable once by up to 30 days with written notice and reasons) (clause 15(1)-(2)). The arbitrator may only decide by determining the term in dispute and must not determine a term that effects acquisition of property other than on just terms (clause 15(3)-(4)). The arbitration is conducted in accordance with the Resolution Institute Arbitration Rules 2016 except where inconsistent with the code (clause 16(2)).
• Costs: Parties must bear their own attendance costs; parties are equally liable for costs of the arbitrator, room hire and agreed additional input; arbitrator may allocate other costs (clause 19).

Rights preserved or created

• Grower nomination rights: Growers have, by default unless otherwise agreed, the right to nominate an entity to be the GEI sugar marketing entity if a GEI sugar price exposure term exists (clause 10(1)(d)(ii)).
• Collective bargaining options: Growers may enter collective contracts, appoint bargaining representatives with written authority from each grower, and a grower may be party to more than one collective contract (clause 9(1)-(5); definitions).
• Exclusivity of arbitration for specified disputes: Any dispute that may be referred to arbitration under Division 2 (supply contracts) must not be referred to arbitration under any other law of the Commonwealth, a State or Territory (clause 12(6)). That creates a statutory funnel that centralises pre‑contractual disputes covered by that Division into the code’s arbitration process.
• Contract formation by arbitration outcome: If each term in dispute has been determined under clause 15 (on‑supply arbitration), the parties are taken to have made an on‑supply agreement that includes agreed terms and determined terms (clause 17). Supply contracts are defined to include a supply contract taken to have been made because of subclause 12(2) and clause 17 (definitions).

Scope limits and constraints built into duties

• Corporate status and related‑party exclusions: The code’s substantive duties apply only when at least one party is a corporation and the grower is not a related body corporate of the mill owner (clauses 4 and 6). Part 4’s arbitration for on‑supply agreements requires both mill owner and marketer to be bodies corporate and that the sugar is intended ultimately to be exported (clause 13).
• Non‑application where other law applies: Division 1 does not apply if there is another Australian law that specifically relates to supply contracts and would apply to the supply contract between the grower and the mill owner (clause 6(c)). That is a statutory escape valve if specialised state or federal law governs supply contracts in a particular context.

Collectively, the code prescribes who must do what at negotiation and contract stage, creates enforceable nomination and delivery rights for growers, places process limits on dispute resolution (exclusive arbitration funnel), and sets timelines and cost sharing for arbitration.

The instrument’s text contains no express monetary penalties, criminal sanctions, or administrative fines in the schedule or regulations. Enforcement and practical legal consequences under the Regulations arise principally through the following mechanisms and legal effects contained in the instrument itself:

• Contractual effect and deemed formation: The code makes arbitration an enforceable pathway to settle disputed proposed terms and provides that where disputed terms are determined, parties are taken to have made the agreement including the determined terms (clause 17; definitions referencing subclause 12(2) and clause 17). That makes the arbitrator’s resolution a mechanism for producing binding contractual terms rather than a mere advisory opinion.
• Authorisation under competition law: Regulation 5 specifies that anything done in accordance with the code is specified and specifically authorised "for the purposes of subparagraph 51(1)(a)(ii) of the Competition and Consumer Act 2010." That language indicates the Regulations authorise conduct under the Competition and Consumer Act context referred to, rather than creating separate penalty provisions in the instrument itself (Regulation 5). The code is also prescribed for s 51AE purposes in Regulation 4.
• Procedural enforcement through arbitration: The code prescribes a formal arbitration procedure including appointment mechanics, timelines, applicable arbitration rules, and cost allocation (clauses 14-19). Clause 12(6) bars referral of disputes that may be referred under Division 2 to arbitration under any other law of the Commonwealth, a State or a Territory, which centralises enforcement of covered pre‑contractual disputes in the code’s specified procedure (clause 12(6)).
• Ministerial review and public oversight: Regulation 7 requires the Minister administering s 51AE to cause a review of the code’s operation to start within 18 months. That creates a political and administrative accountability mechanism; however the Regulation does not itself create enforcement sanctions (Regulation 7).
• Constitutional constraint on arbitrator powers: The arbitrator is prohibited from determining a term that would effect acquisition of property otherwise than on just terms, a restraint that limits the scope of orders that could otherwise be considered as enforcement remedies (clause 15(4)).

What the instrument does not provide

• The Regulations and the Schedule do not create express civil penalty provisions, enforcement powers to impose fines, or outline administrative enforcement by a regulator in the text supplied. The text does not set out a role for the ACCC or other enforcement agency within the Schedule; it only prescribes the code for the purposes of Part IVB of the Competition and Consumer Act 2010 (Regulation 4).
• There are no express criminal offences or specified infringement notices in the instrument.

Practical enforcement implication

• Enforcement will therefore be primarily contract‑based and process‑based: parties can rely on the contractual effects of the code and on arbitration outcomes to secure terms. The code’s authorisation under the Competition and Consumer Act 2010 (Regulation 5) may affect competition law exposure for conduct undertaken in conformity with the code, but the Regulations themselves do not set out a comprehensive enforcement regime in statutory penalty terms. The Treasurer and Agriculture Minister have limited appointment powers for arbitrators (clause 14(3)), and ministerial review is mandated (Regulation 7), producing administrative levers rather than penalties in the text provided.

All references above are to provisions in the Regulations and Schedule as enacted in the instrument supplied.

The Regulations expressly sit within the framework of the Competition and Consumer Act 2010. The instrument is made under that Act (Regulation 3) and, for the purposes of s 51AE of that Act, prescribes the Sugar Code of Conduct as a mandatory industry code under Part IVB (Regulation 4). Regulation 5 further declares that anything done in accordance with the code is specified and specifically authorised for the purposes of the subparagraph of the Act cited. Those provisions integrate the code with the federal competition statutory regime to the limited extent the Regulations state.

Interaction points and statutory cross‑references in the text:

• Competition and Consumer Act connection: Regulation 4 explicitly prescribes the Schedule as a mandatory industry code under s 51AE of the Competition and Consumer Act 2010 and Regulation 5 treats conduct in accordance with the code as specified conduct authorised for the stated purpose. The Regulations therefore rely on the Act for their statutory power and, to the extent stated, tie the code’s effect to that Act.
• Corporations and related bodies corporate: The code’s applicability and several definitions rely on corporate law concepts. The Schedule’s definitions refer to "related body corporate" using the meaning in s 50 of the Corporations Act 2001 (Schedule 1, definitions). The code only applies where at least one party is a corporation (clauses 4 and 6), and several exclusions hinge on related‑party definitions that reference the Corporations Act.
• Constitutional limits: Clause 15(4)-(5) incorporates constitutional property protections by prohibiting arbitrators from determining a term that would result in acquisition of property otherwise than on just terms, and by defining "acquisition of property" and "just terms" with reference to paragraph 51(xxxi) of the Constitution. That ties arbitrator limits into constitutional doctrine.
• Other Australian laws: Clause 6(c) provides that the Division concerning entering into supply contracts does not apply if there is another Australian law that specifically relates to supply contracts and would apply to the supply contract between the grower and the mill owner. The code therefore yields to other specific statutory regimes that govern supply contracts.
• Biosecurity Act and ministerial consultation: The code defines "Agriculture Minister" with the same meaning as in the Biosecurity Act 2015 (definitions). The Treasurer’s discretion to appoint an arbitrator under clause 14(3) is exercisable "in consultation with the Agriculture Minister," bringing an agricultural policy executive into the appointment process and linking to the Biosecurity Act’s ministerial architecture by definition.
• Arbitration rules: Clause 16(2) requires arbitrations to be conducted in accordance with the Resolution Institute Arbitration Rules 2016 except where inconsistent with the code. That imports an external set of procedural rules into the code’s dispute resolution process.

Constraints and exclusions

• The code’s territorial and subject‑matter limits are set by its own application tests. The code applies to contracts and proposed contracts where there is corporate involvement and where the grower is not a related body corporate of the mill owner (clauses 4 and 6). Part 4 on on‑supply agreements adds further limits, including that the sugar is intended ultimately to be exported and both parties are bodies corporate (clause 13).
• The code provides an exclusivity funnel for supply contract disputes covered by Division 2,those disputes must not be referred to arbitration under any other Commonwealth, State or Territory law (clause 12(6)). That is a direct interactional limitation on alternative arbitration processes.

What is not in the text

• The instrument does not set out how the code interacts with enforcement provisions elsewhere in the Competition and Consumer Act 2010 beyond prescribing the code for s 51AE purposes and declaring authorisation for conduct done in accordance with the code. The text does not explicitly identify regulator enforcement mechanisms or express penalty provisions within the Regulations themselves. Any further interaction with competition enforcement, civil penalties or other statutory remedies under the Act would need to be traced in the Competition and Consumer Act or in policy/administrative materials not provided here.

In sum, the Regulations sit inside the federal competition statute by prescription and authorisation language, use corporate law concepts from the Corporations Act for their application tests, import external arbitration rules for dispute resolution, and incorporate constitutional limits on acquisition of property. The code yields where another specific Australian law governs supply contracts.

The instrument as provided contains its original commencement information and no subsequent amendment entries in the text supplied.

• Date of enactment and commencement: The Regulations are signed by the Governor‑General and Treasurer with a commencement table stating "The whole of this instrument" commences the day after registration, with the specified commencement date of 5 April 2017 (Regulation 2 and the commencement table). The Regulations are therefore originally made and commenced in April 2017.
• No amendments recorded in the supplied text: The instrument’s commencement table includes a note that the table relates only to the provisions as originally made and will not be amended to deal with later amendments of the instrument. The supplied Schedule and Regulations contain no amendment notes, no schedules of later variations, and no inserted or editorial notes indicating subsequent changes. Where the Regulations have been amended after the version supplied, those amendments are not present in the text before you.
• Built‑in review requirement: Regulation 7 requires the Minister administering section 51AE of the Competition and Consumer Act 2010 to cause a review of the operation of the Sugar Code of Conduct to be undertaken, and that the review must start before the end of the period of 18 months after commencement of Regulation 7. This creates a statutory expectation of early administrative review of the code’s operation and therefore an opportunity for adjustment in light of experience; the instrument does not itself specify who conducts the review, the review’s terms of reference, or whether the review would lead to amendment. The review provision is procedural and not a direct amendment mechanism.
• Procedural notes and non‑substantive text: Regulation 2 contains a note that column 3 of the commencement table is not part of the instrument and may be edited in published versions. This is an administrative drafting note rather than an amendment.

If users need the current, up‑to‑date amended text, they should check the consolidated instrument as kept in official legislative databases. The supplied text documents the original form and the statutory review obligation but does not record subsequent amendments or the results of the required review.

The supplied instrument contains no references to judicial decisions, no recorded litigation history, and no cases cited in the text.

• No cases named in the instrument: The Regulations and the Sugar Code of Conduct in Schedule 1 refer to external statutory materials (Competition and Consumer Act 2010, Corporations Act, the Constitution) and to the Resolution Institute Arbitration Rules 2016, but do not cite or mention any judicial decisions or prior litigation concerning the code or its subject matter.
• High Court jurisdiction: Regulation 6 expressly states the code is not intended to affect the jurisdiction of the High Court under section 75 of the Constitution. That preserves the constitutional forum but is a preservation clause rather than a citation of litigation (Regulation 6).
• Arbitration as the principal dispute resolution pathway: The code’s emphasis on arbitration for disputed terms and the deeming of agreements produced by arbitration (clauses 12, 14-19, 17) means disputes under the code are designed to be resolved by arbitrators in the first instance. The instrument does not state whether arbitral determinations are subject to judicial review or appeal beyond the usual grounds applicable to arbitration in Commonwealth or State law; those matters are not set out in the text supplied.
• Absence of public law enforcement details: The code does not set out a named regulator’s enforcement powers or a list of enforcement actions and penalties for contravention in the text provided, so any litigation that would arise is likely to be contract‑based or to involve court supervision of arbitral awards under applicable arbitration legislation and common law (material not contained in the instrument itself).

Given the absence of litigation references and the code’s arbitration orientation, the instrument is procedurally self‑contained in the sense that the Schedule establishes the contractual and pre‑contractual remedies it intends to provide. Any litigation history that exists post‑commencement is not recorded here and would need to be sought in case law databases and registries.

This instrument contains a number of features that create legal uncertainty, process‑risks, or behavioural effects that parties should notice and plan for. The following are concrete, text‑based "gotchas" drawn from specific clauses.

Good faith defined by the unwritten law

• The code’s good faith duty is expressed as acting "with good faith, within the meaning of the unwritten law from time to time" (clause 5(1)-(2)). That imports common‑law uncertainty about good faith’s content and leaves parties to look to evolving case law to determine what actions are compliant. The code then adds a list of illustrative obligations (act reasonably, fairly, honestly and co‑operatively; do not mislead, harass, intimidate or oppress) (clause 5(3)), but the core reference to unwritten law means contested interpretation is likely.

Mandatory written and signed supply contracts and deemed formation by arbitration

• Growers may only supply cane for a crushing season if they have a written, signed supply contract (clause 7(1), (5)). Subclause 12(2) and clause 17 mean a supply contract can be "taken to have been made" as a result of arbitration. Parties who think they can rely on informal understandings risk a statutory bar to supply without a signed contract.

Exclusive arbitration funnel and limitation on alternative arbitration

• Clause 12(6) bars referral of disputes covered by Division 2 to arbitration under any other Commonwealth, State or Territory law. Parties who typically might rely on another arbitration mechanism or on other procedural frameworks should note that the code creates a statutory exclusivity for pre‑contractual supply contract disputes falling under Division 2.

Tight arbitration timelines and limited remedies

• The arbitrator must determine the term in dispute within 30 days of appointment, extendable once by up to 30 days (clause 15(1)-(2)). Parties used to prolonged expert procedures or discovery processes may find the timetable compressed. The arbitrator may only decide the dispute by determining the term in dispute (clause 15(3)), and is expressly prohibited from determining a term that would effect acquisition of property other than on just terms (clause 15(4)), constraining inventive remedial formulations.

Cost allocation and attendance costs

• Clause 19 requires parties to bear their own costs of attending arbitration and to be equally liable for the arbitrator’s fee and other core costs unless otherwise agreed. That creates potential financial exposure for smaller participants, especially if multiple disputes are referred. The arbitrator can also determine other costs (clause 19(c)).

Scope limitations that can affect applicability

• The code applies only where at least one party is a corporation and the grower is not a related body corporate of the mill owner (clauses 4 and 6). Parties who are close affiliates should check related‑party status under the Corporations Act s 50 (definition referenced) to determine applicability.
• Division 1 does not apply where "there is another Australian law that specifically relates to supply contracts and that would apply" (clause 6(c)). That requires parties to research other legislation that might pre‑empt the code in a given transaction.

Grower nomination rights and restrictions

• While growers may, by default, nominate a GEI sugar marketing entity (clause 10(1)(d)(ii)), clauses 12(3)-(5) protect growers in pre‑contractual arbitration from being unreasonably treated less favourably than if a mill‑related entity were the marketing entity. Clause 12(4) prohibits a term that unreasonably treats the grower less favourably, and 12(5) gives a concrete example (paying more for a service than if a mill‑related entity were the marketing entity). These provisions create an evidential onus in arbitration to compare head‑to‑head outcomes.

On‑supply Part restricted to exported sugar and corporate counterparties

• Part 4 applies only where the sugar is intended ultimately to be exported, and where both mill owner and marketer are bodies corporate (clause 13(a), (c)). Domestic transactions or arrangements with non‑corporate marketers are not covered by Part 4’s arbitration machinery.

Ministerial appointment and consultation

• If parties fail to appoint an arbitrator within 10 days after notice and the initiating party asks the Treasurer to appoint, the Treasurer may appoint in consultation with the Agriculture Minister (clause 14(3)). That places a political or administrative authority in a procedural step, which could become a delay point or a tactical element in contested disputes.

Terminology and definitional narrowness

• The code defines "sugar" to exclude by‑products (such as molasses) (definitions). Parties negotiating arrangements involving by‑products should be clear that those are outside the code’s definition of sugar and may therefore be treated differently contractually.

Scope of "interested third party"

• Clause 7(4) allows an interested third party to be a party to a supply contract but does not define that term or limit the kinds of rights such a party may take. That ambiguity could produce unexpected contractual relationships.

No express penalties in the instrument

• The absence of penalty clauses in the text provided means compliance risk is primarily contractual and procedural; however the code is prescribed under the Competition and Consumer Act framework (Regulation 4) and conduct done in accordance with the code is authorised (Regulation 5). The interplay between that authorisation and other statutory remedies under the Act is not spelled out here and should be checked in the Act and associated administrative guidance.

These "gotchas" are derived directly from the instrument’s text. Parties and advisers should map them to factual circumstances, especially where arbitration is likely or where nomination and pricing mechanics will determine revenue flows.

Operationally complying with the code requires interventions at contracting, negotiation, governance and dispute‑resolution stages. Below are concrete steps and process controls that a mill owner, grower, marketer, bargaining representative or other involved party should put in place to align with the code’s obligations and procedural rules, with references to the specific clauses.

1. Determine applicability before acting (clauses 4, 6, 13)

   • Confirm whether at least one party is a corporation. If not, many obligations in Part 2 and Part 3 may not apply (clause 4).
   • Confirm that the grower is not a related body corporate of the mill owner, using the Corporations Act s 50 definition referenced in the code (clause 6(b); definitions).
   • Check whether another Australian law specifically relating to supply contracts applies to the transaction; if it does, Division 1 may not apply (clause 6(c)).
   • For on‑supply agreement rules, confirm whether the sugar is intended ultimately to be exported and whether both parties are bodies corporate (clause 13(c), (a)).

2. Ensure written, signed supply contracts before supply (clause 7)

   • Do not accept cane deliveries for a crushing season without a written supply contract signed by each party (clause 7(1), (5)).
   • Contracts may be individual or collective; collective contracts require signature by each grower in the group (clauses 7(3)-(5), 9(1)-(2)).

3. Include mandatory contract terms (clause 10)

   • Include a term providing the cane payment amount or the basis for calculating it (clause 10(1)(a)).
   • Unless the parties expressly agree otherwise, include a related sugar pricing term linking the cane payment to the sale price of the on‑supply sugar (clause 10(1)(b)).
   • If a related sugar pricing term is included, include a term specifying sale price exposure allocation: mill owner bears sale price exposure for a stated proportion; grower bears exposure for the remainder (GEI sugar) (clause 10(1)(c)).
   • If a GEI sugar price exposure term exists, include a GEI sugar marketing term requiring the mill owner to have an agreement with a stated GEI marketing entity to sell at least the GEI sugar quantity; document grower nomination mechanics and mill owner’s delivery obligations within a stated reasonable period (clause 10(1)(d)-(e); 10(3)).

4. Preserve and document grower nomination rights

   • If growers are to retain the right to nominate a GEI marketing entity, record that right expressly in the contract; if the mill owner will sell, that should be stated to remove clause 10(1)(d) application per clause 10(2).
   • If growers nominate an entity, ensure the supply contract states the mill owner’s obligation to deliver for sale as directed within a reasonable period; the contract can define the reasonable period in light of clause 10(3).

5. For collective bargaining, establish written authority and representation (clause 9)

   • Collect groups must ensure each grower signs the collective contract and that any bargaining representative has the written authority of each grower in the group (definitions; clause 9(2)-(3)).
   • Maintain clear records of authorisations to ensure enforceable representation.

6. Observe the good faith standard in negotiations and contract performance (clause 5)

   • Train staff and negotiators on the code’s behavioural standards: act reasonably, fairly, honestly and co‑operatively; avoid misleading, harassing, intimidating or oppressing conduct (clause 5(3)).
   • Recognise that the code references the unwritten-law conception of good faith, so maintain careful documentary records of negotiation positions and rationales to justify compliance in any dispute.

7. Use the code’s arbitration procedure where disputes about proposed terms arise (clauses 12, 14-19)

   • For proposed supply contract terms, a party may give written notice to refer a disputed proposed term to arbitration (clause 12(1)). Ensure notices are in writing and document the dispute particulars.
   • For on‑supply agreement disputes, the initiating notice must state which term is disputed, the nature of the dispute and the outcome sought (clause 14(2)). Keep copies of notices and related communications.
   • If parties cannot agree on an arbitrator within 10 days, the initiating party may request the Treasurer to appoint an arbitrator; the Treasurer may appoint after consultation with the Agriculture Minister (clause 14(3)). Factor potential administrative delay into commercial timetables.
   • Expect arbitrator determination within 30 days, extendable once by up to another 30 days (clause 15). Monitor timelines closely and escalate time critical elements promptly to the arbitrator.

8. Plan for arbitration costs and attendance costs (clause 19)

   • Budget for each party to bear their own attendance costs and to be equally liable for the arbitrator’s fees, room hire, and any agreed additional inputs unless the parties agree otherwise (clause 19(a)-(b)).
   • Recognise the arbitrator’s residual cost allocation power for other costs (clause 19(c)). Consider funding arrangements for arbitration in advance, especially for smaller parties.

9. Avoid attempting to compel an arbitrator to determine terms that would amount to acquisition of property other than on just terms (clause 15(4))

   • Draft dispute notices and arbitration submissions with awareness of constitutional constraints on arbitrators. Do not seek terms that would violate the prohibition in clause 15(4).

10. Keep clear records of "interested third party" participation and signatures (clause 7(4))

• If an interested third party is to be a party to the supply contract, define their rights, obligations and signature lines in the written contract to avoid later disputes.

11. Monitor for other laws that might pre‑empt or alter the code’s application (clause 6(c))

• Undertake a legal review to identify any other Australian law that "specifically relates to supply contracts" for the transaction. If such a law exists, Division 1 may not apply and different compliance steps may be necessary.

12. Prepare internal policies and compliance training

• Implement governance procedures to ensure contracting and negotiation teams comply with the code’s signing, term content, nomination, good faith and arbitration procedures.
• Establish an escalation path for disputes to ensure adherence to the notice requirements and time frames in clauses 12 and 14-15.

13. Track ministerial review timelines and possible changes

• The code requires a review to start within 18 months after commencement of Regulation 7 (Regulation 7(2)). Monitor the review process and be ready to adapt standard form contracts and practices if the review recommends changes.

14. Seek legal advice before relying on the code’s authorisation under the Competition and Consumer Act

• Regulation 5 states that anything done in accordance with the code is specified and specifically authorised for a stated subparagraph of the Competition and Consumer Act. Parties should obtain legal advice about the practical effect of that authorisation on competition‑law risk in their particular arrangements.

Following these steps will align operational practices with the code’s written obligations, manage arbitration exposure and reduce transaction risk. Keep documentary evidence of negotiation positions and performance decisions, as that will be material in any arbitration under the code.
