sec.32 Voting at board meetings
Each director present at a board meeting has a vote on each question to be decided at the meeting. A question at the board meeting is decided by a majority of the votes of the directors present at the meeting and able to vote on the question. A director present at the board meeting who abstains from voting on a question is taken to have voted for the negative unless the director abstains because the director has disclosed a material personal interest in the question. If the votes are equal, the director presiding at the board meeting also has a casting vote. When considering a question, directors must have regard to any material from, or comments by, the general manager given to the directors about the question.
