Collie Hardwood Plantation Agreement Act 1995

The Act rests on a small set of interlocking concepts recorded expressly in the text.

The Agreement. Section 3 defines “the Agreement” as the Collie Hardwood Plantation Agreement in Schedule 1, and includes that agreement as varied in accordance with its own provisions. The Schedule is the operative contract. It contains standard commercial clauses and explicit State undertakings (Schedule cll 1-7).

Timber sharefarming agreements and agency. The recitals state that timber sharefarming agreements as described in s 34B of the Conservation and Land Management Act 1984 may be or will be acquired by, or entered into by, the Executive Director of the Department of Conservation and Land Management as agent of the Company, pursuant to a Deed of Agency and Indemnity (Schedule preamble). The arrangement therefore contemplates the Executive Director acting as agent of the private company for acquisition or entry into timber sharefarming agreements on Crown land under the framework of the Conservation and Land Management Act 1984.

State undertakings and limits on State action. Clause 4 of the Agreement lists specific promises the State gives “during the term of this Agreement.” Those undertakings are granular. They include:

• no expropriation or confiscation of timber standing or felled produced by or on behalf of the Company under the Company’s timber sharefarming agreements, or wood chips made from that timber (cl 4(a));
• no imposition, or permitting of imposition, by State agencies or local authorities of discriminatory taxes, rates or charges on or in respect of the Company’s timber sharefarming agreements, the timber produced thereunder, or wood chips (cl 4(b));
• no discrimination in processing the Company’s applications related to production or processing for export (cl 4(c));
• no imposition of restrictions preventing export by the Company of timber produced under its timber sharefarming agreements (cl 4(d));
• subject to relevant safety considerations, no material obstruction by the State or its agencies of the Company’s operations, transportation of timber, or processing for export or transportation of wood chips (cl 4(e));
• on request, making representations to Commonwealth authorities for licences or consents necessary for export (cl 4(f)); and
• not causing the Executive Director to breach either the Deed of Agency and Indemnity or the Company’s timber sharefarming agreements (cl 4(g)).

Variation and parliamentary oversight. Clause 5 allows the parties to vary the Agreement by written agreement. Clause 5(2) requires the Minister to lay any such agreement on the Table of each House of Parliament within 12 sitting days, and clause 5(3) provides a simple parliamentary disallowance mechanism: either House may, within twelve sitting days after the agreement has been laid, pass a resolution disallowing it, and if neither House disallows the agreement in that period it takes effect from the last day on which it might have been disallowed.

Term and termination. Clause 6 fixes the Agreement’s term to the shorter of: the date the Company ceases to have rights or obligations under any of the timber sharefarming agreements, or 30 June 2030. The Agreement therefore creates time-bound protections.

Choice of law and jurisdiction. Clause 7 provides that the Agreement shall be interpreted according to the law of Western Australia and that the parties submit to the exclusive jurisdiction of the courts of Western Australia and to courts hearing appeals from those courts.

Statutory supremacy for this Agreement. Section 4(3) of the Act declares the Agreement operates and takes effect despite any other Act or law, subject to the Government Agreements Act 1979. That is a limited supremacy mechanism expressed in the Act itself and read alongside the Government Agreements Act 1979.

Administrative actors named. The Agreement involves the Premier signing for the State, Hansol Australia Pty Ltd as the Company, the Executive Director of the Department of Conservation and Land Management acting as agent under a deed, the Minister (for layings of variations), and State agencies, instrumentalities, local or other authorities referenced for undertakings and obligations. The Commonwealth and Commonwealth authorities are referenced as the addressees of State representations where federal licences or consents may be needed (cl 4(f)).

These concepts together create a statutoryised private agreement that both constrains and facilitates particular activities , specifically plantation establishment, timber production and export , through a combination of State promises, agency arrangements for timber sharefarming agreements, a parliamentary oversight mechanism for variations, and a fixed term.

The Act and its Schedule identify a focused set of affected parties. State the affected persons and institutions explicitly named in the text and the contractual mechanics that flow from those identifications.

Hansol Australia Pty Ltd. The Schedule names Hansol Australia Pty Ltd as the Company party to the Agreement; the Agreement is executed in its favour and grants the Company the bundle of protections and expectations recorded in clause 4. The Company is required to comply with Western Australian laws in its operations in WA (Schedule cl 3). The Agreement’s protections apply “during the term of this Agreement” (Schedule cl 4 heading and cl 6).

The State of Western Australia and its instrumentalities. The State is a contracting party, represented by the Premier in the Schedule. The State and its agencies, instrumentalities and local or other authorities are both recipients of specific obligations and the objects of prohibitions. Clause 4 forbids the State and its agencies or instrumentalities, and any local or other authority of the State, from taking various adverse actions in respect of the Company’s timber sharefarming agreements and the timber produced under them (cl 4(a)-(e)). The State is also obliged to make representations to Commonwealth authorities on request (cl 4(f)), and not to cause the Executive Director to breach the Deed of Agency and Indemnity (cl 4(g)).

The Executive Director, Department of Conservation and Land Management. The recitals and preamble identify the Executive Director of the Department of Conservation and Land Management as the public official who may acquire or enter into timber sharefarming agreements as agent of the Company, under a Deed of Agency and Indemnity (Schedule preamble). The Agreement contains an express promise that the State will not cause the Executive Director to breach either the Deed of Agency and Indemnity or the Company’s timber sharefarming agreements (cl 4(g)).

Other State agencies, instrumentalities and local authorities. Clause 4 repeatedly frames prohibitions in terms of the State not imposing or permitting its agencies, instrumentalities or any local or other authority of the State to impose particular burdens or to obstruct the Company’s operations (cl 4(b), (c), (e)). That means local government entities and State instrumentalities are bound by the State’s undertaking to refrain from discriminatory charges, from discriminatory processing of applications, and from material obstruction, during the term.

Commonwealth authorities. The Agreement contemplates interaction with Commonwealth regulatory competence. Clause 4(f) records a State undertaking to make representations to the Commonwealth or to the Commonwealth’s constituted agency, authority or instrumentality for any licence or consent under Commonwealth law necessary to enable the Company to export timber produced under the Company’s timber sharefarming agreements. The text therefore recognises and anticipates that export licences or consents may be required from Commonwealth bodies.

Timber sharefarmers and third parties. The Schedule contemplates “timber sharefarming agreements” that will be acquired or entered into by the Executive Director as agent of the Company. The Act does not itself create or reproduce those individual timber sharefarming agreements. Persons or private parties who might enter into timber sharefarming agreements with the Executive Director are not named in the Act; nevertheless, their legal position will be affected indirectly because the Agreement governs the rights and obligations of the Company in relation to timber produced by or on behalf of the Company under those timber sharefarming agreements (see preamble and cl 4).

Parliament and the Minister. Variation of the Agreement is subject to a procedure that requires the Minister to lay any variation before Parliament and permits either House to disallow a variation within twelve sitting days (Schedule cll 5(2)-(3)). That makes both the executive (the Minister) and the Parliament active participants in the life of post-ratification variations.

Courts. Clause 7 submits the parties to the exclusive jurisdiction of the courts of Western Australia and to courts hearing appeals from those courts. That identifies WA courts as the forum for interpreting and enforcing the Agreement.

Absent classes. The Act does not purport to confer private rights on unspecified third parties or to displace the normal operation of federal law where federal competence applies; it records only the State’s undertaking to make representations to Commonwealth bodies. The Act does not create new statutory offences, nor does it set out regulatory sanctions against third parties.

In short, the text identifies the Company, the State and its instrumentalities, the Executive Director as a specific agent, Parliament, the Minister, Commonwealth authorities as counterparts for representations, and Western Australian courts as the forum for disputes. Other persons are affected indirectly through the timber sharefarming agreements that the Agreement contemplates, but the Act does not set out the contents of those individual agreements.

The Act itself is short. Most duties and rights are set out in the Agreement in Schedule 1. The following catalogues the primary contractual rights and obligations created by the Schedule, with the statutory ratification and supremacy framework that underpins them.

Statutory duties and rights created by the Act. Section 4(1) ratifies the Schedule Agreement and section 4(2) authorises its implementation. Section 4(3) states that the Agreement operates and takes effect despite any other Act or law, subject to the Government Agreements Act 1979. Those provisions impose a statutory duty on the State to give effect to the Agreement, and they create a statutory right for the Company to rely on the Agreement’s terms against the State and its instrumentalities.

Company duties. The Agreement requires the Company to “in its operations in Western Australia comply with and observe the laws for the time being in force in Western Australia” (Schedule cl 3). That is an affirmative compliance obligation on the Company.

State undertakings. The Agreement contains an enumerated set of obligations the State gives during the term of the Agreement (Schedule cl 4). The State’s undertakings are phrased primarily as prohibitions on State action and as promises to take specified steps:

• Non-expropriation: The State shall not expropriate or confiscate timber standing or felled produced by or on behalf of the Company under the Company’s timber sharefarming agreements or wood chips made from that timber (cl 4(a)). This is an express promise that the State will refrain from expropriation or confiscation of the specified materials during the term.

• No discriminatory taxes, rates or charges: The State shall not impose, nor permit any of its agencies, instrumentalities or any local or other authority to impose discriminatory taxes, rates or charges of any nature on or in respect of the Company’s timber sharefarming agreements, the timber produced thereunder, or wood chips made from that timber (cl 4(b)). That creates a protection against discriminatory fiscal burdens targeted at the Company’s activities as described.

• No discrimination in processing applications: The State shall not discriminate against the Company in processing the Company’s applications relating to production, processing into wood chips, or other activities described (cl 4(c)).

• Freedom to export: The State shall not impose restrictions that prevent the export by the Company of timber produced under the Company’s timber sharefarming agreements (cl 4(d)).

• Non-obstruction subject to safety: Subject to relevant safety considerations, the State shall not materially obstruct, nor permit its agencies, instrumentalities or local authorities materially to obstruct, the Company’s operations, transportation of timber produced under the Company’s timber sharefarming agreements, or processing for export or transportation of wood chips (cl 4(e)). The safety caveat is part of the wording.

• Representations to Commonwealth: On request by the Company, the State shall make representations to the Commonwealth or to any Commonwealth constituted agency, authority or instrumentality concerned for the grant to the Company of any licence or consent under Commonwealth law necessary to enable or permit the Company to export timber produced under the Company’s timber sharefarming agreements (cl 4(f)). This is a procedural obligation to advocate on the Company’s behalf at Commonwealth level; it does not itself procure any Commonwealth licence.

• Protection of agency arrangements: The State shall not cause the Executive Director to breach either the Deed of Agency and Indemnity or the Company’s timber sharefarming agreements (cl 4(g)). That is a protective promise designed to preserve the agency relationship contemplated in the preamble.

Variation duties and parliamentary oversight. Clause 5 allows the parties to vary the Agreement by written agreement. Under clause 5(2) the Minister must cause any variation to be laid on the Table of each House of Parliament within twelve sitting days following execution. Clause 5(3) provides that either House may disallow the variation within twelve sitting days after it has been laid, and if neither House disallows, the variation takes effect. The Minister therefore has an administrative duty to table variations promptly and Parliament has a right to disallow them within the specified window.

Temporal limits on duties and rights. Clause 6 fixes the Agreement’s term. All of the State’s undertakings and the Company’s rights under the Agreement endure only “during the term of this Agreement,” which ends on the earlier of when the Company ceases to have rights or obligations under the timber sharefarming agreements, or 30 June 2030. That restricts the duration of contractual protections.

Choice of law and jurisdiction. Clause 7 imposes a duty on the parties to submit to Western Australian law and to the exclusive jurisdiction of WA courts. That provides the Company with a clear forum for enforcement, and binds the State and Company to litigate or seek remedies in WA courts.

Limits and contours evident in the text. Several features narrow or condition the core rights and duties:

• Clause 3 requires the Company to obey WA law; the Agreement does not create an immunity from applicable WA statutes in the Company’s operations.

• Clause 4(e) is expressly subject to “relevant safety considerations,” which allows the State to uphold safety regulations even where a material obstruction prohibition might otherwise apply.

• Clause 4(f) obliges the State to make representations to Commonwealth authorities on the Company’s behalf, but does not bind the Commonwealth to grant licences or consents. The Agreement therefore creates a State-level advocacy duty but not any direct power to compel Commonwealth decision-making.

• Section 4(3) of the Act indicates the Agreement operates despite any other Act or law, but that statement is limited by the Government Agreements Act 1979; the Agreement’s supremacy should be read in that statutory context.

There are no penalty clauses, offence provisions, or administrative sanction regimes set out in the Act or in the Schedule. Enforcement therefore proceeds by reliance on the Agreement as a statutoryised contract, with WA courts as the forum for any dispute resolution or remedy, subject to the parties’ submissions in clause 7.

The statutory text contains no express criminal offences, administrative penalties, or specific enforcement procedures beyond ratification, parliamentary oversight of variations, and the parties’ submission to WA courts. The Act’s enforcement architecture must be read from what is present, and from what is not.

Absence of express penalties. Neither the Act nor the Agreement in Schedule 1 prescribes fines, imprisonment, licence revocation mechanisms, specific administrative sanctions, or statutory enforcement machinery for breaches of the Agreement. The Schedule contains contractual undertakings by the State and an obligation on the Company to comply with WA laws, but it does not purport to create offences or to direct administrative agencies to impose penalties.

Judicial forum for disputes. Clause 7 expressly provides that the Agreement “shall be interpreted according to the law for the time being in force in the State of Western Australia and the parties hereto irrevocably submit to the exclusive jurisdiction of the courts of Western Australia and to courts hearing appeals from those courts.” That is the explicit jurisdictional provision. Because the Agreement has been ratified by the Act (s 4(1)-(2)) and operates despite other Acts or laws subject to the Government Agreements Act 1979 (s 4(3)), the Agreement’s rights and duties are intended to be litigable in Western Australian courts.

Parliamentary oversight as a procedural enforcement mechanism for variations. The Agreement establishes a mechanism for parliamentary oversight of variations: the Minister must lay variations before each House within twelve sitting days (Schedule cl 5(2)), and either House may disallow a variation within twelve sitting days after it has been laid (cl 5(3)). That mechanism gives Parliament a supervisory role regarding post-ratification changes, functioning as a prospective check on variations rather than as a remedial penalty for breach.

Statutory supremacy and its enforcement implications. Section 4(3) gives the Agreement operational priority “despite any other Act or law,” without limiting the application of the Government Agreements Act 1979. The practical effect of that language is to create an argument that the Agreement’s terms apply even where inconsistency might otherwise arise under other WA statutes, subject to the Government Agreements Act 1979’s own constraints. Enforcement of such supremacy would be a matter for courts to determine; the Act does not create a specialised tribunal or fast-track enforcement process.

Limitations and uncertainty arising from the text. Because there are no express remedies specified in the Agreement or Act, enforcement and penalties for breach rest on general principles of law as applied by WA courts to the statutoryised contract. The Agreement does not set out contractual dispute-resolution procedures such as arbitration clauses, nor does it provide specific injunctive or compensatory regimes. The Agreement’s clause 7 submission to WA courts is therefore the principal procedural anchor for enforcement.

Interactions with Commonwealth competence. Clause 4(f) anticipates that some matters , notably export licences or consents , may require decisions by Commonwealth authorities. The State’s obligation in that clause is to make representations to Commonwealth bodies on the Company’s behalf; it does not bind Commonwealth bodies to grant licences or make decisions. If a dispute arises over the State’s representations or over Commonwealth refusals, the enforceable rights available to the Company under the Agreement are limited to what the State has promised to do, and cannot directly compel the Commonwealth to act.

No direct enforcement against third parties. The Agreement’s prohibitions are directed at the State, its agencies, instrumentalities and local authorities. The Agreement does not create separate statutory obligations or penalties directed at private third parties who might interfere with the Company’s operations.

In summary, the Act and Schedule provide a statutory basis for the Agreement and identify WA courts as the forum for disputes, but they do not create a separate administrative penalty or enforcement apparatus. Breach resolution will therefore arise through ordinary court processes applying contract and public law principles to the statutoryised agreement, subject to the interpretive and supremacy provisions recorded in the Act.

The Act and Schedule explicitly state and circumscribe the Agreement’s relationship with other state and Commonwealth laws.

Express statutory precedence, with a statutory caveat. Section 4(3) provides that the Agreement “operates and takes effect despite any other Act or law,” but it includes a limiting phrase, “Without limiting or otherwise affecting the application of the Government Agreements Act 1979.” The text therefore creates a statutory precedence for this Agreement against other Acts or laws to the extent that the Government Agreements Act 1979 allows or contemplates such an effect. The Government Agreements Act 1979 is not reproduced in the Act; the Act preserves its application. The direct consequence is that, by statute, the Agreement is intended to be effective where there would otherwise be inconsistency with other WA Acts, subject to the constraints of the Government Agreements Act 1979.

Interaction with the Conservation and Land Management Act 1984. The Schedule’s preamble contemplates timber sharefarming agreements “as described in section 34B of the Conservation and Land Management Act 1984” being acquired by, or entered into by, the Executive Director as agent of the Company under a Deed of Agency and Indemnity. That means the proposed acquisitions or entries into timber sharefarming agreements are to be made under the statutory framework of the Conservation and Land Management Act 1984. The Agreement does not displace or rewrite the Conservation and Land Management Act 1984; rather it anticipates and operates in conjunction with that framework by specifying the Executive Director’s role as agent and by promising the State will not cause the Executive Director to breach the Deed of Agency and Indemnity or the timber sharefarming agreements (Schedule cl 4(g)).

Safety regulation carve-out. Clause 4(e) provides that the State shall not materially obstruct the Company’s operations “Subject to relevant safety considerations.” That language expressly recognises that safety regulations, which are often the subject of separate statutes and administrative rules, remain viable grounds for State action even where other prohibitions in the Agreement would otherwise prohibit obstruction. The Agreement therefore contemplates coexistence with safety and related public-protection laws.

Commonwealth law and export controls. Clause 4(f) acknowledges that licences or consents under Commonwealth law may be necessary to enable the Company to export timber produced under the timber sharefarming agreements. The State’s obligation is to make representations to the Commonwealth on the Company’s behalf; the Agreement does not bind Commonwealth authorities or purport to override federal statutory competence. In other words, where federal licensing or consents are required, the State can advocate but cannot itself grant those Commonwealth licences, and the Agreement does not purport to alter Commonwealth law.

Parliamentary oversight and the separation of powers. Clause 5 requires that variations be tabled in Parliament and affords either House a right to disallow such variations within a specified timeframe. That procedure ties the executive power to vary the Agreement to parliamentary scrutiny. The Agreement therefore interacts structurally with parliamentary processes, and Parliament can exercise an oversight veto within the specified period.

No explicit displacement of general State law compliance. Clause 3 requires the Company to comply with WA law in its operations. That clause demonstrates the Agreement was not intended to operate as a licence to disregard general statutory regimes. At the same time, section 4(3) creates a statutory argument for prioritising the Agreement where inconsistency would otherwise occur, subject to the Government Agreements Act 1979. The net effect is a tension that the courts would resolve: the Company must obey WA laws generally, but it also has express statutoryised contractual protections where the Agreement otherwise conflicts with other laws.

No novel Commonwealth remedies or changes to federal jurisdiction. The Act does not purport to alter federal jurisdiction, nor does it purport to alter federal statutory obligations directly. The Agreement recognises Commonwealth competence by providing for State representations to Commonwealth bodies when federal licences are needed.

In sum, the Act establishes the Agreement as a statutory instrument with a primacy clause vis-à-vis other Acts or laws (s 4(3)), while preserving the application of the Government Agreements Act 1979, recognising the operative framework of the Conservation and Land Management Act 1984 for timber sharefarming, acknowledging safety considerations and Commonwealth licensing, and lodging variation oversight with Parliament. Where conflicts remain, the Act makes the Agreement a statutoryised right and duty that courts will need to interpret against the background of those other instruments.

The Act’s own amendment history is compact and is recorded in the compilation notes attached to the text.

Original Agreement and parliamentary passage. The Agreement (Schedule 1) is dated 4 January 1994 and records that the State agreed to introduce and sponsor a Bill to ratify the Agreement and endeavour to secure its passage by 31 December 1994 or such later date as agreed by the parties (Schedule cl 1). The Act itself received assent on 1 November 1995 and commenced on the same day, as recorded in the compilation table and s 2. That means the parliamentary ratification occurred after the date contemplated in the Agreement’s cl 1 target.

Compilation and reprint information. The compilation table in the Notes records the Act as No. 47 of 1995, assented on 1 November 1995 and commencing the same day (see Notes and Compilation table). A reprint (Reprint 1) of the Act is noted as being current as at 4 April 2003.

Formatting amendment. The Standardisation of Formatting Act 2010 (No. 19 of 2010) s 4 amended a heading (the schedule heading s 3) and the commencement for that amendment is recorded. The compilation table notes the Standardisation of Formatting Act 2010 effected a heading amendment to s 3, with assent on 28 June 2010 and commencement on 11 September 2010 (see Notes).

No substantive legislative amendments recorded in the text provided. The compilation table and notes do not record any substantive amendments to the operative content of the Collie Hardwood Plantation Agreement Act 1995 beyond the standardisation/formatting change indicated. The Schedule clause 5 contemplates variations to the Agreement by written agreement between the parties; such variations (agreements) are required to be laid before Parliament and are subject to disallowance as a matter of parliamentary procedure (Schedule cl 5(2)-(3)). Variations agreed under clause 5 may therefore change the Agreement’s terms without further primary legislation, provided those variations are not disallowed by either House within the procedural time limit.

Practical effect for successors and external actors. Clause 6 fixes the Agreement’s term to 30 June 2030 or until the Company ceases to have rights or obligations under the timber sharefarming agreements, whichever occurs earlier. Any future legislative or contractual amendments after the ratification date would therefore need to operate within the temporal bounds and procedural constraints the Agreement sets. The Act itself does not record any later substantive amendment beyond the formatting adjustment.

In summary, the act was passed and commenced in November 1995, the Schedule Agreement is dated January 1994, and the only recorded amendment in the compilation notes is a formatting heading amendment effected by the Standardisation of Formatting Act 2010. Any further changes to the Agreement’s substantive terms would be effected under Schedule cl 5, subject to parliamentary tabling and potential disallowance.

There is no litigation history recorded in the Act or in the Schedule text provided. The statute and the Schedule include an explicit submission to the exclusive jurisdiction of the courts of Western Australia (Schedule cl 7), which establishes the intended forum for litigation, but the text does not catalogue any judicial decisions, disputes, or enforcement proceedings under the Agreement.

What the text does provide relevant to litigation is procedural and jurisdictional framing:

• Clause 7 provides the parties’ choice of law and choice of forum, submitting to the exclusive jurisdiction of WA courts and WA law for interpretation of the Agreement. That is the clause a litigant would cite to assert WA court jurisdiction.

• Section 4(3) asserts that the Agreement operates despite any other Act or law, subject to the Government Agreements Act 1979. In litigation, that provision would be a central point of contention where a party argues the Agreement prevails over another statutory regime. The text does not indicate how that question has been resolved in any case.

• Clause 5(2)-(3) sets out a parliamentary disallowance procedure for variations. If a variation were disallowed, there is no internal dispute-resolution clause in the Agreement for contesting a parliamentary disallowance; such a contest would raise constitutional and parliamentary-practice questions not addressed in the Agreement text.

Absence of recorded cases or decisions in the provided material. The document includes no references to any cases, litigation outcomes, or determinations by WA courts. The compilation notes and the Schedule do not list any judicial treatment of the Agreement. Therefore, based on the source provided, no litigation history exists to summarise.

For practitioners and researchers, that absence means any enforcement or dispute questions arising under the Agreement would likely require fresh legal analysis and would depend on court interpretation of the Agreement’s statutory ratification, the scope of s 4(3) supremacy, and the interplay with the Government Agreements Act 1979 and other relevant statutes such as the Conservation and Land Management Act 1984.

The Act and the Schedule contain several features that practitioners should note because they create legal frictions, potential uncertainty, or procedural conditions that materially affect rights and expectations. Each point below is grounded in the text.

1. Supremacy language subject to Government Agreements Act 1979. Section 4(3) declares the Agreement “operates and takes effect despite any other Act or law,” but the clause expressly preserves application of the Government Agreements Act 1979. That leaves open how far the Agreement displaces other statutory regimes; the Government Agreements Act 1979 may impose limits or procedures that the Agreement must respect. The text does not specify boundaries beyond that reservation, so any conflict will turn on how those statutes interact and on judicial interpretation.

2. Company still must obey WA law. Clause 3 requires the Company to comply with WA laws. There is a potential tension: the Company has statutoryised contractual protections under clause 4, but it remains subject to regulatory regimes generally. That means the Company cannot assume a blanket immunity from all regulation; rather the Agreement provides specified protections. The presence of clause 4(e)’s “subject to relevant safety considerations” confirms safety and similar regulatory regimes can still regulate operations.

3. No express assignment or succession mechanics. The Agreement fixes rights to the Company and to timber sharefarming agreements to be entered into by the Executive Director as agent of the Company. The Agreement does not set out how, or whether, the Company’s rights and obligations can be assigned, novated or transferred. Clause 6 ties the Agreement’s duration to the Company’s continuing rights and obligations under timber sharefarming agreements, but there is no explicit provision addressing successors, change of control, or assignment. That is a practical risk for investors, lenders, and potential purchasers.

4. Parliamentary disallowance window for variations creates post-agreement uncertainty. Clause 5 allows parties to vary the Agreement by written agreement, but requires the Minister to lay any variation before Parliament and gives either House twelve sitting days to disallow it. Until the disallowance window closes, there is a period of political risk. Moreover, a variation that is later disallowed will not take effect from the date it was executed if it is disallowed within the specified period; conversely, absence of disallowance within the window causes the variation to take effect. That timetable is a procedural risk for parties relying on rapid contractual adjustments.

5. Enforcement mechanisms not specified. The Agreement and Act do not provide a bespoke enforcement or remedy regime. There are no specified penalties, fast-track remedies, or administrative enforcement powers. Parties seeking redress will rely on ordinary court processes in WA. That raises questions about the speed and certainty of remedies, particularly where urgent injunctive relief might be required.

6. Limited protection against Commonwealth decisions. Clause 4(f) obliges the State to make representations to the Commonwealth for licences or consents the Commonwealth controls. That is an advocacy obligation, not a guarantee of federal approval. If a Commonwealth licence is refused, the Agreement does not create a State remedy that compels federal action. Parties must therefore be cautious where export or customs permissions fall under Commonwealth jurisdiction.

7. “Discriminatory” fiscal prohibition undefined. Clause 4(b) prevents the State or its agencies from imposing “discriminatory taxes rates or charges of any nature whatsoever” on the Company’s timber agreements or products. The term “discriminatory” is not defined in the Agreement. That could generate interpretive disputes about what constitutes discrimination versus general taxes, levies, or charges applicable to multiple enterprises or sectors. The Act supplies no interpretive gloss.

8. Safety caveat can be invoked to obstruct operations. Clause 4(e) conditions the non-obstruction promise on “relevant safety considerations.” That phrase is open-ended and could be invoked by State authorities to justify material restrictions on operations, transport or processing if framed as safety measures. That reduces the absolute certainty of non-obstruction promises.

9. Dependence on the Deed of Agency and Indemnity. The Agreement assumes the existence and terms of a Deed of Agency and Indemnity between the Executive Director and the Company. The Agreement contains a State promise not to cause the Executive Director to breach that Deed or the timber sharefarming agreements (cl 4(g)). If the Deed is ambiguous, limited, or later amended, the State’s ability to deliver the promised agency arrangements may be constrained. The text of the Deed is not in the Schedule; practitioners must locate and review it.

10. Temporal limits. The Agreement expires on 30 June 2030 or earlier if the Company ceases to have rights or obligations under timber sharefarming agreements (cl 6). The finite term means protections are not perpetual. Parties should plan for transition post-2030 and for the contingencies that might cause the Agreement to end earlier.

11. No express third-party rights. The Agreement focuses on the Company and the State. It does not create statutory third-party rights for persons who might be timber sharefarmers or third-party contractors. That may complicate enforcement where third parties are affected by, or seek to rely on, the Agreement’s protections.

12. Parliamentary timing mismatch. The Agreement’s cl 1 envisaged the Bill to ratify the Agreement being passed before 31 December 1994, but the Act was assented to on 1 November 1995. That historical timing slippage is not itself legally problematic now, but it demonstrates that the process of legislative ratification may not follow the parties’ initial expectations, and that timeline risks exist in practice.

Each of these features is visible in the text and creates particular practical, legal and timing risks that parties and advisers should address when structuring transactions or planning reliance on the Agreement.

Compliance under the Act/Agreement is a combination of adhering to ordinary public law obligations and following the specific contractual duties recorded in the Schedule. The following practical checklist is grounded in the statutory and contractual text.

1. Ensure WA law compliance. The Agreement requires the Company to comply with and observe laws in force in Western Australia in its operations in WA (Schedule cl 3). That means the Company must obtain all statutory licences, permissions and approvals that applicable WA statutes require for plantation establishment, land use, harvesting, transport and processing, subject to the specific protections provided by the Agreement.

2. Document and maintain the Deed of Agency and Indemnity. The Executive Director is to act as agent for the Company under a Deed of Agency and Indemnity to acquire or enter into timber sharefarming agreements (Schedule preamble). The Company should ensure the Deed is drafted clearly, signed, and that its terms are consistent with the Agreement’s expectations. The State has undertaken not to cause the Executive Director to breach that Deed (cl 4(g)), so maintaining an up-to-date copy and recording the State’s authorisations is essential.

3. Record and monitor timber sharefarming agreements. The Agreement’s protections apply to timber produced by or on behalf of the Company under the Company’s timber sharefarming agreements. The Company should keep an auditable record of those agreements, the rights and obligations conferred, and any transfer or termination events affecting them, because clause 6 ties the Agreement’s term to the Company’s ongoing rights and obligations under those timber arrangements.

4. Maintain compliance and be prepared to litigate in WA courts. Clause 7 submits disputes to the exclusive jurisdiction of WA courts. The Company should ensure legal representation capable of litigating in those courts and should maintain contemporaneous records of State interactions, representations, and any denials or obstructions, to preserve evidence for potential litigation.

5. Engage early with State agencies on exports and Commonwealth consents. If Commonwealth licences or consents are needed to export timber, clause 4(f) obliges the State to make representations upon request, but does not secure federal consents. The Company should identify federal approvals required and seek the State’s representations early, while simultaneously applying to the relevant Commonwealth authorities and preparing any evidence those bodies typically require.

6. Monitor local and State charges and discriminatory treatment. Clause 4(b) protects the Company against discriminatory taxes, rates or charges imposed by the State, its agencies or local authorities. The Company should track any new charges or rates that may affect timber operations and document whether they are general or targeted. If a charge appears discriminatory, contemporaneous evidence of differential treatment should be preserved for potential dispute.

7. Safety compliance and interaction with the non-obstruction undertaking. Clause 4(e) is subject to “relevant safety considerations.” Companies should ensure compliance with safety laws and standards, and where the Company believes a purported safety measure amounts to “material obstruction,” it should notify the State and seek to resolve the matter administratively while preserving rights to judicial remedy.

8. Use the variation clause properly. If the Company and State agree a variation to the Agreement, the Minister must lay the variation on the Table of each House of Parliament within 12 sitting days (Schedule cl 5(2)). The Company should obtain assurances that the Minister has lodged the variation and monitor the parliamentary sitting calendar, because either House may disallow the variation within twelve sitting days (cl 5(3)). Do not assume a variation is effective until either the disallowance window has passed or the parties have otherwise confirmed its status.

9. Prepare for end of term. Clause 6 sets out the Agreement’s expiry triggers. Parties should plan for the period approaching 30 June 2030, and for contingencies where the Company ceases to have rights or obligations under the timber sharefarming agreements earlier. Consider legacy arrangements, potential renewals, or drafting successor agreements with the State well in advance.

10. Address assignment and change of control. The Agreement does not expressly address assignment, novation or change of control. If the Company expects to sell, transfer or securitise its rights, seek express contractual protections or a written State consent procedure to avoid uncertainty. Obtain clarity from the State on how assignments of the Company’s position under timber sharefarming agreements will be treated.

11. Retain contemporaneous records of State representations and agency conduct. Because the Agreement gives the State duties of non-obstruction and to make representations to Commonwealth agencies on request, keep contemporaneous records of all requests, explanations and State responses. That documentation will be valuable to demonstrate compliance with procedural steps and to support any claim the Company may bring in WA courts if the State fails to fulfil its obligations.

12. Seek legal advice before relying on “despite any other Act or law.” Section 4(3) gives the Agreement precedence vis-à-vis other Acts or laws subject to the Government Agreements Act 1979. Before relying on that supremacy in operational decisions, obtain legal advice on the scope and limits of the Government Agreements Act 1979 and on any possible constraints from other statutory regimes, particularly those relating to land use, environmental protection, native title, and public safety.

13. Check third-party and public consultation obligations. While the Agreement itself focuses on the Company and the State, operational approvals under WA law may require environmental assessments, public consultation or compliance with native title processes. The Company should map the statutory approval routes (especially under the Conservation and Land Management Act 1984 and other applicable statutes) and meet any procedural requirements independent of the Agreement.

14. Prepare for federal interface. Where export controls, customs or other Commonwealth regulatory requirements apply, do not assume State representations will suffice. Simultaneous engagement with the relevant Commonwealth agencies is necessary.

Following this checklist aligns with the text’s express duties and rights (Schedule cll 3, 4, 5, 6, 7 and s 4). It recognises the dual character of the instrument as both a contractual agreement set out in the Schedule and as a statute that ratifies and authorises its implementation, subject to parliamentary oversight for variations and to the limits recorded in the Act and in the Government Agreements Act 1979.
