#### 97 Qualifications of directors 97 Qualifications of directors > Subject to sections 94 (Employee directors) and 95 (Alternate directors), a person is not eligible to be a director of a society if the person— > > > (a) is a minor, or > > > (b) is not— > > > > > (i) a member of the society, or > > > > > (ii) the representative, appointed under section 74 (Corporate membership), of a body corporate member of the society, or > > > (c) is an employee of the society, or > > > (d) is bankrupt, has applied to take the benefit of any law for the relief of bankrupt or insolvent debtors, compounded with his or her creditors or made an assignment of his or her remuneration for their benefit, or > > > (e) is prohibited from being a director of a body corporate by the Corporations Act for a reason other than the person’s age, or > > > (f) has been convicted in the last 10 years— > > > > > (i) of an indictable offence in relation to the promotion, formation or management of a body corporate, or > > > > > (ii) of an offence involving fraud or dishonesty, or > > > > > (iii) of any prescribed offence. > > **s 97:** Am 2001 No 34, Sch 4.11 \[13\].
