Chattel Securities Regulations 1988

The regulations directly affect any creditor or financier taking a security interest over goods that fall within the register’s scope. In practice, that means banks, credit unions, finance companies, motor vehicle dealers, farm machinery sellers, marine lenders, and private sellers who finance the purchase of their vehicle or vessel. Creditors who need to perfect their interest for priority purposes must lodge registrations under the Act, using the regulations to determine what data to supply, what fee to pay, and by what method.

Debtors or purchasers of used goods are indirectly affected. A buyer of a second-hand vehicle, farm machine, or pleasure vessel who wishes to ensure the goods are free of undisclosed security interests can search the register. The regulations do not impose duties on debtors to register, but the failure of a creditor to register under the Act may leave the debtor in a position where the interest is not perfected against third parties, affecting the debtor’s ability to sell the goods free of the interest.

Account customers, typically large institutional lenders, are directly affected by the fee payment structure. They must apply to the Commissioner for account customer status and then comply with invoicing arrangements. High-volume users benefit from reduced administrative overhead but must ensure they keep accurate records of all applications made under their account.

The Register of Encumbered Vehicles and the Commissioner are responsible for maintaining the register, accepting applications, and processing changes. The regulations prescribe the format of the register but do not impose duties on the Commissioner beyond those in the Act.

Finally, the regulations affect anyone who applies for a change to a registration. Section 21 of the Act allows prescribed changes, and regulation 7 limits those to corrections of clerical errors, changes in a registration number under external licensing regimes, and changes directed by a court order. This narrow scope means that substantive changes to the interest itself require a new application, not an amendment.

The regulations create few duties directly, as most substantive duties arise under the Act itself. The key duties and rights that do appear are administrative in nature.

Duty to pay fees. Regulation 6(1) provides that the fees in Schedule 1 are payable for the matters specified. Regulation 6(2) creates a potentially significant duty: if an application under section 15, 20, or 23 of the Act relates to more than one item of goods, the prescribed fee is payable for each item. This prevents bulk filing at a single fee and forces creditors to treat each item separately, increasing transaction costs for volume registrations. The fee must be paid at the time the application is made, unless the applicant is an account customer, in which case fees are paid on invoice (regulation 6(4)).

Right to be an account customer. The definition of account customer implies a right to apply to the Commissioner for such status. The regulations do not specify criteria for approval, so the Commissioner retains discretion. This creates uncertainty for would-be account customers who cannot predict approval.

Right to correct clerical errors. Regulation 7(a) allows a change to the register to correct a clerical error. This right is limited: it does not cover substantive errors such as an incorrect interest type or wrong debtor details. If the error is material but not clerical, the only remedy appears to be a new application or a court order.

Right to change registration number. Regulation 7(b) permits a change when the registration number of the goods changes under one of the listed licensing Acts. This is important because the register includes the registration number as an identifier; if it changes, the interest could become unsearchable. The creditor has a duty to keep the registration number current.

Right to apply under court order. Regulation 7(c) allows a change directed by a court of competent jurisdiction. This is a narrow safety valve but provides a mechanism to resolve disputes that cannot be handled by clerical correction.

Time of application. Regulation 5 provides that an application is deemed to have been made when the particulars to be entered in the register have been correctly provided and the application is accepted at the office of the Register of Encumbered Vehicles. This means a creditor cannot rely on the moment of submission; acceptance is the trigger for priority. The creditor bears the risk of delay or rejection until acceptance occurs.

The regulations themselves do not create penalties. Enforcement and penalties are addressed in the Chattel Securities Act 1987, primarily through provisions dealing with false statements, failure to register, and priority consequences. However, the regulations have indirect enforcement effects through the operation of the registration system.

Failure to comply with the regulations means the application may be rejected, leaving the interest unperfected. For example, if a creditor applies for registration of an interest in farm machinery but the machinery does not meet all five criteria in regulation 8(1), the goods are not prescribed and the application is invalid. The creditor then has no registration, meaning the interest may be defeated by a later registered interest or by a buyer in good faith.

The most common enforcement risk arises from the fee structure. If an applicant fails to pay the correct fee, the application is not accepted, and the deemed time of application under regulation 5 cannot occur. There is no grace period for fee payment; the time of acceptance is the critical moment.

For account customers, failure to pay rendered invoices could lead to the Commissioner revoking account customer status. The regulations do not specify revocation grounds, but the Commissioner’s general power to permit such arrangements implies a power to withdraw permission.

The prescribed changes regime (regulation 7) restricts amendments to three categories. If a creditor seeks to amend a registration in any other way, the application for change will be refused. The creditor must instead lodge a new application, which involves paying a fresh fee and obtaining a later registration time. This is a de facto penalty for failing to get the registration right the first time.

There is no express penalty for failing to update a registration number when it changes under regulation 7(b), but the consequence is that the register entry becomes misleading. A searcher using the old registration number will not find the interest, and the creditor may lose priority against a subsequent registered interest.

The regulations sit as subordinate legislation under the Chattel Securities Act 1987 (WA). They do not operate in a vacuum and expressly cross-reference several other pieces of legislation, creating a network of dependencies.

Road Traffic (Vehicles) Act 2012. The definition of registration number for road vehicles depends on this Act. The regulations also link to the vehicle identification number provisions in the Road Traffic (Vehicles) Regulations 2014. This means that a change to the road traffic legislation, such as a new VIN marking standard, automatically flows through to the chattel securities system without amendment to these regulations.

Taxi Act 1994 and Interstate Road Transport Act 1985 (Cth). These Acts provide alternative registration number systems for taxis and interstate transport vehicles. Registration numbers under these Acts are treated as primary identifiers for the purpose of the register. This recognises that some goods operate under multiple licensing regimes and ensures a single registration system can accommodate them.

Navigable Waters Regulations 1958. For pleasure vessels, the regulations rely heavily on these regulations for registration numbers, hull identification numbers, and the definition of vessel. The effect is that the chattel securities system imports the marine regulatory framework. If a vessel is not registered under the Navigable Waters Regulations, it cannot be the subject of a registration under these regulations.

Western Australian Marine Act 1982. The definition of pleasure vessel and vessel comes from this Act, creating another cross- dependency.

Shipping Registration Act 1981 (Cth). Regulation 8(2)(c) excludes from the prescribed goods any pleasure vessel that is registered under this Commonwealth Act. This prevents double registration between the state and federal systems for larger vessels. The policy choice is to let the federal regime govern for ships above a certain size, while the state system covers smaller vessels.

Fisheries Act 1905 (repealed). Regulation 8(1)(e) excludes certain fishing boats and equipment from the definition of prescribed farm machinery. The reference to a repealed Act is an historical anomaly; subsequent amendments did not update it to the current Fish Resources Management Act 1994. This could create uncertainty about whether a fishing boat used as farm equipment is excluded.

Reprints Act 1984. The regulations are reprinted under this Act, and the compilation table follows the standard format.

The regulations also interact with the Act’s priority rules. Registration under the regulations in accordance with the Act gives a creditor priority over unregistered interests and over later registered interests. This interaction is the whole point of the system.

The regulations have been amended fourteen times since their making in 1988. The compilation table shows the following key changes.

Initial making. The regulations were gazetted on 5 August 1988 and commenced on 29 August 1988.

1989 amendments (No. 2 and No. 3). The No. 2 amendment on 20 January 1989 made changes to the definitions. The No. 3 amendment on 30 June 1989 commenced 1 July 1989. The gazette notice for these is not fully reproduced but likely adjusted the prescribed goods or fees.

1990 amendment (commenced 16 April 1990). This was a major amendment that replaced the original regulation 8 on prescribed goods, inserting the detailed definition of farm machinery and adding pleasure vessels as prescribed goods. It also amended regulation 4 (register contents) and regulation 3 (definitions).

1996 amendment (commenced 4 November 1996). This rewrote regulations 6 and the fee schedule. It introduced the account customer concept and the rule that fees are payable per item for multi-item applications. It also amended regulation 3 to add definitions of account customer and financier’s reference number, and adjusted regulation 4.

2001 amendment (commenced 14 May 2001). This amendment updated references to the Navigable Waters Regulations, added the hull identification number definition, and amended regulation 8 to include pleasure vessels more fully.

2003 amendment (commenced 14 February 2003). Minor amendment to regulation 3.

2005 amendment (commenced 1 July 2005). Replaced Schedule 1 with the current fee structure and introduced the two-tier fee for online/email versus other applications.

2006 amendments (two). The No. 2 amendment on 27 June 2006 changed fees from 1 July 2006. A separate amendment on 22 September 2006 made other changes, possibly to fees or procedures.

2011 and 2012 amendments. Both increased fees from 1 July of those years.

2013 amendment. Deleted regulations 9 and 10, and Schedules 2 and 3. The deletion removed now-obsolete provisions.

2015 amendment. Updated references to the Road Traffic (Vehicles) Act 2012 and Road Traffic (Vehicles) Regulations 2014, which replaced older road traffic legislation. Also added the vessel definition.

The most significant structural change was the 1990 introduction of farm machinery and pleasure vessels as prescribed goods, and the 1996 rewrite of the fee provisions. The steady stream of fee amendments reflects indexation or government revenue decisions rather than policy changes.

The source text does not contain any reference to court cases interpreting these regulations. The researcher should note that the regulations are subordinate legislation and are typically litigated only indirectly, as part of disputes over priority under the Act. The narrow scope of the regulations (fee amounts, data fields, prescribed goods criteria) means they rarely generate standalone judicial consideration.

Interpretive questions that could arise include whether an item of farm machinery meets the definition in regulation 8(1) , for example, what constitutes “motive power of its own” or “provision for a person to control the machinery by being seated”. The exclusion for fishing equipment under the repealed Fisheries Act might also generate scope disputes. The concept of “clerical error” in regulation 7(a) could be litigated if a creditor attempts to amend a substantive error by claiming it is clerical.

The deemed time of application under regulation 5 may also be tested. A creditor who submits correct data but the application is not accepted for some internal reason could dispute whether the application was effectively made. The regulation is clear that acceptance is required, but what constitutes acceptance is not defined.

Despite these potential issues, reported case law is sparse. The system has operated largely administratively, with disputes resolved through the ordinary operation of the Act, not the regulations themselves.

The regulations contain several traps for the unwary creditor or compliance officer.

Multiple goods, multiple fees. Under regulation 6(2), if an application relates to more than one item of goods, the prescribed fee is payable for each item. A creditor cannot lodge a single application for a fleet of vehicles at one fee. This increases transaction costs for bulk filings and means that careful enumeration of goods is essential.

Deemed time of application. Regulation 5 provides that an application is made only when the particulars are correctly provided and the application is accepted. A creditor who submits an application on a Friday cannot assume the priority date is Friday if the office does not accept until Monday. The risk of acceptance delay falls on the applicant.

Amendment restricted to clerical errors. Regulation 7 limits changes to clerical errors, registration number changes, and court-ordered changes. If a creditor discovers a substantive error , wrong interest type, missing debtor name, incorrect expiry date , the only remedy is to lodge a new application, which will obtain a later registration time and may lose priority.

Exclusion of fishing equipment. Farm machinery is excluded if it is a boat with a fisheries licence or a professional fisherman’s fishing equipment (regulation 8(1)(e)). The exclusion refers to the repealed Fisheries Act 1905, which has been replaced by the Fish Resources Management Act 1994. This creates a statutory interpretation problem: does the old reference have continuing effect, or must a court update it? A creditor dealing with farm machinery that might be used for fishing should tread carefully.

Pleasure vessel registration requirement. A vessel cannot be registered under these regulations unless it is already registered under the Navigable Waters Regulations 1958 and has a hull identification number affixed (regulation 8(2)). This means a creditor cannot register an interest in an unregistered vessel; the debtor must first register the vessel with the marine authority. This adds steps and delays.

VIN/chassis number distinction by year. For motor vehicles, the identifier field depends on the year of manufacture. A creditor must know whether the vehicle was manufactured before or after 1 January 1989 and use the correct primary identifier (chassis number for pre-1989, VIN for post-1989). Using the wrong identifier may render the registration ineffective.

Account customer approval uncertain. The regulations give no criteria for becoming an account customer. A creditor who applies for account status may be refused for reasons unknown. This can affect planning for high-volume filers.

No provision for partial interest or split interests. The regulations require a type of interest to be entered, but do not specify how to record partial or multiple interests in the same goods. A creditor with a part interest may not have a clear entry format.

Fee increases not automatic. The fee schedule is set by regulation and must be amended by gazette. The frequent amendments (six fee changes between 2005 and 2015) mean that creditors must check the current fee before lodging, or risk rejection for underpayment.

Compliance with the regulations is straightforward if a creditor follows a systematic process.

First, determine whether the goods are registrable. The Act covers certain goods described in section 13(a) to (c), which the regulations do not amend. The regulations add farm machinery and pleasure vessels under section 13(d). Check that the goods meet the specific criteria: for farm machinery, ensure it is unlicensed under the Road Traffic (Vehicles) Act, has all required numbers (chassis/serial, engine, model), has its own motive power, has a seated operator position, and is not fishing equipment. For pleasure vessels, confirm the vessel is registered under the Navigable Waters Regulations, has a hull identification number, and is not under the Commonwealth Shipping Registration Act.

Second, gather the required particulars. Regulation 4 lists the data fields for motor vehicles and farm machinery (subsection (1)) and for pleasure vessels (subsection (2)). Ensure you have the correct identifiers: for motor vehicles, determine manufacture year and use chassis number or VIN accordingly; for farm machinery, use serial number or chassis number; for vessels, use registration number and hull identification number. Include the financier’s reference number, interest type, and expiry date.

Third, pay the correct fee. Refer to Schedule 1. The fee depends on the section under which the application is made. Most initial registrations are under section 15, fee $5.50 (online or email) or $6.20 (other). Discharge applications (section 20) are $1.50. Section 23(1)(a) applications (search or other) are $3.95; section 23(1)(b) are $2.80. If applying for more than one item, pay the fee per item. If you are not an account customer, pay at the time of application.

Fourth, submit the application. The regulations encourage online or email submission by offering a lower fee. The application is deemed made only when accepted, so follow up to confirm acceptance.

Fifth, monitor for changes. If the registration number of the goods changes (e.g., a new number plate is issued), apply under regulation 7(b) to update the entry. If you discover a clerical error, apply under regulation 7(a) for correction.

Sixth, keep records. The financier’s reference number allows you to link entries to your internal systems. Maintain a register of all registrations, including the registration time and date.

Seventh, manage account customer status if applicable. Apply to the Commissioner for approval. Once approved, pay fees on receipt of invoices. Ensure all applications made under the account are accurately recorded so you can reconcile invoices.

Eighth, for discharges, use section 20 of the Act. The fee is low, but ensure the application correctly identifies the existing registration.

Ninth, if a court orders a change, apply under regulation 7(c) providing the order.

Tenth, stay up to date with fee changes and definitional updates. The regulations are amended periodically, and the fee schedule has changed frequently. Check the current version before any lodgement.
