AUSTRALASIA RAILWAY (SPECIAL PROVISIONS) REGULATIONS 2000

The Regulations rest on a small set of concrete legal and administrative concepts. Each concept is implemented by specific text and creates identifiable decision nodes.

• Contractual pass-through of statutory civil penalties (s 28C). The Regulations create a statutory permission and framework for contractual allocation. They allow a successful consortium and its contractors to contract so that, where the consortium is required to pay a civil penalty under s 28B because of an obligation breach, and that breach “arose, in whole or in part, from a breach by the contractor” of its agreement with the consortium, the contractor is required to pay the whole or part of the civil penalty to the consortium (s 28C(1)(a)-(b)). The statute then converts that contractual obligation into a debt due to the consortium, irrespective of whether damage occurred and irrespective of proportionality between penalty and damage (s 28C(2)(a)-(b)).

• Application and modification of relief against forfeiture (s 10A). The Regulations apply sections 136-140 of the Law of Property Act 2000 to “registered leases” connected to the corridor and Port of Darwin, subject to the modifications the section prescribes or regulations make (s 10A(1)(a)). The applied provisions are defined as sections 136-140 “as modified and applied under this section” (s 10A(12)). The Court’s gatekeeping obligations are specified: the Supreme Court must grant relief against forfeiture under particular conditions and must refuse in defined circumstances; the section prescribes notice, reasonable cure periods, and remedies or compensation depending on whether breaches are remediable (s 10A(3)-(4)). Sublessees and registered security holders receive statutory standing to apply for relief, and the Court is directed to prefer preserving headleases where possible (s 10A(5)-(9)). Section 10A(10) requires new leases granted under s 139(1)(d) of the applied provisions to include express terms that they will terminate automatically on termination of the Concession Deed.

• Ministerial contracting power inconsistent with Crown Lands Act (s 10AA). The Crown Lands Minister may enter, in the name of the Territory, agreements relating to termination or forfeiture of a corridor lease, even if inconsistent with the Crown Lands Act 1992 termination and forfeiture provisions (s 10AA(1)). The provision defines “Crown Lands Minister” for this purpose (s 10AA(2)).

• Exclusion of specific Law of Property provisions (s 10B). Sections 134 and 141 of the Law of Property Act 2000 are declared not to apply to subleases over parts of the corridor or to Port of Darwin leases connected to construction, operation or maintenance of the railway (s 10B).

• Registration and easement updating (regs 7-8). The Regulations remove references to the Real Property Act 1918 in the Special Provisions Act’s provisions on easements (s 14, s 14A), mechanistically aligning the Special Provisions Act with the Law of Property Act 2000 regime by omitting the older Act references.

• Interaction with Commonwealth-level Part IIIA and the Access Code (Third Party Access Act new s 8 and new cl 48). The Regulations provide that if the Commonwealth designated Minister under Part IIIA (TPA) believes an amendment to the Access Code made under cl 48 is a substantial modification, that amendment is to be treated as never having been in force to the extent of that belief. Clause 48, as substituted, gives joint amendment power over the Code to the NT Minister and the SA Minister, but that clause expires 30 June 2001.

These concepts institutionalise three principal modalities: private contracting as vehicle for statutory penalty recovery (s 28C); statutory calibration of curial relief and special standing for sublessees and security holders (s 10A); and a territory-commonwealth interaction mechanism that can nullify Territory-made Code amendments in certain circumstances (Third Party Access Act s 8). The Regulations use explicit statutory text to make contractual shifts binding as debts, to specify judicial duties, and to create executive power to enter agreements inconsistent with general Crown Lands Act provisions.

Identify actors named or readily implicated by the text, and the direction of legal effect each faces under the instrument.

• Successful consortiums under the AustralAsia Railway procurement and their contractors. Section 28C targets the contractual relationship between a successful consortium and its contractors. The consortium may include in its contracts an obligation on contractors to pay penalties the consortium is required to pay the Corporation under s 28B, if the contractor’s breach contributed to the consortium’s breach (s 28C(1)). Contractors therefore face a potential direct contractual obligation to satisfy civil penalty amounts as debts to the consortium even where no private party suffered compensable loss (s 28C(2)(a)-(b)). Successful consortiums gain a statutory route to recover s 28B liabilities by contract rather than by tort or indemnity alone.

• The AustralAsia Railway Corporation (the Corporation). The Corporation remains the statutory recipient of civil penalties imposed under s 28B. The Regulations enable the Corporation’s contractual counterparty (the successful consortium) to reallocate liability internally. The Corporation’s enforcement of s 28B remains a statutory mechanism referenced in s 28C although the Regulations do not alter the Corporation’s power to seek payment under s 28B itself.

• Contractors, sub-contractors and tenderers. Contractors negotiating with a successful consortium are affected in risk allocation and pricing. The new statutory permission for pass-throughs will affect contractual negotiation dynamics, insurance and bonding requirements, and the commercial allocation of breach risk.

• Lessees, sublessees and holders of registered securities over leases in the corridor and Port of Darwin. The substituted s 10A applies a modified Law of Property Act relief regime to “registered leases”, expressly displacing provisions of the Crown Lands Act 1992 on forfeiture and Part VII of the Commercial Tenancies Act 1979 (s 10A(1)(b)). Lessees seeking relief against forfeiture must satisfy or will be subject to the new applied provisions, and sublessees and registered security holders have statutory standing to apply under the applied provisions (s 10A(5)-(7)). Lessees are deprived of relief under s 138 or s 139 of the applied provisions if the lease termination is “a consequence of the lawful termination of the Concession Deed” (s 10A(2)).

• The Crown Lands Minister. The new s 10AA empowers the Crown Lands Minister to enter agreements on behalf of the Territory about termination or forfeiture of corridor leases that may be inconsistent with the Crown Lands Act’s provisions (s 10AA(1)). That places decision-making power in the Minister’s hands for contractual arrangements relating to termination and forfeiture.

• The Supreme Court of the Northern Territory. The Court’s duties are specified; for example it “must grant” relief under certain applied provisions unless the Court is satisfied of specified matters (s 10A(3)), and it has prescribed rules about preferring preservation of headleases (s 10A(7)) and about notice and opportunity to be heard requirements (s 10A(11)).

• Private landholders with easements and parties to the Access Code. The easement registration mechanics change by removing Real Property Act references in ss 14 and 14A, affecting registration practices. The Access Code amendment mechanism affects the Northern Territory Minister and the South Australian Minister (joint power to amend under new cl 48), and the Commonwealth designated Minister under Part IIIA of the TPA who may, by belief under s 44H(6), cause an amendment to be treated as never having been in force (Third Party Access Act new s 8).

• Users of the Access Code and third parties reliant on Code amendments. Because the Regulations render certain Territory or State Code amendments open to being treated as never having been in force if the Commonwealth Minister believes they substantially modify the Code, consultees, access seekers and carriers who plan operations on the basis of Code text must factor in potential retroactive nullification to the extent of that belief.

The Regulations therefore affect a concentrated set of actors (consortiums, contractors, lessees, sublessees, registered security holders, Crown Lands Minister and ministers responsible for the Code) with concrete changes to contractual enforceability, court relief pathways, ministerial contracting discretion, registration mechanics and Code amendment stability.

This section sets out the operative obligations, entitlements and decision authorities the Regulations create or alter, with references to the controlling text.

• Contractual entitlement to pass-through and contractor debt (Railway Corporation Act, new s 28C). A successful consortium and a contractor may enter an agreement which provides that, if the consortium is required to pay a civil penalty to the Corporation under s 28B because of a breach of an obligation under an agreement with the Corporation, and the breach by the consortium arose, in whole or in part, from a contractor’s breach of its obligations to the consortium in connection with construction, operation or maintenance of the railway, then the contractor is required to pay to the successful consortium the amount or part of the civil penalty (s 28C(1)). An amount required to be paid by the contractor under such an agreement “is a debt due to the successful consortium by the contractor” (s 28C(2)). The debt status attaches “despite” there having been no actual loss to the consortium or others and “despite” any lack of relationship between amount and extent of damage (s 28C(2)(a)-(b)). The practical duty is contractual, enforced as a debt.

• Corporation’s s 28B entitlement remains. Section 28C refers to s 28B as the statutory basis for civil penalties the consortium may be required to pay; the Regulations do not repeal or alter s 28B itself, rather they allow internal allocation by contract (new s 28C insertion location noted).

• Supreme Court duties and lessee rights under the applied Law of Property Act provisions (Special Provisions Act, new s 10A). Registered leases are governed by ss 136-140 of the Law of Property Act 2000 “as modified and applied under this section” (s 10A(1)(a),(12)). The Court “must grant” relief under s 138 of those applied provisions, subject to s 10A(2) and (11), unless the Court is satisfied of specified grounds: material breach; written notice given to lessee, sublessee and registered security holders requiring remedy or compensation depending on remediability; a reasonable period to comply; absence of diligent pursuit of remedy; or non-payment of reasonable compensation (s 10A(3)(a)-(e)). If relief is not available under s 138(3) then the Court may grant relief under s 138(2)-(3) (s 10A(4)). Sublessees and security-holders have standing to make applications under s 138 (s 10A(5)-(6)), and the Court must grant applications under s 139 unless specified exceptions are satisfied (s 10A(7)). The Court must not make orders under s 138 or s 139 on application of a sublessee or security holder in relation to a registered headlease unless the headlessee and other interested persons have received notice and a reasonable opportunity to be heard (s 10A(11)).

• Obligation to include termination-by-Concession-Deed clause in new leases granted under s 139(1)(d). If the Court makes an order under s 139(1)(d) making a new lease for a sublessee, the new lease must include a provision that the new lease and any dependent interests will terminate automatically on termination of the Concession Deed (s 10A(10)(a)-(c)). That is a mandatory drafting requirement for court-ordered leases.

• Crown Lands Minister contracting power (s 10AA). The Crown Lands Minister may, in the name of the Territory, enter into agreements relating to the termination or forfeiture of a lease over part of the corridor granted under the Crown Lands Act, including agreements inconsistent with the Crown Lands Act’s termination and forfeiture provisions (s 10AA(1)). The Minister is identified as the person administering the Crown Lands Act other than s 79 (s 10AA(2)).

• Exclusions from the Law of Property Act (s 10B). Sections 134 and 141 of the Law of Property Act 2000 do not apply in relation to corridor subleases or Port of Darwin leases connected to construction, operation or maintenance of the railway (s 10B).

• Easement registration references (regs 7-8). The Special Provisions Act’s easement provisions are amended to remove references to the Real Property Act 1918 (reg 7(a)-(c), reg 8), implicitly directing those registration interactions to the Law of Property Act 2000 regime.

• Code amendment and Commonwealth ministerial belief override (Third Party Access Act new s 8 and new cl 48). Clause 48 authorises the NT Minister and SA Minister to jointly amend the Access Code as prescribed (new cl 48(1)). Clause 48 expires on 30 June 2001 (new cl 48(2)). New s 8 of the Third Party Access Act provides that an amendment to the Code made under clause 48 will be taken not to be in force and never to have been in force to the extent that the Commonwealth designated Minister under Part IIIA of the Trade Practices Act believes under s 44H(6) of that Act that the amendment is a substantial modification (new s 8).

These duties and rights allocate enforcement power between the Corporation, successful consortiums and contractors by contract; create statutory judicial criteria for lease relief with standing rights for sublessees and security-holders; grant ministerial contracting prerogative that may override Crown Lands Act mechanics; and create a mechanism by which a Commonwealth ministerial belief can negate Territory Code amendments.

The Regulations leave the statutory civil penalty power in s 28B intact while enabling contractual internalisation and enforcement of those penalties against contractors. They also modify forfeiture rescue mechanisms through statutory application of the Law of Property Act provisions and empower ministerial agreement-making that can affect forfeiture outcomes.

• Civil penalties and contractual enforcement (Railway Corporation Act, new s 28C). The primary statutory penalty instrument for breach remains s 28B of the Railway Corporation Act, which the new s 28C references as the source of amounts that a successful consortium may be required to pay. Section 28C allows the consortium to contractually require contractors to pay the civil penalty amounts; s 28C(2) then converts the contractor’s obligation into a debt due to the consortium, enforceable as such at law. Because the debt character attaches “despite” lack of actual damage, enforcement can proceed on the contractual-debt route without the consortium having to show loss or causation in the conventional damages sense (s 28C(2)(a)-(b)). Remedies available for debt recovery in the courts are therefore available to a consortium under normal law enforcement mechanisms. The Regulation text does not itself create a separate penalty enforcement process; it creates contractual enforceability backed by the ordinary remedies for debt.

• Court-ordered relief and procedural enforcement (Special Provisions Act, s 10A). The Regulations regulate judicial relief against forfeiture by applying sections 136-140 of the Law of Property Act 2000 with modifications. The Supreme Court’s ability to grant relief is governed by s 10A(3)-(4) and s 10A(7)-(9). The Court “must grant” relief under s 138 of the applied provisions unless the Court is satisfied of material breach and procedural prerequisites for forfeiture (s 10A(3)). If the Court refuses relief under that pathway, it retains discretion to grant relief under alternative parts of the applied provisions (s 10A(4) and s 10A(9)). The Regulations describe what constitutes adequate written notice, “reasonable period of time” to comply, and the standard of remediation diligence that courts should look for (s 10A(3)(b)-(d), s 10A(7)(b)(i)-(iv)).

• Ministerial contract-making that can affect forfeiture outcomes (s 10AA). Section 10AA authorises the Crown Lands Minister to enter into agreements about termination or forfeiture of corridor leases that may be inconsistent with the Crown Lands Act. The effect is to vest decision-making in the Minister that can shape the enforcement or waiver of forfeiture rights contractually, subject to the limits of that Minister’s power under the Territory’s administrative law and the particular agreement terms (s 10AA(1)).

• Exclusion of statutory protections (s 10A(1)(b); s 10B). By declaring the Crown Lands Act’s termination/forfeiture provisions and Part VII of the Commercial Tenancies Act 1979 inapplicable to registered leases, and by excluding ss 134 and 141 of the Law of Property Act 2000 for specific classes of lease, the Regulations change the statutory enforcement landscape. Parties lose access to particular statutory protective mechanisms that would otherwise apply under those Acts. Enforcement will proceed under the applied provisions and the treaty of rights and obligations the Regulations create.

• Access Code amendment nullification (Third Party Access Act new s 8). Enforcement or reliance upon an Access Code amendment is subject to uncertainty where the Commonwealth designated Minister forms the belief under s 44H(6) TPA that an amendment is a substantial modification. New s 8 of the Third Party Access Act provides that, to the extent of that belief, the amendment is to be treated as never having been in force. The instrument therefore supplies the Commonwealth designated Minister with a mechanism, operating by belief under the TPA provision, that can remove an amendment from legal effect in the Territory.

Practical enforcement routes: s 28C creates contractual debt obligations enforceable by ordinary debt recovery; the Supreme Court remains the forum for relief against forfeiture under the applied Law of Property Act provisions; and ministerial contracting under s 10AA can circumvent statutory forfeiture pathways by agreement. The Regulations do not create administrative penalty collection mechanisms beyond these existing civil and contractual processes.

The Regulations are explicitly designed to alter how a cluster of Territory and Commonwealth statutes interlock in the context of the AustralAsia Railway project. The text creates cross-references and exceptions and therefore changes the legal relations among the Railway Corporation Act, the Special Provisions Act, the Crown Lands Act 1992, the Commercial Tenancies Act 1979, the Law of Property Act 2000, the Trade Practices Act 1974 and the Third Party Access Act.

• Interaction with s 28B (Railway Corporation Act). The new s 28C operates only in relation to civil penalties the successful consortium is “required to pay to the Corporation by way of civil penalty for the breach in accordance with section 28B” (s 28C(1)(a)). The Regulations therefore depend on s 28B as the primary statutory penalty source. The Regulations do not amend s 28B itself, they create a contractual mechanism to transfer s 28B liabilities to contractors.

• Displacement of Crown Lands Act and Commercial Tenancies Act (Special Provisions Act, new s 10A(1)(b)). The substituted s 10A expressly declares that the Crown Lands Act 1992 provisions relating to forfeiture of leases and Part VII of the Commercial Tenancies Act 1979 do not apply to registered leases covered by the new section (s 10A(1)(b)). This is a direct statutory displacement: where a lease is registered as contemplated by s 10A, parties cannot rely on the Crown Lands Act forfeiture procedures or those Commercial Tenancies Act protections; they must follow the applied Law of Property Act procedures instead.

• Application and modification of the Law of Property Act 2000 (s 10A(1)(a) and (12); s 10B). The Regulations apply sections 136-140 of the Law of Property Act 2000 to registered leases while simultaneously excluding ss 134 and 141 from applying to corridor subleases and certain Port of Darwin leases (s 10B). The Regulations therefore graft parts of the Law of Property Act into the Special Provisions Act regime while carving out other parts.

• Ministerial contracting vs Crown Lands Act (s 10AA). Section 10AA permits the Crown Lands Minister to enter agreements inconsistent with the Crown Lands Act in relation to termination or forfeiture of corridor leases. This creates a route for the Territory executive to alter the statutory default regime for Crown land forfeiture by contract, thereby operating within the Crown Lands Act’s ambit while creating an exception for the Minister’s agreements.

• Interaction with Commonwealth Part IIIA (TPA) and the Access Code (Third Party Access Act new s 8). The Third Party Access Act new s 8 directly references the Commonwealth Trade Practices Act 1974, Part IIIA mechanism for designation and review. It states that if the Commonwealth designated Minister believes an amendment to the Access Code made under clause 48 is a substantial modification under s 44H(6) of the TPA, then that amendment is to be treated as never having been in force to that extent. The Regulations therefore create an interface where a Commonwealth official belief under the TPA can negate a Territory/State-made amendment to the Access Code. Clause 48 itself gives the NT and SA Ministers joint amendment power over the Code, but that authority is circumscribed both by the expiry date of cl 48 and by the Commonwealth ministerial belief mechanism.

• Transitional registration and the Real Property Act 1918 (regs 7-8). The Regulations remove references to the Real Property Act 1918 from the Special Provisions Act easement provisions, thereby aligning the Special Provisions Act with the Law of Property Act 2000 for registration matters. The direct effect is procedural: registration and related proprietary formalities should be handled under the Law of Property Act 2000 applied or referenced elsewhere.

• Judicial process under applied provisions. The Supreme Court’s duties as set in s 10A are framed around the applied Law of Property Act provisions. The Regulations therefore change the route by which disputes about forfeiture and relief are adjudicated, directing parties to the Law of Property Act-derived tests and to the Court’s mandatory and discretionary duties in those sections.

In combination, these interactions shift several statutory default positions: they make contractual allocation of statutory civil penalties enforceable as debts; they replace some Crown land forfeiture mechanics with an applied set of Law of Property Act protections subject to specified exceptions; they permit ministerial agreements to bypass Crown Lands Act constraints; and they create a Commonwealth override-style mechanism for Access Code amendments where the Commonwealth designated Minister forms a belief under the TPA. Each of these operates within a tight textual frame in the Regulations and therefore will control dispute pathways between affected parties.

The Regulations themselves provide their amendment history in the endnotes and through the textual insertions and repeals they make in other Acts. The key documentary points are these.

• Instrument and initial commencement. The AustralAsia Railway (Special Provisions) Regulations 2000 were made as SL No. 61, 2000. The instrument was notified 10 January 2001 and commenced on 14 February 2001 as recorded in the Gazette (Endnote 2).

• Amendment No. 20, 2001. The Regulations were amended by AustralAsia Railway (Special Provisions) Regulations (SL No. 20, 2001), notified 19 March 2001 and commenced that day (Endnote 2). The reprint records that pt 4 heading was inserted by No. 20, 2001, r 4, and that regs 9-10 were inserted by No. 20, 2001, r 4 (Endnote 4). Those insertions correspond to the changes in the Third Party Access Act (new s 8 and substituted clause 48).

• Subsequent formal amendments. The endnotes record that general amendments of a formal nature were made by the Interpretation Legislation Amendment Act 2018 (Act No. 22, 2018) to rr 1, 3, 6, 7 and 8 (Endnote 3). Those are formal technical amendments rather than substantive policy changes in the text as reprinted.

• Textual insertions and repeals effected by the Regulations. Part 2 inserted new s 28C into the Railway Corporation Act after s 28B. Part 3 repealed s 5B of the Special Provisions Act and repealed and substituted s 10A. It also inserted s 10AA and s 10B and amended ss 14 and 14A to remove Real Property Act references (regs 5-8). Part 4 inserted new s 8 into the Third Party Access Act and replaced clause 48 in the Schedule, adding an express expiry date for cl 48 (30 June 2001) (regs 9-10).

• Expiry of clause 48. The substituted clause 48 expressly contains an expiry: “This clause expires on 30 June 2001” (new cl 48(2)). That imposes a temporal limit on the NT/SA Ministers’ joint power to amend the Code under cl 48.

The reprint’s schedule of amendments and the endnotes form the authoritative change record for this instrument and the specific sections it alters in the named Acts. Practitioners should consult the Gazette notices (notified and commencement dates) and the consolidated reprint for any subsequent legislative changes beyond those recorded in the endnotes here.

The text provided contains no reported litigation history. The Regulations do not cite cases and the endnotes record only notifications, commencement and formal amending instruments. There are no named judicial decisions, appeals or tribunal determinations recorded in the instrument.

Although the instrument itself does not report litigation, the textual changes create multiple discrete legal issues that are likely to generate disputes and litigation-ready claims if contested. The provisions that are most prone to litigation or judicial attention are as follows.

• Enforceability and scope of contractual pass-throughs (s 28C). Litigation is likely to arise over the scope of “arose, in whole or in part, from a breach by the contractor” (s 28C(1)(b)). Disputes may focus on causation, apportionment, timing, and whether the contractor’s breach objectively contributed to the consortium’s breach to a degree that triggers the pass-through. The section’s conversion of such contractual obligations into a debt “despite” absence of damage (s 28C(2)) may lead contractors to bring declaratory or injunctive proceedings where they contend the contractual condition precedent has not been met, or to challenge recoverability under contract law defences.

• Quantum and proportionality questions. Because s 28C(2)(b) makes the required payment “despite that the amount required to be paid by the contractor is unrelated to the extent of any damage,” litigation could arise over procedural fairness, unconscionability, penalty versus genuine pre-estimate arguments in contract law, and the availability of defences derived from statutory or common law doctrines. The Regulations do not supply caps, apportionment rules or procedural steps for calculation beyond the contract.

• Interpretation of “registered lease” and application of the applied provisions (s 10A). Disputes could emerge about whether a lease qualifies as a “registered lease” under s 10A for the purpose of applying the Law of Property Act 2000 sections. The content and scope of the modifications the section contemplates will be subjects of judicial construction.

• Whether relief is precluded by Concession Deed termination (s 10A(2)). The bar on relief where the lease “is being terminated as a consequence of the lawful termination of the Concession Deed” may prompt litigation to determine causation and legal consequence , whether termination is sufficiently causally linked to Concession Deed termination to preclude relief, and what “lawful termination” means in a given context.

• Standing and notice obligations for sublessees and security-holders (s 10A(5)-(11)). The procedural requirement in s 10A(11) that the headlessee and other interested parties must have notice and opportunity to be heard before the Court makes orders on sublessee applications may lead to interlocutory disputes about sufficiency of notice and whether the Court complied with the mandatory notice requirement.

• Ministerial contracting power and limits (s 10AA). Agreements entered into by the Crown Lands Minister inconsistent with the Crown Lands Act could become the subject of judicial review or contractual litigation if parties contend the Minister exceeded statutory powers, failed to follow required processes, or made agreements incompatible with other statutory obligations.

• Access Code amendment nullification (Third Party Access Act new s 8). The Commonwealth Minister’s belief under s 44H(6) of the TPA that a Code amendment is a substantial modification, and the effect of treating the amendment as never in force to that extent, could lead to litigation over the boundaries of the “belief” concept, the practical effects on rights accrued under the amendment while it was believed to be in force, and whether there are administrative law constraints on the exercise of that belief.

Because no litigation history is recorded in the instrument, practitioners should expect initial cases to focus on statutory interpretation of the newly inserted or substituted provisions and on procedural compliance with notice and remedy requirements. The Regulations’ changes create clear potential for adjudicated disputes over causal attribution, notice, and the limits of ministerial contracting powers.

This section flags textual traps and operational friction points the Regulations create; each item references the precise statutory text that gives rise to implementation risk.

• Contractual pass-throughs can create debt without loss or causation limits. Section 28C(2) makes amounts payable by a contractor “a debt due to the successful consortium” even where “neither the successful consortium nor any other person suffered damage” and “despite that the amount required to be paid by the contractor is unrelated to the extent of any damage” (s 28C(2)(a)-(b)). Practically, a contractor may face enforcement proceedings for an amount that bears no relation to actual loss. Drafting must therefore pay attention to caps, apportionment mechanics, causation definitions and dispute resolution clauses. Failing to do so can produce hard-to-defend unilateral enforcement by a consortium for a large statutory penalty amount.

• Causation language is broad and potentially litigable. The trigger in s 28C(1)(b) is that the consortium’s breach “arose, in whole or in part, from a breach by the contractor.” This “in whole or in part” language invites arguments about partial causation, concurrent causes and apportionment. Contracts relying on s 28C should define the causation standard precisely to avoid costly disputes.

• Debt characterisation removes damage requirement but leaves remedies unchanged. While s 28C(2) converts the liability into a debt, it does not itself create a statutory enforcement regime for collecting penalties; creditors will still rely on general debt recovery processes. Contractors who do not appreciate this may underestimate enforcement exposure.

• Registered lease regime displaces other statutory protections. Section 10A(1)(b) expressly removes the application of Crown Lands Act forfeiture provisions and Part VII of the Commercial Tenancies Act 1979 to registered leases. Lessees and sublessees who expect protections under those Acts will find they no longer apply and must instead navigate the applied Law of Property Act provisions and s 10A’s modifications. Conveyancers and lessors must ensure leases over corridor land are treated consistently with s 10A’s scheme.

• Relief precluded by Concession Deed termination. Section 10A(2) states relief against forfeiture is not available if the lease is being terminated “as a consequence of the lawful termination of the Concession Deed.” Parties must consider the effect of Concession Deed termination on ancillary leases and the timing of termination steps; otherwise they may lose access to relief they would otherwise expect under the applied provisions.

• Court-ordered new leases automatically terminable by Concession Deed expiry. Section 10A(10) requires that a new lease granted by the Court under s 139(1)(d) include express terms that it will be automatically and simultaneously determined on termination of the Concession Deed. Parties receiving such a court-ordered new lease therefore receive a tenure that is explicitly time-limited to the concession’s life, regardless of other legal presumptions about term.

• Minister may enter agreements inconsistent with Crown Lands Act. Section 10AA permits the Crown Lands Minister to enter agreements that are inconsistent with the Crown Lands Act’s termination and forfeiture provisions. Parties relying on statutory defaults in the Crown Lands Act should be cautious; the Minister can contractually alter those defaults in the name of the Territory.

• Exclusion of ss 134 and 141 of the Law of Property Act. The explicit non-application of those sections to corridor subleases and Port of Darwin leases (s 10B) could remove specific statutory rights or remedies otherwise found in those sections. Practitioners must check which Law of Property provisions expressly apply and which do not.

• Commonwealth belief can negate Territory Code amendments retrospectively. Third Party Access Act new s 8 provides that if the Commonwealth designated Minister believes a clause 48 amendment is a substantial modification under s 44H(6) TPA, it is to be taken not to have been in force, “and never to have been in force, to the extent of that belief.” That wording produces legal uncertainty for parties who relied on an amendment during the period it was thought in force, particularly in the absence of transitional provisions. Clause 48 also has a short expiry (30 June 2001). Users of the Code must monitor Commonwealth actions under the TPA.

• Registration practice changes without explicit transitional guidance. The removal of references to the Real Property Act 1918 in ss 14 and 14A suggests registration and easement handling shifts to the Law of Property Act regime, but the Regulations do not specify transitional registration steps. Conveyancers and land administrators must confirm the correct registry and procedural steps to avoid invalid or misregistered easements.

• Notice and hearing requirements for sublessees. Section 10A(11) requires that headlessees and other sublessees or security-holders who are not applicants must have had notice of applications and a reasonable opportunity to be heard. Failure to give proper notice can nullify orders or create grounds for appeal.

These “gotchas” are direct products of the statutory text. Addressing them requires contract drafting precision, administrative vigilance about ministerial agreements, careful registration practice, and procedural compliance in Court applications.

This final section offers concrete, text-based steps that counsel, contractors, consortiums, lessees, lessors and officials should take to implement and manage the legal changes imposed by these Regulations.

For consortiums and drafter of project contracts (responding to s 28C)

• Draft explicit pass-through clauses using the s 28C language as the base trigger, but add definitional precision. Where relying on s 28C(1), define the causation standard for “arose, in whole or in part” to specify quantum thresholds, temporal linkage, and how multiple causes will be apportioned.

• Include caps, aggregation limits and mechanisms for apportionment to reduce exposure. Because s 28C(2)(b) allows for amounts unrelated to damage, good practice is to cap contractor liability and to include an express apportionment methodology allocating the consortium’s s 28B liability between multiple contractors.

• Provide procedural steps before enforcement. Insert notice, cure periods and dispute resolution steps in the contract and mirror the notice and cure concepts in s 10A(3) to reduce the risk of court challenge and to temper sudden debt enforcement.

• Insure and bond against pass-through risk. Require contractors to obtain insurance and performance bonds sized to cover potential pass-through exposure. Where commercial insurance is unavailable for civil penalty exposure, consider alternative security such as parent company guarantees.

• Include indemnities and representation warranties that require contractors to notify the consortium of circumstances that might expose the consortium to s 28B liability, and require cooperation in defence or mitigation.

• Negotiate causation standards, caps and sunset clauses. Insist that pass-through obligations be limited to contractor actions that are the dominant or proximate cause of the consortium’s breach, and obtain monetary caps and exclusions for consequential or indirect penalties.

• Seek indemnities from consortiums where consortium actions or instructions cause the breach. Where consortium conduct contributes to the breach, contractors should obtain indemnities or contribution mechanisms.

• Document compliance systems and audit trails. Because s 28C(1)(b) links consortium breach to contractor breach in construction, operation or maintenance, contractors should document compliance and deviation processes to evidence lack of causal contribution if challenged.

For lessees, sublessees and security-holders under registered leases (s 10A, s 10B)

• Confirm whether your lease is a “registered lease” subject to the applied Law of Property Act provisions. If so, prepare to follow s 10A notice and cure pathways rather than relying on the Crown Lands Act or Part VII of the Commercial Tenancies Act 1979 (s 10A(1)(b)).

• If facing forfeiture, strictly comply with procedural requirements. Ensure notices you receive are scrutinised for proper specification of remediable versus non-remediable breaches and that reasonable time to comply is observed. If bringing an application as a sublessee or security-holder, ensure all required notices are given to the headlessee and other interested parties so s 10A(11) is observed.

• Where the Concession Deed may be terminated, assess whether relief is precluded by s 10A(2). If termination of lease appears connected to Concession Deed lawful termination, seek legal advice promptly; the statutory bar may remove the remedy of relief against forfeiture.

• If seeking a court-ordered new lease under s 139(1)(d) of the applied provisions, note that the new lease must include the termination-by-Concession-Deed clause mandated by s 10A(10)(a)-(c). Plan for the term to be tied to the Concession Deed.

For ministers and government officials (s 10AA; Third Party Access Act new s 8 and new cl 48)

• When entering agreements under s 10AA, document the legal basis for any provision inconsistent with the Crown Lands Act and record necessary approvals. Agreements signed in the name of the Territory should have clear authorisation and recording, given the power to contractually modify forfeiture outcomes.

• If involved in Access Code amendment under new cl 48, coordinate with the South Australian Minister and document the amendment process, since cl 48 expires on 30 June 2001. Monitor the Commonwealth designated Minister under Part IIIA of the TPA to anticipate whether a belief under s 44H(6) may arise that would treat the amendment as never in force under Third Party Access Act new s 8.

For conveyancers and land administrators (regs 7-8; s 10A applied provisions)

• Update registration practices to reflect the removal of Real Property Act 1918 references in ss 14 and 14A. Confirm the correct registry and formality under the Law of Property Act 2000 for easements in favour of PAWA and for access easements in favour of private landholders.

• When registering security interests over leases, ensure security holders are recorded and notified because s 10A creates rights for registered security holders to apply under the applied provisions.

For parties relying on the Access Code

• Track administrative process and Commonwealth action. Because Third Party Access Act new s 8 ties the legal status of an amendment to a Commonwealth Minister’s belief, parties relying on Code amendments should monitor Commonwealth Part IIIA processes and seek legal advice on the status of Code changes.

• Plan for instability during the cl 48 period. Clause 48 expires on 30 June 2001. Parties proposing transactions or investments based on Code changes should build contractual protections, transitional terms and exit rights into commercial agreements to handle potential retroactive nullification.

General procedural precautions

• Maintain contemporaneous records. Given the importance of causation and notice in several provisions, contemporaneous records of instructions, compliance efforts, remedies attempted and notices served will be central to defending or advancing claims.

• Consider pre-emptive dispute resolution structures. For high-value works and leases, structured dispute resolution (early expert determination, arbitration for quantification of pass-through amounts, stepped negotiation) reduces litigation risk and aligns with the contractual nature of many new obligations.

Compliance with the Regulations therefore requires a combination of careful contract drafting that anticipates the statutory pass-through capability, procedural vigilance in lease contexts to preserve access to court relief, ministerial process discipline for agreements under s 10AA, and active monitoring of Commonwealth TPA processes that may affect the Access Code.
