(i) HFC registered a charge against the assets of Pac-Am on or about 24 December 1998;
(ii) HFC appointed Carello as the receiver of Pac-Am on or about 15 July 1999;
(iii) Carello issued tenders for the sale of Spageddies in or about July 1999;
(iv) Spageddies was not sold pursuant to the Tender;
(v) On or about 6 August 1999, Fast Eddies offered to lease Shops 26, 39 and 40, to pay rent and to purchase the plant and equipment of Spageddies;
(vi) On or about 25 August 1999, Ian Love offered to lease 300 m2 of the area of Shops 26, 29 and 40 at the same rate as he was then paying for Cocos restaurant, with a rent free period of between 3 and 5 months;
(vii) On or about 26 August 1999, Gino of 'Spaghi's' restaurant offered to pay rent and outgoings for 540m2 of the area of Shops 39 and 40 with a rent free period of 6 months;
(viii) On or about 28 September 1999, Century 21 (as agent for Opel Khan) offered to lease Shops 26, 39 and 40 for 5 years with a 5 year option, with a rent free period of 16 weeks, and to refurbish the restaurant at a cost of approximately $100,000;
(ix) On or about 14 October 1999, Opel Khan offered Carello $145,000 for the plant and equipment of Spageddies;
(x) On or about 13 December 1999, Defense Shield offered to lease Shops 26, 39 and 40 for a period of 5 years with a 5 year option, with a rent free period of 6 months, to purchase the plant and equipment for $50,000 and to clean and refurbish the restaurant at a cost of between $300,000 and $400,000;
(xi) Carello, who was at all material times acting on instructions from and for the benefit of HFC, did not accept any of the offers pleaded;
(xii) On or about 14 June 2000, Ian Love purchased the plant and equipment of Spageddies for the sum of $80,000.
