ex tempore Judgment
- HER HONOUR: This matter is listed today for the hearing of an application by Micah Frankenstein to appoint a liquidator to the first defendant, Victor Sports Pty Limited, on just and equitable grounds or, alternatively, in insolvency. Only the latter ground is pressed today.
- The plaintiff was formerly a director and general manager of Victor Sports and remains a shareholder of the company. As a contributory of the company, the plaintiff has standing, subject to the Court's leave, to apply for an order winding up the company under section 459A of the Corporations Act 2001 (Cth), such leave being given where the Court is satisfied that there is a prima facie case that the company is insolvent: section 459P(3).
- The second and third defendants are David Goldman and Andrew Shenker, both of whom are directors and shareholders of Victor Sports.
- Also appearing today are administrators recently been appointed to the company, on 19 August 2021, being Michael Kucianski and Con Kokkinos. They seek an adjournment under section 440A(2) of the Act. The administrators accepted that, if I am not minded to grant the adjournment, then the company is insolvent and the plaintiff is entitled to appoint a liquidator.
