Zoological Parks and Gardens Act 1995

The Act organises several core concepts that structure Board activity, land status and governance obligations. Those concepts are defined and used to allocate decision rights, duties, fees and operational rules.

Zoological parks and managed land. The Act distinguishes zoological parks, managed Crown land and managed freehold land. "Zoological parks" are the lands shown in Schedule 1 and any land declared by Governor in Council under s 24 to be a zoological park (s 3 definition; s 24(1)-(2)). The Board is responsible for management of zoological parks but the Act expressly states the Board does not own them (s 23). "Managed land" is a class that covers Crown land placed under the Board’s management by Order (s 25), freehold land managed under agreement (s 26) and land the Board determines to be managed land under s 28 (s 3 definition). The distinction between parks, managed Crown land and acquired/freehold land drives which statutory procedures apply for leases, disposals and notices (see ss 25-33).

Board as Crown agent and Ministerial control. The Board acts on behalf of the Crown (s 7) but is subject to the general direction and control of the Minister (s 8). The Minister may request and direct corporate planning documents (s 18(1), (5)-(6)) and the Board must notify the Minister if events may significantly affect achievement of corporate objectives or financial targets (s 20). The Governor in Council has specific powers over land declarations and Orders under ss 24 and 25, which embed executive choices in land status.

Corporate planning documents. The statutory regime replaces earlier planning provisions with a corporate planning framework. The Minister may request a corporate planning document and must specify content and form and a due date (s 18(1)-(3)). The Board must prepare requested documents (s 18(2)). The Minister may direct amendments and the Board must comply (s 18(5)-(6)). The 2017 amendments recast section 18 and cross‑reference corporate planning documents (Endnotes).

Financial mechanics. The General Account must receive fees and other money (s 21(1)-(2)). The Board may pay expenses, repay borrowings, pay remuneration and for any other purpose authorised by the Act (s 21(3)). The Board may fix and collect reasonable fees under s 12(k) and the regulations may prescribe fees, concessional mechanisms and fee waivers (s 41(1)(g); s 41(2)(e)).

Operational powers and limits. The Board has broad operational powers to carry out its functions (s 11). Specific powers include specimen transactions, IP rights and their commercial exploitation, consultancy, membership of other bodies, acquisition and disposal of property, acceptance of donations, provision of visitor services and erecting improvements (s 12). The Board may provide restaurant and other visitor services and obtain liquor licences for those premises (s 13). Crowd control and admissions are delegated to the CEO or directors with signage requirements (s 14). Delegations from the Board, excluding the power of delegation, are permitted by instrument to specified officers and classes of staff (s 16). Members have personal immunity for acts in good faith (s 17).

Regulatory overlay. The Governor in Council may make regulations for public order, safety, entry, closures, management of collections, fees, times, trade and protection of flora and fauna (s 41(1)). Regulations may differ by time, place or circumstance, confer discretions, provide exemptions, set fees, and prescribe penalties up to 20 penalty units for contraventions (s 41(2)). Any regulations on film permits must be consistent with film friendly principles (s 41(3)).

Governance and procedure. Membership criteria and appointment mechanics are central. Up to nine members are appointed by Governor in Council on the Minister’s recommendation and must have expertise in specified areas (s 9(1)-(3)). Schedule 2 sets out terms, appointment lengths, chair and deputy appointment, resignation and removal, quorum and voting procedures, disclosure of interest duties and committee powers (Sch 2 cll 1-11). The Public Administration Act applies to members as specified (Sch 2 cl 1(4)).

Cross‑legislative links. The Act is filming approval legislation within the Filming Approval Act 2014 (s 4A) and incorporates provisions about authorised officers from the Conservation, Forests and Lands Act 1987 for enforcement (s 40(d)). The Board is also treated as "owner" for certain purposes of the Fences Act 1968 (s 15(1)).

These concepts define allocation of authority and the legal structure for operational and financial activities. The Act places day-to-day management with a Board and CEO, while reserving key land declarations and ministerial direction to the executive.

Primary duty-bearers and stakeholders under the Act are the Board, its members, the Chief Executive Officer, directors of zoological parks, staff, visitors to the parks and persons or entities holding interests in land that becomes managed by the Board.

The Board. The Board is the central institutional actor. It carries functions (s 10), holds powers (ss 11-13), must keep the General Account (s 21), prepare corporate planning documents when requested (s 18), and notify the Minister of significant events (s 20). The Board acts on behalf of the Crown (s 7) yet is subject to Ministerial direction (s 8). It employs staff, including directors of zoological parks, and may delegate powers to those officers (ss 16, 39).

Board members. Members are appointed by Governor in Council on Ministerial recommendation (s 9(1)). They must have specified expertise areas (s 9(2)), and their appointment terms, procedures, conflict disclosure obligations and entitlement to fees and allowances are set out in Schedule 2 (Sch 2 cls 1, 7, 10-11). Members have personal immunity for acts or omissions done in good faith under the Act; any liability attaches to the Board itself (s 17).

Chief Executive Officer and directors. The Board appoints a Chief Executive Officer (s 34) who has day-to-day control and management responsibilities subject to Board direction (s 38). Directors of the zoological parks are employees under s 39. The CEO, directors or authorised classes of staff can exercise crowd-control admission powers (s 14) and the Board or CEO may authorise persons to take proceedings under the Act (s 40(c)).

Visitors and the public. The Act affects visitors through regulations and rules: entry times, conditions and fees may be prescribed (s 41(1)(g), (h), (i)). The CEO or directors may prohibit or restrict admission for safety or crowd control and must display notices at park entrances (s 14(1)-(3)). The Board must also display particulars of offences that may attract penalties under the regulations (s 42).

Landowners and third parties with interests in land. The Act directly affects owners or holders of encumbrances where the Board seeks to manage freehold land. A management agreement over freehold land must include written consent of any person with an interest, mortgage, charge or encumbrance (s 26(4)). The Board may dispose of land it owns (s 32) and may enter into leases, licences and permits over zoological parks, managed land or acquired land on terms it thinks fit subject to Minister approval for leases and certain licences (s 33).

Minister and Governor in Council. The Minister has general direction and control over the Board (s 8), requests and directs corporate planning documents (s 18), and recommends to the Governor in Council the placing of Crown land under the Board’s management (s 25(1)). The Governor in Council has declaratory powers to declare Crown land to be zoological parks and to place Crown land under the Board’s management or revoke such Orders (ss 24, 25).

Regulated businesses and commercial partners. Entities that provide services within the parks, or that contract with the Board for consultancy, IP commercialisation, trade or leases, are affected. The Board may provide or arrange restaurant or refreshment services and apply for liquor licences under the Liquor Control Reform Act 1998 (s 13(3)). The Board may fix and collect fees for things done under the Act and the regulations may prescribe fees, concessional charges and fee waivers (s 12(k); s 41(1)(g), s 41(2)(e)).

Enforcement and authorised officers. Proceedings may be taken by the Board, CEO, board‑authorised persons and authorised officers under the Conservation, Forests and Lands Act 1987 (s 40). Thus persons and businesses operating in parks face enforcement by a mix of Board-appointed and statutory authorised officers.

Indirectly affected groups. Researchers, educational institutions and other zoological parks may be affected because the Board has powers to loan, exchange, buy and sell specimens and to hold and exploit IP rights (s 12(a), (d)-(f)). Donors and grant‑makers are affected by the Board’s power to accept or refuse grants and donations (s 12(j)).

In short, the Act affects public servants who operate the parks, private parties contracting or trading within parks, landowners whose land may become managed under an agreement, the Minister and Governor in Council who exercise higher-level land and oversight decisions, and the visiting public subject to fees, safety controls and entry conditions. Liability and protective rules flow to the Board as the corporate entity, while members and authorised officers have defined powers and immunities under the Act.

The Act assigns explicit duties and confers rights to the Board, the Minister, the Governor in Council, the Chief Executive Officer and other specified actors. These determine operational obligations, land management regimes and governance responsibilities.

Duties of the Board. The Board must carry out its statutory functions set out in s 10, which include conservation and improvement of parks and collections, promoting public enjoyment, education, research and conservation activities, and providing visitor services. The Board must maintain the General Account and pay into it the prescribed receipts (s 21(1)-(2)). If the Board forms the opinion that matters may prevent or significantly affect the achievement of corporate objectives or financial targets, it must immediately notify the Minister with reasons (s 20). The Board must cause brief particulars of offences and penalties under the regulations to be displayed at or near each entrance (s 42). The Board must publish notices in the Government Gazette when land becomes managed land or ceases to be managed land (ss 29, 30). The Board must prepare corporate planning documents when requested by the Minister and must comply with directions to amend those documents (s 18(1)-(6)).

Powers and rights of the Board. The Board may do anything necessary or convenient to carry out its functions (s 11(1)). Specific rights include acquiring, holding and disposing of zoological and botanical specimens, entering contracts, obtaining and exploiting intellectual property rights and granting licences in respect of them, providing consultancy services, becoming members or affiliates of other bodies, acquiring and disposing of real and personal property, accepting donations, setting and collecting reasonable fees for anything done under the Act, and erecting or altering buildings and improvements (s 12(a)-(l)). The Board may provide restaurant and other services within a zoological park and may apply for liquor licences for such premises (s 13). It may grant leases, licences and permits over zoological parks, managed land or acquired land on terms it thinks fit, with requisite Minister approval for leases and certain licences (s 33(2)). The Board may dispose of any interest in land it owns (s 32).

Ministerial rights and duties. The Minister may give general direction and control to the Board (s 8). The Minister may request corporate planning documents and specify required content and form and may direct amendments to those documents; the Board must comply (s 18(1)-(6)). The Minister recommends to the Governor in Council the placing of Crown land under the Board’s management (s 25(1)) and must not recommend placement if inconsistent with other Acts or reservations (s 25(2)).

Governor in Council powers. The Governor in Council may declare Crown land to be a zoological park (s 24(1)) and may place Crown land under the Board’s management on the Minister’s recommendation (s 25(1)). Orders may specify which functions and powers apply in relation to the managed land and may impose conditions or revoke committee of management appointments (s 25(3)). The Governor in Council may also revoke or vary Orders (s 24(3); s 25(4)).

CEO and directors. The Board appoints a Chief Executive Officer with day-to-day control and management of the parks and property subject to Board direction (ss 34, 38). The CEO and directors may prohibit or restrict admission to parks for safety and crowd control; such orders must have notices displayed at entrances (s 14(1)-(3)). The CEO, Board or authorised persons may institute proceedings under the Act (s 40).

Delegation and staff powers. The Board may delegate functions or powers, other than the power of delegation, by instrument to members, committees, the CEO, the Chief Finance and Accounting Officer, directors and other specified staff (s 16). Delegations must comply with the Act and with the Board’s delegation instrument.

Accountability and legal protections. Members have immunity from personal liability for acts or omissions done in good faith in performing functions under the Act; any liability attaches to the Board instead (s 17). The Board must keep minutes of its meetings and its procedural rules are set in Schedule 2 (Sch 2 cl 10(5); cl 8 on validity of acts). Members must disclose direct or pecuniary interests and must not participate in relevant discussions or votes after disclosure (Sch 2 cl 11(1)-(4)).

Regulatory and prosecutorial rights. Regulations may prescribe conditions of entry, fees, closures and offences with penalties not exceeding 20 penalty units (s 41(1), (2)(f)). Proceedings may be taken by the Board, CEO, persons authorised by the Board or CEO, or authorised officers under the Conservation, Forests and Lands Act 1987 (s 40).

Land and contract‑related duties. Where the Board seeks to manage freehold land by agreement, that agreement must include the written consent of any person with an encumbrance on the land (s 26(4)). Leases, licences and permits granted over parks, managed land or acquired land must be for purposes consistent with the Board’s functions (s 33(3)). The Board must publish Government Gazette notices when land becomes or ceases to be managed land (ss 29, 30).

In sum, the Act confers broad operational rights on the Board to manage parks and deliver services while imposing duties of financial accountability, Ministerial reporting and public notice. Ministerial rights over corporate planning documents and land Orders create oversight levers; procedural duties and disclosure rules in Schedule 2 set governance obligations for members.

The Act creates a mixed enforcement architecture combining administrative powers, regulation-based offences with monetary penalties, Board and CEO prosecutorial rights, and statutory authorisation for external authorised officers to take proceedings.

Regulatory offences and maximum penalties. The Governor in Council may make regulations covering a wide range of conduct: public order and safety, traffic and entry, closures, care and management of land and collections, fees and times of opening, conditions of entry, trade in parks, and protection of flora and fauna (s 41(1)(a)-(k)). Regulations may prescribe penalties of up to 20 penalty units for contraventions (s 41(2)(f)). The Act does not itself specify penalty unit amounts; those are located in the broader penalties framework external to this text. The Board must display brief particulars of the offences for which penalties may be imposed under the regulations in a conspicuous place at or near each park entrance (s 42).

Who may commence proceedings. Proceedings under the Act or regulations may be taken by the Board, the Chief Executive Officer, a person authorised by the Board or CEO either generally or in a particular case, or an authorised officer within the meaning of s 3(1) of the Conservation, Forests and Lands Act 1987 (s 40). This establishes both internal enforcement (Board-initiated) and external enforcement via authorised officers. The Act does not set out in detail the procedural route for proceedings; the Act’s enforcement will typically proceed under the regulatory and prosecutorial frameworks established by the regulations and by other relevant enforcement statutes.

Injunctions, administrative orders and closures. The Governor in Council may make regulations permitting closure to the public of any part or parts of a zoological park that the Board considers necessary for protection, management or safety, even if the park is expressed to be open to the public (s 41(1)(d)). The CEO or a director may prohibit or restrict admission for safety and crowd control (s 14(1)) and must display notices at entrances (s 14(2)). Those operational closure powers are administrative rather than penal, but non-compliance with closures can be captured by regulations that impose penalties.

Delegation of enforcement authority. The Board may authorise persons to take proceedings (s 40(c)) and may delegate functions or powers other than the power of delegation to members, committees, the CEO, Chief Finance and Accounting Officer, directors and other specified staff (s 16). Crowd-control powers in s 14 may be delegated by instrument except the power of delegation itself (s 14(4)). Delegation instruments should be in writing to meet the statutory requirement.

Immunity and liability. Board members have immunity from personal liability for acts or omissions done in good faith in carrying out a function or power under the Act or in the reasonable belief that their act or omission was in the carrying out of such a function or power (s 17(1)). Any liability that would otherwise attach personally to a member attaches to the Board (s 17(2)). This shifts potential financial exposure to the corporate entity.

Enforcement limits and discretion. The regulations may confer discretions or powers and may provide exemptions in specified cases or classes of cases (s 41(2)(c)-(d)). The Act therefore contemplates a regulatory scheme with an element of administrative discretion, exemptions and varying treatment by time, place or circumstances (s 41(2)(a)-(b)). The Board has express authority to fix and collect fees for things done under the Act in addition to fees prescribed under the regulations (s 12(k)).

Notice and transparency obligations. The Board must publish Government Gazette notices when land becomes or ceases to be managed land (ss 29, 30). The public must be informed about offences and penalties at park entrances (s 42) and admission restrictions must be signposted (s 14(2)). These duties support public knowledge of rules and enforcement consequences.

In practice, enforcement outcomes will depend heavily on the content of regulations the Governor in Council makes under s 41, the Board’s use of its prosecutorial rights under s 40, the delegation framework the Board adopts under s 16, and the operational rules the CEO and directors implement under ss 14 and 38. The Act sets a framework for penalties and enforcement rather than specifying a detailed catalogue of offences.

The Act is designed to operate alongside, and sometimes to modify the operation of, other Victorian legislation. It expressly disapplies and imports features of other Acts and identifies external authorisations and procedural overlays.

Crown Land and Reserve law. The Act provides that the Crown Land (Reserves) Act 1978 and other Acts or enactments relating to the management and control of Crown lands or reserves do not apply to zoological parks; zoological parks are to be managed as provided in this Act (s 22). However, the Governor in Council may declare land that is vested in the Crown and reserved under the Crown Land (Reserves) Act to be a zoological park to which this Act applies (s 24). Managed Crown land may be placed under the Board’s management by Order of Governor in Council on the Minister’s recommendation subject to consistency with any reservation or Act relating to the land (s 25(1)-(3)). These provisions carve out a specialised management regime for declared zoological parks and managed land, overriding the general Crown land management statute for those parcels.

Fences Act and Impounding of Livestock Act. For certain purposes, the Board is deemed to be an "owner" under the Fences Act 1968 in relation to zoological parks (s 15(1)). Despite the Fences Act, occupiers of land adjoining a zoological park are not required to contribute to dividing fence costs constructed by the Board (s 15(2)). The Board may impound livestock trespassing in a zoological park in accordance with the Impounding of Livestock Act 1994 as if the Board were the owner or occupier under that Act (s 15(3)). These cross-references integrate the Board into existing fencing and impounding regimes while altering apportionment of costs for adjoining occupiers.

Filming Approval Act 2014. The Act is declared to be filming approval legislation within the meaning of the Filming Approval Act 2014 (s 4A). The s 3 definitions incorporate "film friendly principles" and "film permit" by reference to the Filming Approval Act 2014. Regulations made under this Act for issuing film permits must not be inconsistent with film friendly principles (s 41(3)). That creates an explicit constraint on any regulatory regime for film permits the Board or Governor in Council might adopt.

Liquor Control Reform Act 1998. The Board may apply for and hold a licence or permit under the Liquor Control Reform Act 1998 for premises within a zoological park where services are provided by the Board (s 13(3)). The Liquor Control Reform Act licensing rules and conditions will therefore apply to licensed premises the Board operates or licences.

Conservation, Forests and Lands Act 1987. The Act authorises certain persons as potential prosecuting parties by reference to authorised officers under s 3(1) of the Conservation, Forests and Lands Act 1987 (s 40(d)). This cross-reference enables authorised officers from that statute to take proceedings under this Act, linking its enforcement apparatus into broader conservation and land enforcement arrangements.

Planning and Environment Act 1987. Agreements under s 26 (placement of freehold land under Board management) are subject to Division 2 of Part 9 of the Planning and Environment Act 1987 as if such agreements were those under that Division, with modifications: the Board is treated as the responsible authority and sections 174-180 and 184 are omitted (s 26(5)). This applies the statutory regime for covenants, restrictions and management agreements in the planning legislation to land management agreements with the Board while dispensing with certain sections of that regime.

Public Administration Act 2004. Schedule 2 provides that the Public Administration Act 2004, other than Part 3, applies to a member in respect of the office of member (Sch 2 cl 1(4)). That subjects members to specified public sector standards and obligations set by that Act.

Other Acts and Orders. The Governor in Council may revoke or vary Orders under ss 24 and 25 (s 24(3); s 25(4)). The Act also contemplates compatibility checks: the Minister must not recommend placing Crown land under the Board’s management if inconsistent with any Act or reservation relating to the land (s 25(2)).

Practical implications of these interactions:

• The Act creates a specialised overlay for declared zoological parks, limiting the operation of general Crown land management statutes on those parcels (s 22).
• Land management agreements over freehold land bring planning law covenants and provisions into play subject to the modifications stated in s 26(5).
• Licensing, film permitting and enforcement may require navigation of the external statutes cited, so operational regimes will need to reconcile requirements of the Liquor Control Reform Act 1998, Filming Approval Act 2014 and conservation enforcement frameworks.
• Ministerial and Governor in Council decisions under this Act can change the applicable statutory regime for the land in question, so stakeholders holding land or encumbrances should be alert to Orders under ss 24-25 and the requirement for consent by encumbrancers under s 26(4).

Overall, the Act both excludes some general Crown land rules for declared parks and imports key procedural and licensing regimes from other statutes, creating a mixed legal environment for land, licensing and enforcement activity.

Significant recasting of corporate planning document provisions (s 18 replaced by No. 53/2017 s 59), adjustments to membership provisions (s 9 substitutions), amendments to delegation and corporate planning for the Board, and the insertion of new transitional provisions (ss 50-52). Commencement of ss 56-66 noted 15 December 2017.
• Parks and Crown Land Legislation Amendment Act 2020 (No. 40/2020). Inserted s 33A (management of certain land at Healesville) with a specific requirement to manage Yellingbo land in accordance with purposes in the National Parks Act 1975, s 17E(3)(a). Commencement of s 116 noted 1 May 2021.

Transitional and repeal provisions. The Act repealed the Zoological Parks and Gardens Act 1967 and provided for the continuity of staff and rights, assets and liabilities to transfer to the new Board (Pt 5 Div 1, ss 44-48). The Endnotes contain a table of amendments that sets out insertion and commencement dates for each amending instrument.

Commencement dates. The Act’s own commencement was staged. Sections 1 and 2 commenced on the date of assent, 5 December 1995, and the remainder came into operation on proclamation or, if not proclaimed within six months, automatically on the first day after that period (s 2). The Endnotes note that the rest of the Act came into operation on 30 April 1996.

Amendment mechanics in the Act text. Several sections show where later amending Acts have substituted or inserted text, with footnotes noting the amending provision. Notable operational changes implemented through amendment include:

• Replacement of the corporate planning document regime by the Parks and Crown Land Legislation Amendment Act 2017 (s 18).
• The addition of film-related provisions and the declaration that this Act is filming approval legislation (s 4A and s 3 definitions) by the Filming Approval Act 2014.
• The insertion of s 33A in 2020 requiring management of specified Yellingbo land consistent with the National Parks Act 1975 (s 33A(1)).

What the source does not provide. The Endnotes list the amending Acts and commencement dates but do not include the text of amendments outside the current version, nor do they provide amendment rationales beyond minimal second reading speech references. The Explanatory details section has no entries in this printed version.

For legal practitioners and advisers, the amendment history signals areas where policy direction and administrative mechanics have shifted, particularly around corporate planning and land management, and where cross‑statute conformity was introduced (film approvals and specified land management requirements). Where an application or contractual arrangement engages a provision with an amendment footnote, the practitioner should reference the amending Act and its commencement date if historical rights or transitional treatment are relevant.

The printed version of the Act supplied in the source does not include judicial decisions, case law citations or a litigation history. The Endnotes and schedules contain the Minister’s second reading speech references and a table of amendments, but no reported cases or proceedings are named in the text provided.

What the source does provide that bears on potential litigation:

• The Act locates decision‑making powers with the Governor in Council (s 24; s 25), the Minister (s 8; s 18) and the Board (ss 11-13), and it creates protestable administrative acts such as placement of Crown land under management or Orders declaring parks. Such decisions could give rise to judicial review claims when exercised. The Act itself does not set out judicial review mechanisms.
• Schedule 2 includes governance rules for disclosure of conflicts and procedural validity; disputes over compliance with these governance rules could result in judicial challenges to the validity of Board decisions (Sch 2 cl 8 on validity of decisions and cl 11 on disclosure of interest).
• The Act provides internal enforcement rights and external enforcement by authorised officers (s 40). Prosecutions under the regulations (when made) would create litigation in the magistrates or relevant courts based on the content of regulations under s 41.
• Members have statutory immunities for acts or omissions done in good faith (s 17). Litigation that seeks to pierce immunity must engage the statutory test of good faith; the Act assigns resulting liability to the Board (s 17(2)). This provision will affect the manner in which civil suits against members are pleaded.

Absence of named cases. Because the supplied Act text does not reference any decided cases, the current material cannot be used to identify precedent either for statutory construction or for board governance disputes. Practitioners requiring litigation authorities will need to consult case databases or reported decisions to identify any judicial interpretation of the Act, its corporate planning provisions, land declaration Orders, governance conflicts under Schedule 2, or enforcement actions under s 41 regulations when made.

In practice, litigation touching the Act could fall into several categories: judicial review of executive decisions under ss 24-25, contract or property disputes arising from s 26 management agreements and s 32 disposals, prosecution under the regulations made under s 41, employment or administrative disputes related to staff transfer and conditions under Pt 5 transitional provisions (ss 44-48), or tort claims connected to park operations subject to the Board’s immunities and occupier duties (s 15 and s 17). The Act’s text supplies the statutory framework that would frame such litigation but not the case law that interprets it.

The Act contains several drafting and operational features that can produce traps for practitioners and administrators unless attention is paid to the exact statutory mechanics and cross‑statutory effects.

Board manages but does not own declared parks. The Act states the Board is responsible for the management of zoological parks but does not own them (s 23). Ownership and management split can complicate rights to dispose, grant interests or make long-term encumbrances over parks. The Board can dispose of land it owns (s 32) and may grant leases, licences and permits over parks and managed land on terms it thinks fit, but leases and licences that exceed statutory terms require Minister approval (s 33(2)(a)-(b)). Practitioners should not assume that the Board has unfettered permanent ownership rights over declared parks. For any transaction, check whether the land is declared park, managed Crown land, acquired land or acquired but not managed land, because different statutory mechanics and notice requirements apply (ss 23-31).

Ministerial and Governor in Council powers. The Minister exerts general direction and control (s 8). The Governor in Council makes Orders declaring parks and placing Crown land under the Board’s management (ss 24-25). These executive choices can alter applicable statutory regimes for parcels and may impose conditions or restrict which Board functions apply to managed land (s 25(3)). Transactions or expectations about land use should account for potential executive variability and the fact that an Order may be revoked or varied (s 24(3); s 25(4)). The Minister must not recommend placing land under the Board’s management if inconsistent with any Act or reservation relating to the land (s 25(2)); that is a legal constraint that can affect feasibility.

Encumbrancers’ consent required for freehold management agreements. Agreements to place freehold land under the Board’s management must include the written consent of any person with an interest, mortgage, charge or encumbrance over the land (s 26(4)). Failure to secure such consent could render an agreement ineffective on change of ownership, because, absent registration under a relevant planning provision, the agreement ends when ownership changes (s 26(3)(b)). Clause s 26(5) brings part of the Planning and Environment Act 1987 into play for such agreements, but it omits sections 174-180 and 184, so the protective effect of registration and covenant mechanisms requires careful attention to whether the agreement has been registered under the applied Division.

Corporate planning document directions. The Minister may not only request corporate planning documents but may direct the Board to amend them and the Board must comply (s 18(5)-(6)). This creates a tight administrative control over corporate plans. Practitioners advising on Board strategy should factor in the Minister’s power to specify both content and form in any request (s 18(1)(b)) and to directionally change documents at any time.

Delegation traps. The Board may delegate functions or powers by instrument to enumerated officers and staff (s 16). Importantly, the Board cannot delegate the power of delegation itself, and s 14(4) explicitly restricts delegation of the crowd-control power in s 14 except for delegation of its exercise but not the power to delegate. Delegations must be by instrument and should be documented to avoid challenge. Failure to make a proper instrument-based delegation could render actions ultra vires.

Fees and concessions. The Board can fix and collect reasonable fees (s 12(k)) and regulations may prescribe fees, concessions, fee waivers and the mechanisms for determining concessionary charges (s 41(1)(g); s 41(2)(e)). The Act allows fees to be of general or limited application and to differ by time, place or circumstances (s 41(2)(a)-(b)). Boards must ensure fee-setting and concession mechanisms are implemented in compliance with any regulations and with the corporate plan. There is potential for dispute or judicial review where fee-setting appears inconsistent with stated corporate objectives or where concessions are applied inconsistently.

Film permitting and film friendly principles. The Act is defined as filming approval legislation under the Filming Approval Act 2014 (s 4A) and the regulations for issuing film permits must not be inconsistent with film friendly principles (s 41(3)). That constraint limits regulatory options and requires the Board to align film-permit policies with the film-friendly framework. Practitioners should check both Acts when assessing permissions or commercial arrangements related to filming.

Occupier and fencing obligations. The Board is deemed to be an "owner" under the Fences Act 1968 in relation to zoological parks (s 15(1)), and adjoining occupiers are not required to contribute to dividing fence costs constructed by the Board (s 15(2)). This reverses ordinary cost-sharing expectations and may provoke disputes with neighbouring landholders. The Board also gains powers to impound livestock trespassing in parks per the Impounding of Livestock Act 1994 as if it were owner or occupier (s 15(3)). Neighbouring landholders should review these provisions when assessing liabilities and fence cost expectations.

Information and notice obligations. The Board must publish Gazette notices when land becomes managed land or ceases to be so (ss 29-30) and must display particulars of offences at entrances (s 42). Failure to meet these publication or signage duties could undermine the Board’s capacity to rely on certain regulatory provisions or to justify enforcement actions against members of the public who argue lack of notice.

Immunity and shifting of liability. Members enjoy personal immunity for acts done in good faith (s 17(1)); liability instead attaches to the Board (s 17(2)). This protective structure may complicate claims against individual members but leaves the Board exposed financially and operationally.

Schedule provisions and membership. Schedule 2 contains rules governing appointments, conflicts, quorum and validity of decisions. Notably, an act or decision of the Board is not invalid merely because of a defect in appointment or a vacancy (Sch 2 cl 8). However, disclosure obligations apply strictly and members must not take part in discussions or votes where they have a direct or pecuniary interest (Sch 2 cl 11). Governance failures in disclosure or minute-keeping could still produce challenges even where formal decisions are protected by cl 8’s validity rule.

In short, the main "gotchas" arise from the split between management and ownership of parks, the executive powers to alter land status, the Minister’s control over corporate planning, the need for express consent by encumbrancers for freehold management agreements, delegation formalities, and cross‑statutory constraints on film and liquor activities. Practitioners should map these interactions carefully before structuring land, commercial, licensing or governance arrangements.

This section sets out practical compliance steps for the Board, its officers, contracted providers and counterparties based on the Act’s specific obligations and powers. The actions below are grounded in the relevant provisions cited.

Governance and appointments

• Ensure Board composition and appointment conform to s 9(1)-(3): up to nine members appointed by Governor in Council on Minister recommendation, with expertise in the enumerated areas. Keep written instruments of appointment specifying terms up to three years (Sch 2 cl 1).
• Appoint chairperson and deputy pursuant to Sch 2 cl 2 and ensure terms and conditions are recorded (Sch 2 cl 3).
• Apply Public Administration Act obligations to members where applicable (Sch 2 cl 1(4)).
• Maintain minutes for all meetings and ensure quorum rules and voting procedures are followed (Sch 2 cl 10). Record any disclosures of interest promptly and exclude conflicted members from participation as required (Sch 2 cl 11(1)-(4)).

Corporate planning and ministerial requests

• When the Minister requests a corporate planning document, comply with s 18(1)-(3): meet the specified content, form and deadline. Maintain a process for timely preparation and Board approval.
• If the Minister directs amendments to a corporate planning document, comply with s 18(5)-(6) and keep records of the instruction and the Board’s implementation steps to demonstrate statutory compliance.
• Maintain internal controls to identify events that may "prevent or significantly affect" achievement of corporate objectives or financial targets, and notify the Minister immediately with reasons as required by s 20.

Financial and accounting controls

• Establish and maintain the General Account in accordance with s 21. Ensure all receipts described in s 21(2) are paid into the General Account and set up procedures for allowable payments under s 21(3).
• Implement fee-setting protocols consistent with s 12(k) and anticipated regulations under s 41(1)(g). Document fee rationale, concession mechanisms and any waiver criteria to ensure transparency and defensibility.

Land management and transactions

• Before entering into a management agreement for freehold land, secure written consent of all persons holding an interest, mortgage or charge as required by s 26(4). Confirm whether registration is necessary under the Planning and Environment Act as applied by s 26(5).
• For Crown land placements, ensure the Minister’s recommendation and any proposed Order are consistent with existing reservations and other Acts as required by s 25(2).
• Publish Government Gazette notices promptly when land becomes managed land (s 29) and when it ceases to be managed land or the Board surrenders land (s 30).
• For leases, licences and permits over parks or managed land, follow s 33: obtain Minister approval where required for leases (s 33(2)(a)) and for licences of specified durations (s 33(2)(b)). Ensure the purpose of any grant is consistent with the Board’s functions (s 33(3)).

Operational management and safety

• Authorise the CEO and directors to exercise crowd-control and admission restriction powers under s 14(1). Ensure visible signage at each entrance that sets out details of any prohibition or restriction as required by s 14(2).
• When delegating powers, use written instruments as required by s 16 and ensure excluded delegations (the power of delegation itself) are not attempted to be delegated. Keep a delegation register linking powers to delegations.
• For fencing and impounding matters, apply s 15: treat the Board as "owner" for specified purposes of the Fences Act 1968 and follow Impounding of Livestock Act 1994 processes when impounding trespassing livestock (s 15(3)).

Regulatory compliance and enforcement

• Prepare for regulations under s 41 by drafting internal policies that can be aligned with likely regulatory instruments: entry conditions, fees, opening times, public safety, trade in parks and protection of flora and fauna.
• Ensure enforcement procedures are in place for authorised persons or officers who may take proceedings under s 40. Keep clear authorisation instruments showing who is empowered to commence proceedings.
• Post conspicuous notices of offences and potential penalties at park entrances in compliance with s 42.

Commercial activities and third-party dealings

• If providing restaurant or refreshment services, obtain and maintain any necessary liquor licences under the Liquor Control Reform Act 1998 for premises within the parks (s 13(3)). Ensure service activities are consistent with the Board’s functions (s 13(2)).
• For film permits and film-related commercial activity, align internal permit processes with film friendly principles under the Filming Approval Act 2014 and ensure any regulations for film permits under s 41 are not inconsistent with those principles (s 41(3); s 4A). Cross-check with the Filming Approval Act requirements when negotiating filming agreements.
• When exploiting intellectual property, use s 12(d)-(f) procedures: obtain and hold IP rights and ensure assignments or licences are documented and consistent with policy and statutory functions.

Employment and staff transition

• Employ directors and staff as authorised under s 39. For staff transferred under transitional provisions, ensure continuity of terms, conditions and accrued entitlements as required by Pt 5 Div 1 (s 48).
• Where appointing an acting CEO, comply with the time limits and terms described in s 37 and ensure the acting appointment does not exceed statutory maxima.

Record-keeping and public transparency

• Maintain full records of corporate planning documents, Ministerial directions and Board decisions to demonstrate compliance with s 18 and Sch 2 procedural requirements.
• Ensure Government Gazette notices required under ss 29-30 are published promptly and that signage obligations under ss 14 and 42 are met.

Legal risk management

• Maintain appropriate insurance and legal advice structures because members’ immunity attaches liability to the Board (s 17(2)). Ensure Board indemnities and insurance covers liabilities attaching to the corporate entity.
• Review encumbrance consent procedures and title checks before entering into management agreements or granting long-term interests to avoid invalid or unenforceable arrangements under s 26.

Practical checklist for a transaction involving land or commercial permission:

1. Confirm land status: zoological park, managed Crown land, acquired land or freehold (ss 23-29).
2. If freehold management agreement: obtain written consents from encumbrancers (s 26(4)) and consider registration under Planning and Environment Act rules as applied (s 26(5)).
3. For leases exceeding standard terms, seek Minister approval where required (s 33(2)(a)).
4. Ensure activity is consistent with Board functions (s 33(3)).
5. Publish required Government Gazette notices and maintain signage as required (ss 29-30; ss 14, 42).

Following these measures will align operational practice with the statutory duties and rights set out in the Act and reduce exposure to governance, land title and enforcement risks.
