Wood Processing (WESFI) Agreement Act 2000 (Western Australia)

This Act ratifies and authorises implementation of a detailed 25-year supply and land-use agreement between the State of Western Australia and WESFI Limited (the Agreement in Schedule 1). Section 4(1) of the Act expressly ratifies the Agreement and s 4(2) authorises its implementation. The Act further provides that, without limiting the Government Agreements Act 1979, the Agreement operates and takes effect despite any other Act or law (s 4(3)). The Agreement itself (Schedule 1) contains the operative commercial terms and statutory modifications that bind the State and WESFI for the term.

Mechanically the Agreement obliges the State (through the Executive Director of the Department of Conservation and Land Management, “CALM”) to make available annually a defined minimum quantity of plantation softwood resource, subject to specified contingencies and procedures. Clause 5(1)(a) requires that for each year the Executive Director make available not less than 330,000 cubic metres of resource to the Company’s factories, subject to the Company’s yearly statement of requirements and specified force majeure and damage exceptions (Clause 5(9)). The Agreement sets out how resource is allocated, measured and priced, including stumpage schedules and roading charges in the First Schedule (Clause 5(11), First Schedule). It also sets detailed specifications of acceptable logs and chips in the Second Schedule (Clause 5(8), Second Schedule).

The Agreement grants the State powers to ensure the availability of plantations, including replanting obligations (Clause 5(1)(e)), and to resume land and create leases, licences and easements for factory operation under modified provisions of the Land Administration Act and the Public Works Act (Clause 9(3)). The Agreement imposes obligations on the Company to take delivery and to pay stumpage, processing and haulage costs, provide multi‑year forecasts and annual statements of requirements (Clauses 5(2), 5(5), 6(1)). It creates a commercial enforcement framework: suspension of supply for non‑payment (Clause 6(2)(b)), arbitration for disputes (Clause 18), termination rights for material default or insolvency (Clause 14), and State remedies for breach (Clause 14(4)).

Schedule 1 — Wood Processing (WESFI) Agreement

[s. 3(1)]

THIS AGREEMENT is made this eighth day of August 2000

BETWEEN

THE HONOURABLE RICHARD FAIRFAX COURT, B. Com., M.L.A., Premier of the State of Western Australia acting for and on behalf of the said State and instrumentalities thereof from time to time (hereinafter called “the State”) of the first part, and

WESFI LIMITED ACN 008 672 740 a company incorporated in the State of Western Australia and having its registered office at 1-27 Somersby Road, Welshpool (hereinafter called “the Company”) of the second part

WHEREAS:

A. The State has established substantial softwood plantations in the vicinity of the Perth Metropolitan area and in the South West of the State. Approved forestry practice requires that these softwood plantations be periodically thinned. Such thinning produces substantial quantities of softwood timber that is not suitable for sawlogs. Softwood thinnings (together with softwood plantation and pine sawmill residues) are raw materials used in the production of wood based panel products of the nature currently manufactured by the Company at its Welshpool and Dardanup factories.

B. It is in the interests of the State that plantation softwood thinnings be fully utilised and processed within the State and accordingly the State has encouraged the establishment by the Company of a particleboard factory in the Dardanup area and a medium density fibreboard factory at Welshpool.

C. The original design capacity of the factories was predicated on the assumption that the volumes of plantation softwood thinnings (together with softwood plantation residues, sawmill residues and other industrial wood suitable for the manufacture of wood based panel products) available within economic distances of the factories would progressively increase. Accordingly in the interests of economy of operation and in recognition of the need for world-scale competitiveness the factories were built with a design capacity considerably in excess of the markets for their products.

D. The Company before establishing the factories required (inter alia) to be assured of the availability of certain facilities and services to operate the factories and that it would be able to procure a continuous supply of softwood resource within economic distances of the factories and requested the State to assist in these matters.

E. The State recognising that:

(a) the Company’s undertaking promotes and assists the State’s policy of decentralization of industry;

(b) wood based panel products manufacture promotes the efficient development of the softwood plantations; and

agreed to give effect to the Company’s requirements by entering into the 1975 Agreement for an initial term of 25 years from 23 May 1975.

F. Clause 32 (1) of the 1975 Agreement provides that (subject to the terms of the Clause) the State will if satisfied that the Company needs to have supplies of softwood resource suitable for the manufacture of wood based panel products assured to it by a further agreement enter into negotiations with the Company for that purpose.

G. Having satisfied itself that the Company needs to have assured to it:

(a) the continued supply of adequate volumes of softwood resource suitable for the manufacture of wood based panel products within economic distances from the factories; and

(b) the intentions of the State to use all reasonable endeavours to ensure that a continuous supply of softwood resource suitable for the manufacture of wood based panel products is available within economic distances from the factories throughout the term and that the Company has the opportunity to purchase volumes of softwood resource in addition to those volumes provided for under this Agreement where such softwood resource becomes available,

the State desires in pursuance of the obligations undertaken by it in the 1975 Agreement and for the purpose of continuing to promote employment opportunity and industrial development especially in regional areas of Western Australia to assist by extending the supply arrangements under the 1975 Agreement upon and subject to the terms and conditions of this Agreement.

H. The Company in recognition of the State’s commitment to continue its support for industry in Western Australia based on plantation softwoods has agreed as a discrete agreement (having no impact on the terms and conditions of this Agreement) to negotiate in good faith with the State to secure an arrangement whereby the Company will contribute a minimum of $1,000,000 per annum during the term of this Agreement to a scheme for the creation and management by the State on Crown Reserves of softwood plantations of the species Pinus radiata on commercial terms acceptable to the Company and the State.

Supply of resource

(1) (a) For each year of this Agreement the State shall ensure that the Executive Director makes available for supply to the Company not less than 330,000 cubic metres of resource to the factories (except to the extent that a lesser aggregate requirement is specified in the statement of the Company’s requirements for resource provided by the Company to the Executive Director for any such year in accordance with subclause (5) of this Clause).

(b) Except as otherwise agreed by the Minister the Executive Director shall not be obliged to supply to the Company in any year a quantity of resource in excess of 330,000 cubic metres. Nothing in this paragraph prevents the Executive Director in his discretion from supplying to the Company in any year a quantity of resource in excess of 330,000 cubic metres by agreement with the Company.

(i) supply to the Company from time to time details of its best estimates of the availability of resource from the softwood plantations for each year of this Agreement; and

(ii) notify to the Company prior to 31 December in each year the maximum quantity of resource available for supply to the Company during the next ensuing year.

(d) During the term the State shall ensure that the Executive Director shall supply to the Company (without the Company being under any obligation to obtain any permit or licence from the Executive Director) the quantity of resource from the softwood plantations agreed upon or determined in respect of each year pursuant to the provisions of subclause (6) of this Clause.

(e) For the purposes of giving effect to the obligations of the State under paragraph (a) of this subclause the State shall ensure that the Executive Director:

(i) replants to Pinus radiata or Pinus pinaster such suitable areas of State forest and fee simple land held in the name of the Executive Director which have previously been planted to Pinus species and have been clearfelled, except for those softwood plantations occurring in State forest 65 (Gnangara), 70 (Peel) and 3 (Hamel); and

(ii) causes to be planted to Pinus pinaster within as close a proximity to the Welshpool factory as is reasonably possible such areas of available land

as may be necessary to endeavour to ensure that sufficient volumes of resource can be made available to the Company.

(2) On or before 31 December in each year during the continuance of this Agreement the Company shall deliver to the Executive Director an estimate of its resource requirements for each of the next ensuing 6 years.

(3) With due regard for sound forest practice, the Executive Director’s other log supply commitments and the aim of minimising the haulage distance to the factories the Executive Director shall by 28 February in each year advise the Company of the softwood plantations from which it is planned to supply the Company’s estimated requirements for resource for each of the factories for each of the next ensuing 6 years notified pursuant to subclause (2) of this Clause.

(4) Within 60 days of being advised by the Executive Director of the softwood plantations from which resource is planned to be supplied in accordance with subclause (3) of this Clause, the Company may advise the Executive Director if the Company considers the volume weighted average haulage distance from the nominated softwood plantations to the factories to be uneconomic. If the Company advises the Executive Director that it considers the volume weighted average haulage distance is uneconomic then the Executive Director will consider the basis on which the Company has reached that conclusion and if the Executive Director agrees then the Executive Director will use all reasonable endeavours in a responsible manner to reduce the volume weighted average haulage distance.

(5) On or before 15 May in each year during the continuance of this Agreement the Company shall provide to the Executive Director a statement of the Company’s requirements for resource for each of the factories for the ensuing year.

(6) On or before 31 May in each year agreement shall be reached between the Company and the Executive Director as to the quantity of resource to be supplied by the Executive Director to the Company during the next ensuing year. In default of agreement the matter shall be determined by arbitration.

(7) The State shall ensure that the Executive Director shall as far as is practicable control the softwood plantations so as to ensure that (consistent with in his opinion approved forestry practice) the quantity of resource agreed between the Executive Director and the Company or determined (pursuant to subclause (6) of this Clause) is available to the Company in priority to other prospective uses of resource of a specification which would ordinarily be intended for supply to the Company.

Specifications of Resource

(8) The Executive Director shall provide to the Company resource, which is in accordance with the specifications in the Second Schedule which may be varied from time to time by agreement between the Executive Director and the Company.

Suspension if plantation damaged

(9) If any of the softwood plantations are damaged or destroyed by fire disease or other cause to such an extent that it is impracticable for the State to comply with the provisions of subclause (1)(a) of this Clause or if by reason of anything beyond its reasonable control the State is prevented from complying with those provisions the Company shall have no claim against the Crown in right of the State or the Executive Director for the nonfulfilment of their obligations under those provisions so far as nonfulfilment is due to any such cause.

Executive Director’s commitments

(10) (a) As it is agreed that it is in the best interest of the Executive Director and the Company to encourage economy in felling and extraction to loading points and (where applicable) chipping of resource, the State undertakes that the Executive Director shall from time to time as occasion requires (after consultation with the Company as to the terms and conditions thereof) call tenders for such felling and extraction and chipping. The Executive Director shall not accept any tender for the felling and extraction and (where applicable) chipping of resource that is to be supplied to the Company unless before acceptance the tender has been considered jointly by the Executive Director and the Company.

(b) The State shall ensure that the Executive Director will construct and maintain roads suitable for transport of the resource by the Company and its contractors from loading points to the boundaries of land controlled by the Executive Director.

Price of resource

(11) As to all resource made available to and accepted by the Company, the Company shall pay to the Executive Director in respect thereof:

(a) the several rates of stumpages set out in the First Schedule hereto provided always that the Minister may from time to time if he considers it appropriate so to do vary any of the said several rates of stumpages set out in the First Schedule hereto to such amount or amounts and for such period or periods as he may determine;

(b) the costs and expenses of felling and extraction of resource to the loading points and chipping of logs at the rates or prices set out in the contracts of sale resulting from tenders called pursuant to subclause (10)(a) of this Clause respectively accepted therefor but if such tender includes logs other than resource then as otherwise agreed or failing agreement as determined by arbitration to be fair and equitable;

(c) the cost of haulage from the loading point to the factories where the Executive Director is responsible for the haulage of the resource;

(d) 5 per centum of the costs and expenses referred to in subclauses (b) and (c) of this subclause representing:

(i) the costs directly incurred in controlling and supervising the work of contractors engaged in the felling and extraction to the loading points and (where applicable) chipping of resource; and

(ii) 15 per centum of the costs referred to in subclause (d)(i) of this subclause to cover overheads and other indirect costs associated with such work; and

(e) a charge for the construction use and maintenance of roads in the softwood plantations and State forests levied at a rate as set out in the First Schedule hereto.

(12) At intervals of not less than three years either party may request that the provisions of either or both paragraphs (d) and (e) of subclause (11) be reviewed. If under the review the parties fail to agree as to whether an adjustment is required or on the amount of the adjustment then the matter shall be referred to arbitration.

(13) (a) In this subclause (13) “GST” and “supply” have the meanings given to those terms in the A New Tax System (Goods and Services Tax) Act 1999 of the Commonwealth and “GST” includes GST equivalents made payable by the law of Western Australia.

(b) Notwithstanding anything express or implied in this Agreement (other than this subclause (13))to the contrary, if GST is imposed or is payable on or in respect of any supply of goods, services, or other things, (including without limitation the licensing of any right) by the State under or in connection with this Agreement, or if the amount of GST is calculated by reference to any such supply, or if GST is imposed or is payable on or in respect of or by reference to any amount payable to the State under or in connection with this Agreement, then the Company must pay the State an extra amount equal to the amount of that GST.

(c) The Company must pay the State all amounts payable under this subclause (13) at the time of the payment to which they relate, or otherwise on demand.

(d) The obligations of the Company under this subclause (13) only apply if the State has provided the Company with a valid tax invoice for the relevant supply which:-

(i) meets the requirements of the legislation and any regulations governing the GST and any relevant requirements of the Australian Taxation Office (or other relevant administering body or person); and

(ii) sets out the amount in respect of which GST is payable and the amount of that GST.

(e) If after the date of this Agreement there is any abolition or reduction of taxes duties or statutory charges (including but not limited to sales tax, fuel excise, stamp duty, financial institutions duty, debits tax and any impost in lieu of any of the foregoing under any tax equivalent regime) the amounts otherwise payable by the Company under this subclause (13) will be reduced so that the full benefit of any such abolition or reduction applicable to the performance of this Agreement is passed on to the Company.

Company’s commitments

(1) (a) Subject to the provisions of Clause 12 hereof the Company shall be bound in each year to take delivery of the quantity of resource agreed or determined pursuant to subclause (6) of Clause 5 hereof provided that if it takes less than 90 per centum of such quantity in any year, the Company shall pay stumpage to the Executive Director on the quantity less than 90% (deficiency) at a rate equal to the stumpage rate payable in that year under subclause (11)(a) of Clause 5 hereof; and

(b) if the Company during either or both of the two years immediately following any year in respect of which it is required to make a payment to the Executive Director pursuant to paragraph (a) of subclause (1) of this Clause takes resource in excess of the lesser of:

(i) 90% of the quantity of resource notified by the Executive Director to the Company pursuant to subclause (1)(c)(ii) of Clause 5 as available for supply to the Company during the relevant year; or

(ii) 330,000 cubic metres,

then the stumpage payable on such excess (excess) shall be reduced by the amount of stumpage which had been paid in respect of the deficiency, but such that if the amount payable on the deficiency is greater than the amount payable on the excess, then the stumpage payable on the excess will be nil. Under no circumstances will the reduction in stumpage payable on the excess, whether occurring in either or over both of the two years immediately following any year in which the deficiency occurs, be greater than the amount of the payment made in respect of the deficiency.

(2) The following provisions shall apply with respect to stumpage rates and costs and expenses payable under this Agreement:

(a) the stumpage rates shall be payable at such times after the amounts have been ascertained as provided for in subclause (11)(a) of Clause 5 and in such manner as the Executive Director from time to time determines; and

(b) if any sum in respect of stumpage rates or any of the costs and expenses referred to in subclauses (11)(b) (11)(c) (11)(d) and (11)(e) of Clause 5 hereof remains unpaid for 30 days after the due date the Executive Director may, without limiting the obligations of the Company under subclause (1) of Clause 6 hereof by not less than 7 days notice in writing to the Company suspend its right to obtain resource under this Agreement until payment is made.

(3) (a) The quantity of resource upon which the stumpage is payable shall be:

(i) measured in such manner and by such method (allowance being made for bark) as may be agreed upon from time to time by the Executive Director and the Company provided that such methods are consistent with the Regulations made under the CALM Act; and

(ii) accurately recorded in writing by the Company in such manner as the Executive Director reasonably directs and no resource shall be removed from the place referred to in subclause (3)(b) of this Clause until the measurement has been completed and so recorded and within 3 business days following the date of delivery of the resource the Company shall furnish to the Executive Director a return in writing showing the quantity of resource upon which stumpage is payable.

(b) The place at which the quantity of resource is to be measured shall be as fixed by the Executive Director from time to time after consultation with the Company and no resource shall be removed therefrom until such measurement has been completed and recorded.

(i) the Company shall provide a weighbridge of a pattern which meets the requirements of the Weights and Measures Act 1915 and shall while this Agreement remains in force have the weighbridge maintained and periodically verified and stamped in accordance with the provisions of that Act;

(ii) at all times while the weighbridge is in accurate working order the quantity of resource upon which stumpage is payable under this Agreement shall be measured by weighing in on the weighbridge; and

(iii) at all times while the weighbridge is not in accurate working order the quantity of resource upon which stumpage is payable under this Agreement shall be determined in such manner as may be agreed upon by the Executive Director and the Company or failing agreement within 14 days as the Executive Director may direct.

(4) Save as varied or modified by this Agreement the Company shall comply with the provisions of the CALM Act.

Maintenance of public roads

(1) The State shall maintain or cause to be maintained those public roads under the control of the Commissioner of Main Roads or a local government which may be used by the Company for the purposes of this Agreement to a standard similar to comparable public roads maintained by the Commissioner of Main Roads or a local government as the case may be.

Upgrading of public roads

(2) (a) In the event that for or in connection with the Company’s activities hereunder the Company or any person engaged by the Company uses or wishes to use a public road (whether referred to in subclause (1) or otherwise) which is inadequate for the purpose, or any use by the Company or any person engaged by the Company of any public road results in excessive damage to or deterioration thereof (other than fair wear and tear) then the Company shall pay to the State or the local government as the case may require an equitable part as reasonably determined by the Commissioner of Main Roads of the total cost of any upgrading required or of making good the damage or deterioration having regard to the use of such public road by others.

(b) It is declared and agreed for the purposes of this subclause that the Executive Director supplying resource to the factories pursuant to this Agreement is not a person engaged by the Company referred to in paragraph (a) of this subclause.

No discriminatory charges

Except as provided in this Agreement the State shall not impose nor shall it permit or authorise any of its agencies or instrumentalities or any local government or other authority of the State to impose discriminatory taxes rates or charges of any nature whatsoever on or in respect of the titles property or other assets, products, materials or services used or produced by or through the factories’ operations nor will the State take or permit to be taken by any such authority any other discriminatory action which would deprive the Company of full enjoyment of the rights granted and intended to be granted under this Agreement.

Zoning and other issues

Zoning

(1) The State shall ensure after consultation with the local governments having jurisdiction in respect of the factory sites that the factory sites shall be and remain zoned for use or otherwise protected during the term so that the activities of the Company hereunder may be undertaken and carried out thereon without any interference or interruption by the State or by any State agency or instrumentality or by any local government or other authority of the State on the ground that such activities are contrary to any provision of a regional planning scheme, town planning scheme or local law.

Surrounding land

(2) Provided the Company implements a reasonable ongoing improvement program in its operations at the Dardanup factory to the satisfaction of the Minister:

(a) the State will make reasonable endeavours to use expeditiously provisions contained in the EP Act, the Western Australian Planning Commission Act 1985 and other relevant legislation after consultation with the Company and the relevant local government to define a buffer boundary and apply suitable planning and zoning controls to land within the buffer boundary to preclude land uses and development incompatible with the approved operations of the Dardanup factory so that the Company will be able to operate on a continuous basis at the Dardanup factory;

(b) the State agrees to have regard to existing noise emission contours shown on plan B attached hereto when creating the buffer boundary; and

(c) the State agrees that zoning and planning controls that may be put into place pursuant to subclause 9(2)(a) shall not be changed during the term in any manner that is determined by the Minister for Planning after consultation with the Company the Minister and the relevant local government to be incompatible with or likely to restrict or adversely affect the activities of the Company at the Dardanup factory.

FIRST SCHEDULE

(Supply and Price of Resource – Clause 5)

1. During the several periods set out or referred to in this First Schedule the stumpage rates and roading charges referred to in Clause 5(11) of this Agreement shall be payable at the relevant rates set out and calculated in accordance with the provisions of this First Schedule subject to the conditions and in the manner set out in this Agreement. The rates for resource for the Welshpool factory shall continue to be agreed or determined and be applicable with respect to the rates for resource for the Dardanup factory notwithstanding that the Company may not from time to time be carrying on operations at the Welshpool factory.

2. Stumpage rates for resource for the Welshpool factory

(1) Subject always to the provisions of Clause 5(11)(a) of this Agreement the stumpage rate for resource for the Welshpool factory shall be:

(a) for the period from the date of commencement to 30th April 2001:

$12.90 per cubic metre of logs with the price for resource of other specifications or measured by weight being equivalent to this rate but varied by conversion factors as agreed from time to time by the Company and the Executive Director;

(b) for each successive period of 3 years commencing on 1st May 2001:

the rate agreed upon by the Executive Director and the Company pursuant to subparagraph (4) of this paragraph or failing agreement within the time therein provided at the rate calculated by varying the rate payable during the relevant preceding period in the same proportion as the proportional variation in the relative figures published or otherwise provided by the Australian Bureau of Statistics as the Consumer Price Index for Perth (All Groups)(CPI)for the quarter immediately preceding the commencement of the relevant preceding period (which, for the purposes of any determination to be made for the period commencing 1 May 2001 shall be deemed to be 1 May 1998) and for the quarter immediately preceding the end of the relevant preceding period.

(2) (a) If the figures for the CPI cease to be published by or to be available from the Australian Bureau of Statistics or become immutable or if the CPI has its reference base changed so that its use becomes inappropriate for the purposes of subparagraph (1)(b) a new method of calculating any variation in the real value of money over time which most accurately reflects the role performed by the CPI at the date of this Agreement will be agreed between the State and the Company (or failing agreement within 30 days of one party giving notice to the other invoking the provisions of this paragraph) will be determined by the Minister in his reasonable discretion and such new method will be applied for the purposes of subparagraph (1)(b) in lieu of applying proportional variations in the CPI;

(b) The provisions of subparagraph (2) (a) will apply, mutatis mutandis, to any new method of calculating variations determined pursuant to such subparagraph from time to time if the use of such new method becomes inappropriate for the purposes of subparagraph (1)(b).

(3) If any variation in the stumpage rate for a period is not agreed or determined prior to the commencement of that period the Company will continue to pay stumpage at the rate payable during the relevant preceding period and as soon as any new rate has been agreed or determined an adjustment shall be made retrospectively to the commencement of that period.

(4) The parties hereto shall confer within 90 days preceding the expiry of each of the periods referred to in subparagraphs (1)(a) and (1)(b) of this paragraph in a bona fide effort to reach agreement within such 90 days (or thereafter within such extended time as the Minister may allow as provided in Clause 13 of this Agreement) as to the stumpage rate to be payable for the succeeding period and in so doing shall give full consideration to the economies of growing resource in the softwood plantations and processing and marketing the panel products and all matters incidental thereto including roading and other charges and the extent if any to which during the immediately preceding period the Minister in exercise of his discretion under subclause (11)(a) of Clause 5 of this Agreement or subclause (1)(a) of Clause 7 of the 1975 Agreement may have varied any of the several rates of stumpage set out in this First Schedule for a period or periods.

3. Stumpage rates for resource for the Dardanup factory:

(1) Subject to paragraph 4 of this First Schedule the stumpage rate payable for resource for the Dardanup factory shall be five sixths of the rate from time to time applicable (pursuant to paragraph 2 of this First Schedule) in respect of resource for the Welshpool factory.

(2) The provisions of paragraph 2(3) of this First Schedule shall apply mutatis mutandis to stumpage rates payable under this paragraph.

(3) It is acknowledged and agreed by the parties hereto that the stumpage rates provided for in this First Schedule in respect of resource used in the Dardanup factory are of a concessional nature based on the bulk of the panel products manufactured by the Company at the Dardanup factory being delivered beyond the boundaries of the said State.

(4*)* The Company shall if so requested by the Executive Director inform the Executive Director prior to the expiration of the period referred to in paragraph 2(1)(a) of this First Schedule and of each successive 3 year period calculated from 1 May 2001 of details of distribution of its panel products.

(5) If the Executive Director considers in respect of a period reported on by the Company pursuant to paragraph 3(4) of this First Schedule that:

(a) there has been a material reduction in the quantity of panel products delivered beyond the said State compared to that in the preceding period; or

(b) at the end of the period the Company will be able to compete on an equal footing with its competitors in the markets for its panel products outside the State without the benefit of concessional rate of stumpage for resource used in the Dardanup factory

the parties agree that in determining the stumpage rate to apply in the succeeding period for resource used in the Dardanup factory due regard will be given to determining whether it is reasonable in the circumstances that such stumpage rate should be aligned with the rate from time to time applicable (pursuant to paragraph 2 of this First Schedule) in respect of resource for the Welshpool factory without the benefit of any concession. Failing agreement on the withdrawal of the concession the matter shall (if so required by the Executive Director) be determined by arbitration under the provisions of this Agreement.

4. Roading Charge

The roading charge referred to in subclause (11)(e) of Clause 5 of this Agreement shall (subject to subclause (12) of Clause 5) be:

(1) for the period from the date of commencement until 30th June immediately following the date of commencement, 52 cents per cubic metre of resource where that resource is measured by volume, or 52 cents per tonne where that resource is measured by weight; and

(2) for each ensuing year at the rate calculated by varying the rate payable during the preceding year in the same proportion as (1+0.5(Ni-Bi)/Bi) bears to 1.0. where Ni refers to the Consumer Price Index for Perth (All Groups) published by the Australian Bureau of Statistics in respect of the quarter immediately preceding the particular review date and Bi is the Consumer Price Index for Perth (All Groups) published by that Bureau in respect of the corresponding quarter one year earlier.

Schedule 1 — Wood Processing (WESFI) Agreement

[s. 3(1)]

THIS AGREEMENT is made this eighth day of August 2000

BETWEEN

The Agreement implements a state‑backed long‑term resource‑supply contract, with detailed operational, pricing and institutional mechanics. Key concepts and the contractual architecture are:

Guaranteed minimum annual supply: The State, through the Executive Director of CALM, must make available at least 330,000 cubic metres of resource per year to the Company (Clause 5(1)(a)), subject to the Company’s own statement of requirements and force majeure or plantation damage exceptions (Clause 5(9)). The Executive Director may, in discretion, supply in excess of that quantity by agreement (Clause 5(1)(b)).
Forecasting and planning cycle: The Company must provide a six‑year estimate of resource requirements annually on or before 31 December (Clause 5(2)), and an annual statement of requirements for the ensuing year on or before 15 May (Clause 5(5)). The Executive Director will advise planned plantation sources by 28 February (Clause 5(3)) and must agree or arbitrate quantities by 31 May (Clause 5(6)). These calendar inputs create a rolling planning rhythm that allocates supply and underpins measurements, haulage planning and road works.
Priority allocation and forestry practice: The Executive Director is to control plantations, consistent with sound forestry practice and other commitments, so that the quantity agreed or determined for the Company is available “in priority” to other uses of resource of a specification intended for the Company (Clause 5(7)). The Agreement also requires that tenders for felling, extraction and chipping be called by the Executive Director after consultation with the Company and that tenders be jointly considered before acceptance (Clause 5(10)(a)).
Pricing and cost components: Price for delivered resource comprises multiple components: stumpage rates set out in the First Schedule (Clause 5(11)(a)), costs of felling/extraction and chipping determined by tenders (Clause 5(11)(b)), haulage costs when the Executive Director is responsible (Clause 5(11)(c)), an administrative charge described in Clause 5(11)(d) and a roading charge in the First Schedule (Clause 5(11)(e) and First Schedule 4). The Agreement includes CPI‑linked mechanisms and ministerial discretion for adjustments (First Schedule 2, Clause 5(11)(a)) and a GST pass‑through clause (Clause 5(13)).
Measurement and compliance mechanics: The Agreement fixes where and how resource is measured and recorded (Clause 6(3)), requires weighbridge standards and verification if weight is used (Clause 6(3)(c)), and obliges the Company to furnish returns within three business days of delivery (Clause 6(3)(a)(ii)).
Land, zoning and infrastructure: The State agrees to maintain zoning for factory sites and to use planning instruments to create a buffer boundary around Dardanup subject to the Company implementing an ongoing improvement programme (Clause 9(1)-(2)). The State may resume land as a public work and modify parts of the Land Administration Act to facilitate takings and grants to the Company (Clause 9(3)).
Term, variation and dispute resolution: The Agreement runs for 25 years from the date of commencement (Clause 21(1)), with conferral points at 10 years and negotiations within five years of expiry (Clause 21(3)-(4)). Parties can vary provisions by written agreement (Clause 11), and disputes are generally subject to arbitration under the Commercial Arbitration Act 1985 (Clause 18). The Minister retains broad discretions, including to extend periods (Clause 13) and to vary stumpage temporarily (Clause 5(11)(a)).
Statutory effect and limits: The Act gives the Agreement statutory ratification (s 4(1)-(2)) and national‑law override language (s 4(3)), yet the Agreement itself recognises continued obligations under native title and environmental law (Clause 2(2)-(3)). The Agreement also modifies certain State Acts (Clause 9(3), Clause 21(2)).

These concepts create a hybrid legal instrument. Operational detail is embedded in contractual clauses and schedules, while the Act provides statutory backing and some primacy against conflicting laws, subject to the Agreement’s express preservation of certain legal obligations.

The instrument creates direct and indirect obligations and rights affecting a map of public and private actors. Primary parties are the State of Western Australia, represented by the Premier and the Minister for the relevant Act, and WESFI Limited and its controlled entities (defined in the Agreement). The State acts through the Executive Director of CALM, who is the contractual counterparty responsible for plantation management, supply notifications, calling tenders for felling and extraction, and maintaining plantation roads (see defined term “Executive Director”; Clause 5 generally).

Directly affected public bodies and officers:

CALM and the Executive Director: operational duty‑holder for supply, plantings, selection of loading points, tendering and providing forecasts and notices (Clauses 5(1)(c)(i)-(ii), 5(1)(e), 5(3), 5(10)).
The Minister: exercises discretionary powers to vary stumpage rates (Clause 5(11)(a)), to extend periods or vary dates (Clause 13), to approve assignments and release the Company from residual liability (Clause 10(1)-(2)), and to table variations in Parliament for potential disallowance (Clause 11(2)-(3)). Notices from the State are valid if signed by the Minister or senior officers by direction (Clause 20).
Commissioner of Main Roads and local governments: responsible for maintaining public roads used by the Company; they may receive payments from the Company towards upgrades when use causes damage beyond fair wear and tear, with equitable contributions determined by the Commissioner (Clause 7(1)-(2)).
Western Australian Parliament: retains a scrutiny role by receiving any written variations to the Agreement and having a 12‑sitting‑day window to disallow (Clause 11(2)-(3)). The Act itself is an express ratification by Parliament.

Directly affected private parties:

WESFI Limited: the Company must forecast resource needs, take delivery, pay stumpage and other charges, maintain measurement and records, provide distribution details if requested (First Schedule 3(4)), implement an improvement programme at Dardanup to benefit from buffer creation (Clause 9(2)), and indemnify the State against third‑party claims (Clause 16).
Contractors and tenderers: third‑party contractors will bid for felling, extraction and chipping contracts called by the Executive Director; tenders for work supplying resource to the Company are jointly considered with the Company (Clause 5(10)(a)).
Holders of native title and other landholders: Clause 9(3)(c) makes the Company liable to pay costs and compensation in respect of any takings or resumptions, explicitly including compensation payable to holders of native title rights and interests. Clause 2(2) of the Agreement preserves compliance with laws relating to native title.
Local communities around Dardanup and Welshpool: zoning, buffer and noise contours (Clause 9(2), plan B notes) affect development rights and land use in surrounding areas and may constrain third‑party land uses via planning instruments enacted by State agencies after consultation.

Indirectly affected actors:

Downstream users and markets for panel products: the Agreement’s supply guarantees and pricing affect WESFI’s cost structure and therefore its competitiveness in domestic and export markets, which may have local employment and supply‑chain implications (see Preamble, Clauses 5, First Schedule).
Other prospective users of plantation resource: Clause 5(7) gives the Company priority for resource “as far as is practicable”, which shifts opportunity costs to alternative purchasers and uses of similar specification resource.

The Agreement therefore creates a configuration where the State and CALM manage and allocate public plantation resources for the benefit of a private manufacturer under a statute‑backed arrangement, while obliging the Company to operational, payment, measurement and indemnity duties and exposing it to termination, arbitration and compliance requirements.

The Agreement allocates a set of affirmative duties and reciprocal rights between the State and the Company, backed by statutory ratification.

State and Executive Director duties and rights:

Supply obligation: Ensure that the Executive Director makes available not less than 330,000 cubic metres of resource to the Company each year (Clause 5(1)(a)). The Executive Director must provide best estimates of availability and notify by 31 December each year the maximum quantity available for the next year (Clause 5(1)(c)(i)-(ii)).
Plantation management and replanting: Replant specified areas to Pinus radiata or P. pinaster where previously planted, with specific exceptions for certain State forests, and plant P. pinaster as close as reasonably possible to Welshpool to secure availability (Clause 5(1)(e)).
Priority allocation and operational control: Manage softwood plantations so that the quantity agreed with the Company is available in priority to other prospective uses that would ordinarily be intended for supply to the Company, consistent with approved forestry practice and other commitments (Clause 5(7)).
Tenders and infrastructure: Call tenders for felling, extraction and chipping; not accept a tender for work supplying the Company without joint consideration with the Company (Clause 5(10)(a)); construct and maintain roads from loading points to plantation boundaries (Clause 5(10)(b)); ensure public roads under Commissioner of Main Roads or local government control are maintained to comparable standards (Clause 7(1)).
Pricing discretion and variation: The Minister may vary stumpage rates specified in the First Schedule (Clause 5(11)(a)); the Agreement prescribes review windows and CPI‑linked mechanisms for changes (First Schedule 2).

Company duties and rights:

Take or pay obligation: Take delivery of the agreed or determined quantity each year; if the Company takes less than 90 per cent of that quantity in any year it must pay stumpage on the deficiency at the applicable rate (Clause 6(1)(a)). There is a mechanism allowing deficiencies to be offset by subsequent excesses in the next two years subject to limits (Clause 6(1)(b)).
Forecasting and annual statement: Provide a six‑year estimate by 31 December and a statement of requirements for the ensuing year by 15 May (Clauses 5(2) and 5(5)).
Payment obligations: Pay stumpage, tendered felling/extraction and chipping costs, haulage costs where applicable, a charge representing supervision and overheads described in Clause 5(11)(d), and roading charges per First Schedule (Clause 5(11)). The Company must also pay any GST amounts where applicable, subject to receipt of a valid tax invoice (Clause 5(13)).
Measurement and record keeping: Measure resource in an agreed manner, make accurate written records, furnish returns within three business days of delivery, and provide a weighbridge that complies with the Weights and Measures Act if stumpage is determined by weight (Clause 6(3)).
Indemnity and third‑party liabilities: Indemnify and keep indemnified the State and its servants, agents and contractors against third‑party claims arising from work carried out by or on behalf of the Company, subject to non‑application where the State or its agents are negligent in carrying out work for the Company (Clause 16).

Mutual and statutory provisions:

Arbitration and dispute resolution: Disputes are generally to be referred to arbitration under the Commercial Arbitration Act 1985 (Clause 18). Arbitration can grant interim extensions or variations in the Minister’s name to preserve parties’ rights (Clause 18(3)).
Termination and remedy: The State may determine the Agreement for material default, abandonment or insolvency, subject to notice and cure periods and arbitration timelines (Clause 14). The State may itself remedy defaults and recover costs as a debt if not remedied by the Company (Clause 14(4)). On termination, the Company’s rights cease except for antecedent liabilities and indemnities (Clause 15).
Variation and parliamentary oversight: Parties may vary the Agreement by written agreement (Clause 11(1)), and the Minister must lay any variation before Parliament; Parliament has 12 sitting days to disallow before the variation takes effect (Clause 11(2)-(3)).
Force majeure: Temporary suspension or delay in performance arising from causes beyond control is recognised, subject to prompt notice and best endeavours to minimise effects (Clause 12).

The Agreement thus pairs a State obligation to provide a specified quantity of plantation resource and related infrastructure and regulatory accommodations with a Company obligation to forecast, pay, measure and indemnify, under an enforcement regime combining commercial remedies, arbitration and ministerial discretions.

The Agreement relies primarily on contractual enforcement mechanisms, administrative remedies and arbitration rather than criminal sanctions. The main enforcement and penalty instruments in the text are:

Suspension of supply for non‑payment: If sums in respect of stumpage rates or costs remain unpaid for 30 days after the due date, the Executive Director may, on at least seven days written notice, suspend the Company’s right to obtain resource under the Agreement until payment is made (Clause 6(2)(b)). This is a direct commercial sanction affecting the Company’s access to raw material.
Termination for material default or insolvency: The State may terminate the Agreement if the Company makes a default that the State considers material and the default is not remedied within 180 days after notice (Clause 14(1)(a)). Termination is also available where the Company goes into liquidation and no Minister‑approved assignee takes its interest within three months (Clause 14(1)(b)). Notice must specify the nature of the default (Clause 14(2)). If contested, the Company must refer the matter to arbitration within 60 days (Clause 14(3)(a)), with specified cure periods post‑arbitration (Clause 14(3)(b)).
State remedy and recovery: Instead of immediate termination, the State may itself remedy the Company’s default or cause it to be remedied by agents or contractors, with full power to enter company land and use plant and machinery. The actual costs and expenses incurred by the State in remedying the default become a debt payable by the Company on demand (Clause 14(4)). This creates a statutory debt‑recovery mechanism.
Arbitration and interim relief: Disputes are submitted to arbitration under the Commercial Arbitration Act 1985 (Clause 18). The arbitrator may grant interim extensions and variations in the name of the Minister to preserve rights while disputes are resolved (Clause 18(3)). Clause 3(6) of the Agreement also contemplates arbitration where agreement cannot be reached on annual quantities (Clause 5(6)).
Indemnity exposures: The Company must indemnify the State and its agents against third‑party actions, suits, claims, demands or costs arising out of the Company’s works or activities, subject to exceptions where the State or its agents are negligent (Clause 16). This indemnity imposes potentially open‑ended financial exposure on the Company for liabilities arising from its operations.
Financial and contractual offsets: The “take or pay” mechanism in Clause 6(1)(a) requires the Company to pay stumpage on any annual deficiency below 90 per cent of agreed supply. Conversely, future excesses can offset previously paid stumpage within limits (Clause 6(1)(b)). This creates a financial penalty for under‑taking and a deferred benefit for over‑taking.
Road upgrade contributions: Where Company use causes excessive damage to public roads, the Company must pay an equitable part of upgrading costs as reasonably determined by the Commissioner of Main Roads (Clause 7(2)(a)), effectively making the Company partly liable for infrastructure costs it imposes.
Suspension/cessation for plantation damage and force majeure: The Company cannot claim against the Crown where plantations are damaged or destroyed by fire, disease or other cause making supply impracticable or other causes beyond the State’s reasonable control (Clause 5(9)). Clause 12 covers broader force majeure suspensions, requiring prompt notice and best endeavours to mitigate.

Notably, the Agreement does not create criminal penalties. Enforcement is through commercial remedies: suspension of supply, termination, debt recovery, indemnity claims, and arbitration. Ministerial discretions (for stumpage variations, extensions, or release from liability under Clause 10(2)) may affect the practical application of enforcement. The Agreement also uses statutory backing (the Act’s ratification and s 4(3) primacy language) to strengthen the State’s enforcement position against competing statutory claims, subject to the Agreement’s express preservation of native title and environmental law obligations (Clause 2(2)-(3)).

The Act and its Schedule are cross‑referenced to and expressly modify or preserve several other statutory regimes. Interaction is managed by a mix of primacy language, express non‑derogation, and targeted statutory modifications in the Agreement.

Primacy and statutory ratification

The Act’s s 4(3) states that the Agreement operates and takes effect despite any other Act or law, without limiting the Government Agreements Act 1979. That gives the Agreement statutory primacy over conflicting State laws unless otherwise limited by express provisions in the Agreement itself.

Preservation of native title and environmental obligations

Despite statutory primacy language, the Agreement itself expressly disclaims any construction that would exempt the State or the Company from compliance with laws relating to native title (Clause 2(2)). It further states that the Company is not exempt from environmental protection requirements under the Environmental Protection Act 1986 (Clause 2(3)). Those clauses limit the practical effect of the Act’s primacy in those domains by preserving legally enforceable native title and environmental obligations.

Modifications to other State Acts

Land Administration Act modifications: Clause 9(3)(b)(ii) provides that when applying the Public Works Act 1902 and Parts 9 and 10 of the Land Administration Act 1997 for the purposes of Clause 9, certain sections of the LA Act (sections 170-175 and 184) do not apply and section 177(2) is modified to include takings under a Government agreement. Clause 9(3)(a) empowers the State to take or resume land as a public work for the purposes of the Agreement. Clause 9(3)(c) requires the Company to pay the costs and incidental to any taking or resumption including compensation payable to any person including native title holders. These provisions therefore provide tailored derogations and cost allocations linked to land takings under the Agreement.
CALM Act amendment: Clause 21(2) deems subsection (2) of s 91 of the CALM Act to be modified by substituting “25 years” for “15 years”. That is an express internal modification to CALM’s tenure rules to match the Agreement term.
Weights and Measures, Road Traffic Acts: Measurement obligations require compliance with the Weights and Measures Act 1915 if stumpage is based on weight (Clause 6(3)(c)). The Agreement’s definitions refer to “public road” as defined in the Road Traffic Act 1974. Those references integrate measurement and transport regulation into the contract mechanics.

Taxation and GST

GST and tax equivalents: Clause 5(13) expressly addresses GST treatment, matching Commonwealth GST law by requiring the Company to pay GST amounts where the State’s supplies attract GST, and by requiring a valid tax invoice as a condition precedent to the Company’s obligations to pay those amounts. Clause 5(13)(e) also contemplates adjustments in the event of abolition or reduction of taxes, duties or statutory charges, passing benefits to the Company.

Parliamentary oversight

Variations to the Agreement that the parties execute in writing are to be laid before Parliament by the Minister and are subject to disallowance within 12 sitting days (Clause 11(2)-(3)). This preserves a legislative check on any post‑ratification amendments.

Potential tensions and interpretation points

Despite the Act’s primacy language, the Agreement’s explicit preservation of native title and EP Act obligations narrows the scope of that primacy in those statutory fields (Clause 2(2)-(3)). Where the Agreement purports to modify other Acts (LA Act, CALM Act), it does so by express provision in the Agreement; the ratifying Act gives parliamentary weight to those modifications subject to the procedural mechanics of ratification.
Land takings for factory operation are implemented under public works provisions but with excluded LA Act sections and an explicit cost allocation to the Company for compensation including to native title holders (Clause 9(3)). That creates a direct interaction between the Agreement’s operational goals and native title compensation frameworks.

In sum, the Agreement is designed to sit with statutory force against competing State laws but expressly preserves or modifies particular statutory obligations where the Agreement so provides. Practitioners must read the Agreement’s express carve‑outs and modifications to understand where statutory primacy is effectively curtailed by other legal obligations.

The textual record supplied contains the original Act, the Agreement in Schedule 1, and a compilation table. The compilation table records the Wood Processing (WESFI) Agreement Act 2000, No. 66 of 2000, assented 4 December 2000 and commencing 4 December 2000 (see Notes and Compilation table). The provided material does not include any subsequent amending Acts or schedules. Therefore, within the provided source the Act stands as enacted in 2000 and the Schedule 1 Agreement is presented in original form.

Procedural mechanisms for amendment are internal to the Agreement:

Contractual variation procedure: Clause 11(1) gives the parties the ability to add to, substitute for, cancel or vary all or any provisions of the Agreement by written agreement “from time to time”. That creates a bilateral contractual amendment power.
Parliamentary oversight for variations: Clause 11(2)-(3) requires the Minister to lay any written agreement effecting variation on the Table of each House of Parliament within 12 sitting days of execution. Either House may disallow within 12 sitting days following its laying. Absent disallowance, the variation has effect. This mechanism is a statutory procedure that subjects post‑ratification changes to parliamentary scrutiny.
Ministerial discretions and unilateral powers: While many changes require agreement, the Minister has unilateral discretions in several contexts, such as temporary variations of stumpage rates (Clause 5(11)(a)) and extensions of time or dates at the Company’s request (Clause 13). These are not formal “amendments” of the Agreement text but operate as unilateral executive flexibility.
CPI‑linked and determinate reviews: The First Schedule builds in regular pricing review windows (three‑year periods for Welshpool stumpage at First Schedule 2(1)(b)), with a specified calculation method tied to the Perth CPI, and fallback rules if the CPI is no longer usable, including determination by the Minister in his reasonable discretion and the possibility of negotiation (First Schedule 2(2)). These are built‑in adjustment mechanisms rather than external amendments.

Because no external amendments are recorded in the supplied compilation table, practitioners should treat the text as the operative instrument but be alert to the Agreement’s internal amendment and review pathways and to ministerial discretions that can alter practical outcomes without formal re‑drafting of the Agreement text. Any subsequent statutory amendments to the Act or replacement Agreements would need to be checked in an updated statutory compilation and parliamentary records.

The source material supplied contains no recorded judicial decisions, litigation outcomes or references to disputes resolved by courts. It does, however, provide an internal dispute resolution regime that channels most disputes to arbitration:

Arbitration regime: Clause 18 requires that disputes arising out of or in connection with the Agreement be referred to arbitration under the Commercial Arbitration Act 1985, subject to exceptions where the State or Minister has a discretionary power conferred by the Agreement (Clause 18(2)). Clause 18(1) allows parties to be represented by legal practitioners before the arbitrator notwithstanding section 20(1) of the Commercial Arbitration Act 1985.
Specific arbitration triggers: Clause 5(6) provides for arbitration to determine annual supply quantities in default of agreement. Clause 14(3) requires the Company to refer contestable determinations of default or repudiation to arbitration within 60 days of the State’s notice. First Schedule 3 contemplates arbitration to determine the withdrawal of concessional stumpage at Dardanup if parties fail to agree.

Absence of recorded litigation in the text is not evidence that no disputes have ever arisen, but the Agreement is structured to keep disputes out of public courts and inside arbitration. The arbitration clause expressly contemplates interim relief and grants the arbitrator power to make awards in the name of the Minister to preserve rights pending final resolution (Clause 18(3)). Practitioners advising a party should therefore assume that contractual claims will be resolved in arbitration unless a distinct statutory remedy or jurisdiction exists outside the Agreement, and should be alert to procedural timelines: e.g., 60 days to refer a contested default to arbitration (Clause 14(3)(a)), and arbitration periods affecting suspension or cure periods (Clause 14(3)(b)).

Because the provided source contains no case law, any analysis of jurisprudential treatment, precedents or enforcement practice must be undertaken by searching judicial and arbitral records beyond this text.

The Agreement contains several drafting and practical features that create implementation risk, potential ambiguity, and material incentives that parties must manage carefully. The following are concrete points to note, citing the precise clauses.

Statutory primacy but express carve‑outs: Section 4(3) of the Act says the Agreement operates despite other Acts or laws. Yet Clause 2(2) and Clause 2(3) of the Agreement explicitly preserve compliance with laws relating to native title and with environmental protection obligations under the EP Act. This means that although the Agreement has statutory backing, those particular statutory domains remain expressly binding and can constrain practical implementation. Practitioners should not rely on s 4(3) to avoid native title or environmental compliance obligations.
Conditional commencement language embedded in the Agreement: Schedule 1 contains Clause 3 requiring the State to introduce and secure passage of a Bill to ratify the Agreement and providing that, if the Bill has not commenced as an Act by 31 March 2001, the Agreement ceases unless parties agree otherwise (Clause 3(1), (3)). That language reflects the Agreement’s original path to ratification and can look superficially redundant after the Act’s enactment. However, the Agreement also contains Clause 3(4) stating that on the Bill commencing to operate as an Act, all provisions shall operate notwithstanding any other Act or law. Practitioners should be careful when reading Schedule 1 to distinguish pre‑ratification conditional language from the post‑ratification status created by the Act.
Ministerial discretions with wide practical effect: The Minister may vary stumpage rates (Clause 5(11)(a)), extend periods or vary dates even after expiry (Clause 13), and may release the Company from residual liability on assignment (Clause 10(2)). These discretions are qualitatively significant because they can change commercial outcomes without formal amendment or arbitration and their exercise is rarely judicially reviewable absent fault or procedural error. Parties should manage expectations and documentation around the exercise of discretions.
Pricing formula opacity and compounding charges: Clause 5(11)(d) sets an additional charge described as “5 per centum of the costs and expenses referred to in subclauses (b) and (c) of this subclause representing: (i) the costs directly incurred in controlling and supervising the work of contractors…; and (ii) 15 per centum of the costs referred to in subclause (d)(i) of this subclause to cover overheads and other indirect costs.” The nested description is potentially confusing to interpret mathematically and may create accounting disputes about the base and the application of the 15 per centum. The First Schedule’s roading charge uses a specific CPI formula with 0.5 weighting adjustments (First Schedule 4(2)), which also requires careful computation. These formulas create scope for billing disagreement.
Take or pay and offset mechanics: Clause 6(1)(a) creates a “take or pay” obligation to pay stumpage on any annual shortfall below 90 per cent. Clause 6(1)(b) allows offsets for subsequent excesses within a two‑year window up to the amount previously paid, but only subject to limits. The interaction of measurements, disputes about haul distances (Clause 5(4)) and plant shutdowns can produce significant cash obligations even where physical delivery was impeded.
Land resumption and native title cost allocation: Clause 9(3) empowers the State to take or resume land for the Agreement and modifies parts of the LA Act, excluding particular protections. Clause 9(3)(c) makes the Company liable on demand for the costs of taking or resuming land, “including but not limited to any compensation payable to any person including any holder of native title or of native title rights and interests in the land.” This allocates the financial risk of compulsory acquisition and native title compensation to the Company, a material exposure.
Measurement control by Executive Director: Clause 6(3)(b) states that the place at which quantity is to be measured shall be fixed by the Executive Director after consultation. That gives the Executive Director control over where stumpage calculations crystallise, which can affect risk allocation for loss, shrinkage or transport costs prior to factory gates.
Dardanup concessional rate subject to review and possible withdrawal: First Schedule 3 establishes the Dardanup concession at five sixths of the Welshpool rate and allows the Executive Director to require production distribution reporting (First Schedule 3(4)). If exports materially fall, the Executive Director may seek alignment of stumpage, with arbitration as the fallback (First Schedule 3(5)). This exposes the Company to potential increases in stumpage related to market orientation.
Arbitration timelines and remedy sequencing: If the Company contests a default, it must refer to arbitration within 60 days (Clause 14(3)(a)). If arbitration finds against the Company, certain cure periods apply and the State may terminate after long cure windows or self‑remedy and seek debt recovery (Clause 14(4)). The sequencing of notice, arbitration and remedy can affect operations and must be managed.
Infrastructure cost sharing with public authorities: Clause 7(2) requires the Company to pay an equitable part of road upgrades when Company use causes excessive damage. The determination of “equitable” by the Commissioner of Main Roads may create negotiation risk and unbudgeted infrastructure liabilities.

These features create specific compliance, accounting and strategic choices for both parties. Legal and financial advisers should build controls around forecasting, measurement, documentation of tenders and performance, and the exercise of ministerial discretions, and should model the Company’s cash exposures under shortfall, infrastructure and land resumption scenarios.

Compliance with the Agreement and the Act requires administrative discipline, agreed procedures and documentary control. The following practical checklist maps obligations to precise clauses and suggests minimum organisational responses for the Company and the State/CALM.

For the Company (WESFI Limited and controlled entities)

Forecasting and statements (Clause 5(2); Clause 5(5))
- Produce and deliver a six‑year estimate of resource requirements on or before 31 December each year.
- Provide the annual statement of requirements for the next year on or before 15 May.
- Maintain version control and contemporaneous records of forecasts and any supporting demand analysis used to justify volumes.
Measurement, returns and weighbridge (Clause 6(3))
- Agree measurement methods with the Executive Director and document the method in writing.
- If stumpage is to be determined by weight, install and maintain a weighbridge compliant with the Weights and Measures Act 1915, and schedule periodic verification and stamping.
- Furnish returns in writing showing the quantity of resource within three business days after delivery.
- Maintain signed measurement certificates and chain‑of‑custody records for each load.
Payment and invoicing (Clause 5(11); Clause 5(13))
- Implement accounts payable controls to pay stumpage, felling/extraction and chipping costs, haulage, the supervision/overhead charge in Clause 5(11)(d), and roading charges per First Schedule.
- Require valid tax invoices for any GST amounts in accordance with Clause 5(13)(d). Retain invoices meeting Australian Taxation Office requirements.
Take or pay and inventory planning (Clause 6(1))
- Monitor annual take rates versus agreed quantities to avoid unexpected deficiency payments. Build buffer inventories or flexible procurement plans to manage intra‑year variability.
- Track any excess takes that could offset past deficiencies within the two‑year window and document calculations and timing.
Contracting and tender coordination (Clause 5(10))
- Coordinate with the Executive Director on tender processes for felling, extraction and chipping. Maintain representatives to participate in joint tender evaluation and record minutes of consultations.
- Ensure subcontractor contracts include provisions consistent with Agreement specifications (Second Schedule) and indemnity flows.
Environmental and native title compliance (Clauses 2(2)-(3))
- Maintain environmental approvals and compliance with the EP Act for all activities.
- Conduct native title due diligence for plantation operations and any land resumptions; prepare to meet any compensation costs where takings occur (Clause 9(3)(c)).
Dardanup improvement programme (Clause 9(2))
- Develop and implement a documented “reasonable ongoing improvement programme” for Dardanup operations to support buffer zoning and planning relief from State agencies. Maintain compliance evidence.
Indemnity and insurance (Clause 16)
- Maintain insurance coverage aligned to indemnity exposures (public liability, environmental risks, contractors’ liability). Map policy cover and exclusions against Clause 16 and the indemnity carve‑out for State negligence.
Notices and record retention (Clause 20)
- Designate authorised signatories for notices and ensure addresses for service are up to date. Keep copies of all communications with the Minister and the Executive Director.
Dispute handling and arbitration preparation (Clause 18; Clause 14)

Establish protocols for rapid dispute escalation, arbitration readiness and evidence collation. Note the 60‑day referral requirement for contested default notices (Clause 14(3)(a)). Budget for arbitration costs and legal representation.

For the State and CALM (Executive Director and Minister)

Forecast communications and supply planning (Clause 5(1)(c)(i)-(ii); Clause 5(3))
- Provide yearly best estimates of availability and notify by 31 December the maximum quantity available for the next year.
- Advise planned plantation sources by 28 February, taking into account sound forest practice and other commitments.
Replanting and plantation management (Clause 5(1)(e))
- Implement replanting programmes to Pinus radiata or P. pinaster as required, excluding specified State forests. Document decisions, planting schedules and expected yields.
Tendering and contractor oversight (Clause 5(10))
- Run transparent tender processes for felling, extraction and chipping, and ensure the Company is consulted and joint consideration of tenders occurs before acceptance.
Infrastructure and roads (Clause 5(10)(b); Clause 7)
- Construct and maintain roads from loading points to plantation boundaries and coordinate with Commissioner of Main Roads and local governments for public road standards and upgrade determinations.
Measurement point and method agreements (Clause 6(3)(b))
- Consult with the Company on the measurement place; fix measurement points in writing and maintain clear protocols to avoid disputes over where title and risk shift.
Pricing announcements and CPI adjustments (First Schedule; Clause 5(11))
- Where the Minister exercises discretion to vary stumpage rates, document reasons and durations. For CPI‑linked adjustments, apply the First Schedule computational rules and prepare fallback methods if CPI becomes unusable.
Land resumption and compensation (Clause 9(3))
- When taking lands as a public work, follow the modified LA Act procedure set out in Clause 9(3)(b), document native title consultations, and ensure cost recovery mechanisms from the Company are administratively enforceable where appropriate.
Parliamentary processes for variations (Clause 11)
- Lay any written agreement effecting variation on the Table of each House within 12 sitting days. Maintain records demonstrating compliance with the disallowance window.

Both parties should constantly:

Monitor regulatory developments in native title, environmental protection, taxation (GST) and forestry practice as those domains interact with the Agreement (Clauses 2(2)-(3), 5(13)).
Maintain detailed contemporaneous administrative records that map forecasts, notifications, tenders, measurement certificates, weighbridge verification, invoices and payments, and meeting minutes relevant to joint decisions. That documentary trail is likely decisive in arbitration and for curing disputes.
Implement risk management for force majeure events (Clause 12), including prompt notice obligations, mitigation plans and contingency sourcing.

Following these steps maps organisational processes directly to contractual clauses and reduces implementation risk arising from timing mismatches, measurement disputes and ministerial discretions.
