Westpac Banking Corporation (Challenge Bank) Act 1996

Several statutory concepts structure the Act. The definitions and the interaction of “undertaking of Challenge”, “excluded assets”, “commencement time” and “transition period” are the organising nodes.

• Undertaking of Challenge: defined in s 3 to mean the business and all property of Challenge, except excluded assets and related rights or powers, and all liabilities to which Challenge is subject immediately before commencement. The undertaking is the thing that is divested and vested in Westpac by s 7(1). That definition deliberately couples assets and liabilities, so Westpac receives the operational business as a continuing commercial entity, subject to carve outs.

• Excluded assets: the Act lists specific categories of assets which remain with Challenge (s 3). These include: (a) documents required to be kept by Challenge under the Corporations Law or other law; (b) specific shareholdings in named group companies (a long list at s 3(b)); (c) particular units in a named property trust (s 3(c)); (d) certain trade mark registrations (s 3(d)-(e)); and (f) “such other assets as are listed in a certificate signed by the Chief Executive Officer of Westpac and received by the Treasurer before the commencement time” (s 3(f)). The combination of a fixed list plus a pre-commencement certificate allows both certainty and limited flexibility in identifying carve-outs.

• Vesting by statute and contractual effect: section 7 statutorily vests the undertaking in Westpac; section 8 makes instruments and contracts effective in favour of Westpac as if Westpac had been a party originally. Section 9 supplies the transitional legal mechanics: customer relationships are treated as between Westpac and customers (s 9(1)(a)), securities transfer (s 9(1)(b)-(c)), bailments and negotiable instruments are preserved (s 9(1)(d)-(e)), and customer information becomes available for Westpac’s use (s 9(1)(f)). These provisions are structured to avoid breaching contract terms that might otherwise require consent; section 18 addresses that explicitly.

• Employee structure and service continuity: section 10 creates an employment flip: Westpac employees in Western Australia immediately before commencement become Challenge employees (s 10(1)). The Westpac CEO may exclude named employees from that transfer by certificate to Challenge’s CEO (s 10(2)). Transferred employees retain their terms and accrued rights (s 10(3)), but are not entitled to redundancy by reason only of the transfer (s 10(4)). Those employees are to provide services exclusively to Westpac, under Westpac officers’ direction, so operational control remains with Westpac despite legal employment being with Challenge (s 10(8)). This construct preserves the character and staffing of the business while complying with corporate or licencing constraints. The transferring employees, and any references in pre-existing employment documents, are re-read so that references to Westpac become references to Challenge where appropriate (s 10(5)-(6)).

• Certificates as proof: the Act gives substantial evidentiary weight to certificates signed by Westpac’s Chief Executive Officer. A certificate listing excluded assets must be provided before commencement to the Treasurer (s 3(f)). The Westpac CEO may issue other certificates under s 21 and the CEO’s certificate lodged with ASIC is treated as compliance with Corporations Law s 268(1) in relation to charges acquired by Westpac under the Act (s 24). Certificates are prima facie conclusive (s 26).

• Interaction with other laws and registers: the Act directs registries and authorities to amend title records (s 22-23) and directed dealings in other property registers may be satisfied by lodging the Westpac CEO’s certificate (s 25). The Act also states that it does not, except where specifically contemplated, exempt Westpac from banking company laws (s 27).

• Temporal concepts: commencement time is the time fixed by proclamation and must occur after the Treasurer has given the certificate under s 17 (s 2(1), (3)). The transition period starts at commencement time and runs for four months or longer if extended by the Minister responsible for the Credit Act (s 3, definition of transition period). Section 12’s temporary relief from the Consumer Credit (Western Australia) Act is limited to the transition period and conditional on compliance with the 6 May 1996 Ministerial letter.

These concepts are implemented with deeming provisions to ensure minimal disruption: service and process are deemed to be on both entities (s 19), things done under the Act are not breaches of contract/confidence and are taken to have necessary consents (s 18), and the Act ensures continuity of priority and security rights (s 9(2)).

The Act identifies, in concrete statutory terms, the persons and entities whose legal positions change and the public or private bodies that have duties to act under the Act.

Primary entities and persons affected

• Westpac Banking Corporation: recipient of the undertaking of Challenge (s 7(1)). Westpac must pay the Treasurer an amount in lieu of State taxes and charges (s 17(1)), make pre-commencement certifications (s 3(f), s 10(2)), apply for business names (s 11(2)), and has powers to certify matters under s 21. Westpac’s role is central: it acquires the business, becomes the contracting party, and holds transferred securities and customer relationships.

• Challenge Bank Limited: the transferor; it is divested of its undertaking except for excluded assets (s 7(1); definition in s 3). Challenge remains the legal employer for certain staff (s 10) and retains excluded assets and liabilities relating to excluded assets (s 3; s 20(3)). Challenge may continue to be nominally involved in employment and corporate records.

• Customers and depositors of Challenge: the legal relationship is statutorily converted into one between Westpac and the customers (s 9(1)(a)); customer instructions and mandates held by Challenge are treated as continuing in favour of Westpac (s 9(1)(a)). Customers’ rights, duties and set-off entitlements are preserved in the change of counterparty.

• Creditors and secured parties: securities held by Challenge become available to Westpac as security for debts and liabilities to Westpac (s 9(1)(b)-(c)). Section 9(2) also clarifies the position for securities taken in relation to deposits with Challenge or Westpac pre-commencement. Corporations Law compliance for charges is addressed by s 24 via a certificate lodged with the Australian Securities Commission.

• Employees: two groups are affected:

  • Westpac employees in Western Australia immediately before commencement become Challenge employees unless excluded by the Westpac CEO’s certificate (s 10(1)-(2)). These employees retain terms, continuity of service, and accrued benefits (s 10(3)). They are to be engaged exclusively to provide services to Westpac and subject to Westpac’s control while Challenge is a related body corporate (s 10(8)-(9)).

  • Challenge employees are excepted from the statutory vesting as to employment (s 7(2)) , that is, section 7 expressly has no effect in relation to the employment of Challenge employees.

• State agencies and registrars: the Treasurer must determine and certify the payment in lieu of State taxes (s 17); the Registrar of Titles must amend the Register Book and related documents on request and on production of required instruments and payment of fees (s 23); the Commissioner under the Business Names Act must register the listed business names as Westpac’s business names (s 11(1)); other registers must be updated on production of the Westpac CEO’s certificate (s 25).

Secondary or consequentially affected parties

• Persons dealing with land or other property: the Act directs that Westpac be deemed the registered proprietor when land vested by the Act is registered land (s 22). Title offices and those dealing in land lose any duty to enquire whether an asset is excluded (s 20(1)); third parties are protected where they deal with Westpac in relation to an excluded asset (s 20(2)), though Westpac’s liability to Challenge is preserved (s 20(3)).

• Regulators: the Act recognises interaction with federal and state regulation. The Treasurer of Australia’s prior consent under the Banking Act 1959 is referenced in the explanatory reasons; s 27 confirms that Westpac remains subject to the written laws relating to companies carrying on the business of banking unless an exemption is directly contemplated.

• Courts and litigants: pending or existing proceedings by, against, or in favour of Challenge (with statutory carve-outs) are to continue and be enforceable by or against Westpac without abatement, and courts may enter judgment against both Westpac and Challenge at a party’s request (s 13(1)-(3)). Section 14 allows correction where Westpac was erroneously made a party in litigation in relation to excluded assets or employment matters.

Who pays and who decides

• Who pays: Westpac funds the payment in lieu of State taxes, duties and charges (s 17(1)).

• Who decides: the Treasurer determines the amount and is to give a certificate that the sum due has been paid (s 17(2)-(3)); the Westpac Chief Executive Officer decides and certifies excluded assets before commencement (s 3(f)); the Westpac Chief Executive Officer may name Westpac employees who are not to be transferred (s 10(2)); the Minister responsible for the Credit Act may approve an extension of the transition period (s 3, definition of transition period) and may give notice terminating the s 12 exemption if certain conditions are not met (s 12(4)).

This package affects a concentrated set of stakeholders: Westpac benefits from acquiring the banking business, customers and creditors experience counterparty change, employees experience an employment reclassification to Challenge but remain operationally under Westpac control, and State authorities obtain a cash amount in lieu of taxes and exercise administrative roles.

The Act creates or preserves a number of rights and enforces duties through deeming provisions, certificates and statutory obligations. Below are the principal statutory duties and rights and how they operate.

Rights conferred on Westpac

• Title to undertaking and assets: Westpac acquires the undertaking of Challenge at commencement (s 7(1)) subject to excluded assets. That gives Westpac the legal right to operate the transferred banking business.

• Contractual position and security rights: contracts and securities of Challenge are enforceable by or against Westpac to the same extent as before (s 8(1); s 9(1)(b)-(c)). Westpac is entitled to the same rights and priorities in relation to transferred security and money secured by it as Challenge would have had (s 9(1)(c)).

• Use of information: information held by Challenge relating to a customer or depositor immediately before commencement is available to and may be used by Westpac after commencement (s 9(1)(f)). That is a statutory right to access and use customer data for Westpac’s business purposes.

• Power to certify: the Westpac Chief Executive Officer may certify excluded assets before commencement under s 3(f) and may issue certificates under s 21; such certificates are conclusive in courts and proceedings (s 26(1)-(2)). A certificate lodged with ASIC satisfies the Corporations Law s 268(1) requirement for charges acquired by Westpac (s 24).

• Business names: Westpac has the right to carry on business under the business names listed in Schedule 1 once registered (s 11(1)-(2)) and may use “Challenge Bank Limited” during the transition period (s 11(3)).

Duties and obligations imposed upon Westpac

• Payment of amount in lieu: Westpac must pay to the Treasurer an amount equal, in the Treasurer’s opinion, to the State taxes, duties and charges for which Westpac would otherwise be liable due to the transfer (s 17(1)). The Treasurer determines the amount according to such principles as the Treasurer thinks appropriate (s 17(2)). The Treasurers’ certificate confirming payment is a precondition to commencement (s 2(3), s 17(3)).

• Compliance with other laws: except for express or necessary exemptions, Westpac remains subject to written laws relating to banking companies (s 27).

• Operational obligations to employees: where Westpac employees become Challenge employees, Westpac must ensure those employees retain continuity of service and existing and accruing rights including leave and superannuation entitlements (s 10(3)(b)). Operationally, Westpac remains able to direct those employees (s 10(8)).

• Registrar and title obligations: while the Act requires registers to be amended, it also requires Westpac to produce relevant Crown grants, duplicate certificates of title or other relevant instruments and to pay any relevant fees for amendments (s 23). Similar obligations attach for other property registers under s 25(c)-(d).

Preserved or transferred rights of third parties

• Customer rights and duties: customers and depositors retain the same rights and duties as if their relationship had always been with Westpac (s 9(1)(a)). Instructions or mandates given to Challenge are treated as having been given to Westpac unless revoked (s 9(1)(a)).

• Secured creditors: securities transferred to Westpac are available to secure debts to Westpac and carry the same priorities for Westpac as they would have carried for Challenge (s 9(1)(b)-(c)).

• Rights in litigation: pending causes of action by or against Challenge are not abated by the Act and may be prosecuted by or against Westpac as if the Act had not been enacted (s 13(1)-(2)). Courts may enter judgment against both Challenge and Westpac at a party’s request (s 13(3)).

Implied or statutory protections

• No breach or default: the Act provides that doing things to give effect to it is not to be regarded as placing either Westpac or Challenge in breach of contract or as otherwise making either guilty of a civil wrong (s 18(1)(a)). The Act further deems required consents or advice to have been given where necessary to carry out an action authorised by the Act (s 18(2)). These provisions extinguish or prevent many potential claims of breach that could arise from change of counterparty.

• Protection for third parties dealing in good faith: persons dealing with Westpac or Challenge need not enquire whether property subject to a dealing is an excluded asset and are protected from being affected by notice that an asset is an excluded asset (s 20(1)); if a dealing is entered into by Westpac in relation to an excluded asset that dealing is deemed to be within Westpac’s power (s 20(2)). Those protections secure the position of innocent third parties.

Discretionary administrative powers

• Treasurer’s discretion on amount: the Treasurer has broad discretion to determine the sum payable in lieu of State taxes, duties and charges and to set the principles for that determination (s 17(2)). The Treasurer’s certificate confirming payment is a gating instrument to commencement (s 2(3), s 17(3)).

• Ministerial powers: the Minister responsible for the administration of the Credit Act may approve an extension of the transition period (s 3, definition of transition period) and may issue written notice terminating the s 12 exemption if conditions are not complied with (s 12(4)). The letter dated 6 May 1996 from the Minister for Fair Trading imposes conditions relevant to s 12(4); non-compliance enables the Minister to terminate the exemption.

Procedural duties on registrars and ASIC

• Registrar of Titles: upon request and production of instruments and payment of fees, the Registrar must amend the Register Book and relevant documents to reflect the effect of the Act (s 23).

• Australian Securities Commission: Westpac may lodge a CEO-signed certificate with the Australian Securities Commission to be taken to have complied with Corporations Law s 268(1) for charges acquired by virtue of the Act (s 24).

Taken together, the Act creates rights for Westpac to operate the transferred business with continuity while imposing duties to pay amounts to the State, to supply documents and to preserve employee entitlements. It also imposes administrative duties on State registrars and grants discretion to the Treasurer and Minister in taxation and transitional regulatory matters.

The Act itself contains no express criminal penalties, fines or licensing sanctions for breach of its provisions. Enforcement and practical consequences flow from civil and administrative mechanisms created or facilitated by the Act and from the underlying rights of third parties.

Enforcement mechanisms and remedies

• Civil proceedings and continuation: where proceedings are pending by, against or in favour of Challenge, they are not abated and may be continued and enforced by or against Westpac without further act (s 13(2)). This provides a civil remedy pathway for claimants seeking recovery against the party that now holds the assets and liabilities. Further, courts can enter judgment against both Westpac and Challenge upon request (s 13(3)), widening enforcement options.

• Certificates and conclusive evidence: certificates signed by the Westpac Chief Executive Officer are conclusive evidence of the matters certified in all courts and proceedings unless the contrary is established (s 26(1)-(2)). That evidentiary primacy means that parties relying on those certificates will have a strong procedural advantage in litigation over parties who seek to prove contrary facts.

• Registers and title amendments: where land is vested in Westpac by the Act, Westpac is to be deemed to be the registered proprietor for Transfer of Land Act 1893 purposes (s 22) and the Registrar of Titles is required to make amendments upon production of instruments and payment of fees (s 23). Failure by registrars to comply with s 23 may be remediable administratively or by judicial review, but the Act itself imposes a mandatory duty to amend.

• Protection of third parties: persons dealing with Westpac (or registrars) need not enquire into the excluded asset status of property and are protected from being affected by notice that property is excluded (s 20(1)). That provision functions as an indemnity to third parties and reduces the likelihood of multiparty disputes over title post-transfer.

Administrative enforcement and discretionary checks

• Treasurer’s certificate as gating mechanism: the commencement of much of the Act is conditional on the Treasurer issuing a certificate under s 17 confirming payment of the amount in lieu (s 2(3)). The Treasurer’s refusal or delay in issuing the certificate can functionally block the statutory transfer until an agreed payment is made. The Treasurer’s discretion over principles for the payment (s 17(2)) gives the Treasurer leverage and an administrative enforcement point.

• Ministerial powers over transition exemptions: the Minister responsible for the Credit Act may issue written notice terminating the s 12 exemption if the conditions in the Minister for Fair Trading letter of 6 May 1996 are not complied with (s 12(4)). This administrative power functions as the enforcement mechanism for compliance with transition conditions.

Limits on enforcement and penalties within the Act

• No express penal sanctions: the Act does not specify criminal offences, pecuniary penalties or contractual sanctions for failure to comply with its terms. Instead, it relies on ordinary civil remedies (litigation, injunctive relief, restitution), administrative controls (Treasurer certificates, Ministerial notices), and statutory deeming and evidentiary rules to effect a smooth transfer.

• Preservation of other remedies and laws: s 27 ensures that Westpac remains subject to other written laws governing companies carrying on banking business, so enforcement in respect of contraventions of banking law or other regulatory rules will continue under the applicable statutes. For example, if Westpac were to contravene a banking law, enforcement would continue under that law rather than under this Act.

Practical enforcement risks and avenues

• Challenge to certificates: while certificates issued under the Act are conclusive “except so far as the contrary is established” (s 26(1)). This leaves open limited judicial review or proof to the contrary, although the evidentiary burden will be high in practice because of the statutory conclusive presumption.

• Joint liability exposure: courts may enter judgments against both Westpac and Challenge at a party’s request (s 13(3)), which could expose both entities to enforcement actions. That provision can increase enforcement options for claimants but also raises the possibility that Westpac and Challenge may litigate between themselves in relation to liabilities relating to excluded assets (s 20(3)).

• Registrar compliance and administrative friction: registrars are required to amend records and registries on production of instruments and payment of fees. Where registrars delay or refuse amendment, affected parties may seek judicial review or mandamus, but the Act’s clear direction provides a strong basis for administrative enforcement.

In summary, enforcement is predominantly civil and administrative rather than penal. The Act uses certificates, deeming, and statutory evidence mechanics to facilitate enforceability and to decrease transaction costs associated with the transfer. It leaves policing of banking law compliance and sanctions under pre-existing regulatory frameworks outside its scope (s 27).

The Act is cross-referenced to, and purposefully drafted to interact with, a number of Commonwealth and State statutes and administrative schemes. The Act achieves legal effect by operating alongside existing registration, corporate and credit law frameworks while explicitly preserving the continuing application of other written laws.

Corporations Law and Corporations Act machinery

• Corporations Law references appear throughout. The definition of “excluded assets” retains documents required to be kept by Challenge under the Corporations Law (s 3(a)). Section 24 treats a Westpac CEO certificate as satisfying s 268(1) of the Corporations Law in respect of charges of which Westpac becomes the holder by virtue of the Act. The Act also contemplates directors, secretaries and auditors and clarifies that a person is not, by reason only of this Act, a director, secretary or auditor of Westpac (s 8(3)). Practitioners must therefore reconcile vesting with Corporations Law obligations on disclosure and registration.

Transfer of Land and property registers

• Where land registered under the Transfer of Land Act 1893 vested in Westpac by the Act, Westpac is to be deemed the registered proprietor for the purposes of that Act (s 22). The Registrar of Titles is required to make necessary amendments on request and on provision of supporting instruments and payment of fees (s 23). For other property registers, s 25 allows a certificate signed by the Westpac CEO to be lodged to satisfy transfer requirements and mandates that the responsible authority amend its register on request.

Evidence Act and bankers’ books

• Section 15 deems the bankers’ books of Challenge to be bankers’ books used in the ordinary business of Westpac for the purposes of sections 89 to 96 of the Evidence Act 1906 (s 15(2)). This explicitly integrates the Act with evidentiary rules governing banking records and admissibility, preserving access to documentary evidence in litigation and investigations.

Business Names Act and branding

• Section 11 requires Westpac to apply under the Business Names Act 1962 for registration of the Schedule 1 names and directs the Commissioner to register them as Westpac business names. During transition Westpac may also trade under “Challenge Bank Limited” as if registered (s 11(3)). These provisions require procedural compliance under the Business Names Act to effect lawful use of trading names in the State.

Consumer credit and the Credit Act framework

• Section 12 provides for a conditional, limited exemption from the Consumer Credit (Western Australia) Act 1996 for matters where Westpac or Challenge find it not practicable to comply after the commencement of s 13 of that Act. For such matters the Credit Act 1984 (as in force before commencement of Part 5 of the Consumer Credit (Western Australia) Act) continues to apply (s 12(2)-(3)). The exemption is time-limited to the transition period and conditional on compliance with a letter dated 6 May 1996 from the Minister for Fair Trading; the Minister responsible for the Credit Act may terminate the exemption (s 12(4)-(5)). This is a deliberate temporary regulatory shelter to ensure continuity of credit products during operational transition.

Commonwealth banking law and federal consents

• The Reasons for enactment refer to the Treasurer of Australia’s consent under s 63 of the Commonwealth Banking Act 1959 to the amalgamation of the banking business of Challenge with that of Westpac (Reasons, para 7). While the Act does not itself modify Commonwealth law, practitioners should note that the statutory transfer operates in a regulatory ecosystem that includes Commonwealth banking authorisations and approvals.

Registration with Australian Securities Commission / ASIC

• Section 24 requires that a certificate signed by the Westpac CEO be lodged with the Australian Securities Commission for charges transferred under the Act to be taken as compliant with Corporations Law requirements. Practically, this implicates ASIC’s lodgement and registration systems for security interests at the time.

Privacy and information laws (indirect interaction)

• Section 9(1)(f) makes information held by Challenge about customers available to Westpac. The Act does not purport to displace Commonwealth or State privacy or data protection laws; accordingly, the statutory right to use customer information post-transfer must be exercised in compliance with privacy law obligations that continue to apply in other statutes and regulatory frameworks.

Interaction with other State Acts and administrative policies

• Section 17’s payment in lieu implicates State taxation and revenue law practices. The Treasurer’s discretion as to the amount and the principles for its determination creates an administrative interaction with the State’s revenue administration.

• The Act binds the Crown (s 4) and applies to the full extent of the State’s extra-territorial legislative power (s 5(1)-(2)), which has implications if assets or operations are outside Western Australia.

Non-exempting approach to banking laws

• Importantly, s 27 provides that, except where an exemption is directly contemplated in the Act or clearly necessary as a consequence of it, nothing in the Act exempts Westpac from laws relating to companies carrying on the business of banking. This preserves the primacy of existing banking regulation and requires Westpac to comply with other statutory obligations even after the transfer.

In sum, the Act is drafted to operate as an overlay facilitating a statutory business transfer while leaving intact most procedural, regulatory and substantive obligations under other Commonwealth and State laws. Practitioners must therefore treat the Act as enabling transfer and administrative relief in specific, listed ways while ensuring continuing compliance with the broader legal framework.

The Act’s published compilation materials and notes record a limited amendment history. The operative timeline and amendments are as follows, with citations to the compilation table and sections in the Act.

• Original enactment and commencement: Westpac Banking Corporation (Challenge Bank) Act 1996 received Royal Assent on 19 September 1996 (compilation table). Sections 3 and 17 came into operation on 19 September 1996 under s 2(2). The remainder of the Act (other than s 1-3, 12 and 17) commenced by proclamation on 1 October 1996 (s 2(1) and Gazette 27 Sep 1996 p. 4787). Section 12 came into operation, or was deemed to have come into operation, on 1 November 1996 (s 2(4) and No. 30 of 1996 s 2).

• 1998 amendment: Section 12 was amended by Statutes (Repeals and Minor Amendments) Act (No. 2) 1998 (No. 10 of 1998), s 74. The compilation table notes the amendment and its commencement on 30 April 1998. The amendment history entry specifically indicates that s 12 was altered; the version in the consolidated Act reflects that amendment.

• Reprint: Reprint 1 is recorded as the Westpac Banking Corporation (Challenge Bank) Act 1996 as at 3 August 2007, which includes the 1998 amendment (compilation table).

• Uncommenced provisions note: The compilation materials contain an “Uncommenced provisions table” referencing provisions of other Acts (for example, Evidence Act 2025 Pt. 12 Div. 23), but this is not an amendment to the Westpac Act itself. It is administrative material included in the consolidated legislation website.

Textual stability and practical consequence

• The Act’s core mechanics (vesting, employee arrangements, excluded assets, certificates, and Treasurer payment) have not been subject to further substantive amendment in the compilation materials provided. The only recorded amendment affecting the Act’s text is the 1998 amendment to s 12. Reprints and editorial changes are reflected in Reprint 1 (2007).

• Practitioners should note that subsequent amendments to interacting statutes (for example, the Corporations Act replacing the Corporations Law, changes to business names registration regimes, changes to evidence law) may change the practical steps for compliance. The Act references several statutes by historical title (Business Names Act 1962, Evidence Act 1906, Corporations Law); mapping these references to current statutory instruments is necessary in practice.

Record-keeping and certificates

• The Act’s reliance on certificates and office-holder decisions (for example the Westpac CEO’s certificates, Treasurer certificates) means that historical records of those certificates, dates and accompanying instruments are essential for establishing the legal effect of the transfer. The compilation notes do not include copies of any certificates; parties should ensure documentary proof of any pre-commencement certificates and Treasurer payments are retained.

If a reader requires a chain of documentary evidence for compliance or litigation, searches should target the Treasurer’s certificate under s 17, any CEO-signed list of excluded assets lodged with the Treasurer before commencement, the Westpac CEO certificate lodged with ASIC under s 24, relevant business name registration applications, and any notices from the Minister under s 12(4).

The statute itself contains no judicial decisions and the provided text does not record any litigation history. The Act’s sections that preserve and facilitate litigation are s 13 (continuation of proceedings by or against Westpac) and s 26 (conclusive certificates). The Act allows courts to enter judgments against both Westpac and Challenge on request (s 13(3)), but the Act text does not cite any judicial consideration or reported cases that interpret its provisions.

What the Act text shows about litigation risk and posture

• Preservation of causes of action: s 13 protects litigants by ensuring causes of action are not abated by the transfer. That provision was designed to eliminate procedural arguments that the transfer extinguished or frustrated pre-existing claims against Challenge, by enabling claimants to proceed against Westpac.

• Certificates as evidence: s 26 establishes a strong evidentiary presumption in litigation in favour of matters certified by the Westpac CEO, subject to proof to the contrary. In litigation practice, such conclusive certificates tend to be determinative unless evidence affirmatively demonstrated to rebut them is available.

• Possible judicial avenues not foreclosed: the Act expressly preserves other written law enforcement mechanisms (s 27). Where dispute arises about whether the transfer was lawful, or about the correctness of a certificate, typical judicial remedies remain available (for example, proofs in fact, declarations, judicial review of administrative action if applicable). The Act’s conclusive presumption language is “except so far as the contrary is established” (s 26(1)), preserving the general availability of rebuttal evidence.

Absence of named cases

• The statutory text does not name any cases, nor does it summarise any judicial reasoning about its provisions. The legislative notes and compilation do not include case law. Therefore, to identify litigation that has interpreted or tested provisions of this Act (for example, disputes about excluded assets, certificates, or employee status), a search of case databases and law reports is required. Court files might include challenges to the Treasurer’s determination under s 17 or disputes between Westpac and Challenge concerning excluded assets under s 20(3), but the Act text alone does not identify any such proceedings.

Practical note for practitioners

• If litigation history is material to a client matter, an on‑point search of Western Australian Supreme Court, Federal Court and appellate decisions from the time of and after the transfer (post-1996) should be undertaken. Key search terms should include the Act title, “Westpac Banking Corporation (Challenge Bank) Act 1996”, “Challenge Bank Limited”, “excluded assets”, “certificate conclusive”, “s 12 exemption”, and “s 17 Treasurer certificate”. Also search administrative tribunal records for any disputes with registrars or the Treasurer.

In short, no litigation history is recorded in the statutory text; discovering judicial treatment of the Act will require independent legal research in case law databases.

The Act contains several points that can produce unexpected legal or practical consequences if not attended to. These “gotchas” arise from the Act’s statutory mechanics, the interplay between vesting and employment provisions, evidentiary primacy of certificates, and reliance on administrative discretion.

1. Ownership v employment inversion (s 7 vs s 10)

• The Act vests the banking business in Westpac (s 7(1)) but simultaneously reassigns Westpac employees in Western Australia to be employed by Challenge (s 10(1)). Practitioners must not assume that the acquirer (Westpac) simply inherits all employment contracts. Legally, transferred employees are employed by Challenge post-commencement but are directed by Westpac officers (s 10(8)). This arrangement may interact unexpectedly with modern employment law and industrial instruments, and it may create complexities for entitlements, payroll tax, superannuation reporting and statutory employer obligations, especially where state and federal law require the “employer” to have particular obligations.

2. Certificates are hard to dislodge (s 26)

• Certificates signed by the Westpac Chief Executive Officer are conclusive evidence unless the contrary is established (s 26(1)). In practical terms, once Westpac’s CEO issues a certificate (for example as to excluded assets or charges lodged with ASIC under s 24), reversing or rebutting that certificate in litigation will be difficult. Parties should ensure accuracy and documentary backup before relying on or lodging certificates.

3. Third-party dealing protection but residual internal liability (s 20)

• Section 20(1) protects third parties and registrars from having to inquire whether property is an excluded asset. Section 20(2) deems Westpac to have the authority to enter into dealings even in relation to excluded assets. However, s 20(3) preserves Westpac’s liability to Challenge for anything done or purporting to be done by Westpac in relation to an excluded asset. That creates the possibility that third parties dealing with Westpac are safe, while Westpac may remain exposed internally to Challenge. Practise accordingly: if your client is Westpac, check internal indemnities and inter-company agreements; if advising a third party, rely on the statutory protection but be aware that Westpac may seek recourse against Challenge.

4. Treasurer’s discretion on payment in lieu is open-ended (s 17)

• The Treasurer determines the amount to be paid in lieu of State taxes and may apply “such principles as the Treasurer thinks appropriate” (s 17(2)). That broad discretion means Westpac cannot be certain of the cash charge until the Treasurer decides. Because the Treasurer’s certificate is a precondition to commencement (s 2(3)), the timetable and certainty of the transfer can hinge on an administrative assessment.

5. Temporary consumer credit exemption is conditional and revocable (s 12)

• The s 12 exemption from the Consumer Credit (Western Australia) Act 1996 applies only where it is not practicable to comply and only for the transition period; it is subject to pre-conditions in the Minister for Fair Trading’s letter of 6 May 1996 and may be terminated by the Minister responsible for the credit Act on written notice (s 12(2)-(4)). This creates compliance risk for credit product continuity; practitioners must identify which products fall within the exemption and ensure conditions are met.

6. Customer information use interacts with privacy law (s 9(1)(f))

• The Act renders customer information available to Westpac for use after commencement (s 9(1)(f)). That statutory permission does not displace obligations under privacy statutes and sectoral regulation. Practitioners should reconcile the statutory availability with privacy and data protection obligations under Commonwealth and State law before operationalising use of transferred data.

7. No automatic entitlement to redundancy payments (s 10(4))

• Section 10(4) specifies that a person is not entitled to payment or other benefit by reason only of ceasing to be a Westpac employee as a result of the statutory transfer. That provision may be the subject of dispute where employment contracts, enterprise agreements or industrial awards provide for termination payments on transfer of employment. The Act preserves employees’ existing and accruing rights (s 10(3)) but does not create additional separation entitlements by reason solely of the transfer.

8. Reliance on historical statutes and registers

• The Act references historic statutes and specific administrative provisions (for example, Business Names Act 1962; Evidence Act 1906; Transfer of Land Act 1893; Corporations Law). In practice, those instruments have been modernised or replaced in subsequent legislative reform. Lawyers must map these references to current statutory provisions and compliance processes before acting.

9. Commencement conditions and timing (s 2)

• Commencement requires proclamation and must be after the Treasurer’s certificate under s 17 (s 2(1)-(3)). Practitioners should watch the interplay between proclamation, Treasurer certification and operational readiness; failing to observe these conditions may leave steps taken prematurely without legal effect.

10. Potential conflicts with other regulators and licences

• The Act preserves Westpac’s obligation to comply with banking laws (s 27) and does not override federal licensing requirements for banking or financial services. Any licensing condition imposed by APRA, ASIC, or other agencies, or any necessary notifications and approvals, must still be addressed outside this Act.

Each of these points can produce operational friction or litigation exposure if not handled deliberately. The statutory architecture solves many transfer problems but shifts risk into administrative discretion, certificate validity and detailed employment and registration mechanics.

The Act creates a sequence of affirmative steps and record-keeping actions that Westpac, Challenge, registrars, and advisers should follow to achieve legal effect and reduce post-transfer risk. The checklist below maps statutory obligations to practical steps, with section references.

Pre-commencement steps (essential)

1. Westpac CEO certificate listing excluded assets: prepare and sign a certificate listing any “other assets” to be excluded under s 3(f), and ensure it is delivered to the Treasurer before commencement time, as required by s 3(f). Keep original and certified copies in the corporate record.

2. Westpac CEO certificate of employees not to transfer: if any Westpac employees in Western Australia are to be excluded from transfer to Challenge, the Westpac Chief Executive Officer must, before commencement, give a written certificate to the Chief Executive Officer of Challenge specifying those names (s 10(2)). Ensure compliance with industrial instruments when selecting exclusions.

3. Treasurer payment and certificate: engage with the State Treasurer to determine the methodology and principles for the amount in lieu of State taxes and charges (s 17(1)-(3)). Make the payment and obtain the Treasurer’s certificate; the certificate must be issued before the day fixed for commencement (s 2(3)). Retain evidence of payment and the certificate as these are gating for legal effect.

4. Business name applications: lodge applications under the Business Names Act 1962 for each Schedule 1 name and comply with all application requirements before the Commissioner is to register them as Westpac names (s 11(2)). During the transition period Westpac may use “Challenge Bank Limited” as if registered (s 11(3)).

5. ASIC/ASC lodgements for charges: prepare and lodge the Westpac CEO-signed certificate with the Australian Securities Commission (now ASIC) to be taken to have complied with Corporations Law s 268(1) in respect of charges acquired by virtue of the Act (s 24). Ensure the certificate is in the prescribed form and accompanied by required information.

6. Title and property instruments: identify land and other registered property that will vest under the Act. Prepare supporting instruments (Crown Grants, duplicate certificates of title) for amendment by the Registrar of Titles. Ensure payment of fees and readiness to request amendments (s 23).

Operational and communication steps (recommended)

7. Customer communications: even though customer relationships are statutorily treated as between Westpac and customers (s 9(1)(a)), provide written communications to affected customers and depositors explaining the change in counterparty, any operational changes, and retention of rights. This mitigates reputational and consumer law risk.

8. Data protection and privacy compliance: map customer information transferred under s 9(1)(f) to privacy obligations (Commonwealth Privacy Act, any State privacy law) and prepare privacy notices and processing records. Ensure that data transfers comply with consent, permitted purpose, and security obligations.

9. Employment records and continuity: prepare detailed employment transition records for each person transferred under s 10, including:

   • formal notices to employees (consistent with awards and laws) stating continuity of service and terms (s 10(3));
   • evidence of exclusion for any employees named in the certificate under s 10(2);
   • records of superannuation, accrued leave and other entitlements to be preserved (s 10(3)(b));
   • adjustments to payroll, taxation, and reporting consistent with Challenge becoming the legal employer.

10. Inter-company service agreements: because transferred employees are to be engaged exclusively in providing services to Westpac and subject to Westpac officers’ control (s 10(8)), prepare inter-company service agreements or secondment arrangements to record the operational relationship and allocation of employer responsibilities, liabilities, indemnities and taxation obligations.

Registers and post-commencement filings

11. Registrar of Titles requests: after commencement, for land vested in Westpac under the Act, request the Registrar of Titles to amend the Register Book and related documents and provide the Crown Grant or duplicate certificate of title and payment of any fees (s 23). Maintain copies of amended registers and the Registrar’s confirmation.

12. Other register amendments: for other property types where an authority maintains a register, lodge the Westpac CEO’s certificate with the responsible person or authority and request amendment (s 25(c)-(d)). Obtain written confirmations of amendments.

13. Litigation and court filings: where Westpac was erroneously made a party in litigation concerning excluded assets or employees, use the procedural mechanisms under s 14 to seek leave to amend pleadings and substitute Challenge where appropriate. Conversely, in proceedings that were pending against Challenge that are within s 13’s scope, ensure Westpac appears and continues actions in its name or secures judgments against both entities where strategic.

Regulatory and compliance

14. Banking laws and licences: ensure continued compliance with all banking company laws and licensing obligations, this Act does not, except as expressly stated, exempt Westpac from banking regulation (s 27). Notify APRA, ASIC and any other relevant federal regulator as required by their rules.

15. Consumer credit transition compliance: identify any products or matters that cannot practicably comply with the Consumer Credit (Western Australia) Act 1996 after its commencement and document the impracticability as required by s 12(2). Ensure compliance with the conditions set out in the Minister for Fair Trading’s letter dated 6 May 1996. Monitor risk of termination of the s 12 exemption by the Minister responsible for the Credit Act (s 12(4)).

16. Tax reporting and state revenue: reconcile the Treasurer’s amount in lieu with state revenue reporting obligations; confirm any residual State tax obligations and maintain records of payment and the Treasurer’s certificate (s 17).

Record-keeping and evidence

17. Retain all certificates: maintain copies of all certificates referenced by the Act,the Westpac CEO certificate(s) delivered to the Treasurer (excluded assets and charges), the Treasurer’s certificate confirming payment, and any certificates lodged with ASIC (s 3(f), s 17(3), s 24). These documents are conclusive evidence under s 26 and essential for future due diligence.

18. Documentation for third-party dealings: where Westpac deals in relation to property, keep transaction files that demonstrate good faith reliance on the Act (s 20(1)-(2)) and the basis for concluding a property was not an excluded asset (or that a certificate authorised dealing).

Contingency and dispute handling

19. Anticipate indemnities between Westpac and Challenge: because s 20(3) preserves Westpac’s liability to Challenge for dealings in relation to excluded assets and s 13(3) allows judgments against both parties, draft and execute inter-company indemnities and settlement protocols to allocate risk of post-transfer disputes.

20. Legal review and mapping to modern statutes: because the Act references older named statutes (e.g. Business Names Act 1962; Evidence Act 1906; Corporations Law), conduct a legal mapping exercise to contemporary legislative equivalents and administrative processes before implementing the statutory steps. Update compliance checklists to current law.

Timing and governance

21. Board and executive approvals: obtain board approvals for the statutory steps, ensure signatories are authorised to issue CEO certificates and evidence internal governance sign-off for all certificates and payments. Because certificates are conclusive, governance should ensure accuracy.

22. Project management for transition period: implement a transition project with milestones tied to the Treasurer’s certification, registries’ amendments, ASIC lodgements and employee communications. Monitor and document any extensions of the transition period approved by the Minister responsible for the Credit Act (s 3, definition of transition period).

Following the above statutory and practical steps aligns operations with the Act’s requirements, reduces transactional uncertainty, and limits exposure to post-transfer disputes. Where doubt exists, especially in complex property, employment or consumer credit situations, obtain specific legal, tax and regulatory advice tied to the precise facts and dates of transfer.
