Western Port (Steel Works) Act 1970

The Act operates by converting a negotiated state-firm agreement into statutory rights, obligations and administrative mechanisms. Core concepts and legal mechanisms in the instrument are as follows.

Ratification and statutory primacy. Section 3(1) ratifies the Agreement and s 3(2)(b) gives it effect notwithstanding anything in other laws or instruments. The Act thereby creates statutory primacy for the Agreement’s provisions while also limiting the modification to what is “necessary to give full force and effect to the Agreement” (s 3(2)(b)). The Schedule itself frames the Agreement as the operative contract (Schedule, cl 1).

Crown land grants and easements. The Governor in Council has express power to grant the Company leases, easements, licences or other authorities for development of the Reclamation Area and adjacent Company land (s 4). Schedule Part III cl 5(n), (o) contemplates a fee simple grant of the Reclamation Area (other than the Foreshore) for $700,000 in ten instalments, subject to security and reclaiming covenants, and the grant may include reservations, conditions and right of disposal of material by the State. The Act also provides for the revocation of parts of temporary reservations over foreshore land (s 3(2)(c); Schedule, cl 5(j), (k)).

Wharves and exclusive management rights. The Agreement authorises the Company to construct, manage and have exclusive rights over wharves on the Plant Site subject to Port Rules and the Chief Engineer’s right to inspect (Schedule, cl 5(1)(a)(ii)). Maximum aggregate wharf lengths are specified depending on whether a hot strip mill is constructed (3,000 feet pre‑hot‑strip; 4,000 feet thereafter; total not exceeding 10,500 feet when fully integrated) (Schedule, cl 5(1)(b)-(c)). The State may, upon written request, erect its own wharves in specified parts of the Reclamation Area, subject to Company agreement on plans and specifications (Schedule, cl 7(1)-(2)).

Reclamation, dredging and disposal. The Company must reclaim the Reclamation Area at its cost and in a manner approved by the Minister and consistent with pollution and marine life laws (Schedule, cl 4(c)). The State may be required to carry out dredging at its cost upon reasonable notice to provide approach channels and berthing and turning areas (Schedule, cl 5(1)(d)). The Company is permitted to carry out approved dredging in navigation routes to obtain fill material (Schedule, cl 5(1)(p)) and the State may permit deposit of up to 150,000,000 cubic yards of approved waste material in areas designated after consultation (Schedule, cl 5(1)(q)). The State will not be responsible for removing spillage from vessels using the Company’s wharves or other deposits caused by the Company’s operations (Schedule, cl 5(1)(e)).

Financial regime and wharfage mechanics. Wharfage is quantified: 20 cents per 20 hundredweights, with a mechanism to increase that amount before 1 January 2000 by a percentage not exceeding the percentage by which Melbourne general cargo charges have increased since the commissioning date (Schedule, cl 6(2)-(3)). There is a prescribed minimum annual contribution by the Company equal to 10.5 per cent of the sum of State dredging payments in the prior 20 years; if the Company’s wharfage payments fall short of that prescribed amount the Company must pay the difference on demand (Schedule, cl 6(4)-(5)). After 1 January 2000 wharfage is to be fixed by the State in accordance with law and after consultation with the Company (Schedule, cl 6(6)-(7)).

Variation, parliamentary oversight and procedural notice. The inserted s 4A authorises variations to the Agreement by Order in Council, which take effect on publication unless disallowed by both Houses within specified sitting‑day windows (s 4A(1)-(6)). Orders are to be laid before Parliament within six sitting days of Gazette publication (s 4A(4)) and are judicially noticed on publication (s 4A(3)). Disallowance operates as repeal (s 4A(10)). If only part of an Order is disallowed, the remaining particulars are of no effect unless both the Premier and the Company give notice that they intend to be bound by the remainder (s 4A(9)).

Assignment and third parties. Assignment is limited. The Company may assign to Associated Companies and certain related corporations (Schedule, cl 9(2)) or otherwise with the Premier’s consent, which “shall not be unreasonably withheld” and may be subject to reasonable conditions (Schedule, cl 9(3)). Each party may subcontract obligations (Schedule, cl 8).

Termination, breaches and remedies. The Premier may determine the Agreement on insolvency of the Company, prolonged delay beyond one year from the commencing date (unless force majeure), failure to comply with core construction obligations, or abandonment or repudiation (Schedule, cl 13). Disputes are to be referred to arbitration under the Arbitration Act 1958 if not settled within one month (Schedule, cl 14).

Legal status and binding. The Act explicitly binds the Crown (s 2(2)), and the Agreement requires certain performance dates and has force as statute once ratified (s 3(1), Schedule cl 1). The Act also amends the Marine Act 1958 by substituting “all public and private wharfs” for “all public wharfs” (s 5), thereby broadening that Act’s scope to include private wharfs.

Primary affected parties are the State of Victoria, John Lysaght (Australia) Limited (the Company), associated companies (as defined in the Schedule), and any future assignees or licensees. The Act binds the Crown (s 2(2)), so multiple arms of government are impacted: the Governor in Council, the Premier, Ministers (in particular the Minister of Public Works), the Chief Engineer of Ports and Harbours, the Victorian Railways Commissioners (for rail services), the State Electricity Commission (for power supply), and the State Rivers and Water Supply Commission (for water supply). The Agreement also affects local government planning processes to the extent that building approvals remain subject to the Town and Country Planning Act 1961 or the Local Government Act 1958 (Schedule, cl 5(1)(a)(i)).

Land and property holders in the Plant Site and the delineated Reclamation Area are affected: the Schedule identifies precise cadastral and grid descriptions (First, Second and Third Schedules) which determine what land may be reclaimed, granted and closed (Schedule, cl 5(k), (l), (m), and Third Schedule). The Company is the primary private beneficiary, receiving exclusive management rights over wharves and potential right to fee simple title to the Reclamation Area subject to conditions (Schedule, cl 5(k), (n)). Associated Companies and corporations deemed related under relevant Companies Acts may receive assignments and rights (Schedule, cl 2 definition and cl 9(2)).

Commercial operators and future port users are affected by the wharfage and access regime. The Company has exclusive wharf management rights on the Plant Site and will pay wharfage pursuant to Schedule cl 6; third parties permitted to use the wharves by the Company (other than Associated Companies) are to pay the general wharfage charges applicable in Western Port (Schedule, cl 6(9)). The State, however, retains the ability to erect its own wharves in specified parts of the Reclamation Area and manage them subject to agreed plans (Schedule, cl 7(1)-(2)), which can affect access and operations.

Regulatory and enforcement bodies are implicated: the Chief Engineer is charged with satisfaction checks for wharf maintenance and must be consulted about dredging contracts (Schedule, cl 4(e) and 5(2)). The Minister approves plans and specifications for reclamation, wharves and discharges (Schedule, cl 4(c), 5(1)(b), (i)). Rail and electricity providers are required to facilitate services to the Plant Site under terms agreed with the Company (Schedule, cl 5(1)(s)-(t)).

Environmental and community stakeholders are affected indirectly via the reclamation, dredging and permitted deposits: reclamation must be performed “in accordance with the law relating to the control of pollution and the preservation of marine life” and plans must be approved by the Minister (Schedule, cl 4(c)). The State’s obligation to permit deposit of up to 150,000,000 cubic yards of approved waste material (Schedule, cl 5(1)(q)) affects marine and coastal uses and ecological receptors. Local landholders and users of Western Port would be affected by changes in shoreline, navigation channels and authorised industrial use of foreshore and reclaimed land.

Financially, the Company bears reclamation costs, construction of wharves (except where the State constructs wharves under Schedule cl 7), payment of wharfage and agreed consideration for grant of the Reclamation Area ($700,000 in ten instalments under Schedule cl 5(1)(n)). The State bears costs of dredging it undertakes on reasonable notice (Schedule, cl 5(1)(d)), and provides public infrastructure connections, navigation aids and certain permissions.

Finally, Parliament and the Governor in Council are procedural decision‑makers under s 4A: Orders in Council can vary the Agreement and become law on Gazette publication unless disallowed by both Houses within the specified sitting‑day regime (s 4A(1)-(6)); Parliament thus retains an oversight avenue for future variations.

The Act (through the Schedule) creates a network of specific duties and rights distributed between the Company and the State. Below are the principal operative duties and rights, with references to the relevant Schedule clauses and Act sections.

Duties of the Company

• Construct specified plant components by fixed deadlines. The Company must complete a cold reduction mill and associated facilities by 31 December 1973 (Schedule, cl 4(a)) and a hot strip mill by 31 December 1980 (Schedule, cl 4(b)), unless otherwise agreed.
• Reclaim the Reclamation Area at its own cost in accordance with Minister‑approved plans and applicable pollution and marine protections (Schedule, cl 4(c)).
• Construct, operate and maintain the Plant and maintain wharves in accordance with good industry practice and relevant law, and to the satisfaction of the Chief Engineer (Schedule, cl 4(d)-(e)).
• Pay amounts required under the Agreement: wharfage charges, consideration for land grants, security for payments, fees and contributions to assurance funds as specified (Schedule, cl 4(f); Part IV cl 6; cl 5(1)(n)(ii), (vi)).
• Comply with obligations related to assignment and consent procedures for transfers (Schedule, cl 9).
• Allow the State access and cooperation where it erects and operates wharves under Schedule cl 7, and to pay agreed amounts on determination of State rights (Schedule, cl 7(1)-(5), (4)).

Rights of the Company

• Exclusive rights to own, manage, maintain and control wharves constructed under the Agreement, subject to Port Rules and inspection rights by the Chief Engineer (Schedule, cl 5(1)(a)(ii)).
• Right to construct wharves at specified places and to a specified aggregate length (3,000 or 4,000 feet depending on hot strip mill construction, and up to a 10,500 feet total for full integration) after Ministerial approval of plans and consultation with the Chief Engineer (Schedule, cl 5(1)(b)-(c)).
• Potential grant in fee simple of the Reclamation Area (other than Foreshore) for $700,000 with conditions and repayment/revocation clause if not reclaimed to Ministerial satisfaction within 99 years (Schedule, cl 5(1)(n)(i)-(v)).
• Ability to assign rights to Associated Companies without Premier consent (Schedule, cl 9(2)), and to other assignees with Premier consent not to be unreasonably withheld (Schedule, cl 9(3)).
• Ability to use State‑constructed wharves subject to payment of wharfage charges (Schedule, cl 7(6)).

Duties of the State

• Authorise the Company to perform its construction, reclamation and operational covenants and to own/manage the wharves, subject to necessary planning approvals under Town and Country Planning Act 1961 or Local Government Act 1958 (Schedule, cl 5(1)(a)(i)-(ii)).
• Authorise Company wharf construction within specified aggregate limits and approve plans/specifications via the Minister (Schedule, cl 5(1)(b)-(c)).
• On reasonable notice, carry out State dredging at the State’s cost to provide approach channels and berthing/turning areas, and maintain such channels to dredged depths (Schedule, cl 5(1)(d)-(e)).
• Install and maintain navigation aids, facilitate water supply via State Rivers and Water Supply Commission, provide adequate public roads and facilitate rail and electricity connections and services (Schedule, cl 5(1)(f)-(t)).
• Permit Company withdrawal and discharge of sea‑water and effluent subject to law and Ministerial approval of structures/plans (Schedule, cl 5(1)(i)).
• Revoke certain temporary reservations and, upon surrender of land suitable for reservation as open spaces, grant the Foreshore to the Company in fee simple subject to conditions (Schedule, cl 5(1)(j)-(k)).
• Grant land and easements via Governor in Council as necessary (s 4; Schedule, cl 5(1)(o)).

Rights of the State

• The Premier may, under specified breaches or insolvency, determine the Agreement (Schedule, cl 13).
• The State may request the Company to authorise the State to erect wharves within prescribed areas and to occupy/manage reclaimed parts of the Reclamation Area, subject to mutually agreed plans (Schedule, cl 7(1)).
• The Governor in Council retains the power to attach covenants, reservations and other conditions to grants (Schedule, cl 5(1)(k)(vii), (n)(x)).

Variation and Parliamentary oversight

• The Agreement may be varied by Order in Council with Governor in Council approval and Gazette publication; such variations take effect on publication unless disallowed by both Houses under s 4A. Publication is judicially noticed and Parliament may disallow Orders with specified notice and passage timing; disallowance operates as repeal (s 4A(1)-(10)).

Other procedural duties

• Notices and communications are formalised: notices from the State are to be signed by the Premier or other Minister and posted to the Company’s registered office; notices from the Company to the Premier are to be signed by a director or the Company Secretary and posted to the Premier (Schedule, cl 15).
• Disputes not settled within one month may be referred to arbitration under the Arbitration Act 1958 (Schedule, cl 14).

These duties and rights are cross‑linked: many Company rights (land, wharf management) come with corresponding conditions, Ministerial approvals and maintenance standards; many State duties (dredging, infrastructure, permits) are subject to reasonable notice, agreement with the Company and consultation with technical officers (Chief Engineer). The Act also expressly binds the Crown (s 2(2)), making these duties enforceable against the State in the statutory framework created.

The Act is principally contractual and administrative in structure rather than a penal statute; it does not create criminal offences or express pecuniary penalties within the text provided. Enforcement and remedies are located in the Agreement (Schedule) and via governmental administrative powers. Key enforcement and remedial mechanisms are as follows.

Premier’s termination power. The Premier may determine (terminate) the Agreement by written notice in specified circumstances: if the Company enters liquidation (other than voluntary for reconstruction), delays performance beyond one year from the commencing date (except for force majeure as defined in cl 10), fails to comply with obligations under clause 4 (construction, reclamation, maintenance) other than for force majeure, or abandons or repudiates the Agreement (Schedule, cl 13). Determination does not affect rights or liabilities accrued prior to termination (Schedule, cl 13).

Property revocation and surrender. Clause 12 gives the Premier a power to require the surrender of up to half of the Reclamation Area (other than the Foreshore) for $750 per acre if the Company fails to commence expansion to a fully integrated steel works by a date determined under cl 12 (Schedule, cl 12(1)-(2)). The surrendered area calculation ties relinquished frontage proportionally to the area to be surrendered. Clause 5(1)(n)(v) also provides a revocation mechanism: if any part of the Reclamation Area (other than the Foreshore) is not reclaimed to the satisfaction of the Minister within 99 years after the Agreement date, the grant in respect of that part shall be revoked and the part shall become unalienated Crown land, and consideration paid by the Company in respect of that part shall be repayable to the Company (Schedule, cl 5(1)(n)(v)).

Financial enforcement through payment obligations. The Agreement sets out monetary obligations with enforcement consequences. For example, if in any year aggregate wharfage payments by the Company are less than the “prescribed amount” (defined as 10.5 per cent of the sum of State dredging payments in the prior 20 years, subject to an initial cap), the Company must, within 14 days of written demand from the Secretary for Public Works, pay the shortfall (Schedule, cl 6(4)-(5)). The Company must pay the consideration for the Reclamation Area in instalments and provide security as required by the State; failure would expose it to the State’s contract and property remedies (Schedule, cl 5(1)(n)(i)-(ii)).

Contractual compensation on determination of State rights. If the Company terminates or the State ceases to occupy/manage a State‑constructed wharf under Schedule cl 7, the Company agrees to pay the State an amount equal to the current cost to the Company of erecting the wharf and equipment less a fair depreciation allowance, and agreed dredging contributions, on determination of the State’s right (Schedule, cl 7(4)). This is a contractual payment obligation triggered by the determination event.

Administrative oversight and approvals. Many rights and activities are conditioned on Ministerial approval, Chief Engineer satisfaction and consultations. These administrative checkpoints provide regulatory oversight and practical enforcement: the Minister approves plans/specifications for reclamation and wharves (Schedule, cl 4(c), cl 5(1)(b)-(c)); the Chief Engineer must be satisfied with wharf maintenance and consulted about dredging contracts (Schedule, cl 4(e); cl 5(2)). Non‑satisfaction or non‑approval will constrain the Company’s ability to exercise its rights.

Arbitration for disputes. Clause 14 prescribes arbitration as the dispute resolution mechanism for differences not settled within one month. The matter is to be referred to two arbitrators (one appointed by each party) with the Arbitration Act 1958 applying, including the umpire provision (Schedule, cl 14). This is the contractual enforcement mechanism for disputes between the parties.

Parliamentary disallowance for variations. Section 4A provides Parliament with an oversight remedy for Orders in Council that vary the Agreement: both Houses can disallow an Order in Council pursuant to the specified notice and passage requirements, and disallowance has the like effect of repeal (s 4A(5)-(6), (10)). Publication of the Order in the Gazette is judicially noticed (s 4A(3)), which makes the variation enforceable unless successfully disallowed.

No express fines or criminal sanctions. The Act and Schedule do not set out statutory fines or criminal penalties for breaches of the Agreement; instead, remedies are contractual (termination, damages, compensation) and administrative (Ministerial approvals withheld, revocation of grants), plus the arbitration mechanism. Where obligations refer to compliance “in accordance with the law for the time being in force” (Schedule, cl 4(d), cl 5(1)(i)), any breach of underlying pollution or marine protection statutes would attract enforcement and penalties under those separate laws rather than under this Act.

Practical enforcement players. Enforcement is dispersed: the Premier (termination notices), the Minister and Chief Engineer (approvals, satisfaction), the Secretary for Public Works (issuing demands under Schedule cl 6(4)), and the Governor in Council (granting or revoking Crown titles and attaching conditions) all have operational enforcement roles. The arbitration mechanism provides the private party enforcement and dispute‑resolution route.

The Act expressly positions the Agreement to operate across, and where necessary to override, other statutory regimes, while recognising some statutory constraints. The interaction with other laws is handled in multiple ways in the text.

Statutory primacy within limits. Section 3(2)(b) provides that the Agreement “shall take effect notwithstanding anything in any other Act or in any proclamation regulation Order in Council by‑law lease licence authority permit or agreement under any other Act” and that any such instrument “shall by virtue of this Act be deemed to be modified to the extent necessary to give full force and effect to the Agreement but not further or otherwise.” This is an express non‑derogation override that gives the Agreement primacy but constrains modification to what is strictly necessary to give effect to it. The Schedule repeatedly refers to actions being “in accordance with the law for the time being in force” for specified activities (e.g. construction standards, pollution control, discharge of effluent) (Schedule, cl 4(c), cl 4(d), cl 5(1)(i)). The result is a mix of carve‑outs and subjectivity: the Agreement will pre‑empt conflicting statutory provisions to the extent necessary but still contemplates adherence to applicable laws for environmental and building matters.

Planning and local government approvals. The State’s covenant to authorise Company performance under the Act is subject to any authority, approval, permit, licence or consent required under the Town and Country Planning Act 1961 or the Local Government Act 1958 in connection with building or structure construction (Schedule, cl 5(1)(a)(i)). This preserves planning and development approval processes and local government controls in respect of buildings and structures, so the Company's construction remains subject to planning law compliance.

Marine Act amendment and private wharfs. Section 5 amends the Marine Act 1958 by substituting “all public and private wharfs” for “all public wharfs” in s 7 of the Marine Act. This broadens the Marine Act’s application to include private wharfs, thereby extending marine regulatory reach to wharves that may be owned and operated by the Company. The Amendment therefore integrates the Company’s private wharf operations into the statutory marine regulatory framework.

Environmental and pollution law. Reclamation, dredging and discharge permissions are made subject to “the law relating to the control of pollution and the preservation of marine life for the time being in force” (Schedule, cl 4(c)). The Act therefore does not displace environmental statutes; instead, it requires compliance with those laws and Ministerial approval of plans/specifications for deposition and discharge structures (Schedule, cl 5(1)(i), (q)). Any enforcement for pollution, unauthorised discharge, or marine life harm would proceed under relevant environmental or marine statutes rather than under the Act itself.

Companies and corporate law. The Schedule uses corporate definitions (Associated Companies) and cross‑references the Companies Act (Schedule, cl 2 definition; cl 9(2) referencing s 6 of the Companies Act 1961). Assignment rights are structured with regard to corporate relationships recognised under company law, and the insolvency clause (Schedule, cl 13(a)) links to consequences under corporate insolvency regimes.

Rail, electricity and water statutes and agencies. The State’s obligations to facilitate rail linkages and provide rail services are to be carried out through the Victorian Railways Commissioners under agreed conditions (Schedule, cl 5(1)(s)). Electricity supply and generation arrangements are to be facilitated through the State Electricity Commission, subject to agreements between the Company and the Commission (Schedule, cl 5(1)(t)-(u)). Water supply is to be facilitated through the State Rivers and Water Supply Commission (Schedule, cl 5(1)(g)). These obligations interface with the statutory and contractual regimes governing those state instrumentalities.

Arbitration Act and dispute resolution. The Agreement adopts the Arbitration Act 1958 as the procedural framework for arbitration (Schedule, cl 14). This forces disputes within the statutory arbitration regime for matters not resolved within one month of notice.

Orders in Council and parliamentary disallowance. Section 4A creates an overlay with parliamentary procedure and Executive Orders. Variations to the Agreement by Order in Council take effect on Gazette publication and are judicially noticed (s 4A(2)-(3)), but are subject to disallowance by parliamentary resolution within strict sitting‑day timelines (s 4A(4)-(6), (10)). This mechanism interacts with constitutional and legislative processes concerning subordinate legislation and parliamentary control.

Limitations and interplay. The Agreement’s clauses require Ministerial approvals, Chief Engineer satisfaction and consultations; these administrative checks are points of interaction where other statutory duties and standards (planning, environmental, marine navigation) will apply. For example, while the Agreement authorises use of the Foreshore for industrial purposes (Schedule, cl 5(1)(k)(iii)), it also preserves the State’s right to dispose of material in parts of the Foreshore and to require reclamation in Minister‑approved manners (Schedule, cl 5(1)(k)(i)-(ii)).

Overall, the Act creates a statutory contract that interacts with, and in some respects overrides, other laws to the extent necessary to give effect to its terms, while explicitly preserving planning, environmental and other legal obligations. Section 3(2)(b) provides the override mechanism; s 5 and multiple Schedule clauses preserve substantive cross‑compliance with existing regulatory regimes administered by other statutory bodies.

The Act as printed incorporates amendments up to 17 August 2001, and the Endnotes record the legislative amendment history captured in the version provided. The key recorded amendment in the Endnotes is the Port Services Act 1995 (No. 82/1995), which made two identifiable textual alterations to the Western Port (Steel Works) Act 1970.

Nature of amendments recorded in the Endnotes

• Port Services Act 1995, No. 82/1995: The Endnotes state that ss 199 and 200 of the Port Services Act 1995 amended the Western Port (Steel Works) Act 1970. The annotations in the main text confirm that s 2(1)(a) was amended by No. 82/1995 s 199 and that s 4A was inserted by No. 82/1995 s 200 (see inline marginal notes in the Act text: “s. 2(1)(a) amended by No. 82/1995 s.199.” and “s. 4A inserted by No.82/1995 s.200.”). The inserted section is s 4A , the statutory procedure for variation of the Agreement by Order in Council with parliamentary disallowance rights (s 4A(1)-(11)).

Practical effect of the amendment(s)

• Insertion of s 4A formalises an Executive‑level mechanism for varying the Agreement without returning to primary legislation for each change, subject to parliamentary oversight through a disallowance procedure. The inserted s 4A sets out publication, parliamentary laying and disallowance timeframes and consequences (s 4A(1)-(11)). This amendment transferred or clarified the process for future contractual variations into a standing administrative pathway and defined the interaction between Executive Orders and parliamentary oversight.
• Amendment of s 2(1)(a) likely updated the definition reference to the Agreement in the Act, although the exact textual change is not separately reproduced in the Endnotes beyond the marginal note indicating amendment; the Schedule continues to define the Agreement and to assign definitions.

Commencement and subsequent status

• The Port Services Act 1995 amendments (s 199 and s 200) commenced on 14 December 1995 (Endnotes: Commencement Date: Ss 199, 200 on 14.12.95: Government Gazette 14.12.95 p.3488). The main Act originally received assent on 7 April 1970 and commenced on 30 April 1970 (Endnotes, General Information).

Other amendment notes

• The Endnotes include a Table of Amendments but list no further amendments in the text provided. The explanatory details section in the Endnotes contains no entries (Endnotes, 3). The version presented is described as “Version incorporating amendments as at 17 August 2001,” implying the Act text in the source reflects amendments up to that date; however the Endnotes show only the 1995 Port Services Act amendments explicitly.

Implications for interpretation

• The insertion of s 4A alters the governance of future changes to the Agreement by creating an administrative route that can make variations effective on Gazette publication unless disallowed. Interpreters of the Act must therefore be attentive to any Orders in Council published in the Government Gazette (s 4A(3)) after 14 December 1995, and to the parliamentary record concerning any disallowance resolutions (s 4A(4)-(6), (10)). The provision that publication is judicially noticed (s 4A(3)) also affects evidentiary practice when establishing the current text of the Agreement as law.

No other statutory amendments (e.g. to financial clauses, dates, or core obligations) are recorded in the Endnotes provided. Any additional alterations after the 1995 amendment would need to be checked against current consolidated Victorian statute law and Gazette publications beyond the version in the provided source.

The text provided contains no record of litigation or judicial decisions concerning the Western Port (Steel Works) Act 1970 or the Agreement in the Schedule. The Endnotes include only general information, a table of amendments and the note that there are “No entries at date of publication” under Explanatory Details (Endnotes, 3). There are no cases referenced in the Act or the Schedule itself.

What the source shows

• The Act and Schedule are silent on any judicial interpretation or case law. The Schedule provides an internal dispute procedure by arbitration (Schedule, cl 14) but does not catalogue any cases or judicial adjudications. The inserted s 4A contemplates parliamentary disallowance of Orders in Council but does not engage courts directly.

Practical consequence for researchers and advisers

• Because the source includes no litigation history, practitioners should not assume settled judicial interpretation of the Agreement’s provisions. Key provisions that could be litigated include the scope of the State’s obligation to dredge “such dredging as will provide such approach channels and berthing and turning areas as are from time to time reasonably required” (Schedule, cl 5(1)(d)); the extent to which the Agreement overrides other statutes under s 3(2)(b) “notwithstanding anything in any other Act” and the limits of the “not further or otherwise” qualifier; and the construction of s 4A’s parliamentary disallowance process and its evidentiary effects following Gazette publication (s 4A(2)-(4)). Any disagreements on these points would likely proceed to arbitration under Schedule cl 14 where arbitrable, or potentially to judicial review or declaratory relief if public law issues arise about the exercise of executive or ministerial powers.

Recommended next steps for case‑law research

• To establish whether there has been subsequent litigation, researchers should search Victorian and federal law reports, tribunal decisions and administrative law judgments for references to the Western Port (Steel Works) Act 1970, John Lysaght (Australia) Limited, relevant Crown land grants in Western Port, and Orders in Council made under s 4A after 14 December 1995. Parliamentary records (Hansard) and Government Gazette indexes should also be checked for Orders in Council under s 4A and any parliamentary disallowance motions.

In short, the provided statutory text includes no litigation history; practitioners should therefore verify later authorities and arbitral awards in external sources when advising on contested interpretation or enforcement.

The Act and its Schedule contain several technical and procedural features that can create legal and operational traps for parties, government agencies and advisers. These are not judgments about policy but factual flagging of provisions that produce timing sensitivities, conditional rights, administrative discretion and contingent financial exposures.

Variation by Order in Council becomes law on publication. Section 4A(2) provides that, unless Parliament disallows an Order in Council varying the Agreement in accordance with the detailed sitting‑day procedure, the variation “shall have the force of law on and after the date on which the order was published in the Government Gazette as though the provisions of the agreement were expressly enacted in this Act.” Publication is judicially noticed (s 4A(3)), and the Order must be laid before both Houses within six sitting days (s 4A(4)). Gotcha: an Order can be effective immediately upon Gazette publication and judicially noticed as evidence, so interested parties must monitor the Gazette and act quickly if they intend to seek parliamentary disallowance. Disallowance windows are subject to sitting‑day counting rules and are preserved against prorogation or dissolution (s 4A(6)-(7)); procedural miscalculation could cost an opportunity to disallow.

Partial disallowance complications. If Parliament disallows part only of an Order, the remaining particulars “shall be of no effect unless and until each of the Premier of Victoria and the Company gives notice to the other expressing an intention to be bound by the particulars not disallowed” (s 4A(9)). Gotcha: partial parliamentary disallowance can nullify the whole or leave a fragmented remainder that has no effect unless both parties expressly accept it; that creates potential uncertainty for third parties relying on the variation.

Wide statutory override with a textual limit. Section 3(2)(b) deems instruments modified “to the extent necessary to give full force and effect to the Agreement but not further or otherwise.” Gotcha: while the Agreement has primacy, its effect is constrained by a judicially evaluable qualifier. Disputes may arise about what modifications are truly “necessary” to give effect to the Agreement, potentially producing litigation or arbitration.

Ministerial and administrative gatekeeping. Many Company powers are conditioned on Ministerial approval or Chief Engineer satisfaction (e.g. reclamation plans, wharf plans, maintenance standards, dredging contracts) (Schedule, cl 4(c), 4(e), 5(1)(b), 5(2)). Gotcha: these approvals are discretionary administrative acts that can delay or shape development; the Agreement contemplates consultation but leaves room for the Minister/Chief Engineer to require changes.

Financial downside exposure tied to State dredging costs. Schedule cl 6(4)-(5) creates a contingent obligation: if Company wharfage payments in a year are less than the “prescribed amount” (10.5 per cent of State dredging costs in the relevant 20‑year window), the Company must pay the shortfall on demand. Gotcha: this ties the Company’s payable amount to past State expenditures, which could rise and generate unexpected payment demands even if the Company’s own throughput is low. Practitioners need to model long‑run dredging expenditure and the resultant prescribed amounts.

Complex property‑grant conditions and long revocation horizons. The Reclamation Area grant is conditional: $700,000 consideration payable by ten instalments with required security, right of State disposal of material in parts of the area, a covenant to reclaim, use limited to steel‑industry purposes unless authorised by Governor in Council, and a 99‑year revocation trigger if not reclaimed to Ministerial satisfaction (Schedule, cl 5(1)(n)(i)-(vi)). Gotcha: the grant’s long conditional horizon (99 years) and Ministerial satisfaction standard can create protracted uncertainty over title and use restrictions.

State option to reclaim wharf control and Company payment on determination. Under Schedule cl 7 the State can erect wharves with Company agreement; the Company may determine State rights on three years’ notice, but if it does the Company must pay the State an amount equal to the current cost to the Company of erecting the wharf less depreciation plus agreed dredging contributions (cl 7(3)-(4)). Gotcha: the Company may face a large payment obligation upon determination of the State’s right, which can be counterintuitive because the Company pays the State for structures the State erected with Company approval.

Assignment restrictions and Premier’s “reasonable” consent. While assignment is permitted to Associated Companies, other assignments require the Premier’s consent which “shall not be unreasonably withheld” (Schedule, cl 9(3)). Gotcha: the “not unreasonably withheld” standard is contractual but can produce disagreements about reasonableness and negotiation leverage with the State.

Overlap with existing environmental law and public obligation. The Agreement allows discharge of sea‑water and effluent subject to the law for the time being in force (Schedule, cl 5(1)(i)), and requires reclamation to comply with pollution and marine life protection laws (Schedule, cl 4(c)). Gotcha: compliance will require concurrent approvals and could trigger environmental assessment regimes or statutory restrictions, which may slow development.

Dates and phased entitlements. The Company’s rights (for example, to additional wharf length or to surrender requirements under cl 12) hinge on triggering events and dates: construction deadlines (1973, 1980), expansion commencement deadlines (cl 12 uses 31 December 1985 subject to Premier discretion), and the commissioning date for wharfage mechanics (Schedule cl 6 definition and clauses). Gotcha: the Agreement’s various dates interact; failure to meet a date can trigger state options to require surrender or determine rights.

Monitoring the Government Gazette and parliamentary sittings. Because s 4A gives immediate effect to published Orders unless disallowed under the sitting‑day timetable, affected parties must monitor the Gazette and the Houses’ sitting calendars closely. Gotcha: missing the lay‑before or disallowance window is a procedural risk with substantive consequences.

In sum these provisions create a mix of conditional entitlements and contingent liabilities that require careful calendar management, statutory cross‑checking, negotiation around Ministerial approvals and prudent modelling of long‑term dredging and infrastructure costs.

Compliance under this Act requires a mix of contractual performance, administrative approvals, statutory observances and ongoing operational reporting. The Company, state agencies and advisers should follow structured steps tied to specific clauses in the Schedule and statutory sections.

1. Establish the legal starting point and dates

• Confirm commencement and commissioning dates. The Act commenced on 30 April 1970 (Endnotes). The Agreement differentiates the “commencing date” (date Act comes into operation) and “commissioning date” (date goods or materials are first received or dispatched over a wharf) (Schedule cl 2 definitions). Accurate record‑keeping of those dates is essential because many obligations and payment calculations are date‑dependent (Schedule, cl 4(a)-(b); cl 6).

2. Obtain and maintain Ministerial and planning approvals

• Prepare reclamation and wharf plans and specifications for Ministerial approval. Reclamation must be in accordance with plans/specifications approved by the Minister and in compliance with pollution/marine life laws (Schedule, cl 4(c)). Wharf construction similarly requires Minister approval (Schedule, cl 5(1)(b)-(c)).
• Secure necessary building permits under the Town and Country Planning Act 1961 and Local Government Act 1958 where relevant (Schedule, cl 5(1)(a)(i)). The Agreement anticipates these approvals and retains them as preconditions for certain authorisations.

3. Engage with technical authorities early and document consultations

• Consult the Chief Engineer of Ports and Harbours regarding wharf maintenance standards and dredging terms; the Chief Engineer must be satisfied with wharf maintenance and is to be consulted before State dredging contracts are finalised (Schedule, cl 4(e); cl 5(2)). Keep records of consultations, technical approvals and any required alterations.
• Coordinate with the State Rivers and Water Supply Commission, Victorian Railways Commissioners and the State Electricity Commission to formalise supply points, rail links, services, and electricity supply arrangements as required by Schedule cl 5(1)(g), (s)-(u).

4. Manage reclamation, dredging and material disposition in line with environmental law

• Ensure reclamation plans conform to pollution control and marine protection statutes. Obtain any environmental approvals or licences for discharge of sea‑water and effluent; the Agreement allows withdrawal/discharge subject to existing law and Ministerial approval (Schedule, cl 5(1)(i)), which requires compliance with separate statutes.
• If carrying out dredging to obtain fill (Schedule, cl 5(1)(p)) or depositing waste material (Schedule, cl 5(1)(q)), obtain Ministerial approval for dredging specifications and designated deposit areas, and ensure compliance with any coastal/marine permits.

5. Financial compliance and securities

• Arrange payment and security for the $700,000 consideration if seeking grant of Reclamation Area in fee simple (Schedule, cl 5(1)(n)(i)-(ii)). Prepare to make ten equal annual instalments with the initial payment on grant, and provide security as the State requires.
• Monitor and model wharfage payments and the “prescribed amount” calculation (Schedule, cl 6(4)-(5)). Maintain accounting systems to calculate and reconcile wharfage amounts, and be ready to meet demand notices from the Secretary for Public Works within 14 days.

6. Manage wharf construction, operation and maintenance

• Keep maintenance records demonstrating compliance with “good industry practices” and Chief Engineer satisfaction (Schedule, cl 4(d)-(e)). Conduct regular inspections and remedial work as necessary; document interactions with the Chief Engineer.
• If granting rights to third parties to use wharves, ensure the charges applied are the general wharfage charges applicable in Western Port where the user is not an Associated Company (Schedule, cl 6(9)).

7. Assignment, corporate structuring and consent

• If intending to assign the Agreement or parts of it, verify status as an Associated Company or related corporation to rely on automatic assignment rights (Schedule, cl 9(2)). For other assignments, obtain Premier’s written consent and prepare to address any reasonable conditions the Premier may impose (Schedule, cl 9(3)). Keep documentary evidence of the Premier’s consent.

8. Notices, arbitration and dispute resolution

• Follow the specified formalities for notices: State notices signed by the Premier or Minister and posted; Company notices signed by a director or Secretary and posted (Schedule, cl 15). Keep certified proof of posting and delivery timing.
• If disputes arise, issue formal dispute notices and prepare for arbitration under the Arbitration Act 1958 if not settled within one month (Schedule, cl 14). Prepare to appoint an arbitrator promptly and consider potential need for an umpire as permitted under the Arbitration Act.

9. Monitor Gazette publications and parliamentary processes under s 4A

• Monitor the Government Gazette for Orders in Council varying the Agreement; such Orders are judicially noticed on publication (s 4A(3)). If the Company or other stakeholders are affected, engage with parliamentary representatives and legal advisers quickly to assess whether a disallowance resolution should be pursued. Ensure awareness of the sitting‑day counting rules and timelines (s 4A(4)-(6), (7)).

10. Risk management and contingency planning

• Prepare contingency plans for the scenarios that can trigger Premier termination or the State’s recapture of land or rights (Schedule, cl 12 and cl 13). For example, model effects if the Company fails to commence expansion by the cl 12 date, and maintain operational schedules with buffer time to avoid triggering surrender requirements.
• Manage environmental compliance to reduce the risk of Ministerial dissatisfaction with reclamation works that could invoke the revocation clause under cl 5(1)(n)(v).

11. Record keeping and evidentiary practice

• Keep comprehensive technical, financial and administrative records: Ministerial approvals, Chief Engineer inspections, dredging contracts and invoices, wharfage ledgers, land surveys, securities provided for consideration, notices given and received, and correspondence concerning any State requests for access or erection of State wharves.
• Ensure any Orders in Council or Gazette notifications are recorded and reproduced in legal records given they are judicially noticed and can alter the Agreement’s force (s 4A(3)).

12. Legal and compliance review

• Periodically review regulatory changes that affect private wharf operations (bearing in mind s 5’s amendment to the Marine Act 1958), environmental law updates, and changes in the port charges regime that influence percentage calculations for wharfage indexation and the prescribed amount.
• Seek legal advice before consenting to State proposals under Schedule cl 7, before assigning rights outside associated corporate groups, and before executing security instruments for the Reclamation Area consideration.

Following these steps will operationalise compliance with the Agreement as enacted. The emphasis is on proactive approvals management, accurate date and financial record‑keeping, close technical liaison with the Chief Engineer and State instrumentalities, and active monitoring of Government Gazette and parliamentary processes under s 4A.
