Western Australian Turf Club (Property) Act 1944

The statute rests on a small set of core legal concepts and allocative mechanisms: statutory validation, delegation of execution, evidentiary certification, limited exceptions to the grant of power, Crown oversight where particular parcels are concerned, and the application of pre-existing governance provisions by adaptation.

Statutory validation and retrospectivity: the Committee “shall be deemed always to have had under the principal Act” the powers expressed in s 4(1). That language operates to validate past acts and to remove doubt about the Club’s authority under the 1892 Act to transact in real and personal property and to enter agreements. The preamble explicitly records Parliament’s intent to resolve such doubts.

Delegation of execution: operational authority to bind the Club is channelled through the Chairman but only when authorised by a Committee resolution (s 4(2)). The Chairman acts “in his name” but, under s 4(3), does so with and in a fiduciary capacity for the Committee where there is a certified minute. This creates a tripartite internal control: Committee decides, Chairman executes, Secretary certifies evidence of authority.

Evidentiary device for land registration: the Act modifies the normal operation of the Transfer of Land Act 1893 by permitting the Registrar to accept dealings for registration on production of a Secretary’s declaration that the land is the Club’s property and that the signatory was the Chairman when the land was registered in his name (s 4(4)). This provides a statutory path to translate title registered in a Chairman’s name into Club ownership for registration purposes, subject to other Transfer of Land Act requirements.

Exceptions and Crown oversight: s 4(2a) excludes certain lands , those referred to in s 7 of the principal Act and those demised under s 8 , from the general power unless the Governor consents on the Minister’s recommendation under the Land Act 1933 (now Land Administration Act 1997). The Governor’s consent may be conditional, including conditions requiring payments to the Crown and terms effecting discharge from trust or purpose (s 4(2b)). That creates an interaction where some land dealings by the Club require an executive decision and may impose fiscal or title-related conditions.

Incorporation and adaptation of principal Act provisions: s 4(5) brings property acquired or held under the Act within the scope of the same powers, authorities and discretions that apply to property referred to in the principal Act, with necessary adaptations. The statute therefore uses the principal Act as the governance template for property once acquired under the 1944 Act.

Administrative evidence and fiduciary statement: s 4(3) elevates the Secretary’s certified minute into probative statutory evidence that the Chairman was authorised and acted in a fiduciary capacity. The statutory structure therefore relies on written internal records to validate external dealing.

Reference point for other statutes: the Act expressly notes that references to the Land Act 1933 should be understood, where applicable, as references to the Land Administration Act 1997 (note 2). It also points to the Transfer of Land Act 1893 as the statute whose registration processes may be adapted in the Registrar’s discretion when the Secretary’s declaration is produced (s 4(4)).

Collectively, these concepts configure a legal instrument that converts internal Club governance decisions into externally effective property transactions, while preserving Crown control over particular lands and relying on evidentiary certification to bridge the gap between title registered in an individual name and Club ownership.

Directly affected parties

• The Club: The Western Australian Turf Club is the primary beneficiary and subject of the Act. The Committee’s ability to acquire and manage property for Club purposes is the statutory core (s 4(1)).

• The Committee: The Committee “from time to time and at any time” of the Club is the decision-maker empowered to authorise property transactions and to grant the Chairman authority to execute instruments (s 3 definition of Committee; s 4(2)).

• The Chairman: The person who is Chairman of the Committee is the authorised executing officer once the Committee resolves to confer authority (s 3 definition of Chairman; s 4(2)). The Chairman may have title registered in his own name in respect of property acquired, and may execute instruments “in his name” under a Committee resolution (s 4(2), s 4(4)).

• The Secretary: The Secretary’s role is evidentiary and administrative. A certified copy of the Committee minute signed by the Secretary is statutory evidence that the Chairman acted with authority and in a fiduciary capacity (s 4(3)). The Secretary also provides the declaration to the Registrar of Titles under s 4(4).

• The Registrar of Titles: The Registrar is given statutory authority to accept dealings for registration notwithstanding the Transfer of Land Act 1893, subject to the Transfer of Land Act’s other requirements, when presented with the Secretary’s declaration (s 4(4)).

Indirectly affected parties

• The Crown and the Minister administering the Land Act/Land Administration Act: For certain parcels of land (those referred to in s 7 of the principal Act and land demised under s 8), the Governor’s consent is required on the Minister’s recommendation (s 4(2a)). Where consent is given, it may be subject to conditions including payment to the Crown and discharge of trust or purpose (s 4(2b)), which affects Crown finances and Crown title interests.

• Third-party purchasers, mortgagees, lessees and counterparties: Counterparties dealing with Club property will be affected by the execution regime and by reliance on the Secretary’s certified minute and declaration for title registration (s 4(2), s 4(3), s 4(4)). The Act changes the evidentiary posture of dealings: a transfer executed by the Chairman, with Committee resolution certified by the Secretary, is treated as being done in a fiduciary capacity for the Club.

• Persons with interests in land registered to the Chairman: The Act contemplates that land may have been acquired by the Committee but registered in the name of the Chairman. Subsequent dealings in relation to that land can be presented for registration under the statutory mechanism, requiring a Secretary declaration to demonstrate Club ownership (s 4(4)).

Who pays and who decides

• Who decides: The Committee decides (via resolution) whether to authorise the Chairman to transact (s 4(2)). The Governor, on the Minister’s recommendation, decides whether to permit the statute’s powers to apply to certain lands (s 4(2a), s 4(2b)). The Registrar decides whether to accept dealings for registration, subject to Transfer of Land Act requirements and the Secretary’s declaration (s 4(4)).

• Who pays: The Act expressly contemplates that the Governor’s consent may be subject to a condition for payment to the Crown (s 4(2b)(a)). Otherwise, the primary financial consequences of acquiring, holding, mortgaging or disposing of property fall on the Club; the Act itself does not create a funding mechanism or appropriation.

Practical distribution of authority and risk

• Execution authority is concentrated in the Chairman but is conditional on Committee resolution and documented by the Secretary (ss 4(2)-(3)). That creates operational risk borne by the Club if internal controls fail. The Secretary’s certified minute and declaration are statutory evidentiary levers; their accuracy and existence are pivotal to third parties and the Registrar accepting dealings (s 4(3)-(4)).

• Where land is subject to special Crown oversight under s 7 or s 8 of the principal Act, the Governor’s conditional consent can impose obligations or payments, shifting economic consequences back to the Club (s 4(2a)-(2b)).

Statutory rights conferred

• Right to acquire, hold, mortgage, dispose and otherwise deal with real and personal property; right to enter into agreements for those purposes: These are the primary rights created for the Committee, and are stated as powers that the Committee “shall have and may exercise” and “shall be deemed always to have had” under the principal Act (s 4(1)).

• Right to have the Chairman execute instruments in his name where authorised by Committee resolution: The Committee may authorise the Chairman to execute all necessary agreements, transfers, leases, mortgages and other instruments (s 4(2)).

• Right to have dealings registered on production of Secretary’s declaration: Where land acquired by the Committee is registered in the Chairman’s name, subsequent dealings may be accepted for registration by the Registrar on production of a Secretary’s declaration that the land is Club property and that the person executing the dealing was the Chairman (s 4(4)).

Statutory duties and procedural requirements

• Committee duty to authorise by resolution: The Chairman’s power to execute is conditional on a Committee resolution authorising him (s 4(2)). This places a procedural duty on the Committee to record the authorisation.

• Secretary duty to certify minutes: A certified copy of the Committee minute signed by the Secretary is required to establish evidentiary proof that the Chairman acted with authority and in a fiduciary capacity (s 4(3)). The Secretary therefore has a record-keeping and certification task.

• Requirement to obtain Governor consent for particular lands: The general grant of power in s 4(1) does not apply to land referred to in s 7 of the principal Act or land demised under s 8 unless the Governor gives consent on the recommendation of the Minister administering the Land Act 1933 (s 4(2a)). The Club must therefore engage with the executive (Governor/Minister) to extend the statutory power to those categories of land.

• Acceptance by Registrar subject to Transfer of Land Act requirements: The Registrar’s acceptance of dealings for registration under s 4(4) is “subject to any other requirements of” the Transfer of Land Act 1893. Parties must therefore satisfy the statutory registration regime’s other prerequisites when presenting dealings.

Fiduciary character

• The Chairman acts “in a fiduciary capacity for the Committee” where the Committee’s resolution is certified by the Secretary (s 4(3)). The Act therefore supplies a statutory label to the Chairman’s character in executing instruments. That description bears on internal duties and may inform external disputes concerning authority, although the Act does not set out the content of the fiduciary obligations.

Conditional executive powers over certain lands

• Governor’s consent may be conditional and may include a condition for payment to the Crown and a power to discharge trusts or purposes affecting the land by operation of the Act (s 4(2b)). If consent is granted subject to such conditions, the Club must observe them.

Application of principal Act property provisions

• Property acquired under this Act “shall be subject to the like powers, authorities and discretions” as are vested in the Committee and Chairman by the principal Act in respect of property referred to in the principal Act, “with such adaptations as may be necessary” (s 4(5)). This imports the principal Act’s governance framework for property into property acquired under the 1944 Act, but the details of that framework are to be found in the principal Act and adapted as necessary.

Duties not specified in the Act

• The Act does not create a bespoke enforcement or penalty regime, nor does it explicitly set out trust accounts, reporting obligations, or specific record-retention periods. Those matters will fall to other law or to the internal rules of the Club, or to conditions attached to any Governor’s consent.

Absence of express penalties

• The Act contains no express criminal or civil penalty provisions, fines, or enforcement provisions directed to breaches of its operational procedures. There is no section prescribing penalties for unauthorised execution, false certification by the Secretary, or improper exercise of the Committee’s powers.

Enforcement channels implicit in the statute

• Registration controls under the Transfer of Land Act 1893: s 4(4) modifies the operation of registration procedures by allowing the Registrar to accept dealings on production of the Secretary’s declaration, “subject to any other requirements of” the Transfer of Land Act. Enforcement of property rights and resolution of competing claims in respect of registered title will therefore continue to be governed by the Transfer of Land Act and its associated remedies for fraud, misregistration, and corrective instruments.

• Executive oversight for particular lands: Where s 4(2a) applies, the Governor’s consent, given on the Minister’s recommendation, may be conditional (s 4(2b)). The Governor’s conditions (including payment to the Crown or discharge of trust) become the operative compliance obligations for those lands. Non‑compliance with conditions attached to executive consent would expose the Club to remedies available under the conditions of consent or other executive law instruments.

• Fiduciary law and internal remedies: s 4(3) describes the Chairman’s execution as being in a fiduciary capacity when authorised and certified. The Act does not articulate fiduciary duties, penalties or enforcement mechanisms; however, parties affected by alleged breaches could rely on general equitable or common law remedies (for example, claims for breach of fiduciary duty or equitable compensation) as available in the legal system generally. The Act itself does not create or restrict those remedies.

Practical enforcement consequences

• Third parties and the Registrar will look to the Secretary’s certified minute and declaration as statutory evidence of authority (ss 4(3)-(4)). If those instruments are false or defective, remedies will be those available in the broader legal framework: corrective registration orders, injunctions, damages, and statutory remedies under the Transfer of Land Act, as applicable. The Act does not prescribe a bespoke redress pathway.

• Any dispute as to whether particular land falls within the excepted categories under s 4(2a) (land referred to in s 7 or demised under s 8 of the principal Act) will implicate interpretation of the principal Act. The Act provides that the s 4(1) power “does not apply” to those categories except with Governor consent; enforcing that exclusion will require application of the principal Act’s provisions and, potentially, executive records.

Record-keeping for evidentiary enforcement

• The Secretary’s certified minute and declaration are central evidentiary hooks. Failure to produce such documents may prevent registration or give rise to challenge. The statute thus establishes the Secretary’s certification as a de facto compliance checkpoint that both enables registration and provides an evidentiary basis for enforcement questions.

Limitations on statutory enforcement

• Because the Act does not create separate penalties, enforcement will depend on the interaction of this statute with existing property, equitable and administrative law regimes, and the terms of any Governor’s consent. The Act’s enforcement architecture is therefore distributed across existing legal instruments rather than concentrated in this Act.

Reference and incorporation of the principal Act

• The statute is to be read in conjunction with The Western Australian Turf Club Act 1892, referred to in the Act as the principal Act (s 2). The 1944 Act grants powers under the principal Act, deems those powers to have existed historically, and imports the principal Act’s property-related powers, authorities and discretions to property acquired under the 1944 Act, “with such adaptations as may be necessary” (s 4(1), s 4(5)). The 1892 Act therefore remains the governance scaffold for property matters, and analysis of many practical consequences requires reference to the principal Act’s text.

Interaction with the Transfer of Land Act 1893

• Section 4(4) expressly modifies how dealings are presented to the Registrar of Titles under the Transfer of Land Act 1893. It permits the Registrar, notwithstanding anything to the contrary in that Act, to accept dealings for registration upon production of a Secretary’s declaration. However, it qualifies that permission by stating the Registrar’s acceptance remains “subject to any other requirements of” the Transfer of Land Act 1893. Thus, registration mechanics (priority, indefeasibility, statutory requisites) remain governed by the Transfer of Land Act, but s 4(4) creates a specific evidentiary pathway to justify registration of dealings that would otherwise be questioned because land was registered in the Chairman’s personal name.

Reference to the Land Act 1933 and subsequent interpretation

• The Act conditions the application of s 4(1) for certain lands upon the Governor’s consent given on the recommendation of the Minister administering the Land Act 1933 (s 4(2a)). A statutory note clarifies that references to the Land Act 1933 are to be construed as references to the Land Administration Act 1997 under s 281(3) of that Act (note 2). Therefore, practical operation of s 4(2a) will involve the modern Land Administration Act 1997 administrative machinery and ministerial recommendations under that regime.

Crown title and trust matters

• The Governor’s consent may be made subject to conditions including payment to the Crown and may be framed to discharge the land from any trust or purpose affecting the land by operation of the Act (s 4(2b)). That creates an interaction with laws and administrative instruments concerned with Crown land management, trust-derived obligations, and Crown financial interests.

Evidentiary and procedural overlaps

• The Act’s certification and declaration mechanisms interact with registration and administrative processes under the Transfer of Land Act and with executive decision-making under the Land Administration Act. The Secretary’s role interacts with administrative registries; the Governor’s consent process interacts with executive administrative practice; and the principal Act supplies substantive governance mechanics for property.

Limitations of the Act’s scope vis-à-vis other legal systems

• The Act does not override the substantive operation of the Transfer of Land Act beyond permitting the Registrar to accept dealings on the basis of the Secretary’s declaration; it remains “subject to any other requirements” of that Act (s 4(4)). Similarly, the Act preserves Crown oversight through the Governor and Minister where s 7 or s 8 land is involved (s 4(2a)-(2b)). The 1944 Act therefore functions as a targeted statutory instrument that modifies particular processes and validates authority rather than a comprehensive rewrite of property or Crown land law.

Administrative and equitable remedies remain in other statutes and common law

• Because the 1944 Act contains no penalty or comprehensive enforcement regime, remedies for misuse or disputes will be governed by the Transfer of Land Act, the Land Administration Act, the principal Act, and general equitable and common law principles. The 1944 Act modifies the evidentiary path and authorisation structure but leaves existing legal frameworks intact.

Statutory amendments recorded in the compilation

• Original enactment: Western Australian Turf Club (Property) Act 1944, assented 21 December 1944, commenced 21 December 1944 (Compilation table).

• Turf Club Legislation Amendment Act 1997: Part 3 of that amending Act (No. 24 of 1997) amended this Act. The compilation records amendments in 1997 including changes to the long title (s 14), the preamble (s 15), and to section 4 (s 16) of the amending Act (Compilation table and marginal notes after s 4). Section 4 of the principal text shows it was amended (note after section 4).

• Reprint: The Act was reprinted as at 14 March 2003, incorporating the amendments listed (Compilation table).

• Standardisation of Formatting Act 2010: s 50 of the Standardisation of Formatting Act 2010 is listed in the compilation table, with commencement on 11 September 2010 for that change (Compilation table). The compilation notes that the long title and preamble amendments include references to s 15 of the 1997 Act and s 50 of the 2010 Act.

Preamble and long title

• The long title was amended by No. 24 of 1997 s 14 (Compilation table). The preamble was amended by No. 24 of 1997 s 15 and later by No. 19 of 2010 s 50 (Compilation table). Those amendments are in the compilation metadata; the substantive text of the Act as presented includes the amended preamble.

Textual amendments referenced

• Section 4 has an amendment note indicating it was amended by No. 24 of 1997 s 16 (end of s 4). The principal content of s 4 in the presented text includes subsections (2a) and (2b) dealing with the exceptions and Governor consent; these were likely inserted or modified by the 1997 amendments.

Interpretive note linking to later statutes

• The compilation includes an explanatory note that references to the Land Act 1933 are to be construed as references to the Land Administration Act 1997 under s 281(3) of that Act. This reflects how the 1944 Act’s reference to the Land Act 1933 should be applied in the modern statutory setting.

Practical effect of amendments

• The recorded amendments in 1997 and the formatting amendment in 2010 do not purge the Act’s operative structure: the Committee’s property powers, the Chairman’s execution role, the Secretary’s certification requirements, the Registrar’s acceptance pathway, and the Governor consent exception remain the Act’s operational core. The amendments’ precise textual changes that altered or clarified the 1944 text are recorded in the compilation metadata: the long title, preamble and s 4 were amended by the 1997 Act, and formatting standardisation occurred in 2010.

No further amendments recorded in the provided compilation

• The compilation table lists only the 1944 origin, the 1997 Turf Club Legislation Amendment Act, and the 2010 standardisation amendment. There are no other amending Acts listed in the material provided.

No cases recorded in the source

• The provided statute text and compilation table contain no references to litigation or reported decisions interpreting the Western Australian Turf Club (Property) Act 1944. The Act’s compilation and notes list only amendments and reprints; they do not record judicial consideration.

Potential categories of litigation that could arise (grounded in the Act’s text)

• Disputes over authority and certification: Litigation could arise concerning the validity of a transaction where the Secretary’s certified minute or declaration is alleged to be defective, fraudulent or otherwise inaccurate. The Act makes the Secretary’s certified minute statutory evidence that the Chairman acted with authority and in a fiduciary capacity (s 4(3)); disputes might examine whether the certificate in fact existed or whether it was properly signed and attested.

• Registration disputes under the Transfer of Land Act: Section 4(4) allows the Registrar to accept dealings for registration on production of the Secretary’s declaration, “subject to any other requirements” of the Transfer of Land Act 1893. Litigation potentially could concern competing claims to title, priority of interests, or whether the procedural prerequisites of the Transfer of Land Act were satisfied in a particular transaction.

• Disputes about the scope of excluded lands: Questions as to whether a particular parcel is “the land referred to in section 7 of the principal Act” or “land demised under section 8” would require interpretation of the principal Act. Litigation could arise if parties disagree about whether the s 4(1) power applies without Governor consent.

• Challenges to conditions of Governor consent: If the Governor grants consent under s 4(2a) and imposes conditions under s 4(2b) (including payments to the Crown or discharge of trust), litigation could challenge the validity of those conditions, their imposition process, or compliance with administrative law requirements.

• Fiduciary duty claims: Because the Act expressly describes the Chairman’s execution, when authorised and certified, as being “in a fiduciary capacity for the Committee” (s 4(3)), disputes could involve alleged breaches of fiduciary obligations arising out of property dealings conducted under the Act’s authority.

Limitations on drawing conclusions from absence of litigation in the source

• The absence of recorded cases in the Act’s compilation does not mean litigation has not occurred; it means no litigation history is included in the provided text. Any enquiry into reported decisions would require a search of court reports and databases outside the statutory text.

Retrospective deeming can validate past acts but creates evidentiary gaps

• The statute declares the Committee “shall be deemed always to have had” the powers in s 4(1). That retrospective deeming potentially validates past transactions, but the Act does not prescribe what documentary evidence is required to substantiate past exercises of power other than the Secretary’s certified minute (s 4(3)). Where historic dealing lacks contemporaneous Committee minutes signed by the Secretary, reconstructing evidence for third parties or registrars may be difficult.

Title in Chairman’s name is permitted; registration requires Secretary’s declaration

• The Act contemplates land being “acquired by the Committee” but registered in the Chairman’s name. Subsequent dealings may be accepted for registration upon the Secretary’s declaration (s 4(4)). The practical risk is that title may remain nominally in an individual’s name for some time, complicating priority and encumbrance searches and creating a dependency on the Secretary’s declaration as the key instrument to move title into Club ownership on the register.

Secretary’s certification is statutory evidence, not absolute protection

• s 4(3) says a certified copy of the Committee minute “shall be evidence” that the Chairman acted with authority and in a fiduciary capacity. “Evidence” is not conclusive proof in all contexts; where fraud, forgery, or misrepresentation is alleged, other legal remedies and inquiries remain open. The Act does not immunise transactions from challenge where the certification is fraudulent or misleading.

Exception for certain lands requires Governor consent; don’t assume blanket applicability

• s 4(2a) excludes the land referred to in s 7 and land demised under s 8 of the principal Act from s 4(1) unless the Governor consents on the Minister’s recommendation. The Act therefore requires a discrete executive decision for those lands; relying on s 4(1) without such consent for excluded land could render a dealing ineffective or open to challenge. The Act also allows the Governor to attach financial or title-clearing conditions to consent (s 4(2b)).

Registrar’s discretion is subject to other statutory requirements

• While s 4(4) authorises the Registrar to accept dealings “notwithstanding anything to the contrary” in the Transfer of Land Act 1893, the Registrar’s acceptance is still “subject to any other requirements” of that Act. Users should not treat s 4(4) as an override of the Transfer of Land Act’s mandatory requisites (for example, requisition writs, priority notices where applicable, or compliance with form), although the statute supplies an evidentiary device to deal with title registered in the Chairman’s name.

Ambiguity in the scope of “like powers, authorities and discretions” imported from the principal Act

• s 4(5) brings property acquired under this Act within the compass of the principal Act’s property provisions “with such adaptations as may be necessary”. The statute does not specify what adaptations are “necessary”. Where the principal Act’s provisions presuppose different ownership structures or governance arrangements, applying them to property acquired under the 1944 Act may require interpretive work.

No bespoke compliance or reporting regime; internal governance is consequential

• The Act imposes no explicit reporting, accounting, trust-accounting, or audit obligations upon the Committee, the Chairman, or the Secretary. Practical compliance therefore depends on the Club’s internal rules and on external conditions (such as those the Governor may impose). That increases the significance of internal processes: committee resolutions, minute accuracy, and secure record-keeping are material to legal and commercial safety.

Potential for transactional delay where Governor consent required

• If s 4(2a) applies to a parcel, the Club must obtain Governor consent given on the Minister’s recommendation before the general s 4(1) power applies. That introduces a potential administrative delay, and consent may be conditional on payments or title adjustments (s 4(2b)). Users should factor in the time and possible fiscal cost of securing consent.

Practical risk around private creditor rights and mortgages

• The Act authorises the Committee to mortgage property (s 4(1)(a)). Where land remains registered in a Chairman’s name pending registration steps relying on the Secretary’s declaration, creditors and mortgagees must be careful to ensure their security interests are properly protected and registered under the Transfer of Land Act. The Act does not alter the mechanics of priority and registration outside the evidentiary pathway described.

Checklist of immediate procedural steps for a Club transaction under the Act

1. Committee resolution: Obtain a clear resolution of the Committee authorising the Chairman to acquire, hold, mortgage, dispose of, lease, or otherwise deal with specified property or to enter into specified agreements, as required by s 4(2). Record the resolution in the Committee minutes.

2. Secretary certification: Have the Committee minute certified by the Secretary. Prepare a certified copy of the minute signed by the Secretary, because s 4(3) makes such a certified copy statutory evidence that the Chairman acted with authority and in a fiduciary capacity.

3. Chairman execution: Ensure the Chairman executes the agreements, transfers, leases, mortgages or other instruments in his name as authorised by the Committee resolution (s 4(2)). Maintain contemporaneous evidence of execution.

4. Registrar requirements for registered land: If the land is, or was, registered in the Chairman’s name and a dealing is to be presented for registration, prepare the Secretary’s declaration required by s 4(4) stating that the land is property of the Club and that the person who executed the dealing was the Chairman. Present both the dealing and the Secretary’s declaration to the Registrar of Titles, noting that the Registrar’s acceptance is subject to any other requirements of the Transfer of Land Act 1893 (s 4(4)).

5. Check exceptions under s 4(2a): Determine whether the land falls within the excluded categories (the land referred to in s 7 of the principal Act or land demised under s 8 of the principal Act). If it does, obtain Governor consent given on the recommendation of the Minister administering the Land Act (now Land Administration Act 1997), before relying on the s 4(1) power (s 4(2a)). Do not proceed on the assumption that s 4(1) applies to such land without consent.

6. Prepare for conditions: If Governor consent is required, be prepared for conditions to be imposed, including payment to the Crown or instruments effecting discharge of trust or purpose by operation of this Act (s 4(2b)). Secure evidence of the terms of the Governor’s consent and ensure compliance with any conditions.

Record-keeping and internal controls

• Maintain an auditable minute book with Committee resolutions authorising property transactions and the Secretary’s certified copies. The statutory scheme relies heavily on documentation: the Secretary’s certified minute is the statutory evidentiary basis for the Chairman’s authority (s 4(3)).

• Ensure the Secretary’s declaration for the Registrar is prepared in a form that clearly states the facts required by s 4(4): that the land in the dealing is Club property, and that the person who executed the dealing was Chairman at the time the land was registered in his name.

• Implement internal checks to avoid unauthorised execution by the Chairman: the Act requires a Committee resolution; absent that, a dealing may lack the evidentiary foundation the statute contemplates.

Dealing with lenders and counterparties

• Lenders and counterparties should request sight of the Committee resolution and the Secretary’s certified minute and, where relevant, the Secretary’s declaration for dealings presented to the Registrar. Because s 4(4) makes the Secretary’s declaration the operative instrument for registration, counterparties should secure and, if appropriate, rely upon that documentation when structuring financing or security.

• Where property is to be mortgaged or charged, coordinate registration steps under the Transfer of Land Act procedures as s 4(4) does not dispense with other statutory registration requirements.

Engagement with Crown and land administration authorities

• If the land potentially falls within s 7 or s 8 of the principal Act, engage early with the Minister administering the Land Administration Act 1997 and be prepared to apply for Governor consent. Anticipate that consent may be conditional, including by requiring payment to the Crown or effecting discharge of trust (s 4(2b)).

• Document and preserve records of Ministerial recommendations and Governor consents and of compliance with any conditions they impose.

Legal due diligence and external advice

• For transactions with material value or complexity, obtain legal advice to confirm the land is not within an excluded category, to ensure the Committee resolution is properly drafted and recorded, to prepare the Secretary’s certification and declaration in compliant form, and to coordinate registration steps under the Transfer of Land Act.

• Where past transactions are to be regularised, assemble contemporaneous minutes, certify them via the Secretary, and be prepared to explain any gaps in the record to registries, counterparties, or, if necessary, to the Governor or Minister.

Maintain transparency with stakeholders

• Make the Committee’s authorisations and the Secretary’s certifications available to counterparties and registries as needed. Because the statute places evidentiary weight on those documents, timely production facilitates registration and reduces the risk of later disputes.

Concluding compliance note

• The Act provides a compact framework, but compliance turns on accurate internal documentation, appropriate executive consents where required, and observance of registration formalities under the Transfer of Land Act. The Secretary’s certification and declaration, the Committee resolution, and any Governor’s consent and its conditions are the critical compliance links set out in ss 4(2)-(4) and 4(2a)-(2b).
