Western Australian Tourism Commission Act 1983

The Act organises several interlocking concepts that dictate how the Commission operates in law: corporate form and Crown agency status; Board governance; functional remit; delegated commercial powers; financial architecture; accountability to Minister and Treasurer; staffing arrangements distinct from general public service rules; secrecy obligations; and phased transfer of Department functions.

Corporate form and Crown agency status: the Commission is a body corporate with perpetual succession and a common seal (s 4(1)-(2)). It is explicitly an agent of the Crown in right of the State (s 4(3)); this dual character informs how contracts, guarantees and Crown liabilities operate (see s 4, s 27(4)).

Board governance: the Board is the Commission’s governing body and holds authority to exercise the Commission’s powers and functions in its name (s 4A(2)). Membership is by gubernatorial appointment, subject to Ministerial and Treasurer interactions (s 5). Procedural rules for meetings, quorum and voting (including casting vote rules) are set out (s 8). There are statutory provisions for disclosure and management of pecuniary interests by members, including exclusion and prohibition on voting where appropriate (s 11). Members are protected from personal liability for acts done in good faith (s 10).

Functional remit and commercial powers: s 13 sets out the Commission’s functions, all of which are tourism promotion, development and facilitation focused. To achieve those ends the Commission has broad powers to acquire and dispose of property, enter contracts, appoint agents, receive fees and make grants, loans and guarantees (s 14). The Act expressly authorises the Commission to participate in "business arrangements" (companies, partnerships, trusts) for developing and operating tourist facilities, but participation and guarantees require Minister and Treasurer approval (s 15(1)-(3)).

Financial architecture and constraints: the Act creates a Commission Account for funds appropriated by Parliament and other Commission receipts (s 24). A separate Booking Account is required for money held on behalf of other persons in the Commission’s role as a travel agent; those funds must be accounted for separately and payable to the lawful recipients (s 26). Investments of idle funds require Treasurer approval and are limited to investments permitted under the Financial Management Act 2006 (s 25). Borrowing requires prior Treasurer approval and borrowing limits are subject to Treasurer approval in aggregate (s 27). The Treasurer may guarantee borrowings on behalf of the Crown, and any Crown liability arising under such guarantees is charged to the Consolidated Account (s 27(4)).

Accountability and oversight mechanisms: the Minister can give written directions to the Commission and those directions are binding (s 16(1)) and must be disclosed in the Commission’s annual report (s 16(2)). The Minister also has a statutory entitlement to information and to make use of Commission staff to obtain it (s 16A). Financial administration and audit are made subject to the Financial Management Act 2006 and Auditor General Act 2006 (s 28). Planning disciplines (annual corporate plan and linked operational plan) are mandated, with specified content and submission to the Minister (s 16B-16C), and the Board must act in accordance with them "to the extent practicable" (s 16D).

Employment and staffing: the Commission appoints a CEO and other employees (s 17). The CEO is responsible for conducting Commission affairs in accordance with Board policy and directions (s 17(2)). The Act disapplies Part 3 of the Public Sector Management Act 1994 to Commission employees, creating a distinct employment regime (s 17(6)), while preserving transitional rights and superannuation continuity for staff transferred from the former Department (ss 18-19).

Secrecy and compliance obligations: persons who are or were Board members, employees, or contractors rendering services must not disclose information about another person acquired through office except in performance of a function under the Act, subject to a $5,000 penalty (s 22). Delegation powers permit the Board to delegate functions in writing under the common seal, with formal procedural constraints (s 23).

Transitional mechanics: the Act contains detailed transitional provisions effecting the transfer of functions, assets (excluding land), liabilities, contracts and records from the Department to the Commission (s 31), and statutory substitutions of references to the Department or Director of Tourism to the Commission or chairman respectively (s 32).

Together these concepts create an organisational framework that combines statutory public accountability (Ministerial directions, Treasurer controls, audit regimes and reporting) with operational commercial powers (property, contracts, participation in business arrangements, borrowing, and investment). The Commission sits between a standard public department and a commercial statutory authority.

The Act affects several identifiable groups with distinct legal and practical impacts.

Parliament and the Consolidated Account: Parliament provides appropriations to fund the Commission under s 24(1)(a). The Treasurer can incur Crown liabilities through guarantees of Commission borrowings or guarantees provided under s 15, and any such liability is charged to the Consolidated Account (s 15(6); s 27(4)). Thus taxpayers bear contingent exposure where the Treasurer executes guarantees, and Parliament provides appropriations for direct funding.

The Minister and the Treasurer: the Minister holds statutory powers to direct the Commission in writing and to require information and access to documents and staff (s 16; s 16A). Directions must be included in the Commission’s annual report (s 16(2)), creating a record for Parliamentary oversight. The Treasurer controls key financial levers: approval of bank approvals, investment authority for idle funds (s 25), prior approval for borrowings and borrowing limits (s 27(2)-(3)), and discretion to guarantee borrowings or those arising under s 15 (s 27(4); s 15(3)). The Treasurer’s consent or approval gates several of the Commission’s most material financial activities.

Board members and CEO: Board members are appointed by the Governor (s 5(1)) and, subject to the Act, hold real governance authority as the Commission’s governing body (s 4A(2)). Members must disclose pecuniary interests and may be excluded from deliberations or voting (s 11). Members are protected from personal liability for acts done in good faith (s 10). The CEO is appointed by the Commission (s 17(1)) and conducts the Commission’s affairs in accordance with Board policy and directions (s 17(2)). Notably, the Governor may appoint the CEO as a member of the Board in addition to appointed members (s 5(1a)), but the Board shall not appoint a member as CEO (s 17(3)); this creates a specific appointment pathway controlled by the Governor, not the Board.

Commission employees and contractors: the Commission employs staff and engages contractors (s 17(1); s 20). Part 3 of the Public Sector Management Act 1994 does not apply to Commission employees (s 17(6)), which affects applicable employment rules and disciplinary regimes. Staff transferred from the Department retain rights and service continuity (ss 18-19); senior executive service conflicts are resolved in favour of the Public Sector Management Act where inconsistency arises (s 19A). The Commission may make use of public sector staff and facilities by arrangement (s 21), which affects other public agencies and employing authorities.

Local governments, public authorities, and private sector participants in tourism: the Commission may liaise with, provide grants to, and make loans or guarantees to persons or local governments (s 14(2)(c), (j)). It may participate in business arrangements, acquire shares and appoint directors for the purpose of developing tourist facilities (s 15(1)-(2)). Those private or local government entities that receive grants, loans, guarantees or Commission participation are direct recipients of public resources and corporate collaboration under the Act. The Booking Account rules (s 26) affect persons for whom the Commission acts as a travel agent because their funds must be held separately and paid to lawful recipients.

Suppliers, agents and travel intermediaries: the Commission may act as an agent and appoint agents (s 14(2)(e)-(f)), demand fees and commissions (s 14(2)(h)), and maintain separate accounts for bookings (s 26). Commercial counterparties will therefore have contractual relationships with a statutory Crown agent and may need to account for the Commission’s distinct banking and accounting arrangements.

Auditor and public sector oversight bodies: the Financial Management Act 2006 and Auditor General Act 2006 apply to the Commission’s financial administration, audit and reporting (s 28). The Auditor General, Treasury and other oversight agencies have legal jurisdiction to audit and review Commission finances under those Acts.

Members of the public and tourists: indirectly affected by the Commission’s decisions on marketing, events and facility development (s 13). The Commission’s ability to develop or facilitate development, make grants and participate in business arrangements can influence available tourism infrastructure and events.

Other government departments: the Department ceases to exist under the transitional provision and its functions, assets (excluding land) and liabilities pass to the Commission (s 31(1)). Departments hosting staff or facilities may enter arrangements under s 21 to provide staff or facilities to the Commission.

Who pays and who decides: Parliament (via appropriation) and the Treasurer (via approvals and guarantees) provide and control finance (ss 24, 25, 27). The Governor and Minister make key appointments, issue directions and have oversight (ss 4A, 5, 16). The Commission and its Board make operational and strategic decisions within those constraints (ss 4A, 13-14, 16B-16D). Private entities that contract with or receive public support from the Commission are affected via the Commission’s power to grant, lend, participate and enter business arrangements (ss 14, 15, 26).

This Act imposes duties and creates rights that structure behaviour for the Commission, its Board, members, employees and third parties. Below are the principal duties and rights with statutory citations and immediate legal effects.

Duties of the Commission and Board

• Perform tourism-related functions: The Commission must pursue promotion, development and marketing of Western Australia for holidays, events and conventions, including development/facilitation of tourist facilities, organizing or assisting events and preparing proposals (s 13). This is the core statutory duty.
• Observe corporate and operational plans: The Board must prepare an annual corporate plan by 31 July and an operational plan when preparing the corporate plan; those plans must include specified content and be submitted to the Minister (ss 16B-16C). The Board is required to ensure Commission activity is consistent with the current plans “to the extent practicable” (s 16D).
• Give effect to Ministerial directions: The Commission must give effect to any written directions from the Minister regarding its functions and powers (s 16(1)). The text of such directions must be included in the annual report (s 16(2)).
• Provide information to the Minister: The Minister is entitled to obtain information and copies of documents in the Commission’s possession, and may require staff assistance to obtain it; the Commission must comply (s 16A(1)-(3)).

Financial duties and constraints

• Account management and use: The Commission is required to deposit funds into and use monies from the Commission Account only for purposes of the Act; separate Booking Account for client monies is mandatory (ss 24(2)-(4); 26(1)-(4)).
• Treasurer approvals for investment and borrowing: Investments of idle funds must have Treasurer approval (s 25). Borrowings require prior Treasurer approval and are subject to aggregate limits set by the Treasurer (s 27(2)-(3)). The Treasurer may guarantee borrowings and any liability is charged to the Consolidated Account (s 27(4)). Guarantees under s 15 are similarly chargeable (s 15(6)).
• Financial reporting and audit: The Commission is subject to the Financial Management Act 2006 and Auditor General Act 2006 for financial administration and audit (s 28).

Governance duties and member rights

• Meeting procedure and votes: The Board must hold meetings, keep accurate minutes, and follow quorum and voting rules; chair or deputy chair presides with power of casting vote where necessary (s 8).
• Disclosure of pecuniary interests: Members must disclose any direct or indirect pecuniary interest in matters before the Board and the Board may exclude the member or prohibit voting on the matter (s 11).
• Protection from personal liability: Members are not personally liable for acts or omissions done in good faith in the exercise of Board powers (s 10).
• Remuneration and leave: The Minister determines remuneration and allowances for members after consultation with the Public Sector Commissioner (s 7). The Minister may grant leave of absence (s 5(3)); the Governor may terminate appointment for inability, inefficiency or misbehaviour (s 5(4)).

Employment rights and duties

• CEO and employee appointment: The Commission may employ a CEO and other staff and determine remuneration after consultation with the Public Sector Commissioner, subject to the Salaries and Allowances Act 1975 for the CEO (s 17(1), (3a), (4)). The CEO must conduct Commission affairs in accordance with Board policy and directions (s 17(2)).
• Protection of transferred staff entitlements: Officers transferred from the former Department retain existing rights and accruing entitlements, including superannuation, as if service were continuous (ss 18-19).
• Exception from Public Sector Management Act Part 3: Part 3 does not apply to Commission employees, which affects dispute resolution, classification and certain employment conditions (s 17(6)). However, for Senior Executive Service members, inconsistencies are resolved in favour of the Public Sector Management Act (s 19A).

Secrecy and confidentiality duties

• Non-disclosure obligation: Every Board member, employee and contractor must not disclose information concerning another person acquired in the course of duties except to perform a function under this Act, with a statutory penalty of $5,000 (s 22).

Delegation and agency rights

• Delegation by common seal: The Commission may delegate powers to members or employees in writing under its common seal; exercise by delegates is deemed exercise by the Commission (s 23).

Rights of third parties and contractual relations

• Contract continuity in transition: Contracts made by the Department before the transitional date have effect as contracts by and with the Commission (s 31(1)(f)). This preserves third-party contractual rights against the statutory successor.
• Funds held on behalf of others: Persons whose funds the Commission holds in its capacity as a travel agent have a statutory entitlement to those funds being held separately and to payment to lawful recipients (s 26(2)-(3)).

Reporting and transparency duties

• Ministerial directions must be published in the annual report (s 16(2)), and corporate and operational plans are submitted to the Minister (ss 16B(3), 16C(1)). The Auditor General’s oversight and Financial Management Act obligations further impose specific financial reporting and transparency duties (s 28).

These duties merge administrative, financial and confidentiality obligations that the Commission must integrate into both corporate governance practices and day-to-day operations. The Act creates both managerial discretion and external controls, with the Minister and Treasurer exercising compulsory oversight in key areas.

The Act contains a limited but specific set of enforcement mechanisms: administrative controls, financial approval gates, audit and reporting obligations, personal and statutory penalties for secrecy breaches, and removal powers for members. It does not establish an extensive criminal regime beyond the secrecy penalty.

Secrecy penalty

• Section 22 imposes a criminal penalty of $5,000 for persons subject to the secrecy provision who, other than in performance of a function under the Act, either make a record of, divulge, communicate information concerning the affairs of another person acquired in office, or produce a document relating to another person’s affairs furnished for the purposes of the Act. The section applies to every person who is or was a Board member, acting member, employee, or person rendering services under ss 20 or 21.

Administrative enforcement and removal

• The Governor may terminate the appointment of a member for inability, inefficiency or misbehaviour (s 5(4)). Membership also lapses for bankruptcy or insolvency as defined in the Interpretation Act 1984, or for absence from three consecutive meetings without leave, or resignation (s 5(5)).
• The Minister may grant leave of absence to members and may appoint acting members to fill temporary vacancies or absences; the Minister may also terminate acting appointments at any time (ss 5(3); 6(1)-(2)).

Ministerial directions and compliance

• The Commission must give effect to written directions from the Minister relating to its functions and powers (s 16(1)). Inclusion of directions in the annual report (s 16(2)) provides public record and Parliamentary oversight, creating a transparency enforcement mechanism rather than criminal sanction.

Financial oversight, approvals and contingent Crown liabilities

• The Treasurer’s approvals are a primary enforcement mechanism on financial matters: prior approval is required for borrowings (s 27(2)-(3)), investments of idle funds (s 25), and for guarantees executed under s 15(3). The Treasurer’s power to guarantee borrowings creates contingent Crown exposure; any resultant Crown liability is charged to the Consolidated Account (s 27(4)). These controls operate administratively, and failure to secure required approvals could render financial transactions unauthorised under the statute, exposing the Commission to audit findings and potential voidness or remedial action under financial management statutes cited in s 28.

Audit and reporting enforcement

• The Commission is subject to the Financial Management Act 2006 and Auditor General Act 2006 (s 28), which provide statutory regimes for financial administration, audit, reporting and follow-up. These Acts include compliance, performance audit and reporting mechanisms enforced by the Auditor General and Treasury; the Act incorporates that enforcement architecture rather than recreating it.

Contract enforcement

• Contracts made by the Department remain enforceable against the Commission after transition (s 31(1)(f)). This preserves third-party contractual enforcement rights. The Commission also has standing to sue and be sued (s 4(2)(b)), which is the ordinary litigation enforcement route for contractual or tort claims.

Board decision-making safeguards

• The Act requires accurate minutes to be kept (s 8(3)), sets quorum and voting rules (s 8(2)), and allows the Board to exclude members with pecuniary interests from deliberation and prohibit voting (s 11(2)). These provisions enforce procedural integrity of Board decisions; breaches may be open to judicial review or challenge if they contravene statutory procedural requirements, although the Act also contains a non-invalidity provision: proceedings are not invalidated by vacancies or defects in appointment if a quorum exists (s 9).

Delegation formalities and legal effect

• Delegations must be in writing under the common seal (s 23(1)). The Act treats exercise of delegated powers as exercise by the Commission (s 23(2)), so unauthorised delegation could be an internal governance breach, and invalid delegations could expose decisions to challenge.

Limitations and gaps in criminal enforcement

• The Act does not create a broad spectrum of statutory offences beyond the secrecy penalty. Enforcement is mostly administrative (Minister/Treasurer oversight, removal powers, auditing) and civil (contracts, common law).

In practice, enforcement is therefore a mix: a specified criminal sanction for secrecy breaches; statutory administrative controls exercised by Minister and Treasurer; oversight and audit measures under Financial Management Act/Auditor General Act (s 28); governance safeguards (s 8, s 11); and the ordinary civil litigation regime accessible because the Commission may sue and be sued (s 4(2)(b)). The Act relies heavily on financial approvals and reporting as compliance levers rather than pervasive penal provisions.

The Act expressly ties the Commission into a network of existing statutes and public law mechanisms, sometimes displacing ordinary public service rules and other times incorporating financial administration statutes.

Relationship with Financial Management and Auditor General Acts

• The Commission is made subject to the Financial Management Act 2006 and the Auditor General Act 2006 for financial administration, audit and reporting (s 28). This imports that statutory framework’s rules on budgeting, appropriations, accounting standards, procurement clauses where applicable, audit processes and obligations to appear before Parliamentary committees or respond to Auditor findings.

Treasurer approvals and Consolidated Account

• Investment powers for funds in the Commission Account are exercisable only with Treasurer approval and are limited to investments permitted for the Public Bank Account under the Financial Management Act (s 25). Borrowing and guarantees similarly require Treasurer approval and any Crown liability is charged to the Consolidated Account (s 27(2), (4); s 15(6)). Therefore the Act operates cooperatively with Treasury’s financial governance regime.

Public Sector Management Act 1994 and employment governance

• The Act removes the application of Part 3 of the Public Sector Management Act 1994 to Commission employees (s 17(6)), creating a separate employment regime. However, where there is inconsistency for persons who are Senior Executive Service members, the Public Sector Management Act prevails (s 19A). This selective displacement means Commission employment rules are distinct but not entirely insulated from broader public sector senior executive governance.

Interpretation and continuity with prior Department law

• The Act contains transitional and saving provisions preserving contracts, assets, liabilities and other administrative continuities from the former Department of Tourism to the Commission (s 31(1)(a)-(f)). Section 32 directs that references to the Department in other laws are to be read as references to the Commission, unless context requires otherwise (s 32(1)). References to the Director of Tourism or Permanent Head should be read as references to the chairman (s 32(2)). These provisions ensure legal continuity across statutes that previously referenced the Department.

Salaries and Allowances Act 1975 and remuneration

• Remuneration of the CEO is subject to the Salaries and Allowances Act 1975 (s 17(3a)). Remuneration and allowances for Board members are determined by the Minister after consulting the Public Sector Commissioner (s 7(1)). These cross-references tie the Act into existing pay governance laws.

Interpretation Act 1984 and insolvency references

• Membership disqualification on bankruptcy or insolvency refers to the Interpretation Act 1984 s 13D, incorporating those insolvency standards into appointment qualifications (s 5(5)(a)).

Travel agent and consumer laws

• The Act requires separate booking accounting for monies held on behalf of clients in the Commission’s capacity as a travel agent (s 26(1)-(5)). While the Act itself mandates segregation of those funds and their investment and treatment, the interplay with any consumer protection or travel agent-specific legislation is indicated by the Booking Account provisions but not fully delineated in this Act. The Act’s requirement to hold client funds separately and return them to lawful recipients (s 26(2)-(3)) interacts operationally with any licensing or trust-accounting obligations under other travel industry regulation.

Guarantees and Crown liability

• The Treasurer’s power to execute guarantees under s 15(3) and s 27(4) interacts with the Consolidated Account and appropriation practice under financial legislation. The Act authorises the Treasurer to charge liabilities to the Consolidated Account and to seek reimbursement from the Commission where recovery occurs (s 15(6)).

Regulations and subordinate law

• The Governor may make regulations to prescribe matters required or permitted by the Act or necessary to give effect to its purposes (s 30). Regulations can therefore operationalise aspects of the Act and link it to other regulatory schemes.

Precedence and conflict rules

• The Act contains an explicit conflict rule for Senior Executive Service employees: where this Act conflicts with the Public Sector Management Act 1994 in relation to such persons, the Public Sector Management Act prevails (s 19A). No other general supremacy clause appears. The Act therefore operates within the existing statute hierarchy and cross-references rather than displacing broader public administration statutes beyond the targeted exclusions set out.

In sum, the Commission is embedded within the State’s financial and public sector legal architecture: it is an agent of the Crown, bound by the Financial Management Act and Auditor General Act, subject to Ministerial control and Ministerial access to information, with employee regimes carved out from general public sector rules except for senior executive overlaps. Guarantees and borrowings are integrated with consolidation and appropriation processes. Transitional and interpretative provisions ensure continuity with prior Departmental references across other statutes.

The Act has been amended multiple times since enactment in 1983. The compilation table in the statute text provides the amendment instruments, assent dates and commencements. Key amendment milestones include:

• Original enactment: Western Australian Tourism Commission Act 1983 (No. 57 of 1983), assented 13 December 1983, commenced 1 January 1984 (s 2; Gazette 30 Dec 1983 p. 5017).
• Financial administration amendments: Acts Amendment (Financial Administration and Audit) Act 1985 (No. 98 of 1985) amended ss including those dealing with funds and accounts; amendments commenced 1 July 1986 (see compilation table).
• Public service and governance adjustments: Acts Amendment (Public Service) Act 1987 (No. 113 of 1987) , commenced 16 March 1988.
• 1993-1994 structural and governance changes: Financial Administration Legislation Amendment Act 1993 (No. 6 of 1993) (commenced 1 July 1993); Western Australian Tourism Commission Amendment Act 1993 (No. 44 of 1993) (commenced 20 Dec 1993); Acts Amendment (Public Sector Management) Act 1994 (No. 32 of 1994) (commenced 1 Oct 1994); Western Australian Tourism Commission Amendment Act 1994 (No. 68 of 1994) (assented 9 Dec 1994; main provisions commenced 31 Dec 1994). The 1994 amendments inserted key governance provisions: Board of Commissioners (s 4A), revamped Board composition, functions list (s 13), Ministerial directions and Minister access (s 16, s 16A), corporate and operational planning (ss 16B-16D), s 19A on Senior Executive Service precedence and other structural changes.
• Minor amendments and repeals: Statutes (Repeals and Minor Amendments) Act 1994 (No. 73 of 1994) (commenced 9 Dec 1994) made statutory housekeeping changes.
• Local government and financial legislation interactions: Local Government (Consequential Amendments) Act 1996 (No. 14 of 1996) (commenced 1 July 1996). Financial Legislation Amendment Act 1996 (No. 49 of 1996) (commenced 25 Oct 1996).
• 1999 and 2010 reprints: A reprint as at 29 Oct 1999 included the above amendments; Reprint 2 as at 13 Aug 2010 includes subsequent amendments up to that date.

• 2016 local government amendments: Local Government Legislation Amendment Act 2016 (No. 26 of 2016) Pt 3 Div 35 amended the definition of local government; commenced 21 Jan 2017 for those provisions.

Other notes from the compilation table:

• The Act repealed the Tourist Act 1973-1981 originally, but that repeal provision was omitted under the Reprints Act 1984 s 7(4)(f) (Compilation table notes).
• There are uncommenced provisions in other statutes (e.g., State Superannuation (Transitional and Consequential Provisions) Act 2000 s 73) listed in the uncommenced provisions table; those are not in force under this Act’s compilation but are noted for completeness.
• Several sections were inserted or deleted by later amending Acts (for example, s 12 was deleted by No. 68 of 1994 s 12; s 4A and the corporate planning sections were inserted by No. 68 of 1994).

In sum, the Act has evolved from a Departmental model to a statutory Commission with governance structures, planning obligations and integration into the State’s financial management regime, reflecting successive amendments that introduced Board-based governance, Ministerial oversight mechanisms, corporate planning obligations and formal Treasury oversight of investment, borrowing and guarantees.

The Act text does not list judicial decisions or appeal history. There are no cases named or reproduced in the statute compilation itself. The Act does, however, include several provisions that anticipate or interact with litigation and judicial processes in particular ways; these provisions are likely loci for disputes and therefore relevant to litigation risk even though the statute file contains no case law.

Presumption about the common seal and evidence

• Section 4(4) establishes an evidentiary presumption: when a document bearing a seal purporting to be the Commission’s common seal is produced in judicial proceedings, the court shall, in the absence of proof to the contrary, presume the seal is genuine and was duly affixed. This provision is designed to streamline proof in litigation involving Commission instruments and creates a rebuttable evidentiary rule courts would apply.

Capacity to sue and be sued; contract continuity

• The Commission may sue and be sued in any court (s 4(2)(b)). Transitional provisions preserve contracts made by the former Department, giving them effect as contracts by and with the Commission (s 31(1)(f)). These sections define the Commission’s litigation posture in civil disputes: it is both a party capable of initiating litigation and a target for enforcement of contractual or tortious claims.

Procedural integrity and non-invalidity clause

• Section 9 specifies that proceedings or acts of the Board shall not be invalidated or illegal solely because there is a vacancy in the number of members or some defect in appointment, provided a quorum existed. This reduces technical challenges to Board decisions based on appointment irregularities unless quorum requirements are not met. Litigation testing the validity of Board decisions would thus need to challenge quorum or other statutory formalities beyond mere vacancy or appointment defects.

Dispute points implicit in Act provisions

• Financial approvals and guarantees: disputes could arise over the validity of borrowings or guarantees made without required Treasurer approval (s 27(2)-(3); s 15(3)). The Act makes the Treasurer’s approval a statutory precondition for borrowing and for certain guarantees; litigation could concern whether such approvals were properly obtained or whether transactions are ultra vires.
• Ministerial directions and access to information: s 16 gives the Minister power to direct the Commission, and s 16(2) requires disclosure of directions in the annual report. Section 16A gives the Minister rights to obtain information and copies of documents, and to use Commission staff to obtain it. Litigation could arise if disputes occur about the scope or lawfulness of directions, or whether information requests comply with privacy or statutory secrecy obligations (see s 22).
• Secrecy obligations: s 22 criminalises unauthorised disclosure of another person’s affairs, with a $5,000 penalty. Civil litigation could involve claims that lawful disclosure was prevented by the secrecy provision or conversely that unauthorised disclosure occurred. Criminal enforcement would rest on the $5,000 penalty in s 22.
• Pecuniary interests and Board votes: s 11 prescribes disclosure and exclusion rules for members with pecuniary interests. Litigation might test whether a member’s participation breached s 11 or whether the Board properly excluded a member, especially where decisions confer financial benefits on third parties.
• Employment and public sector rules: s 17(6) removes application of Part 3 of the Public Sector Management Act 1994 to Commission employees. Employment disputes could test whether certain public sector protections apply or whether transferred employees retained rights per ss 18-19. Section 19A reserves some aspects to the Public Sector Management Act for Senior Executive Service members, which might be a litigation locus for senior executive disputes.
• Delegation formalities: s 23 requires delegation by instrument under the common seal of the Commission. Litigation could challenge decisions allegedly made under delegated authority if delegation formalities were not complied with.

Absence of case law in the text

• Because the Act compilation does not provide adjudicated examples, practitioners must source case law externally to understand how courts have interpreted the evidentiary presumption in s 4(4), the extent of Ministerial direction under s 16, the reach of secrecy obligations in s 22, and the consequences of failing to secure Treasurer approvals for borrowing or guarantees.

Practical litigation implications

• The Act sets up multiple administrative steps (Treasurer approvals, Ministerial directions, mandatory planning and reporting, separate accounts), which create documentary records that are typically central to litigation. The requirement to include Ministerial directions in the annual report (s 16(2)) and the Commission’s auditing obligations (s 28) produce a paper trail that litigants and courts will rely upon.
• The statutory non-invalidity clause (s 9) narrows common attack lines in administrative law litigation: practitioners will need to focus on procedural defects not protected by s 9, or on substantive ultra vires grounds, where Board decisions exceed the Commission’s statutory functions or powers.

In short, while the statute text contains no recorded litigation, it establishes the legal hooks that would govern disputes about corporate acts, financial transactions, confidentiality, Ministerial directions and employment issues. For concrete litigation history, counsel will need to search WA case law and administrative law reports for adjudications applying these provisions.

The Act contains a number of operational traps and asymmetries that can catch practitioners, administrators and commercial partners if not noticed. The following are concrete items to watch for, grounded in the statute text.

1. CEO and Board appointment asymmetry

• The Governor may appoint the chief executive officer as a member of the Board in addition to the appointed members (s 5(1a)). But the Board shall not appoint a member as the CEO (s 17(3)). Practically, this creates two distinct appointment pathways: the CEO may be placed on the Board only by gubernatorial appointment, not by Board appointment. If governance documents or practices assume Board-elected CEOs or Board appointment powers contrary to s 17(3), those acts would be inconsistent with the statute.

2. Ministerial direction is mandatory and reportable

• Any written direction from the Minister with respect to the Commission’s functions and powers must be given effect (s 16(1)) and the text included in the Commission’s annual report (s 16(2)). Directors and staff must implement such directions. Failure to record or report directions is a statutory compliance failure and may affect transparency obligations under the Financial Management Act requirements that also apply (s 28).

3. Minister’s entitlement to information and staff use

• The Minister can request information, request access to information, and use Commission staff to obtain information (s 16A(2)-(3)). The Commission must comply (s 16A(3)). This wide access provision interacts with the secrecy provision (s 22): staff must comply with secrecy duties yet must also provide information to the Minister when requested. The Act does not provide an explicit conflict resolution mechanism here; care is needed to ensure disclosures to the Minister are authorised under the Act.

4. Treasurer control over investment and borrowing

• Investments of idle Commission funds require Treasurer approval and are limited to investments permitted under the Financial Management Act (s 25). Borrowings require prior Treasurer approval and aggregate yearly limits must be Treasurer-approved (s 27(2)-(3)). Failure to obtain required approvals can render financing unauthorised. Commercial counterparties should confirm Treasurer approvals are in place for significant financing arrangements.

5. Guarantees create contingent Crown liability but may be extended

• The Treasurer may execute guarantees under s 15(3) and s 27(4), and the Treasurer is authorised to charge liabilities to the Consolidated Account (s 15(6); s 27(4)). Guarantees executed without proper form or outside the Treasurer’s discretion may be open to challenge, but the Act contains mechanisms for charging resultant liabilities to the Consolidated Account, creating taxpayer exposure. Practitioners should ensure the form and terms of any guarantee comply with s 27(5) and Treasurer conditions.

6. Booking Account and trust‑account obligations

• Money received or held on behalf of any person in the Commission’s capacity as a travel agent must be credited to the Booking Account and accounted for separately from Commission Account funds (s 26(2), (4)). The Booking Account’s revenue may be invested and revenue credited to the Commission Account (s 26(5)). Failure to segregate funds risks commingling and alters recovery priority in insolvency and auditing contexts.

7. Secrecy provision’s limited criminal penalties

• Section 22 criminalises non-authorised disclosure with a penalty of $5,000. This is a specific offence, but the penalty quantum may be modest relative to potential reputational and commercial loss arising from disclosure. The Act does not create a civil cause of action for privacy or breach of confidence; enforcement is primarily a statutory criminal penalty and administrative discipline.

8. Exclusion of Public Sector Management Act Part 3 for employees

• Part 3 of the Public Sector Management Act 1994 does not apply to Commission employees (s 17(6)), which means ordinary public service procedural protections and classification systems may not apply. This affects employment dispute processes, disciplinary regimes, and entitlements. However, for Senior Executive Service members any inconsistency favours the Public Sector Management Act (s 19A), creating a potentially confusing dual regime.

9. Non-invalidity of Board acts despite defects

• Section 9 prevents invalidation of Board acts solely because of vacancies or defects in appointment, provided a quorum was present. That protects many Board decisions from challenge but also places emphasis on ensuring quorum and minute-keeping (s 8(3)), as defects in quorum or declared interests could still vitiate decisions.

10. Delegation formality and legal effect

• Delegations must be executed under the Commission’s common seal and in writing (s 23(1)). Informal delegation or delegation without the common seal risks invalidity. Conversely, delegated acts are legally treated as acts of the Commission (s 23(2)), so delegations must be tightly controlled and documented.

11. Transitional asset exclusion for land

• Under the transitional scheme, assets assigned to the Commission include furniture, fittings and other Crown property but exclude land (s 31(1)(c)). Land held by the Department may require separate arrangements for transfer, lease or assignment, potentially complicating premises occupation and capital projects. Practitioners should check for Minister for Works agreements under s 31(2) where occupancy and assignment terms are required.

Each of these items is grounded in a specific statutory provision. The common operational theme is that the Act confers broad operational discretion but embeds multiple administrative gates and reporting obligations; failure to observe documentary, approval or procedural formalities risks invalidity, audit findings, or criminal liability in the secrecy context.

Compliance with the Act requires both routine administrative processes and adherence to specific statutory approvals, reporting and confidentiality obligations. Below are concrete, actionable steps mapped to the relevant statutory provisions.

Governance and Board compliance

• Ensure Board constitution and appointments comply with s 5: keep appointment instruments specifying terms (chairman up to 5 years; other members up to 4 years), document Minister appointment of deputy chairman (s 5(1)-(2), (1b)), and maintain records of leave and absences (s 5(3), (5)(c)).
• Maintain accurate minutes of all Board meetings and ensure quorum rules are followed (s 8(2)(a), (3)). Where members have pecuniary interests, require immediate disclosure at the meeting, record the nature of the interest and implement Board resolutions to exclude and prohibit voting as provided by s 11(1)-(3).
• Adopt a formal delegation register documenting any delegations under s 23. Delegations must be in writing, executed under the common seal, specify conditions, and be revoked or varied by instrument under the seal if required (s 23(1), (4)).

Ministerial and Treasurer interactions

• Put in place procedures for handling Ministerial directions: acknowledge receipt of written directions, implement them promptly as s 16(1) requires, and ensure the text of any direction is filed for inclusion in the annual report under s 16(2).
• Implement protocols for Ministerial information requests under s 16A: provide copies of requested documents, allow Minister access to information, and make staff available for information collection where required (s 16A(2)-(3)). Maintain logs of information provided to the Minister to evidence compliance and to cross-check with secrecy obligations.

Corporate and operational planning

• Prepare the annual corporate plan by 31 July each year (s 16B(1)). The corporate plan must include objectives, policies and strategies, and an assessment of tourism outlook for the next four years (s 16B(2)(a)-(c)). Submit the plan to the Minister as soon as possible after preparation (s 16B(3)).
• Prepare an operational plan concurrent with the corporate plan per s 16C(1). The operational plan must estimate income and expenditure for the year and specify programmes and resource allocations (s 16C(2)). Track implementation against plans and document reasons for material departures, consistent with s 16D requirements to act “to the extent practicable” in accordance with plans.

Financial management and accounts

• Open and maintain the Commission Account and Booking Account at banks approved by the Treasurer (ss 24(2); 26(1)). Ensure strict segregation of client funds in the Booking Account and account separately for them (s 26(2), (4)). Establish reconciliation processes and internal controls for the Booking Account to ensure funds are paid to lawful recipients promptly (s 26(3)).
• Obtain Treasurer approval for investments of idle Commission funds (s 25) and strictly limit investments to those permitted under the Financial Management Act 2006. Maintain records of Treasurer approvals and investment decisions for audit (s 25).
• For planned borrowings, seek prior Treasurer approval and obtain written approval for aggregate yearly borrowing limits as required by s 27(2)-(3). Document the terms and security arrangements and any consent to assignments or encumbrances per s 27(5).
• If guarantees are sought, secure the Treasurer’s approval and ensure guarantee forms and terms comply with Treasurer-determined conditions (s 15(3); s 27(5)). Record any guarantees for inclusion in financial statements and in reporting required under the Financial Management Act and Auditor General Act (s 28).

Audit, reporting and statutory compliance

• Integrate the Commission’s financial systems with the Financial Management Act 2006 and Auditor General Act 2006 requirements (s 28). Prepare financial statements, comply with audit recommendations, and ensure the annual report includes any Ministerial directions (s 16(2)) and other disclosures required by the Financial Management Act.
• Track appropriations, other receipts, and the application of funds in line with s 24(1)-(4). Ensure all payments from the Commission Account are made only for purposes authorised by the Act.

Employment and HR compliance

• Appoint the CEO and other employees in accordance with s 17. Consult the Public Sector Commissioner on remuneration and classification where required (s 17(3a), (4), (5)). Ensure the chairman is not the Board-appointed CEO (s 17(3)); ensure any CEO appointed to the Board follows the gubernatorial appointment route if intended (s 5(1a)).
• For staff transferred from the Department, document continuity of service and benefits per ss 18-19. Ensure superannuation and accrued entitlements are preserved in records as statutory rights.
• Note that Part 3 of the Public Sector Management Act 1994 does not apply to Commission employees (s 17(6)); ensure internal HR policies provide necessary employment processes and dispute mechanisms. For Senior Executive Service members, confirm applicable Public Sector Management Act provisions per s 19A.

Confidentiality and information handling

• Implement strict confidentiality policies reflecting s 22. Train Board members, staff and contractors about non-disclosure obligations, scope of the secrecy offence, and permitted disclosures made in the performance of functions under the Act (s 22(1)-(2)). Maintain secure record-handling procedures and access logs.

Contracting and business arrangements

• When entering business arrangements (companies, partnerships or trusts) for developing tourist facilities, obtain Minister and Treasurer approvals where the Act requires (s 15(1)-(3)). For any participation that involves potential guarantees, secure Treasurer guarantees and ensure the Commission follows s 15 and s 27 formalities.
• When acting as a travel agent or appointing agents (s 14(2)(e)-(f)), formalise agency contracts, manage commissions and retain clear records of client funds, consistent with Booking Account rules.

Delegation and internal control

• Execute delegations in writing and under the common seal (s 23). Maintain a register of delegations, specifying delegator, delegatee, scope, and any conditions or qualifications. Review delegations periodically and revoke or vary them by instrument under the common seal if circumstances change (s 23(4)).

Transitional and property arrangements

• For premises and asset assignments from the former Department, negotiate terms with the Minister for Works within one month of the transition date or accept terms determined by the Minister for Works if agreement is not reached (s 31(2)). Record occupancy and assignment terms and ensure they align with practical occupancy and asset management plans.

Operational documentation and control

• Keep full documentation for Board decisions, Ministerial directions, Treasurer approvals, account reconciliations, contracts, guarantees and business arrangement participations. Accurate documentation reduces legal risk and supports audit compliance under s 28.

Regulatory monitoring

• Monitor regulatory changes to the Financial Management Act, Auditor General Act and Public Sector Management Act, and ensure policies are updated when those frameworks change, because the Act ties Commission financial and employment regimes to those statutes.

By mapping statutory requirements to operational policies,Board minute practice, planning cycles, Treasurer approval workflows, separate client fund accounting, confidentiality training, delegation registers and audit-ready financial statements, the Commission can meet statutory obligations and manage legal, financial and reputational risk under the Act.
