Western Australian Sports Centre Trust Act 1986

This Act organises a set of legal building blocks for running a major public sports centre. The primary concepts that structure legal risk, incentives and operational choices are the Trust as Crown agent, statutory functions and commercial powers, board composition and appointment mechanics, Ministerial oversight, financial architecture, regulatory enforcement at the Centre and personnel arrangements. These concepts are set out in particular provisions.

Trust as Crown agent and corporate body: The Trust is a body corporate with perpetual succession and a common seal (s 4(1)-(2)). It is expressly an agent of the Crown in right of the State and enjoys Crown status, immunities and privileges unless otherwise prescribed (s 4(3)). The Trust may operate under an approved trading or business name, including alternatives to its corporate name, subject to Gazette notice (s 4(4)-(5)).

Functions and commercial powers: The Trust’s statutory core function is to establish and maintain a comprehensive sports and recreational complex , including facilities for high-standard competitive events, training and sports education, and ancillary accommodation , and to encourage public use (s 8(1)(a)-(c)). The Trust has broad powers to facilitate these functions, including property acquisition and disposal, contracting, operation of concessions, charging fees for hire, admission and parking, conducting development works, and providing educational and promotional activities (s 9(2)(a)-(k); s 9(3)). The power to charge fees is qualified by the regulations (s 9(2)(g)) and by the requirement to credit trust receipts to the dedicated account (s 15).

Governance and appointment: The board consists of nine trustees appointed by the Minister: three appointed for commerce, law or administrative expertise; three for sport knowledge; and three other persons, two of whom must be public service officers and one a University of Western Australia staff member (s 5(1)(a)-(c)). The board is the governing authority and acts in the Trust’s name (s 5(2)). The chairman is nominated by the Minister; deputies may be appointed for short absences (Schedule 1 cl 5-6). Trustees have disclosure and exclusion obligations for pecuniary interests (Schedule 1 cl 7).

Ministerial oversight and information rights: The Minister can direct the Trust, after consultation, in writing on matters the Minister deems to be in the public interest and the Trust must comply; such directions must be disclosed in the Trust’s annual report (s 14(1)-(3)). The Minister has a statutory entitlement to information and documents held by the Trust and may use Trust staff and facilities to obtain and furnish that information, subject to privacy protections for persons with disabilities (s 14A(1)-(5)).

Financial and accountability architecture: The Trust’s funds are an agency special purpose account under the Financial Management Act 2006 (the Western Australian Sports Centre Trust Account), into which appropriations and Trust receipts are paid and from which all Trust expenditure must be charged (s 15(1)-(3)). The Financial Management Act 2006 and Auditor General Act 2006 apply to the Trust’s financial administration, audit and reporting (s 17).

Regulatory and enforcement regimes at the Centre: The Governor may make regulations for the Centre’s care and use, admission, exclusion, order maintenance, consumption of liquor, private trading, closure and other matters (s 18(1)(a)-(m)). Specific traffic regulations may be made concerning vehicle movement, parking fees, removal of vehicles and powers of authorised officers (s 18A). Regulations can create offences with maximum penalties of $1 000 (s 18B). The Act provides a statutory infringement notice scheme and owner onus provisions for vehicle‑related breaches (s 18C; s 18D).

Employment and transitional arrangements: The Trust can appoint staff (s 11(1)), set remuneration and conditions subject to consultation with the Public Sector Commissioner and relevant industrial instruments (s 11(2)-(3)), engage contractors (s 11(4)), and must designate a general manager from among its appointees to supervise daily operations (s 12(1)-(2); Schedule 3). Staff who move between the public service and the Trust retain accrued rights, including superannuation, with the Trust declared a department for the Superannuation and Family Benefits Act 1938 (s 19).

Schedules and procedural detail: Schedule 1 sets trustee eligibility and pecuniary interest disclosure obligations (Schedule 1 cl 1; cl 7). Schedule 2 prescribes meeting procedure, quorum and minutes (Schedule 2 cl 1-3). Schedule 3 imposes duties on the general manager including full‑time devotion to duties and attendance at board meetings (Schedule 3 cl 1-2).

These concepts interact to create an operationally commercial entity with statutory oversight, accounting discipline under the Financial Management Act, and enforcement powers at its premises via regulations and infringement notices.

The Act affects several distinct groups in identifiable ways: the State and Minister, the Trust and its board, Trust staff including the general manager, users of the Centre and commercial operators, local government and revenue authorities, the University of Western Australia in its nomination role, and third parties interacting contractually with the Trust.

The State and Minister: The Minister holds key appointment and oversight powers. The Minister appoints all trustees and nominates the chairman (s 5; Schedule 1 cl 5). The Minister may direct the Trust to manage additional facilities of a similar kind (s 8(3)), give written directions in the public interest which the Trust must implement (s 14(1)-(2)), and is entitled to obtain information and documents from the Trust and to use Trust staff and facilities to obtain that information (s 14A(1)-(3)). The Minister also receives the report of any statutory review (s 20). The Minister therefore is the primary decisionmaker affecting governance, strategic direction and oversight.

Trust board and trustees: Trustees are appointees whose qualifications are proscribed by category: three for commercial/administrative expertise, three for sport knowledge, and three drawn from the public service and UWA (s 5(1)). Trustees govern the Trust and perform the Trust’s functions in its name (s 5(2)). They are subject to pecuniary interest disclosure duties (Schedule 1 cl 7), are entitled to remuneration determined by the Minister on the Public Sector Commissioner’s recommendation (s 7), and operate within procedural rules including quorum and voting rules (Schedule 2).

General manager and staff: The Trust may appoint staff and determine remuneration and conditions after consulting the Public Sector Commissioner and within relevant industrial instruments (s 11(1)-(3)). One appointment must be designated general manager, accountable for day‑to‑day administration (s 12(1)-(2)). The general manager holds certain statutory duties including devoting full time to the role and acting as ex officio committee member (Schedule 3 cl 1-2). Staff moving between public service and Trust roles retain superannuation and accrued rights (s 19).

Users, patrons and commercial traders: Members of the public, sporting bodies, event promoters and commercial traders are affected through rules governing access, admission charges, private trading and conduct at the Centre. The Trust may charge fees for hire, admission and parking (s 9(2)(g)), and regulations may address admission, reservation of parts of the Centre, regulation of private trading, liquor consumption and animal access (s 18(1)(b)-(h), (j), (l)). Those using or intending to operate concessions must engage with the Trust for licences or authority to trade (s 9(2)(b); s 18(1)(l)).

Owners and drivers of vehicles: The traffic regulations and infringement scheme (s 18A; s 18C; s 18D) directly impact vehicle owners and drivers. Authorised officers appointed by the Trust may issue infringement notices (s 18C(2); (11)). Where the driver cannot be identified, the owner can be served and is deemed the driver unless they identify the actual driver or establish the vehicle was stolen or unlawfully used (s 18D(1)-(2)).

Local government and revenue authorities: Trust property is generally exempt from State rates and taxes while used for Trust purposes; taxes and rates may be imposed if the property is leased or occupied for non‑Trust purposes (s 16(1)). The Duties Act does not apply to gifts, bequests or transfers made to the Trust (s 16(2)). These provisions alter normal tax and rates exposures for property that becomes Trust property.

University of Western Australia: The University has a nomination right for the trustee representing its staff (Schedule 1 cl 2). This creates a direct institutional channel to the board.

Contractors, suppliers and commercial partners: The Trust may enter contracts, appoint agents, act as agent for others and engage contractors for services (s 9(2)(h)-(j); s 11(4)). This means private firms providing construction, maintenance, catering, training or event management services will contract with the Trust rather than a local government or private venue operator.

Auditor and financial regulators: The Trust is subject to the Financial Management Act 2006 and the Auditor General Act 2006 for financial administration and audit (s 17). The Auditor General and Treasury functions as they relate to statutory authorities therefore affect the Trust.

Overall, the Act affects public sector employees, private sector suppliers and users of sports and entertainment facilities, vehicle owners and drivers using the Centre, and specific institutions such as the University of Western Australia. The allocation of appointment power, financial controls, regulatory powers over premises and vehicle enforcement create discrete compliance obligations and decision rights across these groups.

The Act assigns specific duties and confers rights on the Trust, trustees, the Minister, the general manager, authorised officers and users. These statutory duties and rights are the principal levers for governance, oversight, operations and enforcement.

Duties and rights of the Trust

• Duty to establish and maintain the Centre and promote public use (s 8(1)(a)-(c)). The Trust must perform functions consistent with use and enjoyment by the public (s 8(1)(c)).
• Right to act as a body corporate, acquire and dispose of property, sue and be sued (s 4(2)).
• Power to charge and receive fees for hire, admission and parking subject to regulations (s 9(2)(g); s 18A(1)(c)).
• Duty to make reports and recommendations to the Minister and to comply with any Ministerial directions issued after consultation (s 8(4); s 14(1)-(3)).
• Obligation to credit receipts and expend funds via the specified agency special purpose account, and to be subject to the Financial Management Act 2006 and Auditor General Act 2006 (s 15(2)-(3); s 17).

Duties and rights of trustees and the board

• Trustees govern the Trust and perform the Trust’s functions in its name (s 5(2)).
• Trustees must disclose direct or indirect pecuniary interests at board meetings and, following disclosure, must generally abstain from participating in deliberations or decisions about that matter unless the Minister determines otherwise (Schedule 1 cl 7(1)-(4)). The chairman must record particulars of disclosures in a register which is open for inspection for a fee (Schedule 1 cl 7(3)).
• Trustees are entitled to remuneration and allowances as determined by the Minister on recommendation of the Public Sector Commissioner (s 7).
• Trustees must observe meeting and quorum rules; four trustees constitute a quorum (Schedule 2 cl 1(3)). The board’s decision is by majority where quorum is present (Schedule 2 cl 1(5)).

Duties and rights of the Minister

• Right to appoint trustees and nominate the chairman (s 5; Schedule 1 cl 5).
• Right to direct the Trust in writing after consultation, on matters in the public interest, and to have such directions recorded in the Trust’s annual report (s 14(1)-(3)).
• Right to request and obtain information and documents from the Trust and to have copies made and retained; the Minister may use Trust staff and facilities to obtain information and the Trust must comply (s 14A(1)-(3)). The right is constrained by privacy protections for persons with disabilities (s 14A(4)).

Duties and rights of the general manager and staff

• The Trust may appoint staff and determine remuneration after consultation with the Public Sector Commissioner; the Trust may use public service staff and facilities by arrangement (s 11(1)-(3)).
• The general manager, designated from among appointed staff, is responsible for day-to-day management as chief executive and must devote full time to duties unless the Trust consents otherwise (s 12(1)-(2); Schedule 3 cl 1).
• The general manager must cause minutes to be kept and keep the common seal (Schedule 2 cl 2; Schedule 1 cl 8).

Duties and rights under the regulatory and enforcement regime

• The Governor may make regulations concerning the Centre’s management and use and traffic on Trust land (s 18(1); s 18A(1)). Regulations may create offences with penalties not exceeding $1 000 (s 18B).
• The Trust may appoint authorised officers to issue infringement notices and may appoint different classes of authorised officers for different infringement functions (s 18C(1)-(2); (11)). An authorised officer serving infringement notices must be issued a certificate and produce it on request (s 18C(12)).
• Under vehicle owner onus, where the driver cannot be identified, an authorised officer may serve an infringement notice on the owner and the owner is deemed to be the driver unless they identify the actual driver or establish that the vehicle was stolen or unlawfully used (s 18D(1)-(2)).

Financial duties and rights

• The Trust’s funds include appropriation, fees and proceeds and must be held and applied via the Western Australian Sports Centre Trust Account under the Financial Management Act (s 15(1)-(3)). The Trust is accountable under the Financial Management Act and subject to audit under the Auditor General Act (s 17).

Transitional and employment duties

• Public servants who become Trust employees retain accrued rights including superannuation (s 19(1)-(2)). For superannuation purposes, the Trust is a declared department under the Superannuation and Family Benefits Act 1938 (s 19(3)).

These duties and rights combine to give the Trust operational autonomy to run commercial activities and facilities, with statutory constraints in the form of Ministerial oversight, public accountability under financial legislation, employment protections for staff transferring from the public service, and a regulatory enforcement framework for behaviour and vehicle control on Trust premises.

The Act provides the Trust with an on‑site enforcement toolkit for traffic and parking and permits the Governor to create regulatory offences for conduct at the Centre. Enforcement is delivered through regulation, authorised officers, infringement notices and a modest penalty ceiling.

Regulatory offences and maximum penalty: Regulations made under section 18 and specifically the traffic regulations under section 18A may create offences. The Act authorises regulations to prescribe offences for contravention of the regulations and stipulates a maximum penalty of $1 000 for such an offence (s 18B). The Act does not itself create non‑traffic criminal offences beyond what regulations prescribe, but invites an administrative regime to control Centre conduct.

Traffic regulations and vehicle removal powers: Section 18A authorises regulations to limit vehicle use, control speed, designate routes, prescribe parking conditions and fees, and to specify authorised officers’ powers to remove vehicles and hold them until expenses and costs are paid (s 18A(1)(a)-(d)). Regulations may also prohibit tampering with infringement notices affixed to vehicles and require persons to provide their name and address to authorised officers when asked (s 18A(1)(e)-(f)).

Infringement notice scheme: The Act establishes a decriminalised enforcement avenue through infringement notices (s 18C). An authorised officer who reasonably believes a person committed an offence under section 18A may serve an infringement notice within 21 days of the alleged offence (s 18C(2)). The infringement notice must be in the prescribed form, describe the alleged offence, state the modified penalty amount and advise the recipient of the 28‑day payment window and authorised officers authorised to receive payment (s 18C(3)(a)-(b); (4)). Payment of the modified penalty within the period prevents prosecution for the same alleged offence to the same extent as if the person had been convicted by a court (s 18C(6)). The scheme allows authorised officers to extend the 28‑day period (s 18C(5)), to withdraw notices and to refund payments if withdrawn (s 18C(7)-(8)). Amounts received are to be treated as fines (s 18C(9)). Payment is not an admission in other proceedings (s 18C(10)).

Appointment and certification of authorised officers: The Trust may appoint persons or classes of persons to be authorised officers for giving infringement notices or for related infringement functions, but a person authorised to serve infringement notices under s 18C(2) may not be an authorised officer for the other specified infringement functions (s 18C(11)). The Trust must issue a certificate to each authorised officer who may serve infringement notices and the officer must produce the certificate when required by the person receiving or about to receive an infringement notice (s 18C(12)).

Owner onus for motor vehicle offences: Section 18D imposes an evidential and legal mechanism to enforce parking and vehicle offences where the driver cannot be identified. If the identity of the driver cannot be immediately established, an infringement notice may be served on the owner at their last known address or attached to the vehicle for parking/standing offences (s 18D(1)). If, within the period stated, the owner does not pay the modified penalty or identify the driver or prove the vehicle was stolen or unlawfully used, the owner is deemed to be the driver for that offence (s 18D(2)). The definition of owner follows the Road Traffic (Vehicles) Act 2012 licensing arrangements (s 18D(3)).

Limits and procedural safeguards: The Minister’s information rights are subject to a narrow privacy safeguard for the identity of persons with disabilities, preventing disclosure of identifying information without consent (s 14A(4)). The Minister’s entitlement to information includes the right to make and retain copies of documents and to request the Trust to furnish information or make use of staff and facilities (s 14A(1)-(3)). The Trust must comply with such requests (s 14A(3)).

Penalty quantum and enforcement design choices: The express limit of $1 000 for regulatory offences (s 18B) indicates a low maximum financial sanction regime, with administrative enforcement via infringement notices intended for on‑site traffic and parking control rather than major criminal enforcement. The Act does not prescribe criminal enforcement teams or use of formal prosecutorial resources; it places responsibility on Trust appointed authorised officers and the Trust administration to operate the infringement scheme (s 18C(11)-(12)) and to comply with statutory recording and refund obligations (s 18C(7)-(9)).

Financial accounting and audit: Financial compliance and potential audit findings are enforced through the Financial Management Act 2006 and the Auditor General Act 2006 application to the Trust (s 17). These statutes create reporting and audit obligations, and audit findings may lead to parliamentary oversight and corrective action; the Act requires the recording of Ministerial directions in the Trust’s annual report submitted under the Financial Management Act (s 14(3)).

In short, enforcement is primarily administrative and centred on traffic/parking management with infringement notices, owner‑onus provisions and capped penalties. Financial and governance compliance is enforced through standard statutory financial accountability and audit mechanisms.

The Act explicitly cross‑references and integrates with several State laws and allows tailored application of other written laws to the Trust. These interactions shape tax status, financial governance, employment relations and land management.

Financial legislation: The Financial Management Act 2006 and the Auditor General Act 2006 apply to the Trust for financial administration, audit and reporting (s 17). The Trust’s receipts and payments are managed through a named agency special purpose account established under the Financial Management Act (s 15(2)). The Act also notes s 15(4) that subsections (2) and (3) do not affect the operation of s 13 of the Financial Management Act 2006, indicating that certain funding management rules under the FMA continue to operate. The practical interaction is that the Trust will follow State statutory financial controls, reporting cycles and audit processes applicable to statutory authorities.

Land and vesting provisions: Where land to the Trust is subject to the Land Administration Act 1997, the Trust’s operation over that land is subject to the Land Administration Act’s provisions (s 9(6)). The Trust may acquire property by gift, bequest or devise and may accept conditions attached to gifts; the rule against remoteness of vesting is removed for such conditions (s 9(4)-(5)). This creates an interface with land law and vesting mechanisms and recognises the possibility of conditional transfers to the Trust.

Duties and taxation: Section 16 excludes certain instruments from the Duties Act 2008, specifically gifts, bequests and transfers to the Trust and instruments transferring property to or vesting property in the Trust for purposes of the Act (s 16(2)(a)-(b)). Section 16(1) exempts Trust property from rates or taxes imposed under State law while the property is used for Trust functions, unless leased or occupied by another person for a purpose not directly related to Trust functions. This creates an interaction and departure from normal State taxation and rating rules where Trust ownership or occupation is involved.

Public sector employment and superannuation: The Trust may make use of public service officers and facilities on terms agreed with relevant Ministers and employing authorities under the Public Sector Management Act 1994 and related instruments (s 11(3)). The Trust must determine remuneration and conditions after consultation with the Public Sector Commissioner but subject to relevant orders, awards or agreements under the Industrial Relations Act 1979 (s 11(2)-(3)). Staff who move between the public service and the Trust retain their service entitlements and superannuation rights (s 19(1)-(3)). The Trust is declared a department for the Superannuation and Family Benefits Act 1938 (s 19(3)). These cross‑references mean industrial instruments and public sector governance frameworks remain relevant.

Traffic and road legislation: Section 18D defines motor vehicle with reference to the Road Traffic (Administration) Act 2008 section 4 and owner with reference to the Road Traffic (Vehicles) Act 2012 (s 18D(3)). That links Centre traffic enforcement and vehicle owner onus to the State’s road traffic statutory definitions, licensing records and administrative processes.

Regulations and statutory modification of other laws: The regulations may apply to the Trust, trustees and officers any other written law either with or without modification that would not otherwise be binding on them (s 18(1)(m)). This clause creates a mechanism whereby the Governor can make regulations to subject the Trust and its officers to particular written laws or to adapt those laws for Trust circumstances. It is a direct legislative channel to calibrate how other statutory requirements apply.

Accountability instruments: Directions given by the Minister must be recorded in the Trust’s annual report under Part 5 of the Financial Management Act 2006 (s 14(3)). This creates an information flow and public accountability link between Ministerial oversight under this Act and statutory financial reporting obligations under the FMA.

In sum, the Act embeds the Trust within the State’s financial, land, public employment and road traffic legal frameworks, while creating specific exemptions (duties, rates) and regulatory levers (regulations may modify other written laws) to shape how those other laws apply to the Trust and the Centre.

The compilation table in the Act provides the statutory amendment trail up to Reprint 3 as at 4 September 2015. Key amendments affecting structure, financials, governance and enforcement are summarised below with their statutory citations and operational effect where evident from the text.

• Reprints and formatting: Reprint 1 (22 March 2002), Reprint 2 (7 May 2010), Standardisation of Formatting Act 2010 (No 19 of 2010) formatting changes; Public Sector Reform Act 2010 (No 39 of 2010), s 89 effected changes to s 7 (trustee remuneration) and other public sector alignments (commenced 1 December 2010).
• Road Traffic Legislation Amendment Act 2012 (No 8 of 2012), Pt 4 Div 53, amendments to align definitions and owner onus with new road traffic acts, with relevant provisions commencing 27 April 2015 (compilation table entry notes link to s 18D).

The compilation table lists these and other amending Acts, showing places where the Act has been kept in step with broader State legislative reforms (financial management, land administration, public sector reform and road traffic law). The 1997 amendment package is particularly consequential operationally, introducing Ministerial direction and information powers, traffic regulation powers, and the infringement/owner onus enforcement framework. Amendments to duties and rates (2008) materially changed the Trust’s taxation position with respect to gifts and instruments transferring property.

Readers should note the compilation table covers amendments only up to the listed reprint dates. The Act’s "Other notes" and the "Uncommenced provisions table" show there were provisions in other Acts with later commencement schedules; for example, the State Superannuation (Transitional and Consequential Provisions) Act 2000 s 75 is noted as uncommenced in the compilation table.

For legal practice, the compilation table is the primary source within the Act for amendment history and identifies which amending provisions altered particular sections. Practitioners must consult the latest reprint or the WA Legislation website to capture any post‑2015 amendments not reflected in Reprint 3.

The Act text and compilation provided do not record or name any judicial decisions or litigation concerning the Trust or the Act. The Act itself contains no schedule of cases and the compilation table does not list litigation outcomes. Sectional and schedule text does not reference judicial interpretation or case law.

Given that the Act interacts with the Financial Management Act 2006, the Auditor General Act 2006, land and road traffic statutes and contains enforcement machinery (s 18B; s 18C; s 18D), litigation could arise in the following concrete areas identified by the statute’s provisions:

• disputes over the validity or scope of Ministerial directions, particularly where the Trust contests the public interest basis of a direction or the Trust’s duty to "give effect" to such directions (s 14(1)-(3));
• challenges to the exercise of information powers where privacy or confidentiality claims are asserted, including the Minister’s entitlement to documents and copies under s 14A(1)-(3), balanced against statutory or common law privacy duties;
• challenges to property or liabilities arising from gifts and conditional vestings accepted by the Trust, given the Act permits the Trust to agree to conditions and excludes the rule against remoteness of vesting for such conditions (s 9(4)-(5));
• disputes over the application of owner onus provisions for vehicle offences, including challenges to service of infringement notices or the evidentiary sufficiency of licence records used to identify owners (s 18C; s 18D); and
• commercial litigation related to contracts for services, construction or concessions entered by the Trust exercising its contracting, agency and profit‑sharing powers (s 9(2)(h)-(j)).

The statute’s procedural architecture means most on‑site enforcement is designed for administrative resolution via infringement notices rather than criminal prosecution (s 18C(6)), which may reduce traditional criminal litigation in the first instance. Financial and governance issues are subject to audit and public reporting under the Financial Management Act and Auditor General Act and so may surface as investigative and parliamentary scrutiny rather than conventional litigation (s 17; s 14(3)).

If a practitioner requires authoritative case law interpreting the Act, the Act’s text provides no direct pointers and a search of WA court databases and administrative tribunal records is necessary. This note does not invent or reference cases that are not named in the legislative text.

This Act contains several practical traps for the unwary that create compliance, exposure and governance risks for trustees, managers and third parties. The following concrete points are drawn from the Act’s specific clauses.

Ministerial direction and reporting: The Minister may issue written directions in the public interest after consultation and the Trust must give effect to them (s 14(1)). Those directions must be recorded in the Trust’s annual report (s 14(3)). Practically, this means strategic or operational decisions by the board can be superseded without additional legislative process, and the directions become public record via the financial reporting framework. Trustees should anticipate that key strategic planning and budgeting may be influenced by Ministerial interventions and recorded for audit and parliamentary scrutiny.

Ministerial information powers: The Minister’s right to information and to make copies of documents, and to use Trust staff and facilities to obtain and furnish that information (s 14A(1)-(3)), is broad. The Trust “shall comply” with requests (s 14A(3)). Except for a narrow privacy safeguard for identifying persons with disability (s 14A(4)), the statutory language does not create an independent review mechanism to refuse or limit requests. This can create administrative burdens and confidentiality tensions, particularly where contracting negotiations or commercially sensitive information are involved.

Trust property tax and rates exemption limited by lease/subletting: Trust property is exempt from State rates and taxes while used for Trust functions (s 16(1)). However, the exemption lapses if property is leased to or occupied by another person for a purpose not directly related to Trust functions. That creates an operational risk where the Trust contemplates long‑term leases to third parties for unrelated commercial uses; the Trust must assess rating and tax exposure when leasing out parts of the Centre.

Owner onus on vehicle owners: Under s 18D, where the driver of a vehicle cannot be identified, an infringement notice may be served on the owner and, unless the owner identifies the actual driver or establishes theft/unlawful taking/unauthorised use, the owner is deemed the driver. For corporate owners or leased vehicles, identification processes and licence record checks are essential. The owner‑onus regime can produce surprise liabilities for owners unaware of the parking/traffic rules on Trust land.

Limited penalty ceiling and administrative enforcement model: Regulations can authorise offences up to a maximum penalty of $1 000 (s 18B). For breaches that may cause significant harm or repeated nuisance, the maximum penalty is low and enforcement is via infringement notices and Trust authorised officers rather than criminal sanctions. The Trust therefore needs operational mechanisms to deter persistent bad conduct, given the statutory financial sanction ceiling.

Trustees’ pecuniary interest disclosure: Trustees must disclose direct or indirect pecuniary interests and, after disclosure, shall not participate in deliberations or decisions unless the Minister otherwise determines (Schedule 1 cl 7(1)-(4)). However, clause 7(5) states that a contravention of clause 7 does not invalidate any decision of the Trust. This means that while breaches can be treated as misbehaviour subject to removal (Schedule 1 cl 4(c)), invalidity of decisions will not automatically follow; parties contracting with the Trust may find decisions upheld despite disclosure breaches, but reputational and removal risks for trustees remain.

Regulations may modulate binding law: The regulations may apply other written laws to the Trust, trustees or officers either with or without modification (s 18(1)(m)). This provision enables the Governor to tailor application of other laws to the Trust in ways that could impose or relieve obligations depending on regulatory design. Users and advisers must check the regulations to determine the precise legal regime for specific activities.

Delegation and non‑delegable functions: The Trust may delegate functions by instrument to trustees, committees, the general manager or others (s 13). Although broad, the Act prohibits delegation of the power of delegation, and the delegation instrument must be in writing. Practically, the Trust must ensure delegation records are maintained and that delegations are properly authorised and documented.

Use of public service staff and industrial relations constraints: The Trust may make use of public service officers and facilities by arrangement (s 11(3)). However, any determinations about staff remuneration and conditions are subject to relevant orders, awards or agreements under the Industrial Relations Act 1979 (s 11(2)). Navigating industrial instruments and ensuring compliance where staff transfer between the public service and the Trust can be administratively complex.

Common seal and custody: The common seal is to be kept by the general manager (Schedule 1 cl 8). From a control perspective, this concentrates physical authority for executing documents and requires robust internal controls over the general manager’s custody and use of the seal.

Small technical points that often generate issues:

• Quorum rules mean decisions require at least four trustees present; absence by three consecutive meetings without leave leads to vacancy (Schedule 2 cl 1(3); Schedule 1 cl 4(f)).
• The UWA nomination right is time‑sensitive: when the s 5(1)(c)(ii) vacancy arises, the Minister requests a nomination and fills the vacancy according to that nomination if received within the time specified (Schedule 1 cl 2). Failure to manage the nomination timeline can disrupt board composition.
• The prohibition on rates and duties is constrained: duties exemption applies only to instruments transferring property to the Trust "for the purposes of this Act" (s 16(2)(b)). Properly worded instruments and declarations are necessary to secure the intended exemption.

Collectively, these "gotchas" demonstrate that while the Act creates commercial powers and Crown status, it layers obligations, reporting and enforcement features that require careful operational and legal management.

Compliance under this Act requires coordinated governance processes, financial management systems aligned with the Financial Management Act 2006, operational procedures for enforcement regimes on Trust land, personnel arrangements consistent with public sector rules and formal recordkeeping. The following practical checklist maps statutory requirements to actionable steps and responsible actors.

Board and governance compliance

• Maintain appointment records and ensure trustees meet eligibility criteria: the Minister appoints trustees but the Trust must keep instruments of appointment and note Schedule 1 ineligibility for bankrupts and persons under insolvency laws (Schedule 1 cl 1; s 5). Ensure the UWA nomination process is requested and recorded when the UWA nominee slot falls vacant (Schedule 1 cl 2).
• Implement a conflicts disclosure register: trustees must disclose pecuniary interests at meetings and particulars must be recorded in a book open for inspection for a fee (Schedule 1 cl 7(1)-(3)). Adopt a trustee conflicts policy aligned to Schedule 1 cl 7 and ensure the chairman records disclosures and excludes conflicted trustees from deliberation unless the Minister directs otherwise (Schedule 1 cl 7(4)).
• Observe meeting procedures: adhere to quorum (four trustees) and minute‑keeping duties; minutes must be recorded and preserved by the general manager (Schedule 2 cl 1(3); cl 2). Keep records of deputy trustee appointments and attendance to avoid automatic vacancies for non‑attendance (Schedule 1 cl 6; cl 4(f)).

Ministerial interactions and reporting

• Prepare for Ministerial directions: develop internal procedures to receive, consider and give effect to written directions from the Minister, and ensure these directions are included in annual reports per s 14(3). Set a process to record the Minister’s consultation before directions are given where possible.
• Respond to information requests: because s 14A obliges the Trust to comply with Ministerial requests to obtain information and documents and to make staff and facilities available, create a statutory information handling workflow, including classification of sensitive information and procedures to secure consents for disclosure where the requested information may identify a person with a disability (s 14A(4)).

Financial management and audit

• Operate the agency special purpose account: credit all appropriation and fee receipts to the Western Australian Sports Centre Trust Account as required by s 15(2) and ensure all disbursements are charged to that account (s 15(3)).
• Ensure FMA and Auditor General Act compliance: prepare financial statements, internal controls, procurement records and audit responses in conformity with the Financial Management Act 2006 and Auditor General Act 2006 obligations that apply to the Trust (s 17). Maintain records to support audits and prepare for periodic reviews.
• If accepting gifts or conditional vestings, document conditions and ensure legal advice on the effect of s 9(4)-(5) and land law interfaces to manage remoteness and vesting conditions.

Operational, property and contracting compliance

• When acquiring, leasing or disposing of property, check for duties and rates exemptions: ensure instruments are structured to qualify as transfers "for the purposes of this Act" where relevant and verify whether property will be exempt from State rates or taxes or not, depending on intended use or any sub‑letting arrangements (s 16(1)-(2); s 9(6)).
• Contracts and concessions: use written contracts for hires, concessions and profit‑sharing arrangements consistent with s 9(2)(h)-(j). Ensure licences and permits for refreshment provision are obtained where required (s 9(2)(b)).
• Ensure regulatory compliance: review existing and prospective regulations under s 18 and s 18A to confirm permitted activities, private trading rules and liquor/animal policies. If operating parking or vehicle management, adopt processes for payment collection, signage, ticketing, and removal procedures in line with any traffic regulations made under s 18A.

Enforcement and infringement processes

• Authorised officer appointments and certification: appoint authorised officers in writing for the specific infringement functions required, issue certificates to those authorised to serve infringement notices and ensure they carry and can produce certificates when giving notices (s 18C(11)-(12)). Maintain a register of authorised officers and powers delegated.
• Infringement notice processes: implement standard forms in the prescribed form, ensure notices describe the alleged offence, specify the modified penalty and payment window and identify authorised officers authorised to receive payment (s 18C(3)). Set systems for receipt of payments, extensions of time, withdrawal of notices and refund procedures (s 18C(5)-(9)).
• Owner onus communications: for vehicle owner onus scenarios (s 18D), ensure signage and notices clearly communicate parking rules and enforcement methods; keep accurate records of licence plate checks and owner identification procedures to support infringement actions.

Employment and industrial relations

• Consult with the Public Sector Commissioner: when setting remuneration and conditions for officers and employees, comply with the consultation requirement and applicable industrial instruments and awards (s 11(2)-(3)). Where public service officers are seconded or transferred, document the terms and ensure continuity of accrued rights and superannuation (s 19).
• General manager duties and controls: ensure the general manager is properly designated in instrument of appointment (s 12(1)), has clear delegated authorities, and adheres to the requirement to devote full time to duties unless the Trust consents to otherwise (Schedule 3 cl 1).

Delegation and records

• Make delegations in writing: any delegation must be by instrument in writing and must be recorded; maintain a delegations register in case of audit or legal challenge (s 13).
• Common seal control: the common seal must be kept by the general manager (Schedule 1 cl 8). Implement controls for its use, authorisation, and record of sealed documents.

Regulatory monitoring and review

• Monitor and review regulations: the Governor’s regulations may modify the application of other written laws to the Trust (s 18(1)(m)). Regularly review any such regulations for impacts on licensing, trading, rights and duties.
• Statutory review: the Minister must carry out a review of the Act five years after commencement and lay a report before Parliament (s 20). The Trust should prepare materials and performance data to assist the Minister’s review.

Records and transparency

• Maintain transparency for public access and audit: ensure minutes, financial records, trustee disclosures and Ministerial directions are well documented and available in the forms the Act requires (Schedule 2 cl 2; Schedule 1 cl 7(3); s 14(3); s 15).

Following the steps above will address the major compliance obligations created by this Act: governing and recording trustee conduct, aligning financial controls with the Financial Management Act, implementing authorised officer and infringement processes under the traffic regulations, managing Ministerial information and direction requests, and safeguarding staff transition and industrial relations obligations. Regular legal and audit review is recommended to ensure conformity with current regulations and any subsequent amending legislation.
