West Australian Trustees Limited (Merger) Act 1989

The Act establishes a compact set of defined concepts that govern what transfers, who moves, and what remains excluded.

• Undertaking, WA Trustees and Perpetual Trustees. The undertaking of WA Trustees is the principal legal object transferred. It is defined in s 3 to include all property of WA Trustees (apart from excluded assets), all rights and liabilities of WA Trustees (apart from those relating to excluded assets) and all appointments in favour of WA Trustees. WA Trustees is West Australian Trustees Limited; Perpetual Trustees means Perpetual Trustees W.A. Ltd (s 3).

• Appointed day. The appointed day is the day on which section 5 comes into operation (s 3). Section 2 provides that the Act comes into operation on a day fixed by proclamation, except one small provision which came into effect on Royal Assent; hence the appointed day is proclamation-driven and not fixed in the statute itself (s 2(1)-(2)). The appointed day is therefore the critical trigger for vesting.

• Excluded assets. The Act carves out two categories as excluded assets: documents required by law to be kept by WA Trustees, and particular parcels of land listed in Schedule 1 (s 3, definition of excluded assets; Schedule 1 lists three land descriptions). Excluded assets are not part of the undertaking that vests in Perpetual Trustees, and the Act supplies special rules for rights connected with excluded land (s 7).

• Instruments and appointments. Instrument is broadly defined to include any instrument that creates or evidences rights or liabilities, and explicitly includes wills, codicils, declarations of trust, deeds of trust and powers of attorney (s 3, definition of instrument). Appointment in turn covers appointments of WA Trustees as executor, manager, trustee, agent or attorney, whether by will, court order, or under written law (s 3, definition of appointment).

• Prescribed securities. The Act uses the term prescribed securities as defined in the Securities Industry (Western Australia) Code (s 3). Section 12 creates a streamlined mechanism for transferring prescribed securities to Perpetual Trustees or its subsidiaries by certificate of the General Manager, subject to the specified limits in s 12(2).

• Employee transfer rules. The Act mandates a seamless employee transfer. Each employee of WA Trustees becomes an employee of Perpetual Trustees on the appointed day, with service deemed unbroken and terms and conditions initially identical (s 10(a)-(b)). The Act excludes directors, secretaries and auditors from being deemed transferred (s 10(e)). Employees are not entitled to additional payments solely because of the transfer (s 10(c)).

• Powers to registrars and officers. The Act instructs the Registrar of Titles, Registrar of Deeds and Transfers, Commissioner for Corporate Affairs, mining registrars and other authorised registrars to record and register documents necessary to give effect to the Act (s 13). Section 5(4) requires the Registrar of Titles, subject to payment of appropriate fees under the Transfer of Land Act 1893, to register Perpetual Trustees as proprietor when land vests by virtue of the Act.

• Protection of third parties. Section 14 shields persons dealing with Perpetual Trustees or WA Trustees from the need to inquire whether property is an excluded asset, and deems dealings in relation to excluded assets to be authorised in favour of persons dealing in good faith (ss 14(1)-(3)). The section also preserves the liability of Perpetual Trustees and WA Trustees in respect of things done in relation to excluded assets (s 14(4)).

• Appointment of new trustee. The Act permits Perpetual Trustees, within six months after the appointed day, to execute an instrument appointing a Perpetual subsidiary as new trustee for specified trusts, with publication of notice in the Government Gazette producing statutory effect: the retiring trustee is discharged and the new trustee is vested with the property (s 11). The provision excludes trusts constituted by a deed approved under the Companies (Western Australia) Code (s 11(1)).

• Common Fund transfer. Section 15 vests contracts, choses in action, mortgages and assets and liabilities of WA Trustees in its capacity as trustee of its Common Trust Fund into Perpetual Trustees’ investment or estate common trust fund established under the Trustee Companies Act 1987, on the same terms as previously held.

These concepts together make the statute operate as a statutory vesting and reformed registration regime, enabling the transferee trustee to step into WA Trustees’ legal position with carefully limited exclusions and prescribed administrative steps.

The Act primarily affects a defined set of corporate actors and their stakeholders; secondary impacts reach registrars, creditors, beneficiaries, employees and third parties who transact with the relevant trustees.

• Perpetual Trustees W.A. Ltd. The principal beneficiary of the statutory scheme is Perpetual Trustees. On the appointed day Perpetual Trustees receives the undertaking of WA Trustees (s 5(1)). This gives Perpetual Trustees ownership, control and responsibility for WA Trustees’ property (except excluded assets), rights and liabilities, appointments and client relationships (s 6(f)-(g)). Perpetual Trustees is able to apply to the Registrar of Titles to be recorded as registered proprietor of land vested by the Act (s 5(4)(b)) and to have instruments relating to that land registered (s 5(4)(c)). Perpetual Trustees’ General Manager can sign certificates that operate as sufficient transfer instruments for prescribed securities in specified circumstances (s 12(1)).

• West Australian Trustees Limited. WA Trustees is the transferor and remains a named entity in many contexts. The Act preserves certain liabilities to remain with WA Trustees in limited circumstances where a liability remains a liability to WA Trustees after the appointed day (s 5(5)). Legal proceedings commenced before the appointed day involving WA Trustees may continue by or against Perpetual Trustees, so WA Trustees’ pre-existing litigation profile is preserved in practical terms (s 8). Where excluded assets are concerned, WA Trustees’ possession and duties regarding those remain relevant (s 7(2)).

• Employees. Every employee of WA Trustees immediately before the appointed day becomes an employee of Perpetual Trustees on that day, with continuity of service and initial identity of terms and conditions (s 10(a)-(b)). However, directors, secretaries and auditors of WA Trustees are explicitly not transferred (s 10(e)). Transferred employees are not entitled to additional payment merely for the transfer (s 10(c)). The Act preserves rights under provident, superannuation and retirement schemes except as limited by s 10(d).

• Beneficiaries, clients and depositors. The contractual, trust and fiduciary relationships that WA Trustees had with beneficiaries, clients and depositors become relationships with Perpetual Trustees on the appointed day, with the same rights and liabilities, including rights of set-off (s 6(f)). Persons who deal with Perpetual Trustees may, under s 14, rely on Perpetual Trustees’ authority without being required to investigate whether an asset is excluded.

• Creditors, mortgagees and holders of securities. Security interests held by WA Trustees as security for debts incurred before the appointed day are available to Perpetual Trustees as security for those debts post-vesting; security that extends to future debts may secure debts incurred by Perpetual Trustees after the appointed day (s 6(c)). Prescribed securities vested by operation of the Act can be transferred by certificate of the General Manager in the limited circumstances in s 12.

• Registrars and record-keepers. The Registrar of Titles, Registrar of Deeds and Transfers, Commissioner for Corporate Affairs, mining registrars and any other person authorised to record and register documents are directed to take cognisance of the Act and to record and register necessary documents in appropriate forms to give effect to the Act (s 13). In doing so they are required to register Perpetual Trustees as proprietor upon application and payment of fees where land has vested (s 5(4)(b)-(c)).

• Third party dealing persons. Any person transacting with Perpetual Trustees or WA Trustees in any capacity is affected by the Act’s protections in s 14, which prevents them from being obliged to inquire whether property involved in a transaction is an excluded asset, and deems dealings in relation to excluded assets to be authorised in favour of such persons in certain circumstances (ss 14(1)-(3)). Notwithstanding those protections, the Act preserves the potential liability of Perpetual Trustees or WA Trustees for dealings concerning excluded assets (s 14(4)).

• Subsidiaries and prospective new trustees. Perpetual Trustees may appoint a corporate subsidiary to act as trustee in place of another subsidiary within six months of the appointed day, causing the vesting of trust property in the new trustee upon execution of an instrument and publication in the Government Gazette (s 11). That affects any subsidiary named in such an instrument, the retiring trustee, and the trusts specified.

• The Crown. The Act expressly binds the Crown (s 4). Consequently Crown interests are subject to the statutory regime provided by the Act.

In short, the Act affects the transferor trustee, the transferee trustee, their employees and officers, trust beneficiaries and clients, creditors and holders of securities, registrars, subsidiaries that may be appointed as trustees, and third parties who transact with either WA Trustees or Perpetual Trustees.

The Act imposes and preserves a set of duties and rights distributed among Perpetual Trustees, WA Trustees, registrars, employees and third parties. The provisions substitute statutory entitlements and obligations for what would otherwise require private assignments and consents.

• Rights of Perpetual Trustees on vesting. On the appointed day Perpetual Trustees acquires the undertaking of WA Trustees, inclusive of property, rights, liabilities and appointments (s 5(1); definition of undertaking in s 3). Perpetual Trustees is deemed to be the registered proprietor for land vested by the Act, and may be registered as such by the Registrar of Titles upon application and payment of fees (s 5(4)(a)-(b)). Perpetual Trustees is entitled to use securities held by WA Trustees for discharge of debts and liabilities incurred before the appointed day and, to the extent security extends to future liabilities, for debts of Perpetual Trustees incurred after the appointed day (s 6(c)). Perpetual Trustees acquires the same relationships with clients, beneficiaries and depositors that WA Trustees had immediately before vesting (s 6(f)).

• Rights to continue and enforce proceedings and judgments. Proceedings in which WA Trustees was a party immediately before the appointed day may be continued by or against Perpetual Trustees (s 8(1)). Judgments, orders or awards obtained by or against WA Trustees in proceedings commenced before the appointed day may be enforced by or against Perpetual Trustees (s 8(2)). Documentary or other admissible evidence for or against WA Trustees remains admissible for or against Perpetual Trustees (s 9).

• Rights and duties relating to prescribed securities. Where prescribed securities vest in Perpetual Trustees or a subsidiary by operation of the Act, a certificate signed by the General Manager or delegate stating that the prescribed securities have vested is, notwithstanding other law or instrument, deemed to be a sufficient duly stamped instrument of transfer for those securities (s 12(1)). This applies only to prescribed securities which, when vested in Perpetual Trustees, will be held by way of security, or which are vested in a subsidiary by operation of s 11 (s 12(2)).

• Duties regarding registration and recording. Registrars and officers (Registrar of Titles, Registrar of Deeds and Transfers, Commissioner for Corporate Affairs, mining registrar and others) are empowered and obliged to take cognisance of the Act and to record and register such documents as are necessary to give effect to the Act (s 13). Specifically for land that vests by virtue of s 5, the Registrar of Titles must, subject to the appropriate fee under the Transfer of Land Act 1893, register Perpetual Trustees as proprietor, and register instruments executed by Perpetual Trustees if otherwise registrable upon payment of applicable fees (s 5(4)(b)-(c)).

• Employee-related duties and rights. On the appointed day employees of WA Trustees automatically become employees of Perpetual Trustees and are to be treated as having had unbroken service for all written and other laws, awards, determinations, contracts and agreements affecting employment (s 10(a)). Their terms and conditions initially must be identical to those immediately before the appointed day and are capable of variation thereafter in the same manner as before, and subject to applicable laws and workplace instruments they may be varied consistently with other Perpetual employees (s 10(b)(i)-(ii)). Transferred employees are not entitled to receive payment solely by reason of the transfer (s 10(c)). Rights under provident and superannuation schemes remain unaffected by the Act other than paragraph (c) (s 10(d)). Directors, secretaries and auditors of WA Trustees do not become those officers of Perpetual Trustees by virtue of the Act (s 10(e)).

• Appointment and discharge of trustees. Perpetual Trustees may, within six months after the appointed day, by instrument under its seal appoint a subsidiary as new trustee in place of another subsidiary, whereupon the retiring trustee is discharged, the new trustee acquires the same powers, and the relevant property vests in and is to be dealt with by the new trustee, notwithstanding anything to the contrary in any instrument or law (s 11(1)-(3)). For registered land vested by s 11, the corporation appointed is to be deemed the registered proprietor for practical dealing and registration under the Transfer of Land Act 1893 (s 11(5)).

• Protections for third parties and limits on inquiry. Persons dealing with Perpetual Trustees or WA Trustees are not required to see or enquire whether property is an excluded asset when entering transactions (s 14(1)). If Perpetual Trustees enters into dealings in relation to excluded assets, third parties dealing in good faith are deemed to have the benefit of Perpetual Trustees’ authority (s 14(2)). Likewise, dealings by WA Trustees in relation to property vested in Perpetual Trustees are deemed in favour of third parties as if the asset were an excluded asset (s 14(3)). However, s 14(4) preserves the liability of Perpetual Trustees or WA Trustees in respect of anything done in relation to excluded assets.

• Savings and non-abrogation of obligations. The Act preserves pre-existing liabilities and rights in certain respects. For example, where a liability remains a liability of WA Trustees after the appointed day, WA Trustees retains and may enforce the same rights in respect of that liability (s 5(5)). The Act states that nothing effected by the Act shall be regarded as placing WA Trustees or Perpetual Trustees in breach of trust, contract or confidence, or as otherwise rendering them liable for a civil wrong, or as placing them in breach of laws or contractual provisions prohibiting assignment or disclosure, and nothing done or suffered under the Act shall be regarded as a breach if it would not have been a breach had it been done by WA Trustees without the Act (s 6(j), (k)). These are draftsman’s presumptions intended to avoid creating new liabilities by the statutory transfer; s 14(4) preserves liabilities that do arise from actions taken in relation to excluded assets.

Overall, the Act confers substitutionary rights on Perpetual Trustees to act in place of WA Trustees, preserves pre-existing rights and liabilities where necessary, imposes duties on registrars to record changes, provides a mechanism to transfer prescribed securities, and protects employees’ service continuity while excluding officers such as directors from automatic transfer.

The Act contains mechanisms for enforcement and validation of rights arising from the statutory vesting but does not create express criminal offences, monetary penalties or administrative fines within its text. Enforcement is primarily civil, transactional and registration-based.

• Civil enforcement and continuation of proceedings. The Act expressly allows legal proceedings to which WA Trustees was a party before the appointed day to be continued by or against Perpetual Trustees (s 8(1)). Judgments, orders and awards obtained in proceedings commenced before the appointed day may be enforced by or against Perpetual Trustees (s 8(2)). Section 5(5) preserves WA Trustees’ ability to enforce rights in respect of liabilities that remain its liabilities after the appointed day, ensuring creditors and debtors retain civil remedies without gaps.

• Validation of documents and evidence. The Act makes documentary or other evidence that would have been admissible for or against WA Trustees admissible for or against Perpetual Trustees (s 9). This validation facilitates enforcement of contractual and trust rights and assists in the practical administration of litigation and dispute resolution.

• Registration and transfer deemed sufficient. For prescribed securities vested by the Act, a certificate signed by Perpetual Trustees’ General Manager or delegate is deemed to be a sufficient duly stamped instrument of transfer notwithstanding other written law or instrument (s 12(1)). This deeming provision reduces technical obstacles to enforcement of security interests and reallocation of securities to the transferee or its subsidiary where the conditions in s 12(2) are met.

• Registrar duties and administrative enforcement. Registrars are empowered to take cognisance of the Act and to record and register documents necessary to give effect to it (s 13). The Registrar of Titles in particular is directed to register Perpetual Trustees as proprietor of vested estates or interests upon application and payment of applicable fees (s 5(4)(b)-(c)). These instructions create administrative obligations on registrars to facilitate enforcement and proof of title.

• Protection against inquiry, but preservation of liability. Section 14 renders persons dealing with Perpetual Trustees or WA Trustees not concerned to see or enquire into whether property is an excluded asset (s 14(1)). That reduces the risk that a third party will lose recourse for relying on apparent authority. However, s 14(4) preserves the liability of Perpetual Trustees or WA Trustees in respect of anything done or purporting to have been done by them in relation to excluded assets, meaning third parties’ remedies may still be pursued against the trustee that acted. The Act thus reduces defensive procedural bars for third parties while leaving substantive liability exposure open.

• Absence of penal provisions. The Act contains no express criminal offences, monetary fines or administrative penalties for breach of its provisions. Instead, its enforcement architecture is remedial and declaratory: statutory vesting, registration mandates, validation of documents, and continued civil remedies. Where a party suffers loss because a party acted inconsistently with the statutory scheme, their remedy will be by ordinary civil action, not by the operation of statutory criminal sanctions.

• Practical enforcement risks and limits. Because the Act overrides contrary instrument terms and written law in many respects (for example ss 6(g) and 11(3)), enforcement of rights that were previously prevented by contractual anti-assignment clauses will be driven by courts applying the statutory override in civil proceedings. Potential disputes could arise about whether particular property is an excluded asset, whether a liability remains with WA Trustees after the appointed day (s 5(5)), or whether a transferor’s action fell within the statutory protections in s 14. Those disputes would be civil and decided by ordinary adjudicative processes.

In summary, enforcement under the Act proceeds by civil remedial routes: continuation and enforcement of proceedings and judgments, registration and statutory validation of documents, and preservation of rights against third parties. The Act provides no criminal sanctions; compliance and disputes are resolved through civil processes and administrative registration.

The Act cross-references and modifies the operation of several Western Australian and related statutory regimes, and it contains express savings and overrides to ensure the vesting operates despite conflicting instrument terms or restrictive written laws. Its interaction is both operational and declaratory.

• Transfer of Land Act 1893. The Act contemplates and prescribes steps for land that vests under the Transfer of Land Act 1893. Section 5(4)(a)-(c) deems Perpetual Trustees to be the registered proprietor of any registered estate or interest in land (other than excluded assets) that vests, directs the Registrar of Titles to register Perpetual Trustees as proprietor upon application and payment of appropriate fees under the Transfer of Land Act 1893, and requires registration of instruments executed by Perpetual Trustees in registrable form notwithstanding Perpetual Trustees has not yet been registered as proprietor. Section 11(5) further references section 242 of the Transfer of Land Act 1893 for recording and registration of changes of registered proprietor when a subsidiary is appointed under s 11.

• Trustee Companies Act 1987. The Act’s long title and section 15 refer to the Trustee Companies Act 1987. Section 15 expressly vests WA Trustees’ Common Trust Fund assets and liabilities into Perpetual Trustees as trustee of its corresponding investment or estate common trust fund established under the Trustee Companies Act 1987, to be held on the same terms as previously. The compilation notes record that certain amending provisions of this Act to the Trustee Companies Act 1987 have been omitted under the Reprints Act 1984 s 7(4)(e), and that the West Australian Trustees Limited Act 1893 s 21A was repealed by the Trustee Companies Act 1987 s 46(1).

• Companies (Western Australia) Code and Companies (Acquisition of Shares) (WA) Code. The reasons for enactment refer to WA Trustees becoming a wholly owned subsidiary of Perpetual Trustees Australia Limited pursuant to action under the Companies (Acquisition of Shares) (Western Australia) Code. Section 11(1) excludes trusts constituted by a deed approved under the Companies (Western Australia) Code from the subsidiary-appointment mechanism. These references indicate the Act is intended to sit alongside corporate law instruments governing share acquisition and corporate forms.

• Securities Industry (Western Australia) Code. Prescribed securities are defined by reference to that Code (s 3). Section 12 creates a mechanism enabling a certificate signed by Perpetual Trustees’ General Manager to operate as a sufficient, duly stamped instrument of transfer of prescribed securities in specified circumstances, notwithstanding other written law or any instrument (s 12(1)). This provision interacts with security transfer and stamping regimes under securities law to streamline transfer by statutory certificate.

• Trustees Act 1962. Section 11(4) references the Trustees Act 1962 when describing what is meant by a corporation acting as trustee, including custodial trustee, nominee and person charged with management or administration of property. The Act therefore adopts the trustee concepts in that statute when applying s 11.

• Reprints Act 1984 and standardisation amendments. The notes record that section 16(2) was omitted under the Reprints Act 1984 s 7(4)(e) and that the Standardisation of Formatting Act 2010 amended the heading of Schedule 1 (compilation table). These are editorial or reprinting matters that affect the published form of the statute.

• Interaction with written laws and instrument terms. The Act expressly states that the vesting and appointments effected under ss 5 and 11 shall have effect notwithstanding anything to the contrary in any written or other law (s 5(4) opening words; s 11(3)). Section 6(j) and (k) go further by stating that nothing effected by the Act shall be regarded as placing WA Trustees or Perpetual Trustees in breach of trust, contract or confidence, or as breaching any written law or contractual provision prohibiting assignment or transfer, or shall release any surety, and similarly for acts done under the Act. These provisions are declaratory in nature and intended to override contractual or statutory anti-assignment restrictions to effect the merger.

• Statutory registration and evidential rules. Sections 13 and 9 instruct registrars and courts on evidential and recording consequences, requiring registrars of titles and deeds and corporate affairs officers to take cognisance of the Act and to record necessary documents (s 13), and preserving admissibility of evidence against Perpetual Trustees that would have been admissible against WA Trustees (s 9). These interact with ordinary procedural law and registries’ statutory powers.

• Preservation of external liabilities. Where a liability remains a liability of WA Trustees on or after the appointed day, the Act preserves WA Trustees’ rights to enforce the same rights, including rights under security (s 5(5)). This recognises that not all liabilities will automatically become liabilities of Perpetual Trustees and interacts with creditor rights under general law.

Overall, the Act functions as an overlay that modifies the operation of property, trust and corporate registration statutes to produce a statutory merger. Where conflicts with other laws exist, the Act states its vesting has effect notwithstanding contrary written law or instruments (s 5(4); s 11(3)), but its declared non-breach and preservation provisions (s 6(j)-(k)) and s 14(4) preserve certain legal exposures and obligations rather than extinguish them.

The Act’s own notes and compilation table provide the limited amendment history and editorial changes that have been made since original enactment.

• Original enactment and commencement. West Australian Trustees Limited (Merger) Act 1989 (No. 38 of 1989) received assent on 22 December 1989. Section 1 and section 2 came into operation on 22 December 1989; the remainder commenced on 31 January 1990, per the compilation table and s 2(1)-(2) (compilation table entry).

• Reprint. The legislation was reprinted as Reprint 1, being the Act as at 16 November 2007 (compilation table). Reprints incorporate editorial adjustments, consolidations and minor corrections to a statute without changing substantive law, but the compilation notes also identify specific omissions under the Reprints Act.

• Omitted provision. Section 16 is marked as omitted under the Reprints Act 1984 s 7(4)(e) (text at end of Act shows s 16 omitted). The compilation notes record that the provision of this Act amending the Trustee Companies Act 1987 has been omitted under the Reprints Act 1984 s 7(4)(e) (note 2). The West Australian Trustees Limited Act 1893 s 21A, referenced in s 15, was repealed by the Trustee Companies Act 1987 s 46(1) (note 3).

• Standardisation of Formatting Act 2010. The Standardisation of Formatting Act 2010 (No. 19 of 2010) effected formatting and heading changes. The compilation table records that s 4 of the Standardisation of Formatting Act 2010 amended the heading of Schedule 1 and that the commencement of that formatting change occurred on 11 September 2010. The compilation and notes therefore indicate no substantive policy amendments in 2010, only formatting standardisation.

• No other substantive amendments recorded in the compilation table. The Act’s compilation table lists only the original Act and the formatting amendment; it does not record substantive amendments to the operative provisions beyond reprints and omissions made for reprinting purposes.

• Repeal and related acts. The Act’s long title and s 15 reference the Trustee Companies Act 1987 for the creation of Perpetual’s common trust funds, and notes indicate that prior statutory provisions (West Australian Trustees Limited Act 1893 s 21A) were repealed by the Trustee Companies Act 1987. The compilation notes state that the provision of this Act amending that Act has been omitted under the Reprints Act. These cross-references document interaction with the Trustee Companies Act 1987 but do not show that this Act itself was substantively amended beyond editorial changes.

In short, the statutory record supplied with the Act indicates a single substantive enactment in 1989, reprinted in 2007, and a formatting amendment in 2010. Provisions omitted under the Reprints Act are noted in the schedule but no other later substantive amendments to the operative effect of the 1989 Act are recorded in the compilation table provided.

The Act as supplied contains no reported cases, dispute summaries or litigation annotations; it does not list any judicial determinations that interpret or apply its provisions. The Act’s notes are limited to compilation, reprint and formatting entries and do not include references to judicial decisions. Consequently, within the text and compilation notes of the Act there is no litigation history recorded.

Given the absence of case law in the Act’s margins or notes, any legal practitioner or researcher wishing to locate litigation that interprets the Act must search independent legal databases, court records and reported judgments for actions that reference the West Australian Trustees Limited (Merger) Act 1989. Potential issues that could have generated litigation include disputes about whether particular property qualifies as an excluded asset, whether a liability remained with WA Trustees after the appointed day under s 5(5), whether registrars correctly applied s 5(4) when recording titles, whether s 12 certificates sufficed for transfers of prescribed securities, or whether a purported appointment under s 11 validly effected vesting of trust property.

The Act expressly preserves the ability to continue legal proceedings by or against Perpetual Trustees where WA Trustees was a party (s 8(1)), and it preserves rights to enforce pre-existing liabilities and judgments (s 5(5); s 8(2)). Those provisions would be central in any litigation arising from pre-existing claims, but the Act itself provides the continuation mechanism rather than a list of cases.

In the absence of statutory annotation, lawyers and researchers should treat the Act as a special-purpose vesting statute whose practical legal impact will be evidenced by subsequent registrations, instrument filings, company and trust reorganisations, and any litigation records in Western Australian courts or tribunals. Locating such litigation will require external searches; the Act’s text and compilation notes do not furnish litigation references.

The Act’s apparent straightforward statutory transfer contains several practical traps and narrow points that practitioners should note; these are matters that can cause implementation friction, unexpected exposures or administrative mistakes if overlooked.

• Excluded assets are narrow and specific. The Act excludes from vesting documents required by law to be kept by WA Trustees, and three specific land parcels listed in Schedule 1 (s 3; Schedule 1 lists a Perth town lot and two Leschenault locations). That means property and documents not listed or not falling within the narrow “documents required by law to be kept” will transfer; do not assume broader retention. Failure to identify excluded assets correctly risks unintentionally transferring items that a third party or statutory regime intended to remain with WA Trustees.

• Rights in respect of excluded land are limited but operationally odd. Section 7 allows Perpetual Trustees to exercise rights under leases, licences or other agreements relating to excluded land without any formal assignment, yet s 7(2) states that WA Trustees does not part with possession of the land for the purposes of such agreements. This split between legal right to exercise and retained possession may create practical friction with landlords, occupiers or third parties who expect assignment to produce possession changes.

• Directors, secretaries and auditors do not transfer. While employees generally transfer with continuity of service (s 10(a)-(b)), directors, secretaries and auditors are explicitly excluded from automatic transfer (s 10(e)). Corporate governance and continuity of officer roles therefore require separate arrangements beyond the Act.

• Prescribed securities transfer is limited. The deemed-sufficient transfer certificate under s 12 applies only to prescribed securities that will be held by way of security when vested in Perpetual Trustees, or which are vested in a subsidiary by operation of s 11 (s 12(2)). Practitioners should not assume s 12 provides a blanket transfer mechanism for all securities.

• Publication and time limitation for appointing a new trustee. Section 11 permits Perpetual to appoint a subsidiary as new trustee, but only within six months of the appointed day and subject to publication in the Government Gazette. Failure to comply with the six-month window or the Gazette notice risks leaving intended subsidiary trustees unable to rely on the statutory vesting mechanism and forces reliance on private transfer processes.

• Instruments and written law can be statutorily overridden. The Act states that its vesting and trustee appointment provisions have effect notwithstanding anything to the contrary in any instrument or written law (s 5(4) opening words; s 11(3)). While this makes the transfer robust against anti-assignment clauses, it may create pushback from parties who relied on a contractual prohibition against assignment. The Act attempts to address that by stating nothing done should be regarded as placing parties in breach of trust or contract if it would not have been a breach had WA Trustees acted (s 6(j), (k)), but those clauses are declaratory and may be litigated in close cases.

• Third-party reliance shifts due diligence expectations. Section 14 reduces a third party’s duty to inquire whether property is an excluded asset, but s 14(4) preserves trustee liability for acts done in relation to excluded assets. Third parties may therefore be less rigorous about investigation, but trustees and their advisers retain exposure if they act improperly in relation to excluded assets.

• Registrars require applications and fees. Section 5(4)(b) directs the Registrar of Titles to register Perpetual Trustees as proprietor upon application and payment of the appropriate fee under the Transfer of Land Act 1893. Practically, this requires procedural compliance with registry processes, accurate documentation and fee payment; failure to lodge appropriate applications or pay fees may delay practical evidencing of title.

• Employee scheme continuity is not a windfall. Section 10 preserves continuity of service and initial terms, but transferred employees are not entitled to a payment merely because of the transfer (s 10(c)). Employers should not assume transferred employees have claims for transitional payments absent other legal or industrial instrument entitlements.

• Potential conflicts about liabilities that remain with WA Trustees. Section 5(5) contemplates liabilities that remain with WA Trustees after the appointed day; where that is the case, WA Trustees retains rights in respect of that liability. Identifying which liabilities remain and how security rights apply requires careful review; a mistaken assumption that everything transferred may produce disputes with creditors.

• The Act contains no penal enforcement. The absence of criminal or administrative penalties means compliance incentives are reputational, contractual and civil rather than punished by statutory fines. Parties seeking coercive sanctions or administrative penalties must look to other laws.

• Omitted provisions in reprints may affect understanding. Notes indicate that some amending text and section 16 were omitted in reprints under the Reprints Act 1984. Practitioners must work from the enacted and current version in force and check reprint annotations to ensure they are not relying on omitted or editorial provisions.

Practitioners should therefore perform a targeted asset-by-asset review against the definition of excluded assets, check registry procedures and fees under the Transfer of Land Act 1893 and other registration laws, obtain appropriate managerial certificates where prescribed securities are involved, comply with time-limited s 11 steps if appointing a subsidiary trustee, and treat s 14 protections as helpful for third-party transactions but not as absolutes of substance.

Compliance under this Act requires coordinated legal, registry and administrative steps by Perpetual Trustees, WA Trustees and third parties. The following practical checklist follows the Act’s operative provisions and allocates responsibility where the statute does.

1. Determine the appointed day.

   • Identify the proclamation that brings section 5 into operation, because the appointed day is the day of coming into operation of section 5 (s 3, definition of the appointed day; s 2(1)). Actions to vest property and transfer employees are triggered on that day.

2. Inventory WA Trustees’ property, rights, liabilities and appointments.

   • Conduct an asset-by-asset review to identify what falls within the undertaking defined in s 3 and what is an excluded asset (documents required by law to be kept by WA Trustees; Schedule 1 land descriptions). Produce a clear schedule that tags each asset as vested, excluded, or requiring further action.

3. Address excluded assets.

   • For documents required by law to be kept by WA Trustees, confirm statutory retention obligations and whether custody or access arrangements need to be maintained for regulatory or historical purposes (s 3, excluded assets).
   • For the specific parcels in Schedule 1, note that those land parcels are excluded assets and ensure occupancy, lease rights and other arrangements are handled per s 7, which allows Perpetual Trustees to exercise rights of occupation or use but preserves WA Trustees’ possession for the lease’s purposes (s 7(1)-(2)).

4. Prepare registry and transfer applications.

   • For land vested by operation of s 5, prepare an application to the Registrar of Titles to register Perpetual Trustees as proprietor, and arrange payment of the appropriate fee under the Transfer of Land Act 1893 (s 5(4)(b)-(c)). Ensure instruments executed by Perpetual Trustees are in registrable form for immediate lodging if necessary.
   • For corporate trustee appointment under s 11, prepare the instrument to be executed under Perpetual Trustees’ seal, and arrange for notice of the appointment to be published in the Government Gazette within six months after the appointed day (s 11(1)-(2)). Follow s 11(5)’s guidance for land registration via section 242 Transfer of Land Act 1893 applications.

5. For prescribed securities, obtain manager certificates.

   • Where prescribed securities are vested and will be held by way of security or are vested in a subsidiary by s 11, arrange for a certificate signed by the General Manager of Perpetual Trustees (or delegate) stating the securities have vested; that certificate will be deemed a sufficient duly stamped instrument of transfer (s 12(1)-(2)).

6. Preserve contract continuity and client communications.

   • Use the deeming provisions in s 5(2) and s 6(g) to update client-facing documentation and internal records to read references to WA Trustees as references to Perpetual Trustees where not relating to excluded assets. Communicate changes to clients, beneficiaries and depositors explaining that their legal relationship continues with Perpetual Trustees and that rights and liabilities, including set-off, remain (s 6(f)).

7. Employee transition steps.

   • On the appointed day, transfer payroll, superannuation, leave records and service histories for all employees so that their period of service with WA Trustees is recorded as unbroken service with Perpetual Trustees (s 10(a)). Ensure employment contracts for transferred employees are identical initially and prepare policies for subsequent lawful variations in the same manner as before (s 10(b)). Address the exclusion of directors, secretaries and auditors who do not automatically become officers of Perpetual Trustees (s 10(e)).

8. Trustee appointment and subsidiary transfers.

   • If Perpetual Trustees intends to appoint a subsidiary as new trustee for specified trusts, prepare and execute the s 11 instrument within six months and publish the required Government Gazette notice to produce the statutory vesting and discharge effects (s 11(1)-(3)). Coordinate registry filings for any land vested under s 11.

9. Maintain records for potential enforcement.

   • Preserve documentation relating to pre-existing liabilities and securities, because s 5(5) preserves WA Trustees’ rights where liabilities remain with WA Trustees; maintain files for litigation continuity as permitted under s 8 and evidentiary sufficiency under s 9.

10. Deal with third parties, and rely appropriately on s 14.

    • When contracting with third parties in relation to property, rely on s 14’s protection but do not treat it as absolute protection against liability. Maintain internal processes to ensure legal due diligence where excluded assets may be present, because s 14(4) preserves liability in respect of actions regarding excluded assets.

11. Registrar liaison.

    • Proactively liaise with the Registrar of Titles, Registrar of Deeds and Transfers, Commissioner for Corporate Affairs and any mining registrars about required documents and forms to effect registration (s 13). Provide statutory citations and corporate authorisations to facilitate smooth registration and minimise delay.

12. Legal sign-offs and statutory overrides.

    • Obtain legal advice on whether any instruments, statutory constraints, or third-party consents might still practically impede transfer despite the Act’s overrides, and prepare evidence of compliance with requisite publication and registration steps to guard against disputes about whether the Act’s deeming provisions were properly engaged (ss 5(4), 6(g), 11(3)).

13. Recordkeeping and future audit readiness.

    • Keep a compliance folder containing the proclamation date, s 5 appointed day proof, applications to registries, Gazette notices under s 11, s 12 manager certificates, employee transfer notices and all communications with third parties. This will be essential in case of subsequent civil claims or registry audits.

14. Check cross-referenced laws.

    • Review the Transfer of Land Act 1893, Trustee Companies Act 1987, Trustees Act 1962, and the Securities Industry (Western Australia) Code for procedural requirements linked to registration, trustee obligations and securities transfer formalities, as the Act works in concert with those statutes (see ss 5(4), 11(5), 12).

Executing these steps will place Perpetual Trustees and WA Trustees in compliance with the Act’s statutory mechanics, preserve employee entitlements and provide the documentary and registry evidence needed to demonstrate transfer to counterparties, regulators and courts.
