Water Resources Legislation Amendment Act 2007

The Act organises a set of legal concepts and mechanisms to effect institutional transition. Those concepts are defined and deployed in Part 11. The principal concepts and how they operate are:

• Transfer time and transfer order. The transfer time is the moment when section 4 comes into operation; the Minister must make a transfer order before that time that specifies which Commission assets and liabilities go to the Ministerial Body and which go to the State, which proceedings are to be transferred, which instruments are to be read as if references were substituted, and what land care, control and management is to be placed with the Minister for the Environment (s 202, s 204). The transfer order may include schedules that need not be published in the Gazette but must be available for inspection (s 204(3)). The Minister must consult relevant officials if a schedule will be delivered to them (s 204(5)) and ensure any schedule relating to the Registrar of Titles meets the Registrar’s form requirements (s 204(6)). A transfer order can be amended by further Gazetted order before the transfer time but not after (s 204(10)).

• Assignment by operation of the statute. Section 205 provides that at the transfer time assets and liabilities specified in the transfer order are assigned to the Ministerial Body; the residual assets and liabilities are assigned to the State. The Ministerial Body is substituted in specified proceedings, and the State substituted in other proceedings (s 205(a)-(c)). Agreements and instruments specified in the order are treated as if references were changed accordingly (s 205(d)). Pre‑assignment acts in relation to those assets and liabilities are taken to have been done by the successor (s 205(f)). This is a statutory reallocation rather than an executory novation in each instance.

• Continuity of legal acts. Sections 220 to 223 preserve existing licences, directions, determinations, notices, unfinished tasks, agreements and instruments by treating them as granted, made or continued by the relevant successor at the transfer time to the extent they fall within the successor’s functions after the transfer. Section 223 provides for substitution of the successor as party and amendment of references in agreements and instruments.

• Land and care, control and management. Section 206 treats land under the Commission’s care, control and management under the Land Administration Act 1997 or other enactments as having been placed under the care, control and management of the Minister or the Minister for the Environment as appropriate, except for land specifically listed in a transfer order (s 206(2)-(6)). Any conditions on care, control or management that applied before transfer continue to apply (s 206(6)).

• Personnel and employment. The CEO becomes the employing authority for persons for whom the Commission board was the employing authority immediately before transfer (s 213(1)). Persons engaged under particular repealed Act provisions become engaged under the Water Agencies (Powers) Act 1984 s 107 (s 213(2)). The Act preserves pay, accrued and accruing leave entitlements, superannuation rights and continuity of service unless an employee agrees otherwise (s 215). Contracts for services are taken to be engagements by the CEO on the same terms for the remaining contract term (s 216).

• Residual continuity and powers for completion. Where assets or liabilities cannot be assigned by operation of this Division, the Commission is to be taken to continue to hold them until assignment can be effected, and must take practicable steps to ensure assignment (s 208(1)). For that purpose the Commission continues in existence and may act through a Minister‑appointed person who holds office at the Minister’s pleasure and on terms determined by the Minister (s 208(3)-(6)). The Commission as continued has necessary or convenient powers for that purpose (s 208(6)).

• Administrative and evidentiary mechanisms. Relevant officials, including the Registrar of Titles and the Minister administering the Mining Act 1978, are to take notice of the Part and transfer order and record and register documents necessary to show effect (s 210(2)). The Minister is to deliver copies of transfer orders and schedules to the relevant officials (s 210(3)). Section 211 exempts from State tax anything that occurs by operation of this Part or is done under it; the Minister may certify facts for evidentiary purposes (s 211).

• Powers to correct and to make further transitional regulations. The Minister may correct errors in a transfer order by Gazetted order that may be backdated to the transfer time but that cannot prejudice private persons (s 212). If insufficient provision is made in the Part, regulations can be made to give effect to the transition and may have retrospective effect, subject to non‑prejudice protections and a 24‑month limit on making such regulations (s 225).

• Preservation of confidentiality. The confidentiality obligations in the repealed Act section 34 continue to apply to persons who were subject to them immediately before transfer, subject to other enactments that govern disclosure (s 224).

Those concepts form a statutory template for moving functions, legal identity, rights and obligations from the Commission and former Management Authorities into successor structures with explicit legal continuity and limited safeguards against retrospective prejudice to private parties.

The Act affects a defined set of institutional actors, natural persons and legal relationships. The immediate and primary affected parties, as expressed in the text, are:

• The Water and Rivers Commission (the Commission). The Act repeals the Act that created the Commission (the repealed Act) and provides for the assignment of its assets, liabilities, ongoing proceedings and functions to successor entities at the transfer time (s 202, s 205). The Commission is also given limited continuing existence for the narrow purpose of completing transactions that cannot be assigned by operation of the Division, performed through a ministerially appointed person (s 208).

• The Ministerial Body. Defined as the Water Resources Ministerial Body established under the Water Agencies (Powers) Act 1984 s 11, the Ministerial Body is the nominated transferee for assets and liabilities specified in the transfer order (s 202, s 205). The Ministerial Body also becomes successor of the body corporate under the Water Supply, Sewerage, and Drainage Act 1912 (s 209(2)) for specified purposes.

• The State and Ministers. The State is the recipient of residual Commission assets and liabilities not specified for the Ministerial Body (s 205(a)(ii), (b)(ii)). The Minister (the Minister administering the Water Agencies (Powers) Act 1984) is charged with making transfer orders, consulting relevant officials and is a relevant successor where functions transfer to the Minister (s 202, s 204, s 205, s 206). The Minister for the Environment receives care, control and management of certain reserved land under s 206 where applicable.

• The Department, the CEO and departmental staff. The Department is defined as the department principally assisting in administration of the Water Agencies (Powers) Act 1984; the CEO becomes the employing authority for staff previously employed by the Commission and takes over certain engagements (s 202, s 213). Employees of the Commission are affected; their employment is preserved in continuity, with pay and leave entitlements preserved and service continuity treated as service with the Department (s 215).

• Former Management Authorities under the Waterways Conservation Act 1976. By‑laws made by those Authorities in force immediately before transfer remain effective and become by‑laws under the Act as in force after transfer and the State is substituted in proceedings against them (ss 218, 219).

• Holders of licences, permits, directions, determinations, notices and other instruments issued by the Commission. Those instruments continue to have effect and are taken to have been given or made by the relevant successor at the transfer time (s 220).

• Parties to agreements, instruments and contracts to which the Commission or a former Management Authority was party. Agreements and instruments in force immediately before transfer, and that relate to functions of a relevant successor, have the successor substituted as a party and references amended as appropriate (s 223). Contracts for services and other engagement contracts are taken to continue with the CEO under existing terms for their remaining duration (s 216).

• Relevant officials and registers. The Registrar of Titles, the Minister administering the Mining Act 1978 and other persons authorised to record property transactions are required to take notice of the Part and any transfer order, and to register documents necessary to show effect (s 210). Schedules that relate to the Registrar of Titles must meet form requirements (s 204(6)).

• Third parties in proceedings. At the transfer time, the Ministerial Body or the State is substituted as a party to proceedings in which the Commission was a party according to the transfer order (s 205(c)). For former Management Authorities, the State is substituted in proceedings (s 219).

• Persons affected by tax consequences. Section 211 excludes State tax (including stamp duty under the Stamp Act 1921) for anything that occurs by operation of this Part or is done under it, which affects taxpayers and transaction parties as it removes certain tax costs.

• The public and users of water resources. Although Parts 2 to 10 (containing substantive amendments) are omitted from the reprint provided, the preamble indicates the Act changes governance and regulatory structures for water resources and associated authorities, which will affect stakeholders in water supply, sewerage, drainage, irrigation, waterways conservation and associated land management through changes in institutional responsibility, even where those substantive amendments are not set out in this text.

More diffuse effects arise through the State’s substitution for bodies in legal relations, the transfer of management responsibilities for land, the consolidation of administrative registries and accounts under Financial Management Act provisions, and the Ministerial and Governor‑level powers to make consequential regulations or amend statutory rules (ss 204, 207, 3, 225). The Act prescribes who pays (State, Ministerial Body) for liabilities and who decides (Minister in making orders; CEO as employing authority; Minister for Environment for reserved land). Those changes shift legal and administrative responsibilities from the Commission and local Authorities to centralised State and Ministerial structures.

The Act creates specific statutory duties on the Minister, relevant officials, the Commission (for limited purposes), and the CEO, and preserves certain rights of employees, licensees and third parties. The salient duties and rights, with their legal basis, are:

Duties of the Minister

• Make and publish a transfer order as soon as practicable after the relevant section comes into operation, and before the transfer time (s 204(1), (8)). The order must specify assets and liabilities assigned to the Ministerial Body, proceedings to be substituted, instruments to be modified and land for transfer of care, control and management (s 204(1)(a)-(d)).

• Consult with relevant officials about the form and content of any Schedule that will be delivered to them (s 204(5)) and ensure any schedule relating to the Registrar of Titles meets the Registrar’s requirements (s 204(6)).

• Deliver copies of each transfer order and any Schedule to relevant officials (s 210(3)).

• Certify in writing facts that a thing occurred by operation of this Part or was done to give effect to this Part; such a certificate is sufficient evidence unless contradicted (s 211(3)-(4)).

• Make rectifying orders in the Gazette to correct errors in a transfer order or Schedule, subject to non‑prejudice limits (s 212).

Duties of relevant officials and registrars

• Take notice of this Part and any transfer order and record and register documents necessary to show the effect of the Part and order in the appropriate registers (s 210(2)). The definition of relevant official includes the Registrar of Titles and the Minister administering the Mining Act 1978 (s 210(1)).

Duties of the Commission

• Where an asset or liability cannot be properly assigned by operation of the Division, continue to hold it until it is effectively assigned and take all practicable steps to ensure assignment (s 208(1)(a)-(b)).

• Continue in existence for the purpose of performing those functions and perform them through a person appointed by the Minister (s 208(3)-(6)).

Duties and powers of the CEO

• Become the employing authority for Commission employees for Public Sector Management Act purposes (s 213(1)) and engage persons under the Water Agencies (Powers) Act 1984 s 107 where relevant (s 213(2)).

Rights and protections for employees and contractors

• Employees retain pay as defined in the Public Sector Management (Redeployment and Redundancy) Regulations 1994 regulation 3, existing and accruing leave entitlements, rights under superannuation schemes and continuity of service (s 215(1)(a)-(d)). Service with the Commission is treated as service with the Department for continuity purposes (s 215(2)).

• Persons engaged by the Commission under a contract for services immediately before transfer are taken to have been engaged by the CEO on the same terms for the remainder of the contract (s 216).

Rights and continuance of administrative acts

• Licences, permits and permissions granted by former bodies and in force immediately before transfer are taken to have been granted by the relevant successor at the transfer time and continue in effect (s 220(1)). Similarly, directions, determinations and notices are taken to have been given by the relevant successor (s 220(2)).

• Agreements and instruments in force immediately before transfer to which a former body was a party or which refer to a former body have effect after the transfer time as if the relevant successor were substituted as party and references amended (s 223(1)(c)-(d)).

Tax exemption right

• State tax, including stamp duty, is not payable in relation to anything that occurs by operation of this Part or done to give effect to it (s 211(2)). The Minister may provide a certificate confirming such matters (s 211(3)-(4)).

Regulatory and corrective powers

• The Minister can correct transfer order errors by Gazette order and may make that correction retrospective to the transfer time, but cannot by operation of such a provision adversely affect persons other than the State, Ministerial Body or State agencies in a prejudicial way (s 212(1)-(3)).

• Regulations may be made to provide for matters not sufficiently provided for in the Part, including retrospective regulations, limited by non‑prejudice protections and a 24 month window for making regulations (s 225).

These duties and rights distribute decision‑making authority to central State actors, assign operational responsibility to the CEO and Ministerial Body, and preserve statutory protections for employees and third parties affected by the transitions. The Act specifies both substantive outcomes (assignment and substitution) and administrative steps (publication, registration, certification) that the decision‑makers must perform.

Part 11 of the Act is focused on transitional mechanics; it contains no new criminal offences or express civil penalty provisions in the text provided. The Act instead relies on substitution, statutory assignment and continuation mechanisms to transfer liabilities and responsibilities, and on other statutory frameworks for enforcement where applicable. The enforcement landscape under the Act can be outlined from the provisions included:

No express penal sanctions in this Part

• The supplied transitional provisions do not create discrete new penalty provisions, criminal offences or infringement schemes. The text deals largely with assignment, substitution, preservation of rights and administrative duties (see ss 204 to 225). There is no provision in the excerpt that establishes fines, criminal offences, infringement notices, or pecuniary penalties specific to the transitional operation of this Part.

Substitution in proceedings and consequential enforcement

• Section 205(c) substitutes the Ministerial Body for the Commission in proceedings specified in the transfer order and the State for the Commission in all other proceedings. This substitution transfers active enforcement actions and liabilities between parties. For third parties seeking remedies or enforcement based on acts prior to transfer, section 205(e) provides that proceedings or remedies that might have been commenced by or available against the Commission in relation to assets and liabilities assigned by ss 205(a) and (b) may be commenced by or are available against the Ministerial Body or the State as the successor. Thus enforcement and adjudicative consequences follow the statutory reassignment rather than creating new enforcement powers.

Rectification powers with non‑prejudice constraint

• The Minister may correct errors in transfer orders by Gazetted order that may be backdated to the transfer time (s 212). However subsection 212(3) restrains the operation of a rectifying order so that, to the extent it has effect before publication, it does not operate to affect rights of private persons prejudicially or impose liabilities in respect of pre‑publication conduct, other than against the State, Ministerial Body or State agencies. This creates an implicit protection against retrospective enforcement against private parties.

Preservation of existing enforceable rights

• Licences, permits, directions and other legal instruments in force before transfer are taken to have been granted or given by the relevant successor at the transfer time (s 220). This ensures the enforceability of pre‑existing regulatory instruments continues, with the successor responsible for any enforcement action under those instruments.

Administrative registration and evidentiary provisions

• Relevant officials (including the Registrar of Titles and the Minister administering the Mining Act 1978) are to record and register documents to show effect (s 210). The Minister’s certificates under s 211(3) are admissible as sufficient evidence in proceedings except when contradicted (s 211(4)), which reduces evidentiary friction for enforcing tax exemptions or the fact of transfer in administrative or court proceedings.

Reliance on other Acts for penalties and enforcement

• The Act’s transitions bring certain functions and instruments under other existing Acts and regimes. Enforcement for contraventions of substantive duties or regulations will therefore be governed by the statutory and regulatory enforcement mechanisms of those Acts after transfer, rather than by this transitional Part itself. For example, employment issues fall within the Public Sector Management Act framework for employing authorities (s 213) and financial matters fall under the Financial Management Act 2006 where funds are credited to a Departmental account (s 207).

Practical enforcement risk areas

• The primary enforcement risk signalled by the text is litigation over whether the transfer order properly specified assets, liabilities and proceedings to be transferred and whether the Minister’s rectification power has been validly exercised without prejudicing private parties. Sections 204 and 212 create administrative points that could be the subject of judicial review or civil dispute where private rights are said to be affected. The substitution of parties in proceedings (ss 205, 219) will require administrative steps such as filings to be updated, but no penalty is prescribed for non‑compliance within the Act itself.

In short, Part 11 focuses on legal continuity and administrative assignment and relies on existing enforcement regimes in the Acts that become operative for the successors. It provides protections against retroactive prejudice to private parties in the exercise of certain corrective or regulatory powers.

The Act expressly cross‑references and interacts with a range of existing Western Australian statutes and subordinate instruments. The transitional mechanics are designed to relocate functions and legal relationships into the architecture of other Acts. The direct interactions provided by the text include:

• Water Agencies (Powers) Act 1984. The Minister and Ministerial Body are defined with reference to the Water Agencies (Powers) Act 1984 (s 202). The Ministerial Body is the Water Resources Ministerial Body established under that Act s 11. The CEO’s engagement powers and committee establishment are linked to sections of that Act: staff are taken to be engaged under Water Agencies (Powers) Act s 107 (s 213(2)); committees of the Commission are to be taken as established by the Minister under that Act s 109 (s 217(1)). The effect is to fold functions and governance structures into the Water Agencies (Powers) Act framework.

• Land Administration Act 1997. Section 206 treats land under the Commission’s care, control and management under the Land Administration Act 1997 as if it had been placed under the care, control and management of the Minister under s 46 of that Act. Where care and control were exercised under other enactments, s 206(3) treats the land as if placed under the Minister under the enactment as in force after transfer. Conditions attaching to care, control and management immediately before transfer continue to apply (s 206(6)).

• Environmental Protection Act 1986. The Act uses the term Minister for the Environment to mean the Minister to whom the Environmental Protection Act 1986 is committed (s 202, s 206(1)), and places certain land care, control and management responsibilities with that Minister (s 204(1)(d), s 206).

• Public Sector Management Act 1994 and associated regulations. The CEO becomes the employing authority for staff previously employed by the Commission as that term is used in the Public Sector Management Act 1994 (s 213(1)). Employees’ pay entitlements are preserved as defined by the Public Sector Management (Redeployment and Redundancy) Regulations 1994 r 3 (s 215(1)(a)). Contracts for services under Public Sector Management Act s 100 are taken to be engagements by the CEO on the same terms for their remaining duration (s 216).

• Financial Management Act 2006. Section 207 directs that the balance of the Water and Rivers Commission Account immediately before transfer is to be credited to an account established under the Financial Management Act 2006 s 16 for the Department. Section 208(2) explicitly preserves the accountable authority’s duties under the Financial Management Act 2006 despite transitional arrangements.

• Stamp Act 1921 and State tax law. Section 211 defines State tax to include stamp duty chargeable under the Stamp Act 1921 and declares that State tax is not payable in relation to anything occurring by operation of the Part or anything done to give effect to it. The Minister may certify matters for evidence (s 211).

• Water Supply, Sewerage, and Drainage Act 1912. The Ministerial Body becomes the successor of the body corporate constituted under that Act at the transfer time (s 209(2)). Land under care, control and management under that Act is treated as if placed under the Minister in s 46 of the Land Administration Act 1997 or under relevant enactments as in force after the transfer time (s 209(3)).

• Waterways Conservation Act 1976. By‑laws made by former Management Authorities under that Act and in force immediately before transfer continue and become by‑laws under that section as if made by the Minister administering that Act (s 218). Proceedings in relation to former Management Authorities are transferred to the State (s 219).

• Mining Act 1978. The Minister administering the Mining Act 1978 is specifically listed among relevant officials required to take notice of transfer orders and register documents (s 210(1)(b)).

• Interpretation Act 1984. Section 203 explicitly states that this Part does not limit the operation of the Interpretation Act 1984. That preserves standard interpretive rules and consequential matters.

• Reprints Act 1984. The reprint note indicates that Parts 2 to 10 are omitted under the Reprints Act 1984 s 7(4)(e). Those omitted Parts apparently contain the substantive amendments to other Acts listed in the preamble. Because those Parts are omitted in this provided text, their specific content cannot be analysed from this compilation alone.

Mechanisms of interaction and legal consequences

• Statutory substitution and assignment: the Act operates by statutory assignment, substitution of parties in litigation and statutory treatment of instruments and agreements as if they had been made by successors. This is different from private assignment, which normally requires consent or novation; the Act statute‑clears such transfers subject to the protections in ss 212 and 225.

• Registration and recordkeeping: relevant officials are required to register documents and record the transfer, and the Minister must deliver transfer orders and schedules to those officials (s 210). Schedules relating to the Registrar of Titles must meet Registrar form requirements (s 204(6)).

• Preservation and continuity: licences, directions, determinations and notices remain effective and are treated as provided by successors (s 220). This preserves regulatory continuity but moves enforcement competence into successor entities and the enforcement mechanisms of the Acts under which those successors operate.

• Tax and financial management: funds previously held in the Commission account are reallocated into Departmental accounts under the Financial Management Act (s 207), and tax exemptions for transfers reduce transaction costs (s 211).

• Regulatory rulemaking: the Governor may, on the Minister’s recommendation, amend statutory rules that are consequential on enactment of this Act (s 3). Regulations for further transitional matters may be made but only within 24 months of Royal Assent (s 225).

The Act is therefore a connective instrument that rewires legal relationships among existing statutes. Where the text delegates functions to Ministers, the CEO or the Ministerial Body, enforcement and regulatory detail will be governed by those Acts after the transfer. The reprint omission of Parts 2 to 10 prevents assessment of the full substantive statutory interaction concerning the amendments and repeals themselves.

The compilation table attached to the Act gives the legislative metadata for the Water Resources Legislation Amendment Act 2007. The Act received Royal Assent on 21 December 2007. Part 1 and Part 11 commenced on that date (s 2(1)), while Parts 2 to 10 commenced on 1 February 2008 by proclamation (s 2(2); Gazette 31 January 2008 p. 251). The reprint included is the Act as at 4 July 2008.

The preamble to the Act lists the substantive legislative targets the Act was intended to amend or repeal. It states the Act is to amend:

• Country Areas Water Supply Act 1947
• Metropolitan Water Authority Act 1982
• Metropolitan Water Supply, Sewerage, and Drainage Act 1909
• Rights in Water and Irrigation Act 1914
• Swan River Trust Act 1988
• Water Agencies (Powers) Act 1984
• Water Corporation Act 1995
• Waterways Conservation Act 1976

and to repeal:

• Water and Rivers Commission Act 1995
• Water Supply, Sewerage, and Drainage Act 1912

The compilation note indicates that the provisions amending or repealing those Acts have been omitted from the reprint under the Reprints Act 1984 s 7(4)(e). This means that the text provided here contains only the short title, commencement, regulations power (s 3) and the transitional provisions (Part 11). The remainder of the Act that effected substantive amendments and repeals is not present in this reprint extract.

Key dates and operation

• Assent and immediate commencement for Part 1 and Part 11: 21 December 2007 (s 2(1); compilation table).

• Proclaimed commencement for Parts 2 to 10: 1 February 2008 (s 2(2); Gazette).

• Transfer time: defined as the time when section 4 comes into operation (s 202). Section 4 and associated operative provisions are in the omitted Parts 2-10. The requirement that the Minister make a transfer order before the transfer time (s 204(8)) establishes an administrative sequencing tied to the omitted substantive provisions.

Corrective and regulatory windows

• The Minister may amend or rectify transfer orders before the transfer time (s 204(10)). After the transfer time, rectification is still available by Gazetted order under s 212, but subject to the non‑prejudice protections in s 212(3).

• Regulations for further transitional provision may be made under s 225, but only within 24 months after Royal Assent (s 225(5)). Those regulations may be made so as to have effect from the transfer time, subject to the non‑prejudice protections in s 225(3).

Reprint and subsequent amendments

• The supplied reprint date is 4 July 2008. The compilation table reports the reprint and notes the commencement dates. The compilation does not list any amending instruments after 4 July 2008. The absence of later entries in this compilation extract means the text should be checked against current reprints or consolidated legislation for any amendments that post‑date 4 July 2008.

In sum, the Act’s amendment history in the provided material is limited to metadata about assent and commencement and to the statement of the Acts the statute was designed to change. The operative substantive amendments and repeals that effect the institutional reorganisation are contained in Parts 2 to 10, which are omitted from the presented text. Any practitioner seeking the complete legislative change will need to consult the full Act as enacted and any subsequent reprints or amending Acts.

The text provided contains no case law, reported decisions or references to judicial proceedings that interpret or test the Act. The Act itself provides statutory substitution of parties in proceedings (s 205(c), s 219), and enables rectifying orders and regulation‑making to tidy up transitional matters (ss 212, 225), which could be points of litigation where disputes arise. But no litigation history is included in the compilation.

What the Act itself makes likely to generate litigation or disputes

• Specification of transferred proceedings. Section 204 requires the Minister to specify in the transfer order which proceedings are to have the Ministerial Body substituted. Disputes could arise about whether particular proceedings were sufficiently described or whether the transfer order properly encompassed a proceeding. The Act permits additional transfer orders but only before the transfer time (s 204(9)-(10)), which may create contested issues if later claims seek to include proceedings not specified.

• Rectification of transfer orders. Section 212 allows rectifying orders to correct errors and to have effect from the transfer time, but it also limits the rectifying order from having prejudicial retrospective effect on private persons (s 212(3)). Litigation may arise where private parties allege prejudice from a rectifying order or contest whether a rectification is validly within the scope of s 212.

• Assignment of liabilities and unresolved obligations. Section 208 preserves the Commission’s existence for the purpose of completing transactions that cannot be assigned by operation of the Division. Litigation could arise over the timing or effectiveness of such assignments, particularly where foreign law, proprietary restrictions or third party consent requirements obstruct simple statutory reassignment and the Commission must take steps to effect assignment (s 208(1)-(2)).

• Contracts and third party rights. Section 223 provides that agreements and instruments continue to have effect with the relevant successor substituted as a party to the extent they relate to the successor’s functions. Disputes could concern whether an agreement “relates to the functions of a relevant successor” or whether an agreement’s contractual non‑assignment clause is contravened in a way that gives rise to a remedy notwithstanding s 226’s saving provisions (s 223(1), s 226). Section 226 expressly provides that the operation of this Part is not to be regarded as breach of contract, confidence or civil wrong, and does not void or release sureties, which limits some claims; nevertheless litigation might arise to test the scope of s 226.

• Employee entitlements and continuity of service. While s 215 preserves pay and leave entitlements and continuity of service, disputes may arise over whether any particular term or accrued right survives in whole or in part, especially in complex arrangements involving different employer entities or non‑standard contracts.

• Interpretation and interaction with omitted Parts. Because Parts 2 to 10 are omitted in the reprint provided, litigation could focus on interpreting how the transitional Part 11 interacts with the substantive amendments in those Parts. Absent the content of those Parts here, disputes about the intended allocation of functions might be litigated.

Absent from the source are judicial decisions and reported litigation. Practitioners must therefore consult case law databases and subsequent reported decisions to identify how courts have interpreted the transfer, rectification and substitution provisions. The Act itself contains procedural and substantive protections that attempt to constrain retrospective prejudice to private parties, and many likely disputes would turn on the detailed facts of particular transfers, the wording of transfer orders and schedules, and compliance with statutory requirements such as consultation and registration obligations (ss 204(5), 210).

This transitional Part contains several traps for the unwary because it relocates legal personality, assets, liabilities and administrative responsibilities by statutory operation rather than by ordinary assignment, and provides limited but significant discretion. The following are concrete practical points to watch, grounded in the text:

1. Transfer orders may rely on non‑Gazetted schedules. Section 204(3) permits transfer orders to specify things by reference to schedules that need not be published in the Gazette but must be available for public inspection. A schedule not published in the Gazette but only available for inspection creates an informational asymmetry: parties might not learn of the precise items transferred unless they inspect the schedule or are furnished a copy. The Minister must deliver any schedule that will be required to be delivered to relevant officials under s 210 to those officials and consult them on form and content (s 204(5), s 210(3)). Practitioners should check whether a schedule exists and request it, because omission from the Gazette does not mean the schedule is ineffective.

2. Transfer time and timing uncertainty. The transfer time is defined as when section 4 comes into operation (s 202). Section 4 itself and Parts 2-10 are omitted in this reprint, so the exact timing mechanism and date may not be ascertainable from the provided text. Section 204(8) requires transfer orders to be made before the transfer time; failure to make a transfer order in time could complicate assignments. Verify the proclamation dates and the operation of section 4 in the complete Act.

3. Ministerial discretion and ministerially appointed agent for residual tasks. Where assets or liabilities cannot be assigned by operation of the Division, the Commission continues and must act through a person appointed by the Minister who serves at the Minister’s pleasure on terms determined by the Minister (s 208(3)-(5)). That creates discretion concentrated in the Minister to select the person and set terms. The appointed person has powers necessary or convenient for the purpose (s 208(6)), but that concentration of discretion could raise governance and accountability questions if residual transactions are significant.

4. Non‑prejudice ceilings on retrospective correction and regulation. Sections 212(3) and 225(3) make clear that rectifying orders and regulations with retrospective effect cannot operate to affect private persons prejudicially or impose retrospective liabilities on private persons. However, those protections do not apply to the State, the Ministerial Body or State agencies. Where a rectifying order affects private persons indirectly, disputes may arise about whether prejudice occurred and whether the corrective instrument was valid.

5. The Act displaces ordinary assignment and novation mechanics. Section 223 substitutes successors into agreements and instruments and s 205 assigns assets and liabilities by statutory operation. Parties who assumed they needed to consent to novation or assignment may be surprised that statutory substitution has occurred. Clause s 226 attempts to neutralise claims that the operation of the Part amounts to breach of contract, confidence or civil wrong, but contractual parties with third‑party consent clauses should still review whether their contracts contain remedies for statutory substitution or specific consent conditions triggered by change in legal ownership.

6. Tax exemption is automatic but relies on Ministerial certification for evidence. Section 211 declares State tax not payable for things occurring by operation of the Part and allows the Minister to certify that a specified thing occurred. Practitioners should obtain a certificate where transactions involve stamp duty or other State taxes, since the certificate is deemed sufficient evidence (s 211(3)-(4)).

7. Employee entitlements and the phrase “except as otherwise agreed”. Section 215 preserves employee pay and leave “except as otherwise agreed by an employee”. That carve‑out permits changes where employees agree. However, employers and the CEO should document any agreements carefully to avoid disputes about unilateral changes to terms that might otherwise have been preserved.

8. Incomplete public record in this reprint. The reprint note states that Parts 2-10 have been omitted under the Reprints Act 1984 s 7(4)(e). Those Parts presumably contain the substantive amendments and repeals referenced in the preamble. Any legal analysis that depends on the content of those Parts cannot be completed from this extract. Practitioners must consult the full Act as enacted and any amending instruments to understand the complete legislative change.

9. Registration form requirements and the Registrar of Titles. Section 204(6) requires that schedules relating to Registrar of Titles matters be in a form that meets the Registrar’s requirements. Failure to observe form requirements may delay or complicate registration of transferred interests in land. Consult the Registrar’s procedural guidance where land interests are transferred.

10. By‑laws and local instruments for management areas. By‑laws of former Management Authorities become by‑laws under the Waterways Conservation Act 1976 and are treated as having been made by the Minister administering that Act (s 218). Parties dealing with management areas should verify whether any by‑laws changed in wording or operation and whether the Minister has taken steps that affect local regulation or enforcement.

These are not legal conclusions about validity; they are practical points that the text creates and that practitioners should check against the complete enacted Parts and the relevant administrative steps taken under the Act.

Compliance with the transitional mechanics set out in Part 11 requires coordinated administrative, legal and recordkeeping action by Ministers, the Department and relevant officials. The following is a pragmatic checklist rooted in the statutory requirements and potential implementation risks in sections 2, 3 and 202-225.

For the Minister and Minister’s office

• Prepare and publish the transfer order in the Gazette as soon as practicable and before the transfer time. The transfer order must specify assets and liabilities to be assigned to the Ministerial Body, proceedings to be substituted for the Ministerial Body, agreements or instruments to be interpreted with references changed, and land whose care, control and management is to be placed with the Minister for the Environment (s 204(1)).

• If using schedules, ensure the schedule is made available for public inspection (s 204(3)) and consult with any relevant official who will be required to receive the schedule, to agree on form and content (s 204(5)). Ensure any schedule related to Registrar of Titles matters meets the Registrar’s form requirements (s 204(6)).

• Deliver copies of the transfer order and any schedule to each relevant official, such as the Registrar of Titles and the Minister administering the Mining Act 1978, so those officials can record and register documents necessary to show the transfer’s effect (s 210(2)-(3)).

• Certify tax‑exempt items as needed. Where State tax, including stamp duty, may otherwise arise, obtain a ministerial certificate under s 211(3) that the thing occurred by operation of the Part or was done to give effect to it. Keep certified copies for administrative and evidentiary purposes since such certificates are sufficient evidence unless contradicted (s 211(4)).

• Use rectifying powers carefully. If an error in a transfer order is found, exercise the rectifying power under s 212 by Gazetted order. Ensure rectification does not have prejudicial retrospective effect on private parties, consistent with s 212(3).

For the CEO, Department and employing authority

• Take on employing authority duties. At the transfer time the CEO becomes the employing authority for staff for whom the Commission board was the employer (s 213(1)). Ensure payroll, leave records, superannuation settings and continuity of service records are accurately transferred and documented to preserve employee rights (s 215).

• Convert contracts for services. Ensure existing contracts for services remain in effect and are recognised as engagements by the CEO on the same terms for the remaining contract duration (s 216). Notify contractors of the transfer and provide confirmation letters that reflect the statutory conversion.

• Provide for continuity of staff arrangements under s 24 of the repealed Act that become arrangements between the CEO and other employers (s 214). Review any secondments and interagency arrangements and document them under the CEO’s authority.

• Manage residual transactions. Where certain assets or liabilities cannot be assigned by operation of the Division, the Commission continues to hold them until effectively assigned and must take practicable steps to ensure assignment (s 208(1)). Coordinate with the Minister on appointment of the person through whom the Commission will act for this purpose (s 208(3)-(5)). Keep detailed records of steps taken to effect assignment to show reasonable efforts.

For legal teams and contract managers

• Identify and map agreements and instruments to which the Commission or former Management Authorities were parties and assess whether they relate to the functions of a relevant successor so substitution under s 223 applies. Update contract records, notices and counterparties to reflect the statutory substitution and consider whether counterparties will require administrative notifications or formal novation for commercial certainty, notwithstanding statutory substitution.

• Review by‑laws and management area regulations. For by‑laws arising under the Waterways Conservation Act 1976 made by former Management Authorities, verify they are operating as by‑laws under that Act as if made by the Minister (s 218). Notify affected stakeholders and local councils where necessary.

• Check land records and titles. For land whose care, control and management is to be regarded as placed with the Minister or Minister for the Environment under s 206 or s 209, review land registers. Ensure schedules relating to Registrar of Titles meet form requirements and coordinate with the Registrar to update records (s 204(6), s 210).

For registrars and relevant officials

• Take notice and register required documents. The Registrar of Titles and other relevant officials must take notice of the Part and any transfer order and record the documents necessary to show the Part’s effect (s 210(2)). Coordinate with the Minister to ensure copies of transfer orders and schedules are delivered (s 210(3)) and prepare to accept form‑compliant material.

For the Minister administering the Mining Act and other statutory registries

• Prepare to accept the delivered transfer orders and register their effect in mining and other registers where relevant. Confirm format and recordkeeping procedures with the Minister’s legal and registry teams.

For compliance and audit

• Move the Water and Rivers Commission Account balance as required. Transfer the balance to an account established under the Financial Management Act 2006 s 16 for the Department and record the transaction, consistent with s 207. Ensure the accountable authority continues to meet Financial Management Act duties; s 208(2) expressly preserves those duties.

• Preserve confidentiality obligations. Ensure individuals subject to confidentiality under the repealed Act section 34 understand that those obligations continue as amended by s 224(1), subject to other enactments. Update information handling policies and access rules to reflect the continuing obligations.

• Use the regulation‑making route cautiously. If gaps remain, regulations may be made under s 225 to provide further transitional provision. Note the 24 month limit for making such regulations (s 225(5)) and the non‑prejudice safeguards in s 225(3).

Documentation and stakeholder communication

• Issue formal notifications to affected licensees, contractors, employees and counterparties identifying the successor entity, the statutory basis for the substitution (cite ss 205, 220, 223), and any administrative steps they must take.

• Maintain a master register of transferred assets, liabilities, proceedings and instruments, cross‑referenced to the transfer order schedule items and the Gazette notices. Keep copies of any ministerial certificates issued under s 211 and any rectifying orders under s 212.

Testing and audit readiness

• Keep contemporaneous records demonstrating consultation with relevant officials about schedule form and content as required by s 204(5), and retain evidence that instruments delivered to Registrars met their format requirements (s 204(6)).

• Prepare to defend against and manage litigation over specification and rectification by ensuring that transfer orders are drafted with sufficient clarity and that the Minister’s exercise of rectifying and regulatory powers is well documented, including analysis of prejudice concerns under s 212(3) and s 225(3).

In short, compliance requires (1) carefully drafted and published transfer orders and schedules; (2) timely delivery to and cooperation with relevant officials; (3) accurate employee and financial transfers; (4) clear communication with counterparties and licensees; and (5) cautious use of rectification and regulation powers with care to the non‑prejudice protections in the Act. Where the reprint omits Parts 2 to 10, confirm the contents of those Parts before finalising compliance steps that depend on the substantive amendments they contain.
