Warehousemen's Liens Act 1969

The Act turns on a set of interlocking legal concepts: lien, the scope of lienable charges, notice and service, sale by auction as enforcement, priority against registered interests, and court handling of surplus proceeds. Each is specified in the text.

• Lien and its scope. Section 4 declares the warehouseman’s lien over deposited goods, subject to s 6. Section 5 details the monetary scope: lawful charges for storage and preservation (s 5(1)(a)), lawful claims for insurance, transportation and related expenses (s 5(1)(b)), and, upon default, reasonable costs for notice, advertisement and sale (s 5(1)(c)). Subsection 5(2) provides a proportional allocation method where sale-related charges concern multiple items.

• Notice and limitation on rights. Section 6 conditions the lien on the warehouseman giving written notice within three months to certain persons for goods at or above a defined value. The persons who must be notified include those with a PPS Act registration in effect prior to deposit (s 6(1)(b)(i)) and persons with interests of which the warehouseman becomes aware within two months of deposit (s 6(1)(b)(ii)). Subsection 6(2) prescribes the content of the notice: brief description, warehouse situation, deposit date and depositor’s name, and a statement that a lien is claimed. If the warehouseman fails to give the required notice, the lien is void as to that person from three months after deposit (s 6(3)).

• Depositors’ duty to disclose. Section 7 imposes a duty on a depositor, at the time of depositing goods, to give the warehouseman written notice of the name and, if known, the address of every person the depositor knows has an interest in the goods. Failure is a penalty offence (s 7).

• Sale mechanics. Section 8 provides a pathway to sell goods by public auction where charges are due, but the power is subject to several procedural safeguards: specified recipients for the notice of intention to sell (s 8(2)); detailed required contents of that notice including an itemised statement of charges and a demand for payment with a minimum one month notice (s 8(3)); a prescribed advertising regime in two Territory newspapers and timing constraints (s 8(4)-(5)); permission to open sealed packages to ascertain nature of goods provided inventory and statutory declarations are made in the presence of two other persons (s 8(6)-(7)); and a Local Court power to stay further proceedings (s 8(8)). Critically, s 8(9) narrows application: sale under s 8 applies only where some part of the arrears relate to a period more than 12 months before the notice of intention to sell.

• Third-party payment and recovery. Section 9 permits interested persons to pay the amount necessary to satisfy the lien and avoid sale (s 9(1)). If payment is made by a person not primarily liable, they may recover the payment plus 12 per cent interest from the person primarily liable (s 9(3)). If the goods remain stored after such payment, the warehouseman is taken to retain them under the original deposit contract (s 9(2)).

• Court role and preservation of other rights. Section 11 mandates payment of surplus sale proceeds into the Local Court and delivery of accounting and notices to the registrar, with penalties for non-compliance (s 11(1)-(2)). If the Court takes no order within 12 months, the funds go to the Central Holding Authority (s 11(4)). Section 13 allows a court to treat notice requirements as substantially complied with in appropriate cases. Section 15 expressly preserves any lien or power of sale that exists independently of the Act.

• Scope limits. Section 16 clarifies the Act does not authorise sales prohibited by other Territory laws. Section 17 requires licensed auctioneers to conduct auctions.

These concepts interact with external regimes by cross-reference: the Personal Property Securities Act 2009 (Cth) is defined in s 3 and used as a trigger for notice obligations in s 6, and Uncollected Goods Act 2004 is used to define "medium value" for notice thresholds (s 6(1)(a)). The Act therefore sits as a procedural overlay to common law or contractual warehouseman liens and to the national PPS framework.

The Act principally affects three groups of actors: warehousemen, depositors/owners of goods and third-party secured or interested parties. It also engages courts, licensed auctioneers and, indirectly, newspapers in Darwin and Alice Springs used for service and advertising.

• Warehousemen. Warehousemen are the primary beneficiaries of the Act’s rules. The Act defines "warehouseman" in s 3 as a person lawfully engaged in the business of storing goods as a bailee for hire or reward. For such persons the Act creates a statutory lien (s 4), specifies recoverable items (s 5), and provides a statutory sale process subject to notice and advertisement (s 8). Warehousemen acquire obligations as well as rights: they must give notices within specified timeframes (s 6, s 8), maintain records to comply with s 11 when paying surplus into court, adhere to procedures when opening packages and making inventories (s 8(6)-(7)), and ensure auctions are conducted by licensed persons (s 17). Failure to comply can void the lien against notified persons (s 6(3)) and expose the warehouseman to specified penalties (s 7, s 11).

• Depositors and owners. The person who deposits goods is affected in two ways. First, the depositor must, upon deposit, provide written notice to the warehouseman of the identity and, if known, address of every person they know has an interest in the goods (s 7). The penalty for non-compliance is up to 1.7 penalty units. Second, depositors or owners are at risk of enforced sale if charges become due and certain temporal criteria are satisfied (s 8(9)). The Act limits possible remedies for owners in that it states no action lies against any person by reason of a sale carried out under the Act (s 10), which narrows litigation avenues for owners challenging disposal that complied with statutory processes.

• Third-party secured or interested persons. The Act explicitly recognises third-party security or ownership interests. Section 6 requires notice to persons with PPSA registrations in effect before deposit; s 8(2)(c) requires notice to persons holding interests registered under any other Act and ascertainable by ordinary search of relevant registers; s 8(2)(b) and (d) require notice to any person who has served a notice of claim or of whose interest the warehouseman has knowledge. These provisions engage banks, financiers or other secured parties with registered interests and provide a route for them to protect their rights by paying to satisfy a lien (s 9).

• Courts and public authorities. The Local Court is allocated administrative and adjudicative roles: it may stay sale proceedings on application by an interested person (s 8(8)), it receives surplus proceeds (s 11(1)) and can apply those moneys as it thinks fit (s 11(3)). If the Court fails to make orders within 12 months, funds pass to the Central Holding Authority (s 11(4)). Auctioneers under the Auctioneers Act 1935 must conduct sales (s 17). Newspapers published in Darwin and Alice Springs are implicated because of the statutory advertising requirements (s 8(4), s 12(1)(c)).

Who pays and who decides. Costs of storage and related services are recoverable by the warehouseman under s 5; the primary debtor for charges is the person liable under contract or law, and third parties who elect to pay to protect their interests can recover from the primary debtor under s 9(3) with a statutory 12 per cent interest rate. Decision-making is split: the warehouseman decides whether to exercise the lien and commence sale processes, but the Local Court may stay proceedings and will administer surplus funds. The Act places factual decision points on the warehouseman (e.g. identification of interested persons, evaluation of whether arrears include charges older than 12 months) and legal oversight with the courts where disputes arise.

The Act creates explicit duties for warehousemen and depositors, and confers rights on warehousemen and certain third parties. It also prescribes procedural obligations linked to enforcement.

• Warehouseman’s rights. Primary among the rights is a statutory lien over goods deposited for storage (s 4). The lien secures amounts described in s 5(1): storage and preservation charges, insurance, transportation, labour, weighing, packing, coopering and related expenses; and reasonable notice, advertisement and sale expenses where default occurs. Section 8 grants the right to sell goods by public auction to enforce liens where charges are due, subject to the temporal limitation in s 8(9) and procedural prerequisites. Section 10 immunises persons from action by reason of a sale made in accordance with the Act: "No action lies against any person by reason of a sale of goods in accordance with this Act" (s 10).

• Warehouseman’s duties. The warehouseman must, under s 6(1), give written notice of the lien within three months to any person specified by s 6(1)(b), where the goods are of at least medium value per the Uncollected Goods Act 2004. The notice must include specified content (s 6(2)). If the warehouseman intends to sell under s 8, they must give written notice of intention to sell to a list of recipients (s 8(2)), and that notice must contain an itemised statement of charges, a demand for payment with a minimum notice of one month depending on service method, and a statement that goods will be advertised and sold if not paid (s 8(3)). If the warehouseman sells and there are surplus proceeds, they must pay these into the Local Court and deliver a statement of account and copies of notices to the registrar (s 11(1)-(2)). Failure to comply with some of these duties carries penalties (s 11).

• Depositor’s duties. The person depositing goods must give the warehouseman written notice, on deposit, of the name and, if known, the address of every person they know has an interest in the goods (s 7). This is a statutory duty backed by a penalty. Depositors also remain the primary locus of liability for charges unless a third party pays pursuant to s 9.

• Rights of third parties. Persons who have interests in the goods or rights of possession may, by paying the amount necessary to satisfy the warehouseman’s lien, prevent sale or secure the release of goods (s 9(1)). If such payment is made by someone not primarily liable, they may recover the payment plus 12 per cent interest from the primary debtor (s 9(3)). Section 8(8) gives interested persons a route to apply to the Local Court to stay proceedings under s 8.

• Procedural and evidentiary duties. If the warehouseman opens sealed packages to ascertain goods for advertising purposes, s 8(7) requires that the opening occur in the presence of two other persons who must sign and verify by statutory declaration an inventory of the contents. Service of notices is governed by s 12, which prescribes personal delivery, registered post to the last known address, or advertisement in specified newspapers where no address is known. For notices given by advertisement, s 12(2) deems notice to be given on the date of the second publication. Section 13 allows courts to treat defective notices as substantially compliant where appropriate.

• Limits and prohibitions. The Act expressly preserves any lien or power of sale a warehouseman may have apart from this Act (s 15(a)-(b)), and also states the Act does not authorise sales that would otherwise be prohibited by Territory law (s 16). Sales must be conducted by a licensed auctioneer under the Auctioneers Act 1935 (s 17).

The duty-right balance in the Act places obligations on warehousemen to identify and notify secured or interested parties, and to follow precise advertisement and sale processes; it grants them statutory remedies when those steps are properly taken. Depositors must disclose known interested parties, or risk penalties and potential market consequences.

The Act sets civil and criminal consequences for non-compliance and allocates enforcement roles to the warehouseman, the Local Court and criminal sanctions for specific failures.

• Specified penalties. The Act specifies maximum penalties in three places. Section 7 sets a maximum penalty of 1.7 penalty units for the depositor’s failure to notify the warehouseman of persons known to have an interest in the goods at deposit. Section 11(1) requires the warehouseman to pay surplus sale proceeds into the Local Court and attaches a maximum penalty of 4 penalty units or imprisonment for 6 months for failure to do so. Section 11(2) requires delivery to the registrar of a statement of account and copies of notices, and prescribes a maximum penalty of 1.7 penalty units for failure to comply. The text does not set other fines for incorrect notice in lieu of the voiding consequences under s 6(3).

• Voidance of lien against notified persons. Section 6(3) places a remedial consequence on a warehouseman who fails to give required notice within three months: the warehouseman’s lien is void as against the person to whom notice should have been given, as from the expiry of three months from the date of deposit. That is a substantive enforcement mechanism that operates to deprive the warehouseman of lien priority vis-a-vis affected persons.

• Immunity from action for compliant sales. Section 10 provides that no action lies against any person by reason of a sale of goods in accordance with the Act. This is an enforcement protection for the warehouseman and others who participate in a sale compliant with statutory procedures, preventing tort or other suits arising solely from a lawful sale under the Act.

• Court oversight and remedies. The Local Court has a discretionary supervisory role. Under s 8(8) any person with an interest in the goods may apply to the Local Court after service of the notice of intention to sell for an order staying further proceedings under s 8, on such terms and for such period as the Court deems just. Section 11(1) requires surplus proceeds to be paid into the Local Court, which may apply those moneys as it thinks fit under s 11(3). Where the Court has not made an order within 12 months of payment into Court, funds go to the Central Holding Authority (s 11(4)).

• Substantial compliance safety valve. Section 13 gives courts the ability to refuse objections that would release or discharge goods from lien or vitiate a sale where the court considers the notice requirements have been substantially complied with or that it would be inequitable to void rights for non-strict compliance. This functions as an equity-based enforcement instrument allowing courts to uphold otherwise effective liens and sales despite procedural defects.

• Criminal exposure for failure to lodge surplus. The highest criminal exposure in the Act relates to failure to lodge surplus proceeds into the Local Court, attracting imprisonment as a potential penalty (s 11(1)). This imposes a mandatory administrative obligation on the warehouseman post-sale.

The enforcement architecture therefore blends private enforcement (warehouseman power to sell) with public oversight (court stays and receipt of surplus), a deterrent sanction for non-lodgement of surplus, and an evidentiary protection requiring statutory declarations and inventories when opening packages. The Act also contains a statutory mechanism protecting warehousemen from civil actions for sales compliant with its procedures.

The Act explicitly references and interacts with several Territory and federal laws and implicitly operates alongside the common law and other statutory regimes. The text instructs interpreters how to fit the Act into the legal system in several respects.

• Personal Property Securities Act 2009 (Cth). Section 3 defines "PPS Act" as the Personal Property Securities Act 2009 (Cth). Section 6(1)(b)(i) requires the warehouseman to give notice of the lien within three months to any person who has an interest in the goods in relation to which a registration was made under the PPS Act before deposit and whose registration is in effect. Section 8(2)(c) also requires the warehouseman to notify any person who holds an interest that is registered under any other Act and ascertainable by ordinary search. These provisions show the Act is intended to operate contemporaneously with the national personal property securities regime; notice obligations are triggered by PPSA registrations and ordinary register searches. The Act does not purport to displace the PPSA; rather, it provides an additional territorial procedure that works alongside national registration and priority rules.

• Uncollected Goods Act 2004. Section 6(1)(a) imports the concept of "medium value" from s 4 of the Uncollected Goods Act 2004 to determine when the three-month notice obligation arises. That means the application of s 6 depends on an external statutory valuation threshold, which may change if the Uncollected Goods Act 2004 is amended.

• Auctioneers Act 1935. Section 17 requires an auction conducted under the Act to be conducted by a person holding a licence under the Auctioneers Act 1935. This cross-reference imposes licensing and professional conduct requirements external to the Act on sales undertaken under s 8.

• Local Court and Central Holding Authority. The Act prescribes that surplus proceeds be paid into the Local Court (s 11(1)) and provides for the Local Court’s discretion to apply such moneys (s 11(3)). If the Court does not make an order within 12 months, money is paid into the Central Holding Authority (s 11(4)). The Act therefore delegates post-sale funds administration to existing court and central holding infrastructure.

• Territory prohibitions. Section 16(1) and (2) make clear that if a sale of particular goods would be prohibited by another Territory law, the Act does not authorise such a sale. Thus the Act is subordinate to other Territory laws that may forbid sales of certain items.

• Preservation of other liens. Section 15 preserves any lien, power of sale or other right a warehouseman may have apart from the Act. This preserves common law and contractual rights and ensures the Act supplements rather than eliminates pre-existing entitlements.

• Service and publication. Section 12 requires advertisement in specified Territory newspapers as a means of service when an address is unknown, and s 8 requires advertising in newspapers printed in Darwin and Alice Springs. This embeds procedural reliance on local media channels.

The Act therefore operates as a procedural overlay for the enforcement of warehousemen’s liens, calibrated to work with the PPSA for the identification of registered security interests, with the Uncollected Goods Act for valuation thresholds, with auction licensing under the Auctioneers Act, and with Local Court processes for disposal of surplus funds. It does not purport to override these regimes; instead it cross-references and depends upon them for key triggers and procedures.

The endnotes attached to the reprint identify the Act’s origination and its legislative amendments. The Act began as the Warehouseman's Liens Ordinance 1969 (Act No. 59, 1969) with assent 10 December 1969 and commencement 7 January 1970. A sequence of Ordinances Revision Acts and other amendments followed. The List of Legislation and List of Amendments in the endnotes identify amended sections and amending instruments, which should be consulted for precise historical language and timing thresholds.

Key amendments recorded in the endnotes include:

• Ordnances Revision Ordinance 1973 (Act No. 87, 1973), which amended multiple sections. The endnotes repeatedly cite No. 87, 1973 as the source of early structural amendments to ss 3-6, 8 and 17 and elsewhere.
• Ordnances Revision Ordinance 1974 (No. 34, 1974) and No. 69, 1974, which appear in the list as formal amendments to sections 3-5.
• Ordnances Revision Ordinance 1976 (Act No. 27, 1976) with staggered commencements of different sections, affecting ss 1, 2, 3, 4, 5 and 6; the endnotes record which subsections commenced when.
• Local Court (Consequential Amendments) Act 1989 (Act No. 14, 1989) amended s 6 and other sections to adapt to the Local Court changes, with some provisions later removed or remade with subsequent Local Court Acts.
• Statute Law Revision Act 2008 (Act No. 6, 2008) and Justice Legislation Amendment (Penalties) Act 2010 (Act No. 12, 2010) altered s 11 and s 7 penalties and other formalities; the 2010 Act is recorded as having amended s 7 and s 11.
• Personal Property Securities (National Uniform Legislation) Implementation Act 2010 (Act No. 30, 2010) is recorded as amending s 3 and s 6 to reference the PPS Act and aligning notice obligations with PPSA registrations, with certain provisions commencing in 2012 and other removals in 2011 as recorded.
• Local Court (Related Amendments) Act 2016 (Act No. 8, 2016) made changes commencing 1 May 2016.
• Statute Law Revision Act 2023 (Act No. 4, 2023) with assent 2 March 2023 and commencement 3 March 2023 amended s 8 among others.

The List of Amendments in the endnotes maps specific sections to amending Acts (for example, s 3 amended by No. 87/1973, No. 14/1989 and No. 30/2010; s 6 amended by No. 87/1973 and No. 30/2010; s 8 amended by No. 87/1973, No. 14/1989 and No. 4/2023). The endnotes also note that general amendments of a formal nature were made by the Interpretation Legislation Amendment Act 2018 to ss 1, 6, 8 and 17.

Readers needing precise historical language, the effective text at particular dates, or the legislative intent behind specific amendments should consult the cited amending Acts in the endnotes. The Act’s current form reflects iterative adaptation to Local Court reform and the national PPS framework, as well as periodic statute law revision.

The reprinted Act provided contains no reported cases, judicial decisions or litigation history. The text itself identifies procedural points likely to generate disputes but does not list judgments or appellate work. Given the statutory hooks, the points of likely litigation would include:

• Sufficiency of notice and the operation of s 6. Disputes may arise over whether the warehouseman gave notice within the three-month window or whether the person to be notified had a registrable or known interest under s 6(1)(b). Section 6(3) voids the lien as against the person not notified, subject to the court’s equitable power under s 13 to deem substantial compliance.

• Whether goods meet the "medium value" threshold imported from the Uncollected Goods Act 2004 for triggering s 6 notice obligations. That question may require statutory construction and valuation evidence.

• Whether the temporal prerequisite in s 8(9) is satisfied: sales under s 8 apply only where some part of the charges in arrear relate to a period more than 12 months prior to the date on which notice of intention to sell is given. Litigation could test what constitutes "some part" and how arrears are computed.

• Adequacy of advertising and service under s 8(4)-(5) and s 12, including whether service by registered post or by publication in the two Territory newspapers was effective. Section 13 provides a remedial basis to uphold a lien or sale where substantial compliance occurred or where inequity would otherwise result.

• Proper accounting and deposit of surplus proceeds into the Local Court under s 11, and the consequences of failure to comply with the statutory accounting and delivery requirements, which attract penalties.

• Whether a sale was prohibited by other Territory law such that s 16 prevents reliance on the Act. This may involve overlap with consumer protection, firearms, or other regulatory prohibitions.

Although the Act includes s 10 immunising people from action "by reason of a sale of goods in accordance with this Act", litigation could still arise over whether the sale complied with the Act, or over alleged breaches of common law or other statutory duties not displaced by s 10. Section 13 narrows the ability of litigants to succeed on strict compliance grounds where a court finds substantial compliance.

Because no cases are cited in the reprint, practitioners should consult court databases and Local Court records for reported and unreported decisions applying this Act in the Territory to develop precedential insights. The Local Court will be a primary forum because the Act both grants it procedural functions and makes the Local Court the repository for surplus proceeds.

The Act contains several features that create discrete compliance and litigation risks. These are operational risks rather than policy evaluations, each traceable to a specific provision.

• Three-month notice trap. Under s 6(1)-(3), a warehouseman must give written notice of the lien within three months to certain persons for goods of medium value or higher. If the warehouseman fails, the lien is void as against that person from the expiration of the three-month period. The voiding operates automatically as a substantive loss of security, not merely as procedural irregularity. Warehousemen who do not establish robust processes to identify registered and known interested parties risk losing their lien against significant creditors.

• Reliance on external threshold definitions. The trigger for s 6 is the "medium value" definition from s 4 of the Uncollected Goods Act 2004 (s 6(1)(a)). That imports an external statutory metric which may change or require interpretive work. Warehousemen need to be able to identify whether goods meet that threshold at deposit.

• PPSA registration interaction. Section 6(1)(b)(i) references PPS Act registrations in effect prior to deposit. Warehousemen must know how to perform and interpret searches, and must act on the results. Failure to do so can void liens against registered security holders.

• Temporal limitation on sale. Section 8(9) restricts sales under s 8 to cases where some part of the charges in arrear are in respect of a period more than 12 months prior to the date on which the notice of intention to sell is given. Warehousemen cannot rely on s 8 where arrears are recent; that constraint may force alternative enforcement routes or negotiation, and could complicate cashflow expectations and credit terms.

• Strict advertising and publication geography. Section 8(4) requires advertisement at least twice in a daily newspaper printed and published in the City of Darwin and in a newspaper printed and published in the Town of Alice Springs, with specified timing, and s 12(1)(c) prescribes advertisement as a method of service where no address is known. This geographical fixation means rural or non-Territory publication will not satisfy the statute; practitioners must ensure correct publications are used. The timelines are precise: first publication not less than 14 days before sale, second not less than 7 days after the first, and sale held not less than 14 days from the first publication (s 8(4)-(5)).

• Opening sealed packages demands procedure. Section 8(6)-(7) permits opening sealed boxes but requires two other persons to be present who must make, sign and verify by statutory declaration an inventory. Warehousemen lacking access to appropriate witnesses or failing to obtain the required statutory declarations risk invalidating the inventory or exposing themselves to evidentiary disputes about the contents.

• Administrative burden and criminal exposure for surplus. Section 11(1) mandates payment into the Local Court of any surplus proceeds and carries a maximum penalty including imprisonment for failure. The requirement to deliver a statement of account and copies of notices to the registrar is also penalised (s 11(2)). Warehousemen should have systems to channel surplus quickly to the Court and generate the statutorily prescribed documentation.

• Recoverability complexity. Section 9(3) allows third parties who pay to satisfy a lien to recover from the primary debtor plus 12 per cent interest from the date of payment. This creates a predictable but relatively high statutory interest rate; parties should anticipate disputes about who is the "person primarily liable" and the calculation of recoverable amounts.

• Local Court discretion and potential stays. Section 8(8) permits the Local Court, on application by any person having an interest, to stay further proceedings. Stakeholders should assume sales may be delayed by such applications, with consequential logistics and storage costs.

• Substantial compliance safety valve. Section 13 allows courts to uphold liens or sales despite imperfect compliance where substantial compliance exists or where inequity would result. While this can rescue imperfect processes, reliance on equitable remedies is uncertain and may expose parties to litigation costs and delay.

• Preservation of other rights. Section 15 preserves other liens and powers of sale. Warehousemen and secured parties must map overlapping rights and avoid unintended displacement of other enforcement mechanisms.

Practitioners and warehouse operators should be alert to these operational pitfalls, structure intake and notification workflows, use correct publication channels, document inventories and statutory declarations, and coordinate with PPSA searches to manage exposure.

Compliance requires a mixture of front-end intake procedures, ongoing recordkeeping, timely notices, prescribed advertising and sale processes, and court-facing administrative steps. The Act’s provisions yield a checklist approach amenable to operational controls.

1. Intake and disclosure at deposit (s 7).

   • On receipt of goods, the depositor must provide, in writing, the name and, if known, the address of every person the depositor knows has an interest in the goods (s 7). Warehousemen should require depositors to complete a written deposit form that includes this declaration. Keep copies of that form attached to the storage contract file.

2. PPSA and register checks (s 6(1)(b)(i), s 8(2)(c)).

   • Perform a PPSA search against information provided by the depositor to identify registrants with interests in goods. For goods at or above the Uncollected Goods Act "medium value" threshold, the warehouseman must give notice within three months to persons with registrations in effect prior to deposit (s 6(1)(b)(i)). Maintain a documented search record with search date, search criteria and results.

3. Track value threshold (s 6(1)(a)).

   • Determine whether goods meet the Uncollected Goods Act 2004 "medium value" definition. If so, the three-month notice obligation under s 6 is triggered. Make valuation contemporaneously and document basis.

4. Notice of lien within three months where required (s 6(1)-(3)).

   • Prepare written notices that meet the content requirements in s 6(2): brief description, warehouse location, deposit date, depositor’s name, and a statement that a lien is claimed. Keep proof of service: personal delivery receipt, registered post documentation, or publication copies. If notice is not given within three months to a person required under s 6, the lien will be void as to that person from three months after deposit (s 6(3)).

5. Preparing to sell: notice of intention to sell (s 8(2)-(3)).

   • Before selling by auction, give written notice to the persons listed in s 8(2): the debtor liable for charges, anyone who has served a notice of claim of ownership, persons with registered interests ascertainable by ordinary search, and any other known interested persons. The notice must include an itemised statement of charges and demand payment with the minimum notice period applicable (not less than one month from personal delivery or from when notice should reach its destination by post) and a statement that goods will be advertised and sold if not paid (s 8(3)). Preserve copies of notices and proof of service.

6. Advertising and timing rules (s 8(4)-(5), s 12).

   • If charges are unpaid on the day stated, publish adverts at least twice in a daily newspaper printed and published in Darwin and in a newspaper printed and published in Alice Springs. The first publication must be not less than 14 days before sale, and the second not less than 7 days after the first. Hold the sale not less than 14 days from the date of the first publication. Where service by advertisement is necessary due to unknown address, use the same publications and note that the notice is deemed given on the date of the second publication (s 12(2)).

7. Opening packages and inventory (s 8(6)-(7)).

   • If it is necessary to open packages to describe goods for advertising, do so in the presence of two other persons who will sign and verify by statutory declaration an inventory of contents. Store the statutory declarations and inventory with the sale file.

8. Use licensed auctioneers (s 17).

   • Ensure the sale is conducted by a person licensed under the Auctioneers Act 1935. Retain evidence of the auctioneer’s licence.

9. Post-sale accounting and court lodgement (s 11).

   • After sale, compute proceeds and pay any surplus into the Local Court (s 11(1)). Furnish the registrar with a statement of account showing computation and copies of all notices of intention to sell given under s 8 (s 11(2)). Be aware of the penalties for failing to pay surplus into court or to deliver the documents and plan for prompt administrative handling to avoid exposure.

10. Responding to third-party payments and recovery (s 9).

    • If a third party pays to satisfy the lien, acknowledge payment and, if goods remain in storage, treat the deposit as continuing under original terms (s 9(2)). Notify the primary debtor that the third party may recover their payment plus 12 per cent interest from the date of payment (s 9(3)). Document calculations and communications.

11. Prepare for Local Court applications and stays (s 8(8), s 13).

    • Anticipate possible Local Court applications to stay sales. Maintain contemporaneous records demonstrating compliance with notice and advertising requirements and be prepared to rely on s 13 where strict compliance is contested but substantial compliance exists.

12. Recordkeeping and audit trails.

    • Maintain a clear file for each deposit and any enforcement action, including deposit forms, PPSA searches, notices given, proof of service, advertisements, auctioneer licence, inventories and statutory declarations, sale proceeds accounting and court lodgement receipts. These will be critical for defending a sale and for compliance with s 11 filing obligations.

13. Legal coordination.

    • Consider integrating the warehouse contract with express clauses authorising lien enforcement consistent with the Act and requiring depositors to disclose interests at intake. Coordinate with financiers and insurers where goods may be encumbered or of high value.

14. Review regularly.

    • Given cross-references to the PPS Act, Uncollected Goods Act 2004, the Auctioneers Act and Local Court rules, review processes whenever those regimes change.

A practical compliance programme therefore combines intake documentation, PPSA and register checks, timely statutorily compliant notices and advertisements, formal opening and inventory procedures, licensed auctioneers, prompt court lodgement of surplus proceeds and robust recordkeeping to support substantial compliance and defend against challenges.
