Warehousemen's Liens Act 1952

The Act rests on a small set of legal and procedural concepts that determine rights, priorities and remedies.

• Warehouseman. Defined in s 3 as a person lawfully engaged in the business of storing goods as a bailee for hire or reward. The definition limits application to lawful business storage arrangements and not to gratuitous bailees or non-business custodians.

• Statutory lien for warehousemen. Section 4(1) creates a statutory lien on goods deposited for storage with the warehouseman, declared to be in priority to all other claims on the goods. The creation of the lien is subject to the notice regime in s 6. The lien covers the sum of the warehouseman’s charges as specified in s 5.

• Charges covered. Section 5 enumerates the categories of charges forming the lien: storage and preservation; insurance, transportation, labour, weighing, packing, coopering and other expenses in relation to the goods; and reasonable charges for notices, advertisement and sale where default occurs.

• Priority and federal interaction. Section 4(2) declares that the PPSA s 73(2) applies to a lien arising under s 4(1). The Act therefore treats the statutory warehouseman’s lien as one to which s 73(2) of the PPSA applies; the statute’s text establishes that relationship rather than leaving the question to general conflict-of-laws reasoning.

• Notice and preservation of lien. Section 6 requires a warehouseman to give notice of the lien within three months of deposit to a person who satisfies the value threshold referenced to the Criminal and Found Property Disposal Act 2006 s 33(1)(a) and who either has an in-effect PPSA registration prior to deposit or is otherwise known to the warehouseman within a two-month window. The required notice content is prescribed (s 6(2)); methods permitted include personal service and registered post (s 6(3)). Failure to give the required notice voids the lien from the expiry of the three-month period (s 6(4)).

• Sale mechanics. Section 7 permits sale by public auction or other prescribed modes for particular kinds of goods. It prescribes to whom and how a notice of intention to sell must be given (s 7(2)-(4)), what the notice must contain (s 7(4)(a)-(e)), advertising requirements (s 7(5A)-(5B)), procedural safeguards (s 7(6) on opening sealed packages subject to inventory and attestation), and court relief (s 7(7A)-(7B) magistrate-power to stay proceedings). The requirement in s 7(8) that some part of the charges in arrear be for a period over six months before the notice date conditions the practical availability of sale.

• Payment and distribution of sale proceeds. Section 10 sets strict timeframes and pathways: lien satisfaction, payment of surplus to entitled persons not less than 10 nor more than 14 days after sale (s 10(1A)), payment into the Magistrates Court where claims conflict (s 10(2A)), payment to the Treasurer where no claim is made within 10 days (s 10(3)), and documentary verification obligations (s 10(4)). Non-compliance with the payment obligation is an offence subject to a daily monetary penalty (s 10(6)).

• Preservation of other rights. The Act does not displace other liens, powers of sale, or rights a warehouseman may have apart from the Act, and does not affect the enforcement of those rights (s 14).

• Regulations and forms. Section 12 enables the Governor to prescribe notices, modes of sale, verification of statements and penalties (up to specified maxima), and generally to fill out procedural detail.

These concepts determine who must act, when, and how: warehousemen must monitor deposit dates, the identity and registered interests of potential claimants, give form-compliant notices within statutory windows, follow prescribed advertising and sale procedures, account for proceeds and make timely payments or lodge funds in court or with the Treasurer. Interested persons have statutory notice and remediation pathways, including a right to pay to preserve goods (s 8) and a power to seek a stay from the Magistrates Court (s 7(7A)-(7B)).

Primary actors identified and the statutory roles they play:

• Warehousemen. The Act is directed at persons lawfully storing goods for hire or reward (s 3). They are the principal duty-holders: they acquire a statutory lien (s 4), must give notices to preserve that lien (s 6), may enforce the lien by sale under the Act’s procedure (s 7), and must account for sale proceeds in accordance with s 10. Warehousemen bear compliance costs: record-keeping to identify deposit dates, parties with interests, postage/advertising costs, and the administrative burden of preparing prescribed notices, statements of account and verification documents (s 6(2), s 10(4), s 12).

• Persons with registered or known interests in the goods. The Act singles out two categories of people who must be notified: those with an interest in the goods who have a registration under the PPSA that pre-dates deposit and is in effect, and persons of whose interest the warehouseman becomes aware within two months after deposit (s 6(1)(b)(i)-(ii)). Those persons are the intended recipients of the s 6 notice where the goods’ value meets the statutory threshold (s 6(1)(a)). They can preserve their interest by responding to notices and, in specified circumstances, by paying the amount necessary to satisfy the lien (s 8(1A)-(1B)).

• Person primarily liable for charges. The warehouseman must give notice of intention to sell to the person liable as debtor for the charges (s 7(2)(a)). That triggers a requirement to deliver an itemised statement of warehouseman’s charges in the sale notice (s 7(4)(c)) and provides the debtor with a one-month minimum period to pay (s 7(4)(d)).

• Claimants and owners. Persons claiming ownership or other interests may serve a prescribed form of notice on the warehouseman asserting their claim; the warehouseman must give them notice of intention to sell if they have served such a notice (s 7(2)(b)). Where there are conflicting claims to surplus, claimants are affected by the requirement that surplus be paid into the Magistrates Court (s 10(2A)).

• Third-party payors. A person claiming an interest or right of possession who pays the warehouseman before sale to satisfy the lien can stop further sale proceedings with respect to the goods paid for (s 8(1A)). Such a payer can recover the payment from the person primarily liable as a debt, plus statutory interest at 4% per annum or a prescribed rate (s 8(3)). The Act thus creates a practical remedy and cost-recovery pathway for third-party payors.

• Magistrates Court. The Magistrates Court is the supervisory forum under the Act: it may receive surplus funds where claims conflict (s 10(2A)), may make orders as to those funds (s 10(2B)), and has express power to stay sale proceedings on application by an interested person (s 7(7A)-(7B)). The Act identifies the Magistrates Court at the place nearest to the warehouseman’s premises as the relevant court.

• The Treasurer and the Consolidated Account. Where no claim to surplus is made within 10 days after sale the warehouseman must pay the surplus to the Treasurer who credits it to the Consolidated Account (s 10(3)). A claimant can reclaim money paid to the Treasurer within six years upon satisfying the Treasurer of ownership (s 10(5A)-(5B)). The Treasurer’s acceptance of money and subsequent payment operations are procedural consequences for claimants and warehousemen.

• Regulators / Executive (Governor). The Governor may make regulations setting forms, modes of sale for particular goods, verification requirements and penalties for regulation breaches (s 12). Those regulations will shape the practical obligations and potential penalties applicable to warehousemen and other actors.

Who bears costs and who receives benefits. Warehousemen receive the legal benefit of a priority lien and an express statutory procedure to recover charges by sale (s 4(1); s 7(1)). Warehousemen also bear the administrative and financial costs of notices, advertisements and any required sale machinery, and face a penalty for failure to pay surplus funds as required (s 10(6)). Persons with interests in goods must monitor deposits and registrations and may incur costs to respond, claim, or pay to preserve goods (s 6; s 8). Where surplus funds are unclaimed, the public (via the Consolidated Account) ultimately receives the funds unless a claimant reclaims within six years (s 10(3), (5A)).

The Act therefore allocates enforcement rights and procedural burdens in a way that gives warehousemen an explicit priority and enforcement channel, while imposing notice, time and verification-based safeguards for owners and other claimants.

The Act establishes a set of concrete duties that warehousemen must perform and rights available to warehousemen and other parties. Key statutory duties and rights include:

Duties on warehousemen

• Maintain status as a lawful business bailee. The statutory entitlement is confined to a person lawfully engaged in the business of storing goods as a bailee for hire or reward (s 3).

• Give notice to interested persons within prescribed time. To preserve a lien against particular categories of interested persons, the warehouseman must give notice within three months after deposit where the goods meet the value threshold and the person either has an earlier PPSA registration or is known to the warehouseman within two months after deposit (s 6(1)). The notice must be in the prescribed form and contain specified particulars (s 6(2)-(3)).

• Give notice of intention to sell. Before selling goods under s 7, the warehouseman must give written notice of intention to sell to the debtor liable for the charges, to persons who have served a prescribed owner-claim notice or whose interest the warehouseman has notice of, and to any other person of whose interest the warehouseman has knowledge (s 7(2), (4)). The notice must include a description of the goods, location and deposit date, an itemised statement of charges, demand for payment with a minimum notice period, and a statement that goods will be advertised for sale if unpaid (s 7(4)(a)-(e)).

• Advertise the sale in prescribed newspapers and wait statutory minimum periods. If charges remain unpaid past the deadline, the warehouseman must publish at least two advertisements, with an interval of at least seven days, in a newspaper circulating in the locality and, where that newspaper is not daily, in a daily newspaper circulating in the local government district of Perth, and ensure the sale occurs not less than 14 days from the first publication (s 7(5A)-(5B)).

• Take reasonable steps to ascertain nature and description of goods for advertising and not open sealed packages except with two witnesses and inventory sworn by statutory declaration (s 7(6)).

• Account correctly and meet payment windows for surplus. Following sale, the warehouseman must satisfy his lien then pay any surplus to entitled persons not less than 10 nor more than 14 days after sale, or pay surplus into the Magistrates Court where claims conflict (s 10(1A), (2A)). Where no claim is made within 10 days, surplus must be paid to the Treasurer within 14 days (s 10(3)). The warehouseman must deliver verified duplicate statements of account when paying the surplus into court or to the Treasurer (s 10(4)).

• Criminal/penal duty: pay surplus into court or to the Treasurer as required; failure is an offence with a specified pecuniary penalty for each day of default (s 10(6)).

Rights of warehousemen

• Statutory lien in priority to all other claims. The warehouseman has a lien declared to be in priority to all other claims on goods deposited with him for storage (s 4(1)). That priority is qualified by the statutory notice regime (s 6).

• Right to sell goods to enforce lien. The warehouseman may sell goods subject to the lien by public auction or other prescribed modes for particular goods as one remedy to enforce lien or recover charges (s 7(1)).

• Right to include related lawful charges in the lien. The lien covers storage/preservation and related expenses including insurance and transportation, as well as reasonable costs for notices and sale (s 5).

• Right to recover expenses paid to preserve goods. A third-party payer who satisfies the lien may recover the payment as a debt from the person primarily liable, plus statutory or prescribed interest (s 8(3)).

Rights and remedies of other parties

• Right to be notified. Persons with an interest who have prior PPSA registrations or whose interests are known to the warehouseman are entitled to a s 6 notice where the prescribed value threshold is met (s 6(1)).

• Right to prevent sale by paying the lien. A person claiming an interest or right of possession can prevent a sale by paying the amounts necessary to satisfy the lien and associated costs prior to sale (s 8(1A)-(1B)). If payment concerns only some of the goods, expenses are apportioned proportionately (s 8(1B)).

• Right to apply to the Magistrates Court for a stay of sale. Any person having an interest in the goods may apply to the Magistrates Court at the place nearest the warehouseman’s premises for a stay of further proceedings under s 7, and the court may stay on terms it deems just. The court’s power is available regardless of the value of the goods or interest (s 7(7A)-(7B)).

• Right to claim surplus funds. Persons entitled to surplus from sale may claim within 10 days; where claims conflict the warehouseman must pay surplus into the Magistrates Court (s 10(1A), (2A)).

Court powers and administrative discretions

• Magistrates Court may receive and order application of funds paid into court and may stay proceedings under s 7 upon application (s 7(7A)-(7B); s 10(2A)-(2B)). The Act specifies the Magistrates Court nearest the warehouseman as the locus for these matters (s 7(7A); s 10(2A)).

• Regulatory power. The Governor may make regulations about forms, particulars, modes of sale for particular goods, verification and penalties, shaping how statutory duties are to be performed in practice (s 12).

Timelines and quantums

• Three-month notice window for s 6 notices measured from deposit (s 6(1)); failure to comply voids the lien as from the expiry of that period (s 6(4)).

• Minimum period of at least one month for payment after notice of intention to sell for personal delivery (s 7(4)(d)) or the postal equivalent calculated by the due course of post.

• Advertising intervals and minimum sale lead times: two advertisements with at least 7 days interval; sale no less than 14 days from first advertisement (s 7(5A)-(5B)).

• Post-sale surplus payment window: not less than 10 nor more than 14 days after sale to entitled persons, or sooner payment into court where claims conflict (s 10(1A), (2A), (3)).

These duties, rights and timeframes define the operational steps a warehouseman must take to preserve and enforce a lien and the mechanisms available to interested parties to preserve or vindicate their interests.

The Act provides a mixture of civil enforcement mechanisms, criminal-style penalties for non-compliance with specified duties, and court-based supervisory measures.

Criminal/pecuniary penalties

• Failure to pay surplus. Section 10(6) makes it an offence for a warehouseman who fails to pay money into the Magistrates Court or to the Treasurer as required by s 10. The penalty specified in the Act is $4 for every day during which the default continues. The statutory text sets this daily penalty rate; the Act also contains provisions enabling regulations to prescribe penalties (s 12(f)) not exceeding $20 for breaches of regulations.

Civil recovery and remedies

• Sale for enforcement. The principal enforcement mechanism for recovering charges is sale of the goods subject to the lien (s 7(1)). The Act permits sale by public auction or a prescribed alternative for particular types of goods (s 7(1), s 12(d)). The sale procedure is intended to give the warehouseman a practical route to realise goods to satisfy charges.

• Recovery from primary debtor. If a third party pays to satisfy the warehouseman’s lien, that third party may recover the amount paid together with interest at 4% per annum or such other rate as is prescribed, as a debt from the person primarily liable (s 8(3)). This gives an express post-payment recovery right to protect third-party payors.

Court supervision and interlocutory relief

• Magistrates Court stay power. The Magistrates Court nearest to the warehouseman’s premises may, on application by any person having an interest in the goods after service of the notice of intention to sell, make an order staying further proceedings under s 7 for such period and on such terms as it deems just (s 7(7A)). The court’s power is expressly available irrespective of the value of the goods or interest (s 7(7B)). This gives interested parties an accessible forum to obtain prospective relief against sale.

• Payment into court and court orders. Where there are conflicting claims to surplus or the rights of a claimant are uncertain, the warehouseman must pay the surplus into the Magistrates Court within 14 days after sale (s 10(2A)). The money so paid may be applied by order of the court as it thinks fit (s 10(2B)). The court’s involvement centralises contested surplus funds and removes unilateral disposition by the warehouseman while claims are litigated or otherwise resolved.

Administrative sanctions via regulations

• Regulations may prescribe penalties for regulatory breaches not exceeding $20 (s 12(f)). The Act empowers the Governor to prescribe procedural and form requirements, and breaches of those regulations may attract such monetary penalties as the regulations provide.

Enforcement risk and compliance exposure

• Voidance of lien for failure to give s 6 notice. A failure to give a notice required by s 6 of the Act results in the lien being void on and from the expiration of three months from the date of deposit of the goods (s 6(4)). That statutory consequence is a significant enforcement risk for warehousemen, since failure to comply with notice duties removes the statutory priority anchoring the lien.

• Strict timelines for sale and post-sale accounting. The statutory time windows for advertising, sale, and payment of surplus constrain the warehouseman’s enforcement timeline. Deviations can trigger obligations to pay surplus into court, or in extreme cases criminal-style penalties for failing to remit proceeds as required (s 10(1A), (2A), (3), (6)). Section 9 offers some relief: courts may treat notices as substantially complied with where strict compliance has not occurred but substantial compliance or equity supports upholding the lien or sale (s 9(1)).

• Opening of sealed packages subject to inventory. Liability can arise from wrongful inspection; s 7(6) permits opening sealed packages only in presence of two other persons who must inventory and verify by statutory declaration. Failure to follow that procedure could expose the warehouseman to liability for damage or dispute over contents, affecting the lawfulness of sale.

Interplay of civil and criminal procedures

• The Act blends civil enforcement (sale, recovery of debt) with penal sanctions for specified defaults (s 10(6)) and regulatory penalties for prescribed breaches (s 12(f)). The Magistrates Court is the central enforcement and supervisory tribunal for contested payments and stays (s 7(7A)-(7B); s 10(2A)-(2B)).

Taken together, the enforcement architecture gives warehousemen a potent statutory route to recover charges but imposes detailed procedural and temporal obligations that, if breached, can materially erode or forfeit the statutory protections and expose the warehouseman to financial penalties and court interference.

The Act explicitly references and imports concepts from other statutes and leaves open interaction with other rights and powers. The statute itself supplies three clear points of cross-reference.

Personal Property Securities Act 2009 (Commonwealth)

• Section 4(2) declares that s 73(2) of the PPSA applies to a lien arising under s 4(1) of this Act. The Act thereby treats the statutory warehouseman’s lien as one to which the PPSA provision on certain types of security interests applies. The Act also references PPSA registrations in its notice regime: s 6(1)(b)(i) requires notice to a person having an interest in the goods in relation to which a PPSA registration was made before the deposit of the goods and the registration is in effect. The Act therefore uses PPSA registration status as a trigger for notice duties and declares direct application of a particular PPSA subsection to the warehouseman’s statutory lien.

Criminal and Found Property Disposal Act 2006 (Western Australia)

• Section 6(1)(a) makes the s 6 notice obligation conditional on the goods being of, or greater than, the value prescribed under s 33(1)(a) of the Criminal and Found Property Disposal Act 2006. The Act therefore imports an external monetary threshold for when the statutory notice duty applies. The text treats the external Act’s threshold as the operative test for required notice to interested parties, without reproducing the monetary value.

Magistrates Court jurisdiction and the Treasurer

• The Act assigns procedural functions to the Magistrates Court (s 7(7A)-(7B); s 10(2A)-(2B)) and involves the Treasurer and the Consolidated Account for disposition of unclaimed surplus funds (s 10(3), (5A)-(5C)). Those references place the Act within the existing institutional framework for courts and state financial administration.

Other liens and rights

• Section 14 preserves and does not affect any lien, power of sale or other right that a warehouseman may have apart from the Act, whether arising under contract or by operation of law, or their enforcement. The Act therefore operates alongside pre-existing contractual and common-law rights rather than displacing them. Practically, that means contractual lien provisions, charges, and other statutory or common-law remedies may coexist with, supplement, or in some cases compete with the Act’s statutory lien depending on factual priority and compliance with the Act’s procedural safeguards. The Act does not extinguish those external rights.

Regulatory prescription

• Section 12 gives the Governor power to prescribe the forms of notices and particulars required under the Act, modes of sale for particular goods, the manner of verification of statements to court or Treasurer, and penalties for breaches of regulations up to specified maxima. The exercise of that power will determine practical interfaces with other administrative or procedural requirements.

Transitional application and commencement

• Section 11 applies the Act to goods deposited both before and after commencement, with a caveat about not giving s 7 notices before three months from commencement. The compilation table details commencement and amendment chronology, showing that the Act has been amended multiple times and reprinted.

Interpretive and practical consequences

• The Act’s explicit cross-references make PPSA registration status and value thresholds under the Found Property Act material facts for the warehouseman’s procedural obligations. Practitioners must therefore monitor PPSA registrations and be aware of the external Act’s prescribed value threshold. The statutory preservation of other rights (s 14) and court-managed mechanisms for contested funds (s 10(2A)-(2B)) suggest that inter-legislation disputes will typically be resolved by reference to statutory priority mechanisms (as declared in s 4(1) and via s 4(2)'s PPSA linkage), contractual terms, and the procedural protections and timelines the Act furnishes.

The supplied statutory text and compilation notes do not include any case law or judicial decisions applying or interpreting the Warehousemen’s Liens Act 1952. No specific cases are named within the Act as authoritative or illustrative. The Act does, however, create a number of statutory touchpoints that indicate probable judicial forums and issues likely to arise in litigation:

• Magistrates Court as the primary forum for contested surplus funds and interlocutory relief. The Act designates the Magistrates Court nearest to the warehouseman’s premises to receive surplus payments where claims conflict and to make orders regarding their application (s 10(2A)-(2B)). The same court has an express power to stay sale proceedings under s 7 on application by an interested person (s 7(7A)-(7B)). Accordingly, litigated disputes about competing claims to sale proceeds and interlocutory stays are likely to be heard in the Magistrates Court under the statutory scheme.

• Substantial compliance doctrine by statutory direction. Section 9(1) instructs that where notices under ss 6 or 7 have not been strictly complied with, a court that considers there has been substantial compliance or that it would be inequitable to void the lien or sale may allow the lien or sale to stand. That provision signals judicial discretion to uphold transactions despite procedural imperfections, subject to judicial assessment of substantial compliance or equitable considerations.

• Issues likely to recur in litigation. The Act’s procedural and timing prescriptions create litigation-prone fact patterns: (a) whether the warehouseman gave the required s 6 notice in time and in the prescribed form, (b) whether the obligations around s 7 sale notices, advertising and the opening of sealed packages (including inventory verification by two persons and statutory declaration) were properly followed, and (c) disputes over entitlement to surplus funds and whether the warehouseman complied with s 10 accounting and remittance obligations. Section 8(3) also establishes a pathway for third-party payors to recover sums paid, giving rise to debt recovery actions by the person who made payment against the person primarily liable.

Because the statutory text contains no reported decisions, practitioners and researchers requiring judicial interpretation of the Act’s provisions, the meaning of substantial compliance under s 9, the operation of the s 4(2) declaration as it interacts with the PPSA, or disputes under s 10 concerning payment into court and the Treasurer, will need to consult jurisdictional case law databases or the Magistrates Court decisions for judicial treatment of these issues. The Act’s text indicates where litigation is likely to occur but contains no litigation history or decided cases within the supplied material.

Practitioners should be alert to a number of practical traps and statutory pitfalls that arise directly from the Act’s requirements and drafting. The following are concrete points extracted from the statutory text that commonly trip up parties if overlooked.

1. Void lien for missed s 6 notice window (s 6(4)). The lien is void from the expiration of three months after deposit if a required s 6 notice is not given. The s 6 notice duty is conditional: it arises where goods meet a value threshold prescribed under the Criminal and Found Property Disposal Act 2006 s 33(1)(a) and where the person either has an earlier PPSA registration or is known to the warehouseman within two months (s 6(1)). Failure to identify which deposits trigger the s 6 obligation, to check PPSA registrations, or to serve the prescribed notice within three months can eliminate the statutory lien.

2. External statutory thresholds determine notice obligations (s 6(1)(a)). The Act ties the s 6 notice obligation to a monetary threshold contained in another statute. Practitioners must identify the current prescribed value in the Criminal and Found Property Disposal Act 2006 (the Act references it) to determine whether s 6 applies. The Warehousemen’s Liens Act itself does not state the quantum; reliance on internal memory or outdated thresholds risks non-compliance.

3. PPSA registration status matters (s 6(1)(b)(i)). The Act requires notice to persons who had a PPSA registration in effect before deposit. Warehousemen must check the PPSA register at deposit time. Failure to do so can lead to an otherwise avoidable loss of statutory priority.

4. Sale only where some charges in arrear for more than six months (s 7(8)). Section 7’s sale mechanics apply "only to cases in which some part of the charges in arrear are in respect of a period more than 6 months prior to the date upon which the notice of intention to sell is given." Attempting to sell under s 7 in other circumstances risks procedural invalidity and challenges from claimants.

5. Minimum notice periods and postal reckoning (s 7(4)(d)). The itemised demand must give not less than one month (for personal delivery) or the period until the notice should reach destination by due course of post where sent by post. Miscalculating postal time or misaddressing registered post can inadvertently shorten the debtor’s statutory notice period and expose the warehouseman to challenge.

6. Advertising and minimum delay rules (s 7(5A)-(5B)). Advertisements must be published at least twice with an interval of at least 7 days, and the sale must be held not less than 14 days from the date of the first advertisement. Failure to meet these specific timing and publication requirements can be a basis for challenge to the sale’s validity.

7. Opening sealed packages is tightly controlled (s 7(6)). To ascertain nature and description for advertising, the warehouseman may not open a sealed or closed box unless two other persons are present who make and sign an inventory and verify it by statutory declaration. Failure to follow this provides a ground to dispute the inventory or sale and may expose the warehouseman to claims.

8. Third-party payment apportionment and recovery (s 8(1B), (3)). If only some goods are paid for by a claimant, expenses must be apportioned proportionately; third-party payors can recover payments plus statutory interest from the person primarily liable. Warehousemen must be prepared to account for partial payments and the related apportionment methodology.

9. Strict timelines for surplus payment and payment into court (s 10(1A), (2A), (3)). The warehouseman must pay surplus within 10-14 days, or, where claims conflict, must pay into the Magistrates Court within 14 days after sale. Failure to timely account and remit opens the warehouseman to the daily penalty under s 10(6). The Act also requires duplicate verified statements to be furnished to court or Treasurer (s 10(4)). Administrative oversight here generates statutory non-compliance.

10. Nominal statutory penalties but statutory consequences remain. The daily penalty for failing to pay money into court or to the Treasurer is set at $4 per day (s 10(6)) and the regulations may prescribe penalties up to $20 (s 12(f)). The nominal quantum should not obscure the material commercial risk of being ordered to pay disputed sums, having reputational and litigation costs, or losing the statutory priority if procedural steps are defective.

11. Substantial compliance safety valve is discretionary (s 9(1)). Section 9 allows courts to validate notices where there has been substantial compliance or where equity dictates, but this is a judicial discretion and not a statutory right. Warehousemen should not rely on s 9 as a shield for systemic non-compliance; it is an exception for courts to apply where appropriate.

12. Interaction with other contractual or common-law rights (s 14). The Act preserves other liens and powers of sale. Practitioners must reconcile contractual lien provisions, the statutory lien under this Act, and any other statutory or equitable securities, taking particular care where parties contractually allocate rights or where PPSA registrations affect priority.

13. The Magistrates Court is the primary forum for contested funds and stays (s 7(7A)-(7B), s 10(2A)-(2B)). Planning for litigation and interim relief should therefore target the local Magistrates Court, not higher courts, unless appeal avenues are later invoked.

14. Reprints and amendments matter for historical deposits. Section 11 applies the Act to deposits both before and after commencement but includes constraints on giving notices under s 7 for three months after commencement. The compilation table shows multiple amendments and reprints; practitioners handling older deposits should verify which version governed the transaction at the relevant time.

These "gotchas" are concrete operational and legal compliance points emerging from the statutory text. Addressing them requires active record-keeping, checking external statutory thresholds and PPSA registrations, careful timing of notices and advertising, and adherence to the prescribed forms and verification steps.

The Act imposes specific procedural steps that warehousemen and interested parties must observe. The checklist below follows the statute’s timing and form requirements and outlines practical steps to reduce enforcement risk. All references are to the Act’s provisions.

1. Confirm status as a warehouseman (s 3). Ensure the business activity fits the statutory definition: storing goods as a bailee for hire or reward. If operations are not strictly business storage arrangements, the statutory lien may not be available.

2. Record deposit dates accurately. The three-month period for giving s 6 notices and other time-driven obligations flow from the date of deposit (s 6). Maintain an auditable deposit ledger with dates, depositor identity, goods description and value estimates.

3. Check PPSA registrations promptly at deposit (s 6(1)(b)(i)). For goods meeting the external value threshold, search the PPSA register at the time of deposit to identify any registrations in effect that pre-date deposit. Treat any registered secured party name and contact details as potential recipients of s 6 notice.

4. Determine whether the goods meet the value threshold requiring s 6 notice (s 6(1)(a)). The Act references the value prescribed in the Criminal and Found Property Disposal Act 2006 s 33(1)(a). Warehousemen must determine the current prescribed threshold in that Act and apply it. Where the statutory threshold is met, the s 6 notice duty is triggered.

5. Give s 6 notices within three months where required (s 6(1)-(4)). Use prescribed forms (or draft prospective forms for adoption under s 12) and include mandated particulars: brief goods description, warehouse location, deposit date, depositor name, statement claiming lien and other prescribed particulars (s 6(2)). Serve personally or by registered post; keep proof of service and postal tracking (s 6(3)). Failure to give required notice voids the lien from the expiration of the three-month period (s 6(4)).

6. Maintain knowledge records of owners and interested parties. Section 6 applies notice obligations to persons of whose interest the warehouseman becomes aware within two months after deposit. Document any communications indicating ownership or other interests to avoid disputes about when the warehouseman acquired knowledge for notice purposes.

7. Before selling, issue a written notice of intention to sell with required contents and to required recipients (s 7(2)-(4)). The recipient list includes the person liable as debtor for charges, any person who has served a prescribed owner-claim notice, and any other person whose interest the warehouseman has notice of. Include a brief description, warehouse location, deposit date, itemised statement of charges, demand for payment with minimum one-month personal notice (or postal equivalent), and statement that goods will be advertised and sold if unpaid (s 7(4)(a)-(e)). Serve personally or by registered post and retain proof.

8. Ensure charges in arrear meet the six-month arrears test before relying on s 7 sale process (s 7(8)). Do not attempt to use s 7 sale mechanics where the arrears do not include some part older than six months prior to the notice date. If charges are not that old, seek alternative remedies.

9. Advertise sale in compliance with s 7(5A)-(5B). If charges remain unpaid after the notice deadline, publish at least two advertisements describing the goods and stating time and place, with at least seven days between ads, in a local newspaper circulating where the sale will be held; if that newspaper is not daily, also advertise in a daily newspaper circulating in the local government district of Perth. Ensure the sale is scheduled not less than 14 days after the first advertisement.

10. When ascertaining the nature/description of goods for advertising, follow the sealed-package procedure (s 7(6)). Do not open sealed or closed boxes unless two independent persons are present who will make, sign, and verify by statutory declaration an inventory of the contents. Keep signed and sworn inventory records to support advertising and sale.

11. Offer interlocutory relief preparedness. Expect that any interested person may apply to the Magistrates Court for a stay under s 7(7A). Be prepared to respond to such applications and to provide evidence supporting the warehouseman’s compliance with statutory notice and sale procedures.

12. Conduct the sale in the prescribed mode (s 7(1), s 12(d)). If regulations prescribe a mode of sale for particular goods, follow that mode; otherwise, sell by public auction as permitted by s 7(1). Keep records of the auctioneer, sale date, bids, and receipts.

13. Post-sale accounting and surplus handling (s 10). After sale, apply proceeds to satisfy the lien. Pay any surplus to entitled persons not less than 10 nor more than 14 days after sale and provide a statement of account setting out how the amount was computed (s 10(1A)-(1B)). If conflicting claims to surplus exist or the rights of a claimant are uncertain, pay the surplus into the Magistrates Court within 14 days after sale (s 10(2A)) and furnish duplicate verified statements and prescribed particulars (s 10(4)). If no claim is made within 10 days after the sale, pay surplus to the Treasurer within 14 days and supply required verification (s 10(3), (4)).

14. Preserve documentary verification and comply with verification regulations (s 10(4), s 12(e)). Provide duplicate copies of statements verified in the prescribed manner. Because the Act contemplates prescribed verification procedures, monitor regulations for required forms and attestation methods.

15. If a third party pays to satisfy the lien, provide a receipt and apportion expenses properly (s 8). Where a third party pays for some goods only, apportion expenses in proportion to the amounts necessary to satisfy the lien on the goods claimed as required by s 8(1B). Where a third party pays, be prepared to accept the third-party’s recovery claim against the primary debtor (s 8(3)).

16. Monitor regulation-making and comply with forms and prescribed particulars (s 12). The Governor may prescribe forms and particulars for notices and statements. Keep updated copies of any regulations enacted under s 12 and incorporate them into internal compliance checklists.

17. Keep rigorous records. The Act’s liabilities and remedies turn on dates, notices, postal proofs, inventories, statements of account, and sale particulars. Maintain contemporaneous records with signed and dated copies of notices, proof of service, advertisement copies, statutory declarations for inventories, sale receipts, and duplicate statements.

18. Budget for costs. The lien includes reasonable charges for notice, advertisement and sale (s 5(c)). Charge and document these costs so they are reflected in itemised statements of charges accompanying notices of intention to sell (s 7(4)(c)).

19. Plan for contested surpluses. Where surplus is significant or claims may arise, consider paying surplus into the Magistrates Court to avoid exposure for wrong disposition (s 10(2A)). Where surplus is unclaimed after 10 days, prepare to remit to the Treasurer and to manage any subsequent claims within six years (s 10(3), (5A)-(5C)).

20. Legal advice in dispute scenarios. When facing contested ownership claims, disputes about notice sufficiency, or potential stays, seek early legal advice to prepare Magistrates Court applications and to weigh whether to proceed with sale or seek court directions, given s 9’s substantial-compliance safety valve is discretionary.

By following these steps and documenting compliance with each statutory requirement, warehousemen materially reduce the risk that a sale will be set aside, the lien voided, or statutory penalties incurred. The Act’s procedural detail makes record-keeping, postal proof and verification the most important compliance levers.
