The Commercial Banking Company of Sydney Limited (Merger) Act 1982

The Act operates around a small set of legally decisive concepts that control what transfers and what remains with the original institutions.

• Undertaking. The Act defines "undertaking" for CBC and CBC Savings Bank to mean, subject to excluded assets, all property of the bank and all rights and liabilities of the bank (s 3, definition of undertaking). This is the primary unit that vests in the continuing entities under s 5(1).

• Excluded assets. The Act expressly excepts three categories from the undertaking: (a) documents required by law to be kept by CBC or CBC Savings Bank, (b) prescribed securities held immediately before the appointed day otherwise than by way of security, and (c) land held immediately before the appointed day otherwise than by way of security (s 3, definition of excluded assets). Excluded assets therefore remain outside the statutory vesting unless dealt with by other provisions of the Act.

• Deeming of references and continuity. Multiple deeming rules convert pre‑existing references to the merging banks into references to the continuing banks (s 5(2), s 6(a), s 6(b), s 7(a), s 7(b)). Places of business, negotiable instruments, bailments, securities and contractual relationships are continued in the name of the continuing entities as of the appointed day (s 5(3); s 6(c)-(g); s 7(c)-(g)). Legal proceedings, judgments and awards continue as if brought by or against the continuing entities (s 9).

• Property and registration. For land under the Transfer of Land Act 1893 that vests by virtue of this Act, the continuing bank or savings bank is deemed to be the registered proprietor where CBC or CBC Savings Bank was registered (s 5(4)(a)) and the Registrar of Titles is required, on application, to register the continuing entity as proprietor (s 5(4)(b)). The Act also authorises registrars and registration authorities to record documents as necessary to implement the vesting (s 14).

• Security, charges and prescribed securities. The Act carries security rights and priorities forward to the continuing entities (s 6(c), s 7(c)). For prescribed securities vested by the Act, a certificate by a Managing Director is deemed to be a sufficient stamped transfer instrument (s 13(1)). Company charges of which the continuing bank becomes the holder are treated for Companies (WA) Code s 206(1) purposes as having been complied with if a specified certificate is lodged (s 15).

• Employees and trustees. The Act deems employees of CBC to become employees of the continuing bank on the appointed day without breaking service, preserving existing terms and conditions initially (s 11(a)-(b)). Directors, secretaries and auditors do not automatically become officers of the continuing entities (s 11(e)). Trust property held by Commercial Nominees Pty. Limited in Western Australia vests in National Nominees Limited on the appointed day and the new nominee acquires the same powers and discretions as the former trustee (s 12(1)-(2)).

• Protection and non‑inquiry. The Act relieves third parties, registrars and persons dealing with the banks from any duty to enquire whether property is an excluded asset (s 16(1)). If a dealing is entered into by or with the continuing entities in relation to an excluded asset, it is deemed in favour of the other party (s 16(2)-(3)). The Act preserves the continuing banks’ retention of liabilities and liabilities of the original banks in specified circumstances (s 5(5)) and preserves liability for anything done in relation to excluded assets (s 16(4)).

• Overriding effect. Several provisions operate "notwithstanding anything to the contrary in any other Act or law" (s 5(4), s 12(3)). This indicates the Act is intended to have precedence for the matters it addresses within Western Australia.

These concepts are the legal building blocks that convert separate corporate entities and their assets, liabilities and contracts into continuity of operations under new corporate names while preserving existing rights, priorities and legal remedies.

The Act changes the legal counterparty for a broad set of stakeholders and imposes administrative steps on registration authorities and corporate officers.

• Customers and depositors of CBC and CBC Savings Bank. The relationship that existed immediately before the appointed day between each bank and its customer or depositor becomes the same relationship between the continuing bank or continuing savings bank and the customer or depositor (s 6(f); s 7(f)). Rights of set‑off and the substantive rights and liabilities that existed immediately before vesting are preserved as between the continuing entity and the customer or depositor (s 6(f); s 7(f)). Customers therefore trade with a different legal entity from the appointed day but are to have continuity of contractual rights and liabilities by statutory deeming.

• Creditors and secured parties. Creditors with securities or charges to CBC or CBC Savings Bank have their securities recognised by the continuing entities. Security held as security for debts incurred before the appointed day is available to the continuing bank for discharge of that debt and, where the security extends to future or prospective debts, is available for future debts owed to the continuing bank (s 6(c); s 7(c)). The continuing entities are entitled to the same rights and priorities as CBC or CBC Savings Bank would have had but are also subject to the same liabilities in relation to those securities (s 6(c); s 7(c)).

• Employees of CBC. All CBC employees cease to be employees of CBC and become employees of the continuing bank on the appointed day (s 11(a)). Their contracts of employment are deemed unbroken for statutory and contractual purposes, and initial terms and conditions of employment remain identical to the pre‑existing terms until varied (s 11(a)-(b)). Transferred employees are not entitled to receive any payment or other benefit solely because of the transfer (s 11(c)). Directors, secretaries and auditors of CBC and CBC Savings Bank do not transfer into office with the continuing entities by virtue of the Act (s 11(e)).

• Trustees and beneficiaries under trusts administered by Commercial Nominees Pty. Limited. All property in or subject to the laws of Western Australia held immediately before the appointed day by Commercial Nominees Pty. Limited as trustee vests in National Nominees Limited to be held upon the same trusts (s 12(1)). Commercial Nominees is wholly discharged from trustee obligations for that property, and National Nominees acquires the same powers and discretions as its predecessor (s 12(2)(a)-(b)).

• Registrars and recording authorities. The Registrar of Titles is required to register the continuing bank or savings bank as proprietor of land that has vested by operation of the Act, on application (s 5(4)(b)). The Act authorises the Registrar of Titles, Registrar of Deeds, Commissioner for Corporate Affairs, the Mining Registrar and any person authorised by an Act to record transactions affecting estates or interests in land or other property to take cognisance of this Act and record necessary documents (s 14). That imposes an administrative duty on these authorities to give effect to the vesting.

• Corporate officers and managing directors. The continuing bank’s Managing Director, or an officer acting under delegation from him, is given specific powers to certify vesting and effect transfers. A certificate signed by the Managing Director is a sufficient instrument of transfer for prescribed securities vested by the Act (s 13(1)). A similar certificate satisfies the requirements of Companies (WA) Code s 206(1) for company charges if lodged as specified (s 15).

• Registrants and persons dealing with land or excluded assets. The Act relieves persons dealing with the continuing banks, CBC, CBC Savings Bank and registrars from any duty to enquire whether property is an excluded asset (s 16(1)). That affects the due diligence practices of counterparties and registration officials by statutory deeming.

• The Crown. The Act expressly binds the Crown (s 4). This means Crown interests are subject to the Act’s provisions where applicable.

Who pays and who bears risk. The principal shifts in legal responsibility occur by statutory operation rather than contractual novation. The continuing entities assume most property, rights and liabilities forming the undertakings (s 5(1)), while excluded assets remain outside the automatic vesting (s 3). Third parties are insulated against inquiry about excluded asset status (s 16(1)), which shifts practical risk management away from counterparties and towards the banks and registration authorities in resolving disputes over excluded assets (s 16(4)).

The Act creates specific duties, rights and administrative steps that parties must observe and that registrars and corporate officers must perform.

• Vesting duty and right. On the appointed day the undertaking of CBC vests in the continuing bank and the undertaking of CBC Savings Bank vests in the continuing savings bank (s 5(1)). That is a statutory duty on the appointed day that effects ownership, rights and liabilities in Western Australia.

• Deeming of references. Instruments referring to CBC or CBC Savings Bank made before the appointed day are to be read as references to the continuing entities except where the instrument relates to an excluded asset (s 5(2)). This gives parties a statutory right to treat pre‑existing instruments as if they bound or benefited the continuing entities, except where excluded assets are involved.

• Registration obligations. The Registrar of Titles must, on application by the continuing bank or continuing savings bank, register the applicant as the proprietor of land in the State that has vested in the applicant by the Act (s 5(4)(b)). The Registrar is also empowered to register instruments executed by the continuing banks even if the relevant bank has not yet been registered as proprietor (s 5(4)(c)). This confers a right on the continuing banks to apply for registration and an obligation on the Registrar to act.

• Security holder rights. Security held by CBC or CBC Savings Bank as security for debts owed before the appointed day remains available to the continuing entities for discharge of those debts and, where the security extended to future debts, for future debts owed after the appointed day (s 6(c); s 7(c)). The continuing entities thereby acquire the benefits, priorities and liabilities attached to pre‑existing securities.

• Contractual continuity. Contracts, agreements, leases, licences and instruments made or given to CBC or CBC Savings Bank before the appointed day that were in effect immediately before the appointed day (except where they relate to excluded assets) are binding on and enforceable by or against the continuing entities as if they had been the contracting party (s 6(g); s 7(g)). This is a statutory right to enforce and be bound by pre‑existing contractual relations.

• Employee rights and employer duties. On the appointed day each employee of CBC becomes an employee of the continuing bank, with service deemed unbroken for statutory and contractual purposes (s 11(a)). The continuing bank is obliged to keep the terms and conditions identical on the appointed day and thereafter until varied (s 11(b)(i)). These provisions create rights for transferred employees to continuity of service and initial terms, and a duty on the continuing bank to recognise and preserve those terms at least at the start.

• Trustee powers. National Nominees Limited, on being vested with trust property formerly held by Commercial Nominees Pty. Limited, acquires the same powers, authorities and discretions in relation to the trust property as the former trustee (s 12(2)(b)). The former trustee is released from its trustee obligations in relation to that property (s 12(2)(a)). Beneficiaries have the right to have the trust property held and administered by National Nominees in accordance with the same trusts.

• Certification and administrative rights. The Managing Director of the continuing bank, or an officer acting under delegation, may sign certificates that are statutory substitutes for transfer instruments for prescribed securities and for satisfying company charges registration requirements (s 13(1); s 15). This creates a practical administrative right to use statutory certificates to effect transfers and registrations.

• Evidence and procedural rights. Documentary evidence admissible against CBC or CBC Savings Bank prior to the Act remains admissible against the continuing entities (s 10(1)). Sections 89 to 96 of the Evidence Act 1906 continue to apply to bankers’ books and entries made before the appointed day (s 10(2)). Parties retain the procedural right to continue legal proceedings by or against the continuing entities (s 9(1)).

• Non‑inquiry and protections. Persons dealing with the banks, registrars and title examiners are relieved from the duty to see or inquire whether property is or is not an excluded asset (s 16(1)). If a dealing is entered into by the continuing banks in relation to an excluded asset, the dealing is deemed in favour of the other party as if the excluded asset had vested (s 16(2)). This creates a statutory protection for third parties from the consequences of mistaken belief about excluded assets, though liability for actions relating to excluded assets is preserved (s 16(4)).

• Preservation of residual rights. If a liability to CBC immediately before the appointed day remains with CBC on or after that day, CBC retains and may enforce the same rights in respect of that liability, including rights under any related security (s 5(5)). This preserves rights where the statutory vesting does not, for whatever reason, transfer a specific liability.

These duties and rights are framed as statutory transfers and deeming rules. They prescribe who can enforce what, who must register title changes, who signs the necessary certificates, and how employees and trustees are to be treated at the point of transfer.

The Act contains no express criminal sanctions or pecuniary penalties. Enforcement falls into the civil and administrative domains via statutory vesting, registration rights and the ordinary civil process.

• Civil enforcement via continuity and remedies. Legal proceedings to which CBC or CBC Savings Bank was a party immediately before the appointed day may be continued by or against the continuing entities (s 9(1)). Judgments, orders or awards obtained before the appointed day may be enforced by or against the continuing entities (s 9(2)). These provisions carry forward civil enforcement mechanisms, permitting parties to obtain or enforce remedies against the continuing banks in the same way they could against the transferring banks.

• Property and registration mechanisms. The Registrar of Titles is instructed to register continuing entities as proprietors of land vested under the Act on application (s 5(4)(b)). The Act authorises registrars and other recording authorities to take cognisance of the Act and record such documents as are necessary to give effect to the vesting (s 14). Those registration mechanisms are the administrative means by which ownership and security interests are recognised and made enforceable against third parties.

• Statutory qualifications about excluded assets. Section 16 protects third parties who deal with the banks from being obliged to inquire into excluded asset status (s 16(1)). It also deems that transactions by the continuing entities in relation to excluded assets are valid in favour of the counterparty (s 16(2)-(3)). These provisions reduce litigation risk for counterparties and registrars, and channel enforcement issues back to the institutions themselves by preserving the continuing banks’ liability in respect of what was done in relation to excluded assets (s 16(4)).

• Certificates as sufficient instruments. The Act gives effect to transfers of prescribed securities and compliance with company charge registration requirements through certificates signed by the continuing bank’s Managing Director or authorised officer (s 13(1); s 15). These certificates are statutory substitutes for formal transfer instruments, and their acceptance by registration authorities is a practical enforcement mechanism. The Act deems those certificates to be sufficient notwithstanding other Acts or instruments (s 13(1)).

• Preservation of existing rights and securities. Security rights, priorities and liabilities are preserved and transferred to the continuing entities as appropriate (s 6(c); s 7(c)). This preserves enforcement through secured remedies and priority claims in insolvency or enforcement actions.

• Crown bound. The Act expressly binds the Crown (s 4). That means Crown entities cannot rely on Crown immunity to avoid compliance with the Act’s vesting or registration consequences.

Because the Act is primarily a statutory vesting and deeming statute it relies on existing civil enforcement processes, property registration systems and corporate regulatory offices rather than creating new enforcement bodies or penalty regimes. Administrative compliance by the continuing entities and registration authorities is necessary to convert the statutory vesting into recorded title and to allow enforcement against registered interests. The Act preserves liabilities and rights that parties may enforce under ordinary civil law and regulatory processes.

The Act is drafted to operate alongside, and in some respects to override, other statutory regimes relevant to land, evidence, companies, securities and trustees.

• Transfer of Land Act 1893. The Act expressly deals with registered estates or interests in land "being land under the provisions of the Transfer of Land Act 1893" and deems the continuing bank or continuing savings bank to be the registered proprietor of such estates or interests of which CBC or CBC Savings Bank was the registered proprietor (s 5(4)(a)). The Registrar of Titles is instructed to register the continuing entities on application (s 5(4)(b)). Section 12(5) replicates that approach for estates or interests vested in National Nominees Limited. Those provisions direct how the statutory vesting is to be reflected in land registration systems governed by the Transfer of Land Act 1893.

• Evidence Act 1906. The Act preserves the application of sections 89 to 96 of the Evidence Act 1906 with respect to bankers’ books of CBC and CBC Savings Bank and to entries made before the appointed day (s 10(2)). It also provides that documentary or other evidence admissible against CBC or CBC Savings Bank before the Act remains admissible for or against the continuing entities (s 10(1)). This ensures pre‑existing evidentiary regimes continue to operate for transactions and records preceding the vesting.

• Companies (Western Australia) Code. Section 15 deems that subsection (1) of s 206 of the Companies (WA) Code has been complied with in respect of charges of which the continuing banks become holders by virtue of the Act if a specified certificate is lodged in the manner required. This supplies an administrative carve‑out to ensure that company charge registration formalities are treated as satisfied upon lodging the statutory certificate.

• Securities Industry (Western Australia) Code. The Act uses the term "prescribed securities" defined by reference to the Securities Industry (Western Australia) Code (s 3). For those prescribed securities that vest by virtue of the Act, the Act provides that a certificate signed by the continuing bank’s Managing Director is a sufficient stamped instrument of transfer (s 13(1)). This interfaces the statutory vesting with securities transfer formalities under the local securities code.

• Trustees Act 1962. The Act’s definition of a reference to Commercial Nominees Pty. Limited holding as trustee includes acting as a trustee as defined in the Trustees Act 1962, as custodian trustee, nominee and person charged with management or administration of property (s 12(4)). This ensures the statutory trustee substitution interacts with the legal forms of trusteeship under the Trustees Act 1962.

• Notwithstanding clauses. The Act contains explicit "notwithstanding anything to the contrary in any other Act or law" language in relation to vesting registered estates or interests in land and the appointment and discharge of trustees (s 5(4), s 12(3)). Those clauses indicate the Act was intended to prevail over contrary statutory or instrument provisions to the extent necessary to effect the vesting and trustee substitution.

• State of New South Wales Act. The preamble notes that The Commercial Banking Company of Sydney Limited (Merger) Act 1982 of New South Wales provides for corresponding vesting in New South Wales and that the Western Australian Act supplements that State Act for Western Australian matters. The preamble records the NSW Act as the immediate external legislative antecedent and rationale for similar treatment in Western Australia.

Overall, the Act is designed to dovetail with existing land registration, evidence, company and trust law by providing statutory mechanisms and certificates that registration authorities and courts should accept. It also uses overriding language to ensure that, for the matters the Act addresses, statutory vesting, trustee substitution and certificate‑based transfers operate smoothly notwithstanding other potentially inconsistent provisions.

The compilation table and notes in the Act record a concise amendment and commencement history for the statute as it appears in the provided source.

• Original enactment and commencement. The Act received assent on 27 August 1982 and came into operation on 1 January 1983 (see s 2 and the compilation table entry noting Gazette 15 October 1982 p. 4057). The appointed day is the day of commencement as proclaimed under s 2.

• Reprint. A Reprint 1 of the Act is noted as being current as at 7 September 2007 in the compilation table. The reprint consolidates the text as at that date.

• Formatting amendment. The Preamble was amended by the Standardisation of Formatting Act 2010, s 50 (No. 19 of 2010), with that amendment commencing on 11 September 2010 (see compilation table and note). The compilation table records that the Standardisation of Formatting Act 2010 effected an amendment to the Preamble. The Act’s substantive operative provisions, as reproduced, remain those enacted in 1982 with the Preamble text updated for formatting purposes in 2010.

• Notes about uncommenced provisions. The notes include an "Uncommenced provisions table" in the compilation material associated with the published text, showing a reference to the Evidence Act 2025 Pt. 12 Div. 22 as uncommenced. That entry is part of the legislative database notes and does not indicate an amendment to this Act itself.

No other amendments, repeals or substantive changes to the main operational provisions are recorded in the compilation table and notes supplied. The Act contains its own commencement mechanism (s 2) and since it is tightly framed around a single corporate vesting event, its main operative effects were designed to be triggered on a specific appointed day. The only recorded post‑enactment amendment in the provided materials is the formatting amendment to the Preamble by the Standardisation of Formatting Act 2010.

The Act text and accompanying compilation notes provided do not include or reference any case law, decisions or recorded litigation history concerning the Act. The source materials name no cases, no reported decisions and no judicial interpretations. The Act is primarily a statutory vesting instrument and the compilation notes record its passage, commencement and a formatting amendment; they do not supply examples of judicial enforcement, declaratory relief or contested litigation.

Practitioners and researchers should therefore note that no litigation history is supplied in the statute text or in the compilation notes provided here. If litigation about interpretation, classification of excluded assets, the scope of vesting, trustee substitution or the effect of s 16 protections has occurred, those materials are not part of this source and would require a separate search of case law databases, tribunal records and court reports. The Act, as presented, contains explicit deeming provisions and "notwithstanding" language intended to reduce the scope for dispute, but the text itself records no judicial outcomes or precedent.

This section identifies technical points, friction areas and implementation particulars in the Act that merit attention because they change legal status in ways that can produce operational consequences.

• Excluded assets carve‑outs are narrow but operationally significant. The Act defines excluded assets narrowly as (a) documents required by law to be kept by CBC or CBC Savings Bank; (b) prescribed securities held otherwise than by way of security; and (c) land held otherwise than by way of security (s 3). A determination whether a particular document, prescribed security or parcel of land falls within those categories can materially affect whether it vests. Parties should not assume all bank assets automatically vest; classification questions matter.

• Non‑inquiry protection shields third parties but preserves institutional liability. Section 16(1) removes any duty on registrars and persons dealing with the banks to inquire whether property is an excluded asset. That reduces transactional friction for third parties and registrars. However, s 16(4) preserves liability of the banks in respect of anything done or purporting to have been done in relation to excluded assets. This means that while third parties are protected procedurally, underlying disputes about excluded asset status and liability remain a matter between the banks and affected parties.

• Liabilities that remain with the original banks retain their rights. If a liability to CBC before the appointed day remains a liability to CBC afterwards, CBC retains enforcement rights in respect of that liability (s 5(5)). Practically, this can create parallel enforcement streams where some liabilities transfer and others remain, potentially complicating creditor recovery and insolvency analyses.

• Employee governance issues. The Act deems each CBC employee to have unbroken service with the continuing bank and initial terms and conditions are preserved (s 11(a)-(b)). However, directors, secretaries and auditors do not transfer by virtue of the Act (s 11(e)). Operational governance changes therefore require explicit appointment processes for corporate officers; absence of automatic transfer for directors and auditors may require board reconstitution to manage the continuing bank’s affairs in Western Australia.

• Certificates as substitutes for transfer instruments. Prescribed securities vested by the Act can be transferred by a certificate signed by the continuing bank’s Managing Director or delegated officer, and that certificate is "deemed to be a sufficient duly stamped instrument of transfer" (s 13(1)). While administratively efficient, this process concentrates reliance on executive certification. Similarly, s 15 deems compliance with a statutory company charge requirement upon lodging a specified certificate. Parties reliant on formal instrument checks should confirm the authenticity and authority of certificates.

• Trustee substitution effects on beneficiaries. National Nominees Limited is vested with property formerly held by Commercial Nominees Pty. Limited as trustee and acquires the same powers and discretions (s 12(1)-(2)). Beneficiaries should note that, absent express contrary instrument, their trust property is now administered by a different legal entity with identical trust powers. Documents referring to the former trustee are to be read as references to National Nominees Limited (s 12(2)(c)). However, the discharge of the former trustee and substitution are effective notwithstanding contrary instrument provisions (s 12(3)), which may alter administrative recourse for beneficiaries relying on naming in trust instruments.

• Registration timing and required applications. The Registrar of Titles will register the continuing entities as proprietors "upon the application of" the continuing bank or savings bank (s 5(4)(b)). That requires proactive administrative steps by the continuing entities; the statutory vesting exists by operation of the Act, but recorded title changes depend on application and registration action. Similarly, registration authorities are empowered to record documents "necessary to give effect to this Act" (s 14), which may be operationally interpreted in different ways by different registration offices.

• Interaction with underlying statutes. The Act contains "notwithstanding anything to the contrary in any other Act or law" statements in relation to land vesting and trustee substitution (s 5(4), s 12(3)). While these clauses are strong, practitioners should consider the possibility of residual statutory or regulatory rules outside the Act’s scope, particularly in cross‑jurisdictional contexts.

• Limited explicit remedy or penalty framework. The Act focuses on vesting and continuity, not on enforcement measures or penalties for non‑compliance by the continuing bank or registrars. Where administrative steps are required, delays or errors will be addressed under the ordinary law rather than through Act‑specific penalties.

These "gotchas" arise from the Act’s combination of statutory vesting, narrow exclusions and reliance on certification and registration steps. Practitioners should plan for classification work on excluded assets, proactive registration applications, verification of statutory certificates, and careful handling of employee and trustee transitions.

The Act does not create a broad compliance regime of fines and schedules; compliance in practice requires observing the statutory mechanisms and completing specific administrative steps to give effect to the vesting and to protect third party rights.

• Proclaim the appointed day. The Act comes into operation on a day to be fixed by proclamation (s 2). The continuing entities and relevant authorities must ensure the appointed day is recorded and that internal processes are aligned to that date.

• Identify and classify excluded assets. Parties implementing the transfer should undertake an asset classification exercise to identify documents required by law to be kept, prescribed securities held otherwise than by way of security, and land held otherwise than by way of security as defined in s 3. This classification determines what vests and what remains outside the statutory vesting and is the starting point for subsequent steps.

• Lodge registration applications for land. For vested land under the Transfer of Land Act 1893, the continuing bank or continuing savings bank should apply to the Registrar of Titles for registration as proprietor, in accordance with s 5(4)(b). The Act permits registration of instruments executed by the continuing bank even before the applicant is registered as proprietor (s 5(4)(c)), but practical title assurance requires timely application and follow‑through with the Registrar.

• Use statutory certificates where appropriate. For prescribed securities vested by the Act, obtain a certificate signed by the Managing Director or an officer acting under delegation stating the prescribed securities have vested; that certificate is, by s 13(1), a sufficient duly stamped instrument of transfer. Similarly, to satisfy Companies (WA) Code s 206(1) for charges, lodge a certificate acceptable to the Commissioner for Corporate Affairs signed by the Managing Director of the continuing bank (s 15). Ensure certificates are prepared in the form required by the relevant authority and that delegation procedures are robust.

• Maintain continuity for customer relationships and securities. Treat customer and depositor relationships as having become relationships with the continuing entities as of the appointed day (s 6(f); s 7(f)), and ensure banking operations, set‑off processes and account records reflect that transition. For securities and charges, ensure that documentation evidencing security rights is available and that administrative steps to record any necessary transfers or filings are completed to maintain priority and enforceability (s 6(c); s 7(c)).

• Employee transition steps. Implement employee transfer protocols in line with s 11: treat each CBC employee as transferring to the continuing bank with unbroken service; maintain identical terms and conditions at commencement unless legitimately varied thereafter; confirm that no payment is due merely because of the transfer (s 11(a)-(c)). Address governance by separately appointing directors, secretaries and auditors where necessary, since they do not transfer by operation of the Act (s 11(e)).

• Trustee substitution actions. For trust property vested in National Nominees Limited under s 12(1), ensure records reflect the trustee substitution; communicate with beneficiaries as appropriate; ensure National Nominees exercises the same powers and discretions as the former trustee (s 12(2)(b)). Update any corporate or trust registers and asset custody arrangements in Western Australia to reflect the new trustee.

• Coordinate with registration authorities. Use the authorisation in s 14 to obtain necessary entries in the Registrar of Titles, Registrar of Deeds, Commissioner for Corporate Affairs and other registers. Coordinate with the Mining Registrar or other relevant registrars for non‑land property where applicable. Keep copies of applications and certificates lodged under ss 13 and 15 as evidence of compliance.

• Preserve evidentiary material. Maintain bankers’ books and documentary evidence for entries made before the appointed day; s 10(2) preserves the operation of Evidence Act 1906 ss 89-96 for bankers’ books and makes them admissible with respect to entries made before the appointed day. Ensure record retention policies and access to relevant records for litigation or regulatory review.

• Monitor residual liabilities and enforceable rights. Compile schedules of liabilities that may remain with CBC or CBC Savings Bank under s 5(5), and where liabilities remain with the original entities, be prepared to enforce or defend rights against the correct legal party. Also, track any dealings involving excluded assets where s 16 applies and preserve records of what was done to address potential post‑transaction disputes.

• Apply statutory protections in dealings. Counterparties and registrars may rely on s 16(1) to avoid inquiring into excluded asset status, but entities should nonetheless maintain internal controls and obtain warranties, indemnities or confirmation certificates where appropriate to manage commercial risk despite the statutory protections.

Compliance under this Act is therefore a mix of legal classification, administrative filings and operational transitions. The primary compliance tasks are asset classification, registration applications, statutory certification by authorised officers, employee transfer processing and record maintenance to ensure enforceability of rights and recognition by registration authorities.
