The Commercial Bank of Australia Limited (Merger) Act 1982

The Act relies on a small set of closely defined legal concepts whose interaction produces the transfer scheme. Those definitions in s 3 control scope and operation.

Undertaking

• "Undertaking" is defined for each transferor bank as all property (apart from excluded assets) together with all rights and liabilities (apart from those relating to excluded assets) of the relevant bank (s 3). The scope is deliberately broad and includes choses in action, goodwill and other intangible property listed in s 3 "property".

Excluded assets

• "Excluded assets" is a defined list in s 3 and includes documents required by law to be kept by CBA or CBA Savings Bank (s 3(a)), prescribed securities held otherwise than by way of security (s 3(b)), land held otherwise than by way of security (s 3(c)), property held by CBA on trust pursuant to a specified Victorian Companies Act provision (s 3(d)), and property held by CBA for named staff superannuation funds (s 3(e)). The Schedule complements s 4 by listing specific instruments which the Act does not affect (Schedule; s 4).

Appointed day and commencement

• The Act commences on a day fixed by proclamation (s 2). The appointed day is the day the Act comes into operation (s 3 "the appointed day"; s 2). Several operative effects and transitional provisions are tied to that appointed day (s 6-13).

Vesting and continuity

• The core mechanism is statutory vesting. On the appointed day the undertaking of each merging bank vests in the corresponding continuing bank (s 6(1)). The Act transforms references, places of business, rights under securities, rights of bailees, negotiable instruments and contractual relationships into the continuing bank's legal sphere (s 6(2)-(4); s 7; s 8).

Preservation and protection

• The Act contains provisions that preserve actions, prevent abatement of proceedings, and insulate transfers from being treated as breaches of contract or confidence by operation of the Act (s 7(h), s 7(j)-(k); s 8(h), s 8(j)-(k)). At the same time it preserves certain residual situations where liabilities remain to the original banks (s 6(5)).

Administration and registration

• The Act places duties and powers on registration authorities to register and give effect to transfers of land and other property vested by the Act (s 6(4)(b)-(c); s 15). It also provides streamlined documentary mechanisms for transferring prescribed securities and for compliance with company charge registration requirements by accepting certificates signed by the Chief General Manager (s 14; s 16).

Employment and trusteeship

• Employees of CBA automatically become employees of the continuing bank with continuity of service (s 12(a)). Their terms and conditions are initially identical to their prior terms but thereafter subject to ordinary variation mechanics that apply to other employees of the continuing bank (s 12(b)). The continuing bank may, within a limited period, appoint subsidiary corporations as new trustees in place of retiring trustee corporations for specified trusts, with associated vesting of property on publication in the Government Gazette (s 13).

Third party dealing immunity

• The Act protects third parties and registration officials dealing with the continuing bank or the transferor banks from being concerned to see whether property is an excluded asset; dealings are treated as valid and the continuing bank is to be treated as having full power and authority (s 17).

Certificates and delegated authorisations

• Several pragmatic mechanisms centralise authority in the continuing bank’s senior management. Certificates signed by the Chief General Manager, or an officer acting under delegation from him, are given statutory effect for transfer of prescribed securities (s 14) and for evidencing compliance with company charge registration formalities (s 16). The Chief General Manager may also designate officers to stand in for holders of certain offices under pre‑existing instruments (s 6(2)(c)).

Evidentiary continuity

• The Act preserves the admissibility of documentary evidence and the application of bankers’ books provisions for entries made before the appointed day (s 11).

Schedule instruments

• The Schedule lists specific dated deeds and agreements which are excluded from the operation of the Act (s 4; Schedule), ensuring that some high‑value, specifically identified instruments remain governed by their own terms rather than by the vesting.

These components work together to convert a corporate ownership change into comprehensive operational transfer of banking businesses across statutory and registerable property, while attempting to limit the need for individual consents and re‑execution of documents by providing statutory continuity and evidentiary mechanisms.

The Act directly changes legal positions for a limited, identifiable set of parties and indirectly affects others who deal with them.

Continuing banks and merging banks

• Primary legal effects fall on the continuing bank and the continuing savings bank, and on CBA and CBA Savings Bank. On the appointed day the undertakings of the merging banks vest in the continuing banks (s 6(1)). The Act defines the continuing bank as the corporation incorporated by the Bank of New South Wales Act 1850 (s 3) and the continuing savings bank as the corporation incorporated in New South Wales under the name Bank of New South Wales Savings Bank Limited (s 3).

Customers and depositors

• Customers and depositors of the merging banks have their contractual relationships converted into relationships with the continuing banks on the appointed day, with the same rights, liabilities and rights of set‑off as previously existed (s 7(f); s 8(f)). Negotiable instruments payable at a place of business of CBA or CBA Savings Bank are treated as if payable at the continuing bank’s place of business (s 7(e); s 8(e)).

Creditors and secured parties

• Creditors whose debts are or were owed to the merging banks, and holders of securities held as security for debts to the merging banks, find those securities available to the continuing banks for discharge of debts whether the debts were incurred before or after the appointed day (s 7(c); s 8(c)). The continuing banks assume the rights and priorities in relation to those securities and are subject to the same liabilities (s 7(c); s 8(c)). Where liabilities remain to CBA or CBA Savings Bank after the appointed day, the Act preserves those banks’ rights to enforce them (s 6(5)).

Employees

• Employees of CBA become employees of the continuing bank on the appointed day by operation of law; their contracts of employment are deemed unbroken and their periods of service with CBA are deemed periods of service with the continuing bank (s 12(a)). Their terms and conditions are initially identical to those in place immediately before the appointed day and remain so until varied (s 12(b)(i)). Those terms are thereafter capable of variation in the same way as for other employees of the continuing bank (s 12(b)(ii)). Transferred employees are not entitled to receive any payment or other benefit only because they cease to be employees of CBA by virtue of the Act (s 12(c)). Directors, secretaries and auditors of CBA or CBA Savings Bank do not by operation of the Act become officers of the continuing bank (s 12(e)).

Trust beneficiaries and trustees

• Trust beneficiaries are affected by s 13 which allows the continuing bank to appoint a new trustee corporation (a subsidiary of the continuing bank) in place of a retiring trustee corporation, with publication in the Government Gazette required (s 13(1)-(3)). Property vested in retiring trustees is to be vested in the new trustee and the new trustee has the same powers as the retiring trustee (s 13(2)).

Third parties and registration officials

• Registrars of Titles, the Registrar of Deeds, the Commissioner for Corporate Affairs, the Registrar of Bills of Sale, the Mining Registrar and any other person authorised to register documents are required to take cognisance of the Act and are empowered to record and register such documents as are necessary to give effect to the Act (s 15). Section 17 provides that persons dealing with the continuing or transferor banks, and registration officials, are not required to enquire into whether property is an excluded asset and are protected when relying on the apparent authority of the continuing banks.

Companies and charge registries

• The Commissioner for Corporate Affairs and charge registration regimes are implicated. The Act declares that lodging a certificate signed by the Chief General Manager, or delegate, in a form acceptable to the Commissioner, is sufficient for the purposes of subsection 206(1) of the Companies Code in relation to charges that change hands by reason of the Act (s 16). Similarly, a CGM certificate is deemed a sufficient stamped instrument of transfer for prescribed securities vested by operation of the Act in the continuing banks or a subsidiary (s 14).

Parties to exempt instruments

• The Schedule specifies certain dated deeds and agreements that the Act does not affect; parties to those instruments retain their existing positions under those documents (s 4 and Schedule). Those instruments include an "Equity Participants' Deed", two "Management Agreement" and loan and lease arrangements with Qantas Airways Limited, dated 27 June 1978 (Schedule).

The Crown

• The Act expressly binds the Crown (s 5), meaning governmental interests are subject to its operation.

Persons who may be exposed to transitional risk

• Entities that contracted with the merging banks, registered securities or held land dealings may need to engage with the continuing bank for registration and practical post‑transfer administration; registration authorities are asked to act under s 15 and s 6(4). Where a liability remains to the original bank after the appointed day, s 6(5) preserves the original bank's rights and remedies, which could preserve obligations or claims against the merging banks rather than the continuing banks.

In aggregate the Act concentrates legal title and operational responsibilities on the continuing banks while providing protections and simplified formalities for counterparties, registrars and employees. The Act assigns decision authority to the continuing bank’s senior management for administrative certificates and internal designations (s 6(2)(c); s 14; s 16).

The Act allocates a set of rights, duties and administrative obligations mainly to the continuing banks, to registrars and to the continuing bank’s Chief General Manager or delegated officers. These are expressed in several specific provisions.

Rights conferred on the continuing banks

• On vesting the undertaking, the continuing bank and the continuing savings bank acquire property, rights and liabilities as defined in the undertaking (s 3; s 6(1)). Contracts, securities and customer relationships that are not excluded assets become enforceable by and against the continuing banks to the same extent as they were enforceable by and against the mergees before the appointed day (s 7(g); s 8(g); s 7(f); s 8(f)). A security held by CBA or CBA Savings Bank for a debt incurred before the appointed day is available to the continuing banks for that debt and also for future debts when the security extends to future liabilities; the continuing banks are "entitled to all the rights and priorities" in relation to those securities and "shall be subject to all liabilities" to which the merging bank would have been subject (s 7(c); s 8(c)).

Administrative and evidentiary rights

• The Chief General Manager (or an officer acting under delegation) of the continuing bank has authority to sign certificates that the Act deems sufficient for certain transfer and charge formalities: s 14 deems a CGM certificate to be a sufficient duly stamped instrument of transfer for prescribed securities vested in the continuing bank or a subsidiary in specified circumstances; s 16 deems a similar certificate to satisfy subsection 206(1) of the Companies (Western Australia) Code for charges the continuing banks become holders of by virtue of the Act.

Power to appoint trustees

• The continuing bank has a time‑limited power to appoint a subsidiary as new trustee in the place of a retiring trustee for specified trusts by instrument executed under its seal and publication in the Government Gazette within three months (s 13(1)-(2)). The instrument effects discharge of the retiring trustee and vests property in the new trustee (s 13(2)).

Registration duties and obligations on public authorities

• Registration authorities (Registrar of Titles, Registrar of Deeds, Commissioner for Corporate Affairs, Registrar of Bills of Sale, Mining Registrar and others authorised by Act) are empowered to take cognisance of the Act and record and register documents necessary to give effect to the Act (s 15). The Registrar of Titles is to register the continuing bank or the continuing savings bank as proprietor of land vested by the Act upon application (s 6(4)(b)); instruments executed by a continuing bank in registrable form can be registered even before the bank is registered as proprietor (s 6(4)(c)).

Protections and duties towards third parties

• Persons dealing with the continuing banks, CBA, CBA Savings Bank and registrars are subject to a statutory "no‑inquiry" rule in respect of excluded assets and property status; they are not required to see or enquire whether property is an excluded asset and are protected when entering into dealings or registering titles (s 17(1)). Section 17(2)-(3) provides statutory deeming protections for persons who enter dealings in relation to excluded assets or property that has vested.

Employees’ rights and obligations

• Transferred employees have the right to be treated as having continuous service and to have their contract of employment deemed unbroken for purposes of Acts, awards, determinations, contracts and agreements relating to employment (s 12(a)). On the appointed day their terms and conditions are identical to their previous terms (s 12(b)(i)). Those terms may be varied in the same manner as they previously could be and thereafter in the same manner as terms of other continuing bank employees (s 12(b)(ii)). Transferred employees do not acquire any entitlement to payment merely because of the transfer (s 12(c)). The Act does not alter rights or liabilities under staff superannuation or retirement schemes except as otherwise provided (s 12(d)).

Continuity of proceedings and evidentiary rights

• Legal proceedings to which the merging banks were party may be continued by or against the continuing banks (s 10(1)); judgments, orders or awards may be enforced by or against the continuing banks (s 10(2)). Documentary or other evidence admissible for or against the merging banks remains admissible in relation to the continuing banks, and bankers’ books provisions continue to apply to entries made before the appointed day (s 11(1)-(3)).

Limitations and retained rights of the mergees

• The Act preserves instances where a liability remains to the merging bank after the appointed day; in such cases the merging bank retains and may enforce the same rights in respect of that liability as if the Act had not been enacted (s 6(5)). The Act also expressly states that nothing effected by it shall be regarded as placing the merging banks or the continuing banks in breach of contract or confidence, or in breach of statutory prohibitions on assignment or disclosure, nor shall it release sureties (s 7(j)(i)-(iii); s 8(j)(i)-(iii)). Similarly, nothing done or suffered pursuant to the Act that would not have been a breach had it been done by the merging bank if the Act had not been enacted shall be treated as a breach (s 7(k); s 8(k)).

Limits on automatic office transfers

• Directors, secretaries and auditors of the merging banks do not by operation of the Act become directors, secretaries or auditors of the continuing banks (s 12(e)). For holders of other offices within the merging banks, references in pre‑existing instruments to the holder of a particular office are to be read as references to the person holding the office as Chief General Manager or the officer designated by that officer (s 6(2)(c)).

The Act therefore creates rights and duties designed to provide legal continuity for banking operations while assigning administrative duties to the continuing bank’s management and to public registration authorities. Several statutory protections limit the burden on third parties and simplify the documentary formalities that would otherwise be required.

The Act is primarily a transfer and continuity instrument rather than a regulatory or punitive statute. It does not create criminal offences or prescribe pecuniary penalties for non‑compliance with its substantive transfer mechanisms. The enforcement and protective provisions operate through civil mechanisms and statutory deemings.

No criminal penalties in text

• The Act contains no express offence provisions, fines, or criminal sanctions. Its operative sections focus on vesting, deeming, registration powers and evidentiary and procedural continuities (s 6-17). There is no section that imposes regulatory fines or specifies enforcement bodies imposing penalties.

Civil enforcement mechanisms and protections

• Continuity of legal proceedings and enforceability of rights are enforced through ordinary civil processes: legal proceedings commenced before the appointed day do not abate and may be continued by or against the continuing banks (s 10(1)-(2)). Judgments, orders and awards obtained before the appointed day may be enforced by or against the continuing banks (s 10(2)). These are civil enforcement mechanisms rather than statutory penalties.

Statutory deemings and presumptions as protective enforcement

• The Act uses statutory deemings to direct registrars and third parties. For instance, registration authorities are empowered to record and register documents necessary to give effect to the Act (s 15). The Registrar of Titles is required to register vested land on application (s 6(4)(b)-(c)). Those provisions impose duties on public officials and create a statutory obligation on them to act to give effect to the vesting, rather than create penalties for failure. Failure to register as required could leave parties to rely on other administrative or judicial remedies; the Act does not state a penalty for a registration authority's failure.

Protections for third parties and possible private liability

• Section 17(1) states that persons dealing with the continuing bank or with CBA/CBA Savings Bank, and registration officials, "shall not ... be concerned to see or enquire into whether any property ... is or is not an excluded asset". That provision is protective: it limits private parties’ duty of inquiry. However s 17(4) expressly preserves the liability of the continuing bank, the continuing savings bank, CBA or CBA Savings Bank in respect of anything done or purporting to have been done in relation to excluded assets or any other property. This means that while third parties obtain protection from having to investigate asset status, any actionable wrongs remain enforceable against the relevant bank under ordinary civil law, not by statuteally imposed administrative penalties.

Administrative certification consequences

• The Act permits the Chief General Manager’s certificate to operate as a sufficient instrument of transfer for prescribed securities (s 14) and to satisfy the Company charges registry requirement (s 16). If a certificate were false or defective, the statute does not itself prescribe a penalty but the usual civil, fiduciary and criminal remedies under general law might remain available; the Act is silent on that point. The Act grants registrars the power to record such documents (s 15), thereby changing the evidentiary and registration landscape rather than imposing statutory sanctions.

Evidentiary consequences

• The Act preserves admissibility of documentary evidence and bankers’ books provisions (s 11). These are evidentiary facilitative rules that make enforcement of civil claims feasible against the correct party post‑transfer; they do not create standalone statutory penalties.

Summary

• Enforcement under the Act is principally procedural and civil. The Act imposes duties on registration authorities to give effect to the vesting, establishes statutory deemings that protect persons dealing with the relevant banks, and preserves civil remedies and liabilities. It does not provide for specific statutory penalties or regulatory enforcement actions within its text. Where liability arises from acts or omissions in relation to property or excluded assets, ordinary remedies under tort, contract or equity remain available as preserved by s 17(4) and other provisions.

The Act is drafted to operate alongside, and in many respects to override or disapply, other laws and instruments where necessary to effect the transfers. Its provisions direct how it interfaces with registration regimes, company law, evidence law and trust law as they stood at the time and as noted in the compilation notes.

Operation notwithstanding other Acts or laws

• Section 6(4) states that the vesting of registered estates or interests in land in the continuing bank or continuing savings bank shall be effective "notwithstanding anything to the contrary in any other Act or law". That is an express legislative preference that the statutory vesting supersedes inconsistent provisions in other statutes. The deemed proprietary status for registration purposes is given effect by requiring the Registrar of Titles to register the continuing bank as proprietor upon application (s 6(4)(b)) and permitting registration of instruments executed by the continuing banks even if the bank has not yet been registered as proprietor (s 6(4)(c)).

Interaction with title and registration regimes

• The Act compels registration authorities to "take cognisance" of the Act and authorises them to record and register documents necessary to give effect to the Act (s 15). The Registrar of Titles, the Registrar of Deeds and other registrars are named specifically (s 15). For Transfer of Land Act 1893 land, the continuing bank is to be deemed the registered proprietor where an estate or interest vested in it by virtue of this Act (s 6(4)(a)), and the Registrar of Titles is mandated to register upon application (s 6(4)(b)). This overrides the ordinary need for an instrument of transfer executed by the registered proprietor and provides a statutory route to dealing with registered land.

Interaction with company and securities regimes

• The Act explicitly deals with prescribed securities (as defined by the Securities Industry (Western Australia) Code) and company charge registration formalities under the Companies (Western Australia) Code. Section 14 permits a certificate signed by the Chief General Manager to be deemed a sufficient duly stamped instrument of transfer for prescribed securities vested by the Act, but only where those securities will be held by way of security when vested or are vested in a subsidiary by operation of s 13 (s 14(2)). Section 16 deems subsection 206(1) of the Companies Code to be complied with if a CGM certificate in a form acceptable to the Commissioner for Corporate Affairs is lodged. The compilation notes indicate both the Securities Industry Code and Companies Code were later superseded by federal Corporations law frameworks, but within the Act the interaction is direct: the Act creates a deemed compliance mechanism for state company and securities registration requirements (s 14; s 16).

Interaction with Evidence Act and bankers’ books provisions

• The Act preserves the applicability of sections 89 to 96 of the Evidence Act 1906 in relation to bankers’ books and entries made before the appointed day (s 11(2)). It also states broadly that documentary or other evidence admissible for or against CBA or CBA Savings Bank if the Act had not been enacted shall be admissible for or against the continuing banks (s 11(1)). The compilation table includes an "Uncommenced provisions table" referencing an Evidence Act 2025 provision but that is a compilation note and not a substantive change within this Act as enacted.

Trust law and trustee appointments

• Section 13 permits the continuing bank to appoint a subsidiary corporation as new trustee for specified trusts, with publication in the Government Gazette. The section states these dispositions shall have effect "notwithstanding anything to the contrary in any instrument or in any other Act or law" (s 13(3)). That expressly allows the statutory trustee appointment to override inconsistent provisions in trust instruments or other statutes to the extent of the statutory power.

Preservation against breach claims and assignment restrictions

• Sections 7(j)-(k) and 8(j)-(k) are express non‑imputation provisions stating that nothing effected by the Act shall be regarded as placing the merging banks or continuing banks in breach of contract or confidence, or as otherwise rendering them liable for civil wrongs, nor as placing them in breach of any Act or other law or contractual provision prohibiting or restricting assignment, transfer or disclosure; nor shall sureties be released by operation of the Act. Those are legislative declarations about interaction with contract law and confidentiality regimes, but they do not negate ordinary remedies for acts done outside the statutory operation of the Act.

Limits preserved by the Act

• Section 6(5) ensures that if for any reason a liability to CBA immediately before the appointed day remains a liability to CBA on or after that day, CBA retains and may enforce the same rights, including rights under any security relating thereto, as if the Act had not been enacted. That preserves certain residual interactions with other laws and rights.

Compilation notes and later statutory landscape

• The Act’s own compilation notes indicate it was reprinted and formatting amendments were made by the Standardisation of Formatting Act 2010 (No. 19 of 2010) and that the Securities Industry (Western Australia) Code and Companies (Western Australia) Code were superseded by federal Corporations law (compilation notes). These notes are administrative and contextual; the Act itself contains the mechanisms to interface with then‑current state registration regimes. Where federal corporations law now applies, the registries identified in s 15 and the Commissioner for Corporate Affairs remain relevant in the context of state record keeping and vesting in land and state registers. The Act does not attempt to re‑draft federal corporations law; it creates state statutory mechanisms to avoid re‑execution or re‑stamp duties at state level.

In short, the Act is drafted to override or disapply inconsistent local rules where necessary to effect the statutory vesting, while requiring registration authorities to give effect to the vesting and preserving evidentiary continuity. It provides express mechanisms for dealing with title, securities and company charges that otherwise would interact with other statutory regimes and instruments.

The Act’s text includes a short compilation table and notes that record a limited amendment history and reprint activity. The version supplied includes the following recorded changes.

Original enactment and commencement

• The Act was assented to on 27 August 1982 and commenced by proclamation. The compilation table records that the Act came into operation on 1 October 1982 pursuant to s 2 and Gazette notice (Compilation table). The appointed day concept and the requirement for proclamation are embedded in the Act (s 2; s 3 "the appointed day").

Reprint and formatting amendment

• The Act was reprinted as Reprint 1 "as at 8 Feb 2008" (Compilation table). A later amendment is recorded as the Standardisation of Formatting Act 2010 (No. 19 of 2010), which affected formatting and revised certain numbered provisions. The compilation table notes that s 4 and s 50 of that Standardisation Act amended the preamble and headings in the Schedule, and that the Standardisation Act received assent on 28 June 2010 and commenced on 11 September 2010 (Compilation table). The Act as supplied notes the Preamble was amended by No. 19 of 2010 s 50.

Notes about superseded Codes

• The compilation notes explain that the Securities Industry (Western Australia) Code and the Companies (Western Australia) Code referenced in the Act were superseded by federal Corporations law (the Corporations Law and later the Corporations Act 2001) and point the reader to Part 13 Division 2 of the Corporations (Western Australia) Act 1990 and Part 2 of the Corporations (Ancillary Provisions) Act 2001 for consequential matters (Other notes). Those are contextual compilation notes, not amendments to the Act itself.

Uncommenced provisions reference

• The compilation includes an "Uncommenced provisions table" which lists an Evidence Act 2025 Pt. 12 Div. 21 as having assent on 25 September 2025 and "To be proclaimed" commencement. This is a cross‑reference to an external Act and is a compilation annotation rather than an amendment of the Commercial Bank Act itself.

Schedule heading amendment

• The Schedule heading was specifically amended by No. 19 of 2010 s 4 (Compilation table; Schedule heading note).

Practical effect of recorded amendments

• The amendments recorded in the compilation table are administrative and formatting in nature. The core operative provisions of the Act , the vesting, transitional provisions, employee transfer rules, trustee appointment mechanism and registration facilitation , remain in the text as enacted and as reprinted. The compilation table provides authoritative dates for assent and commencement and notes the formatting standardisation amendment.

No other substantive amendments are recorded in the supplied compilation table. The Act, as supplied, therefore appears to have undergone formal reprinting and formatting amendment, with no substantive policy amendments recorded in the compilation material included in the supplied text.

The text of the Act and the compilation notes supplied do not include any judicial decisions, reported cases, or litigation history that interpret or apply this statute. The Act itself names no cases and the Schedule lists specified instruments but contains no references to judicial rulings.

What the Act preserves for litigants

• The Act preserves legal proceedings and the enforcement of judgments, orders and awards obtained by or against CBA or CBA Savings Bank in legal proceedings commenced before the appointed day and allows those proceedings to be continued by or against the continuing bank or the continuing savings bank (s 10(1)-(2)). It also expressly preserves the admissibility of documentary evidence and bankers’ books entries made before the appointed day (s 11). Those provisions were designed to minimise potential litigation and evidentiary disruption following statutory vesting, but they do not in themselves create a body of litigation interpreting the Act.

Absence of statutory appellate or interpretive guidance

• The Act contains no clauses directing forum selection, exclusive jurisdiction, or specific declaratory relief processes. Any litigation that arises in connection with the Act would proceed under ordinary civil procedural law, with courts applying the Act’s deemings and express protections. Because the supplied material does not name any decisions, the analyst cannot cite or summarise case law construing the Act.

Practical consequences for potential litigants

• Parties who had claims against the merging banks at the time of vesting are permitted to continue actions against the continuing banks (s 10(1)). Where a liability remains to CBA or CBA Savings Bank after the appointed day, s 6(5) preserves the original banks’ enforcement rights. Section 17(4) preserves the liability of the relevant bank for acts relating to excluded assets or any other property. These provisions frame practical litigation questions but are not themselves litigated in the text supplied.

If parties seek authority or clarification about application points such as the scope of "excluded assets", the way certificates from the Chief General Manager interact with federal corporations law registers or the effect of trustee appointments under s 13, they would rely on courts to interpret those provisions in light of their factual contexts. The text supplied contains no such judicial determinations.

The Act is compact but contains several drafting features and operational mechanics that can produce practical pitfalls if practitioners do not notice them. Below are specific items to watch for, each grounded in the statute.

1. Appointed day by proclamation

• The Act only takes legal effect on an appointed day fixed by proclamation (s 2; s 3). Until proclamation, no vesting occurs. Practical consequence: parties and registrars must confirm the appointed day before assuming vesting has taken place. Failure to confirm may produce mismatch between commercial practice and legal title.

2. Excluded assets are retained and include statutory records and certain securities and land

• The definition of "excluded assets" in s 3 includes documents required by law to be kept by CBA or CBA Savings Bank (s 3(a)), prescribed securities held otherwise than by way of security (s 3(b)), and land held otherwise than by way of security (s 3(c)). These categories can be broad. If a particular item is an excluded asset, the statutory vesting does not apply to it (s 3; s 4). Practical consequence: counterparties who assume wholesale vesting may be surprised to find particular assets remain with the transferor bank. Section 17 protects third parties from being required to inquire, but that protection does not change which party actually holds or is liable in relation to the excluded asset (s 17(4)).

3. No automatic continuation of company officers

• Directors, secretaries and auditors of CBA or CBA Savings Bank do not, by operation of the Act, become directors, secretaries or auditors of the continuing bank or the continuing savings bank (s 12(e)). That can create a discontinuity of corporate governance unless the continuing bank takes separate steps to appoint officers.

4. Employees' terms initially preserved but later variation permitted

• Transferred employees are treated as having unbroken service and initial terms identical to those before the transfer (s 12(a)-(b)). However, after the appointed day their terms are capable of variation in the same manner as those of other continuing bank employees (s 12(b)(ii)). Practical consequence: staff benefits and expectations of permanence may be affected by subsequent variation. Also, transferred employees are not entitled to receive any payment simply because of the transfer (s 12(c)).

5. Trustee appointment window and vested trust property

• The continuing bank has a three month window after the appointed day to execute an instrument appointing a new subsidiary trustee and must publish notice in the Government Gazette (s 13(1)-(2)). That timeline may be short for complicated trust arrangements; failure to act in time may require other remedial steps. Section 13 also provides that the statutory appointment will operate notwithstanding anything to the contrary in any instrument or other Act or law (s 13(3)), which may present practical contraction points with third party expectations.

6. Reliance on Chief General Manager certificates

• The Act allows certificates signed by the Chief General Manager, or an officer acting under delegation, to operate as sufficient stamped instruments of transfer for certain prescribed securities (s 14) and to be lodged for purposes of subsection 206(1) of the Companies Code (s 16). Practical consequence: third parties must rely on a limited class of certifications. If a certificate is defective, the Act does not specify a statutory remediation procedure other than ordinary law recourse; practitioners should document internal delegation and authentication policies.

7. Registration authorities' duty to give effect

• Registrars are empowered to take cognisance of the Act and to register documents necessary to give effect to it (s 15). In practice, registrars may require particular forms or evidence. The Act allows registration of instruments executed by the continuing bank even if it has not yet been registered as proprietor (s 6(4)(c)), but administrative friction remains possible.

8. Preservation of residual liabilities to merging banks

• Section 6(5) preserves the rights of CBA or CBA Savings Bank where liabilities remain payable to them after the appointed day. Practical consequence: a creditor or claimant may find the obligation rests with the transferring bank rather than the continuing bank in isolated cases.

9. Schedule exclusions are narrowly drafted but specific

• The Schedule lists particular instruments dated 27 June 1978 related to Qantas and management/loan and lease arrangements, and an Equity Participants’ Deed, which are outside the Act (s 4; Schedule). Practitioners must check whether a contract is one of the Schedule instruments or relates to one of them, and whether the document is an "instrument" within s 3 definition. The Schedule was subject to heading amendment by No. 19 of 2010 s 4.

10. No statutory penalty provisions

• The Act offers protections and deemings, but no statutory penalty framework in case of non‑compliance by registrars or misstatements in certificates (see "Penalties and enforcement"). Practitioners must be prepared to use ordinary legal remedies to address defects or disputes.

11. Interaction with federal corporations law not expressly updated within the Act

• The Act references state Codes and registries that have since been superseded by the federal Corporations Act (compilation notes). While the Act contains mechanisms to satisfy then‑state statutory requirements (s 14; s 16), practitioners should map how those mechanisms play with the current federal corporate register and stamp duty regimes when dealing with prescribed securities or company charges.

These are not normative criticisms but practical attention points for parties executing or relying on the transfers. Each arises from an express statutory provision and reflects an operational consequence of the Act’s drafting.

Below are practical steps, each grounded in the Act, for the principal actors to ensure the statutory transfer is given legal effect and to minimise transactional and administrative risk.

For the continuing bank and continuing savings bank

1. Confirm appointed day by proclamation

• Do not assume vesting has occurred until the appointed day has been proclaimed as required by s 2 and s 3 "the appointed day". Ensure official Gazette notice or equivalent proclamation is obtained and retained.

2. Prepare certificates and delegation records

• The Act gives statutory effect to certificates signed by the Chief General Manager or an officer acting under delegation for transfer of prescribed securities (s 14) and for compliance with company charge registration requirements (s 16). Have the Chief General Manager sign the required certificates, and maintain delegation instruments evidencing the authority of any officer acting under delegation. Ensure forms are acceptable to the Commissioner for Corporate Affairs where required (s 16).

3. Apply to registrars for title registration and recording

• For land vested by the Act, apply to the Registrar of Titles under s 6(4)(b) to be registered as proprietor. If executing instruments affecting land vested in the continuing bank, submit them in registrable form for immediate registration pursuant to s 6(4)(c). Coordinate with the Registrar of Deeds, Registrar of Bills of Sale, Mining Registrar and other registries named in s 15 to ensure all necessary records are updated.

4. Implement internal records and notices for counterparties and customers

• Where contracts and customer relationships transfer (s 7(f); s 8(f); s 7(g); s 8(g)), prepare written notices to counterparties and depositors informing them of the statutory transfer and of any administrative changes. Keep records of instructions and mandates deemed to have been given to the continuing bank (s 7(a); s 8(a)).

5. Deal with employees

• Record continuity of employment for transferred employees in personnel files and payroll records to reflect deemed unbroken service (s 12(a)). Confirm that transferred employees’ terms and conditions remain identical on the appointed day and document variations if and when they occur under the same mechanisms and authorities used for other bank employees (s 12(b)). Note that no automatic payment is due merely by virtue of transfer (s 12(c)). Ensure superannuation and benefit schemes are handled consistently with s 12(d).

6. Address trustee appointments within three months

• If proprietary trust arrangements require a new trustee corporate to be appointed, execute the instrument under seal and publish the required notice in the Government Gazette within three months of the appointed day (s 13(1)-(2)). Ensure legal review of trust instruments to determine which trusts are to be specified, and confirm that the new trustee corporation is a subsidiary of the continuing bank as required.

7. Inventory and handle excluded assets

• Conduct an inventory to identify documents or property constituting "excluded assets" under s 3 and schedule items excluded under s 4. For any excluded asset expect special handling; while third parties are not required to inquire into excluded status (s 17(1)), the continuing bank and the transferor must nonetheless manage the legal consequences of exclusion.

For registrars and public recording offices

1. Take cognisance of the Act and accept statutory documents

• The Registrar of Titles and other registrars are empowered and required to give effect to the Act and to record necessary documents (s 15). Be prepared to accept applications and instruments executed by the continuing bank even before it is recorded as proprietor, as provided by s 6(4)(c).

2. Process CGM certificates and accept forms

• For purposes of s 16 and s 14, accept certificates in forms indicated and, where the Commissioner for Corporate Affairs requires an acceptable form, liaise with the continuing bank to ensure submission of compliant documentation.

3. Maintain records of trustee appointments

• On publication of trustee appointment in the Government Gazette under s 13(2), update trust registers and property records to reflect the vesting in the new trustee corporation.

For counterparties, customers and depositors

1. Treat relationships as continuing with the continuing bank

• After the appointed day, treat instructions, agreements and customer relationships as between you and the continuing bank in accordance with s 7(a)-(g) and s 8(a)-(g). Negotiable instruments payable at a place of business of CBA or CBA Savings Bank are to be treated as if payable at the continuing bank’s place of business (s 7(e); s 8(e)).

2. Do not feel obliged to investigate excluded asset status

• Section 17(1) provides that persons dealing with the continuing bank or the transferor banks are not concerned to see whether property is an excluded asset. You can rely on the apparent authority of the continuing bank in dealings. However retain due diligence where commercially appropriate because s 17(4) preserves bank liability for acts in relation to excluded assets and ordinary rights and remedies remain.

3. For securities and charges, seek documentary proof

• If you are a secured creditor or counterparty whose security was held by a merging bank, expect the continuing bank to produce evidence of its entitlement to the security. Certificates under s 14 and s 16 are statutorily sufficient in the circumstances described; ask to see them to verify the continuing bank’s statutory powers.

For trustees and beneficiaries

1. Monitor Gazette for trustee appointment notices

• Beneficiaries and trustees should monitor the Government Gazette for notices under s 13 and review any instruments appointing new trustees within the permitted three month window. If a new trustee has been appointed under s 13, inquire about implications for trust administration and any required registrations under s 13(5).

For lawyers and accountants advising clients

1. Map assets against excluded asset definition

• Review client files, title documents, securities holdings and trust instruments to identify which items, if any, fall within s 3 excluded assets or within the Schedule exempt instruments. Draft communications and remedial documents accordingly.

2. Align state registration steps with federal corporate registries

• Because the Act references state companies and securities Codes (s 14; s 16) but the federal Corporations law framework now applies in Australia, coordinate with corporate registry practice to ensure that state‑level certificates and lodgeable forms are also recognised or supplemented for federal registers where necessary.

3. Document corporate governance changes

• If offices such as directors, secretaries or auditors need to be altered in consequence of the transfer, do not rely on the Act to effect those changes; take separate corporate steps because s 12(e) does not transfer such offices by operation of the Act.

General record keeping and risk management

• Keep contemporaneous records of the appointed day, the CGM certificates lodged, applications to registrars, notices published in the Gazette, and details of any excluded assets. Ensure internal audit trails for delegated authorities for the CGM and any appointed officer, so third parties and registrars can rely on the authenticity of certificates under s 14 and s 16.

These steps will assist the continuing banks, registrars, employees and counterparties to operationalise the statutory vesting, preserve legal continuity and reduce administrative frictions after the appointed day.
