Bank of South Australia (Merger with Advance Bank) Act 1996

The Act operates by statutory incorporation, transfer by operation of law, administrative certification, and limited statutory immunity for actions done under the merger scheme. The binding technical concepts are:

• Statutory incorporation and modification (WA s 3; s 4(1)-(2)). The WA instrument does not enact a full separate WA merger Act; it imports a foreign state statute (South Australia) as WA law but prescribes textual substitutions and omissions. The incorporated text appears in Schedule 1. This is an incorporation by reference model rather than a fully autonomous WA legislative text.

• Vesting of undertaking (Schedule 1, s 6). Under the incorporated South Australian scheme, BSAL’s “undertaking” is defined comprehensively to mean all assets and liabilities except those listed as excluded in the Schedule. On the appointed day the undertaking vests in ABAL; the transfer takes effect “despite the provisions of any other law or instrument” (Schedule 1, s 6(2)). The transfer of liabilities discharges BSAL from those liabilities (Schedule 1, s 6(3)).

• Transitional continuity rules (Schedule 1, s 8). For contractual interpretation, securities, banking relationships, negotiable instruments, access to records and legal proceedings, references to BSAL are to be read as references to ABAL after the transfer (Schedule 1, s 8(a)-(l)). These provisions are designed to preserve substantive rights and obligations, including rights of set‑off, and to enable ABAL to exercise related rights without exposing BSAL to liability for parting with possession where appropriate (Schedule 1, s 8(i)).

• Administrative mechanisms for registration and evidence (Schedule 1, ss 9-11, 18; WA s 4(2)(c)). The Registrar‑General (in the SA text) or the Registrar of Titles in WA (as substituted by WA s 4(2)(c)) may register transfers without formal application, and must register upon application by ABAL (Schedule 1, s 10). The CEO may issue certificates certifying which assets and liabilities are transferred (Schedule 1, s 18(1)), and a certificate “purporting to be” from the CEO is admitted as proof in absence of contrary evidence (Schedule 1, s 18(2)). WA modifies the identity of registration officers and adds a trigger for registration tied to the Treasurer’s payment certificate (WA s 4(2)(c) and s 4(2)(g)(3)).

• Employee transfer and protection (Schedule 1, s 13). The CEO may transfer all BSAL employees to ABAL or an ABAL subsidiary by order within 12 months of the appointed day. The transferred employees keep continuity of service, remuneration and accrued rights; transfers are not to reduce an employee’s status or involve unreasonable changes in duties or place of employment, subject to specified qualifications (Schedule 1, s 13(2)-(7)). However, the transferred employment may still be subject to variations of terms by the new employer (Schedule 1, s 13(6)(b)).

• Excluded assets and liabilities (Schedule 1 Schedule). The SA Schedule lists categories that do not transfer, including specified leasing/finance plan types, BSAL’s liabilities under its issued shares, certain shareholdings (BSAL Financial Services Limited), employee‑related rights/liabilities, and cash equal to BSAL’s retained earnings as at the appointed day. These exclusions define what remains with BSAL and thus shape the residual exposure and asset allocation post‑transfer.

• Payment in lieu of State taxes and charges (WA s 4(2)(g), substituted s 17). The WA application replaces the SA stamp duty/tax exemption scheme with a requirement that ABAL pay the Treasurer an amount which, “in the opinion of the Treasurer”, equals the taxes, duties and charges that would otherwise be payable. The Treasurer determines that amount using principles the Treasurer deems appropriate and issues a certificate when satisfied payment has been made. This creates an administrative, discretionary fiscal mechanism in place of the SA tax exemption (see WA s 4(2)(g)(1)-(3)).

• Statutory overriding effect (Schedule 1, s 19, as modified by WA s 4(2)(h)). The SA text says the Act has effect “despite the Real Property Act 1886 or any other law” (Schedule 1, s 19). WA removes explicit reference to the Real Property Act (WA s 4(2)(h) omits “the Real Property Act 1886 or”), so the incorporated text as applied in WA reads as having effect notwithstanding any other law. That is a statutory primacy clause designed to ensure the transfer provisions operate even if other statutes would otherwise prevent or restrict transfer.

• Evidence and non‑liability carve‑outs (Schedule 1, ss 18, 20). Certificates and records are given evidentiary weight (Schedule 1, s 18), and the SA text states that things done or allowed under the Act do not constitute breaches, defaults, civil or criminal wrongs, or release sureties (Schedule 1, s 20). These are intended to reduce legal friction and litigation risk around the mechanical effects of the transfer.

These concepts together create a statutory mechanism for effecting a bank merger by automatic transfer of assets and liabilities, preserving customer relationships and securities, enabling administrative registration, and creating a state‑determined fiscal settlement in Western Australia via payment in lieu to the Treasurer.

The Act affects a defined and concentrated set of actors, and a more diffuse set of third parties whose legal relations with BSAL or ABAL are carried forward:

• Primary private parties: BSAL (the transferor) and ABAL (the transferee). The scheme vests BSAL’s undertaking in ABAL (Schedule 1, s 6). ABAL is the legal entity required to pay the Treasurer under the WA payment‑in‑lieu provision (WA s 4(2)(g)(1)). The CEO of ABAL (or delegate) is the official who can fix terms of transfer and issue staff transfer orders (Schedule 1, ss 7, 13).

• BSAL employees: All employees of BSAL are within the statutory transfer power (Schedule 1, s 13(2)-(3)). An order under s 13 must relate to all employees employed at the date of the order and must be made within 12 months of the appointed day. Employees become employees of ABAL or an ABAL subsidiary, with continuity of service, preservation of remuneration and accrued rights (Schedule 1, s 13(4)-(5)). Employee‑related rights are also listed among excluded assets/liabilities in the Schedule (Schedule 1, Schedule, item (d)), which creates a potential tension to note: the Schedule classifies “all rights and liabilities in relation to BSAL’s employees” as excluded assets/liabilities, but s 13 provides for statutory transfer and protection for transferred employees. The Schedule therefore delimits what moves under the undertaking definition and must be read carefully in the specific WA application.

• Customers and counterparties: Persons who have banking relationships, contracts, securities, negotiable instruments or ongoing legal proceedings involving BSAL are affected because those rights and obligations are generally transferred to ABAL and preserved under the transitional provisions (Schedule 1, s 8(b)-(l)). For example, the banker-customer relationship continues with the same rights and liabilities (Schedule 1, s 8(b)), negotiable instruments are payable by ABAL if the underlying liability is a transferred liability (Schedule 1, s 8(f)), and cheque instructions are treated as drawn on the ABAL account where the account transfers (Schedule 1, s 8(g)). Persons dealing with ABAL or BSAL are not obliged to make enquiries about whether a particular asset is transferred (Schedule 1, s 11(1)-(2)), but the protection does not apply where there is actual notice of deficient title or fraud (Schedule 1, s 11(4)).

• Registrars, courts and administrative officers: Registrars (in WA the Registrar of Titles as substituted by WA s 4(2)(c)), and other authorised persons are empowered to register or record transfers without formal application and must register on ABAL’s application (Schedule 1, s 10). Courts, tribunals and officials are directed to accept CEO certificates and to treat specified records as banking records (Schedule 1, s 18(2)-(3)). The WA Treasurer is a central decision‑maker for the payment in lieu and issues a certificate when satisfied of payment (WA s 4(2)(g)(2)-(3)). Governor’s regulation and proclamation powers exist in the SA text (Schedule 1, s 22), though WA modifies the treatment of proclamations (WA s 4(2)(j)).

• The State Treasury/Consolidated Account: The WA Treasurer receives the payment in lieu under the substituted s 17 in WA (WA s 4(2)(g)). Under the South Australian text, where a government guarantee exists the Consolidated Account would be liable for payments (Schedule 1, s 12(2)), but WA omits Part 3 (Schedule 1, s 12 is part of the SA text) so that financial exposure is not adopted in WA.

• Third‑party creditors and security holders: The Act affects rights of secured and unsecured creditors because securities that were held by BSAL and are referable to transferred assets become available to ABAL for discharge of transferred liabilities, including future liabilities extending to liabilities incurred after the transfer (Schedule 1, s 8(d)(ii)). The Treasurer’s payment certificate may be a precondition for certain registrars to register transfers (WA s 4(2)(c) referring to s 17(3)). Persons in receipt of payments guaranteed under the South Australian government guarantee would be affected in SA, but WA omits that guarantee.

In summary, the Act concentrates effects on the merging banks (BSAL and ABAL), on employees and customers whose contractual and banking relationships are transferred, and on administrative bodies (Treasurer, Registrar of Titles, CEO) who implement and certify the transfers. The legal burdens for much of the transaction are concentrated on ABAL: it steps into BSAL’s operational role, is required to make the payment in lieu to the WA Treasurer, and must apply for registration where necessary. Third parties lose procedural friction because they need not investigate transfer status in most cases (Schedule 1, s 11), but that simplification carries the implementation risk of mistaken dealings where actual notice or fraud exists.

The Act (as applied) creates a small number of specific duties, discretionary authorities, and statutory rights that govern the merger transfer and its administrative aftermath. The following is a catalogue of the primary obligations and entitlements, with section references to the applied South Australian text and the WA modifications.

Duties / obligations

• ABAL must pay an amount “in lieu of all taxes, duties and charges” to the Treasurer in WA. The amount is to be “equal to the amount of those taxes, duties and charges” in the opinion of the Treasurer; the Treasurer determines the amount following such principles as the Treasurer thinks appropriate (WA s 4(2)(g), substituted text of s 17(1)-(2)). This is an obligation on ABAL to make a fiscal settlement to the State as a condition of registration and finalisation implied by s 4(2)(c) which ties registration to the Treasurer’s certificate (WA s 4(2)(c) and substituted s 17(3)).

• The CEO (of ABAL) has a duty/power to fix terms on which the BSAL undertaking is transferred (Schedule 1, s 7(1)). That power allows the CEO to set the operative terms of transfer and to create or define rights and liabilities under those terms (Schedule 1, s 7(2)).

• The CEO may issue orders to transfer employees to ABAL or an ABAL subsidiary within 12 months of the appointed day; such orders must address all employees employed by BSAL at the date of the order (Schedule 1, s 13(1)-(3)). The CEO’s exercise of this power has compliance constraints: no reduction in status, unreasonable changes in duties or place of employment (subject to enumerated qualifications) (Schedule 1, s 13(5)-(6)).

• Registrars and other persons required or authorised by law to register/record transactions “may (without formal application) register or record” transfers under the Act and must do so on application by ABAL (Schedule 1, s 10(1)(a)-(b)). In WA, the Registrar of Titles’ action is conditioned on the Treasurer’s certificate that the payment in lieu has been made (WA s 4(2)(c)).

Discretionary decision‑making powers

• The Treasurer has broad discretion in WA to determine the amount payable by ABAL “in accordance with such principles as the Treasurer thinks appropriate” (WA s 4(2)(g)(2)). The Treasurer also certifies, when satisfied payment has been made, that the amount due has been paid (WA s 4(2)(g)(3)), and that certificate functions as a trigger for Registrar of Titles actions under the modified registration rules (WA s 4(2)(c)).

• The CEO has discretionary power to fix transfer terms (Schedule 1, s 7(1)) and to transfer employees by order (Schedule 1, s 13(1)). The CEO may also issue certificates certifying that specified assets or liabilities are transferred (Schedule 1, s 18(1)).

Rights and protections

• The transfer operation automatically vests the undertaking in ABAL on the appointed day, and the transfer operates “despite the provisions of any other law or instrument” (Schedule 1, s 6(1)-(2)). This creates a statutory right for ABAL to the assets and to be the party in respect of transferred liabilities, and it discharges BSAL from transferred liabilities (Schedule 1, s 6(3)).

• Transitional provisions give ABAL the right to enforce and be treated as the holder of rights, securities and negotiable instruments related to transferred assets/liabilities; ABAL is entitled to possession of documents entirely referable to transferred assets and access to copies of mixed documents (Schedule 1, s 8(d), (e), (f), (k)).

• Persons dealing with ABAL are given statutory protection that they are not obliged to make enquiries about whether an asset is a transferred asset (Schedule 1, s 11(1)-(2)); transactions purporting to be by BSAL or ABAL are validated unless the party dealing had actual notice of deficiency of title or acted fraudulently (Schedule 1, s 11(3)-(4)).

• CEO certificates are given evidentiary value and must be accepted in legal proceedings or by administrative officials absent proof to the contrary (Schedule 1, s 18(2)). The transfer does not affect the character of BSAL banking records for evidentiary purposes (Schedule 1, s 18(3)).

Limitations and excluded items

• The Schedule lists excluded assets and liabilities that are not part of the undertaking (Schedule 1, Schedule). Those include certain finance/lease plans, BSAL’s liabilities under issued shares, shareholdings in BSAL Financial Services Limited, employee rights and liabilities, and cash equal to BSAL’s retained earnings at the appointed day. The presence of these exclusions narrows what transfers by operation of the statutory vesting (Schedule 1, Schedule).

Regulatory and administrative powers

• The Governor may make regulations and proclamations for the purposes of the SA Act in its original text (Schedule 1, s 22), but WA modifies how references to proclamations are treated (WA s 4(2)(j)). The practical effect is that some regulatory or proclamation powers from the SA text are not adopted verbatim.

Matters the Act expressly does not create

• There is no express criminal penalty in the incorporated text tied to failure of ABAL to comply with transfer mechanics; the scheme relies on administrative payment and certification. The SA text expressly states that acts done or allowed under the Act do not constitute breaches, defaults, civil or criminal wrongs, or release sureties (Schedule 1, s 20), which limits the scope for penalty exposure for those acts done under the Act’s authority.

Together these duties, rights and discretions frame the merger: ABAL acquires the transferred undertaking, must meet the WA Treasurer’s payment in lieu requirement, the CEO fixes practical terms and transfers staff, and registrars are tasked with registering transfers subject to the Treasurer’s certificate and CEO evidence. Persons who deal with the banks obtain simplified transactional protection (no duty to enquire) but remain exposed where they have actual notice of defects or act fraudulently.

The text supplied contains limited provisions that create direct enforcement mechanics or criminal penalties. Enforcement under this scheme is primarily administrative and evidentiary rather than penal. The following points summarise the enforcement architecture and the absence of traditional civil/criminal sanctions in the incorporated text and the WA modifications.

Administrative enforcement mechanisms

• Treasurer’s determination and certificate (WA substituted s 17). The WA application requires ABAL to pay a sum to the Treasurer “in lieu of all taxes, duties and charges” that would otherwise be payable. The Treasurer determines the amount (WA s 4(2)(g)(2)) and provides a certificate when satisfied that the sum has been paid (WA s 4(2)(g)(3)). That certificate is an administrative instrument which, per WA s 4(2)(c), triggers the Registrar of Titles’ capacity to register or record transfers under the applied SA s 10(1). In short, compliance is enforced through the Treasurer’s certification acting as a precondition for registration of transferred assets and changes of title.

• Registrar of Titles’ registration power (Schedule 1, s 10 as modified). The applied SA text empowers the responsible registrars to register transfers without formal application and requires registration upon ABAL’s application. The registrar’s recordation or failure to register is the procedural enforcement lever for the transfer of titles and instruments. The WA modification conditions certain registration activities on the Treasurer’s certificate (WA s 4(2)(c)), making registration contingent on the fiscal settlement.

• CEO certificates and evidentiary effect (Schedule 1, s 18). The CEO’s certificate that specified assets or liabilities are transferred must be accepted in legal proceedings or by an administrative official as proof of the matter certified in absence of proof to the contrary (Schedule 1, s 18(2)). That evidentiary rule shifts the burden in litigation and administrative processes: courts and officials must accept the certificate unless contrary evidence is produced.

Absence of penal sanctions in the text

• The SA text explicitly provides that things done or allowed under the Act do not constitute a breach, default, civil or criminal wrong, or terminate agreements or release sureties (Schedule 1, s 20). This provision limits the exposure of parties to penalty or tort liability for acts taken pursuant to the Act’s powers.

• There are no express offences, fines, or criminal penalties contained in the incorporated South Australian text or in the WA Act as supplied. The enforcement regime therefore relies on administrative consent, certification and statutory validation rather than coercive criminal sanctions.

Practical enforcement consequences

• The primary enforcement friction point is administrative: ABAL must secure the Treasurer’s determination and certificate to satisfy registration and title transfer needs under the WA application (WA s 4(2)(c) and substituted s 17(3)). Failure to do so will impede registration and the formal recordation of transferred assets, which could create practical difficulties for perfecting securities, reconciling title, and enforcing rights that rely on registered status.

• The CEO and registrars exercise material gatekeeper roles. The CEO fixes transfer terms (Schedule 1, s 7), issues transfer orders for employees (Schedule 1, s 13) and issues certificates on transferred assets/liabilities (Schedule 1, s 18). Registrars are authorised to make entries without formal application (Schedule 1, s 10(1)(a)) and must register on application by ABAL (Schedule 1, s 10(1)(b)). Those administrative powers implement the merger mechanically and provide the principal enforcement path.

• Judicial review or private enforcement is not directly addressed in the text. The evidentiary and non‑liability clauses would be relevant in any judicial challenge to the effect of the merger, but the text provides significant statutory protection for acts done under the Act (Schedule 1, s 20; s 18(2)). The SA primacy clause (Schedule 1, s 19), as modified for WA, also reduces the capacity of other statutes to frustrate the statutory transfers.

Implementation and compliance risk

• The Treasurer’s broad discretion in determining the amount payable under WA s 17 creates uncertainty about the quantum of the payment in lieu and the timing of certification of payment; that discretion can function as both an enforcement mechanism and a source of uncertainty for ABAL and third parties requiring registration.

• The statutory protection for persons dealing in good faith (Schedule 1, s 11) reduces transactional risk for bona fide third parties, but where there is actual notice or fraud the protection falls away and disputes might still arise; the Act’s s 20 non‑liability clause does not immunise fraudulent conduct.

In short, enforcement under the applied SA scheme in WA is administrative and evidentiary: the Treasurer and registrars are the central enforcers through certification and registration powers, CEO certificates shift evidentiary burdens in litigation, and there are no direct civil or criminal penalties set out for non‑compliance in the text supplied.

The Act is expressly drafted to operate despite conflicting statutory provisions and to change the application of several named laws when the South Australian statute is applied in Western Australia. The interaction with other laws should be read from the express textual modifications and the incorporated South Australian provisions.

Statutory primacy and overriding effect

• The South Australian text contains an express overriding clause: “This Act has effect despite the Real Property Act 1886 or any other law” (Schedule 1, s 19). The WA application omits the specific reference to the Real Property Act (WA s 4(2)(h) omits “the Real Property Act 1886 or”), but the remaining phrase “despite any other law” remains as part of the incorporated SA s 19. That clause gives the merger mechanics statutory primacy over other state statutes and instruments that would otherwise prevent or alter the transfer of assets, liabilities or titles. In practical terms, registrars and courts are required to treat the merger provisions as taking precedence over competing legal provisions that would impede the transfer, subject to constitutional limits.

Modifications to specific statutes named in the SA text

• Business names: The SA text permits ABAL to carry on business under “Bank of South Australia”, “BankSA” or any other name registered under the Business Names Act 1963 (Schedule 1, s 21). WA modifies references in SA s 21(1)-(2) so that references to the South Australian Business Names Act 1963 are instead references to the Western Australian Business Names Act 1962 (WA s 4(2)(i)). That substitution changes the administrative regime for registering trade names: ABAL must comply with WA business name registration machinery rather than the SA regime.

• Registration and title: SA s 10 references the Registrar‑General (Schedule 1, s 10(1)). WA s 4(2)(c) substitutes the registration trigger and officer: the SA phrase “The Registrar‑General” is replaced by a provision reading, “On being satisfied that ABAL has been given a certificate under section 17(3), the Registrar of Titles …” This change conditions some registration activity on the Treasurer’s certificate and shifts the responsible registration officer to WA’s Registrar of Titles. The result is a state‑specific registration pathway tied to the Treasurer’s fiscal certification.

• Proclamations and regulations: SA s 22 gives the Governor the power to make regulations and proclamations for the purposes of the SA Act (Schedule 1, s 22). WA s 4(2)(j) omits SA s 22 and alters how references to proclamations are to be interpreted, stating references in the SA Act to a proclamation were references to a proclamation made by the Governor of South Australia. The text in WA thus removes the SA Governor’s regulatory clause from local application but creates some potential textual irregularity about proclamations in the applied SA text; the practical effect is that the WA application does not adopt SA s 22 as a local power.

Taxation and fiscal interaction

• The SA text originally contained a stamp duty and related tax exemption in its s 17: “No stamp duty, financial institutions duty, or debits tax is payable under a law of the State in respect of … a transfer under this Act” (Schedule 1, s 17). WA replaces that SA s 17 with a payment‑in‑lieu requirement (WA s 4(2)(g)). Consequently, the WA application alters the fiscal interaction: rather than providing statutory exemption from state transfer taxes, the WA version requires ABAL to pay an amount to the WA Treasurer equivalent to those taxes as determined by the Treasurer. This substitution changes how state revenue and tax administration engage with the merger.

Interaction with Corporations and Commonwealth law

• The incorporated SA definitions reference the Corporations Law (for example, “ABAL subsidiary” means a body corporate that is a subsidiary of ABAL for the purposes of section 46 of the Corporations Law) (Schedule 1, s 3). While the SA text operates as a state statute, any interaction with the Corporations Law and Commonwealth corporate regulatory regimes will remain subject to federal jurisdiction and the Corporations Law as it applies in the relevant State. The Act’s local overrides do not displace Commonwealth corporate law where the Commonwealth has supremacy.

Evidence rules and banking records

• The SA text declares that the transfer does not change the evidentiary character of records made by BSAL or the bank from which BSAL acquired the records as “banking records” for the purposes of evidence law (Schedule 1, s 18(3)). This provision interacts with evidentiary rules, maintaining continuity for admissibility and presumptions around banking records despite the transfer.

Limits and interpretation regime

• WA s 5 applies the South Australian Acts Interpretation Act 1915 as a law of Western Australia to the incorporated SA Act. That means interpretive rules originating in the SA Acts Interpretation Act will guide construction of the applied SA provisions in WA. This is a deliberate interpretive choice that affects how definitions, commencement, and other interpretive issues are resolved in WA.

Tension points and drafting irregularities

• The WA modifications produce some complexity: omission of the SA government guarantee Part 3 (WA s 4(2)(d)) means the SA guarantee (Schedule 1, s 12) is not adopted in WA. At the same time, WA introduces a payment in lieu regime. The WA s 4(2)(j) omission of SA s 22, combined with the substitution of proclamation references to the Governor of South Australia, creates potential ambiguity about the local regulatory machinery for the applied SA provisions.

In practice, the Act prioritises the statutory transfer over conflicting state laws, substitutes WA administrative points of contact (Registrar of Titles and WA Business Names Act), replaces the SA tax exemption with a WA Treasurer‑determined payment in lieu, and adopts SA interpretive rules. Legal advisers and registrars must pay attention to these substitution points when reconciling WA land title, business name and tax requirements with the merged bank’s transfers.

The text supplied contains a limited, explicit amendment history and compilation details. The key historical facts derivable from the provided material are as follows.

Western Australian Act , passage, assent and commencement

• The Western Australian statute titled Bank of South Australia (Merger with Advance Bank) Act 1996 (WA) was assented to on 13 November 1996 (Compilation table). Its commencement is tied to the commencement of the South Australian Act; the WA Act’s s 2 states it “comes into operation on the day on which the South Australian Act comes into operation” (s 2). The compilation note records that the WA Act commenced on 1 December 1996 (see compilation table: 1 Dec 1996, with a parenthetical note: see s 2 and commencement of the South Australian Act).

South Australian Act , passage and schedule

• The South Australian Bank Merger (BankSA and Advance Bank) Act 1996 (reproduced in Schedule 1) was assented to on 20 June 1996 (Schedule 1, heading notes: [Assented to 20 June 1996]). The SA Act provided for commencement by proclamation (Schedule 1, s 2(1)) and explicitly excluded the automatic two‑year commencement provision (Schedule 1, s 2(2)).

Compilation and subsequent formatting amendment

• The compilation table included in the WA text records a reprint as at 21 November 2003 (Reprint 1) and records an amendment identified as “Standardisation of Formatting Act 2010 s. 4” (No. 19 of 2010), which amended headings (the note “[Heading amended: No. 19 of 2010 s. 4.]” appears above the Schedule title line) and came into effect on 11 September 2010 (see compilation table entry showing s.2(b) and Gazette entry dated 10 Sep 2010). The amendment appears to have been a formatting/standardisation change rather than a substantive policy amendment to the merger mechanics; the compilation note indicates the heading was amended by that formatting statute.

WA textual modifications to the SA Act

• The WA Act itself effects a set of substantive modifications to the South Australian text when it applies as WA law. These are not later amendments but the original construction of the WA instrument as an incorporating Act. Section 4(2) lists specific omissions and substitutions, including omission of section 2 of the SA Act, substitution of references to the State with references to “this State”, replacement of the registration officer wording in SA s 10(1) with wording tying registration to the Treasurer’s certificate and the Registrar of Titles, omission of Part 3 of the SA Act (the SA government guarantee), omission and substitution in Schedule‑related definitions in SA s 15 and omission of SA s 16(3), the replacement of SA s 17 with a WA payment in lieu provision, omission of certain phrases in SA s 19, substitution in SA s 21(1)-(2) of the WA Business Names Act 1962, omission of SA s 22, and other related drafting changes (WA s 4(2)(a)-(j)). Those are operational amendments effected by the WA Act at the time of incorporation.

No further amendments recorded in the supplied text

• The compilation notes list the standardisation formatting amendment (2010) and the reprint date. No other statutory amendments to the WA Act are recorded in the material supplied. The SA Act in the Schedule contains its own provisions and internal references to schedules and provisions of other Acts (for example, the reference to the Superannuation Act 1988 in Schedule 1, s 15), but additional SA amendments are not recorded within the WA instrument’s compilation notes presented here.

What is not in the supplied text

• The supplied material does not include later substantive amendments (if any) to either the WA Act or the South Australian Act beyond the formatting change. It also does not identify any ministerial instruments, Treasurer determinations, CEO orders, or proclamations that would have given operational effect to the statutory machinery (for example, the appointed day proclamation, a Treasurer’s principles for assessing payment in lieu, or CEO orders transferring employees). Those administrative instruments would be necessary to implement the scheme but are not contained in the legislative text provided.

To anyone assessing the current legal position, the compilation table gives the foundational dates and one non‑substantive formatting amendment (2010). If practitioners need the operational facts (appointed day, Treasurer’s certificate, CEO orders, any WA regulations), those will be found in proclamation instruments, Treasurer certificates, CEO orders and registration records rather than in the statutory text itself.

The legislative text and compilation notes supplied do not record judicial decisions, appeals or litigation specifically arising under the WA Act or the incorporated South Australian Bank Merger Act. The Schedule and the WA text are silent on any cases, and the compilation table lists only the Act’s assent and commencement history plus a formatting amendment; it does not list any judicial history.

What the supplied materials show

• No cases, judgments or reported disputes are mentioned in the Act or the Schedule that has been reproduced in full here. The SA Schedule includes legal protections (evidentiary rules and non‑liability clauses) designed to limit litigation risk (Schedule 1, ss 18 and 20), but the text itself does not narrate any litigation arising from the merger.

Practical implications of the absence of recorded litigation

• The absence of litigation records in the statutory text does not mean litigation did not occur; it only means that the Act and its compilation notes as supplied do not document any judicial history. In practice, disputes that might have arisen in similar statutory merger schemes typically concern: (a) the proper identification of transferred versus excluded assets or liabilities; (b) the effect of CEO certificates and whether contrary evidence suffices to rebut certificates admitted under s 18(2); (c) the effect of the statutory primacy clause over other statutes; (d) employee entitlements and whether transfers complied with the non‑reduction and reasonable relocation rules; and (e) the Treasurer’s exercise of discretion in determining payments in lieu.

If litigation is relevant to a matter you are advising on

• Conduct targeted searches in Western Australian and South Australian law reports, tribunal decisions, and commercial lists for proceedings referencing either the Bank of South Australia (Merger with Advance Bank) Act 1996 (WA) or the Bank Merger (BankSA and Advance Bank) Act 1996 (SA). Search terms should include the Act titles, “BSAL”, “ABAL”, “appointed day”, “Treasurer certificate”, and CEO certificate under s 18. Also review registrars’ records (Registrar of Titles) for administrative decisions or disputes about registration on the basis of Treasurer certification.

• Check for administrative instruments and proclamations: litigation often follows specific administrative acts (appointed day proclamation, Treasurer certificates, CEO transfer orders, registration decisions), so locate those enabling instruments in WA Government Gazettes or statutory instrument registers.

The supplied material does not permit the naming or description of any case. For factual litigation history, consult primary case law databases and tribunal records.

The Act’s structure and the WA modifications contain several practical traps and drafting points that advisers should treat as sources of implementation risk or transaction friction. These are concrete, source‑grounded issues drawn from the text.

1. Payment in lieu gives the Treasurer broad and largely unreviewed discretion (WA s 4(2)(g))

• The substituted WA s 17 requires ABAL to pay an amount equal, in the Treasurer’s opinion, to the taxes that would otherwise be payable, and the Treasurer determines the amount “in accordance with such principles as the Treasurer thinks appropriate.” The provision therefore vests substantial discretionary authority in the WA Treasurer over the fiscal settlement. There is no express statutory limitation or prescribed formula in the text. That discretion can produce uncertainty on quantum and timing of payment, and registration of title can be delayed until the Treasurer issues a certificate under s 17(3) (WA s 4(2)(c)). Practitioners should plan for potential negotiation or contestation over the Treasurer’s determination.

2. Registration conditioned on Treasurer’s certificate in WA (WA s 4(2)(c))

• WA substitutes the SA registration wording to require the Registrar of Titles to act “on being satisfied that ABAL has been given a certificate under section 17(3), the Registrar of Titles …” The link between the Treasurer’s certificate and the registrar’s satisfaction introduces a gating mechanism uncommon in normal transfers: title registration may not proceed until the Treasurer is satisfied payment in lieu has been made. This is a critical procedural dependency for security perfection and title transfer.

3. Omission of the South Australian government guarantee (WA s 4(2)(d))

• The SA Act contains a government guarantee in its Part 3 (Schedule 1, s 12). WA omits Part 3. That means a creditor in WA cannot rely on the SA government guarantee as part of the WA law; the guarantee does not form part of the WA application. Any expectations that creditors might have from the SA guarantee should be disabused when operating under WA law.

4. Potential tension between employee exclusions and transfer power (Schedule 1)

• The SA Schedule lists “all rights and liabilities in relation to BSAL’s employees” as excluded assets/liabilities. Yet Schedule 1 s 13 authorises the CEO to transfer employees with protections and continuity. Careful reading is required: advisers must identify whether particular employee rights are intended to remain with BSAL (excluded) or to be transferred under s 13. Misreading could leave employee entitlements unresolved.

5. No express criminal or civil penalties for acting without compliance, but registration and evidentiary consequences matter (Schedule 1, ss 10, 18, 20)

• The text establishes administrative evidence rules and non‑liability protections for acts done under the Act. That reduces conventional litigation exposure, but it also means that absent Treasurer’s certification and registrar action, parties may lack practical mechanisms to perfect rights (for example, mortgage recording). The CEO’s certificates are admissible evidence but are rebuttable with contrary proof (Schedule 1, s 18(2)). Do not assume certificates are conclusive.

6. “No duty to enquire” protections have limits (Schedule 1, s 11)

• Persons dealing with ABAL or BSAL are not obliged to enquire whether an asset is transferred (Schedule 1, s 11(1)-(2)), and purported dealings are valid even if the dealing body is not entitled, except where the dealing party has actual notice of the deficiency of title or acts fraudulently (Schedule 1, s 11(4)). That statutory protection benefits third parties acting in good faith but offers no protection against claims where actual notice exists. Practitioners should not rely on the statutory safe harbour if there are red flags indicating title deficiency.

7. Interpretive regime imported from South Australia (WA s 5)

• WA s 5 applies the SA Acts Interpretation Act 1915 as a law of this State to the incorporated SA Act. That means that certain interpretive constructs will be governed by SA interpretation rules rather than WA interpretive presumptions. This cross‑jurisdictional interpretive overlay can complicate construction in marginal or ambiguous cases.

8. Replacement of business‑name statutory references (WA s 4(2)(i))

• The WA text replaces references to the SA Business Names Act 1963 with the WA Business Names Act 1962. That has practical consequences: ABAL’s registration of trade names will need to comply with WA registration and availability rules.

9. Proclamation and regulation clause omissions (WA s 4(2)(j))

• WA omits the SA s 22 regulation/proclamation clause and states references to proclamations in the SA Act were references to proclamations made by the Governor of South Australia. This creates potential ambiguity about whether and how local proclamations or regulations might be used to implement the scheme. Practitioners should verify whether any WA regulations or local proclamations were made to facilitate the WA application.

10. Reliance on administrative instruments not included in the legislative text

• Important operational facts , the appointed day proclamation, the Treasurer’s certificate(s), CEO transfer orders, registrars’ searches and entries , are not part of the statutory text. If those instruments are not implemented, or if records are incomplete, practical uncertainty can ensue about which assets transferred, employee statuses, and whether the Treasurer has certified payment. Lawyers should obtain copies of these administrative instruments and registry entries to confirm operational completion.

Each of these “gotchas” follows directly from the statutory language reproduced in the Schedule and from WA s 4’s substitutions/omissions. They highlight the need for careful sequencing: confirm the Treasurer’s determination and certificate, obtain CEO transfer orders and certificates, secure registrations at the Registrar of Titles, and verify the treatment of excluded assets and employee rights before advising clients or relying on the statutory transfers.

Compliance under the applied scheme involves a sequence of administrative and documentary steps focused on payment to the Treasurer, CEO orders and certificates, registrar actions, and attention to excluded items. This is a practical checklist grounded in the statutory text for parties directly involved (ABAL, BSAL, their advisers, registrars and affected third parties).

1. Determine the appointed day and confirm commencement

• The SA Act comes into operation on a day fixed by proclamation (Schedule 1, s 2(1)); the WA Act s 2 links WA commencement to the SA appointed day. Obtain the proclamation that fixes the appointed day and confirm the effective date for vesting under Schedule 1, s 6. Without the appointed day proclamation, automatic vesting will not have occurred.

2. Identify the undertaking and excluded assets/liabilities

• Review the defined scope of “undertaking” in Schedule 1, s 3: all assets of BSAL except excluded assets, and all liabilities except excluded liabilities. Compare that definition against the Schedule of Excluded Assets and Liabilities in Schedule 1. Determine which specific assets and liabilities fall within those excluded categories (for example, particular leasing and finance plan types, issued shares liabilities, certain shareholdings, employee‑related rights, and specified cash balances).

3. CEO orders for transfer terms and staff

• Prepare and issue the CEO’s written order fixing the terms on which the undertaking is transferred (Schedule 1, s 7(1)-(2)). Prepare CEO orders for the transfer of employees under Schedule 1, s 13, ensuring orders are made within 12 months of the appointed day and that they address all employees employed by BSAL at the date of the order. Ensure the orders comply with the statutory protections (no reduction in status, no unreasonable change in duties or place of employment, preserve continuity, remuneration and accrued rights) spelled out in Schedule 1, s 13(4)-(6).

4. Prepare ABAL to receive assets and liabilities

• Implement internal steps at ABAL to recognise and take possession of documents, records and accounts falling within transferred assets (Schedule 1, s 8(e) and (h)). Arrange operational changes so that negotiable instruments, direct payment orders, cheques and cards associated with transferred accounts are treated in the manner prescribed (Schedule 1, s 8(f)-(h), s 9).

5. VAT, stamp duty and the WA payment in lieu: engage with Treasury early

• In WA, ABAL must pay an amount to the Treasurer “in lieu of all taxes, duties and charges” that would otherwise be payable (WA s 4(2)(g)(1)). Early engagement with the Treasurer’s office is essential given the Treasurer determines the amount “in accordance with such principles as the Treasurer thinks appropriate” (WA s 4(2)(g)(2)). Seek clarification on (a) the basis and timing of the Treasurer’s valuation or assessment principles; (b) the documentation required to support the calculation; (c) the process for authentication and receipt of payment; and (d) the form and content of the Treasurer’s certificate under s 17(3) that the Registrar of Titles will require (WA s 4(2)(c) and substituted s 17).

6. Obtain Treasurer’s certificate and synchronise registration

• Once the payment in lieu has been determined and paid, obtain the Treasurer’s certificate stating the sum has been paid (WA s 4(2)(g)(3)). Provide that certificate to the Registrar of Titles and other registrars as necessary, so that registrations or recordings of transfers can proceed under Schedule 1, s 10, as modified (WA s 4(2)(c)). Where registries accept electronic lodgement, confirm procedural requirements for attaching the Treasurer’s certificate.

7. File applications to registrars with CEO and Treasurer evidence

• Lodge applications with the relevant registries (Registrar of Titles, business names registrar under WA Business Names Act 1962, and any other relevant registries) to register transfers. Use CEO certificates under Schedule 1, s 18(1) to prove which assets and liabilities are transferred; these certificates must be accepted in legal proceedings or by administrative officials in the absence of proof to the contrary (Schedule 1, s 18(2)). Where a prior instrument is in registrable form but the proprietor has not been updated, the SA text requires registration even though ABAL has not been registered as proprietor (Schedule 1, s 10(2)).

8. Notify customers and counterparties where appropriate

• Although the Act preserves banker-customer relationships without the need for fresh instructions (Schedule 1, s 8(b)), good practice involves notifying customers and counterparties of the transfer to ABAL, supplying updated account information and explaining any required consents for excluded services. For contracts or securities that are not transferred (excluded), arrange alternative post‑transfer arrangements.

9. Deal with excluded assets and employee entitlements

• Manage excluded assets/liabilities per the Schedule. Where the Schedule lists employee rights as excluded yet s 13 provides for transfer, obtain precise documentation of which employee rights are to be preserved and which remain with BSAL. Secure agreements or indemnities where necessary to manage residual liabilities retained by BSAL.

10. Confirm business name registration and branding

• ABAL may carry on business under “Bank of South Australia” or “BankSA” or other names registered under the WA Business Names Act 1962 (Schedule 1, s 21 as modified by WA s 4(2)(i)). Apply to register the relevant business names in WA if not already registered. Check for any reserved or conflicting trade name registrations.

11. Preserve and archive records for evidentiary use

• Ensure ABAL’s possession of documents and access to records is documented, and preserve copies of CEO certificates, Treasurer certificates, registrars’ entries, CEO orders transferring staff, the appointed day proclamation and any other administrative instruments. Those documents have evidentiary force under Schedule 1, s 18 and will be pivotal in any later dispute.

12. Monitor for fraud or actual notice issues

• While Schedule 1, s 11 removes the obligation to enquire in ordinary dealings, that protection does not apply where a party has actual notice of title deficiency or acts fraudulently (Schedule 1, s 11(4)). Obtain clear evidence that counterparties did not have actual notice, and conduct due diligence where red flags are present.

13. Keep a litigation and regulatory watch

• Although the supplied materials do not record litigation, remain alert to potential disputes about CEO certificates, the Treasurer’s discretionary determination, excluded items, employee entitlements and registration entries. Maintain a log of administrative steps and approvals to support defences or to resolve claims quickly.

14. Obtain local legal and tax advice

• Because the WA application replaces SA tax exemptions with a state payment in lieu, obtain targeted WA tax advice to determine whether any other State or local charges might be implicated. Confirm whether any further WA regulations or proclamations were made to implement the Scheme, and check local practice at the Registrar of Titles for required documentary formats.

Execution checklist summary

• Confirm appointed day proclamation (Schedule 1, s 2).
• CEO: issue transfer terms order and employee transfer order (Schedule 1, ss 7 and 13).
• ABAL: liaise with WA Treasurer on payment in lieu; secure Treasurer’s certificate (WA substituted s 17).
• Registrar: lodge transfer registration applications with CEO certificate and Treasurer’s certificate (Schedule 1, s 10; WA s 4(2)(c)).
• Business names: register Bank of South Australia/BankSA in WA if required (Schedule 1, s 21 as modified).
• Preserve documentation and records for evidentiary purposes (Schedule 1, s 18).

Following these steps, while keeping careful records of CEO orders, Treasurer determinations and registrars’ entries, will align practical activity with the statutory mechanics established by the applied South Australian Act as modified by the WA instrument.
