Vital State Industries (Works and Services) Act 1992

The Act affects anyone involved in a declared vital industry: employees, managers, directors, contractors, suppliers, customers, unions, union officers, and property owners. Because the declaration can target any activity , private or public, for-profit or not (section 3) , no sector is immune. In practice, the Act is most likely to be used against workers and unions in essential services such as energy, transport, health and water during industrial disputes. But the breadth of the Minister's powers under section 8 means that the owners and operators of businesses in a declared industry are also directly impacted. They may be directed to operate on terms specified by the Minister (section 8(2)(b)), have their property requisitioned (section 8(2)(e)), or be prohibited from using their own equipment without Ministerial consent (section 8(2)(d)). The Act does not require compensation for such requisition or direction; the only compensatory right in the Act is that of persons injured by "interference" (section 6) to claim damages from those causing the interference , not from the government. So a business that suffers loss because the Minister directs it to operate at a loss or not at all bears that loss itself.

Organisations (including unions and their branches) and their officers are particularly exposed because penalties for them are ten times higher than for other persons: 2,500 penalty units versus 250 for individuals (sections 5 and 8(3)). An individual who is not an officer but participates in industrial action affecting a vital industry faces a maximum of 250 penalty units (section 5(b)). The section 9 offence, which carries 1,000 penalty units, targets anyone who during alternative arrangements interferes with another person performing duties in respect of a vital state service or work, using force, threats, intimidation or "offensive action". This could affect picketers or protesters near workplaces.

Beyond dispute participants, the Act affects third parties such as insurers, financiers and shareholders because the risk of a declaration and potential for business interruption may affect asset values, contract performance and insurance coverage. Legal advisers and compliance officers of any entity that could plausibly be part of a vital industry need to monitor Government Gazettes and be prepared to respond rapidly if a declaration is made.

The primary duty imposed by the Act is the duty not to interfere with a vital industry while a declaration is in force. Section 5 makes it an offence to "interfere, or compel, procure or induce, interference, or attempt to interfere or to compel, procure or induce, interference with a vital industry, or any part of a vital industry". The duty extends to attempts. The definition of "interference" is so broad that it may include lawful industrial action that merely threatens to inconvenience the industry. Even threatening or creating "apprehension" of industrial action counts (section 3). So the duty effectively overrides any right to take industrial action (including protected action under Commonwealth industrial law) once a declaration is in place. The only safe harbour is "the enforcement by due process of law of a legal obligation" (section 3).

Another duty is owed to the Minister when a declaration is in force. Section 8(3) makes it an offence to "prevent, hinder, fail to comply with or fail to assist to the best of their ability the carrying out or into effect of a direction, prohibition or requisition under this section". This duty applies to any "person or organisation", including those not originally part of the vital industry but who are now directed. There is no requirement that the Minister give reasons or that the direction be reasonable; the Minister may give "any direction" considered "necessary or desirable for giving effect to the purposes of this Act" (section 8(2)(h)). The duty to "assist to the best of their ability" is potentially broader than mere compliance; it may require proactive cooperation.

The Act confers certain rights. Any person who suffers damage (including economic loss) from interference has a right to recover compensation from the person who caused, compelled, procured or induced that interference (section 6). This is a civil right of action, separate from the criminal offence. The Supreme Court may grant injunctions , interim or final , restraining conduct that gives rise or may give rise to such a cause of action (section 7). Injunctions can be sought by the Attorney-General, the Minister, or "any interested party". So a business affected by industrial action in a vital industry can seek an order from the court to stop it. The Minister also has the right to seek an injunction in aid of the exercise of powers under section 8 (section 8(4)). There is no express right for a person subject to a direction to challenge it on the merits; the only potential avenue is judicial review on administrative law grounds (not provided in the Act). There is no right to compensation for property requisitioned or business losses caused by Ministerial direction.

Penalties under the Act are severe and escalate dramatically for organisations and their officers. Section 5 sets two tiers: for an organisation or officer of an organisation, the maximum is 2,500 penalty units; for any other person, 250 penalty units. The same differential applies to the section 8(3) offence of failing to comply with a Ministerial direction. A penalty unit is defined in the Monetary Units Act 2004 (Vic) and as of 2024 is around $197, so 2,500 penalty units would be approximately $492,500, and 250 penalty units approximately $49,250. These are the maximum penalties; the legislation does not set minimum fines.

The section 9 offence (interference during alternative arrangements) carries a flat maximum of 1,000 penalty units (approximately $197,000) without distinguishing between organisations and individuals. This offence requires the use of "force, threats or intimidation or offensive action of any kind" to interfere with a person performing duties in respect of a vital state service or work. It is narrower than the section 5 offence (which catches any interference, without violence or threats), but carries a high maximum.

Enforcement mechanisms include criminal prosecution and civil injunctions. A prosecution may be brought by the Director of Public Prosecutions or by any person authorised by the Attorney-General. The Supreme Court can grant interim or interlocutory injunctions (section 7(2)), which can be obtained quickly and without final hearing. The court can also rescind or vary injunctions (section 7(3)). For Ministerial directions, the court may grant "an injunction or other order" (section 8(4)), which could include mandatory orders requiring compliance.

There is no evidentiary presumption or reverse onus in the Act. However, the breadth of definitions may make it easy for a prosecution to establish interference. For example, if a union official encourages members not to work overtime in a declared industry, that may be "procuring interference". The Act does not require that the accused intended to cause damage or harm; it only requires the act of interference or procurement. Organisations may be vicariously liable for the acts of their officers under ordinary criminal responsibility principles, and the wide definition of "officer" means many people with authority might be personally liable.

The Act does not contain any non-derogation clause stating that it overrides other laws. However, its operation creates direct conflict with Commonwealth industrial relations legislation (such as the Fair Work Act 2009), which generally protects the right to take industrial action if it is "protected" and complies with rules. Because the Vital State Industries Act is a state law, the Commonwealth legislation may prevail to the extent of any inconsistency under section 109 of the Commonwealth Constitution. However, the High Court has held that state laws dealing with the "peace, order and good government" of the state can operate concurrently with Commonwealth industrial laws unless there is direct inconsistency. The Act's prohibition on interference with a vital industry could be inconsistent with a Commonwealth law that authorises or protects industrial action. This is a live constitutional question, but the Act itself does not attempt to resolve it.

The Act interacts with contract law. The Minister's power to direct the terms and conditions on which activities must operate (section 8(2)(a)-(c)) may override contractual obligations between private parties. A direction that prohibits the use of property (section 8(2)(d)) may force a party to breach a supply contract. The Act does not provide an excuse for such breach, leaving private parties to risk suit by their counterparties. Those who suffer loss from such government direction have no right to compensation under the Act.

The Act interacts with occupational health and safety laws, environmental laws, and planning laws. A direction from the Minister under section 8 may require a person to operate in a manner that breaches another statute. The Act does not override those statutes, so a person could be in a position of being directed by the Minister to do something that is illegal under another law, and then face liability under both regimes. The Act does not contain a defence of compliance with a Ministerial direction.

The Act's damages provision (section 6) creates a civil cause of action additional to any claim that might exist at common law for nuisance, trespass or economic torts. It is not exclusive; an aggrieved person may sue under any available head of damage.

The Vital State Industries (Works and Services) Act 1992 was enacted as Act No. 82 of 1992 and received Royal Assent on 24 November 1992. It came into operation on the same day (section 2). The endnotes record only one amendment: the Statute Law Revision Act 2000 (No. 74/2000) amended section 7(2) (the reference to the Supreme Court). That amendment was a standard revision; it did not change the substantive operation of the Act. The version current as at 25 October 2012 is Version No. 004, indicating three further version updates (likely due to changes in penalty unit amounts or reprints). The Act's table of amendments shows no substantive amendments beyond the 2000 revision. The Act remains in force as at the last publication date. There is no indication of any amendment to the penalty unit amounts within the Act itself (penalty unit values are set by a separate statute, the Monetary Units Act, so the number of penalty units in sections 5, 8(3) and 9 has remained unchanged since 1992). The Act's brevity and lack of amendment reflect that it is a standby power; it is rarely used, but has not been repealed.

The Act as printed contains no reference to any case law. The endnotes list explanatory details as "No entries at date of publication", meaning no case annotations or litigation summaries were included. There is no evidence in the source that the Act has been the subject of court proceedings, constitutional challenges, or judicial interpretation. This may be because the Act is used infrequently, or that disputes are settled or pleadings do not reach reported decisions. However, it is possible that unreported cases exist, particularly seeking injunctions under sections 7 or 8(4). The absence of litigation history in the source does not guarantee none exists; it merely means the official version does not reference any. Given the Act's potential to interfere with constitutional freedoms (implied freedom of political communication, freedom of association, property rights), it is plausible that any active use could provoke constitutional challenge, but no such case is noted. The Act's sparse use may reflect a deterrence effect, or it may be that governments prefer to use other mechanisms (such as emergency powers under other legislation) rather than this specific Act.

Several features of the Act create traps for the unwary. First, the definition of "interference" includes threatening or creating the "apprehension" of industrial action (section 3). This means that even a verbal threat by a union official to call a strike, if made knowing the industry is declared, could constitute the offence under section 5. The exclusion for enforcement of a legal obligation is narrow; a threat of lawful industrial action might still create a legal obligation (breach of contract) but the exclusion is only for enforcement "by due process of law", which probably means court orders, not industrial action.

Second, the definition of "officer" is extremely broad: it includes anyone holding any office, position, place of authority or stewardship, anyone carrying out duties for the organisation, and anyone who holds themselves out as an officer (section 3). A shop steward or rank-and-file member who speaks on behalf of the union could be deemed an officer, and thus face the higher penalty of 2,500 penalty units. An organisation cannot avoid liability by claiming an officer exceeded authority; the Act's language would cover any officer's acts.

Third, the Minister's powers under section 8 are "without limiting the generality of the foregoing" and include power to give "any direction to any person or organisation which the Minister considers necessary or desirable" (section 8(2)(h)). This is an extraordinarily broad delegation of legislative and executive power. There is no requirement for the Minister to consider proportionality, economic impact, or procedural fairness. The offence for failing to comply (section 8(3)) catches not only a failure to comply but also a failure to "assist to the best of their ability". This imposes a positive duty to help the Minister, and the standard is subjective (best of the person's ability). A person who honestly thinks they cannot assist without breaching another law may still be guilty if they do not try hard enough.

Fourth, there is no compensation mechanism for property requisitioned under section 8(2)(e). The Act does not require the Minister to pay just terms. This may raise constitutional issues under section 43 of the Victorian Constitution or the Commonwealth Constitution (acquisition of property on just terms from the Commonwealth, but the state Act may not be similarly constrained). Nevertheless, the Act itself provides no remedy.

Fifth, the declaration process is swift and opaque. An Order published in the Government Gazette takes effect immediately (section 4(1)). No prior notice to affected parties is required. A business could wake up to find its operations under government direction and its property requisitioned with no opportunity to challenge the declaration before it takes effect. The three-month sunset and parliamentary annulment provisions are weak checks; by the time Parliament annuls the declaration, the Minister may have already exercised powers and caused irreversible loss.

Sixth, the section 9 offence (interference during alternative arrangements) uses the term "offensive action of any kind". This is undefined and could encompass otherwise lawful conduct such as loud protests, banners, or slogans if a court considers them offensive. A person can be convicted even without using force or threats.

Compliance with the Act requires a combination of passive monitoring and active submission. Any organisation that might be the subject of a vital industry declaration should designate a person or team to monitor the Victorian Government Gazette daily, as declarations come into force immediately upon publication. If a declaration names the organisation or its industry as vital, the organisation and its officers must immediately cease any conduct that could be interference (including industrial action, threats of industrial action, or actions that might "procure" such interference). This may require cancelling strike notices, instructing employees and members to continue normal work, and ending pickets.

If the Minister issues a direction, prohibition or requisition under section 8, the organisation and all persons must comply fully and should also document their efforts to "assist to the best of their ability". A prudent approach would be to appoint a liaison officer to communicate with the Minister's department and to seek written guidance on the scope of directions. Failing to assist because of confusion or reluctance could lead to prosecution. If the Minister requisitions property, the owner should cooperate and potentially seek compensation through other legal avenues, but should not refuse.

Individual workers should be mindful that even peaceful refusal to work overtime, if it interferes with a vital industry, could be an offence if the industry is declared. They should seek direction from their employer or union on proper conduct. Union officers particularly must avoid any rhetoric that could be construed as "procuring" interference; they should issue clear instructions to members to obey the law and the Minister's directions.

For organisations not directly named but whose activities contribute to a vital industry (e.g., a transport company moving energy supplies), they too may be captured if the declaration is broad enough. The Act defines "vital industry" broadly to include activities "contributing to" the provision of listed services. Such organisations should treat any declaration affecting the sector as applying to them, and comply accordingly.

Legal advice should be sought immediately upon a declaration's publication. Organisations should review their insurance policies to see if they cover losses from government directions or requisition. They should also consider contractual force majeure clauses that may be triggered by government action under the Act. For those claiming damages from interference under section 6, they must be able to prove that the defendant caused, procured or induced the interference. Documentary evidence of communications, threats, and causal links is critical. Seeking an injunction under section 7 may be the quickest remedy for ongoing interference, but it requires acting speedily.
