Victorian Sanatoria for Consumptives Act 1911

The Act rests on several foundational concepts that define its operation. The Corporation is the incorporated body styled the Victorian Sanatoria for Consumptives, formed under the Hospitals and Charities Act 1890, section 4. Its incorporation vested in it all real and personal estate previously held in trust for the unincorporated institution. The corporation was governed by a committee of management elected by governors at annual general meetings, with by-laws published in the Government Gazette on 9 March 1904. The Crown (referred to as His Majesty) is the recipient of all property transfers and the ultimate beneficiary of the winding-up. The transfer without consideration means the corporation receives no payment for the land or other assets conveyed; the only financial adjustment is the repayment of the overdraft from sale proceeds. The vesting mechanism in section 6 is particularly significant: the land vests in the Crown freed and discharged from all trusts, limitations and restrictions whatsoever, and is deemed to be unalienated Crown land. This extinguishes any private or charitable equitable interests that may have attached to the Macedon land, such as any implied trust for the benefit of consumptive patients. For other property, vesting is absolute in the Crown. Indemnity under section 5 discharges the corporation, its governors, committee of management, officers and members jointly and severally from any liability arising before or after commencement of the Act in respect of the corporation or any act, matter or thing in connection therewith or under the Act. This is a full statutory release, not merely an indemnity against costs. Dissolution occurs by Order of the Governor in Council published in the Government Gazette after all conveyances and transfers are completed; the corporation then ceases to exist by force of the Act. Consolidated Fund is the destination for any surplus proceeds after the specified deductions, as amended by the Public Account (Trust Funds) Act 1982. The Treasurer of Victoria is the officer to whom testamentary gifts are redirected and who receives and applies proceeds under section 7. The Schedule identifies the specific parcels of Macedon land by Crown allotment numbers, parish (Kerrie), county (Bourke), and certificate of title or Crown grant references, providing certainty of description for the compulsory transfer.

The Act directly affects a narrow set of parties. The Victorian Sanatoria for Consumptives as a corporate entity is the primary object: it must convey its entire property to the Crown and then be dissolved. Its governors (the members entitled to vote at general meetings), committee of management (the elected managing body), officers (such as the secretary, treasurer, or superintendent), and members (any other persons associated with the corporation) are the beneficiaries of the broad indemnity under section 5, and their liability for past or future claims is extinguished. The Crown, through the Governor in Council (who may order dissolution and direct disposal of the land under the Land Acts) and the Treasurer of Victoria (who receives testamentary gifts and applies proceeds), acquires all property without paying compensation and assumes control over the Macedon land. Executors and trustees of wills and codicils made before the Act came into operation (4 September 1911) that direct sums to the Sanatoria are affected by section 8: they must pay those sums to the Treasurer instead, and the Treasurer’s receipt is a sufficient discharge, relieving them of further responsibility toward the intended donee. Creditors of the corporation are indirectly affected because the proceeds of sale are applied first to repay the overdraft paid by the Treasurer to the London Bank of Australia Limited, but any other creditors appear to have no claim against the Crown, as section 9 bars compensation. The London Bank of Australia Limited is the specific creditor whose overdraft is repaid from proceeds under section 7(1)(a). Taxpayers are affected insofar as any surplus proceeds from the land or testamentary gifts flow into the Consolidated Fund, reducing the need for other revenue, but conversely the Crown assumed the overdraft repayment. The general public is affected only in the sense that the Macedon land becomes unalienated Crown land which may be reserved for public purposes or sold under the Land Acts. The Act does not affect any persons who might have had equitable claims under charitable trusts attaching to the land, because section 6 extinguishes those claims. Notably, future testators are not affected; section 8 is limited to wills and codicils of which probate was granted before the Act’s commencement. No amendment subsequent to 1911 has expanded the personal scope of the Act.

The Act imposes a single compulsory duty: the corporation must, as soon as practicable after commencement, convey and transfer to His Majesty the Macedon land and all other property, including real and personal property, choses in action, privileges and rights of pecuniary value, and all records, books, deeds and documents (section 2). This duty arises without any option to refuse or negotiate; no consideration is payable by the Crown. The mode of performance is specified in section 3: the conveyance or transfer must be in writing under the corporation’s seal, attested by any two or more persons elected to the committee of management at the last election of such committee by the governors. This is a low-formality requirement designed to allow the committee members still available to execute the transfers. The corporation also has the right to have its costs, charges and expenses arising under the Act paid from the proceeds before any surplus goes to the Consolidated Fund (section 7(1)(b)). The governors, committee, officers and members have the right to be indemnified, freed and discharged from any liability arising in respect of the corporation or any act under the Act (section 5). This extinguishes all past and future claims against them personally, including any that might have arisen from breach of trust, mismanagement, or unpaid debts of the corporation. The Crown, through the Governor in Council, has the power to dissolve the corporation by Order published in the Government Gazette once all conveyances and transfers are completed (section 4). The Crown also has the right to deal with the vested land as unalienated Crown land, including reserving it or selling it by auction or otherwise under the Land Acts (section 6(1)), and other property vests absolutely in the Crown (section 6(2)). The Treasurer of Victoria has the right to receive all testamentary gifts that would otherwise have gone to the corporation, and to give a sufficient discharge to the executors or trustees paying them (section 8). The Treasurer must apply the proceeds from sales and testamentary gifts in the order set out in section 7: first to repay the £394 12s 4d overdraft to consolidated revenue, second to pay costs under the Act, and third to pay the surplus into the Consolidated Fund. No person or body, whether incorporated or not, is entitled to receive any money or consideration or compensation from the Crown for any act, matter or thing under the Act, except as expressly provided in the Act itself (section 9). This provision prevents any common law claim for compensation arising from the compulsory acquisition of the property or from the dissolution of the corporation.

The Act contains no penalty provisions, no offence-creating sections, and no express enforcement mechanism. Compliance is achieved through the legal force of the Act itself. The duty of the corporation to convey and transfer its property under section 2 is mandatory: it must do so as soon as practicable after commencement. If the corporation failed to comply, the Crown could potentially seek an order for specific performance or a vesting order under general law, although the Act does not provide any statutory enforcement procedure. The transfer is validated by section 3 if made under seal attested by two or more committee members, so even if the corporation’s governance was defunct, the committee members remaining could validly execute the documents. The Governor in Council’s power to dissolve the corporation under section 4 is contingent on the conveyances and transfers being duly made and completed. Until that condition is satisfied, the corporation theoretically continues in existence, though the Act does not impose a time limit. The dissolution itself is not a penalty; it is the concluding step of the winding-up. The indemnity under section 5 effectively removes any incentive for third parties to pursue the governors, committee, officers or members personally, because their liability is discharged regardless. Section 9 bars any claim for compensation against the Crown, which removes any incentive for persons with potential claims to seek enforcement of rights against the property. The Act relies on the fact that the corporation’s committee requested the legislation (as recited in the preamble: the committee of governors last elected desire that provision be made for the transfer of such property), so voluntary compliance was expected. The absence of penalties suggests the Act was a cooperative arrangement to regularise the position of a defunct charity, not an adversarial expropriation. Nevertheless, the Crown’s position is legally impregnable: if the corporation did not transfer, the Crown could rely on the Act as authorising a vesting order, and section 6 provides that the land vests by virtue of the Act on transfer, not on completion of any formality. The amendment history shows no subsequent introduction of penalties or enforcement provisions.

The Act operates within a web of Victorian legislation, both referenced in the text and implied by its operation. The Hospitals and Charities Act 1890 is the foundational statute under which the Victorian Sanatoria for Consumptives was incorporated by Order in Council on 13 January 1904, pursuant to section 4 of that Act. Section 13 of the 1890 Act caused all real and personal estate held in trust for the unincorporated institution to be transferred to and vested in the corporation upon incorporation. The by-laws made under section 10 of that Act, published on 9 March 1904, governed the management of the corporation and are recited in the preamble. The present Act effectively supersedes the Hospitals and Charities Act 1890 in relation to this corporation by compelling dissolution and vesting property in the Crown, but it does not amend or repeal the 1890 Act generally. The Land Acts are expressly referenced in section 6(1): the Macedon land, once vested in the Crown freed from all trusts, is deemed to be unalienated land of the Crown and may be reserved or sold by auction or otherwise disposed of under the Land Acts as the Governor in Council directs. This brings the land within the general regime for Crown lands managed by the relevant department. The Public Account (Trust Funds) Act 1982, No. 9861/1982, amended section 7 of this Act by substituting a new paragraph (c) regarding the destination of surplus proceeds, changing the provision from a reference to a specific trust fund to a payment into the Consolidated Fund. The explanatory details note that the amendment proposed by the 1982 Act to section 7 is not included in this publication due to an incorrect reference to section 7(3), creating some textual uncertainty. The Statute Law (Further Revision) Act 2002, No. 11/2002, repealed section 7(2), which presumably was an obsolete provision. Section 8 of this Act overrides the ordinary law of wills and testamentary dispositions: it directs that any will or codicil made before commencement that purported to give sums to the Sanatoria is to be read and construed as if the sums were directed to the Treasurer of Victoria. This operates as a statutory variation of testamentary dispositions, overriding the testator’s intention as expressed in the will, but only for sums not yet paid at commencement. Section 9 excludes any liability on the Crown beyond what is expressly provided, which would prevail over any general compensation statute or common law right that might otherwise apply. The Act does not interact with modern charities legislation, anti-discrimination law, or occupational health and safety law, because it is a winding-up statute that was effectively spent once the transfers were completed and the corporation dissolved.

The Act has been amended twice since its assent on 4 September 1911. The first amendment was made by the Public Account (Trust Funds) Act 1982, No. 9861/1982, which received assent on 5 January 1982. Section 3(1)(Schedule 2) of that Act substituted a new section 7(1)(c). The original section 7(1)(c) had directed surplus proceeds from the sale or disposition of property and from testamentary gifts to be paid into a specific trust fund or held for particular purposes. The substituted provision simplified this by directing that any surplus shall be paid into the Consolidated Fund. The 1982 Act commenced on 1 July 1982 for Schedule 2 (the relevant part) and the rest of the Act commenced on 12 January 1983. However, the explanatory details in the endnotes state that the amendment proposed to section 7 by the 1982 Act is not included in this publication due to an incorrect reference to section 7(3). The current text of the Act shows section 7 comprising only subsection (1) with paragraphs (a), (b) and (c) as substituted, and no subsection (3). It appears that the 1982 Act may have attempted to amend a non-existent section 7(3) or referenced the wrong subsection; the endnote suggests that the publisher has not included the amendment because of this error. However, the substitution of section 7(1)(c) is shown in the text as having been made by the 1982 Act, so the amendment is at least partially effective. The second amendment was made by the Statute Law (Further Revision) Act 2002, No. 11/2002, which received assent on 23 April 2002. Section 3(1)(Schedule 1 item 64) of that Act repealed section 7(2). The 2002 Act provided that the repeal was retrospective to 1 July 1982, meaning it took effect from the same date as the 1982 amendment. The content of the repealed section 7(2) is not retained in the published version, but it was likely a transitional or savings provision that had become redundant. The 2002 Act was a statute law revision Act that removed obsolete and spent provisions from the statute book. Neither amendment altered the core operative provisions of sections 1 through 6, 8 or 9, which remain as enacted in 1911. The Act has not been amended by any Act relating to charities, Crown land management, or public finance in the subsequent decades, despite changes to the broader legislative framework.

The source text discloses no litigation history for this Act. The Act is a short, narrow, private or local Act designed to wind up a specific defunct charity, and its structure strongly suggests it was enacted by consent or request of the remaining governors to avoid litigation. The preamble recites that the committee of governors last elected desire that provision be made for the transfer of such property and the disposal of such surplus and the dissolution of the said Corporation. This indicates that the governors sought the legislation to regularise the position of the closed institution, rather than the Crown imposing a solution against their will. The broad indemnity in section 5, discharging all liability of the governors, committee, officers and members jointly and severally from any liability arising in respect of the corporation or any act under the Act, was designed to foreclose any potential claims against them personally. Section 9 similarly bars any compensation claim against the Crown. The Act’s effect was to extinguish any property rights, equitable interests, or testamentary expectations that might otherwise have given rise to litigation. The land at Macedon vested in the Crown freed from all trusts, limitations and restrictions (section 6), so any person claiming a beneficial interest under a charitable trust would have no standing to challenge the vesting. The redirection of testamentary gifts to the Treasurer (section 8) could theoretically have been challenged by the testator’s estate or next of kin on the basis that the gift had failed and should fall into residue or pass on intestacy, but the Act expressly overrides the will, and the case is likely to have been considered too small to litigate. The fact that the object of the gift (the corporation) was defunct before the Act meant that the gift would otherwise have lapsed or failed, and the Act provided a practical alternative destination. The absence of any reported litigation in the source suggests that the Act achieved its purpose without dispute. It remains possible that property conveyances were contested in the Titles Office or that minor procedural issues arose, but the Act’s clear language and the cooperation of the committee likely avoided court proceedings. Practitioners researching this Act today should still check the Victorian Supreme Court and Land Court databases for any unreported decisions, as the source does not claim comprehensiveness on litigation.

Several features of the Act present traps for the unwary reader. The retrospective redirection of testamentary gifts under section 8 applies to all wills and codicils of which probate was granted before the Act’s commencement on 4 September 1911. This means any executor or trustee who had not yet paid sums to the Sanatoria at the commencement date must pay them to the Treasurer of Victoria instead, regardless of the testator’s explicit direction. The receipt of the Treasurer is a sufficient discharge. An executor who mistakenly pays the defunct corporation or its liquidator after the Act’s commencement could face personal liability for misapplying estate assets. The indemnity in section 5 is dramatically broad: it covers all liability arising whether before or after the commencement of the Act in any manner in respect of the corporation or any act, matter or thing in connection therewith or under the Act. This goes beyond mere indemnification against costs; it extinguishes the underlying liability. A governor who may have been personally liable for a debt of the corporation, or even for breach of fiduciary duty, is freed from that liability. However, the indemnity does not expressly cover claims by the Crown for fraud or dishonesty, though the language is wide enough to encompass any liability whatsoever. The bar on compensation in section 9 is equally broad: no person or body (whether incorporated or not) shall be entitled to or shall receive from or on behalf of His Majesty any money or consideration or compensation in respect of or in any manner arising out of any act, matter or thing under this Act. This means even if the Crown sells the Macedon land at a substantial profit, no one who contributed to the Sanatoria or who might have had a charitable interest can claim a share. The transfer without consideration under section 2 means the corporation receives nothing for the land and other assets. The only financial benefit to the corporation is the payment of its costs, charges and expenses from the proceeds (section 7(1)(b)), but these are paid after the overdraft is repaid, and only to the extent there are sufficient proceeds. Uncertainty over the 1982 amendment: the explanatory details state that the amendment proposed to section 7 by the Public Account (Trust Funds) Act 1982 is not included in this publication due to an incorrect reference to section 7(3). Yet the current text shows section 7(1)(c) as substituted by that Act. This inconsistency means a practitioner should verify the exact wording of section 7 as at the relevant date. The repeal of section 7(2) by the Statute Law (Further Revision) Act 2002, with retrospective effect to 1 July 1982, means that any rights or obligations under that subsection were deemed never to have existed after that date. The land vesting free of all trusts under section 6(1) could catch a person who had a valid equitable charge or lease over part of the Macedon land; that interest is extinguished without compensation. Finally, the Act remains in force despite the corporation having been dissolved likely decades ago. If any property was not conveyed or any proceeds not accounted for, the Crown may still have rights under the Act, and section 8 continues to operate for any testamentary gifts that remain unpaid.

Compliance obligations under this Act are almost entirely historical and spent, given that the corporation was dissolved and the property transferred over a century ago. However, for any practitioner encountering the Act in a contemporary context, the following steps apply. For an executor or trustee of a will or codicil that probate was granted before 4 September 1911, and where sums are directed to be paid to the Victorian Sanatorium for Consumptives or the Victorian Sanatoria for Consumptives (however styled), and those sums have not yet been paid in full, the correct action is to pay the outstanding amount to the Treasurer of Victoria for the time being. Section 8 directs that the will or codicil is to be read and construed as if the sum were directed to the Treasurer. The Treasurer’s receipt is a sufficient discharge to the executor or trustee. No further obligation to the defunct corporation or beneficiaries exists. For the Crown (through the Treasurer), the proceeds of any sale or other disposition of land or other property transferred under the Act, together with any sums received under section 8, must be applied in the following order: first, to repay the sum of £394 12s 4d (the overdraft paid to the London Bank of Australia Limited on 14 March 1910) to consolidated revenue; second, to pay any costs, charges or expenses arising under the Act; and third, any surplus must be paid into the Consolidated Fund (section 7(1)). The 1982 amendment substituted the original subsection (1)(c) to direct surplus to the Consolidated Fund rather than to a specific trust fund. For the Governor in Council, if the conveyances and transfers have been duly made and completed (which occurred historically), the power to dissolve the corporation by Order published in the Government Gazette under section 4 is exercisable. If the corporation was not dissolved at the time, the Order should be published now, declaring dissolution from the date of the Order or a specified date. For anyone holding records, books, deeds or documents that belonged to the corporation, section 2(b) requires them to be conveyed and transferred to His Majesty. Any such records still in private hands should be delivered to the relevant Crown land or revenue authority. For a person claiming an interest in the Macedon land (now described in certificates of title and Crown grants identified in the Schedule), section 6(1) declares the land vested in the Crown freed from all trusts and restrictions and deemed unalienated Crown land. No compensation is payable (section 9). Any claim to an equitable interest is extinguished. The only practical step is to ensure the Crown’s title is recorded in the Register under the Transfer of Land Act. For anyone seeking to rely on the indemnity under section 5, no action is required: the indemnity, release and discharge operate by force of the Act from the date of dissolution of the corporation. However, if a claim is brought against a former governor, committee member, officer or member, the Act provides a complete defence. The person should produce a copy of the Act and the Government Gazette dissolution order.
