Victorian Convention and Event Trust Act 1996

Corporate entity and statutory purpose. The Trust is a public statutory corporation constituted by the Act, with perpetual succession and full corporate capacities (s 4). The main statutory purpose is management of convention and exhibition facilities and associated services in Victoria (s 1, s 5). The purpose clause also signals the abolition of the former Melbourne Exhibition Centre Trust and repeal of the 1994 Act (s 1).

Ministerial control and Ministerial determinations. The Act creates multiple formal levers for Ministerial influence. The Minister may give general directions and specific directions in relation to specified spending of Trust funds or other matters (s 7(1)). The Trust is required to operate subject to the general direction and control of the Minister (s 7(2)). A distinct mechanism is the Minister’s power to make determinations under s 5A that specify matters in relation to which the Trust must support Victoria’s tourism or events industry; such determinations must be published in the Government Gazette and take effect on publication or a later date as specified (s 5A).

Corporate planning and ministerial oversight. The Act imposes a formal corporate planning regime. The Trust must prepare and submit a corporate plan annually in an approved form, including a statement of corporate intent (s 23(1)-(3)). The Minister may comment on, require modifications to, or direct the inclusion or omission of specified matters in the plan, and the Trust must comply with some directions after consultation (s 23(4)-(11)). The Trust must act only in accordance with the corporate plan, unless the Minister provides written approval to act otherwise (s 25).

Commercial powers with approval constraints. The Trust is given broad commercial powers, including forming or joining corporations, trusts, partnerships, subscribing for securities or units, or entering into profit‑sharing, joint venture or other commercial arrangements (s 18). However, these powers are conditional on Ministerial approval (s 18(1)). Reciprocal arrangements with public sector agencies are possible, but require Governor in Council consent on the Minister’s recommendation, and allocation-of-funds provisions require the Minister to consult the Treasurer (s 19).

Financial instruments and user charging. The Trust may impose fees and charges for providing facilities or services (s 17). Borrowing and investment powers are conferred through incorporation of the Borrowing and Investment Powers Act 1987 (s 22). The Act also constrains transparency of its corporate plan, which must not be published without Trust and Minister approval (s 23(6)).

Land tenure and restrictions. The Trust is an authority under the Land Act 1958 for section 22A purposes (s 20). The Act places explicit limits on the Trust’s ability to sell, mortgage or otherwise dispose of land in fee simple, and on its ability to use land vested in or controlled by it other than for Trust purposes, without the Minister’s written approval (s 21). The Trust may also be appointed committee of management of reserved Crown land consistent with its functions (s 6(2)(b)).

Governance and conflict of interest safeguards. Membership is set between three and nine part‑time members appointed by the Governor in Council (s 8). Appointment terms, remuneration, and application of the Public Administration Act 2004 to members are specified (s 9). The Act requires disclosure and management of direct or indirect pecuniary interests, imposes non‑participation and no‑vote rules where conflicts arise, and records procedural steps for declarations and minutes (s 14). It also provides grounds and a mechanism for suspension or removal of members on the Governor in Council’s recommendation (s 11(3)-(4)).

Meetings and quorum rule. At meetings the chairperson presides, with specified fallback to acting chairperson or deputy chairperson (s 15(1)). A quorum is a majority of the Trust’s current membership (s 15(2)). Decisions are by majority of members present and voting, with the presiding officer having a casting vote on equality (s 15(3)).

Transitional and naming arrangements. The 2024 amendments renamed the body to the Victorian Convention and Event Trust, preserved continuity of the body and members, and provided that references to the former Act or the former Trust name in other instruments are taken to be references to the new name, unless context requires otherwise (s 29).

Directly affected entities. The primary affected entity is the Trust itself, which is created and regulated by the Act (s 4). State ministers and the Governor in Council have appointment and oversight roles that affect the Trust’s governance and operations (ss 7, 8, 9, 11). The Treasurer is a consultative party where reciprocal arrangements propose allocation of funds (s 19(2)). The Museums Board of Victoria is an interested stakeholder where the Trust seeks to promote, manage or use the Royal Exhibition Building and Exhibition land, because such arrangements are subject to any agreement with the Museums Board (s 5(d)).

Users and customers. Entities and persons who use convention and exhibition facilities, including event organisers, exhibitors, delegates, attendees, tour operators, and associated hospitality businesses, are affected because the Trust may impose fees or charges for facilities and services (s 17). Fees imposed by the Trust will affect pricing to users and commercial viability of events that depend on those spaces.

Commercial partners and counterparties. Private sector entities that might be potential partners, contractors, licensees, or co‑venture participants are affected, because the Trust has express powers to enter contracts, form companies, buy securities or trust units, and enter joint venture or profit‑sharing arrangements, subject to Ministerial approval (s 6(2)(c)-(e); s 18). Those approval requirements affect the negotiation and timing of commercial deals.

Local government and public sector agencies. Municipal councils, other public sector agencies or bodies established by statute may be counterparties to reciprocal arrangements with the Trust, including use, joint use or allocation of staff and facilities (s 19(1)). Where such arrangements would allocate funds collected under them, the Treasurer must be consulted before the Minister makes a recommendation for Governor in Council consent (s 19(2)).

Crown land management and land sectors. The Trust may be appointed as committee of management of reserved Crown land where that land’s purposes are consistent with the Trust’s functions (s 6(2)(b)). The Trust is also an authority under the Land Act 1958 (s 20), which will affect dealings over Exhibition land and any Crown land the Trust manages. Owners of land or capital markets are indirectly affected by the restriction on the Trust selling, mortgaging or otherwise disposing of land in fee simple without the Minister’s written approval (s 21).

Employees and executive staff. The Act authorises the Trust to appoint an executive officer and to engage staff necessary for its functions, with the executive officer’s term limited to up to five years (s 16). Members and acting members are subject to remuneration and allowances rules, and members are subject to Public Administration Act obligations (s 9(2)-(3); s 12(3)).

Taxpayers and the Victorian Government. The Ministerial control of spending (s 7) and the requirement for corporate plans, performance measures and half‑yearly reporting (ss 23-24, 27) create channels through which public funds, if used, are directed and monitored. The Act does not itself appropriate funds, but the Minister’s directions may require the Trust to spend specified funds for promotion or other purposes (s 7(1)(b)).

Indirectly affected sectors. The tourism, hospitality, transport and accommodation sectors will be affected by the Trust’s decisions about management of venues, fees, and festival or conference attraction activities, particularly where the Minister determines matters for supporting the tourism or events industry under s 5A. Those determinations may influence which events are prioritised and therefore which commercial players benefit from Trust activities.

Duties to follow Ministerial direction and corporate plan. The Trust is required to carry out its functions, duties and powers subject to the general direction and control of the Minister and any specific directions the Minister issues (s 7(2)). The Trust must prepare a corporate plan annually, submit it to the Minister by 31 May, consider the Minister’s comments, negotiate in good faith, make agreed changes and deliver the completed plan within two months after the start of the financial year (s 23(1)-(5)). The Trust must act only in accordance with the corporate plan, unless it first obtains the Minister’s written approval to do otherwise (s 25).

Duty to publish or give effect to Minister determinations. Where the Minister makes determinations under s 5A about the matters in which the Trust must provide support for Victoria's tourism or events industry, the determination must be published in the Government Gazette and takes effect on publication or a later date specified in the determination (s 5A(1)-(2)).

Pecuniary interest disclosure and non‑participation. Members must declare direct or indirect pecuniary interests that could conflict with performance of duties, have that declaration minuted, not be present during deliberations on the matter unless the Trust directs otherwise, and must not vote on the matter (s 14(1)-(3)). Votes in contravention of the no‑vote rule are to be disallowed (s 14(4)). There are narrow non‑conflict exceptions for goods or services available to the public on the same terms, and for small beneficial interests up to 1% (s 14(6)).

Appointment, tenure and remuneration duties. Members are appointed by the Governor in Council for terms not exceeding three years and are eligible for reappointment (s 9(1)). Members are entitled to remuneration and allowances fixed by the Governor in Council (s 9(2)). The Public Administration Act 2004 applies to members in relation to the office (s 9(3)). The Minister appoints a chairperson, may appoint a deputy chairperson, and may appoint an acting chairperson for periods not exceeding three months where the chairperson is unable to perform duties (ss 10, 10A, 10B).

Operational powers and duties. The Trust has a duty to perform its functions and is empowered to do anything necessary or convenient in connection with those functions, including acquiring and disposing of property, entering agreements, appointing agents, and acting as agent (s 6(1)-(2)). The Trust may impose fees and charges for services provided (s 17), and may form or participate in other entities with Ministerial approval (s 18).

Financial reporting and compliance duties. The Trust must prepare statements of corporate intent and include specified information for the financial year and the following two years, including objectives, undertakings, nature and scope of activities, accounting policies and performance targets (s 24). The Trust must give half‑yearly reports and financial statements to the Minister in February for the preceding six months ending 31 December, and include any information the Minister requires (s 27).

Land‑related duties and limitations. The Trust is an authority under the Land Act for certain purposes (s 20). The Trust must obtain the Minister’s written approval before selling, mortgaging or otherwise disposing of land in fee simple, or using land vested in or managed by it otherwise than for Trust purposes (s 21).

Rights to commercial activity and arrangements. The Trust has an explicit right to impose fees (s 17), to enter into arrangements including forming corporations, holding securities or entering joint ventures (s 18), and to enter reciprocal arrangements with public sector agencies (s 19), subject to the approval and consent mechanisms specified in the Act.

Regulatory and regulatory‑style rights. The Governor in Council may make regulations to prescribe matters required or permitted by the Act (s 28). The Trust’s corporate plan may be modified with Minister agreement, but publication of the plan is restricted unless Trust and Minister approve (s 23(6)-(8)).

Protections for acts despite non‑compliance. The Act declares that nothing done by the Trust is void or unenforceable merely because of non‑compliance with Part 4 (corporate planning and reporting) (s 26). Additionally, acts of the Trust are not invalidated due to defects in appointment or vacancies among members (s 13).

Absence of express criminal penalties in the Act. The Act, as reproduced, contains no express offence provisions prescribing criminal penalties for failure to comply with most of its obligations. The statutory regime relies primarily on governance controls, ministerial oversight, appointment and removal mechanisms, and administrative directions rather than on express penal sanctions within the Act text.

Administrative enforcement via Minister and Governor in Council powers. Enforcement mechanisms are primarily administrative. The Minister may give directions and exercise general control over the Trust’s functions and spending (s 7). The Governor in Council may suspend or remove a member on the Minister's recommendation for specified misconduct, negligence, failure to disclose conflict of interest, or prolonged inability to perform duties (s 11(3)-(4)). The Minister may appoint acting members to cover temporary vacancies (s 12). These mechanisms create administrative leverage rather than criminal sanctions.

Remedies through fiduciary and public law channels. Although the Act does not create express criminal offences for general non‑compliance, statutory duties to act in accordance with the corporate plan (s 25), to comply with Ministerial directions (s 7), and to manage conflicts of interest (s 14) create obligations subject to public law remedies. Breach of statutory duties may give rise to administrative review, judicial review for jurisdictional error or failure to perform statutory duties, and civil remedies if legal or equitable duties are contravened. The Act itself does not elaborate these remedies, but ordinary public law and administrative law principles would provide enforcement routes.

Financial controls and consultation requirements. The Act imposes procedural controls whose breach may be material to funding or consent decisions. For example, reciprocal arrangements allocating funds require Governor in Council consent on the Minister’s recommendation, and the Minister must consult the Treasurer before making such a recommendation (s 19(1)-(2)). Failure to adhere to these procedures could affect the validity of agreements or the availability of funding under related statutory frameworks.

Disclosure and governance enforcement. The Act prescribes disclosure and abstention requirements for members with pecuniary interests (s 14). Contravention of the no‑vote rule is addressed by disallowance of the vote (s 14(4)); repeated or serious failures could be grounds for suspension or removal under s 11(3)-(4) for improper conduct, negligence, or failure to disclose a conflict of interest.

Regulatory instruments. The Governor in Council may make regulations to prescribe matters necessary to give effect to the Act (s 28). Regulations can create additional compliance obligations and may potentially create offences or penalties, subject to parliamentary disallowance (s 28(2)). As at the text provided, no regulations or penalties contained in subordinate instruments are reproduced.

Protections for transactional validity. The Act contains protection clauses that preserve the validity of Trust acts despite non‑compliance with some procedural requirements. Acts or decisions are not invalid solely because of member appointment defects or vacancies (s 13) and nothing done under Part 4 is void merely for non‑compliance (s 26). These provisions limit the risk that private counterparties will face invalidated transactions due to procedural errors.

Public Administration Act 2004. The Act applies the Public Administration Act 2004 to members in respect of their office, excepting Part 3 of that Act (s 9(3)). This places members within the broader public sector governance regime for conduct, ethics and other obligations as set out in the Public Administration Act.

Land Act 1958 and Crown land management. The Trust is declared an authority for the purposes of section 22A of the Land Act 1958 (s 20(1)). The powers conferred by s 22A, as applied to the Trust, are stated to be in addition to and not derogatory of other Trust powers (s 20(2)). The Trust may be appointed committee of management for Crown land under the Crown Land (Reserves) Act 1978 where purposes are consistent with the Trust’s functions (s 6(2)(b)). However, the Trust cannot sell, mortgage or otherwise dispose of land in fee simple, or use land vested in it other than for Trust purposes, without the Minister’s written approval (s 21). These provisions create specific interfaces with Crown land tenure and management regimes.

Borrowing and Investment Powers Act 1987. The Trust’s borrowing and investment powers are those conferred by the Borrowing and Investment Powers Act 1987 (s 22). Any borrowing or investment activity therefore operates within the constraints and rules set by that Act, including limits or procedural requirements it imposes.

Museums Act 1983 and Museums Board of Victoria. The Trust’s functions in relation to the Royal Exhibition Building and Exhibition land are explicitly subject to any agreement or arrangement between the Trust and the Museums Board of Victoria, and require Ministerial approval for such promotion, management or use for the periods approved (s 5(d)). This creates an interdependency with the Museums Act framework and the Museums Board’s role over Exhibition land.

Governor in Council and Treasurer consultation. Reciprocal arrangements with public sector agencies that involve allocation of funds require Governor in Council consent on the Minister’s recommendation (s 19(1)). If allocation of funds is proposed, the Minister must consult the Treasurer before recommending consent (s 19(2)). This creates an interlock with executive government decision‑making and public financial management processes.

Statutory instruments and regulations. The Governor in Council may make regulations for matters required by the Act or necessary to give the Act effect (s 28). Those regulations are subject to parliamentary disallowance (s 28(2)). The Act’s interaction with subordinate legislation means compliance may require monitoring both the Act and any regulations that Parliament or the Executive makes under it.

Corporate and contract law. The Trust’s power to enter contracts, form or participate in corporations, and hold securities or units (s 6(2)(c)-(e); s 18) brings it within ordinary corporate and contract law frameworks when those vehicles are used. Ministerial approval required by s 18 may affect the structure and timing of such corporate deals.

Transitional and re‑naming effects. The Melbourne Convention and Exhibition Trust Amendment Act 2024 altered the Act’s title and made other amendments. Transitional provisions state that the Trust continues to be the same body despite the name change and that references to the former Act or Trust title in other instruments are taken as references to the new title unless context otherwise requires (s 29). This reduces the risk of interpretative friction across statutes and instruments referencing the former name.

Interpretation of Legislation Act 1984. The endnotes reference the Interpretation of Legislation Act 1984 and related style changes, noting that headings, punctuation and other textual elements form part of the Act’s meaning as applicable (Endnotes). Practitioners should be aware those interpretive rules apply to the Act as amended.

Chronology contained within the Act. The endnotes and the table of amendments in the reproduced text list the statutory amendments that have been incorporated into this version. The key legislative instruments affecting the Act, and the dates recorded in the table, are:

• Public Sector Reform (Miscellaneous Amendments) Act 1998, No. 46/1998, assent 26 May 1998, with relevant commencement 1 July 1998 for certain items (Table of Amendments).
• Public Administration Act 2004, No. 108/2004, assent 21 December 2004, with commencement for the relevant amendment on 5 April 2005 (Table of Amendments).
• Public Sector Acts (Further Workplace Protection and Other Matters) Act 2006, No. 80/2006, assent 10 October 2006, with relevant commencement 11 October 2006 (Table of Amendments).
• Planning Legislation Amendment Act 2009, No. 66/2009, assent 17 November 2009, with commencement 18 November 2009 for relevant sections (Table of Amendments).
• Statute Law Revision Act 2011, No. 29/2011, assent 21 June 2011, with commencement 22 June 2011 for the relevant item (Table of Amendments).
• Melbourne Convention and Exhibition Trust Amendment Act 2024, No. 38/2024, assent 22 October 2024, with commencement of ss 4-16 on 5 February 2025 for the relevant changes (Table of Amendments; s 29 transitional provisions).

Scope of the 2024 amendments. The 2024 Amendment Act effected several textual and structural changes recorded in this version of the Act. Notable modifications include the change of the Act and Trust title to the Victorian Convention and Event Trust Act 1996 and the addition of new definitions and governance provisions: insertion and substitution of definitions for chairperson, deputy chairperson and acting chairperson (s 3); amendments to Part 2 headings and to the establishment provision (s 4); insertion of s 5(da) to add a function supporting Victoria’s tourism or events industry and insertion of s 5A enabling Minister determinations related to that function; insertion of provisions for deputy and acting chairpersons (ss 10A, 10B); expanded vacancy, temporary vacancy and meeting provisions (ss 11-15); and substitution of s 29 to provide transitional arrangements for the name change and continuity of members (s 29). The table confirms these commencements took effect on 5 February 2025 for the relevant sections.

Content‑level amendment examples. Earlier amendments introduced specific functional clarifications. For example, the Planning Legislation Amendment Act 2009 amended s 5(a) and (b) and s 5(d) to make express reference to development of tourism or hospitality facilities, and to the Royal Exhibition Building management with Minister approval (Table of Amendments). The Public Administration Act 2004 amendment applied much of that Act to members (s 9(3)). The Public Sector Acts 2006 and Public Sector Reform 1998 amendments adjusted remuneration and procedural details. The Statute Law Revision Act 2011 performed textual revisions or consolidations.

Transitional continuity. Section 29 establishes transitional continuity, confirming the Trust continues as the same body despite its name change and that members appointed under the earlier law remain for the remainder of their terms. It also provides that references in other Acts or instruments to the former Act or Trust name are taken to be references to the new title unless context otherwise requires (s 29(a)-(d)).

Limitations on amendment history in the source. The Act provides its own table of amendments and endnotes. The endnotes include a note that explanatory details have no entries at the publication date. Where further detail on the legislative history, second reading speeches or policy materials is needed, practitioners should consult parliamentary records and the official consolidated legislation website cited in the endnotes for primary materials.

No cases or judicial decisions are cited or summarised in the Act text or the endnotes provided. The Act’s endnotes include a “Minister’s second reading speech” citation and the dates of legislative passage and commencement, but do not record any judicial interpretation, litigation, or reported decisions. The “Explanatory details” section in the endnotes records no entries at the publication date.

Consequently, within the source material supplied there is no litigation history to rely upon for statutory interpretation or precedential guidance. That means that advice about how courts have treated this statute on issues such as the scope of Ministerial directions, the limits on land dealings, the operation of Ministerial determinations under s 5A, or the interplay with the Land Act 1958 is not available from the Act text itself.

Practical implication for research. For legal practitioners, compliance officers and commercial parties seeking to understand how courts have interpreted features of this Act, or how disputes involving the Trust have been resolved, an independent search of judicial databases and law reports is necessary. The Act does not include a list of cases, and the endnotes explicitly record the absence of explanatory details entries. Use of authoritative legal research services and the Victorian consolidated legislation website is necessary to identify any subsequent litigation, judicial review proceedings, or administrative law decisions involving the Trust.

Topics likely to prompt litigation. Even though no litigation is recorded in the provided source, the Act contains provisions that could give rise to disputes susceptible to judicial review or civil litigation. These include: the lawfulness of Ministerial directions and whether particular actions fall within the scope of a general or specific direction (s 7); the validity of corporate plan directives and whether the Trust properly followed or departed from its corporate plan (ss 23-25); the lawful exercise of powers to impose fees and charges and related commercial arrangements (s 17, s 18); the validity of land dealings where ministerial approval was not obtained or was challenged (s 21, s 20); and conflicts of interest involving members (s 14). Disputes in these areas would be litigated under general public law principles and relevant statutory frameworks.

Recommendation for due diligence. Given the absence of litigation history in the source, counsel and compliance teams should conduct contemporary case law searches for decisions after the latest amendment dates referenced in the table of amendments, especially decisions post‑2024 that might interpret new provisions such as s 5A or the acting/deputy chairperson rules. Also check subordinate legislation, Ministerial determinations published in the Government Gazette, and administrative decisions relating to specific transactions or site uses.

Ministerial control is broad and can be directive about spending. The Minister may issue general directions and very specific directions including directions about the spending of amounts specified by the Minister for promotion or other specified purposes (s 7(1)(b)). The Trust is bound to operate subject to the general direction and control of the Minister (s 7(2)). Practically, this means policy priorities set by the Minister can meaningfully shape the Trust’s operational and financial choices, including prioritisation of particular events or tourism initiatives. Commercial counterparties should expect political priorities to affect project approvals and timing.

Many commercial powers require Ministerial approval. The Trust’s ability to form corporations, acquire securities, enter joint ventures or profit‑sharing arrangements is not unilateral. Such arrangements require the Minister’s approval (s 18(1)). That approval gate can slow down corporate transactions, affect deal certainty, and introduce political or public policy considerations into commercial negotiations. Practitioners should plan for approval timelines and engagement with the Minister’s office.

Reciprocal arrangements with public sector agencies require higher executive consent for fund allocation. If a proposed agreement allocates funds collected under the arrangement, the Trust needs Governor in Council consent on the Minister’s recommendation, with mandatory consultation with the Treasurer prior to making that recommendation (s 19(1)-(2)). The need to involve the Treasurer and Governor in Council raises the prospect of central budgetary scrutiny and longer approval lead times where funds are redistributed between agencies or destinations.

Land dealings are tightly constrained. The Trust cannot sell, mortgage or otherwise dispose of land in fee simple or use land vested in it other than for Trust purposes without the Minister’s written approval (s 21). That restriction applies even where the Trust holds land as an authority under the Land Act 1958 (s 20). For developers, lenders, or buyers, this restriction increases transactional complexity and obliges explicit ministerial consent steps, which can delay or condition deals.

Corporate plan secrecy and operational limits. The corporate plan must not be published or made available without the prior approval of both the Trust and the Minister (s 23(6)). This limits transparency for external stakeholders and commercial partners. The Trust is also required to act only in accordance with its corporate plan unless it first obtains the Minister’s written approval (s 25). These two rules combined mean the Trust’s public commitments can be limited in visibility while simultaneously constraining its ability to respond flexibly without further Ministerial engagement.

Quorum and majority rules tied to current membership. The quorum is a majority of the Trust’s current membership (s 15(2)). Because membership may vary between three and nine, the numeric quorum shifts with appointments and vacancies. Parties expecting a fixed quorum should note that an appointee vacancy or acting appointment can alter the majority threshold and therefore meeting validity.

Conflict of interest exceptions are narrow but present. The Act exempts certain situations from being treated as a conflict of interest: supplies available to the public on the same terms and beneficial interests not exceeding 1% of total nominal value of such interests (s 14(6)). Members and counterparties should carefully test whether an interest falls within the exclusion; treating borderline interests as potentially conflicted remains prudent to avoid later disallowance of votes (s 14(4)) or grounds for removal (s 11(3)-(4)).

Acting chairperson time limit and governance transitions. Acting chairpersons under s 10B may be appointed for periods not exceeding three months if the chairperson is unable to perform duties. The deputy chairperson acts for up to three months in the absence of a chair if there is no acting chairperson (s 10A(2)). Frequent short acting appointments risk governance discontinuity or decision bottlenecks for prolonged absences exceeding three months.

Trust acts preserved despite procedural non‑compliance. The Act protects most Trust acts from being declared void solely for non‑compliance with Part 4 (s 26) and preserves acts despite appointment defects or vacancies (s 13). While this protects third parties and transactional stability, it also means internal procedural errors may not invalidate transactions, potentially insulating improper acts from quick external challenge unless other legal remedies apply.

Ministerial determinations must be gazetted. Determinations by the Minister under s 5A take effect on publication in the Government Gazette or a later date specified by the determination (s 5A(2)). Failure to check the Gazette may result in missing operative determinations that reorient Trust functions, so stakeholders should monitor Gazette publications.

Interactions with other statutory bodies. Use or control of the Royal Exhibition Building is contingent on agreement with the Museums Board (s 5(d)). Disputes about scope or occupation of Exhibition land can raise issues across multiple statutory frameworks including the Museums Act and Crown land governance. Practitioners should map the overlapping regulatory obligations and approvals.

Governance and appointment compliance. Ensure that appointments of members, chairperson, deputy chairperson and acting chairperson follow the Governor in Council and Ministerial appointment processes required by ss 8, 10, 10A and 10B. Record written resignations delivered to the Minister for any member wishing to resign (s 10(2); s 11(1)). Where vacancy or temporary incapacity arises, the Minister may appoint an acting member; ensure instruments of acting appointment specify remuneration and remit in line with s 12.

Conflict of interest management. Implement a written register and process for pecuniary interest declarations. Members with direct or indirect pecuniary interests should declare the nature of the interest as soon as practicable, have the declaration recorded in the minutes or tabled at the next meeting, and avoid presence and voting on the relevant matter unless the Trust expressly directs otherwise (s 14(1)-(3)). Apply the statutory narrow exceptions carefully and document reliance on them (s 14(6)). Ensure that any contravening votes are disallowed and that minutes reflect the disallowance (s 14(4)).

Ministerial directions and corporate plan. Prepare the annual corporate plan in the Minister‑approved form and deliver the proposed plan to the Minister on or before 31 May (s 23(1)-(2)). Include the required statement of corporate intent covering the financial year and two following years, business plan, and financial statements (s 23(3); s 24). Engage proactively with the Minister during the two‑month consultation window (s 23(4)-(5)). If the Trust proposes modifications, notify the Minister in writing and apply the 14‑day lapsing rule or accept a written Ministerial direction to prevent the modification (s 23(8)). Do not publish the plan or parts of it without Trust and Minister approval (s 23(6)). Ensure the Trust acts only in accordance with the corporate plan unless the Minister provides written approval otherwise (s 25).

Dealing with land. Before selling, mortgaging, or otherwise disposing of land in fee simple, or permitting use of land vested in the Trust for non‑Trust purposes, obtain the Minister’s written approval (s 21). Where Crown land or Exhibition land is involved, confirm whether the Trust is acting as committee of management under the Crown Land (Reserves) Act 1978 and that any dealings are consistent with the Land Act authority provisions (s 6(2)(b); s 20).

Approvals for commercial arrangements. For corporate formations, share or unit acquisitions, partnership interests, joint ventures or profit‑sharing arrangements, seek and document the Minister’s approval prior to finalising transactions, as required by s 18(1). For reciprocal arrangements with public sector agencies that involve allocation of funds, follow the procedure requiring Minister recommendation and Governor in Council consent, and consult the Treasurer where allocation of funds is proposed, before recommending to the Governor in Council (s 19(1)-(2)).

Fee setting and contracting. When imposing fees and charges for facilities or services, ensure decisions align with the corporate plan and any Ministerial directions (s 17; s 25). For contracts, ensure powers have been properly exercised under s 6, that the Trust has authority to enter the contract and that any required Ministerial approval for specific arrangements has been obtained (s 6(2)(c)-(e); s 18).

Reporting and disclosure. Provide half‑yearly reports and financial statements to the Minister in February for the six months ending 31 December, and include any additional information the Minister requires (s 27). Maintain minutes recording pecuniary interest declarations and manage records in accordance with public sector governance norms under the Public Administration Act where applicable (s 9(3)).

Regulatory and legislative monitoring. Monitor the Government Gazette for Ministerial determinations under s 5A and any regulations made under s 28 that prescribe further duties or create offences. Stay alert to Governor in Council instruments or Treasurer consultations required under s 19.

Operational risk controls. Given that many actions require Ministerial approval and that the Trust must generally act in accordance with its corporate plan, build approval‑path timelines into project plans. Where urgent action is contemplated, obtain written Ministerial approval to act outside the corporate plan or to modify the plan under s 23 and s 25 before proceeding.

Documentation and audit readiness. Keep clear, dated documentary evidence for all Ministerial approvals, Governor in Council consents, Treasury consultations, member declarations and minutes, corporate plan submissions and modifications, and half‑yearly reports. The Act’s protections for Trust acts despite defects do not substitute for good record keeping. Documentation will be essential if decisions are reviewed or if third parties seek to rely on the validity of Trust acts.

Legal review of novel arrangements. For transactions that involve complex corporate vehicles, land disposals or novel reciprocal funding allocations, obtain legal advice on required approvals and potential public law exposure. Given the Trust’s integration with other statutory regimes (Land Act, Borrowing and Investment Powers Act, Museums Act and Public Administration Act), coordinate legal reviews across these domains to ensure procedural compliance and to identify necessary consents.
