Victorian Conservation Trust Act 1972

Key statutory concepts and their statutory mechanics are the Trust, covenants, registration and enforceability, fiscal remissions, the VLCC Account, and trustee governance.

Trust (defined and constituted)

• The Trust for Nature (Victoria) is the statutory corporation established by s 2. It has a common seal and perpetual succession (s 2(1)) and its seal is accorded judicial notice (s 2(2)). Governance rules set trustee numbers (6-10 appointed by Governor in Council, s 4), terms (instrumented, not exceeding 4 years, s 5(1)), meeting quorums (majority, s 7(2)), and internal procedure and voting (majority; chair has casting vote, s 7(4)).

Covenants (s 3A)

• Landowners who own land the Trust considers ecologically significant, of natural interest or beauty, of historic interest or important for conservation may enter into a covenant with the Trust that binds them as to development, use or care of the land or objects on the land (s 3A(1)). Covenants may grant entry rights to the Trust, its officers or nominees, or members of the public (s 3A(2)), and may be released or varied with Minister’s approval (s 3A(3)). Ministerial approval procedure includes Trust notification to Minister with details and map (s 3A(5)); Minister may direct the Trust to notify nearby landowners and must consider submissions within one month (s 3A(6)-(8)); Minister’s decision is published in Government Gazette (s 3A(9)). Registrar of Titles may record the covenant on application (s 3A(10)), and where recorded, the burden runs with the land and the Trust may enforce against successors “as if it were a restrictive covenant” even if positive in nature (s 3A(11)).

Registration and enforceability

• Recording in the register (Registrar of Titles) is an application process; once recorded, statutory provision applies: the burden runs with the land and the Trust can enforce against successors as if a restrictive covenant though the covenant may be positive or not for Trust land’s benefit (s 3A(10)-(11)). The Transfer of Land (Single Register) Act amendments do not affect prior registered covenants under the Property Law Act (s 3A(12)).

Tax and rating remissions (s 3B)

• If preservation under covenant is assessed by the Trust as economically infeasible and thereby endangered, Trust may report to Minister (s 3B(1)). Minister may, with Treasurer consent, remit land tax payable under Land Tax Act 1958 attributable to that land (s 3B(2)(a)). Minister may also, after consultation and consent of a relevant rating authority, remit whole or part of relevant rates (s 3B(2)(b)). Remissions are subject to variation or revocation (s 3B(3)). The Commissioner of State Revenue and rating authorities must comply (s 3B(4)). Remitted tax or rates during the preceding five years become payable on release of covenant unless Minister otherwise directs (s 3B(5)).

VLCC Account (s 9)

• A Vacant Land Conservation Covenants Account is established in the Public Account as part of the Trust Fund (s 9(1)). Credits are limited to money required/authorised by any Act and interest (s 9(2)). Money in the VLCC Account is to be applied, in amounts authorised by the Secretary, toward reasonable costs and expenses incurred by the Trust in entering into covenants under s 3A(1) (s 9(3)). The Treasurer may direct payment of any excess to the Consolidated Fund after consultation with the Minister (s 9(4)). The Minister must include VLCC Account details and covenant numbers in departmental reports under the Financial Management Act 1994 (s 9(5)). Department and Secretary are statutorily defined (s 9(6)).

Trust powers and property dealings

• The Trust may accept gifts, purchase and dispose of real and personal property, surrender land to the Crown for specified purposes, invest funds not immediately required, reimburse trustees’ reasonable expenses, and pay remuneration to chair and trustees (s 3(2)(a)-(f)). Where land vested in the Trust is conveyed/transferred and surrendered to His Majesty and registration occurs, the land is deemed unalienated Crown land permanently reserved under the Crown Land (Reserves) Act 1978 for the purposes specified by the Trust and the Trust is freed from further duties (s 3(3)(a)-(b)).

Accountability and ministerial interface

• The Minister has a supervisory and decision role on covenants (approval, direction to notify), receives Trust reports (s 13), and is the decision-maker for remissions under s 3B with Treasurer and rating authority consents. The Governor in Council is the ultimate arbiter where an original covenanting owner cannot reach release agreement (s 3A(4)). The Act requires publication of Minister decisions (s 3A(9)) and departmental reporting on VLCC Account use (s 9(5)).

Liability and immunities

• Trustees are insulated from personal liability for acts or omissions done in good faith under the Act or in the reasonable belief they were performing functions or powers under the Act; any resulting liability attaches instead to the Trust (s 5A(1)-(2)). This moves financial/legal risk to the corporate Trust.

Transitional and continuity provisions

• The Act contains transitional provisions preserving continuity over name/structural changes and retains prior orders as s 3B orders where relevant (s 14). The endnotes list amendment Acts and effective dates.

These concepts together create a statutory framework for private land conservation instruments backed by public administrative approval and, where necessary, fiscal mitigation.

The Act’s legal architecture creates distinct categories of affected actors and defines who pays, who decides and who is enabled or constrained.

Primary affected parties

• Landowners: Owners of land deemed by the Trust to be ecologically significant or otherwise of conservation value are the primary actors affected. They may be asked or elect to enter into covenants that bind the development, use or conservation of their land (s 3A(1)). Covenants, once recorded, bind successors in title (s 3A(11)). Entering a covenant can restrict land-use options, may permit Trust or public entry (s 3A(2)), and can affect future sale value and development potential. Conversely, landowners may be eligible for tax and rating remissions where preservation is not economically feasible (s 3B(1)-(2)).

• The Trust for Nature (Victoria): The Trust is the statutory body empowered to negotiate and hold covenants, enforce them once registered, accept and dispose of property, reimburse trustees and remunerate officers (ss 2, 3, 3A, 3A(11)). It administers the VLCC Account for costs associated with entering covenants (s 9(3)).

• Minister and Treasurer: The Minister has approval and supervisory roles (approving covenants, considering submissions, publishing decisions, receiving reports), reports and decisions; the Treasurer must consent to land tax remissions (s 3A(5)-(9); s 3B(2)(a)). The Treasurer also has authority over transfers from the VLCC Account to the Consolidated Fund (s 9(4)).

• Rating authorities and Commissioner of State Revenue: Rating authorities’ consent is required for rate remissions (s 3B(2)(b)), and the Commissioner of State Revenue and rating authorities must comply with any remission order (s 3B(4)).

Secondary affected parties

• Successors in title and prospective purchasers: Once a covenant is recorded, successors are bound and the burden runs with the land (s 3A(11)). Prospective purchasers must take account of recorded covenants and potential public access rights (s 3A(2), (10)-(11)).

• Neighbouring landowners and the public: The Minister may direct that notice of a proposed covenant be given to surrounding owners (s 3A(6)), and the Trust may include public entry rights in a covenant (s 3A(2)). Notices trigger a one‑month submissions window to the Minister (s 3A(7)-(8)). Members of the public may gain access rights by covenant; the Trust may include rights for members of the public to enter the land (s 3A(2)).

• The Registrar of Titles: The Registrar is the statutory gatekeeper for recording covenants on title; recording is by application (s 3A(10)). The Transfer of Land (Single Register) Act amendments and the Property Law Act interface are preserved (s 3A(12)).

• The Department (Department of Energy, Environment and Climate Action) and Secretary: Departmental reporting obligations tie administrative transparency to the VLCC Account (s 9(5)-(6)); the Secretary authorises applications of VLCC funds (s 9(3)).

Impacts expressed in statutory mechanics

• Contract freedom of landowners is constrained by the availability and effect of covenants: once agreed and recorded, covenants run with the land (s 3A(11)), potentially limiting future development. The Act supplies a mechanism to mitigate economic burden via remissions (s 3B), but those remissions require multiple consents and are revocable (s 3B(2)-(3), (5)).

• Public administration decision-makers (Minister, Treasurer, rating authority) retain decisive discretion at several points: approving covenants (s 3A(8)), directing notification (s 3A(6)), remitting taxes/rates (s 3B(2)), and handling excess VLCC funds (s 9(4)). These nodes concentrate decision power with administrative actors and the Governor in Council for some dispute resolution (s 3A(4)).

• The Trust as corporate actor can hold and dispose of land and surrender it to the Crown (s 3(2)(b), (c)). Surrender and registration convert privately held conservation land into unalienated Crown land permanently reserved under the Crown Land (Reserves) Act 1978, thereby changing legal ownership and administrative control (s 3(3)(a)-(b)).

Who pays and who is liable

• The Trust bears liability for acts of trustees carried out in good faith; trustees have statutory immunity from personal liability, with liability attaching to the Trust instead (s 5A). This centralises financial and legal responsibility at the corporate level.

• Costs of entering covenants can be met from the VLCC Account where authorised by the Secretary (s 9(3)), but the Act does not mandate that all or any particular covenant costs will be funded; authorisation is discretionary and subject to account balances (s 9(2)-(4)).

• Tax and rates remissions shift the fiscal cost onto State budgets and potentially rating authorities, but they require consent from Treasurer and relevant rating authorities (s 3B(2)), hence fiscal exposures are managed by ministerial and Treasury oversight.

The Act therefore imposes binding land-use restrictions on owners who elect to enter covenants, creates fiscal support mechanisms with multi-party consent requirements, and centralises administrative decision-making in ministerial and Treasury hands while placing legal responsibility with the Trust.

This section sets out the statutory duties and rights that the principal actors acquire or must observe under the Act.

Duties of the Trust

• Pursue objects: The Trust is required to “encourage and assist” preservation of ecologically significant areas, conservation of wildlife and native plants, and the creation of areas for scientific study and public enjoyment (s 3(1)-(1A)). This language imposes an operational duty to promote and assist, not a strict duty to conserve particular parcels in every case; powers in s 3(2) are conferred to enable those objects.
• Administrative reporting: The Trust must report to the Minister on matters specified by the Minister if so requested (s 13).
• Covenant processes: Where an owner agrees to enter into or vary a covenant, the Trust must send to the Minister details of the proposed covenant and a map with surrounding landowner details and uses (s 3A(5)(a)(i)-(ii)). The Trust must comply with any Minister direction to give notice to neighbouring owners (s 3A(6)).
• Application for registration: If the Trust and landowner choose, the Trust must make or facilitate application to the Registrar of Titles for recording the covenant (s 3A(10)).

Rights of the Trust

• Property powers: The Trust has broad rights to accept property (gifts, bequests), to purchase, hold, mortgage, sell, surrender land to the Crown, and invest funds (s 3(2)(a)-(d)).
• Enforcement: If a covenant is recorded, the Trust may enforce the covenant against persons deriving title from the covenanting owner “as if it were a restrictive covenant” (s 3A(11)), even where the covenant is positive in nature or not for the direct benefit of Trust land.
• Funding authorisation: The Trust may apply for VLCC Account funds (subject to Secretary authorisation) to meet reasonable costs in entering covenants (s 9(3)).

Duties and rights of landowners

• Duty to obtain Ministerial approval. While the owner may enter into a covenant with the Trust, this is subject to obtaining the Minister’s approval under s 3A(8). Thus landowners cannot unilaterally create an enforceable, recordable statutory covenant without Ministerial oversight where that oversight is triggered by the Act’s process.
• Duty to accept constraints: Covenants may bind landowners as to development, use and conservation and can include rights for the Trust or public to enter land (s 3A(1)-(2)). Once recorded, successor owners are also bound (s 3A(11)).
• Rights to fiscal relief: Where the Trust reports preservation is not economically feasible and endangered, the landowner is potentially eligible for a land tax remission or rates remission under Ministerial orders (s 3B(1)-(2)), subject to Treasurer and rating authority consent and subject to possible clawback on covenant release (s 3B(5)).

Duties and rights of Minister, Treasurer and rating authorities

• Minister: Duty to consider submissions within one month from notified persons when directed to do so (s 3A(8)); duty to publish decision in Government Gazette (s 3A(9)); power to approve, refuse, vary or revoke approval for covenants (s 3A(3), (8)); power to make remissions with appropriate consents and to vary or revoke orders (s 3B(2)-(3)). The Minister must be provided with covenant details and maps by the Trust (s 3A(5)).
• Treasurer: The Minister requires the Treasurer’s consent to remit land tax under the Land Tax Act 1958 (s 3B(2)(a)). The Treasurer may direct payment of VLCC Account excess to Consolidated Fund after consultation with the Minister (s 9(4)).
• Rating authorities: Must be consulted and their consent obtained for rate remissions and must comply with remission orders (s 3B(2)(b), (4)).

Duties and rights of Trustees and officers

• Trustee duties: Trustees are appointed by Governor in Council and must attend meetings; absence from three consecutive meetings without consent vacates office (s 5(2)(e)). They can be remunerated and reimbursed for reasonable travel and other expenses (s 3(2)(e), (f)).
• Trustee immunities: Trustees are not personally liable for acts or omissions in good faith carrying out functions under the Act; liability attaches to the Trust (s 5A(1)-(2)). That shifts risk from individuals to the corporate Trust.
• Director and officers: The Trust may appoint and remove a director and other officers on terms it determines (s 8(1)-(2)). That confers managerial autonomy within the Trust’s corporate structure.

Rights of the Registrar and title consequences

• The Registrar may record covenants or variations upon application, and recording causes the statutory consequences in s 3A(11) (s 3A(10)-(11)). Recording under the Transfer of Land regime is preserved alongside older Property Law Act registrations (s 3A(12)).

Other procedural duties

• Notification obligations: Where the Minister directs, notice must be given to such owners as he directs, and the notice must state that submissions can be made within one month (s 3A(6)-(7)). This creates a short statutory consultation window.

Collectively, the Act creates a set of statutory duties for the Trust to follow defined processes when entering covenants, confers enforceable rights on the Trust to impose and enforce land-use restraints, creates conditional fiscal rights for landowners to obtain remissions, and places ministerial and fiscal decision nodes that shape the practical operation of those rights.

The Act itself does not create express criminal penalties or statutory fines for breach of covenant within its text. Enforcement and sanctioning operate through the property law and administrative mechanisms established or enabled by the Act.

Enforcement mechanisms available under the Act

• Covenant enforcement as restrictive covenant: Where a covenant is recorded by the Registrar of Titles, the Act provides that “the burden of the covenant… runs with the land” and “the Trust may enforce the covenant against persons deriving title from that person as if it were a restrictive covenant even though it may be positive in nature” (s 3A(11)). The Act thereby converts the covenant into a form enforceable under property law doctrines applicable to restrictive covenants. The Act itself does not specify pecuniary penalties, injunctive relief, or processes; those remedies would be sought through courts under relevant property and equity principles (the Act supplies the statutory basis for enforceability on land).

• Registrar recording: Recording is prerequisite to the statutory running of the burden with the land (s 3A(10)-(11)). The Registrar’s recording mechanism thus enables subsequent civil enforcement; absence of registration may constrain the Trust’s ability to enforce against successors.

• Ministerial orders for remission compliance: The Commissioner of State Revenue and any rating authority are statutorily required to comply with any order made by the Minister under s 3B (s 3B(4)). Non‑compliance would therefore be a breach of that statutory obligation and subject to administrative and legal remedies available to enforce compliance with statutory directions, but the Act does not set out specific sanctions.

• Liability topology: Trustees enjoy statutory immunity from personal liability for acts or omissions in good faith (s 5A(1)); any liability resulting from acts/omissions attaches to the Trust (s 5A(2)). Thus civil claims for breach of duties by trustees are displaced to the corporate Trust, which is capable of being sued (s 2(1)).

What the Act does not stipulate

• No specified criminal sanctions: The Act does not prescribe offences, pecuniary penalties or criminal liability for breach of covenants, nor does it set administrative penalties for failing to undertake ministerial procedures or reporting beyond the mandatory compliance directions (for example, the obligation of Commissioner and rating authorities to comply with remission orders in s 3B(4) is absolute but the Act does not specify penalties for non‑compliance within this text).
• No statutory enforcement procedure: The Act does not specify court procedure, interlocutory remedies, or enforcement-specific timelines. Remedies for breach of a registered covenant therefore arise from the Trust’s rights under the recorded covenant and the court’s injunctive and equitable powers, referenced by the Act’s direction that such covenants be enforceable “as if… restrictive covenant” (s 3A(11)). Practitioners should therefore look to the property law regime, equitable relief practice and Registrar of Titles processes for enforcement pathways.

Administrative enforcement levers

• Ministerial control over covenant approval, variation, release and publication (s 3A(3), (8)-(9)) acts as an administrative control point. The Minister’s refusal to approve or to release a covenant can functionally enforce conservation aims without litigation.
• Fiscal reversibility: The Act imposes a financial enforcement lever via s 3B(5): any land tax or rates remitted during the preceding five years become payable on the release of the covenant unless the Minister directs otherwise. This creates a statutory clawback that acts as a practical sanction for covenant release, and an incentive to maintain covenants. The requirement for Treasurer or rating authority consent for remissions (s 3B(2)(a)-(b)) acts as an administrative check on when remissions are granted.

Practical enforcement considerations and limits

• To enforce against successors, covenants must be recorded (s 3A(10)-(11)). Where there is no registration, enforcement beyond the original covenanting parties is uncertain under this Act.
• The Act shifts liability for trustees to the Trust body corporate (s 5A), so enforcing liabilities arising from trustees’ conduct will target the Trust rather than individuals.
• The Act does not restrict remedies to the Trust; successors in title remain bound and subject to enforcement, but the Act does not set civil remedy structures or procedures, those reside in property and civil practice rules.

In short, enforcement of covenant obligations under this Act is primarily civil and property‑law based, enabled by statutory registration and enforceability provisions and reinforced by administrative instruments (Ministerial approval/publishing, fiscal remissions/clawbacks). The Act creates administrative compulsion for revenue agencies to comply with remission orders but does not itself prescribe a penalty schedule or criminal offences.

The Act explicitly references a number of other statutory regimes and has textual cross‑links that alter legal status or procedure in those domains. The interactions are both substantive (change of land status) and procedural (registration, fiscal remissions, reporting).

Crown Land (Reserves) Act 1978

• Surrender and reservation: Section 3(3)(a) provides that upon registration in the Office of Titles of a conveyance or transfer and surrender to His Majesty of any land vested in the Trust, the land “shall be deemed to be unalienated land of the Crown freed and discharged from all trusts and shall be deemed to be permanently reserved pursuant to section 4 of the Crown Land (Reserves) Act 1978 for the purpose or purposes specified by the Trust.” This operation converts privately held land (once vested in the Trust and surrendered with registration) into Crown land permanently reserved under the Crown Land (Reserves) Act for the purposes nominated by the Trust. Practically, this shifts land from private title to Crown land administration and triggers the Crown Land (Reserves) Act’s regime for management and use.

Transfer of Land / Property Law Act / Registrar of Titles

• Registration of covenants: Section 3A(10) authorises the Registrar of Titles to make a recording in the Register of a covenant or variation upon application. Section 3A(11) makes the statutory running of burden contingent on registration. Section 3A(12) expressly preserves the operation and enforcement of covenants registered under the Property Law Act 1958 before the Transfer of Land (Single Register) Act 1998 amendments.
• The endnotes and amendment record identify that the Transfer of Land (Single Register) Act 1998 inserted s 3A(11) and s 3A(12). The Act therefore interfaces with the Torrens/Transfer of Land system and maintains continuity for previously recorded Property Law Act instruments.

Land Tax Act 1958 and State taxation laws

• Tax remission mechanics: Section 3B(2)(a) permits the Minister, with Treasurer consent, to remit land tax payable under the Land Tax Act 1958. The Act therefore creates a statutory authorisation that requires inter‑departmental coordination with state tax administration and the Treasurer’s consent for fiscal relief. The Commissioner of State Revenue is compelled to comply with remission orders (s 3B(4)).

Local government rating and rating authority legislation

• Rate remissions: Section 3B(2)(b) permits the Minister, after consultation and with the consent of any relevant rating authority or the responsible Minister, to remit relevant rates. This interacts with local government rating legislation and with the institutional autonomy of rating authorities, requiring their consent and prescribing compliance (s 3B(4)).

Financial Management Act 1994

• Reporting obligations: Section 9(5) requires the Minister to cause VLCC Account details and the number of covenants funded from it to be included in the Department’s report of operations under Part 7 of the Financial Management Act 1994. This places the VLCC Account within the broader State financial reporting regime.

Public Administration Act 2004

• Definition of Secretary: Section 9(6) defines “Secretary” as the Department Head under the Public Administration Act 2004. This links authorisation for use of VLCC funds to the departmental head’s statutory office (s 9(3)) and connects public finance decisions to the public service administrative hierarchy.

Interpretation of Legislation Act 1984 and transitional acts

• The Act contains transitional provisions (s 14) that preserve continuity across prior amendments and name changes, and endnotes reference the Interpretation of Legislation Act 1984 for style and interpretation. S 14 preserves earlier orders as s 3B orders and deems references across Acts to refer to the updated Trust name. Practitioners must consider the transitional provisions when tracing historical instruments and orders.

Other Acts referenced in endnotes and amendments

• The endnotes catalog amendments effected by several Acts (Victoria Conservation Trust Acts, Transfer of Land Acts, Environment and Water Legislation amendments, State Taxation Acts Amendments, etc.). These amendment instruments changed naming, registration, and certain procedural elements, so historical documents may reference older Act names, with s 14 providing statutory equivalence for such references.

Practical interface implications

• When land is surrendered and registered as unalienated Crown land (s 3(3)), Crown land management rules (Crown Land (Reserves) Act 1978) will determine future administration, which may alter rights previously enjoyed by landowners and any local regulatory frameworks.
• Covenant registration interacts directly with land title systems and purchase/sale due diligence: covenants recorded under s 3A are registrable interests that purchasers must observe and title searches must disclose.
• Fiscal remissions rely on alignment across Treasury, revenue administration and local government rating instruments, so effective relief requires coordinated compliance with multiple statutory regimes (s 3B(2)). The requirement that Commissioner and rating authorities must comply (s 3B(4)) simplifies administrative follow-through once a remission order is made, but obtaining those consents remains necessary.
• The VLCC Account’s inclusion in the Public Account and Financial Management Act reporting invokes standard public finance transparency regimes and potential constraints on funding for entering covenants (s 9).

Overall, the Act is not self-contained; its practical operation depends on interactions with land‑title law, tax law, local government rating regimes, Crown land management rules, and public finance frameworks. Those statutory interfaces determine how covenants are made secure, how fiscal mitigation is executed, and whether land is ultimately converted to Crown reserve status.

The Act’s endnotes list a sequence of amendments and their operative dates; the statutory text also contains embedded amendment annotations. Key amendments and their mechanical effects are as follows.

Name and continuity changes

• The Act originated as the Victoria Conservation Trust Act 1972 (assented 12 December 1972). The name changed to the Victorian Conservation Trust Act 1972 by the Victoria Conservation Trust (Amendment) Act 1986 (No. 64/1986) (endnote 1; Table of Amendments). Later, the Royal Botanic Gardens and Victorian Conservation Trust (Amendment) Act 1995 (No. 38/1995) deemed the Trust for Nature (Victoria) to be the same body as the Victorian Conservation Trust and effected a renaming/structural change (see endnote 2). Section 14 provides transitional continuity across these changes, deeming references and orders to carry forward (s 14(1)-(4)).

Covenant registration and the Transfer of Land regime

• The Transfer of Land (Single Register) Act 1998 (No. 85/1998) amended s 3A and added s 3A(11) and (12) to address the recording and enforceability of covenants in the Transfer of Land register. Section 3A(12) preserves the operation of covenants recorded under the Property Law Act 1958 before the commencement of the Transfer single register provisions, indicating an important transitional protection for existing instruments.

Taxation and rating remissions

• The power to remit land tax and rates in association with covenants was inserted into the statutory architecture by the Victoria Conservation Trust Act 1978 and related amending instruments. Section 3B was inserted by No. 48/2005 s. 9 (as indicated in the Table of Amendments), consolidating the statutory framework for tax and rating remissions linked to conservation covenants. The explanatory details reference earlier statutory text of s 4 of the Victoria Conservation Trust Act 1978 and its amendments (endnote 3).

Financial management and VLCC Account

• The Vacant Land Conservation Covenants Account (s 9) is a more recent insertion, with the new s 9 inserted by No. 22/2024 s. 25, and subsequent amendments by No. 24/2025 s. 41 adjusting certain definitions and the VLCC Account mechanics (see s 9 and Table of Amendments entries for State Taxation Amendment Act 2024 and State Taxation Acts Amendment Act 2025). The VLCC Account language includes definitions linking the Secretary and Department to the Department of Energy, Environment and Climate Action (s 9(6)), with some definitions repealed by the 2025 amendments.

Governance and trustee immunities

• Trustee immunity (s 5A) was inserted by No. 38/1995 s. 18, insulating trustees’ personal liability for acts done in good faith and transferring liability to the Trust. The governance rules around trustees’ numbers, term limits, chair/deputy election and meeting procedures have been amended at various points (e.g. Nos 64/1986; 38/1995) and are annotated throughout the sections.

Repeals and transitional provisions

• Sections 10-12 have been repealed (endnote 4). Section 14 contains transitional provisions preserving continuity in respect of the Environment and Water Legislation (Miscellaneous Amendments) Act 2005 (No. 48/2005), including deeming prior orders as s 3B orders and preserving references to historic Act names (s 14(3)-(4)).

Statute law revision and consequential amendments

• The Table of Amendments lists a chain of amending Acts and their assent and commencement dates, including the Transfer of Land (Computer Register) Act 1989, Financial Management amendments in 1994, Royal Botanic Gardens and Victorian Conservation Trust (Amendment) Act 1995, Transfer of Land (Single Register) Act 1998, Environment and Water Legislation (Miscellaneous Amendments) Act 2005, Statute Law Amendment (References to the Sovereign) Act 2023, State Taxation Amendment Act 2024 and State Taxation Acts Amendment Act 2025. These amending acts changed aspects such as naming, registration mechanics, fiscal arrangements and public-account handling.

Notable mechanical outcomes of amendments

• Recording and enforceability of covenants in the Land Register were clarified and preserved across changes from the Property Law Act regime to the Transfer of Land single register scheme (s 3A(10)-(12); Transfer of Land (Single Register) Act 1998 entries in Table of Amendments).
• Trustee immunities and the movement of personal liability to the Trust were legislated (s 5A, No. 38/1995).
• The insertion of the VLCC Account updates funding arrangements for entering covenants and ties them into modern public finance and departmental reporting structures (s 9; State Taxation Amendments 2024/2025).

Practical takeaways for history-sensitive practice

• Practitioners must be alert to the Act’s multiple name changes and transitional deeming provisions (s 14), particularly when tracing historical covenants or orders that predate particular amendments.
• Covenants recorded prior to the Transfer of Land single register commencement are preserved (s 3A(12)), so historical instruments under the Property Law Act remain effective.
• Fiscal and public-accounting rules governing funding for covenant entry have been modernised; the VLCC Account is subject to public reporting and Treasury transfer powers (s 9).

The amendment history shows an incremental development from a trust-based conservation body to a statutory mechanism with integration into the land title system, tax remission pathways and modern public finance arrangements.

The text of the Act and its Endnotes do not record any judicial decisions or litigation history. The statute itself names no cases, and the endnotes list only amending Acts and explanatory detail. Therefore:

• There is no litigation history contained within this Act's text as provided. The Act sets out rights and remedies (for example, the Trust’s right to enforce a covenant as if a restrictive covenant, s 3A(11)), but any court interpretations, enforcement litigation, or precedential decisions arising from enforcement actions or disputes are not recorded in the Act or its endnotes.

Practical implications of absence of litigation text

• Because the Act leaves enforcement remedies to property law practice (enforceability as if a restrictive covenant, s 3A(11)), much of the substantive litigation risk and case law shaping how positive obligations or public access provisions are treated will arise in common law and equity and in decisions interpreting the operation of covenants in the Transfer of Land context. Those judicial developments, however, are not provided in the Act text and thus are not summarised here.

• The Act does identify administrative resolution avenues (Minister approvals, Governor in Council determinations where original covenanting owner cannot agree on release, s 3A(3)-(4)), which may reduce the need for litigation in some disputes. But again, the Act does not catalogue any cases testing those routes or their judicial review.

For practitioners requiring litigation precedents, the Act as provided requires external legal research in court databases and reported decisions to identify how courts have applied s 3A(11) enforceability language, how positive covenants have been treated in the Transfer of Land register, and how statutory remissions and clawbacks under s 3B have been operationalised or challenged. Those sources are beyond the statutory text supplied.

This section flags statutory pitfalls and operational tripping points grounded in the Act’s wording and interactional mechanics.

Ministerial approval and short submissions window

• A landowner’s covenant is subject to the Minister’s approval process. The Trust must send covenant details and a map to the Minister (s 3A(5)(a)(i)-(ii)). The Minister may direct notification to surrounding owners and such notice only allows one month for submissions (s 3A(6)-(8)). That is a short statutory consultation window; missing procedural timing can prejudice the process and delay approval, or allow timely objections. Practitioners must ensure precise compliance with the notification timeline and the content required in the Trust’s submission to the Minister.

Recording is by application and required for burdens to run

• A covenant only acquires the statutory running of burden with the land after a recording by the Registrar of Titles on application (s 3A(10)-(11)). If a covenant is agreed but not recorded, the Trust’s ability to enforce against successors may be uncertain. Ensuring prompt application and registration is essential to secure enforceability.

Enforceability “as if restrictive covenant” includes positive obligations

• The Act permits enforcement “as if it were a restrictive covenant even though it may be positive in nature or that it is not for the benefit of land of the Trust” (s 3A(11)). This means the Trust can enforce positive obligations against successors post‑registration. However, the Act does not specify remedies or standards of performance, so enforcement of positive covenants may require equitable relief and may present evidential and injunctive complexities.

Tax and rates remissions require multiple consents and are revocable

• Land tax remission requires the Treasurer’s consent (s 3B(2)(a)), and rates remission requires the rating authority’s consent after consultation (s 3B(2)(b)). The Minister’s power to vary or revoke remissions at any time (s 3B(3)) means fiscal relief is not irrevocable. Further, remitted amounts in the preceding five years become payable if the covenant is released, unless the Minister otherwise directs (s 3B(5)). Landowners relying on remissions need to understand that their fiscal relief risks clawback on release, and that obtaining initial consents is a necessary step.

VLCC Account funding is discretionary and administratively controlled

• The VLCC Account funds reasonable costs of entering into covenants but only “in amounts authorised by the Secretary” (s 9(3)). The Act does not guarantee funding for particular covenants. The Treasurer can direct excess funds to the Consolidated Fund after consultation with the Minister (s 9(4)). Practitioners must not assume automatic funding; they must secure Secretary authorisation, and account balances and fiscal policy will affect availability.

Trustees have statutory immunity but the Trust carries liability

• Trustees are not personally liable for acts or omissions in good faith; liability attaches to the Trust (s 5A). That protects individual trustees but concentrates legal exposure on the Trust as corporate actor. Parties seeking redress must target the Trust rather than trustees. Insurers and contracting partners should note this arrangement when structuring indemnities and warranties.

Surrender to Crown changes legal status decisively

• When the Trust surrenders land and the surrender is registered, the land becomes unalienated Crown land permanently reserved under the Crown Land (Reserves) Act 1978 and the Trust is freed from further duties (s 3(3)(a)-(b)). That is an irreversible legal transformation of ownership and management regime once effected and recorded. Parties contemplating surrender must understand the permanent transfer of administration.

Governor in Council is final arbiter on release disputes

• If the original covenanting owner cannot reach agreement with the Trust about release, the Governor in Council determines the matter and that decision is final (s 3A(4)). That substitutes administrative executive determination for bilateral negotiation or,or in practice, may limit recourse to alternative dispute routes. Practitioners should plan for this administrative endpoint.

Public access and third-party rights may be embedded in covenants

• Covenants may include provision for members of the public generally to enter and remain on the land for certain purposes (s 3A(2)). That can materially affect landowner use and commercial potential. Ensure any covenant language is carefully negotiated if public access is an issue.

No statutory penalties specified for breaches within the Act

• The Act does not define offences, fines or administrative penalties for breach of a covenant; remedies are dependent on property law and equitable relief accessible through courts (s 3A(11)). Enforcement thus requires civil litigation or negotiated remedies and practitioners should budget for potential litigation costs.

Transitional and name-change continuity can obscure historic instruments

• Multiple name changes and amendments are subject to transitional deeming (s 14). Historical documents may reference older statutory titles; s 14(4) deems those references to refer to current names, but diligence is required when dealing with older instruments and orders.

Reporting and documentary precision

• The Trust must send maps with names and addresses of surrounding owners to the Minister (s 3A(5)(a)(ii)). Incomplete or inaccurate maps or owner lists may trigger procedural delays or objections. Similarly, the Minister publishes decisions (s 3A(9)); practitioners should plan for public notice and its reputational and transaction consequences.

In short: do not assume covenants are automatically binding on successors without registration; do not assume tax or rates remission is automatic or irrevocable; budget for potential enforcement via courts; ensure Ministerial and Secretary approvals are obtained where required; and be mindful of the irreversible consequences of surrendering land to Crown reservation under s 3(3).

Practical compliance steps tailored to the main actors: landowners, the Trust, Ministerial/treasury/rating authorities, and third parties such as buyers, lenders and local councils. Compliance here refers to satisfying statutory procedures and managing legal and financial consequences under the Act.

For landowners considering a covenant (s 3A)

1. Engage the Trust early. The owner may enter into a covenant with the Trust only if the Trust considers the land to be of the relevant conservation value (s 3A(1)). Early engagement allows the Trust to prepare the required covenant text and the plan/map required for Ministerial referral.
2. Prepare the covenant documentation and map. The Trust must send to the Minister details of the proposed covenant and a map indicating the names and addresses of surrounding owners and land uses (s 3A(5)(a)(i)-(ii)). Ensure the map is accurate and includes all landowner contact particulars required by the Trust to avoid procedural delay.
3. Anticipate notification and submissions. If the Minister directs notice to nearby owners, that notice will allow one month for submissions to the Minister (s 3A(6)-(8)). Prepare to address likely submissions and evidence supporting the covenant’s objectives (ecological significance, conservation needs) within that tight timeframe.
4. Consider registration early. If enforcement against successors is desired, the covenant must be recorded by the Registrar of Titles; ensure an application is made promptly to the Registrar (s 3A(10)). Check title encumbrance implications for sale, mortgage and lending.
5. Plan for public access clauses. If the covenant grants public access rights (s 3A(2)), draft operational terms, insurance, safety and management obligations carefully to avoid unintended liability or operational difficulties.
6. Tax/rates remission pathway. If preservation under the covenant is economically infeasible, ask the Trust to report to the Minister under s 3B(1). For remission, Treasury consent is required for land tax (s 3B(2)(a)) and rating authority consent for rates (s 3B(2)(b)). Understand that remissions are subject to variation/revocation and that any remitted tax/rates in the preceding five years may become payable on covenant release (s 3B(3)-(5)).

For the Trust (s 3, s 3A, s 9, ss 4-8)

1. Ensure robust internal governance. Trustees are appointed by Governor in Council; ensure terms are clearly set in appointment instruments and meeting quorums are preserved (s 4-7). Records must show compliance with meeting procedure to protect decisions (s 7(5); s 5(3) provides that acts are not invalid due to vacancies but governance best practice reduces challenge risk).
2. Follow ministerial referral procedure precisely. When a covenant is proposed, the Trust must send required details and maps to the Minister (s 3A(5)); if the Minister directs notice to neighbours, the Trust must comply (s 3A(6)-(7)).
3. Apply for registration when agreed. Make application to Registrar of Titles to record covenants (s 3A(10)); maintain records of application and registration to support future enforcement (s 3A(11)).
4. Manage VLCC Account access. When entering covenants the Trust may apply to the Secretary for VLCC Account funding for reasonable costs (s 9(3)). Prepare clear costings and documentation and obtain Secretary authorisation. Monitor VLCC Account balances and the risk of Treasurer transfers of excess funds to Consolidated Fund (s 9(4)).
5. Document enforcement intentions and remedies. Where a covenant includes positive obligations or public rights, prepare enforcement and management protocols, including monitoring, notices of breach, and escalation plans to court if necessary (s 3A(11)).
6. Maintain reporting capability. Comply with Minister requests for reports (s 13) and provide VLCC Account details for departmental report of operations under the Financial Management Act 1994 (s 9(5)). Ensure accounting and audit processes comply with public finance requirements.

For Ministers, Treasurer and rating authorities

1. Follow statutory consents and timelines. When deciding on approvals for covenants (s 3A(8)) or considering remission orders (s 3B(2)), ensure consents are formally recorded. Minister must publish decisions in Government Gazette (s 3A(9)).
2. Handle submissions efficiently. The Minister must consider any submissions received within one month of notice (s 3A(8)). Administrative workflows must be in place to meet that statutory timeframe reliably.
3. Document remission reasoning and conditions. Where remissions are granted, the Minister should document the Treasurer’s or rating authority’s consent and conditions for variation or revocation (s 3B(2)-(3)). Record any clawback provisions under s 3B(5) and ensure revenue/regulatory systems can implement re‑imposition of tax or rates on covenant release.

For purchasers, lenders and conveyancers

1. Conduct title searches for registered covenants. Since covenants recorded by the Registrar run with the land (s 3A(11)), searches of the register are essential to identify covenants and their terms before purchase or lending.
2. Assess operational and liabilities risks. If a covenant includes public access or positive conservation obligations, assess the obligations, cost of compliance, insurance requirements, and potential impact on development rights and saleability.
3. Consider release and remissions consequences. If a purchaser expects the possibility of future covenant release, understand that remitted tax or rates during the preceding five years may be re-imposed on release (s 3B(5)). Lenders should add covenant release and potential clawback to risk models.

Record-keeping and administrative hygiene

• Maintain meticulous documentation for all communications with the Minister, the Registrar of Titles, the Secretary and the Treasurer. The Act’s processes (ministerial approvals, registration applications, Secretary authorisations) are all document-dependent and timing-sensitive (s 3A, s 9). Ensure maps comply with s 3A(5)(a)(ii) requirements.

Risk management

• Where the Trust contemplates surrendering land to the Crown and registering the surrender (s 3(3)), document the intention, the specified purposes, and the implications for future management under the Crown Land (Reserves) Act. Obtain legal advice before finalising surrenders due to the substantive transfer of ownership and administrative regime change.

By following these steps and mapping procedural obligations to the statutory text (notably s 3A, s 3B, s 9 and the governance provisions in ss 4-8), parties can reduce the risk of procedural failure, unintended fiscal exposure, and enforcement disputes.
