Victoria Racing Club Act 2006

The Act is organised around a set of core legal concepts that determine who decides, who pays, and what behaviours are required or restricted. These concepts are use as a public racecourse, leasehold vesting and transfer, limits on encumbrance, maintenance and inspection, ministerial approvals, regulatory powers, and Crown resumption.

Use as a public racecourse, maintenance and related restrictions. The Act repeatedly anchors rights and permissions to the primary purpose of a public racecourse. VRC Limited’s functions are to manage, maintain and use the Flemington Racecourse land for that purpose (s 5). Uses, building works and subordinate grants must not be inconsistent with that primary use (ss 6, 10). The Crown may resume the lease if VRC Limited ceases to maintain and use the land as a racecourse for 11 continuous months without consent and fails to remedy within a 30‑day notice period (s 21). These provisions embed a constitutionalised primary purpose test that conditions ongoing tenure and secondary commercial freedoms.

Vesting and deeming. Part 3 operates by vesting and deeming. On commencement, the Crown lease vests in VRC Limited (s 27(1)). Existing sub‑leases and licences that were authorised under the old Act and in existence immediately before commencement are treated as if granted by VRC Limited (s 28(1)), and references in other Acts or instruments to the old body are read as references to VRC Limited (s 36). The Act also deems licences issued under other Acts to be held by VRC Limited for the purposes of those Acts, e.g. race‑course licence (s 32), racing‑club licence (s 33), venue operator’s licence (s 34) and on‑premises licence (s 35).

Encumbrance prohibition. The Act expressly prevents VRC Limited from charging or borrowing against the Flemington Racecourse land (s 8). That prohibition affects the availability of secured lending against the leasehold estate, and therefore private financing strategies that typically leverage property.

Inspection, notice and compliance mechanics. The Act delegates inspection authority to authorised officers appointed under the Conservation, Forests and Lands Act 1987, who may enter the land on reasonable notice and produce identification when asked (ss 13-14). If an authorised officer concludes the land or a building is unfit for public racecourse purposes or unsafe, they must complete an inspection certificate (s 15). The Secretary may then issue a detailed notice to repair, served by registered post to the VRC Limited registered office, setting out particulars, remedial steps and timeframes, including a minimum 21‑day compliance date (s 16). VRC Limited may object to the Crown Land Minister (s 17), who must consider the inspection certificate, the notice and VRC Limited’s reasons before cancelling or confirming the notice with reasons and further compliance date (s 17(4)-(7)). VRC Limited may request extensions (s 18). Failure to comply with a notice to repair attracts a penalty stated in the Act (s 19).

Ministerial discretion and regulation-making. The Crown Land Minister holds approval power for any sub‑leases or licences granted by VRC Limited under s 7(1), constrained by an express statutory test that the purpose be connected with and for the benefit of horse‑racing and not prevent use or development of the remainder as a public racecourse (s 7(2)). The Governor in Council may grant further leases for up to 99 years, with aggregate terms capped at 99 years if renewal options are included (s 11). The Racing Minister may make regulations covering care, protection, safety, imposition and collection of tolls, and other matters necessary to ensure the land is used and managed according to the Act, and may impose penalties up to 20 penalty units for breaches of those regulations (s 20(1)-(3)). Film-related regulations must align with the film friendly principles under the Filming Approval Act 2014 (s 20(5), s 3A).

Compensation rule and dispute resolution. If the Crown resumes possession under the resumption regime, the Crown must pay compensation for the value of buildings and improvements before taking possession (s 24(1)). Any dispute about compensation is to be determined under Part 10 of the Land Acquisition and Compensation Act 1986 (s 24(2)). This channels compensation disputes into an established statutory framework.

Statutory protections. The transfer machinery in Part 3 contains non‑liability and non‑breach protections. Actions under the Part do not constitute breach of contract, breach of confidence, or a civil wrong, nor are they to be regarded as constituting default under any law, or as releasing sureties (s 38). The Act also exempts transactions done under Part 3 from duty or other taxes (s 37). These protections reduce transactional friction when transferring assets and rights to the corporate lessee.

Definitions and cross‑references. The Act imports other statutory schemes and definitions, notably authorised officer under the Conservation, Forests and Lands Act 1987, Crown Land Minister with reference to the Crown Land (Reserves) Act 1978, and the film friendly definitions from the Filming Approval Act 2014 (s 3, s 3A). Those cross‑references allocate roles between Ministers and statutory agencies and make the Act operate within an existing administrative ecosystem.

Together, these concepts create a statutory regime that centralises operational control with VRC Limited for racecourse management, reserves certain approval rights and supervisory powers for Ministers and the Secretary, conditions secondary commercial exploitation on ministerial tests, and restricts encumbrance of the leasehold estate.

The Act allocates rights and responsibilities across a set of named actors and categories of third parties. The principal immediate parties affected are VRC Limited, the old Victoria Racing Club entities, the Crown Land Minister, the Racing Minister, the Secretary as defined in the Conservation, Forests and Lands Act 1987, authorised officers under that Act, sub‑lessees and licensees, and parties to existing contracts and legal proceedings involving the old body. Beyond these, the Act affects lenders, insurers, contractors, spectators and business tenants that operate on or seek to operate on Flemington Racecourse land.

VRC Limited. VRC Limited is the main actor who gains possession of the Crown lease on the commencement day and receives all property, rights and liabilities of the old body (ss 27, 30, 31). VRC Limited obtains the functions, powers and responsibilities under Part 2 only while it is the lessee (s 4). Those responsibilities include ongoing building maintenance (s 9), compliance with notices to repair (ss 15-19), and the obligation not to charge or borrow against the land (s 8). VRC Limited also may grant sub‑leases or licences for parts of the land only with written approval from the Crown Land Minister, and may determine the terms of such grants within that constraint (s 7).

Old VRC and its officials. The Act deems all property, rights and liabilities previously vested in the old body or the Chairman of the committee of the Victoria Racing Club to now belong to VRC Limited (ss 30-31). Pending legal proceedings that named the old body are to have VRC Limited substituted as a party (s 29). This affects beneficiaries under existing agreements, trustees, and sureties because liabilities and obligations transfer to the corporate lessee.

Crown Land Minister and Governor in Council. The Crown Land Minister has a gatekeeping role. The Minister must approve any non‑racecourse uses, sub‑leases and licences under s 7, and must consider and decide objections to notices to repair (s 17). The Governor in Council may grant further leases up to 99 years (s 11), and the Crown Land Minister may declare the lease terminated and resume possession if VRC Limited ceases to maintain or use the land as a racecourse for 11 continuous months without consent and fails to rectify (s 21).

Racing Minister. The Racing Minister may make regulations about the care, protection and good order of the Flemington Racecourse land, safety of persons and animals, imposition and collection of tolls, fees and rents, and other matters necessary or convenient to ensure the land is used and managed in accordance with this Act, and may confer functions and duties on VRC Limited via regulation (s 20).

Secretary and authorised officers. The Secretary is the statutory body to which inspection certificates are to be provided (s 15(2)), and the Secretary is the entity that issues notices to repair following receipt of an inspection certificate (s 16(1)). Authorised officers under Part 9 of the Conservation, Forests and Lands Act 1987 may enter the Flemington Racecourse land for inspection purposes on reasonable notice and must provide identification (ss 13-14). These officers initiate the compliance cycle that can lead to notices, extensions, objections and ultimately penalties.

Sub‑lessees, licensees and tenants. Existing sub‑leases and licences continue and are deemed to have been granted by VRC Limited (s 28). The Act expressly states that these deeming provisions do not give parties grounds to repudiate their sub‑leases or licences (s 28(3)). Third parties holding sub‑leases are therefore affected in terms of who their contracting counterparty is, and in potential new approval requirements for subsequent grants.

Lenders and creditors. The prohibition on charging or borrowing against Flemington Racecourse land (s 8) directly affects lenders seeking security over the leasehold estate. That prohibition reduces on‑site collateral for secured lending, thereby influencing financing structures and possibly redirecting lenders to take security over corporate assets rather than the leasehold interest.

Licensing authorities and regulators under other Acts. The Act expressly deems that licences previously held by or on behalf of VRC under other regulatory Acts are for the purposes of those Acts held by VRC Limited (ss 32-35). This affects the Racing Minister, the Victorian Commission for Gambling and Liquor Regulation and any other regulators overseeing venue operator, on‑premises and racing licences because they will engage with VRC Limited as the licence holder.

Public users and businesses occupying the land. The Act authorises the Racing Minister to regulate entry charges, fees, rents and collection mechanisms (s 20(1)(c)). It also allows VRC Limited, with Ministerial approval where applicable, to set aside areas for specified purposes (s 20(1)(d)) and to grant sub‑leases and licences (s 7). These powers affect businesses operating on the land, event organisers, concessionaires, patrons who pay entry or parking fees, and competing venues whose market is influenced by the availability and terms of Flemington facilities.

Insurers and contractors. Maintenance obligations and inspection certificates create performance and liability triggers that influence insurance cover and contractor obligations. The inspection and notice process (ss 13-19) can produce obligations to repair or remedy identified defects within statutory timeframes, and non‑compliance carries penalties (s 19), which affects risk allocation in commercial contracts.

Other state agencies and title office. The Registrar of Titles is required to make amendments to the Register upon request to reflect the operation of certain Parts (ss 25, 39). The Crown’s compensation obligations in a resumption scenario implicate the Land Acquisition and Compensation Act 1986 process for valuation disputes (s 24).

Collectively, the Act changes counterparty identity, shifts operational responsibilities to a corporate lessee, restricts encumbrance of the estate, and embeds ministerial oversight over secondary commercial activities, maintenance and resumption. The stakes for affected parties are concentrated for VRC Limited and for potential sub‑lessees or lenders, while regulatory compliance and enforcement costs are diffused across tenants, patrons and administrative agencies.

The Act creates a set of affirmative duties for VRC Limited, conditional rights to use and develop the land, approval rights retained by Ministers, and statutory protections for transferred property and transactions.

VRC Limited’s principal duties. VRC Limited is required to manage the Flemington Racecourse land for the purpose of a public racecourse and to maintain and use the land for that purpose and any other permitted purpose (s 5). VRC Limited must ensure that all buildings on the Flemington Racecourse land are maintained (s 9). Where an inspection certificate identifies buildings as unsafe or in need of repair, VRC Limited is subject to the notice to repair regime and must comply with the notice by the last applicable date set under s 19, failing which a penalty applies (ss 15-19).

Prohibition and limits. VRC Limited must not charge or borrow against the Flemington Racecourse land (s 8). That is an express statutory restriction on creating encumbrances over the leasehold interest. VRC Limited may not unilaterally repurpose the land in ways inconsistent with its use as a public racecourse; other uses require Crown Land Minister approval and must pass the statutory test that they are connected with and for the benefit of horse‑racing in Victoria and not hinder use or development of the remainder as a racecourse (s 7(1)-(2)).

Rights to erect buildings and improvements. VRC Limited may erect or re‑erect buildings and improvements that are necessary or expedient for the land’s use as a public racecourse, or that are not inconsistent with that use (s 10(1)). For other buildings or improvements, VRC Limited must obtain Crown Land Minister approval, who must be satisfied that the developments will not be detrimental to the use of the land as a public racecourse (s 10(2)-(3)). Thus VRC Limited has a right to develop within a bounded discretion for racecourse-related purposes, and a conditional right to develop outside that core purpose subject to ministerial scrutiny.

Rights to sub‑lease and licence and determination of terms. VRC Limited may grant sub‑leases or licences of any part of the land for purposes approved in writing by the Crown Land Minister (s 7(1)), subject to the statutory connectivity and non‑hindrance tests (s 7(2)). VRC Limited may determine the terms and conditions of such sub‑leases and licences (s 7(3)). Existing sub‑leases and licences authorised under the old Act continue and are deemed to have been granted by VRC Limited as of commencement (s 28(1)). Those deemed grants are not grounds for repudiation (s 28(3)). The Governor in Council may also grant a further lease or leases to VRC Limited for up to 99 years, with renewal options limited so the aggregate term does not exceed 99 years (s 11).

Inspection and notice procedure. Authorised officers can enter the land on reasonable notice to inspect (s 13). If they consider the land unfit or buildings unsafe, they must complete an inspection certificate and provide it to the Secretary (s 15). The Secretary may issue a notice to repair containing a detailed statement of matters, how they should be remedied, directions to remedy, the required date for compliance (not less than 21 days), and information about objection rights (s 16). VRC Limited may object to the Crown Land Minister in writing within the time set in the notice (at least 14 days) (s 17(2)). The Crown Land Minister may cancel or confirm the notice, with reasons, and must serve the decision by registered post (s 17(5)-(7)). VRC Limited may request an extension in writing with reasons and the Crown Land Minister may grant a new date for compliance (s 18).

Regulatory powers and penalties. The Racing Minister may make regulations for care, protection and good order of the land, safety of persons and animals, imposition and collection of tolls, fees and rents for entry and facilities, and any other matters the Minister considers necessary to ensure the land is used and managed according to the Act (s 20(1)). The regulations may confer functions, impose restrictions and duties on VRC Limited and may impose penalties not exceeding 20 penalty units for contraventions (s 20(2)-(3)). Regulations about film permits must be consistent with film friendly principles (s 20(5)).

Resumption and compensation. If VRC Limited ceases to maintain and use the land as a racecourse for 11 continuous months without consent and does not remedy within 30 days of notice from the Crown Land Minister, the Minister may declare termination of the Crown lease by Gazette notice (s 21). The declaration terminates VRC Limited’s interest and the Crown may resume possession (s 22). Before taking possession, the Crown must pay compensation for the value of all buildings and improvements to VRC Limited (s 24(1)). Disputes about the monetary amount are settled under Part 10 of the Land Acquisition and Compensation Act 1986 (s 24(2)).

Transfer protections and tax relief. Part 3 gives VRC Limited property and liabilities on commencement, substitutes VRC Limited in proceedings, and deems certain licences to be held by VRC Limited (ss 27-36). The Act states that nothing effected by Part 3 is to be regarded as placing any party in breach of contract or as constituting a civil wrong, nor as releasing sureties, nor as fulfilling conditions to exercise rights to terminate agreements, and provides that no duty or other tax is chargeable under any Act in respect of things done under Part 3 (ss 37-38). These are legal protections for the transfer mechanics.

Procedural rights and service. Notices to VRC Limited under the inspection/repair process must be served by registered post to VRC Limited’s registered office (s 16(4), s 17(7)(d)). Authorised officers must produce evidence of appointment on request when exercising inspection powers (s 14). The Crown must give VRC Limited an opportunity to be heard before making a declaration under s 21 (s 21(2)).

Collectively, the Act sets an operational duty‑heavy regime for the corporate lessee, preserves the Crown’s supervisory reserve, and creates both rights to develop and limits on encumbrance, with statutory remedies for non‑compliance and a compensation mechanism if the Crown resumes possession.

The Act establishes a mix of administrative enforcement mechanisms, monetary penalties via both the Act and regulations, and statutory default consequences tied to resumption. Enforcement is delivered through inspections by authorised officers, notices to repair, ministerial decisions on objections and extensions, regulation‑based offences, and termination/resumption mechanics.

Inspection and notices as first-line enforcement. Enforcement begins with authorised officers who may enter Flemington Racecourse land at any reasonable time and on reasonable notice to inspect (s 13). They must provide evidence of appointment when exercising their power if requested (s 14). If they form the opinion that the land is not fit for public racecourse purposes or that a building is unsafe or unfit for use, they must complete an inspection certificate and provide it to the Secretary (s 15(1)-(2)). The inspection certificate triggers the Secretary’s statutory power to issue a notice to repair (s 16(1)).

Content and service of notices. A notice to repair must contain a detailed statement of the matters identified in the inspection certificate, directions on how each matter is expected to be repaired, the date by which matters must be addressed (reasonable in the circumstances and at least 21 days), and information about the right to object and the period for objection (not less than 14 days) (s 16(2)-(3)). The Secretary must serve the notice on VRC Limited by registered post to its registered office (s 16(4)). These service requirements create procedural formality that is intended to ensure notice is received and to start statutory timelines.

Objection and ministerial review. VRC Limited may object in writing to the Crown Land Minister within the time stated in the notice to repair (s 17(1)-(2)). While an objection is pending, VRC Limited is not required to comply until the Crown Land Minister makes a decision (s 17(3)). The Crown Land Minister must consider the inspection certificate, the notice to repair and the reasons for objection before cancelling or confirming the notice with or without variations (s 17(4)-(5)), and the decision must be provided in writing with reasons and any variation and compliance date, served by registered post (s 17(6)-(7)). These provisions allocate a review role to the Minister and create administrative appeal mechanics internal to the executive.

Extensions and compliance obligations. VRC Limited may request an extension in writing with reasons (s 18). The Crown Land Minister may grant an extension and set a new date for compliance (s 18(3)). Unless the notice is cancelled under s 17, VRC Limited must comply on or before the latest applicable date: the date in the notice, a confirmed date after objection, or a date set by the Crown Land Minister under s 18 (s 19). Section 19 is followed by an explicit penalty reference "60 penalty units" in the Act text, indicating the statutory monetary sanction for failing to comply with a notice to repair. The Act therefore provides a monetary deterrent calibrated at a specific penalty unit amount for that breach.

Regulation-based offences. The Racing Minister can make regulations governing care, protection, safety, imposition and collection of fees, and other management matters (s 20(1)). The regulations may impose duties and restrictions on VRC Limited and may impose penalties not exceeding 20 penalty units for contraventions (s 20(2)-(3)). Regulations concerning film permits must not conflict with the film friendly principles (s 20(5)). The combination of Act‑level penalties and regulation‑level penalties provides a two‑tier enforcement spectrum.

Resumption and termination. The Crown has a statutory remedy of lease termination and resumption of possession, exercisable if VRC Limited has, without consent, ceased to maintain and use the land as a racecourse for a continuous period of 11 months and has not rectified the matter within 30 days after receiving notice from the Minister (s 21(1)). The Crown Land Minister must give VRC Limited an opportunity to be heard before making the declaration (s 21(2)). Once a declaration is made, interests created under the lease cease, the Crown is entitled to resume possession, and VRC Limited’s right and title to the lease and land is terminated (s 22). Before taking possession, the Crown must pay compensation for the buildings and improvements per s 24(1), and disputes on compensation are determined under the Land Acquisition and Compensation Act 1986 (s 24(2)). Resumption is therefore both a punitive and remedial mechanism, and it removes the lessee’s ongoing rights while requiring monetary compensation for built assets.

Substitution in legal proceedings. Part 3 provides that on commencement VRC Limited is substituted as a party to any court or tribunal proceeding to which the old body was a party immediately before commencement (s 29). This ensures continuity of prosecution and defence conduct in disputes that could otherwise be disrupted by the corporate transfer, and allows enforcement through ordinary judicial processes.

Registrar of Titles and administrative enforcement. The Registrar of Titles is required to make amendments to the Register necessary because of the operation of specified Parts (ss 25, 39), facilitating the enforceability and public notice of title‑related changes.

Practical enforcement risks and discretion. Enforcement levers are concentrated in administrative actors: authorised officers, the Secretary, the Crown Land Minister and the Racing Minister. The Act gives those actors discretion in areas such as assessing whether use has ceased (s 21), whether a proposed non‑racecourse building would be detrimental (s 10(3)), or whether a sub‑lease purpose is connected with and benefits horse‑racing (s 7(2)). That discretion determines whether enforcement escalates to notices or termination. The requirement for registered post service formalises due process but also means service can be tied to the registered office address, so failures in corporate address maintenance can produce enforcement surprises.

In sum, enforcement proceeds through inspection, notice, ministerial review, and monetary and structural remedies including penalties and resumption. The Act provides both administrative enforcement tools and channels to judicial valuation procedures for compensation disputes, and it builds procedural safeguards such as written reasons, opportunity to be heard and prescribed service methods.

The Act is interconnected with a suite of existing Victorian statutes, and several of its operative definitions and enforcement mechanisms depend on other statutory frameworks. The Act explicitly imports roles, definitions and dispute resolution procedures from other legislation and deems licences under other Acts to transfer to VRC Limited.

Conservation, Forests and Lands Act 1987. The Act depends on authorised officers appointed under Part 9 of the Conservation, Forests and Lands Act 1987 to exercise inspection powers on Flemington Racecourse land (s 3 definition of authorised officer; s 13). These authorised officers’ appointment and powers are therefore sourced from that Act. The Secretary referenced in the Act is the body corporate established by Part 2 of the Conservation, Forests and Lands Act 1987 (s 3 definition), and the inspection certificate must be provided to that Secretary (s 15(2)). The Secretary is the entity empowered to issue notices to repair after receiving an inspection certificate (s 16(1)). This design embeds operation of the Act into the administrative machinery of the Secretary and the authorised officer regime.

Crown Land (Reserves) Act 1978. The definition of Crown Land Minister in s 3 references the Minister for the time being administering the Crown Land (Reserves) Act 1978. The Minister’s approval role for sub‑leases and the Minister’s role in declaring termination and resumption of the Crown lease (ss 7, 21) are exercised by the Crown Land Minister holding statutory responsibilities under the Crown Land (Reserves) Act 1978. The Act thus situates land‑use approvals within the Crown reserves portfolio.

Land Act 1958. The definition of Flemington Racecourse land includes any land adjoining the land described in the Crown lease that is leased to VRC Limited under the Land Act 1958 for a purpose relating to the public racecourse (s 3). Where the VRC has additional adjoining parcels under the Land Act 1958, those leases are incorporated into the ambit of this Act.

Racing Act 1958, Gambling Regulation Act 2003, Liquor Control Reform Act 1998. The Act cross‑references key licensing regimes. It deems the race‑course licence, racing‑club licence, venue operator’s licence and on‑premises licence that were held by or on behalf of VRC immediately before commencement to be held by VRC Limited for the purposes of the respective Acts (ss 32-35). This ensures continuity of regulatory oversight by the Racing Minister, gaming and liquor regulators, and avoids the need for fresh licensing applications solely because of the corporate transfer. Conversely, VRC Limited remains subject to those Acts’ compliance and enforcement regimes.

Land Acquisition and Compensation Act 1986. If the Crown resumes possession and a dispute arises about compensation payable for buildings and improvements, the Act directs that the dispute be determined under Part 10 of the Land Acquisition and Compensation Act 1986 (s 24(2)). This channels valuation disputes into an established statutory dispute‑resolution and valuation mechanism, with its own procedures and remedies.

Filming Approval Act 2014. The Act was later declared to be filming approval legislation for purposes of the Filming Approval Act 2014 (s 3A). Section 20(5) was inserted to require that any regulations made under the Act for the issuing of film permits must not be inconsistent with film friendly principles, definitions for which were incorporated into s 3 by amendment. This constrains future regulations about filming on the land to align with the broader film approval statutory policy.

Corporations Act 2001. VRC Limited was incorporated under the Corporations Act on 10 April 2006 according to the Preamble. The corporate form, directors’ duties, insolvency rules and other corporate governance provisions relevant to VRC Limited are therefore governed by the Corporations Act, even though this Act transfers land and liabilities to the company and deems certain licences and proceedings to be held by it.

Registrar of Titles and the Transfer of Interests. The Registrar of Titles is required to make amendments to the Register necessary because of the operation of specified Parts (ss 25, 39). The Act therefore interacts with land title registration processes and systems to ensure public notice of vesting and to enable third parties to ascertain legal interests.

Other statutory protections and cross‑references. The Act includes procedural protections for transfers effected under Part 3, stating that those transfers are not to be regarded as placing any party in breach of contract or as a civil wrong, or as constituting a default under any Act, agreement or understanding (s 38). This provision interacts with contract law and statutory assignment/transfer restrictions, effectively overriding or insulating transfers from claims of breach or repudiation arising solely from the transfer mechanism.

Tax and duty exemption. The Act provides that no duty or other tax is chargeable under any Act in respect of anything done under Part 3 or in respect of any act or transaction connected with or necessary to give effect to Part 3 (s 37). This interacts with state duty and tax statutes by creating an express exemption for the transfer operations under Part 3.

Practical cross‑statutory consequences. Because the Act imports roles and mechanisms from other statutes, compliance and enforcement under this Act will routinely involve those other regimes. For example, inspection and remedial work may require interaction with building, planning, environmental and safety regulations governed under separate Victorian and local government laws even though the Act itself imposes duties to maintain and repair. Licence continuity under ss 32-35 does not remove the need to comply with ongoing licence conditions under the respective Acts. Compensation disputes are litigated under the acquisition Act rather than under the Act’s own bare wording. Film permit regulation must be consistent with film friendly principles. The Act therefore operates as a node within an established statutory network rather than as a stand‑alone code.

The Act as published includes a record of subsequent amendments and relevant endnotes. The principal changes recorded in the text are continuation and technical amendments, and the insertion of filming‑related provisions.

Commencement. The Act was assented to on 20 June 2006 and came into operation on 1 August 2006, as recorded in the Endnotes. Section 2 provides that, absent proclamation, the Act would come into operation on 1 January 2007, but the Endnotes record the actual commencement date (Endnotes 1).

Statute Law Revision Act 2011. Part 4 (heading and ss 40-43) was repealed by the Statute Law Revision Act 2011, No. 29/2011. The table of amendments records the Statute Law Revision Act 2011 with assent date 21 June 2011 and a commencement note for the relevant provision (s 3(Sch. 1 item 103) on 22 June 2011). The text indicates Pt 4 repealed by that Act.

Filming Approval Act 2014. The Filming Approval Act 2014 (No. 51/2014) amended the Act. The table of amendments shows the Filming Approval Act 2014 amended this Act with assent on 12 August 2014 and commencement of the relevant amendments on 1 March 2015 (s 9(Sch. 2 item 20)). Those amendments inserted s 3A stating that the Act is filming approval legislation and added or amended definitions in s 3 to include film friendly principles and film permit cross‑references. Section 20(5) was inserted to require that regulations made under the Act for issuing film permits must not be inconsistent with the film friendly principles. The Act’s text notes that the definitions of film friendly principles and film permit have the same meaning as in the Filming Approval Act 2014.

Justice Legislation Amendment (Court Security, Juries and Other Matters) Act 2017. The Justice Legislation Amendment Act 2017 (No. 38/2017) made further amendments recorded in the table of amendments with assent date 29 August 2017 and commencement of s 96 on 30 August 2017. The Schedule indicates that s 20(5) was inserted by the 2014 Act and later amended by the 2017 Act; the text shows that s 20(5) was amended by No. 38/2017 s 96. The table entry records that the current state relates only to the provision(s) amending the Victoria Racing Club Act 2006.

Other amendment notes. The table of amendments and endnotes indicate that there are no amendments Not in Operation as at the publication date, and that explanatory details entries were blank at the date of publication. The version heading records that the published version incorporates amendments as at 30 August 2017 and is Version No. 005.

Practical effect of amendments. The 2014 filming amendments expanded the Act’s regulatory relationship with the film approvals regime, imposing a duty on the Racing Minister or regulators making film permit regulations to ensure consistency with film friendly principles. The 2017 amendment further adjusted that inserted subparagraph; the table indicates an amendment to s 20(5) though the text now shows the present form.

What the amendment history does not show. The Act’s Endnotes and table of amendments are self‑contained and do not record other external changes, judicial interpretations or delegated instrument amendments beyond the specified Acts. Changes to penalty unit values, for example, are not recorded within this Act and must be verified against the broader statutory schedule for penalty units. Also, any amendments made after 30 August 2017 will not be captured by the version of the Act provided in this text.

Overall, the amendment history in the provided text shows a sequence of technical and policy additions concentrating on film permit interaction, the repeal of an unused Part 4 by a statute law revision, and minor editorial amendments referenced via the 2017 Justice Legislation Amendment Act.

The Act text as provided does not record any case law or judicial decisions that interpret or apply its provisions. The Endnotes, table of amendments and explanatory details do not list litigation or reported judicial decisions. Therefore, there is no litigation history recorded within the legislation itself.

Absent judicial precedent in the Act text, the Act nevertheless builds in statutory dispute and review mechanisms that will be the first port of call for disputes that might otherwise generate litigation. Key statutory procedures likely to be litigated if contested include:

• The inspection certificate and notice to repair sequence. An authorised officer’s inspection certificate (s 15) triggers notices and may lead to contested ministerial decisions. VRC Limited can object to a notice to repair and the Crown Land Minister must decide and give written reasons (s 17). Disputes about the sufficiency of reasons, procedural fairness in ministerial decision‑making, or the lawfulness of notices could be litigated in judicial review proceedings in the courts, but the Act requires the internal objection process before compliance obligations bite.

• Compensation disputes on resumption. If the Crown resumes possession under the resumption regime, compensation for buildings and improvements is payable by the Crown and any dispute about the amount is to be determined in accordance with Part 10 of the Land Acquisition and Compensation Act 1986 (s 24(2)). That route will produce tribunal or court‑level valuation processes and thereby generate adjudicative records.

• Contractual or property disputes arising from the deemed transfer. Although Part 3 provides protections that nothing effected by it should be regarded as placing parties in breach of contract or as a civil wrong (s 38), disputes could arise as to the application of that provision in particular cases, for example where third parties allege that the transfer constituted an impermissible assignment under a private contract that prohibited assignment without consent. The Act expressly states that the deemed transfers are not to be regarded as placing parties in breach or constituting a default, but how courts interpret that protection could be litigated if parties assert conflicting rights.

• Interpretation of the prohibition on charging or borrowing and its interaction with other security interests. The s 8 prohibition is clear on its face, but disagreements could arise about its scope, whether it prevents all forms of encumbrance including equitable charges, or whether security over movable assets on the land is affected. Those issues could end up before courts or tribunals if creditors seek to enforce security.

• Ministerial discretion. Matters such as whether a proposed use is “connected with and for the benefit of horse‑racing in Victoria” and whether a proposed building would be “detrimental” to the use of the land as a racecourse involve evaluative judgments. Disputes about whether a Minister exercised that discretion lawfully, or complied with procedural fairness obligations such as providing an opportunity to be heard under s 21(2), could give rise to judicial review claims.

Because the Act channels certain disputes into existing statutory processes (notably the Land Acquisition and Compensation Act for valuation disputes) and requires internal administrative review steps before enforcement escalates, much contestation may be resolved administratively. However, absent specific cases in the Act text, readers should expect potential litigation in the courts to focus on ministerial powers, the scope of the prohibition on encumbrance, and the statutory remedies linked to resumption and compensation.

If litigators or researchers require authoritative case law that interprets these provisions, they must consult external legal databases and court reports because none are provided in the Act as printed here.

There are specific provisions and procedural traps in the Act that can produce unintended consequences for VRC Limited, sub‑lessees, lenders, and parties interacting with the Flemington Racecourse land. These are matters that compliance officers, lawyers and financiers should note precisely because the Act’s text prescribes formal steps and sets policy constraints.

Prohibition on charging or borrowing against the land (s 8). The absolute phrasing "must not charge or borrow against the Flemington Racecourse land" eliminates the possibility of mortgage or charge over the leasehold estate for standard property‑backed lending. Lenders cannot rely on leasehold collateral over the racecourse land itself, and must either take security over corporate assets or negotiate alternative credit enhancements. This affects capital structure decisions, the cost of capital, and the attractiveness of long‑term infrastructure funding that would typically be secured by property. Note that the Act does not expressly prohibit security over improvements or chattels distinct from the land, but because the Act deems property and buildings to be part of the leasehold package, lenders should assume restricted recourse over the land without legislative exceptions.

Registered post service formalities (ss 16(4), 17(7)(d)). Notices to repair and ministerial advices must be served by registered post to VRC Limited’s registered office. Failure to maintain an up‑to‑date registered office or failure to monitor registered post could produce late receipt of critical notices, lost objection windows (minimum 14 days) and automatic enforcement timelines (minimum 21 days for compliance). Organisations must have robust address and mail‑handling protocols to avoid unanticipated enforcement.

Minimum statutory timeframes (ss 16(3), 17(8)). The Act sets minimums: a compliance date in a notice to repair must be reasonable and not less than 21 days (s 16(3)), and the objection deadline must be not less than 14 days (s 16(2)(f)). The Crown Land Minister’s confirmed compliance date must likewise be reasonable and not less than 21 days after service of the advice (s 17(8)). These floors can be extended, but initial notices must meet the minima. Parties should not assume they can be given shorter deadlines; statutory minimums prevail.

Objection suspends compliance obligation (s 17(3)). If VRC Limited objects to a notice to repair, it is not required to comply until the Crown Land Minister decides the objection. That creates a tactical path to delay compliance, but also places strategic emphasis on the content and timing of the objection because ministerial decisions may confirm the notice, possibly with variations, and set a fresh compliance date.

Resumption threshold and opportunity to be heard (s 21). The Crown may declare termination of the Crown lease if VRC Limited has for a continuous period of 11 months ceased to maintain and use the land as a racecourse without the Governor in Council’s consent and has not rectified the matter within 30 days after notice. The Minister must give VRC Limited an opportunity to be heard before declaring termination (s 21(2)). The requirement for continuity of 11 months and the 30‑day remedy window are specific triggers; however, the subjective satisfaction of the Crown Land Minister that the conditions are met is the starting point for termination. VRC Limited should ensure records and documentary evidence of racecourse use and maintenance are readily available to rebut any claim that it has ceased to use or maintain the land.

Deeming transfers do not create right to repudiate (s 28(3)). While existing sub‑leases and licences are deemed to have been granted by VRC Limited on commencement, the Act explicitly states that nothing effected by s 28 provides a person with a right to repudiate the sub‑lease or licence. Parties seeking to avoid an agreement on the ground of the change in the legal identity of the lessor will find that the statute forecloses repudiation claims based solely on the deeming.

Tax and duty exemption limited to Part 3 (s 37). The Act states no duty or other tax is chargeable under any Act in respect of anything done under Part 3 or in respect of acts or transactions necessary to effect Part 3. That tax exemption is confined to the transfer mechanics in Part 3, and should not be presumed to apply beyond those transactions, for example to future commercial leases or financings under s 7. Parties should not assume broader tax exemptions for subsequent dealings unless explicitly stated.

Ministerial discretion on approval of non‑racecourse uses (s 7(2)). The Crown Land Minister must be of the opinion that a proposed purpose for sub‑lease or licence is connected with and for the benefit of horse‑racing, and that it will not prevent or hinder use or development of the remainder as a public racecourse. These legal tests are evaluative and can be applied narrowly or broadly. Applicants for non‑racecourse uses should expect substantive ministerial scrutiny and prepare evidence on how a proposed use will support horse‑racing and not hinder the racecourse function.

Deemed licences under other Acts (ss 32-35) and ongoing regulatory compliance. While the Act deems certain licences to be held by VRC Limited, it does not negate the ongoing obligations under those licensing Acts. VRC Limited remains subject to the requirements, inspections and penalties under the Racing Act 1958, Gambling Regulation Act 2003 and Liquor Control Reform Act 1998. Deeming does not immunise the company from ongoing compliance obligations.

Scope of "Flemington Racecourse land" (s 3). The definition includes the land described in Crown Lease Volume 1205 Folio 019 and any land adjoining that land leased under the Land Act 1958 for a purpose relating to the public racecourse. Parties should take care in title searches and corporate due diligence to identify whether adjoining parcels are captured and whether any additional leases from the Land Act regime exist.

Film approvals and film friendly principles (s 3A, s 20(5)). The Act is declared filming approval legislation under s 3A and requires film‑related regulations to be consistent with film friendly principles. Any party seeking to film on the land must consider both the Act’s approval processes and the film friendly principles, which may constrain or facilitate film permits depending on the regulatory alignment.

Penalty magnitude and conversion to dollars. The Act specifies a penalty of 60 penalty units for non‑compliance with a notice to repair (s 19) and allows regulations to impose penalties up to 20 penalty units (s 20(3)). The monetary value of a penalty unit is set in separate legislation and can change; parties should not rely on a fixed dollar figure without checking the current statutory penalty unit value.

Registrar of Titles actions contingent on documents (ss 25, 39). The Registrar will make necessary amendments on being requested to do so and on submission of any relevant certificate of title or other document. Parties seeking title amendments must prepare and submit proper documents; Registrars are not required to act absent the prescribed documents.

Validity protections may not shield all claims (s 38). Section 38 provides that the transfer arrangements in Part 3 are not to be regarded as placing parties in breach or as constituting a civil wrong, but it does not absolve parties of obligations under future agreements, nor does it resolve underlying commercial disputes that are not directly caused by the transfer. Parties should not treat s 38 as a blanket immunity.

In short, operational getters and pitfalls include the encumbrance ban, formal service methods and minimum statutory timelines, ministerial approval thresholds, the existence of non‑repudiation deeming, and the limited scope of tax exemptions. Parties should plan corporate governance, mail handling, financing structures and dispute readiness accordingly.

Compliance with the Act requires both day‑to‑day operational practices and structured administrative procedures to manage ministerial interfaces, statutory timelines, recordkeeping and risk allocation. Below are concrete steps and systems to implement for VRC Limited and associated stakeholders.

Corporate governance and registered office maintenance. Ensure that VRC Limited’s registered office details are correct, and maintain a process to monitor registered post arriving at that address. Notices under the Act (s 16(4), s 17(7)(d)) are required to be served by registered post to the registered office; failure to receive or promptly act on registered post is not a statutory excuse. The board should also maintain a statutory compliance register that tracks lease term dates, renewal options allowed by s 11, and any expiry or renewal windows relevant to the Crown lease and adjoining Land Act leases.

Maintenance program and records. Develop and operate a scheduled maintenance program for all buildings and improvements on the Flemington Racecourse land so VRC Limited complies with s 9 and the maintenance obligations implicit in s 5. Keep detailed maintenance logs, inspection records, contractor invoices, building defect lists and remedial work plans. These records are critical evidence if an authorised officer issues an inspection certificate (s 15) or if the Crown alleges cessation of use or maintenance leading to resumption (s 21). Regular condition surveys and a capital renewal plan will also support responses to notices to repair and ministerial enquiries.

Responding to inspections and notices. Establish a standing process to respond to authorised officer inspections. When an inspection certificate is received by the Secretary and a notice to repair is issued to VRC Limited, the company should:

• Immediately docket the registered post notice and calendar the statutory timelines: objection window (not less than 14 days) and minimum compliance date (not less than 21 days) as set out in s 16(2)(f) and s 16(3).
• Assess the notice’s particulars against maintenance records and prepare a technical response documenting proposed remedial steps and an implementation timeline.
• If there are grounds for dispute as to matters identified or reasonableness of the remedial time, prepare and file a written objection to the Crown Land Minister within the notice’s objection period (s 17(2)). The objection should set out precise reasons and supporting evidence, because an objection suspends the compliance obligation until decision (s 17(3)).
• If more time is required, file a written request for an extension under s 18 explaining the reasons for delay and proposed compliance date. The Crown Land Minister may grant an extension and set a new date (s 18(3)).

Document ministerial communications. Preserve all correspondence with the Crown Land Minister, the Secretary and authorised officers, and obtain written reasons for ministerial confirmations or variations under s 17(6)-(7). Where the Minister confirms a notice, the decision document must state reasons and any variations and be served by registered post; retain this as evidence for compliance or judicial review if necessary.

Development approvals and sub‑leases. For any proposal to use parts of the land for non‑racecourse purposes, prepare submissions to the Crown Land Minister demonstrating the proposed use’s connection with, and benefit to, horse‑racing in Victoria, and show how it will not prevent or hinder the use or development of the remainder of the land as a racecourse (s 7(2)). Engage early with the Crown Land Minister and provide evidence such as economic impact studies, traffic and infrastructure plans, and commitments to mitigate any interference with racecourse operations. For building works beyond those "necessary or expedient" for racecourse use (s 10), obtain Crown Land Minister approval and prepare environmental, heritage and planning documentation to demonstrate non‑detriment under s 10(3).

Financing and property security. Given s 8’s prohibition on charging or borrowing against the Flemington Racecourse land, financiers and VRC Limited should structure lending without relying on a mortgage over the leasehold. Alternatives include security over corporate assets, fixed and floating charges over company property outside the prohibited leasehold, performance bonds, or ring‑fenced special purpose vehicles holding non‑land collateral. Any lender should obtain legal advice on the enforceability of such security and any registration requirements. Ensure disclosure to funders that the leasehold cannot be used as security.

Licence compliance and regulatory alignment. Ensure ongoing compliance with the Racing Act 1958, Gambling Regulation Act 2003 and Liquor Control Reform Act 1998 because licences deemed to be held by VRC Limited under ss 32-35 remain subject to those Acts’ obligations. Maintain operational processes to meet gaming, liquor and racing conditions, including incident reporting, patron safety, and recordkeeping. If film activity is proposed on the land, check film permitting requirements under the Filming Approval Act 2014 and comply with film friendly principles as required by s 20(5).

Insurance and contract allocation. Maintain adequate insurance for buildings and public liability, and ensure contractor agreements allocate risk, set performance timelines aligned with statutory compliance dates, and include warranty and indemnity provisions for remedial works. When engaging contractors for remedial work arising from notices, ensure they can commence within the statutory windows and deliver written completion evidence to the Secretary or authorised officers.

Prepare for resumption contingencies. Since the Crown can resume possession if VRC Limited ceases to maintain and use the land as a racecourse for 11 months without consent (s 21), maintain continuous records of events, maintenance, race meetings, alternative permitted uses, and authorisations that could rebut any claim of cessation. If the Crown declares termination, be prepared to assert compensation claims for buildings and improvements under s 24(1), and if necessary to proceed under the Land Acquisition and Compensation Act 1986’s Part 10 dispute resolution procedures (s 24(2)).

Register of Titles adjustments. Where Part 2 or Part 3 operations require changes to title or other public records, prepare required supporting documents such as certificates of title and applications, and submit them to the Registrar of Titles with a formal request for amendments as contemplated by ss 25 and 39.

Operationalising regulations. Monitor regulations made by the Racing Minister under s 20. These regulations may impose additional duties or functions, and may include penalties up to 20 penalty units for non‑compliance (s 20(3)). Ensure regulatory monitoring and amendment tracking mechanisms are in place so internal policies reflect current regulatory obligations.

Board-level oversight and compliance culture. The board of VRC Limited should designate a compliance officer or committee tasked with statutory compliance, including managing notice response workflows, maintenance scheduling, licence obligations and ministerial liaison. This function should ensure that responses to inspections are timely, that objections and requests for extensions are substantively robust, and that operational decisions reflect statutory constraints such as the prohibition on encumbrances.

In summary, compliance requires proactive maintenance and recordkeeping, formal processes to respond to inspection certificates and notices, careful structuring of finance arrangements to respect s 8, prudent management of ministerial approvals for non‑racecourse uses, and continuous alignment with ancillary regulatory regimes. Failure to maintain these systems risks statutory penalties, loss of leasehold rights through resumption, and disruption of commercial activities on the land.
