Victoria Park Land Act 1992

The Act relies on a small set of statutory techniques and labels to convert negotiated documents into enforceable outcomes and to supply coercive and administrative instruments to implement them.

• Deposited document. Defined by reference to s 4 and the documents listed there. A Minister (or authorised person) deposits specified contractual instruments with the Registrar‑General; those documents include a contract of sale for the "social club land" and an agreement for lease covering particular parts of Victoria Park (s 4(1)-(2)). The Minister must sign and lodge a certificate identifying each document and stating whether it is the s 4(2)(a) or (b) document; that certificate is conclusive proof of the matters stated (s 4(3)-(5)). Sections 15 and 15A of the Property Law Act 1958 apply to deposited documents and no fees are payable for inspection (s 4(6)-(7)).

• Implementing document. Any of the specific annexed documents listed at s 5, namely: the Council loan/mortgage form (s 4(2)(a)(i)), the option and pre‑emption (s 4(2)(a)(ii)), the form of lease (s 4(2)(b)(i)) and the longer indenture lease (s 4(2)(b)(ii)). These documents trigger the obligations in s 7 on settlement.

• Deeming and non‑derogation. The Act uses deeming language to treat the deposited documents as replacing prior negotiations and as having been duly made, executed and enforceable as agreements (s 6(1)(a)-(c)). It also expressly provides that the Council is deemed to have complied with Local Government Act requirements necessary to authorise those agreements (s 6(2), s 7(3)). The Act is explicit that these deemings operate despite any contrary Act, statutory instrument or rule of law (s 6(3), s 7(4)).

• Agent appointment. The Minister has a specific statutory remedy where the Council or the Club fails to perform or is otherwise obstructive: appointment of an agent to act for the Council or the Club (s 9). The threshold grounds include non‑compliance with s 7, breach of a document, failure within a reasonable time to make a decision, unreasonable hindrance, or an expressed intention to do any of these (s 9(2)). The Gazette notice and the Minister’s certificate are conclusive evidentiary devices (s 9(3), s 9(7), s 9(10)).

• Agent powers and evidentiary effect. An agent may do anything the represented party could do to give effect to the Act or the deposited/implementing documents and actions by the agent are taken to have been done with the authority of the represented party (s 10(1)-(2)). The statutory list includes execution of land documents, operating accounts, exercising powers or discretions, and executing documents under seal (s 10(3)-(4)). The Council retains the same immunity in respect of acts done by an agent as if the Council had done them itself (s 10(5)).

• Registrar and title flexibility. Section 13 authorises the Registrar of Titles to dispense with standard title formalities, register instruments by folio recordings only, or delete and recreate folios at the request of a party or agent when giving effect to the deposited/implementing agreements (s 13(1)(a)-(c)).

• Transfer of regulatory functions. The Minister may, by Order in the Gazette, transfer administration and enforcement of the Building Act 1993 for parts of Victoria Park to another person or body, and Orders under s 14 take effect despite anything to the contrary in the Building Act (s 14(1)-(2)). Similarly, the Minister may transfer Council’s powers and duties under the Subdivision Act 1988 to the Minister (s 15(1)-(4)).

• Liability and remedies. The Act restricts monetary liability: no amount is payable by the Crown, the Council or the Club in respect of anything done under or arising out of the Act, except in accordance with a deposited/implementing document, as damages for breach of an agreement in such documents, or as otherwise provided by the Act (s 16). Agents have statutory immunity for good faith acts within appointment terms (s 17). The Act states an intention to curtail the Supreme Court’s jurisdiction under the Constitution Act so the Court cannot award compensation other than as allowed in s 16 (s 18).

Together, these concepts form an implementation architecture: documentary conversion to statutory force, administrative instruments to complete transactions and override procedural obstacles, a Ministerial remedy (agent) with broad executory powers, and constrained remedial avenues for parties affected by the Act’s operation.

Primary parties named in the Act are the Council of the City of Collingwood (the Council) and the Collingwood Football Club Limited (the Club). The ministerial and public administration actors who gain powers or roles under the Act are the Minister (who deposits documents, appoints agents and makes Orders), agents appointed by the Minister (s 9-11), the Registrar‑General/Registrar of Titles (s 4, s 13), and any person or body specified in Orders under ss 14 and 15 (s 14(1), s 15(1)).

• Council and Club. They are the contracting parties whose pre‑existing negotiations and paperwork are made binding by force of the Act (s 6(1)). The Council is deemed to have complied with local government procedural requirements and authorised to act as required by the deposited and implementing documents (s 6(2), s 7(3)). The Council has duties triggered on settlement (lend the purchase price, enter leases as required) and must not act so as to prevent, limit or hinder implementation (s 7(1)-(2), s 12(1)). The Club has corresponding obligations (to accept a loan, give mortgage, enter leases and grant options/pre‑emption) and the same prohibition on interference (s 7(1)-(2), s 12(1)).

• Minister. The Minister has several powers that directly affect private rights: to deposit documents that will become binding (s 4); to appoint an agent where grounds exist (s 9); to vary or revoke that appointment by Gazette notice (s 11); and to make Orders transferring Building Act administration or Subdivision Act powers affecting Victoria Park (ss 14-15). The Minister’s certificate about deposited documents and appointments is given conclusive statutory force (s 4(5), s 9(10)).

• Agent. An agent, once appointed, acts in the place of the Council or Club for the purposes of giving effect to the Act and the relevant documents (s 10). Agents can execute land instruments, operate accounts, exercise discretions, and execute documents under seal (s 10(3)-(4)). Agents have statutory immunity for acts or omissions done in good faith and within appointment terms (s 17).

• Registrar of Titles. The Registrar’s role changes by allowing administrative shortcuts and folio manipulation at the request of a party or agent to give effect to the deposited/implementing documents (s 13). That can affect third parties who look to the Register for title information.

• Public and third parties. The Act makes the deposited and implementing documents inspectable free of charge (s 4(7), s 8(4)), but it also constrains remedies for interference and creates evidentiary devices that third parties must accept (for example, Minister’s certificates and Gazette notices are conclusive proof of specified matters: s 4(5), s 9(7), s 9(10)). Mortgagees, purchasers, contractors and statutory authorities who would normally rely on Local Government Act compliance or on standard title formalities must account for the Act’s deemings and Registrar flexibilities (s 6(2), s 13).

• Crown liabilities and financiers. Section 16 curtails claims for amounts arising out of the Act, except in accordance with deposited/implementing documents or for damages for breach of those agreements. That affects financiers and claimants whose remedies might otherwise be against the Crown, Council or Club. Agents’ immunity (s 17) shifts potential personal liability away from practitioners acting under appointment.

Who pays. The Act does not levy new taxes or explicit fees. The Act states no amount is payable by the Crown, the Council or the Club for actions arising solely under the Act except as set out in the deposited or implementing documents or for damages under those documents (s 16). Costs of compliance, of performing loan and mortgage arrangements, of settlement, and of constructing or leasing premises under the implementing documents will fall on the Council and the Club as contracting parties in accordance with the specific terms of the deposited and implementing documents (s 6(1), s 7(1)-(2)).

Who decides. The Minister has decisive powers: what documents are deposited (s 4), whether to appoint an agent and the agent’s terms (s 9(1), s 9(5)), and whether to transfer building/subdivision administrative functions by Order (ss 14-15). The Minister’s decisions are recorded by Gazette notice and certificate, which are conclusive statutory evidence (s 9(3), s 9(10), s 4(3)-(5)). The Council and Club retain decision‑making for matters within the documents unless and until an agent is appointed; the agent then acts for them under the terms of appointment (s 10(1)-(2)).

The Act creates a compact of duties and powers distributed among the Minister, the Council, the Club, the agent and the Registrar. Below are the principal statutory duties and rights with section references and the operational consequences they produce.

Duties imposed on Council and Club

• Give effect to the deposited documents. Section 6(1)(d) obliges the Council and the Club to give effect to the deposited documents that the Act has converted into binding agreements. The documents are deemed to replace earlier negotiations (s 6(1)(a)) and to have been duly executed on commencement (s 6(1)(c)).

• Settlement obligations. On the contract of sale settlement for the "social club land" (the trigger in s 7(1)), the Council and Club must ensure the existing 1956 lease is surrendered as necessary to enable sale completion (s 7(1)(a)). The Council must lend the purchase price under the terms set out in an implementing document (s 7(1)(b)). The Club must grant a mortgage in the specified form (s 7(1)(c)). The Club must grant option and right of pre‑emption in the specified form (s 7(1)(d)). The day after settlement, the parties must enter into the leases in the forms annexed as implementing documents (s 7(2)).

• Non‑interference. Section 12(1) prohibits the Council or the Club from acting in a way that would prevent or limit a deposited or implementing document being given effect, or that would be inconsistent with anything done on their behalf by an agent, or that would prevent or hinder an agent from acting. Contraventions of s 12(1) are declared void (s 12(2)).

• Assistance to agent. If an agent is appointed, s 10(6) requires the Council or Club to provide the agent with any document, information or assistance the agent requests and it is able to give. A statutory cause of action is available for breach of this duty, but only with the written consent of the Attorney‑General (s 10(7)).

Rights, discretions and protections

• Ministerial discretion to appoint agent and set terms. The Minister may appoint an agent if satisfied grounds exist (s 9(1)-(2)) and the appointment is given effect by Gazette notice and a certificate (s 9(3), s 9(8)-(10)). The appointment is subject to such terms, conditions and restrictions as the Minister, in "his or her absolute discretion", determines (s 9(5)). The Minister may revoke or vary appointments by Gazette notice (s 11(1)).

• Agent powers. An agent may do anything the person for whom the agent is appointed may do to give effect to the Act and the documents (s 10(1)). Specific powers listed include executing documents relating to land, entering into contracts or arrangements subject to laws applicable to the principal, operating accounts, exercising powers and discretions, and executing documents under seal (s 10(3)-(4)). Actions by an agent are taken to have the same authority and effect as if done by the principal (s 10(2)).

• Evidence devices. The Minister’s certificate identifying deposited documents and the Gazette notice of appointment are conclusive proof of the matters they state (s 4(3)-(5), s 9(7), s 9(10)). The agent must produce the certificate of appointment on request (s 9(9)).

• Registrar discretion. On request of a party to an agreement given effect by the Act, or of an agent, the Registrar of Titles may dispense with certificates of title, plans or other documents; register by folio recordings only; or delete and recreate folios and certificates of title (s 13(1)(a)-(c)). Section 13 is additional to other powers of the Registrar (s 13(2)).

• Transfer of regulatory functions. The Minister may, by Order published in the Gazette, transfer administration and enforcement of parts of the Building Act 1993 for Victoria Park to any person or body and such Orders have effect despite anything to the contrary in the Building Act (s 14(1)-(2)). The Minister can transfer Council’s subdivision powers to the Minister and back again by Gazette Order (s 15(1)-(4)).

Limitations and remedial structure

• Variation of documents. Deposited and implementing documents cannot be varied or terminated except as provided by the document itself or by agreement between the Council and Club (s 8(1)). Any variation must be deposited with the Registrar‑General as soon as practicable (s 8(2)). Property Law Act provisions apply to these deposited variations, and inspection is free (s 8(3)-(4)).

• Liability. Section 16 restricts amounts payable by Crown, Council or Club in respect of anything done under or arising out of the Act except as provided by deposited/implementing documents or for damages for breach of those agreements or otherwise provided by the Act. Agents enjoy statutory immunity for acts done in good faith and within appointment terms (s 17).

• Judicial limitations. The Act expresses an intention to alter s 85 of the Constitution Act 1975 so the Supreme Court cannot award compensation or entertain actions except as provided by s 16 and s 17 (s 18). This operates as a statutory statement of intent to limit remedies.

Taken together, these duties and rights make the deposited/implementing documents the primary legal instruments governing future ownership, mortgage, leasing and development of Victoria Park, backed by administrative instruments (agent, Registrar actions, Ministerial Orders) to enforce implementation and bypass procedural or statutory obstacles.

The Act does not create conventional criminal penalties such as fines or imprisonment. Enforcement is achieved through statutory remedies, administrative instruments, evidentiary presumptions and limitations on judicial remedies. The Act relies on administrative enforcement, voiding mechanisms and the appointment of agents as the main levers.

Principal enforcement mechanisms

• Appointment of agent and execution in principal’s name. The Minister may appoint an agent under s 9 where statutory grounds exist (non‑compliance with s 7, breach of documents, failure to decide or act within a reasonable time, unreasonable hindrance, or an expressed intention to do those things: s 9(2)). Once appointed, an agent may do anything the principal could do to give effect to a deposited or implementing document (s 10(1)-(3)). Actions taken by the agent are taken to have been done on behalf of, and with the authority of, the principal and have the same legal effect (s 10(2)). The ability to appoint an agent is a practical enforcement mechanism to ensure implementation without leaving the matter to slow court processes.

• Voidness of contravening acts. Section 12(2) provides that anything done or purported to be done in contravention of the non‑interference obligations in s 12(1) is void. That is a direct statutory nullity meant to prevent unilateral steps that would frustrate implementation or an agent’s exercise of powers.

• Evidentiary conclusive proofs and Gazette notices. The Minister’s certificate that identifies deposited documents is conclusive proof of the matters stated (s 4(5)). Similarly, the Government Gazette notice of appointment and the agent’s certificate are conclusive proof that grounds for appointment existed and that the agent is duly appointed and authorised while the appointment is in force (s 9(3), s 9(7), s 9(10)). These provisions make it difficult to litigate the existence or validity of an appointment or the deposited documents’ identity on ordinary evidentiary grounds.

• Injunctive or declaratory relief (implicit). The Act does not remove all access to judicial relief. Parties could seek declaratory relief where the Act does not preclude it. However, s 18 expresses an intention to alter the Supreme Court’s jurisdiction under s 85 of the Constitution Act 1975 so that the Court is restricted from awarding compensation or entertaining actions of the kind referred to in s 17; and s 16 narrows monetary liability. The combined effect is to circumscribe damages claims in many circumstances.

• Action for breach of statutory duty for failure to assist agent. Section 10(7) creates an actionable duty on the Council or Club to assist an agent but restricts the ability to bring an action for breach of that duty: such an action cannot be brought without the written consent of the Attorney‑General. That is a procedural gate that limits private enforcement.

Immunity and limits on liability

• Agent immunity. Section 17 provides that an agent is not personally liable for anything done or omitted in good faith and in accordance with the terms of appointment. This protects agents from personal civil liability for acts done within the statutory authority.

• Limits on Crown and party liability. Section 16 states no amount is payable by the Crown, the Council or the Club in respect of anything done under or arising out of the Act or because of its variation or termination of any agreement, except where such amounts are in accordance with a deposited/implementing document, as damages for breach of those agreements, or as otherwise provided by the Act. This narrows the circumstances under which monetary compensation may be recovered.

• Judicial curtailment. The Act records an intention to limit the Supreme Court’s ability to award compensation outside the statutory scheme (s 18). While the Act’s language is permissive of Parliament’s intention, the exact constitutional effect would be for courts to interpret in any proceedings.

Evidentiary and administrative enforcement features

• Registrar powers to alter folios. The Registrar of Titles may, on request of a party or agent, dispense with usual submissions and register by folio recordings only, or delete and recreate folios and certificates (s 13(1)(a)-(c)). These administrative powers allow technical title hurdles to be cleared so that implementation can proceed.

• Gazette publication and statutory notices as triggers. Both appointment and revocation of agents require Government Gazette publication (s 9(3), s 11(1)). The requirement for public notice serves both as an administrative traction point and a means for third parties to be put on notice.

Enforcement costs and practical effect

• The main cost for enforcement falls on the parties rather than on criminal sanction. Implementation is achieved by administrative takeover or substitution, not by penal sanctions. The Council and Club are obliged to comply or be subject to an agent acting in their stead. Agents and the Registrar exercise administrative acts that substitute for ordinary commercial or municipal consent processes.

• Procedural hurdles to private enforcement include the Attorney‑General’s consent requirement to sue for failure to assist an agent (s 10(7)), the conclusive proof of documentary status and appointment (s 4(5), s 9(10)), and limits on monetary awards (s 16, s 18). These elements collectively compress private enforcement and channel disputes toward the statutory mechanical remedies the Act provides.

In sum, the Act enforces implementation primarily by authorising substitution (agents), administrative title mechanisms (Registrar), and statutory nullity of obstructive acts, rather than by criminal or traditional civil penalties. Remedies for aggrieved parties are narrowed and channelled through the specific terms of the deposited and implementing documents, and the Act places procedural and evidentiary devices in the hands of the Minister and Registrar to facilitate this outcome.

The Act is drafted to operate both alongside and in priority to several existing statutes and legal regimes. Its interaction with other laws is predominantly enabled by express deeming and non‑derogation provisions, plus specific transfer powers for regulatory responsibilities.

Local Government Acts and property law

• Deemed compliance with Local Government Acts. Sections 6(2) and 7(3) explicitly deem the Council to have complied with all provisions of the Local Government Act 1989 and, so far as in force, the Local Government Act 1958, which would otherwise be necessary before the Council could enter into, lend money under, or give effect to the agreements that the Act makes binding. These deemings function as an override of normal local government procedural checks and delegations. The Act thus displaces procedural legal hurdles that might otherwise be raised under local government law.

• Property Law Act application for deposited documents. The Act takes an express cross‑reference to ss 15 and 15A of the Property Law Act 1958 for a document deposited under s 4 (s 4(6)) and to s 16 for documents deposited under s 8 (s 8(3)). These cross‑references make formalities and evidentiary rules in the Property Law Act applicable to the deposited and varied documents, with the specific concession that there is no fee for inspection or copying (s 4(7), s 8(4)).

Building and subdivision regulation

• Transfer of Building Act administration. Section 14 authorises the Minister, by Government Gazette Order, to declare that administration and enforcement of any provisions of the Building Act 1993 and the building regulations in relation to all or any part of Victoria Park be carried out by any person or body specified in the Order and in accordance with the Order’s terms. Section 14(2) makes clear such an Order has effect despite anything to the contrary in the Building Act 1993. The endnotes record an amendment by the Building Act 1993 to s 14(1) and s 14(2) (Table of Amendments). This creates a statutory power to relocate regulatory responsibility away from the municipal building authority for the specified land.

• Transfer of Subdivision Act powers. Section 15 permits the Minister to transfer the Council’s powers and duties under the Subdivision Act 1988 (in relation to plans under that Act) to the Minister by Gazette Order. The Subdivision Act will then apply as if it referred to the Minister instead of the Council, and acts done by the Council previously are taken to have been done by the Minister (s 15(1)-(3)). The Minister may transfer powers back to the Council (s 15(4)). This changes the relevant consenting or approval authority for subdivision matters on Victoria Park.

Registrar of Titles and land law

• Registrar's discretionary practices to implement the Act. Section 13 permits the Registrar to dispense with submission of certificates of title, plans or other documents; to register by recordings in the relevant folio only; or to delete and recreate folios and certificates of title at the request of a party or agent to an agreement given effect by the Act. This directly affects the operation of Torrens title practices and could modify how third parties rely on the Register as evidence of title or interests.

Supreme Court and constitutional interaction

• Intention to alter Supreme Court jurisdiction under s 85. Section 18 expressly states it is the intention to alter or vary s 85 of the Constitution Act 1975 to prevent the Supreme Court from awarding compensation or entertaining certain actions except in the restricted circumstances in s 16 and s 17. This is a statutory statement of Parliamentary intent to circumscribe judicial remedy, and would require judicial consideration where contested. The Act thereby seeks to limit legal avenues in other statutes that would ordinarily provide compensation or remedies.

Repeal and prior acts

• Repeal of Collingwood Land (Victoria Park) Act 1992. Section 19 repeals that earlier Act and declares that any document which, by force of section 6 of the repealed Act, may have had effect as binding and enforceable is deemed never to have had effect (s 19(2)). This retroactively nullifies certain earlier statutory effects and replaces them with the current Act’s regime.

Priority and "despite anything to the contrary" clauses

• Sections 6(3) and 7(4) expressly state that the Act’s provisions have effect despite anything to the contrary in any Act, statutory instrument or rule of law. Those clauses place the Victoria Park Land Act in a superseding position for the specific matters it addresses, subject to constitutional limits and judicial scrutiny.

Practical cross‑statutory implications

• Procedural short‑cuts and overrides reduce the efficacy of procedural objections under local government and title formalities because the Act deems the Council to have been authorised and permits Registrar adjustments (s 6(2), s 13). This reduces reliance on the ordinary checks which those statutes provide.

• Administrative concentration. The Minister can consolidate powers otherwise exercised by local authorities (ss 14-15), which affects the balance between municipal and state administration for building and subdivision in the defined area.

• Evidence and remedy trade‑offs. The Act enhances administrative control while curtailing some traditional judicial remedies (ss 16, 18). Parties must therefore reconcile obligations and rights as set out by the deposited/implementing documents and this Act rather than relying on routine statutory or common law defences.

In summary, the Act positions itself over relevant local and property law processes for purposes of implementing the specific transactions and development plans for Victoria Park. It achieves this by deeming compliance, granting the Minister transfer and appointment powers, and giving the Registrar latitude in title administration, with corresponding limits on remedies and private enforcement.

The text provided includes an endnotes table of amendments which records one amendment and particulars of commencement. The material in the Act itself also contains provisions and repeal mechanics relevant to legislative history.

Key legislative milestones and dates

• Assent and commencement. The Act received Royal Assent on 24 November 1992 (Endnotes, General Information). Sections 1-4 commenced on that same date (s 2(2)). The remainder of the Act came into operation on a day to be proclaimed, and the Endnotes record that the rest of the Act commenced on 1 February 1993 by Government Gazette notice (Government Gazette 28 January 1993 p. 174).

• Building Act 1993 amendment. The Table of Amendments records that the Building Act 1993 (No. 126/1993) amended the Victoria Park Land Act 1992, with the specific amendment item listed as s 264(Sch. 5 item 21). The Building Act amendment received assent on 14 December 1993 and the amendment to the Victoria Park Land Act commenced on 1 July 1994 (Special Gazette No. 42, 1 July 1994 p. 1). The Act as published shows marginal notes indicating the amendment to s 14(1) and cross‑reference at s 14(2). That suggests the Building Act update modified the Minister’s power to declare administration and enforcement of the Building Act 1993 provisions in relation to Victoria Park, and confirmed the Orders have effect despite anything to the contrary in the Building Act (compare s 14 as printed with the marginal amendment note).

• Repeal of prior Act. Section 19 repealed the Collingwood Land (Victoria Park) Act 1992. The repeal is consequential to the present Act’s aim of implementing new arrangements and avoiding overlapping statutory regimes. Section 19(2) expressly deems any effects previously created by s 6 of the repealed Act never to have had effect; this is an affirmative nullification of the prior Act’s statutory results.

Records and explanatory materials

• Parliamentary second reading speech and procedural statements are referenced in the General Information endnote: the Minister’s second reading speech took place in the Legislative Assembly on 13 November 1992 and in the Legislative Council on 17 November 1992. The long title for the Bill and s 85(5) statements are noted with dates in late 1992 (Endnotes).

• The Act’s Explanatory Details entry in the endnotes is empty for this publication (Endnotes 3: "No entries at date of publication"), so there are no expanded Explanatory Memoranda entries in the material provided.

Implications of amendments

• Building Act amendment interplay. The amendment by the Building Act 1993 suggests a temporal coupling: once the statewide Building Act came into force, Parliament adjusted the Victoria Park Act to ensure Orders under s 14 operate consistently with the new Building Act framework. The endnote identifies the amendment target (s 14) and the effective date (1 July 1994). Practitioners should consult the consolidated text and the Building Act 1993 to confirm the present state of s 14 and the regulatory regime affecting Victoria Park.

• Stability and repeal. The repeal of the earlier Collingwood Land Act and the deeming that earlier agreements never took effect (s 19(2)) means that any documentary reliance on the prior Act’s supposed effect should be re‑examined in light of the current Act’s statutory framework.

What the Act does not record in its amendment history

• No later amendments are shown in the provided Table of Amendments beyond the Building Act 1993 item. Users should verify with current consolidated legislation databases to confirm whether subsequent amendments or judicial interpretations affected the Act after the version dated 6 July 1999 shown in the heading.

Taken together, the amendment history is compact: the Act was enacted in late 1992, partially commenced immediately and fully in February 1993, and was technically updated in 1994 to interact with the new Building Act. The repeal of a prior local Act was part of the same reformulation.

The text of the Act as provided contains no judicial decisions, no recorded litigation history, and the endnotes show no entries in "Explanatory Details" that would summarise any court challenges or disputes. The Act records legislative intent to limit certain judicial remedies (s 18) and narrows monetary liabilities (s 16), but the material supplied does not identify cases, judgments or administrative determinations that have considered the Act’s provisions.

What the Act says about judicial remedies

• Section 16 defines the statutory boundaries for monetary recovery arising from things done under or as a result of the Act. It states no amount is payable by Crown, Council or Club except as provided by the deposited/implementing documents, as damages for breach of such an agreement, or as otherwise provided by the Act (s 16). That provision frames the permissible civil claims.

• Section 18 is explicit about Parliament’s intention to alter or vary s 85 of the Constitution Act 1975 to prevent the Supreme Court from awarding compensation or damages in respect of anything done under or arising out of the Act except as set out in s 16, or entertaining actions of the kind referred to in s 17. The Act thereby seeks to limit the Supreme Court’s jurisdiction in relation to activities under the Act.

Practical inference for litigators and researchers

• Absence of recorded cases in the provided materials does not mean the Act has not been litigated. It does mean that in the printed version and accompanying endnotes supplied here, no decisions are cited. Practitioners seeking reported judicial treatment must search case law databases and consolidated legislation histories beyond the provided text.

• Given the Act’s evidentiary devices (conclusive Minister certificates and Gazette notices, s 4(5), s 9(7), s 9(10)), administrative remedies (agent appointment, s 9-11), and constraints on damages (s 16) and Supreme Court jurisdiction (s 18), litigation arising from this Act would likely engage issues about the constitutionality of limiting judicial remedies, the scope of deeming provisions, the validity of agent appointments and the exercise of Registrar discretions. Those are areas to examine in case law searches.

• The absence of cases in the text supplied requires users to verify whether any constitutional or administrative law challenges occurred after the Act’s enactment, particularly challenges to section 18’s stated intention to restrict Supreme Court jurisdiction.

In short, the legislative materials provided do not record a litigation history. Users who need authoritative accounts of how courts have interpreted or applied this Act should search judicial decisions and consolidated legislative materials external to this text.

The Act uses strong statutory devices and administrative shortcuts that produce practical hazards and compliance traps for practitioners, local authorities, financiers and affected third parties. Below are specific "gotchas" drawn from the statutory text with section pointers and the practical mechanisms that create risk.

1. Minister’s absolute discretion for agent terms (s 9(5)). The Minister may specify "terms, conditions and restrictions" in the appointment "in his or her absolute discretion". That phrase signals a wide conferral of executive power. Where an agent is appointed, the agent’s powers and limitations will reflect a Ministerial decision that is not expressly constrained by enumerated standards in the Act, increasing uncertainty for the Council and the Club about the scope of agency before a Gazette notice is published (s 9(3)), at which point the appointment and its grounds are conclusive proof of existence (s 9(7)).

2. Conclusive statutory proof once documents/certificates are lodged (s 4(5), s 9(10)). The Minister’s certificate identifying deposited documents is conclusive proof of the matters stated (s 4(5)). Similarly, the agent’s certificate is conclusive proof of appointment and terms (s 9(10)). These devices reduce the normal ability of parties or third parties to challenge documentary identity or appointment on ordinary evidentiary grounds and may limit discovery of factual errors.

3. Attorney‑General consent required to sue for non‑assistance (s 10(7)). Although s 10(6) imposes a statutory duty to provide assistance and documents to agents, s 10(7) requires the written consent of the Attorney‑General for any action for breach of that duty. This creates a significant procedural barrier to enforcement by private parties and can deter speedy remedies.

4. Narrow remedies and limited monetary liability (s 16). The Act curtails monetary awards against the Crown, Council and Club for actions under the Act except in narrow categories. This restricts recovery for parties who might otherwise claim compensation based on statutory interference or extinguishment of earlier rights. Affected parties must rely on the specific deposited or implementing documents or on narrow damage claims, which may be contractually circumscribed.

5. Intended curtailment of Supreme Court jurisdiction (s 18). The Act states it is the intention to alter or vary s 85 of the Constitution Act 1975 to prevent the Supreme Court from awarding compensation in specified circumstances. This raises constitutional questions about separation of powers and judicial review and could expose the Act to challenge; in the meantime it reduces conventional avenues for judicial relief.

6. Deeming of compliance with Local Government Acts (s 6(2), s 7(3)). The Act deems the Council to have complied with statutory procedures in the Local Government Acts that would otherwise have to be satisfied before undertaking the transactions. That eliminates procedural checks, public notice rights or formal approvals that municipal law might otherwise require, which is a legal risk to third parties who would rely on those checks to assert notices, objections or other protections.

7. Registrar’s power to delete and recreate folios (s 13(1)(c)). The Registrar may delete a folio and create a new one, cancel a certificate of title, and register by folio recordings only (s 13(1)(b)-(c)). This is a technical but critical capability: parties that rely on continuity of folio or rely on the public Register for notice may find historical entries altered. Practitioners need to monitor the Register actively.

8. Variation only by agreement or as provided (s 8(1)). Deposited and implementing documents cannot be varied except as they permit or by agreement between the Council and Club. That restricts unilateral commercial flexibility. Any variation must be deposited (s 8(2)), so there is a formal lock on change.

9. Agent immunity (s 17) and Council immunity for agent acts (s 10(5)). Agents are protected from personal liability for good faith acts within appointment terms (s 17). The Council also has the same immunity for acts done on its behalf by an agent as if it had done them itself (s 10(5)). These protections shift risk and may complicate recovery if acts are executed negligently but arguably within appointment terms.

10. Repeal and retrospective nullification of prior effects (s 19(2)). Section 19 repeals the Collingwood Land (Victoria Park) Act 1992 and deems any effect that Act had as never to have existed. Parties who contracted or relied on the earlier Act could find their previous expectations extinguished and replaced by the new statutory framework, with attendant legal and commercial consequences.

11. Deposited documents accessible free of charge, but content is decisive (s 4(7), s 8(4)). While inspection and copying are free, any terms in those deposited and implementing documents are binding by force of the Act (s 6(1)). Familiarity with the precise document content is therefore necessary; absence of a copy to counsel is a risk if an interested party assumes customary municipal terms.

12. Schedule details are compacted. The Act references Schedules 1 and 2 to define "Victoria Park" and the "scheme for ownership and use" (s 3, Scheds 1-2). The textual extract includes the schedule headings and plans are referred to as hatched/cross‑hatched areas, but the plan content may be technical and determine what land is affected. Practitioners must examine the schedules and plan graphics closely because the statutory impacts (building administration transfers, subdivision transfers, and Registrar actions) apply to the specified land.

Collectively, these provisions concentrate implementation power in the Minister and administrative machinery while narrowing customary procedural checks and judicial remedies. Each of these "gotchas" is grounded in a particular section and produces specific effects on notice, remedial options, evidentiary positions and the allocation of risk.

For the Council, the Club, agents, registrars, financiers and third parties who have to operate under the Act, compliance requires both document‑level precision and readiness to engage with the Act’s administrative processes. Below are practical steps and legal precautions cross‑referenced to the Act.

1. Obtain and review the deposited and implementing documents immediately (s 4, s 5, s 6). The deposited documents are the operative instruments by force of s 6(1). The Minister’s certificate lodged with each deposited document is conclusive proof of its identity (s 4(3)-(5)). Parties should obtain certified copies from the Registrar‑General and review the forms of mortgage, option/pre‑emption, and the leases annexed as implementing documents (s 4(2)(a)(i)-(ii), s 4(2)(b)(i)-(ii)). Free inspection is available (s 4(7), s 8(4)).

2. Track settlement triggers and timepoints (s 7). Implementation duties arise on the settlement date of the contract of sale for the social club land: surrender of the existing lease as necessary (s 7(1)(a)), Council lending the purchase price in accordance with the implementing document (s 7(1)(b)), Club providing the mortgage and granting options (s 7(1)(c)-(d)), and entry into leases the day after settlement (s 7(2)). Parties must ensure contractual readiness: funds available for the Council loan, mortgage form approved and executed by the Club, and lease documentation signed and ready for registration.

3. Do not attempt to frustrate implementation; avoid acts that would be void (s 12). Section 12(1) prohibits actions by the Council or Club that prevent a deposited or implementing document being given effect or that hinder an agent. Anything done contrary to s 12(1) is void (s 12(2)). Local authority officers should document internal decisions and communicate in ways that avoid creating an "expressed intention" to block implementation (s 9(2)(c)).

4. If an agent is appointed, cooperate and supply materials (s 9, s 10). The Council or Club must provide any document, information or assistance the agent requests and it is able to give (s 10(6)). Failure to do so exposes the Council or Club to a statutory action for breach of duty, but this action requires the Attorney‑General’s written consent (s 10(7)). To avoid court involvement, comply proactively and maintain written records of assistance provided.

5. Monitor the Government Gazette for appointments, revocations, and Orders (ss 9(3), 11(1), 14(1), 15(1)). Agent appointments and revocations, and Orders transferring Building Act or Subdivision Act powers, are effective by Gazette notice. Affected parties should check the Gazette regularly and retain copies of relevant notices because they are statutory triggers and provide conclusive proof of appointment or transfer (s 9(7), s 4(5)).

6. Engage with the Registrar early where title formalities may be modified (s 13). If the implementation requires title alterations, request Registrar assistance early: the Registrar may dispense with a certificate of title, register by folio recordings only, or delete/recreate folios (s 13). Ensure documentation meets Registrar requirements and include clear instructions from the party or agent requesting these actions.

7. For lenders and purchasers, evaluate the risk allocation in the implementing mortgage and option documents (s 5, s 7(1)(b)-(d)). Because the Act deems the Council authorised to lend and to enter into agreements (s 7(3)), financiers should review mortgage forms and priority arrangements and seek independent legal advice on how the Registrar’s powers might affect priority.

8. For local government officers, document statutory compliance and record reliance on the Act’s deemings (s 6(2)). Although the Act deems compliance with the Local Government Acts, the Council should maintain internal records showing how the terms of the deposited and implementing documents align with municipal policy and why statutory variation was enacted, in case of political or administrative scrutiny.

9. For parties contemplating variation, follow the documented route and lodge variations (s 8). Deposited or implementing documents cannot be varied except as the documents provide or by agreement between the Council and Club (s 8(1)). Any variation must be lodged with the Registrar‑General promptly (s 8(2)) and will be subject to Property Law Act provisions (s 8(3)).

10. If enforcement becomes necessary, prepare for restricted remedies (ss 16-18). Understand that monetary claims are limited under s 16 and that s 18 expresses an intention to curtail the Supreme Court’s awarding of compensation. If a dispute arises, frame relief in terms of damages for breach of the deposited/implementing documents or seek declaratory and injunctive relief where available. Factor in the Attorney‑General consent requirement for some actions (s 10(7)).

11. Secure insurance and indemnities for agents and contractors. Agents have statutory immunity for acts done in good faith within appointment terms (s 17), but contractors and professionals working for agents should obtain appropriate indemnities and insurance coverage given the possibility of title adjustments and statutoryly authorised transfers of regulatory functions.

12. Review schedules and plan boundaries precisely (s 3, Scheds 1-2). The Act’s territorial application depends on the hatchings and plan in Schedule 1 and the scheme in Schedule 2. Practitioners must inspect those plans and ensure they understand which parcels are affected, particularly for development, building approvals and subdivisional consents that the Minister might reassign under ss 14-15.

13. Maintain contemporaneous records of all dealings with the Minister, agent, Registrar and other authorities. Given the Act’s reliance on Gazette notices and ministerial certificates as conclusive proof, keep a file of all published notices, certificates, deposit receipts and Registrar correspondence to establish authority and the timeline of implementation steps.

By following these practical steps, interested parties can align their conduct to the Act’s mechanical architecture: identify the operative documents, perform the settlement steps mandated by s 7, avoid prohibited interference, cooperate with appointed agents, and ensure Registrar and Gazette processes are observed.
