sec.85 Attendance by proxy

A board member may attend a meeting of the board by proxy. The proxy holder— may participate in the meeting, but not vote, on the board member’s behalf; and is not entitled to preside at the meeting only because the person is the proxy holder for the chairperson or deputy chairperson; and is not counted for the purpose of deciding whether a quorum is present under section 80 . For section 74 (c) , an absent board member is not taken to have attended a meeting only because a proxy holder for the member attended the meeting. (sec.85-ssec.1) A board member may attend a meeting of the board by proxy. (sec.85-ssec.2) The proxy holder— may participate in the meeting, but not vote, on the board member’s behalf; and is not entitled to preside at the meeting only because the person is the proxy holder for the chairperson or deputy chairperson; and is not counted for the purpose of deciding whether a quorum is present under section 80 . (sec.85-ssec.3) For section 74 (c) , an absent board member is not taken to have attended a meeting only because a proxy holder for the member attended the meeting.
