Veterans (Patriotic Funds) Regulations 2017

The Regulations rest on four core concepts set out in their short text and endnotes: prescribed class of patriotic fund, audit obligation (and its exception), prescribed deposit period, and legislative provenance.

• Prescribed class of patriotic fund (regulation 6). The Regulations identify a class of patriotic fund that is not required to have the documents specified in section 42(2) of the Veterans Act 2005 audited. The class is defined solely by gross income: a fund whose gross income does not exceed $10,000 for the relevant year or part-year ending on either 30 June or a day specified by the Director. The instrument does not attempt to define "gross income" within the Regulations; it simply sets the monetary threshold and the reference period.

• Audit obligation and exception (regulation 6; note). The Regulations operate against the statutory architecture of section 42 of the Act. They disapply the section 42(2) audit requirement for the prescribed class. The Regulations also restate, by way of an explanatory note, that section 42(4) nonetheless requires an audit where the documents relate to the year or part-year ending on the day of closing or winding up of the patriotic fund.

• Prescribed time period for depositing monies (regulation 7). For the purposes of section 45(1) of the Act, the Regulations prescribe 90 days as the period within which monies received by, or on behalf of, the trustees of a patriotic fund must be paid into an ADI. The Regulations do not define ADI; they supply a fixed numeric limit for the statutory requirement.

• Legislative provenance and operation (regulations 2-5 and Endnotes). The Regulations were made under section 86 of the Act (regulation 2), revoke the 2008 Regulations (regulation 3), and commence on 1 November 2017 (regulation 4). The Endnotes record the making date (24 October 2017), the Governor in Council as the maker, and the sunset date under the Subordinate Legislation Act 1994 (ten years from making). The Endnotes also include interpretive material drawn from the Interpretation of Legislation Act 1984, which affects headings, notes, punctuation and other textual features of statutory instruments made after 1 January 2001; those interpretive rules are part of the published endnotes but are not amendments to the operative Regulations.

Mechanically, the Regulations are minimalist: they do not alter auditing standards, do not create offences or penalties, and do not supply detailed compliance procedures. Instead, they set a small number of binary rules (a dollar threshold for an audit exemption, and a 90‑day deposit timeframe) that interact with the broader duties and definitions in the Veterans Act 2005.

The Regulations affect a concentrated set of actors directly and several parties indirectly through the Act’s framework.

Directly affected parties

• Trustees of patriotic funds. They are the primary legal actors named in the Regulations. Regulation 6 changes trustees’ duty to arrange for documents to be audited under section 42(2) of the Act, depending on the fund’s gross income. Regulation 7 prescribes the time within which trustees must place monies into an ADI. The Endnotes record the instrument was made by the Governor in Council under the Act, reinforcing that trustees’ duties are set through subordinate legislation.

• Patriotic funds. The class of funds defined by gross income at or below $10,000 for a specified year or part-year is directly affected because those funds are not required to have the documents in s 42(2) audited (regulation 6). The textual carve‑out is specifically limited by the note referring to section 42(4): funds that are being closed or wound up still face the audit requirement for documents relating to the period ending on the winding-up date.

• Depositaries/ADIs. The Regulations mandate that monies received by or on behalf of trustees must be paid into an ADI within 90 days (regulation 7). Entities that qualify as ADIs (the Act is likely to define that term) are therefore the institutions where funds must be placed. The Regulations do not create obligations on ADIs themselves, but they set a timebound expectation for trustees’ use of ADIs.

Indirectly affected parties

• Donors and payors. Persons or organisations that make payments to patriotic funds are indirectly affected since the Regulations set trustees’ obligations concerning deposit and audit; donors’ confidence and transactional timing may be affected by trustees’ choices (for example, when funds are banked or when financial statements will be audited).

• The Director (as referenced in regulation 6). The Director has an administrative role: regulation 6 allows the year or part of the year ending day to be a different day if specified by the Director. That gives the Director decision-making authority over the relevant accounting period for the $10,000 threshold.

• Regulators and enforcement agencies under the Veterans Act 2005. The Regulations do not themselves create enforcement provisions, but they reframe the obligations that enforcement will apply to under the Act. Enforcement, monitoring or review would therefore be exercised in the context of the Act as already enacted.

Who pays, who decides, and what changes for behaviour

• Who pays: trustees (or the funds they manage) bear the cost of arranging audits where required and bear any compliance costs associated with depositing monies into ADIs. The audit exemption reduces out-of-pocket auditing costs for funds with gross income up to $10,000.

• Who decides: the Regulations fix thresholds and a deposit period, but the Director retains power to specify a different year‑end day for the $10,000 calculation (regulation 6). The Governor in Council made the instrument under section 86 of the Act (Endnotes).

• Behavioural change: trustees of small funds are freed from the statutory obligation to arrange a formal audit for the prescribed period, likely reducing expenditure on audits and shifting record-keeping practices. Trustees retain the obligation to deposit monies into ADIs within 90 days, which frames the timing of cash management and banking decisions.

Geographical or temporal scope

• Temporal: the Regulations commenced on 1 November 2017 (regulation 4) and, per the Endnotes, will sunset on 24 October 2027 under the Subordinate Legislation Act 1994. The revocation of the 2008 Regulations (regulation 3) means the 2017 instrument is the current subordinate rule until sunset or amendment.

• Statutory scope: the Regulations explicitly operate for the purposes of particular sections of the Veterans Act 2005 (s 42 and s 45 are invoked), and thus their scope is limited to the statutory duties and processes in that Act.

The Regulations alter or specify a limited set of duties and leave other rights and duties as set by the Veterans Act 2005. The Regulations should be read in tandem with the cited Act provisions.

Key duties established or clarified by the Regulations

• Audit-related duty (or exemption) for trustees: Under regulation 6, trustees of a patriotic fund are not required to arrange for the documents specified under section 42(2) of the Act to be duly audited if the fund’s gross income for the relevant year or part-year does not exceed $10,000. That is a negative duty: it removes the statutory obligation to procure an audit for funds meeting the threshold. The relevant period is either the year or part of a year ending on 30 June, or on a different day if the Director specifies one (regulation 6).

• Deposit duty: Regulation 7 prescribes, for the purposes of section 45(1) of the Act, that monies received by, or on behalf of, trustees must be paid into an ADI within 90 days from the date of receipt. This creates a clear temporal obligation on trustees to bank monies within a fixed window.

Duties that remain governed by the Act

• Audit requirement on winding up: The Regulations do not remove the Act’s separate requirement that, where the documents required under section 42(2) relate to the year or part-year ending on the day of closing or winding up, those documents must be duly audited (note after regulation 6 citing section 42(4) of the Act). In practical terms, even a fund that otherwise falls within the $10,000 exemption will still have to have its financial documents audited if they relate to the closing period.

• Any other duties under the Act: The Regulations do not attempt to modify other trustee duties, reporting obligations, record-keeping standards, or powers; those remain as established in the Veterans Act 2005.

Rights or administrative discretions recognised or created

• Director’s specification of accounting day: Regulation 6 permits the Director to specify a different day than 30 June for the year or part-year ending on which the gross income test is applied. That is an administrative discretion that can affect whether a fund falls above or below the $10,000 threshold for audit exemption.

• Trustee choice within statutory bounds: Trustees of funds with gross income at or below $10,000 have the right (a negative obligation) not to arrange for an audit under section 42(2) for the specified period, with the caveat on winding up. The Regulations do not prevent trustees from choosing to have audits performed voluntarily; they simply relieve the statutory requirement where the threshold is met.

Operational detail to note

• The Regulations do not define "gross income" or "ADI" within their text (regulations 6 and 7). Those definitions, if any, will be found in the Act or other relevant legislation. Trustees must therefore refer to the Veterans Act 2005 for terms that the Regulations employ by reference.

• The Regulations do not prescribe how trustees should document compliance with the 90-day deposit rule or the criteria used to determine gross income. The administrative practice for demonstrating compliance is therefore left to the Act, any guidance from the Director, and ordinary governance practices.

In sum, the Regulations create two precise, enforceable temporal and monetary metrics: a $10,000 gross income ceiling for an audit exemption (subject to winding-up exception and Director’s specification of the relevant day) and a 90-day maximum for depositing received monies into an ADI. Other duties and rights remain as set in the Veterans Act 2005.

The Regulations themselves do not set out offences, penalties or a new enforcement regime. Their operative text prescribes exemptions and time periods but contains no penalty provisions. Enforcement and sanctions therefore remain matters for the parent Act (the Veterans Act 2005) or other relevant statutory schemes.

What the Regulations say about enforcement

• No penalties in the Regulations. The Regulations do not create or modify penalty provisions. They are made under section 86 of the Act (regulation 2), and their substantive provisions reference sections 42 and 45 of the Act (regulations 6 and 7), which are the statutory hooks for auditing and deposit duties. Any breach of duties established by the Act, including those framed or modified by these Regulations, would be subject to the Act’s enforcement machinery rather than anything in the Regulations themselves.

Where to look for enforcement and penalties

• The Veterans Act 2005. Because the Regulations operate "for the purposes of" particular sections of the Act (regulation 6 for s 42(3), regulation 7 for s 45(1)), enforcement, compliance oversight, and penalties will be those provided in the Act. The Regulations do not replace or enhance such penalties; they adjust the circumstances in which an audit is required and fix a deposit timeframe.

• Administrative oversight. The Endnotes note the Director’s role under regulation 6 (the Director can specify a different day for the income-year calculation). Any administrative directions, guidance, or determinations issued by the Director under the Act may influence how compliance is monitored; the Regulations, however, do not specify monitoring processes or powers.

Practical enforcement implications

• Audit exemption reduces one avenue for mandatory external scrutiny. For funds falling under the $10,000 threshold, auditors will not be required by the Act to review documents for the relevant period, except where the winding-up exception in section 42(4) of the Act applies. That changes the compliance landscape: regulators or interested parties cannot assume a statutory audit exists for every reporting period and must instead rely on other reporting, inspection or complaint mechanisms available under the Act.

• 90-day deposit window creates a clear compliance metric. The fixed 90-day period in regulation 7 is an objective standard that enforcement authorities can apply where section 45(1) is engaged. Whether enforcement action is taken will depend on the Act’s provisions on contraventions or breaches.

• Absence of penalty detail in the Regulations necessitates reading the Act for consequences. Trustees should consult the Act to identify sanctions or remedial steps applicable to breaches of deposit or audit duties, because the Regulations do not address these matters.

In short, the Regulations establish compliance thresholds and timelines but do not themselves prescribe penalties. Enforcement action, and the available remedies or sanctions for non-compliance, will be determined by the Veterans Act 2005 and any relevant administrative practice or guidance issued pursuant to the Act.

The Regulations are explicitly designed to operate within the statutory architecture of the Veterans Act 2005 and are affected by general subordinate legislation rules in Victorian law. The Endnotes also incorporate material from the Interpretation of Legislation Act 1984 that affects textual interpretation. The Regulations do not purport to amend or displace other Acts, but they interact with them in specific ways.

Interaction with the Veterans Act 2005

• Referential operation. Regulation 6 operates "for the purposes of section 42(3) of the Act" and regulation 7 operates "for the purposes of section 45(1) of the Act". The Regulations therefore function by specifying matters that the Act leaves to subordinate legislation or administrative prescription. Any definition or legal effect that the Regulations rely upon but do not define (for example, "ADI" and "gross income") remain matters for the Act (or other laws) to define and supply.

• Preservation of statutory exceptions. The Regulations explicitly preserve an audit requirement in section 42(4) of the Act where the documents relate to the period ending on the day of closing or winding up, meaning the subordinate rule cannot be read to override statutory safeguards provided in the parent Act (note after regulation 6).

Interaction with subordinate legislation and sunset rules

• Revocation of earlier subordinate instrument. Regulation 3 revokes the Veterans (Patriotic Funds) Regulations 2008. Practically, that means the 2017 Regulations replaced the 2008 instrument; the Endnotes record that the revocation is by reference to S.R. No. 19/2008 (Explanatory details, reg. 3), and that there are no amendments to the 2017 Regulations as at publication.

• Sunset under the Subordinate Legislation Act 1994. The Endnotes state the Regulations will sunset ten years after making (24 October 2027) under section 5 of the Subordinate Legislation Act 1994. That means, unless remade or extended, the Regulations expire automatically on that date, affecting their long-term applicability.

Interpretation and text rules

• Interpretation of Legislation Act 1984 (ILA) provisions apply to the text. The Endnotes summarise several interpretive effects of the ILA for rules made on or after 1 January 2001: headings, notes and examples form part of the Statutory Rule; punctuation and provision numbers are part of the rule; and location of legislative items is fixed to provision footnotes. These interpretive rules will guide how the Regulations are read in the context of other subordinate instruments and the Act.

Possible interaction points with other laws (practical considerations)

• Banking and financial regulation by reference to ADIs. The Regulations require monies to be paid into an "ADI" within 90 days, a term commonly used in banking law (authorised deposit-taking institution). The Regulations do not define ADI, so trustees should consult the Veterans Act 2005 (or relevant financial services legislation) for the legal meaning and implications. That will determine whether particular deposit-taking institutions qualify.

• Charity and tax law. The Regulations address audit obligations and banking of monies for patriotic funds. If those funds have charitable status or tax concessions under other laws, trustees will need to consider how an audit exemption and a 90-day deposit rule interact with any external reporting, audit or trustee duties arising under charity or tax law. The Regulations do not speak to those regimes; trustees must cross-check obligations elsewhere.

• Administrative law and Director’s discretion. Regulation 6 permits the Director to specify a different day for the income-year calculation. That specification is an administrative act whose lawfulness and exercise would be governed by administrative law principles and the Act’s delegation scheme.

Overall, the Regulations are narrow subordinate rules that modify the operation of specific duties in the Veterans Act 2005 and are framed to be read alongside the Act and standard interpretation rules in Victorian subordinate legislation law.

The Regulations are new subordinate legislation as of the Version published. The statutory material within the instrument and the Endnotes capture its amendment history to date.

Key historical points recorded in the instrument

• Making and commencement. The Endnotes record the Veterans (Patriotic Funds) Regulations 2017, S.R. No. 107/2017, were made on 24 October 2017 by the Governor in Council under section 86 of the Veterans Act 2005 and came into operation on 1 November 2017 (see Endnotes, General information). Regulation 4 also records the commencement date as 1 November 2017.

• Revocation of previous Regulations. Regulation 3 expressly revokes the Veterans (Patriotic Funds) Regulations 2008 (S.R. No. 19/2008). The Explanatory details in the Endnotes cross‑reference that revocation to the 2008 instrument (Explanatory details 1 referring to Reg. 3). Thus the 2017 Regulations replace the 2008 version as the operative subordinate rule on the subject.

• Amendments to the 2017 Regulations. The Table of Amendments (Endnotes, section 2) records that there are no amendments made to the Veterans (Patriotic Funds) Regulations 2017 by statutory rules, subordinate instruments or Acts as at the version date. Section 3 of the Endnotes states there are no "Amendments Not in Operation" at the date of publication.

• Sunset provision. The Endnotes record that the Regulations will sunset ten years after the day of making on 24 October 2027 (see section 5 of the Subordinate Legislation Act 1994). This is a time-limited subordinate instrument absent re‑making or amendment.

Textual and interpretive modifications

• Interpretation of Legislation Act 1984 effects. The Endnotes set out how the ILA affects headings, examples, punctuation and provision numbers for instruments made on or after 1 January 2001. Those are not amendments to the Regulations’ substance but are changes to how the statutory text is to be interpreted and read in context.

No recorded later amendments, and replacement of the 2008 Regulations, means that the 2017 instrument has a short amendment history: inception (made 24 October 2017), commencement (1 November 2017), immediate repeal of the 2008 instrument, and a scheduled sunset (24 October 2027). Practitioners should monitor the instrument for any later remaking, extension, or amendments before the sunset date.

The published Regulations and Endnotes do not record any litigation, judicial interpretation, or case law that has considered the Veterans (Patriotic Funds) Regulations 2017. The instrument’s Explanatory details and Table of Amendments contain no entries relating to court decisions. The Endnotes do not list any judicial challenges or appellate considerations.

What this means for practitioners

• No reported cases in the instrument. Because the text of the Regulations and its Endnotes do not record adjudication or litigation, there is no statutory record here of judicial interpretation of the $10,000 threshold, the 90‑day deposit rule, or the Director’s power to specify a different day. Any legal arguments about the Regulations’ meaning, the Act’s interaction, or compliance disputes would therefore need to be tested in court and, until they are, rely on statutory text and administrative guidance.

• Reliance on the Act and administrative guidance. In the absence of case law interpreting these Regulations, trustees and advisers should prioritise the Veterans Act 2005 text, any guidance provided by the Director or relevant Minister, and established principles of statutory interpretation applicable to subordinate legislation. The Endnotes’ reference to the Interpretation of Legislation Act 1984 sets the interpretive backdrop for textual reading.

• Potential for future litigation on borderline issues. The Regulations create discrete compliance points (a $10,000 gross income threshold measured to a Director-specified day; a 90-day deposit timeframe). Disputes could arise over how gross income is calculated for the threshold, whether a Director’s day-specification was lawfully made or applied, or whether the 90-day rule is satisfied in particular factual scenarios. None of these issues have been the subject of reported litigation in the instrument as published.

Practitioners dealing with compliance or disputes should therefore be prepared to bring statutory text, administrative records (for any Director specifications or guidance), and contemporaneous fund records to any enforcement or litigation context because the Regulations themselves provide a sparse factual and doctrinal record.

The Regulations are short, but they embed a handful of practical traps and interpretive issues that trustees and advisers should not overlook. The following are concrete mechanics and potential pitfalls grounded in the Regulations and Endnotes.

No definitions in the Regulations for key terms

• "Gross income" and "ADI" are not defined in the Regulations. Regulation 6 uses "gross income" as the metric for the $10,000 threshold but does not define how gross income is to be calculated. Regulation 7 requires monies to be paid into an "ADI" but does not define that term. Trustees must consult the Veterans Act 2005 and relevant financial law to understand these terms. Absent clarity, different calculating approaches or differing interpretations of what constitutes an ADI could produce compliance uncertainty.

Director’s power to specify a different day

• The $10,000 test applies to the year or part-year ending on 30 June or on "a different day specified by the Director" (regulation 6). That specification is a single administrative lever that can change whether a fund falls within the exemption for a given reporting period. Trustees should: (a) check whether the Director has published any specification or guidance; and (b) be careful about planning using assumption of a 30 June end without confirming the Director has not specified an alternative.

Audit exemption does not cover winding-up periods

• The Regulations explicitly preserve section 42(4) of the Act: if the documents required by section 42(2) relate to the year or part of a year ending on the day of closing or winding up of the patriotic fund, those documents must be duly audited. A fund otherwise eligible for the $10,000 exemption will nonetheless be subject to an audit obligation when closing. Trustees planning voluntary winding up must budget for an audit.

90-day deposit period is a single, objective time limit

• Regulation 7 prescribes 90 days from receipt as the period within which monies must be paid into an ADI. Trustees that hold cash or delay banking beyond 90 days will be outside the prescribed period. The Regulations do not specify exemptions, partial compliance approaches, or permitted reasons for delay. Trustees should ensure cash receipts are processed and banked within the 90-day window or document reasons that might be relied upon in administrative review under the Act.

No procedural guidance or recordkeeping detail

• The Regulations do not state how trustees should evidence compliance (for the audit exemption or the 90‑day banking rule). Lack of prescribed documentary standards means trustees need to adopt robust internal records (receipts, bank deposit dates, reconciliations) to demonstrate compliance if questioned. An absence of statutory audit does not eliminate the need for proper bookkeeping.

Sunset risk

• The Regulations will sunset ten years after making (24 October 2027) unless remade or otherwise extended (Endnotes). Trustees should track the sunset timeline: if the Regulations lapse, prior rules could return or a new regime might be introduced. Planning based on the 2017 Regulations should account for regulatory churn.

Revocation of prior instrument

• The 2008 Regulations are revoked by regulation 3. Any transitional or legacy rules in that earlier instrument are displaced. Trustees relying on long-standing practices should confirm whether any differences between the 2008 and 2017 instruments affect current compliance.

Minimalist drafting creates interpretive levers

• Because the Regulations do not stipulate definitions, evidentiary standards, or administrative processes, many compliance questions will turn on statutory interpretation of the Veterans Act 2005 and any administrative instruments issued by the Director. Trustees and advisers must therefore plan for interpretive disputes and preserve documentary evidence supporting their construction of "gross income" and their deposit practices.

These "gotchas" are concrete operational issues that arise from the Regulations’ brevity and reliance on the parent Act and administrative discretion. Trustees should not assume the absence of a statutory audit obligation equates to the absence of broader accountability or governance expectations.

Compliance with these Regulations requires trustees of patriotic funds to take a few discrete, verifiable steps, read in conjunction with the Veterans Act 2005 and any Director-issued specifications or guidance.

Step 1 , Identify the relevant accounting period

• Determine whether the fund’s year or part-year ends on 30 June or on a different day specified by the Director. Regulation 6 ties the $10,000 gross income threshold to the year or part-year ending on 30 June or a Director-specified date. Trustees should check whether the Director has specified a different day for the applicable period and document the source and timing of any specification.

Step 2 , Calculate gross income for that period

• Calculate the fund’s gross income for the year or part-year ending on the applicable date. The Regulations do not define "gross income"; trustees must use the definition provided in the Veterans Act 2005 or widely accepted accounting practices, as appropriate. Keep contemporaneous records showing the income items included in the calculation and the basis for including or excluding particular receipts.

Step 3 , Determine audit obligation

• If gross income for the relevant period does not exceed $10,000, the fund is not required to arrange for the documents specified in section 42(2) of the Act to be audited for that period (regulation 6), except where section 42(4) applies (documents relate to the period ending on closing or winding up). If gross income exceeds $10,000, arrange for the statutory audit required by the Act. Even where exempt, trustees may choose to obtain an audit voluntarily; preserve the decision-making record.

Step 4 , Bank monies into an ADI within 90 days

• For all monies received by or on behalf of trustees, ensure the funds are paid into an ADI within 90 days from the date of receipt (regulation 7). Maintain evidence: deposit slips, bank statements showing the date funds were credited, and reconciliations matching receipts to deposit dates. If funds are pooled or aggregated before deposit, document the aggregation method and show that each receipt was deposited within the 90-day window.

Step 5 , Recordkeeping and governance

• Maintain robust records sufficient to demonstrate compliance with the Regulations and the Veterans Act 2005: accounting ledgers, bank statements, receipts, minutes of trustee meetings recording decisions about audits or banking, and any correspondence with the Director regarding specification of the relevant day. Because the Regulations do not prescribe documentary formats, adopt consistent internal policies that produce auditable trails.

Step 6 , Prepare for winding-up events

• If the patriotic fund is closing or winding up, plan for an audit of the documents relating to the period ending on the closing day, regardless of the $10,000 threshold (note after regulation 6 citing s 42(4) of the Act). Budget for the audit and arrange for an auditor to review the relevant documents.

Step 7 , Cross-check other legal obligations

• Verify whether other laws impose audit, banking, reporting or trustee duties (for example, charity law, tax law, or requirements for incorporated associations). The Regulations modify only the specified duties in the Veterans Act 2005; they do not relieve trustees of obligations under other statutory regimes. Consult the Act for definitions such as "ADI" and "gross income" to ensure consistent readings across legal duties.

Step 8 , Monitor administrative guidance and statutory updates

• Check for any Director specifications and any administrative guidance published by the relevant office, and monitor for amendments or re-making of the Regulations ahead of the sunset date (24 October 2027). Because the Director can specify an alternative day for the income calculation, trustees should subscribe to official updates or maintain contact with the administering office.

Step 9 , Implement internal controls proportionate to risk

• Even where the statutory audit is not required, adopt internal controls appropriate to the fund’s size: segregation of duties, bank reconciliations, periodic management reviews, and clear donation handling procedures that ensure deposits occur within the 90-day limit. Document these controls and their operation; absence of a statutory audit does not remove fiduciary or governance responsibilities.

Step 10 , Seek legal or accounting advice for borderline cases

• Where gross income calculations are contested, or where there is uncertainty about whether particular receipts are within the gross income measure, seek professional advice. Similarly, if a Director specification alters the income period or if the fund anticipates winding up, obtain targeted legal and accounting input to ensure statutory compliance and proper planning for audits or banking duties.

Following these steps aligns practice with the Regulations’ concrete requirements: apply the $10,000 income test to the relevant period, respect the winding-up audit exception, and bank monies into an ADI within 90 days from receipt, while keeping clear records to evidence compliance.
