VET Student Loans (VSL Tuition Protection Levy) Act 2020

Leviable provider: the core taxpayer class. It is an approved course provider under Part 5A of the VET Student Loans Act 2016, excluding listed TAFE bodies. The exclusion covers Commonwealth, state and territory owned providers and those established under named state Acts (e.g. TAFE NSW under the Technical and Further Education Commission Act 1990). Private and not for profit VET providers that are approved for VET Student Loans are the primary targets. The definition in section 5(1A) is exhaustive: if a provider is not among the listed TAFE Acts or government owned, it is leviable. New provider: a leviable provider that was not an approved course provider at any time during the previous year. This status matters because new providers pay zero for both the risk rated premium component and the special tuition protection component in their first year. Total VSL students: a backward looking metric. It counts students enrolled with the provider in an approved course with a census date in the previous year who have been approved for a VET student loan for that course. This number drives parts of the risk rated premium calculation and the per student slice of the administrative fee. VSL Tuition Protection Fund: referenced in sections 9(4) and 13(4) as the object the Minister and Director must consider for sustainability. The Fund is not established by this Act; it is created under the VET Student Loans Act 2016 or related legislation. The levy funds it. Risk factor: determined annually by the VSL Tuition Protection Director. It must reflect the risk of payments being made out of the Fund in respect of leviable providers with that factor. The Director sets both the factor and a risk factor value (or a method for working it out) for providers or classes of providers. The value must be between 0 and 10 inclusive. The risk factor is multiplied into the base premium via Step 5 of the method statement in section 11(2): the sum of the risk factor values plus 1, so the effective multiplier on the base amount ranges from 1 (if all risk factor values are zero) up to 11 (if the sum of risk factor values is 10). This is a powerful lever: the Director can dramatically increase a provider’s levy without any statutory cap on the base amount (only caps on administrative fees exist). Administrative fee component: has two variants. For new providers, it is a single amount determined under paragraph 8(2)(a). For all others, it is the sum of that amount plus the per student amount under paragraph 8(2)(b) multiplied by total VSL students. The base amount is capped at $325 and the per student amount at $15, both indexed under section 10. Indexation uses the All Groups CPI weighted average of eight capital cities, with the factor rounded to three decimal places, and if less than 1 it is increased to 1. That floor ensures indexation never reduces the nominal cap. The administrative fee is a fixed or per head charge unrelated to risk, effectively a participation fee. The risk rated premium component: determined by a four step method statement (section 11(2)). Step 1 multiplies total VSL students by an amount set by the Director. Step 2 multiplies total loan amounts paid to the provider under section 19 of the VET Student Loans Act 2016 in the previous year by a Director determined percentage. Step 3 adds those two results. Step 4 identifies the risk factor values for each risk factor. Step 5 sums the risk factor values and adds 1. Step 6 multiplies the Step 3 result by the Step 5 result. Thus risk factors compound the base premium. The special tuition protection component (section 12) is simpler: total prior year loan amounts multiplied by a Director determined percentage. The Director may set this percentage at zero. Conceptually it is a flat ex post share of the provider’s loan volume, separate from risk rating. Year means calendar year. This matters for the timing of instruments and liability. The Act uses “rules” in section 14 to prescribe exemptions, but does not define “rules”; they likely refer to legislative rules under the VET Student Loans Act 2016 or the Acts Interpretation Act 1901, adding an element of cross legislative dependency.

The direct payers are leviable providers: private VET providers that are approved to offer courses for which students can access VET Student Loans. That includes for profit colleges, not for profit training organisations and some industry bodies, but not government owned TAFEs or the specific state TAFE entities listed in section 5(1A). The exclusion of TAFEs means the levy falls almost entirely on the private portion of the VET sector. New providers receive a first year discount (only the administrative fee component is payable), so the burden escalates after the first year of operation. The levy ultimately affects students indirectly: higher provider costs may be passed on through fees, or providers may restrict course offerings or reduce investment to maintain margins. The risk rating creates an incentive for providers to manage the risk factors the Director chooses, which may influence student selection, course design and compliance practices. The Minister is affected as the decision maker for administrative fee amounts and their caps, and must balance Fund sustainability against provider burden. The VSL Tuition Protection Director is central: he or she determines the risk factors, percentages and methods that directly set the quantum of the risk rated and special tuition protection components. The Director’s discretion is constrained only by a duty to consider the Fund’s sustainability and any advice from the VSL Tuition Protection Fund Advisory Board, and by the requirement for Treasurer approval. The Treasurer likewise has a gatekeeper role over instruments, adding a political layer to what are otherwise technical rate setting decisions. The VSL Tuition Protection Fund Advisory Board advises on the instruments but the Act does not require the Director to follow its advice, only to have regard to it. The Australian Statistician affects the levy through the CPI indexation mechanism; changes in the index reference period or publication methodology are accommodated by section 10(8). Providers that are exempted by future rules under section 14 avoid part or all of the levy; the scope of those exemptions is unknown at enactment and gives the executive flexibility to favour certain classes. The Commonwealth, states and territories are bound in their capacities as providers only to the extent they are not excluded under section 5(1A): if a state owned provider is not on the list, it would be leviable. But section 5(1A) is broad, capturing all Commonwealth, state or territory owned registered training organisations and those established under seven specific state Acts. In practice this excludes all major public TAFE systems. The Crown being bound means no immunity for government providers not caught by the exclusion, though that appears unlikely.

The primary duty is on the leviable provider: to pay the VSL Tuition Protection Levy for each year it is a leviable provider at any time during that year. The amount is the sum of the three components, but the provider does not calculate it in a vacuum. The components rely on data and determinations made by others. The provider must know its total VSL students for the previous year, defined as students enrolled in an approved course with a census date in the previous year who have been approved for a loan. That data must be accurate, as it feeds into the administrative fee (the per student amount) and the risk rated premium (Step 1). The provider also needs to know the total loan amounts paid to it under section 19 of the VET Student Loans Act 2016 for the previous year, which appears in Step 2 of the risk rated premium and in the special tuition protection component. The provider has no right to challenge the amounts, percentages or risk factors set by the Minister or Director directly under this Act; those are legislative instruments subject to parliamentary disallowance and judicial review under the Administrative Decisions (Judicial Review) Act 1977 or the Constitution, but the Act itself creates no merits review avenue. The Minister has a duty to determine the administrative fee amounts before 1 August 2020 for the first year and may do so for later years. If the Minister does not set new amounts, indexation under section 10 applies automatically. The Minister must not set amounts exceeding the statutory caps ($325 base, $15 per student, indexed). In making the instrument, the Minister must have regard to the sustainability of the VSL Tuition Protection Fund and may have regard to any other matter considered appropriate. The VSL Tuition Protection Director must make a legislative instrument before 1 August of each year (including 2020) setting out: the amount for Step 1, the percentage for Step 2, one or more risk factors and their risk factor values or methods, and the percentage for section 12(2). The Director must have regard to any advice of the VSL Tuition Protection Fund Advisory Board and the sustainability of the Fund, and may have regard to any other matter. The Director’s instrument must be approved in writing by the Treasurer before it is made. Those duties are mandatory but the content is highly discretionary. Providers have the right to access the instruments and know the applicable rates and risk factors, since legislative instruments are publicly registered. Providers also have the right to seek exemption if a class they belong to is prescribed under rules made under section 14. That right depends entirely on future executive action. The Act does not give providers a right to be consulted before instruments are made, though the Director may regard any other matter including industry input. The Crown’s right to impose the levy is clear; the only constitutional limitation expressly acknowledged is against taxing state property.

This Act is strictly an imposing Act. It creates the liability to pay the levy but does not contain any penalty provisions for late payment, non payment or underpayment. There is no provision for interest, administrative penalties or criminal offences in the text. The enforcement machinery would be found in the collection legislation likely enacted alongside this Act (such as the VET Student Loans (VSL Tuition Protection Levy) Collection Act 2020 or the VET Student Loans Act 2016 itself). The absence of penalty clauses means the teeth of the levy are elsewhere. Practically, failure to pay the levy could result in the provider losing its approval under the VET Student Loans Act 2016, or having loan payments suspended, or being pursued as a debt due to the Commonwealth under general government debt recovery powers. The Act does not even specify who collects the levy. The notes to sections 11 and 12 refer to the VSL Tuition Protection Fund, implying payments are directed there, but the mechanism is not detailed. The only enforcement related provision is section 4, which ensures the Act does not breach section 114 of the Constitution by taxing state property. That is a defensive limitation, not a penalty. The power to make regulations under section 15 could prescribe matters necessary for carrying out the Act, which might include penalty provisions, but no regulations are referenced in the text. Given the legislative context, providers should expect that non compliance will jeopardise their participation in the VET Student Loans scheme. The Act provides no means for a provider to dispute the calculation of its levy beyond challenging the legislative instruments themselves. That is a significant compliance risk: providers are exposed to the Director’s annually adjusted risk factors with no statutory right to a hearing. If a provider believes a risk factor or percentage is unreasonable, its only recourse is to seek disallowance of the instrument in Parliament or judicial review, both of which are costly and uncertain.

The VET Student Loans (VSL Tuition Protection Levy) Act 2020 does not stand alone; it is tightly coupled to the VET Student Loans Act 2016. Definitions used in this Act that also appear in the 2016 Act have the same meaning (section 5(2)). The total loan amounts paid to a provider under section 19 of the 2016 Act are used in calculating the risk rated premium component and the special tuition protection component. The concept of approved course provider and approved course also derive from that Act. The levy is imposed on bodies that are leviable providers under Part 5A of the 2016 Act. The commencement of this Act is tied to the commencement of Schedule 1 to the Education Legislation Amendment (Tuition Protection and Other Measures) Act 2019, which itself amended the 2016 Act to insert Part 5A and related tuition protection provisions. So this levy is part of a broader package creating a tuition protection fund for VET student loans, analogous to the Higher Education Loan Programme tuition protection levy for higher education. The VSL Tuition Protection Fund is not defined in this Act but is referenced in sections 9 and 13; it is presumably created under the principal Act or the amendment Act. The rules power in section 14 likely refers to legislative rules made under the VET Student Loans Act 2016 or the Acts Interpretation Act 1901, but the text does not specify, creating a small ambiguity. If rules are made under another Act, they are subject to that Act’s procedural requirements. The Constitution interacts through section 4, which recites the Act does not impose tax on property of any kind belonging to a State, using the meaning in section 114. This is a standard boilerplate for Commonwealth imposing Acts that might otherwise be challenged as taxing state instrumentalities. The indexation provisions in section 10 rely on the Consumer Price Index published by the Australian Statistician, linking to the Census and Statistics Act 1905 and the Australian Bureau of Statistics Act 1975. The instrument making powers (sections 9 and 13) are subject to the Legislation Act 2003 for registration, disallowance and sunsetting. The requirement for Treasurer approval of the Director’s instrument (section 13(6)) adds a layer of ministerial control beyond the usual legislative instrument process. The absence of any reference to the Taxation Administration Act 1953 suggests the levy is not treated as a tax for administrative purposes, although it is a levy imposed by an Act and could be characterised as a tax in a constitutional sense. The Act does not interact with state fair trading laws or consumer protection laws directly, but the risk factors the Director chooses may draw on information relating to a provider’s compliance with other laws. The exemption power under section 14 could be used to harmonise the levy with other tuition protection arrangements.

The text provided is the Act as originally enacted. It is Act No. 5 of 2020, assented to on 17 February 2020. The commencement table in section 2 provides that the whole Act commences at the same time as Schedule 1 to the Education Legislation Amendment (Tuition Protection and Other Measures) Act 2019, which is specified as 1 January 2020. This means the Act has retrospective effect: it was passed in February but commenced on 1 January 2020. No subsequent amendments appear in the source document. The upper limits in section 9(3) ($325 and $15) are as set in 2020 and would have been indexed from August 2021 onward under section 10. The Minister was required to make an initial instrument before 1 August 2020. The Director was required to make an initial instrument before 1 August 2020 and each later year. The Act does not contain any provisions for its own amendment, but it could be amended by later Acts. Without access to a current consolidated version, it is not possible to confirm whether amendments have been made. The original structure remains stable: the three component levy and the respective roles of Minister, Director and Treasurer. The indexation mechanism and the floor on indexation factor (if less than 1, increased to 1) have not changed in the text. The exclusion list for TAFE providers is fixed at enactment; changes would require an amending Act. The risk factor value range (0 to 10) remains. The Act’s provisions for legislative instruments have not been repealed or altered.

The Act itself does not reference any litigation. The text contains no cases, no references to judicial decisions, and no saving provisions for court orders. Because the Act is solely an imposing Act with no collection or penalty provisions, its litigation profile likely arises from challenges to the legislative instruments made under it or to the validity of the levy under the Constitution. The section 4 protection against taxing state property suggests the drafter anticipated possible section 114 challenges. Any litigation would likely be brought by leviable providers arguing that a particular risk factor or percentage is beyond power, or that the Director failed to have regard to the mandatory sustainability consideration, or that the Treasurer’s approval was invalid. Another possible litigation ground is that the levy is not a tax but a fee for service, and that the amount is disproportionate to cost. However, the Act does not tie the levy amounts to the cost of administering the Fund; it only requires regard to sustainability, which is a broader concept. Without any decided cases mentioned in the source, we cannot assert any litigation outcomes. It is reasonable to infer that providers have an economic incentive to challenge aggressive risk factor weightings, given they can multiply the base premium by up to 11. The absence of a merits review mechanism in the Act means any dispute must proceed by judicial review of administrative decisions, which is costly and limited to legal error. No constitutional challenge to similar tuition protection levies for higher education has succeeded, but the VET context may differ because providers are often for profit entities with less state connection. The Act is young (enacted 2020), so a body of litigation may not have developed yet.

The new provider definition in section 5 is narrower than it might appear. A provider qualifies as new only if it was not an approved course provider at any time during the previous year. If a provider was approved for even one day in the prior year, it loses new provider status for the current year and becomes liable for all three components immediately. This can catch providers that paused operations or had a short lived approval lapse. The consequence is a leap from paying only the flat administrative fee to paying the full risk rated and special tuition protection components. The administrative fee component for new providers is a single instrument determined amount, while for continuing providers it is the sum of a base amount and a per student amount. There is no grace period beyond one year. The indexation provisions in section 10 contain a trap: if the indexation factor is less than 1, it is increased to 1. That means nominal caps never fall even during deflationary periods. The floor is favourable to the revenue side. The risk factor multiplier in the risk rated premium component can be as high as 11 (sum of risk factor values up to 10 plus 1). The Act does not limit how many risk factors the Director can set, or whether they overlap. A provider could face several risk factors each with a value up to 10, but the sum of values is capped at 10 only by the implication that each factor value is between 0 and 10, and the sum of values appears in Step 5. However, section 13(3) says a risk factor value must be between zero and 10 inclusive. It does not limit the sum of multiple risk factor values. If the Director sets three risk factors each with a value of 10, the sum would be 30, then Step 5 adds 1, giving a multiplier of 31. The text does not prevent this. The only textual limit is that each individual value is between 0 and 10; nothing caps the aggregate. That is a notable gap. The Director can effectively multiply the base premium by an unbounded factor by setting multiple risk factors with high values. The special tuition protection component has no upper limit on the percentage the Director sets (other than it can be zero). There is no cap on the base amount for risk rated premium or special tuition protection, unlike the administrative fee components. The Act exempts the Director from any obligation to consult providers before making instruments. The only consultation required is receiving advice from the Advisory Board, which may not represent provider interests. The Minister’s administrative fee caps are indexed by CPI, but the base amounts themselves are not guaranteed to be set at the cap. The Minister can set lower amounts, but has no duty to minimise provider burden. The exemption power under section 14 is permissive; no provider has a right to an exemption. Classes that are prescribed later may not include currently operating providers. The Act does not provide for refunds or adjustments if a provider later ceases to be leviable within the year. The levy is imposed for a year if the body is a leviable provider at any time during the year, so even a provider that exits the scheme halfway through the year owes the full annual levy. This can discourage short term participation. The Act is silent on the timing of payment. Providers must look to the collection legislation for due dates. Incorrect calculation of total VSL students or total loan amounts could lead to underpayment, and since the Act has no penalty provisions, the consequences likely involve debt recovery and possible exclusion from the scheme under the principal Act. The use of the previous year’s data means a provider that grows rapidly will pay a levy based on old, lower numbers in the first half of the year, then after the next instrument a larger amount based on the growth. Conversely, a shrinking provider may face a levy based on higher previous year activity, creating a cash flow mismatch.

Compliance begins with determining whether the provider is a leviable provider. If it is an approved course provider under Part 5A of the VET Student Loans Act 2016 and is not a government owned TAFE or a provider established under one of the seven listed state Acts, it is leviable. The provider must then assess if it qualifies as a new provider for the year: that requires that it was not an approved course provider at any time during the previous calendar year. If it is new, only the administrative fee component is payable, and it consists of a single amount set by the Minister for that year. The provider must locate the Minister’s legislative instrument (made under section 9) for that year and pay that amount. If it is not new, all three components apply. The provider must calculate (or have the administering body calculate) its total VSL students for the previous year: the number of students enrolled in an approved course with a census date in that previous year who were approved for a VET student loan. That number is used in two places: the per student part of the administrative fee and Step 1 of the risk rated premium. The provider must also know the total loan amounts paid to it under section 19 of the VET Student Loans Act 2016 for the previous year. That number feeds Step 2 of the risk rated premium and is the base for the special tuition protection component. The provider must then identify the applicable legislative instruments. For the administrative fee: the Minister’s instrument sets the base amount and per student amount. For the risk rated premium: the Director’s instrument sets the amount for Step 1, the percentage for Step 2, the risk factors and their values or calculation method. For the special tuition protection: the Director’s instrument sets the percentage. The Director’s instrument also must be approved by the Treasurer. All instruments are legislative instruments registered on the Federal Register of Legislation. Providers should monitor the register before 1 August each year for the new year’s instruments, as they apply for the year starting 1 January. A practical compliance step is to maintain a data system that accurately tracks student enrolments, census dates and loan approval status by calendar year. Given the risk rated premium’s sensitivity to risk factors, providers should also monitor the Director’s published risk factors and understand how they apply. Risk factors could relate to financial viability, student completion rates, compliance history or other indicators. Providers may attempt to manage those factors, but the Director is not required to disclose the calculation methodology in a way that allows providers to predict their value precisely. Payment of the levy is not addressed in this Act. Providers must follow the collection legislation or administrative arrangements under the VET Student Loans Act 2016. Typically, the Commonwealth will issue a notice of assessment or a payment schedule. Providers must pay by the due date to avoid enforcement action under other laws. Exemptions may be available if the provider belongs to a class prescribed in rules. Checking for any such rules is advisable. Providers should also factor the levy into their financial planning: the administrative fee is capped and known, but the risk rated premium and special tuition protection component are determined annually and can vary significantly. The risk rated premium can increase by up to 11 times the base amount if the Director assigns the maximum risk factor values. Budgets should consider worst case scenarios. For new providers, the first year is relatively cheap, but the second and subsequent years could see a large jump. The Act itself does not require providers to submit returns or prove their calculations; the data is likely held by the Commonwealth and the levy is assessed based on that data. However, providers should keep their own records to verify the assessments and to challenge any errors. Given the lack of in statute penalty provisions, providers cannot rely on the Act for leniency. Non compliance will likely result in proceedings under the collection Act or termination of approval under the VET Student Loans Act 2016. Finally, legal advice should be sought on any constitutional or jurisdictional issues, particularly if the provider is a state owned entity not on the exclusion list, or if the Director sets risk factors in a way that appears arbitrary.
