University of Notre Dame Australia Act 1989

The Act organises a number of interlocking legal concepts and institutional mechanisms. The main concepts, with the sections that create them, are:

• Corporate personality and powers: s 4 makes the University a body corporate with full legal capacity and the ability to act outside the State where necessary for its objects. This imports the ordinary legal attributes of a corporation: holding property, entering contracts, suing and being sued, with a constitution shaped by the Act and internal rules and statutes.
• Objects and fiduciary compass: s 5 defines the University’s objects and places a compliance obligation on the Trustees to ensure the objects are met (s 8). The objects are faith‑based and combine educational, research and pastoral goals; the Trustees are “custodians” responsible for ensuring compliance with the faith‑based object (s 8).
• Multi‑tier governance: the Act distinguishes three governing layers:
  • Trustees (s 7) , custodial role, appointments include nominated Trustees by Archbishops (s 7(a)-(b)), the Vice‑Chancellor is an ex officio Trustee (s 7(c)) and other Trustees are appointed by Trustees (s 7(d)).
  • Board of Governors (s 14) , consists of Trustees plus at least 18 other appointees and has the function of providing advice and support to the Board of Directors (s 15).
  • Board of Directors (ss 15A-15B) , the governing body exercising all the University’s powers and responsible for control and management, comprising ex officio Chancellor and Vice‑Chancellor and up to 12 other members appointed from the Board of Governors by the Trustees (s 15A).
• Director duties and internal enforcement: s 15C sets express duties of honesty, care and diligence, best interests, and prohibitions on improper use of information and position; disclosure is required in accordance with Trustee‑made rules (s 15C(1)(f)). Removal for breach is permitted under internal rules and requires a specific two‑thirds majority threshold measured against the total number of offices (s 15C(2)-(3)).
• Rule‑making hierarchy: Trustees make rules under s 19 covering Trustee and Board appointments, disclosure procedures and monitoring compliance with s 5. The Board of Directors makes statutes, by‑laws and regulations for administration, may set fees and may impose pecuniary penalties payable to the Board (s 20).
• Administrative law framing: rules, statutes, by‑laws and regulations are not “written laws” or subsidiary legislation for the purposes of the Interpretation Act (s 21(3)), but certain sections of the Interpretation Act still apply to them as if they were subsidiary legislation (s 21(4)). Statutes, by‑laws and regulations are binding on staff, employees and students (s 21(5)). Publication is governed by discretion of Trustees and Board (s 21(1)-(2)).
• Property and trust management: the Board of Directors controls all real and personal University property and has broad powers to improve, develop and apply trust funds to University purposes (s 22). Investment common funds for collective investment of trust or other moneys are permitted, but trust instruments may restrict bringing trust capital into common funds (s 23). The Board may act as trustee and has expanded investment powers including land subject to the Trustees Act and any trust instrument (s 24).
• Financial interaction with State: the University may borrow and provide security (s 25A). The Minister may lend for capital works from moneys borrowed by the Minister (s 25B-25C); loans may be on terms less onerous than commercial loans with Treasurer approval (s 25B(3)). The Treasurer may guarantee borrowings subject to security and instruments being executed and may fix charges (ss 25E-25F). An operating account under the Financial Management Act is used to handle loan proceeds and repayments (s 25D).
• Accounting and audit standards: the University must adopt and comply with accounting standards applying under companies laws and keep records enabling preparation and audit as if the University were subject to companies laws (s 28). The Board must appoint an auditor eligible under companies laws and the auditor performs powers and duties under companies laws (s 29). The Board must deliver accounts to the auditor within two months and report public fund expenditures to the Minister within five months (ss 28(2), 30).

These concepts interlock to create an entity with the legal form of an independent corporation governed internally by Trustees and a strong Board of Directors, subject to corporate accounting and audit standards but not captured as a public statutory authority for certain written laws (s 25). The Act embeds internal rule‑making and sanctions (including pecuniary penalties under by‑laws) while preserving targeted State financial support channels (Minister loans, Treasurer guarantees) governed by Treasurer approval and security requirements.

Mechanistically, the University’s internal legal order rests on Trustee rules and Board statutes rather than external parliamentary subsidiary legislation, producing a governance regime that is internally binding on staff, students and officers, but still connected to public financial systems when State loans or guarantees are used.

The Act explicitly identifies categories of persons and institutions that are affected and, through its mechanics, creates indirect effects for third parties.

Directly affected parties under the text:

• The University itself: the University of Notre Dame Australia is created and empowered by s 4 and becomes the central legal actor whose powers, property, finances and obligations are regulated throughout the Act.
• Trustees: s 7 defines who may be a Trustee , two appointees of the Archbishop of Perth, two appointees of the Archbishop of Sydney (both subject to Trustees’ approval), the Vice‑Chancellor ex officio and seven other persons appointed by the Trustees. Trustees have custodial responsibilities and appointment and removal authorities (ss 7, 8, 10).
• Members of the Board of Governors: s 14 places Trustees and at least 18 other persons on the Board of Governors; their role is advisory and supportive to the Board of Directors (s 15).
• Members of the Board of Directors: s 15A specifies the Chancellor ex officio, Vice‑Chancellor ex officio and up to 12 other members drawn from the Board of Governors and appointed by the Trustees on nomination of a committee (s 15A(c)). Directors are the University’s governing officers and are subject to statutory duties in s 15C.
• Vice‑Chancellor: s 7(c) makes the Vice‑Chancellor an ex officio Trustee; s 17 establishes the Vice‑Chancellor as chief executive officer, to be appointed by the Board of Directors on Trustees’ nomination and to hold office at the pleasure of the Trustees (s 17(2)-(3)).
• Chancellor and Deputy Chancellor: elected from Trustees (ss 11-12), preside at meetings and have terms limited to eight years (ss 11(2), 12(2)).
• University staff, academic staff, employees and students: statutes, by‑laws and regulations made under s 20 bind these groups (s 21(5)). By‑laws may impose pecuniary penalties payable to the Board (s 20(3)), so staff and students may be directly subject to internal disciplinary penalties.
• The Minister and Treasurer: the Minister may lend money under s 25B and must borrow moneys under s 25C to fund those loans. The Treasurer has approval and guarantee functions (ss 25B(3), 25C, 25E) and may impose charges and require security.
• Auditors and external financial actors: the Board must appoint an auditor eligible under companies laws and prepare accounts and audits in accordance with companies laws (ss 28-29). Lenders and guarantors dealing with the Minister or Ministerially backed borrowings are affected by the Treasurer’s powers to guarantee (s 25E) and to fix charges (s 25E(4)).

Indirectly affected parties and institutional consequences identifiable from the text:

• Creditors and markets: the University’s power to borrow and give security (s 25A) means creditors dealing with the University may take security over University assets. Where loans are channelled through the Minister and supported by Treasurer guarantee (ss 25B-25F), State contingent liabilities may alter the risk profile of lending to the University.
• Donors and trustees of trusts: the Board of Directors may accept gifts and act as trustee for trusts and may invest trust funds in a common fund unless the trust instrument directs otherwise (ss 23-24). Donors or trust instrument framers who intend restrictive investment rules must ensure their instruments explicitly direct to the contrary (s 23(3)(a)).
• Students and campus community: the University may impose statutes, by‑laws and penalties (s 20), and the Board’s property powers permit development, sale and improvement of University land (s 22). These provisions affect campus life, fees, disciplinary regimes and infrastructure decisions.

Decision‑makers and who pays:

• Who decides: Trustees make rules and nominate members to the Board of Directors (s 19; s 15A(c)). The Board of Directors exercises management and control (s 15B). The Treasurer exercises financial discretion in approving loans or guarantees (ss 25B(3), 25C, 25E).
• Who pays: Internal fees and penalties may be imposed and paid to the Board (s 20(2)-(3)). Public funds used via Minister lending are repaid into the operating account and, where guarantees are called, the Treasurer pays from the Consolidated Account but may recover amounts from the Minister (ss 25D, 25F).

The Act therefore directly affects governing officers, staff and students and creates financial interactions involving the Minister and Treasurer that bring State finance actors into the University’s operations. The Act’s text places internal governance instruments at the centre of day‑to‑day regulation for staff and students while invoking external corporate accounting and audit standards for financial accountability.

The Act creates a framework of duties, rights and formal entitlements for trustees, directors, officers, the University and the State. The operative duties and rights most relevant to governance and compliance are below, with the sections cited.

Duties and obligations:

• Trustees’ custodial duty: Trustees are “custodians” responsible for ensuring compliance with the University’s objects under s 5 (s 8). That is an express institutional oversight role placed on Trustees by the Act.
• Directors’ statutory duties: s 15C imposes express duties on each member of the Board of Directors, including:
  • honesty in performance of functions (s 15C(1)(a));
  • exercise of care and diligence a reasonable person would exercise (s 15C(1)(b));
  • act in the best interests of the University and give precedence to University interests over those of any nominating or appointing person (s 15C(1)(c));
  • not make improper use of information or position to obtain advantage or cause detriment to the University (ss 15C(1)(d)-(e));
  • disclose interests in accordance with Trustee rules (s 15C(1)(f)). These duties apply within and outside the State and create an internal compliance baseline that board members must respect.
• Duty to adopt accounting standards and keep records: s 28 requires the University to adopt and comply with accounting standards applying under the companies laws, to keep accounting records that correctly record and explain the University’s affairs and to keep them in a manner that will enable true and fair accounts and proper audits.
• Auditing duties: the Board must appoint an auditor eligible under companies laws (s 29(1)) and ensure accounts and auditor’s reports meet the requirements of the companies laws (s 29(3)).
• Reporting on public funds: s 30 requires the Board of Directors to transmit to the Minister the auditor’s report on all expenditures from public funds within five months after the end of each University year.
• Rule and statute obligations: Trustees must make rules on appointments, disclosure and monitoring compliance with s 5 (s 19). The Board of Directors may make statutes and by‑laws binding on staff and students (s 20; s 21(5)) and must publish rules and statutes in a manner it considers appropriate (s 21(1)-(2)).

Rights and powers conferred:

• Right to award degrees: s 6 grants the University power to award degrees, diplomas and other awards as it sees fit.
• Corporate powers: s 4(4)-(6) gives the University the powers of a natural person and allows exercise of those powers outside the State.
• Board powers: subject to the Act, the Board of Directors has the entire control and management of the University’s affairs (s 15B(2)); it may make statutes, by‑laws and regulations, fix fees, and impose pecuniary penalties payable to the Board (s 20(1)-(3)).
• Property management: the Board of Directors controls all real and personal property and may improve land and apply trust funds to University purposes (s 22).
• Investment powers: the Board may create investment common funds for collective investment of trust and other moneys and may manage those funds with rules for income distribution and capital augmentation (s 23); the Board may act as trustee and invest trust funds in land unless restricted by the trust instrument (s 24(1)-(2)).
• Borrowing and security: the University may borrow and give security as it thinks fit (s 25A). The Minister may lend money for capital works (s 25B). The Treasurer may guarantee borrowings of the Minister (s 25E).
• Delegation: the Board of Directors may delegate any power or duty to committees or officers in writing and may authorise further delegation (s 16).

Mechanisms for enforcement and removal:

• Removal of Trustees and Directors: Trustees may remove general Trustees or nominee Trustees at any time (s 10(1)). Members of the Board of Directors who are appointed under s 15A(c) may be removed for breach of a duty under s 15C(2), subject to rules made by Trustees and to the voting threshold in s 15C(3) requiring a majority that produces at least two‑thirds of the total number of offices.
• Internal disciplinary instruments: by‑laws may provide for pecuniary penalties and recovery payable to the Board (s 20(3)). Rules under s 19 may regulate procedure for removal and the disclosure of interests.

Constraints and balancing rules:

• Terms limits: Trustees and Board of Governors members are subject to cumulative maximum periods of office (s 10(2); s 14(2)) except where specified exceptions apply for time served as Chancellor or Deputy Chancellor (ss 10(3), 14(3)).
• Trust restrictions: the Board must not bring trust capital into an investment common fund if the trust instrument expressly directs otherwise (s 23(3)(a)), and must ensure investments are proper for the trust (s 23(3)(b)).
• Minister/Treasurer oversight: loans made by the Minister require Treasurer approval of terms and conditions (s 25B(3)(b)); borrowing by the Minister from third parties requires prior written approval by the Treasurer (s 25C(1)(b)). Treasurer guarantees require security and execution of instruments (s 25E(3)).

Rights and duties are therefore a mix of corporate‑style powers and internal obligations combined with targeted State oversight where public funds or guarantees are involved. The Act gives the University autonomy over day‑to‑day management via the Board of Directors while imposing externally recognised financial reporting and audit duties, and providing mechanisms for removal and internal enforcement against directors and members of the University community.

The Act provides a mix of internal enforcement mechanisms, civil and administrative controls and financial oversight. It does not create criminal offences within the text supplied, but it does authorise internal pecuniary penalties and prescribes processes for removal, audit and State financial oversight. The key enforcement tools are these:

• Internal pecuniary penalties under by‑laws: s 20(3) authorises by‑laws to provide for imposition and recovery of pecuniary penalties, with payments to the Board of Directors for the University’s use. The Act does not specify maximum amounts, recovery mechanisms or appeal routes within the text, but it expressly permits by‑laws to create and enforce such penalties.
• Directors’ removal and internal discipline: s 15C(2) authorises the Board of Directors, subject to rules made by the Trustees under s 19, to remove a member appointed under s 15A(c) for a breach of the statutory duties in s 15C(1). Removal is subject to internal procedural rules and to a voting threshold in s 15C(3). The Act therefore places removal authority with the Board but requires procedural rules and a substantial majority.
• Trustees’ removal power: s 10(1) gives the Trustees power to remove general Trustees or nominee Trustees at any time. This is an internal governance enforcement tool available to Trustees over their peers.
• Financial sanctions via external State funds: where public funds are provided through Minister lending (s 25B) or Treasurer guarantees (s 25E) the Act establishes reporting obligations (s 30) and operating account controls (s 25D). Failure to comply with reporting or accounting obligations would engage the audit and reporting chain (ss 28-30). The Act does not itself specify penalties for non‑compliance with reporting obligations, but s 29 and s 30 create audit and reporting obligations designed to produce external scrutiny.
• Audit enforcement: s 29 directs that the auditor must exercise powers and perform duties under the companies laws in relation to the University. That imports statutory audit rights and professional obligations that auditors have under company law, including rights to obtain information and make reports. The Board must cause accounts and the auditor’s report to be produced to the standard required of companies (s 29(3)).
• Security and guarantees: s 25E requires the Minister to provide security that the Treasurer requires before a guarantee is given, and instruments necessary to the guarantee must be executed (s 25E(3)). The Treasurer may fix charges to be paid by the Minister to the Consolidated Account in respect of a guarantee (s 25E(4)). If a guarantee is called, the Treasurer pays out of the Consolidated Account and may be credited by amounts recovered from the Minister (s 25F). These provisions create financial enforcement mechanisms in the State’s favour in relations between Minister and Treasurer and reduce the State’s exposure to unsecured losses.
• Publication and binding effect: statutes, by‑laws and regulations made by the Board of Directors apply to staff and students (s 21(5)). The Act permits the Board and Trustees to publish rules and statutes in any manner they consider appropriate (s 21(1)-(2)). This gives the University discretion over notification and could affect enforceability depending on how publication occurs.

Enforcement and oversight gaps visible in the text:

• No criminal penalties or statutory fines specified in the Act itself beyond the pecuniary penalties authorised in by‑laws (s 20(3)). The Act relies on internal processes and company‑style audit mechanisms to generate accountability rather than a detailed public enforcement regime.
• Internal nature of removal processes: removal for breaches of director duties is an internal Board process subject to Trustee rules (s 15C(2), s 19(f)). There is no provision in the text for external review or appeal to a public body against removals or by‑law penalties.
• Interaction with companies laws: auditors exercise powers under companies laws (s 29(2)), implying auditors may use company law instruments for enforcement, but the Act does not itself adopt the full set of company enforcement mechanisms; it imports auditing standards and expectations.

Practical enforcement consequences:

• By‑laws and internal statutes give the University broad disciplinary reach over staff and students, including financial penalties (s 20(3); s 21(5)).
• Directors are subject to explicit duties and internal removal mechanisms, creating a governance discipline that operates inside the University rather than through external statutory regulators (ss 15C, 19).
• Use of State lending and guarantees creates an accountability channel back to the Treasurer and Minister by way of securities, charges and reporting (ss 25B-25F; s 30).
• The audit regime requires external independent auditors eligible under companies laws (s 29(1)); auditors’ reports on public fund expenditure must be sent to the Minister (s 30), facilitating external scrutiny of public monies.

In sum, enforcement under the Act is primarily internal and contractually anchored, augmented by corporate audit standards and State financial control measures where public money is used. The Act gives the University tools to discipline members and manage property and finances while creating financial oversight when the State is financially engaged.

The Act deliberately positions the University both within corporate financial norms and outside certain categories of public authority. The text creates cross‑references and interacts with other legislative regimes in several concrete ways.

Interaction with company law standards:

• Accounting and audit: s 28(1)(a) requires the University to adopt and comply with accounting standards applying under the companies laws. Sections 28-29 require accounting records, audit eligibility and audit practice to follow companies law standards as if the University were a body to which companies laws apply (ss 28(1), 28(1)(c), 29(1)-(3)). This imports accounting and audit technical standards and obligations without converting the University into a company.
• Auditor powers: s 29(2) states the auditor “is to exercise the powers and perform the duties of auditors under the companies laws” in relation to the University, tying the University’s audit rights and procedures to those in company legislation.

Interaction with Interpretation Act and treatment of rules/statutes:

• Rules, statutes, by‑laws and regulations made under the Act are expressly declared not to be written laws or subsidiary legislation within the meaning of the Interpretation Act 1984 (s 21(3)(a)-(b)). However, s 21(4) then incorporates specific provisions of the Interpretation Act , s 43 (other than stated subsections), 44, 45 and 47 , to apply to those instruments as if they were subsidiary legislation. This creates a hybrid status: internal legal instruments are not formally subsidiary legislation but certain procedural and interpretative safeguards from the Interpretation Act nonetheless apply. The Act thereby narrows parliamentary or external regulatory oversight but retains selected procedural applications of the Interpretation Act.
• The practical effect is the Board and Trustees retain discretion over publication and form of internal instruments (s 21(1)-(2)), but certain interpretive and procedural provisions of the Interpretation Act will still govern.

Interaction with State public law and specific exclusions:

• Non‑public authority status: s 25(1)-(3) declares the University is not a State agency, instrumentality or public statutory body and is not an authority for specified written laws, including the Western Australian Treasury Corporation Act 1986 and specified parts of the Industrial Relations Act 1979 (s 25(3)(a)-(b)). This removes the University from certain statutory regimes that would otherwise apply to public bodies and places it into a distinct legal category for those purposes.
• Effect on industrial and procurement regimes: the specific exclusion in s 25(3)(b) from Part II Division 2AA of the Industrial Relations Act 1979 is a statutory carve‑out. The Act’s compilation table shows an amendment by the Industrial Relations Legislation Amendment Act 2024 (s 159) with a commencement of 31 Jan 2025, indicating the Parliament intended or updated that exclusion most recently (see compilation table).

Interaction with the Trustees Act and trust law:

• Investment powers and trusteeship: s 24(2) gives the Board of Directors investment powers in addition to those in Part III of the Trustees Act 1962, and grants power to invest in land unless the trust instrument provides otherwise. Section 23(3) restricts bringing trust capital into common funds if the trust instrument expressly directs to the contrary. These provisions interact with the Trustees Act and private trust instruments by setting University‑specific investment flexibilities while preserving the primacy of a contrary trust instrument.

Interaction with Financial Management Act and public accounts:

• Operating account requirements: s 25D defines the operating account as an agency special purpose account established and maintained under s 16 of the Financial Management Act 2006 and requires that moneys loaned and borrowed under the Minister’s borrowing scheme be credited and charged to that operating account. That ties management of Minister‑channelled funds into the State’s public financial management framework.

Interaction with other amendment Acts listed in the compilation table:

• The Act has been amended on several occasions. Notable references in the compilation table include:
  • 1998 Acts Amendment (Education Loan Scheme): insertion of ss 25A-25F (Pt 5) enabling Minister loans and Treasurer guarantees (Acts Amendment (Education Loan Scheme) Act 1998 Pt 4 & 5).
  • 2005 Universities Legislation Amendment Act: major governance restructuring , insertion of Trustees, Board of Directors, statutory duties (ss 7, 8, 15A-15C, 16-19 etc.) (Universities Legislation Amendment Act 2005 Pt 5).
  • 2006 Financial Legislation Amendment and Repeal Act: amendments to financial provisions and operating account references (No. 77 of 2006).
  • 2009 Statutes (Repeals and Minor Amendments) Act deleted certain sections (No. 46 of 2009).
  • 2016 Universities Legislation Amendment Act, including amendments to s 15C (No. 32 of 2016).
  • 2024 Industrial Relations Legislation Amendment Act amended s 25 to clarify non‑public authority status (No. 43 of 2024 s. 159; commencement 31 Jan 2025). These interactions show the Act’s architecture has been updated to blend private governance norms with selected public financial mechanisms.

Net effect of interactions:

• The Act creates an institutional hybrid: private corporate governance and audit rules apply (companies law accounting/audit standards), internal regulatory instruments bind the University community without being formal subsidiary legislation, and selective State financial tools (Minister lending, Treasurer guarantees) bring public finance mechanisms and reporting obligations into play while s 25 insulates the University from several public law regimes. The Act therefore coordinates corporate, trust, and public financial law elements to form the University’s legal operating environment.

The compilation table in the Act provides a detailed chronology of amendments and commencement dates. The Act has been the subject of multiple amendments since its original 1989 enactment. The main entries and what they changed are set out below with the dates and enactment references taken from the compilation table.

• Universities Legislation Amendment Act 2005 Pt. 5 (8 of 2005), assent 7 July 2005, commencement 13 August 2005. This amendment introduced major governance restructuring: inserting Trustees, Board of Directors, duties of directors (s 15C), delegation powers (s 16), rules (s 19), and other governance and oversight mechanisms. The Act also included transitional provisions (compilation table footnote 3) to manage the changeover of existing Trustees and Boards.
• Reprint 2 as at 3 February 2006 incorporates amendments to that date.
• Financial Legislation Amendment and Repeal Act 2006 (77 of 2006), assent 21 December 2006, commencement 1 February 2007. This Act amended financial provisions; s 25D references the Financial Management Act 2006 operating account regime.
• Statutes (Repeals and Minor Amendments) Act 2009 (46 of 2009), assent 3 December 2009, commencement 4 December 2009. This Act deleted certain sections (e.g., sections 9 and 18 were noted deleted).

Transitional and savings provisions:

• The compilation table includes specific transitional provisions for the 1998 and 2005 amendments. The 1998 Act included transitional provisions allowing existing loans to be varied and addressing repayment of moneys borrowed under prior schemes (compilation table footnote 2). The 2005 Act included a detailed transitional section (s 50) preserving existing Trustees’ tenure until balance of term, specifying nominations by Archbishops of Perth and Sydney, transferring delegations and existing statutes and by‑laws to the new Board of Directors, and ensuring continuity of investment common funds and outstanding obligations (compilation table footnote 3).

Documented insertions and deletions:

• The Act’s current text shows that several sections were inserted (e.g., ss 5, 7-8, 15A-15C, 16-19) by the 2005 amendment. Sections 9 and 18 are shown as deleted by the 2005 and 2009 amendment instruments respectively (the body shows “[9. Deleted: No. 8 of 2005 s. 38.]” and “[18. Deleted: No.46 of 2009 s. 16(3).]”).

Practical note on amendment history:

• The compilation table documents the incremental design choices: the 1998 amendments created the financial architecture for Minister lending and Treasurer guarantees; the 2005 amendments restructured governance to introduce Trustees and a Board of Directors with statutory director duties and internal rule‑making; subsequent amendments refined financial reporting and the University’s status under industrial and financial legislation. The amendment history shows the Act has been used to calibrate the balance between institutional autonomy and targeted State financial involvement.

For practitioners, the compilation table provides the authoritative amendment record, commencement dates and legislative instruments to consult when tracing original wording and transitional arrangements. The Act includes reprints that incorporate amendments to specified dates; check the compilation table for which reprint includes which amendments.

The text provided contains no judicial decisions or citations to cases. The Act itself does not list any litigation or judicial interpretation history. Where statutes typically provide litigation histories, this compilation includes only the text of the Act and its amendments; it does not record judicial outcomes or legal disputes arising under the Act.

In the absence of named cases in the Act, the statutory enforcement mechanisms that could generate litigation (and hence a litigation history to be developed in external sources) are visible from the text:

• Internal removal of directors or Trustees: s 15C and s 10 give internal powers to remove Board members and Trustees. Disputes about the validity of removals, the interpretation of removal procedures, or whether a director breached duties could give rise to judicial review or civil litigation, though the Act does not specify an external review process.
• By‑law pecuniary penalties: s 20(3) authorises imposition and recovery of pecuniary penalties via by‑laws. Disputes over imposition, enforcement, fairness, or jurisdiction for by‑law penalties may lead to court challenges in other statutes or equitable jurisdictions, but again no outcomes or cases are provided in the Act.
• Accounting and audit compliance: ss 28-29 require compliance with companies law accounting and audit standards. Disputes arising from audit opinions, alleged misstatements or breaches of financial reporting duties could result in litigation under company law or professional negligence claims against auditors, but such matters would be determined under those external regimes and are not recorded in the Act.
• Trusts and investment of trust funds: ss 23-24 regulate trust investments and the establishment of common funds. If trustees or donors dispute the use of trust funds or the Board’s investments, litigation may follow under trust law or the Trustees Act 1962, but such cases are not referred to in the Act.

Because the Act incorporates companies law practices and allows internal penalties and removals, litigation may arise from cross‑cutting areas (corporate law, trust law, administrative law and contract law). However, to identify concrete litigation history, practitioners must consult court databases, legal reports and subsequent jurisprudence beyond the Act’s text. The Act itself provides no case names, reported decisions, or judicial guidance on interpretation.

For compliance and risk management, stakeholders should therefore treat the Act’s internal enforcement provisions as potential sources of disputes that may end up in civil litigation, and should monitor reported decisions in relevant courts for any judicial interpretation of s 15C, s 20 by‑law penalty powers, s 28-29 accounting/audit obligations, and s 25B-25F financial guarantee arrangements.

The Act contains several provisions that give rise to governance and compliance traps and unexpected interactions on plain reading. The following items identify concrete operational or legal “gotchas” grounded in the statute’s wording.

1. Hybrid status of internal instruments: s 21(3) declares rules, statutes, by‑laws and regulations are not written laws or subsidiary legislation under the Interpretation Act, but s 21(4) applies selected sections of the Interpretation Act as if they were subsidiary legislation. The practical consequence is that internal instruments bind staff and students (s 21(5)) yet avoid the full procedural and parliamentary oversight ordinary subsidiary legislation would attract. Practitioners should note that not all Interpretation Act protections apply, and publication is left to the Trustees or Board’s discretion (s 21(1)-(2)). This can create uncertainty about notice and contestability of internal rules.

2. Director removal threshold counts vacant offices: s 15C(3) requires a majority that makes up at least two‑thirds of the total number of offices (whether vacant or not) of member of the Board. Counting vacant offices in the denominator raises a potential quorum/design issue: removal may require a high absolute number of votes if there are many vacant director positions. This can make removal intentionally difficult and create deadlock if the Board has vacancies.

3. Dual appointment and control over Vice‑Chancellor: the Vice‑Chancellor is ex officio a Trustee (s 7(c)), is appointed by the Board of Directors on nomination of the Trustees (s 17(3)), yet holds office “at the pleasure of the Trustees” (s 17(3)). That creates a governance asymmetry where the appointing body (Board) and the body with ultimate tenure control (Trustees) are distinct. This can lead to tensions over performance and termination decisions and creates layered accountability that practitioners must coordinate.

4. Archbishop nominations and religious oversight: s 7(a)-(b) gives the Archbishops of Perth and Sydney the right to appoint two persons each with the approval of the Trustees. The Trustees choose seven other persons (s 7(d)). This institutional design embeds denominational nomination rights that influence Trustee composition and therefore the Board membership (s 15A(c)), which can affect nominations to the Board of Directors and governance decisions linked to the University’s Catholic objects (s 5); practitioners should not treat Trustee appointments as purely open‑market board selections.

5. Trustees’ power to remove Trustees with no external check: s 10(1) states a general Trustee or nominee Trustee may be removed from office at any time by the Trustees. There is no statutory requirement for a reasons standard, hearing or external review set out in the Act. This leaves internal removal power broad and potentially contestable under general principles of administrative law or equity, but the Act itself does not impose procedural safeguards.

6. By‑laws may impose pecuniary penalties payable to the Board: s 20(3) authorises pecuniary penalties to be imposed and made payable to the Board. The Act does not specify maximum amounts, notice or appeal mechanisms; careful drafting of by‑laws and defensible procedural steps will be necessary to withstand legal challenge.

7. Use of trust capital: s 23(2) allows the Board to bring trust funds into a common fund “without liability for breach of trust” in certain circumstances, but s 23(3)(a) forbids bringing trust capital into a common fund where the trust instrument expressly directs to the contrary. If a trust instrument is ambiguous or silent, the Board may have latitude to commingle funds; donors and users should ensure trust instruments expressly restrict investment approaches where desired.

8. Treasurer discretion on guarantees: ss 25B-25E give the Treasurer substantial discretion to approve loan terms, demand security and fix charges in relation to guarantees. While guarantees can lower commercial borrowing costs (s 25B(3)(a)), they also create contingent State liabilities and require pre‑execution security and instruments (s 25E(3)). Parties relying on guarantees must verify Treasurer approval and security conditions are met.

9. Publication and notice uncertainty: the Trustees and the Board may publish rules and statutes “in any manner that [they] consider appropriate” (s 21(1)-(2)). This creates potential legal uncertainty over whether adequate notice has been given to those subject to the instrument. Practitioners should adopt robust publication and notice practices even if the Act permits discretion.

10. Term limits and exclusion for Chancellorship time: s 10(2) limits Trustees to a cumulative 12 years in office, but s 10(3) excludes time served as Chancellor or Deputy Chancellor from that reckoning. This can extend effective tenure beyond 12 years for those who serve in those offices, which may be strategically relevant when planning succession.

11. Auditing timeline pressures: s 28(2) requires accounts to be made out and delivered to the University’s auditor within two months after year end; s 30 then requires transmission to the Minister of the auditor’s report on public fund expenditures within five months. These are relatively tight timelines and require financial function readiness; failure to meet them can trigger reputational and practical issues given Ministerial reporting obligations.

Each of these “gotchas” flows directly from the statutory wording. They should be considered when drafting internal rules and by‑laws, when designing Trustee and Board appointment processes, when structuring borrowing and guarantees, and when implementing financial reporting and publication systems.

Compliance under the Act requires aligning internal governance, financial management and publication practices with the statutory architecture. Below is a concrete compliance checklist tied to specific provisions of the Act that governing officers, finance teams and compliance professionals should implement.

Governance and appointments

• Map Trustee and Board composition: ensure Trustee appointments meet s 7 requirements , two appointees approved by the Archbishop of Perth, two by the Archbishop of Sydney, the Vice‑Chancellor ex officio, and seven other Trustees appointed by the Trustees (s 7). Maintain records of approvals and nominations documenting compliance with the Trustees’ approval role.
• Establish Trustee and Board term tracking: monitor cumulative terms to respect the 12‑year limit for Trustees and Board of Governors members (s 10(2); s 14(2)), excluding time served as Chancellor or Deputy Chancellor where applicable (ss 10(3), 14(3)).
• Follow statutory election procedures for Chancellor and Deputy Chancellor: ensure Trustees elect the Chancellor and Deputy Chancellor from among their number and set terms consistent with the eight‑year maximum (ss 11(1)-(2), 12(1)-(2)).
• Document Board of Directors appointments: Trustees must appoint Board of Directors members on nomination by the committee comprising the Chancellor, Deputy Chancellor and Vice‑Chancellor (s 15A(c)(ii)). Keep written records of nominations and appointments.

Director duties, conflicts and removal

• Adopt disclosure rules and register: the Act requires disclosure of interests in accordance with rules made by Trustees (s 15C(1)(f); s 19(e)). Create Trustee‑made rules for disclosure, maintain a conflicts register and ensure periodic updates at Board meetings.
• Board induction and duty training: ensure all directors receive training on statutory duties (s 15C(1)(a)-(e)), including honest conduct, care and diligence, best‑interests obligation and prohibitions on misuse of information and position.
• Establish fair removal procedures: s 15C(2) permits removal for breach in accordance with Trustee rules (s 19(f)) and requires a two‑thirds threshold measured against all offices (s 15C(3)). Draft and adopt Trustee rules that provide fair process, clear definitions of breach, notice, response rights and confirm the required voting calculations including treatment of vacant seats.

Rules, statutes and by‑laws

• Draft rules under s 19: Trustees must make rules covering appointment terms, disclosure, monitoring compliance with s 5 and removal procedures (s 19). Draft these rules in writing and adopt them using formal Trustee decision records.
• Ensure by‑laws comply with s 20: Board of Directors’ statutes/by‑laws should be necessary for control and management and may fix fees and penalties. When imposing pecuniary penalties (s 20(3)), ensure by‑laws specify amounts, procedural safeguards, appeal routes and reasonable recovery mechanisms to reduce risk of legal challenge.
• Publication and notice practice: although s 21(1)-(2) gives discretion on publication method, adopt robust publication standards (e.g., intranet, email to staff and students, notice on University website and campus notice boards) to ensure adequate notice and to mitigate disputes about whether an internal instrument has been properly published.

Financial management and audit

• Adopt companies law accounting standards: implement financial reporting systems that comply with accounting standards applying under companies laws (s 28(1)(a)). Align chart of accounts, internal controls and financial policies with those standards.
• Maintain audit‑ready records: keep accounting records enabling true and fair accounts and audit per s 28(1)(b)-(c) and prepare annual accounts within two months of year end for the auditor (s 28(2)).
• Appoint eligible auditor: the Board must appoint an auditor eligible under companies laws (s 29(1)); document independence checks, appointment terms and the auditor’s mandate to exercise powers under companies laws (s 29(2)).
• Public fund reporting: where the University uses public funds or Minister loans, prepare the auditor’s report on expenditures from public funds and transmit it to the Minister within five months after the University year end (s 30). Coordinate with the auditor to ensure timely certification.

Borrowing, guarantees and operating accounts

• Manage Minister loans per ss 25B-25D: if seeking or receiving Minister loans for capital works, ensure loan terms are approved by the Treasurer where required (s 25B(3)(b)), funds are credited and charged to the operating account approved by the Treasurer under the Financial Management Act (s 25D), and all loan instruments are executed.
• Prepare for Treasurer guarantee conditions: before a guarantee is provided, the Minister must give security and execute necessary instruments (s 25E(3)). Be prepared to provide required security or documentation and to meet any charge or fee set by the Treasurer (s 25E(4)).
• Record contingent liabilities: where Treasurer guarantees exist, record and disclose contingent liabilities in financial statements consistent with applicable accounting standards adopted under s 28(1)(a).

Property, trust and investment

• Trust fund compliance and investment policy: do not bring trust capital into investment common funds where the trust instrument expressly directs otherwise (s 23(3)(a)). Document trustee powers, ensure compliance with trust instruments and apply investment policies consistent with s 23 and s 24, including the Trustees Act where relevant.
• Use clear decision records for property transactions: s 22 vests control and management of property in the Board of Directors. Use formal Board minutes and resolutions to document decisions to set out roads, erect buildings, sell assets or apply trust funds to capital projects (s 22).

Operational and administrative compliance

• Delegations in writing: record all Board delegations in writing and ensure the delegation instrument specifies any power to further delegate as authorised by s 16. Maintain a delegations register and review delegations periodically (s 16(1)-(4)).
• Monitor compliance with s 5: s 19(i) allows rules for monitoring compliance with the objects. Establish monitoring and reporting mechanisms (e.g., compliance reports to Trustees) to demonstrate that education, Catholic values, teaching standards and pastoral care obligations are being assessed.
• Term and vacancy management: actively manage vacancies given removal thresholds and appointment rules (s 15C(3), s 15A(c)). A high vacancy rate could impair governance capacity or affect removal thresholds.
• Recordkeeping and retention: implement document retention policies to support audit requirements and transparency (s 28). Maintain Trustee and Board appointment records, minutes, conflict disclosures and financial records.

Legal review and external compliance

• Legal vetting of by‑laws: have all by‑laws that impose penalties or fees legally reviewed for enforceability, due process and compliance with the partial application of the Interpretation Act (s 21(4)).
• Monitor amendment history and transitional provisions: consult the compilation table and reprints to ensure compliance with current text and transitional arrangements (compilation table notes).

Checklist summary (actionable items):

• Draft and adopt Trustee rules required by s 19.
• Establish and publish a conflicts of interest policy and disclosure register.
• Appoint an auditor eligible under companies laws and set audit timetable.
• Ensure accounting systems meet companies law accounting standards.
• Formalise delegations in writing per s 16.
• Keep clear records of Trustee and Board appointments and vacancies.
• Test by‑laws imposing penalties against procedural fairness and publication requirements.
• Prepare for Treasurer approval and guarantee documentation where Minister loans are sought.
• Implement trust investment policies respecting trust instruments and Trustees Act constraints.
