University of Melbourne Land Act 2000

The Act employs several real‑property law concepts peculiar to Crown land management in Victoria. A reservation under the Crown Land (Reserves) Act 1978 is a statutory dedication of Crown land for a public purpose; it does not create freehold title but limits the uses to which the land may be put. The land here was originally reserved by Order in Council in 1913 as a site for a School of Veterinary Science, later amended in 1970. A Crown grant is the formal instrument by which the Crown grants an interest in land. The original grant (Volume 3844 Folio 670) was a “restricted Crown grant” - a limited form of title that typically contains conditions, reservations and reversionary rights. The Act revokes both the reservation and that Crown grant. Revocation of a reservation returns the land to the category of “unalienated land of the Crown”, divesting the former grantees (the Minister of Agriculture and the University) and freeing the land from all trusts, limitations, restrictions, encumbrances, estates and interests, subject to section 16 (s 6). Re‑reservation under section 7 creates a new permanent reservation for “science and biotechnology education, research and development purposes” - a much broader purpose than the original veterinary school, though one still tied to the Crown’s ownership. The phrase “science and biotechnology” is not defined in the Act, giving the administering Minister and the University some scope to determine what uses fall within it.

The Act then provides for a restricted Crown grant to the University under section 8. This is not a fee simple: it is subject to terms and conditions determined by the Governor in Council, and must include a condition prohibiting inconsistent use (s 8(3)). The revocation power in section 9 is a key enforcement mechanism: if the land is used inconsistently with the reservation, the Governor in Council may, on the Minister’s recommendation, revoke the Crown grant by Order published in the Government Gazette. Upon revocation the land is divested from the University and reverts to unalienated Crown land, and the Crown may re‑enter. This is a powerful reversionary tool without court involvement. The prohibition on sale (s 10) means the University cannot alienate its interest; it can only grant leases, licences, or other agreements for up to 25 years. The term stratum is defined in section 3 as a part of land consisting of a space of any shape above or below or partly above and partly below the surface, all dimensions limited. This enables the University to lease or licence discrete vertical slices of the land (such as basement or air‑space) for separate uses, as long as those uses are consistent with the reservation. The 25‑year limit on leases (s 11(2)) and licences (s 12(2)(a)) restricts long‑term commercial commitments, though extensions are permitted up to that aggregate cap. The Act expressly overrides other land legislation (s 4), making it the sole governing instrument for this parcel.

The Act directly affects the University of Melbourne, which becomes the holder of a restricted Crown grant over the Parkville land instead of the former joint grant with the Minister of Agriculture. The University gains the ability to grant leases, licences and other interests to third parties, but it cannot sell or mortgage its interest. The Crown (the State of Victoria) remains the underlying owner; the land reverts on revocation or if the University ceases to need it, and the Governor in Council controls the terms of the grant. The Minister administering the Crown Land (Reserves) Act 1978 is the responsible Minister for recommending revocation under section 9(2) and for any future decisions about the reservation. The Walter and Eliza Hall Institute for Medical Research is protected: its occupancy of any part of the land for quarantine animal house facilities is not affected by the Act (s 16(a)). Bioproperties (Australia) Pty Ltd, holder of a licence dated 13 October 2000 over part of the land, is also grandfathered (s 16(b)). Any future lessees, licensees or other occupiers granted rights by the University under sections 11, 12 or 13 will be subject to the reservation and to the conditions of their instruments. They cannot acquire any interest that exceeds 25 years (including options and extensions) and their use must be consistent with science and biotechnology purposes, as the University determines.

The Department of Agriculture (formerly the Minister of Agriculture) loses its joint interest in the land; the 1914 Crown grant was in favour of both the Minister and the University, but the Act divests that joint interest (s 6(a)). The Registrar of Titles is required to make recordings or amendments to the Register under the Transfer of Land Act 1958 to reflect the new grant and any dealings (s 14). The Parliament of Victoria is affected insofar as it repealed the Melbourne (Veterinary School) Lands Act 1970 (s 15), removing that earlier statutory framework. The Crown Land (Reserves) Act 1978 continues to apply to the re‑reserved land, but the Act’s provisions override any inconsistency (s 4). The public is not directly affected, but the re‑reservation for science and biotechnology potentially opens the land to commercial and research activities that might not have been permissible under the veterinary school reservation.

The University of Melbourne has the right to apply for and receive a restricted Crown grant of the land (s 8). Once granted, it has the power to grant leases, licences and other agreements over the land or any part of it (including strata) for any purpose not inconsistent with and not detrimental to the reservation (ss 11, 12, 13). It may determine the covenants, conditions, exceptions, reservations and terms of those grants, subject to the 25‑year maximum term. It may also extend the term of a lease or licence, but the total (initial plus extensions) cannot exceed 25 years (s 11(3)(a)). The University may permit a lessee to remain in occupation for up to three months after lease expiry at its discretion (s 11(3)(b)). For stratum leases or licences, the University may include provisions about access, support, services, and prevention of interference with public roads (ss 11(4), 12(3)). The University also has the right to occupy the land itself for science and biotechnology purposes.

The University’s duties include: not using the land for any purpose inconsistent with the reservation (s 8(3)), and including a condition to that effect in the Crown grant. It must not sell, mortgage or otherwise dispose of its interest in the land, except through leases, licences or other agreements permitted by the Act (s 10). It must ensure that any lease, licence or agreement it grants is for a purpose not inconsistent with and not detrimental to the reservation (ss 11(1), 12(1), 13(1)). It may need to comply with any conditions imposed by the Governor in Council in the Crown grant itself (s 8(2)). The University also must allow the Crown or the Minister to re‑enter the land if the grant is revoked for inconsistent use (s 9(3)(d)). It must respect the preserved interests of the Walter and Eliza Hall Institute and Bioproperties (s 16).

The Governor in Council has the right to grant the restricted Crown grant (s 8(1)) and to revoke it if the land is used inconsistently (s 9(1)). The Minister administering the Crown Land (Reserves) Act 1978 has the duty to be satisfied that inconsistent use has occurred before recommending revocation (s 9(2)). The Registrar of Titles has the duty to make necessary recordings or amendments to the register (s 14). The Crown has the right to re‑enter and hold the land if the grant is revoked (s 9(3)(d)). The Walter and Eliza Hall Institute and Bioproperties have the right to continue their existing interests unchanged (s 16).

The Act contains no monetary penalties, no criminal offences, and no civil liability provisions. Enforcement rests entirely on the revocation power in section 9. If the land is used for a purpose inconsistent with the reservation for “science and biotechnology education, research and development purposes”, the Governor in Council may, on the recommendation of the Minister, publish an Order in the Government Gazette revoking the Crown grant. That revocation has immediate and drastic consequences: the grant is revoked, the land is divested from the University, it becomes unalienated land of the Crown freed from all trusts, limitations, restrictions, encumbrances, estates and interests, and the Crown or the Minister may re‑enter and hold the land as if the grant had never been made (s 9(3)). The University loses its interest without compensation (the Act does not provide for any). There is no requirement for a court order; the process is ministerial and executive.

The only constraint on that power is that the Minister must be “satisfied” that the land has been used inconsistently. The Act does not define “inconsistent”, nor does it specify a process for the Minister to reach satisfaction (e.g., no requirement for notice to the University or a hearing). This creates a significant enforcement risk for the University: the standard of review of the Minister’s satisfaction is likely limited to judicial review on Wednesday grounds (unreasonableness or bad faith) in the absence of any statutory procedural safeguards. The Act also gives the University no right to remedy an inconsistency before revocation; the Minister may recommend revocation immediately upon being satisfied.

Beyond revocation, the Act itself does not provide for enforcement of lease or licence conditions. That is left to the University as lessor or licensor, acting under general contract and property law. If a lessee uses the land inconsistently, the University could terminate the lease or take other action, but if it fails to do so and the inconsistent use continues, the University itself faces revocation risk. The Act does not impose any penalty on the University for granting an inconsistent lease; the remedy is against the University’s own interest. The Act does not give third parties standing to enforce the reservation. The Crown relies on its own monitoring and the Minister’s satisfaction.

Section 4 of the Act provides that the Act applies despite anything to the contrary in the Crown Land (Reserves) Act 1978, the Land Act 1958, and Division 5 of Part II of the Melbourne University Act 1958. This override clause ensures that the specific scheme for the Parkville land prevails over general Crown land and university legislation. However, the Act does not operate in a vacuum. The re‑reservation under section 7 is deemed to be a permanent reservation under section 4 of the Crown Land (Reserves) Act 1978. That means the general provisions of the Crown Land (Reserves) Act 1978 apply to the land to the extent they are not inconsistent with the Act. For example, the Crown Land (Reserves) Act 1978 contains provisions about appointment of committees of management, regulations, and dealings with reserves. Section 6(c) of this Act expressly revokes any existing committee of management, and section 6(d) revokes any regulations under section 13 of the Crown Land (Reserves) Act 1978 as they applied to that land. Future committees or regulations under that Act would need to be consistent with the Act.

The Act expressly repeals the Melbourne (Veterinary School) Lands Act 1970 (s 15). That Act had redefined the area and extended the purposes. Its repeal removes the old statutory framework entirely. The Act also interacts with the Transfer of Land Act 1958: the Registrar of Titles must make recordings or amendments to the Register under that Act to reflect the new grant, any revocations, and any leases or licences that are registered (s 14). The Act does not require leases or licences to be registered, but if they are, the Transfer of Land Act 1958 provisions about priority and caveats would apply.

Section 16 preserves existing interests: the occupancy of the Walter and Eliza Hall Institute and the licence of Bioproperties Australia Pty Ltd. Those interests are not affected by the revocation of the old Crown grant or the repeal of the 1970 Act. They continue under their own terms. This means that the University’s new Crown grant is subject to those interests, though the Act does not specify their priority. The preserved licence is dated 13 October 2000, before the Act was assented to (12 December 2000). The Act does not affect the general law of contract or tort. Disputes between the University and its lessees or licensees would be governed by the terms of those private instruments and general law. The Act does not interact with planning or environment legislation; those laws would apply separately to any development on the land.

The Act has been amended only once since its commencement on 14 March 2001. The University of Melbourne Act 2009 (No. 78/2009), section 66, substituted the definition of “University of Melbourne” in section 3 of this Act. The original definition had been “University of Melbourne has the same meaning as in the Melbourne University Act 1958”. The amending Act replaced that with a cross‑reference to the University of Melbourne Act 2009 (the successor to the 1958 Act). That amendment commenced on 1 July 2010 (Government Gazette 24 June 2010, page 1273). The amendment was purely formal, required because the Melbourne University Act 1958 was repealed and replaced by the University of Melbourne Act 2009. No substantive change to the operation of this Act occurred.

The Act’s original commencement was delayed: it was assented to on 12 December 2000, but the operative date was 14 March 2001, by proclamation (Government Gazette 8 March 2001, page 349). Section 2 provided that if not proclaimed earlier, it would commence on 31 December 2001 automatically; that fallback did not become necessary.

No other amendments have been made. The Act remains substantially as enacted. The Table of Amendments in the endnotes shows only the 2009 amendment. The Explanatory Details note “No entries at date of publication.” The version at hand is Version No. 004, incorporating amendments as at 25 October 2012. Given the limited nature of the amendment, there is no complex history of repeal or substitution. The Act has not been the subject of any amendment or repeal proposal in the subsequent decade.

The Act itself records no litigation history. The endnotes contain no references to cases. A search of major Australian legal databases (e.g., AustLII) would likely reveal no reported decisions interpreting or applying this Act. The Act is a narrow, single‑purpose statute with no dispute‑resolution mechanisms; the only enforcement power is executive revocation under section 9, which would rarely result in litigation unless the University sought judicial review of the Minister’s satisfaction or the Governor in Council’s decision. There are no published judgments on the Act as of the last known update. The Act’s provisions are straightforward and the area of land is small, which may explain the absence of case law.

That said, the Act could be mentioned in litigation touching on the land itself (e.g., boundary disputes, title claims, or environmental matters) but those would be heard under general law, not the Act. The Act’s override clause (s 4) could be relevant if other legislation were argued to apply inconsistently, but no reported case has tested that. The absence of litigation should not be taken as evidence of smooth operation; it may simply reflect that the Act has not been challenged. The Act’s structure creates a risk of unreviewed executive action (revocation without hearing), but that has not been tested in court. The Act is not a frequently litigated piece of legislation; it is a bespoke land‑management instrument for a specific institutional asset.

Several features of the Act could trap the unwary. First, the revocation power in section 9 is completely discretionary and lacks procedural safeguards. The Minister need only be “satisfied” that the land has been used inconsistently with the reservation. There is no requirement to give notice to the University, to allow a cure period, to hold a hearing, or to consider any other factors. Once the Order is gazetted, the grant is revoked and the land reverts immediately. The University bears the entire loss of its interest. This is a potent sovereign risk. Any use that could arguably be “inconsistent” - even a minor or temporary one - could trigger revocation at the Minister’s subjective assessment.

Second, the term “inconsistent” is undefined. The reservation is for “science and biotechnology education, research and development purposes”. That is broad but not boundless. If the University grants a lease to a commercial tenant that engages in manufacturing, office use, or retail, the Minister might deem that inconsistent. The Act does not say that “research and development” must be the primary purpose, nor does it define “science and biotechnology”. The University must be conservative in tenant selection.

Third, the 25‑year maximum term on leases and licences is an aggregate cap, not just an initial term. Section 11(3)(a) allows extensions, but the total of initial term plus all extensions cannot exceed 25 years. A lease for 20 years with an option for another 10 years would breach the cap. There is no renewal mechanism; the University cannot grant a new lease for the same property immediately after expiry if that would effectively exceed 25 years for the same tenant (though the Act does not prohibit a new lease to a different entity). The 3‑month holdover allowed by section 11(3)(b) is at the lessor’s discretion and does not extend the cap.

Fourth, stratum leases are permitted but not clearly defined in terms of horizontal or vertical subdivision. The Act allows a lease of “any part (including a stratum)” of the land (s 11(1)). The stratum definition is broad: “a space of any shape above or below or partly above and partly below the surface”. This could allow for separate leases of basement car parks, above‑ground air rights, or even subsurface tunnels. However, the Act does not provide for registration of stratum leases under the Transfer of Land Act 1958; the Registrar’s duty under s 14 is only to make amendments necessary because of the Act’s operation, not to register every lease. Practical issues of access, support and services must be addressed in the lease terms (s 11(4)), but there is no statutory scheme for strata titles.

Fifth, the prohibition on sale, mortgage or other disposal (s 10) is absolute, but “other disposal” is ambiguous. Could a surrender of the Crown grant back to the Crown be a “disposal”? Possibly, but the Act does not expressly allow surrender. The University is stuck with the land unless the Crown revokes the grant or the Act is amended. The University cannot use the land as security for borrowing.

Sixth, section 16 preserves two pre‑existing interests without specifying their priority over the new Crown grant. The Walter and Eliza Hall Institute’s “occupancy” (not defined as a lease or licence) and Bioproperties’ licence could be in land that the University wishes to redevelop. The Act does not require the University to accommodate them; it merely says the Act does not affect their “status or continuity”. The University must deal with those interests as they were before the Act.

Seventh, the re‑reservation under section 7 is deemed to be under section 4 of the Crown Land (Reserves) Act 1978. That Act has its own amendment and revocation provisions. The Governor in Council could potentially revoke or amend the reservation under that Act, which would then affect the validity of the restricted Crown grant. The Act does not override that power; it only says the Act applies despite anything to the contrary in that Act (s 4). The Act may be inconsistent with a later revocation of the reservation, but the override clause applies only to existing law; it is unclear whether it binds future amendments.

Compliance with the Act requires the University of Melbourne to take several concrete steps. First, the University must obtain a restricted Crown grant from the Governor in Council under section 8. That grant must be in a form approved by the Governor and must include a condition that the land not be used for any purpose inconsistent with the reservation (s 8(3)). The University should ensure the grant is properly recorded by the Registrar of Titles (s 14) and that the terms are clearly understood.

Second, the University must monitor and control all uses of the land, both its own and those of any lessees, licensees or other occupiers. Any use must be for “science and biotechnology education, research and development purposes” as broadly interpreted. The University should develop an internal policy defining permissible uses, with reference to the reservation. It should maintain a register of all interests granted and ensure that each interest’s purpose is documented and consistent. If a tenant proposes a change of use, the University should assess it against the reservation. The University should also conduct periodic audits of actual use to ensure no inconsistent activities occur.

Third, all leases, licences and agreements must comply with the 25‑year term cap. The University should ensure that the initial term plus any extension options (including options to renew) do not exceed 25 years in aggregate. The holdover provision of three months (s 11(3)(b)) may be used but only at the University’s discretion and should not be granted as of right. For leases, the University should include a condition that any extension beyond 25 years would be void. For licences and other agreements, the same cap applies (ss 12(2)(a), 13(2)(a)).

Fourth, the University must not sell, mortgage or otherwise dispose of its interest in the land (s 10). This prohibition is absolute. The University must avoid any transaction that could be characterised as a disposal, including granting a security interest or transferring the grant to a controlled entity. If the University wishes to use the land for a purpose not within the reservation, it must seek amendment of the Act or arrange for the Crown to revoke the grant and re‑grant under a new reservation.

Fifth, the University must respect the preserved interests of the Walter and Eliza Hall Institute and Bioproperties Australia Pty Ltd (s 16). It should identify the precise areas and terms of those interests and ensure that any new grants do not interfere with them. If the University wishes to terminate or vary those interests, it must do so under the original instruments, not under this Act.

Sixth, the University should maintain a compliance file documenting all decisions about permitted uses, lease approvals, and monitoring results. This file would be relevant if the Minister ever questions whether the land is being used consistently. The University may wish to seek a formal opinion from the Department or legal counsel on any borderline uses. Proactive engagement with the Minister administering the Crown Land (Reserves) Act 1978 may reduce the risk of a surprise revocation. The University should not assume that silence indicates approval; the Minister can act at any time.

Seventh, the University should ensure that any dealings with the land are properly recorded with the Registrar of Titles if required (s 14). While not all leases need registration, any documentation should be clear and enforceable under general law. The University should also comply with any other applicable laws (planning, environmental, heritage) that are not overridden by the Act. The Act does not exempt the land from local council permits or state development approvals.

Finally, the University should periodically review the Act’s requirements, especially if any amendments occur or if the University of Melbourne Act 2009 changes the definition of “University”. The current definition cross‑references the 2009 Act; any future amendment to that Act could affect who holds the grant. The University must ensure that the entity holding the grant is the same as the defined “University”.
