University Colleges Act 1926

The Act’s core concepts are defined in the interpretation section (s 2) and then used to structure the scheme.

Defined terms (s 2):

• "University" means the University of Western Australia.
• "Senate" means the Senate of the University.
• "College" means a residential college within the University.
• "Trustees" means the Trustees of a College.

Set‑aside and grant mechanism (ss 3-4):

• A body (corporate or unincorporate) may apply to the Senate to have University land set aside for a college (s 3). The application must be signed by trustees authorised to do so (s 3) and must satisfy two preliminary requirements: the proposed college constitution provides for governance by a Council (s 3(a)), and the trustees will have available at least fifteen thousand pounds within five years for construction and improvement (s 3(b)). On satisfying those preliminaries, the Senate may, with the Governor’s consent, set aside an area not exceeding 2.03 hectares (s 3).
• Following the Governor’s consent, a further test applies within five years for a grant of fee simple to the trustees (s 4). The college Council must demonstrate at least six thousand pounds in cash or investments for immediate building and improvement and a further nine thousand pounds in investments or represented by binding and responsible promises to provide such sum when required, and that those sums will be devoted exclusively to the erection of college buildings and improvements and expended within a further five years (s 4(a)). The College must also be able to provide satisfactory supervision, tuition and opportunities for study (s 4(b)). If those conditions are met, the Senate reports to the Governor and recommends that the land be granted in fee simple to the trustees; the Governor is authorised to grant such title notwithstanding anything to the contrary in the University of Western Australia Act 1911 or any other Act (s 4).

Statutory trust and use restriction (s 5):

• Any land granted is to be held by the trustees subject to the provisions of this Act and upon trust for use as a college for University students and such other classes of student as the Senate may approve, and for no other purpose (s 5).

Approval and encumbrance controls (ss 6-7):

• No buildings are to be erected, altered or added to, nor improvements made on the land unless plans, specifications and designs are submitted to and approved by the Senate (s 6).
• The college is to remain in sole possession of the land and the college and trustees must not lease, let, mortgage or encumber the land unless any mortgage or encumbrance is made subject to the provisions of the Act and the trust (s 7).

Internal rule‑making (s 8):

• The Council of the college has power to make, alter or repeal rules for carrying the Act’s provisions and objects into effect (s 8).

Temporal and quantitative limits:

• Time limits: initial five‑year period to raise fifteen thousand pounds and for the Governor’s consent to lead to a grant; a further five‑year period to expend the funds once the required sums are available (s 3, s 4).
• Monetary thresholds are specified in pounds sterling amounts (fifteen thousand, six thousand, and nine thousand pounds) (ss 3(b), 4(a)).
• Area cap: the Senate may set aside land not exceeding 2.03 hectares (s 3).

Delegations and decision‑makers:

• Senate is the gatekeeper for setting land aside (s 3), for reporting to and recommending grant to the Governor (s 4), and for approving building plans (s 6).
• The Governor gives consent to the set‑aside (s 3) and may grant fee simple title where the Senate recommends (s 4).
• Trustees sign the initial application (s 3) and hold the land in trust (s 5).
• The College’s Council governs internal rules and carries out the college’s management functions (s 3(a), s 8).

Taken together these concepts create a conditional process linking University land allocation to capital formation, university oversight and constrained property rights. Each step is subject to statutory preconditions and to decisions by the Senate and the Governor, with ongoing statutory limits on use and disposal of the land.

The Act identifies and assigns roles to a narrow set of actors. These are the decision‑makers, the funders, the trustees and the users of the land.

Primary public bodies:

• The Senate of the University of Western Australia: the Senate has authority to set apart University land for a college (s 3), to receive evidence that financial and governance conditions are met and report to the Governor (s 4), and to approve plans and specifications for any buildings or improvements (s 6). The Senate therefore holds both the allocation power and ongoing oversight authority.
• The Governor: the Governor must give consent to the Senate’s setting aside of land (s 3) and is authorised to grant fee simple title to trustees when the Senate reports that the statutory conditions have been met (s 4). The Governor’s consent is a formal prerequisite both to setting aside and to the grant of fee simple title (ss 3-4).

Primary non‑public actors:

• Trustees: an application to set aside land must be signed by trustees authorised in that behalf (s 3). If fee simple is granted, the land is to be held by the trustees subject to the Act and upon trust for use as a college (s 5). Trustees therefore are the legal titleholders once the grant is made and are charged with holding and managing the land in accordance with the statutory trust.
• The College Council: the proposed college constitution must provide for governance by a Council (s 3(a)). The Council is the body that, if the tests are satisfied, will have control of the college for internal regulation; it also has explicit power to make rules to carry the Act into effect (s 8). The Council is the operational governance entity for the college.

Beneficiaries and users:

• University students: the Act expressly mandates the land be used as a college for University students and for any other classes of student that the Senate may approve (s 5). Students therefore are the intended beneficiaries and primary users of the residential facilities.
• Bodies desiring to establish colleges: corporate and unincorporate bodies that can satisfy the Act’s governance and financial thresholds are the intended applicants (s 3).

Those who pay or must provide resources:

• Trustees and the college Council: the Act places monetary prerequisites on trustees and the College Council. To have land set aside the trustees must demonstrate they will have at least fifteen thousand pounds within five years to erect buildings and improve the site (s 3(b)). To obtain a fee simple grant the Council must demonstrate at least six thousand pounds in cash or approved investments and a further nine thousand pounds in investments or binding promises (s 4(a)). The trustees/Council therefore bear the fundraising and capital provision burden.

Other affected interests:

• The University’s land portfolio: University land may be set aside (s 3), which changes its chain of use and potentially its asset base, subject to the specified conditions and statutory restrictions.
• Future lenders and encumbrancers: section 7 restricts leasing and encumbering the land and requires any mortgage or encumbrance to be made subject to the Act and the trust (s 7). That imposes conditions on third parties who might otherwise take an interest in the land.

Who decides and who enforces:

• The Senate decides whether to set aside land and whether financial and governance preconditions are met (ss 3-4, s 6). The Governor provides the final consent and grant (ss 3-4). Trustees and Councils run the college and must comply with the statutory trusts and constraints (ss 5-8). The Act itself does not create a separate enforcement agency; it embeds constraints in the conditions of set‑aside, grant and the statutory trust (ss 3-7).

In sum, the Act directly affects University governance (Senate), the Executive (Governor), prospective college sponsors (trustees and councils), students as users, and third parties who would seek to take property interests in the land. The immediate financial obligation sits with trustees/Council as the source of required capital sums (ss 3(b), 4(a)).

The Act prescribes specific duties, prerequisites and limited rights attaching to the process of setting apart University land for colleges and to any grant of fee simple thereafter. Each numbered section creates particular obligations and entitlements.

Duties on applicants and trustees:

• Signature and authorisation: an application to the Senate must be "signed on behalf of such body of persons by trustees authorized in that behalf" (s 3). That is a procedural duty on applicants to ensure authorised trustees sign the application.
• Financial undertakings and timelines: trustees must satisfy the Senate that the College constitution provides for governance by a Council (s 3(a)), and that within five years the trustees will have available at least fifteen thousand pounds for erecting necessary buildings and improving the area (s 3(b)). Failure to satisfy these prerequisites permits the Senate not to set aside land.
• Further financial demonstration to obtain title: within five years of the Governor’s consent the College Council must satisfy the Senate that it has available at least six thousand pounds in cash or approved investments and a further nine thousand pounds in investments or by binding promises, that the whole sum is to be devoted exclusively to erection of college buildings and improvements, and will be expended within a further five years (s 4(a)). This places a duty on the Council to provide documentary or other evidence to the Senate within set periods.

Rights and discretions of the Senate and Governor:

• Senate’s discretion to set aside land: upon satisfying the prescribed conditions the Senate "may, with the consent of the Governor, set apart" University land for a college (s 3). The use of "may" indicates discretion rather than an absolute right to set aside land.
• Governor’s consent and grant: the Governor’s consent is required for the set‑aside (s 3). Where the Senate reports that the conditions for a fee simple grant are met, the Governor is "hereby authorized to grant such title" notwithstanding contrary provisions in other statutes (s 4). That authorisation is a right vested in the Governor to effect the grant, subject to the Senate’s recommendation.

Statutory trust duties once land is granted:

• Trust limitation: land is to be "held by the Trustees subject to the provisions of this Act, and upon trust for and to be used as a College for University students, and for such other classes of student (if any) as the Senate may approve, and for no other purpose whatever" (s 5). Trustees therefore have a statutory duty to hold and use the land only for the specified purposes. This limits the trustees’ discretion to repurpose the property.

Administrative duties on construction and improvements:

• Building approvals: trustees/colleges must submit plans, specifications and designs for any new buildings, alterations or improvements to the Senate for approval before undertaking such works (s 6). This is a pre‑condition duty tied to the Senate’s oversight role.

Restrictions on alienation and encumbrance:

• Possession and dealing restrictions: the college must remain in sole possession and is prohibited from leasing, letting, mortgaging or encumbering the land or any part of it, unless any mortgage or encumbrance is made subject to the provisions of the Act and the trust (s 7). This limits property rights and affects the trustees’ and college’s powers to raise capital by charging or leasing the land. The section applies both to the college and to the trustees.

Internal governance rights:

• Rule‑making: the Council of the College has power to make and establish rules for carrying the Act’s provisions into effect and to repeal, alter or amend such rules (s 8). That confers intramural regulatory authority to the Council over the college’s internal affairs insofar as such rules implement the Act.

Procedural consequences for non‑performance:

• Cancellation of the set‑aside: if the Council does not satisfy the Senate of the conditions described in s 4 within five years from the date of the Governor’s consent, "the setting apart of the area of land under section three shall be cancelled" (s 4, proviso). The Act therefore establishes a removal or automatic cancellation consequence for failure to meet the statutory preconditions.

Rights of students:

• Use for students: the statutory trust entitles University students and such other categories as the Senate approves to use the land as a college (s 5). The Act does not elaborate further rights of students but expressly limits the permitted uses to student residential/educational purposes as approved by the Senate.

Limitations in the Act:

• The Act does not create express statutory penalties or criminal sanctions within its text for non‑compliance. It embeds constraints by way of conditional set‑aside, conditional grant and statutory trust duties (ss 3-7) and confers internal rule‑making to Colleges (s 8). The Act also authorises the Governor to grant title notwithstanding other statutes (s 4), which is a legal override limited to this specific granting power.

In short, the Act imposes pre‑qualification duties on trustees and Councils to secure capital and governance structures; it grants discretion to the Senate and Governor to set aside and transfer land; it imposes ongoing trust obligations and strict controls on building works, leasing and encumbrance; and it confers rule‑making authority on College Councils to implement the Act’s objects.

The Act sets out conditions, restrictions and procedural consequences, but it does not articulate separate penal sanctions or a regime of fines within its text. Its enforcement architecture is therefore a mixture of administrative preconditions, statutory constraints on title and procedural consequences tied to the set‑aside and grant process.

No express penal provisions:

• The Act contains no express criminal penalties, monetary fines or enforcement provisions styled as sanctions. None of the sections (ss 1-8) create offences or specify penalties for breach within the statutory text provided.

Administrative and title‑based controls:

• The Act enforces compliance mainly by conditioning legal acts on approvals and by embedding constraints into the trust and title. Examples:
  • Senate approval gates both the initial setting aside (s 3) and the later grant of fee simple title via recommendation to the Governor (s 4). These approvals are administrative controls that prevent the legal allocation or transfer of land until statutory conditions are satisfied.
  • The proviso in s 4 cancels the set‑aside if the council fails to satisfy the Senate of the prescribed conditions within five years of the Governor’s consent. That is a time‑bound administrative consequence which rescinds prior administrative action.
  • The grant, when made, is subject to the trust described in s 5, which legally binds trustees to the specified uses and thereby embeds ongoing constraints enforceable in the terms of title.

Constraints affecting third parties and commercial transactions:

• Section 7 restricts leasing, letting, mortgaging or encumbering the land and requires that any mortgage or encumbrance be made subject to the Act and the trust (s 7). That condition operates as a title restriction affecting third parties such as prospective lessees or lenders: the statutory text makes such dealings contingent on making them subject to the Act’s provisions. The Act does not specify the legal consequences of failing to make an encumbrance subject to the trust, but it explicitly imposes the limitation as a statutory duty.

Practical enforcement channels implied by the statutory structure:

• Because the Act places obligations on trustees (hold land upon trust for specified uses) and on colleges (cannot undertake building works without Senate approval; cannot lease/encumber save as permitted), enforcement would practically involve administrative intervention by the Senate, the absence of recommended grant by the Senate to the Governor, and the statutory limits attaching to title. The Act does not expressly specify that the Governor may revoke a grant once made, nor does it provide a statutory administrative penalty regime for non‑compliance post‑grant.

Remedial and legal options not detailed:

• The Act does not set out the remedies available to third parties or to the University in the event of breach, nor does it specify whether breach of s 5-7 gives rise to automatic forfeiture, declaratory relief, or injunctive relief under the Act. It instead frames constraints as statutory trusts and conditions on title and administrative approvals. Any legal remedies or enforcement steps beyond the Act’s text, such as claims in equity for breach of trust or applications to courts for relief, are not specified within the statute as presented.

In sum, enforcement under the Act is effected through administrative gating (Senate and Governor approvals), statutory embedding of use restrictions into the trustees’ title and built‑in time restrictions with cancellation consequences (s 4). The Act itself does not prescribe separate penal sanctions, leaving the primary constraints to operate through the statutory conditions and the legal status of the trust and title established by the Act.

The Act expressly contemplates potential conflict with other statutes and interacts with University governance and property regimes by means of override clauses, subjecting grants to statutory trusts and imposing administrative preconditions on the exercise of powers.

Express override of other statutes for grants:

• Section 4 contains an express provision authorising the Governor to grant fee simple title "notwithstanding anything to the contrary contained in the University of Western Australia Act 1911, or any other Act." That language creates a statutory override limited to the authorisation of the Governor to grant title to trustees in the circumstances contemplated by the Act (s 4). The effect is that where the statutory prerequisites in s 4 are met and the Senate reports accordingly, the Governor has authority to effect a grant irrespective of contrary provisions in the University of Western Australia Act 1911 or other statutes (s 4). The Act therefore anticipates and accommodates potential legal barriers in existing law by authorising an exception.

Interaction with University land governance:

• Section 3 contemplates the setting apart of "University land" by the Senate, and s 4 authorises grants notwithstanding contrary provisions elsewhere. That means the Act functions as a mechanism for the University to reallocate land from the University's holdings to college trustees, subject to the Act’s conditions. The mechanism relies on the Senate exercising discretion to set aside, and the Governor’s consent and grant may displace conflicting statutory constraints elsewhere to the extent authorised.

Statutory trust interfacing with property law:

• The Act converts any granted land into land held by trustees "subject to the provisions of this Act, and upon trust" for specified college purposes (s 5). That creates a statutory trust interest in the land which will overlay and interact with property and trust law regimes. The Act requires that the trustees hold title in a particular limited way; the trust condition will therefore be part of the land’s legal character and will be relevant to how property law applies to subsequent dealings. The Act does not itself set out how trust law remedies operate; it instead creates the trust obligation in statutory terms (s 5).

Constraints on leases and encumbrances in relation to general property dealings:

• Section 7 imposes procedural constraints on leasing and encumbrance: the trustees and college "shall not... lease or let the same or any part thereof, or mortgage or encumber the same" unless the mortgage or encumbrance is subject to the Act and the trust (s 7). This affects third‑party interests such as mortgages and leases that would otherwise be governed by general property law; the Act requires that any such dealings explicitly recognise the trust and statutory provisions. The Act does not stipulate the legal effectiveness of a lease or mortgage that fails to do so, but it makes the requirement explicit and therefore creates a normative interaction with general property conveyancing rules.

Interaction with University governance statutes and administrative law:

• The Senate’s functions under the Act (ss 3, 4, 6) operate within the broader statutory architecture governing the University and the Governor’s executive powers. The Act places new duties on the Senate to evaluate and report on applications, and it places a formal role for the Governor. Where other legislation prescribes University or Crown land use procedures, s 4’s notwithstanding clause confers priority to the grant power as exercised under this Act, to the extent of the authorisation in s 4.

No detailed cross‑references to other Acts beyond the override:

• The Act references the University of Western Australia Act 1911 in s 4 only for the purpose of authorising the Governor to grant title notwithstanding that Act or any other Act. It does not otherwise specify how the Act interacts with other commonwealth or state statutes, planning laws, local government approvals, building codes, or trust law; such interactions are therefore left implicit and to be resolved in practice under general legal rules external to this Act.

Net effect:

• The statutory architecture therefore both depends on and affects other legal regimes: it depends on the Senate’s administrative powers (internal University governance) and the Governor’s executive authority; it modifies the legal status of University land by authorising set‑aside and grant; and it overlays statutory trust duties and encumbrance restrictions that will intersect with property and trust law. The Act provides an internal statutory pathway that can displace contrary provisions in the University of Western Australia Act 1911 or other Acts for the specific purpose of granting title under the Act (s 4).

The compilation table at the end of the statute provides the amendment history recorded in the text and the formal enactment details. The Act as compiled comprises the original 1926 Act and a later amendment.

Original enactment:

• The University Colleges Act 1926 was enacted as Act 47 of 1926, assented to 23 December 1926, and commenced 23 December 1926 (Compilation table).

Recorded amendment:

• The only amendment recorded in the provided compilation table is the Statutes (Repeals and Miscellaneous Amendments) Act 2009, identified as No. 8 of 2009, s 127. That amending Act received assent on 21 May 2009 and its commencement for the amendment is recorded as 22 May 2009 (see s 2(b) of the amending Act). The text within the main body of the Act also records that section 3 was amended by No. 8 of 2009 s 127, as shown by the bracketed note at the end of s 3 ("[Section 3 amended: No. 8 of 2009 s. 127.]").

Nature of the recorded amendment:

• The compilation table and the marginal note indicate that s 3 was amended in 2009 but the statute text reproduced here reflects the consequential text after that amendment. The Act as reproduced contains the provision that the Senate may set apart an area of University land not exceeding 2.03 hectares (s 3), and this numeric cap is shown with the amendment note. The text does not specify the pre‑amendment figure or the precise textual change effected by s 127 of the 2009 amending Act; it only records that s 3 was the subject of an amendment.

Absence of other recorded amendments in the compilation:

• No other amendments are recorded in the compilation table or marginal notes provided in the statute text. The compilation table lists only the original 1926 Act and the 2009 Statutes (Repeals and Miscellaneous Amendments) Act entry. There are no other entries indicating further amendments, repeals or subsequent legislative interventions in the materials provided.

Interpretive consequence:

• Practitioners should note that the statutory text provided is the current compiled form reflecting the 2009 amendment to s 3. The Act otherwise shows the original 1926 structure and monetary thresholds denominated in pounds (ss 3(b), 4(a)). The compilation table does not show conversion of those amounts to present currency or indexation; it only documents the single recorded amending instrument in the materials presented.

The statutory compilation provided contains no references to judicial decisions, case law, or litigation history. The Act text and the compilation table list only the primary enactment and the single 2009 amendment; no reported cases, judicial interpretations, or litigation outcomes are included in the material supplied.

Implication for practice:

• There are no cases cited in the Act itself, and no judicial history is set out in the compilation table. Accordingly, the statute’s provisions as presented stand without in‑text references to how courts have interpreted the grant, trust or approval provisions in ss 3-7.

Practical note on absence of recorded litigation:

• The absence of litigation references in the statute as reproduced does not mean litigation has never occurred; it means the statute and its compilation notes do not include a litigation history. Users requiring judicial interpretation or precedent would need to consult case law databases and court records external to this Act to find decisions concerning the operation of the University Colleges Act 1926, the Senate’s exercise of discretion under ss 3-4 or enforcement of the trust and encumbrance restrictions in ss 5-7.

The Act contains multiple procedural, financial and title‑related traps for prospective college sponsors, University officers and third parties. The following are concrete operational "gotchas" grounded in the statute’s text.

1. Currency and fixed monetary thresholds in pounds:

• The Act specifies monetary thresholds in pounds (not in dollars or indexed values): trustees must have fifteen thousand pounds within five years to justify a set‑aside (s 3(b)); the Council must demonstrate six thousand pounds in cash or approved investments and a further nine thousand pounds in investments or binding promises to secure a fee simple grant (s 4(a)). Those fixed historic figures are written into the statute; the Act does not provide any mechanism for indexation or alternative valuation. Sponsors must therefore ensure their evidence addresses the statute’s specific thresholds as they read.

2. Strict and short timeframes:

• There are multiple five‑year periods. Trustees must have the initial fifteen thousand pounds within five years from the date of the Senate’s setting apart with Governor’s consent (s 3(b)). After the Governor’s consent, the College has five years to satisfy the Senate of the s 4 conditions to secure a fee simple grant, and then a further five years to expend the sums on erection and improvements (s 4(a)). Failure to satisfy the s 4 conditions within the five years triggers cancellation of the set‑aside (s 4, proviso). These fixed time windows can be difficult to meet and are not extended by the Act.

3. Senate and Governor as dual gates:

• Success requires favourable decisions from two distinct authorities: the Senate must exercise its discretion to set aside land (s 3), and the Governor must consent (s 3). For fee simple title the Senate must again be satisfied and recommend to the Governor who may then grant title notwithstanding contrary laws (s 4). The presence of two decision‑makers introduces practical delay and the risk of disparate administrative standards.

4. Condition that College be governed by a Council:

• The application must demonstrate that the college constitution provides the College "shall always be governed in every respect by a Council" (s 3(a)). That is a constitutional drafting requirement for applicants; it is not a generic governance suggestion. Drafting errors or ambiguous constitutional language may be fatal to the application.

5. Building approvals must be obtained from the Senate before works:

• No building, alteration or improvement may proceed without Senate approval of plans and specifications (s 6). This means planning and construction cannot proceed on the basis of internal approvals alone; explicit Senate sign‑off is mandated.

6. Leasing and encumbrance restrictions reduce financing options:

• Section 7 prohibits leasing or mortgaging the land unless any mortgage or encumbrance is made subject to the Act and the trust. This may materially restrict lenders who seek to take security over college land; lenders will need to accept that their security is subordinate to, or made subject to, the statutory trust obligations laid down by the Act (s 7).

7. Title may be issued notwithstanding other statutes, but the Act does not address revocation:

• Section 4 authorises the Governor to grant title "notwithstanding anything to the contrary" in other Acts (s 4). However, the Act does not include an express mechanism for revocation of a grant once made nor does it specify enforcement steps after grant beyond the trust constraints. Parties may therefore be uncertain about the post‑grant legal mechanics if disputes arise.

8. Narrow permitted uses:

• The statutory trust requires that land be used "for a College for University students, and for such other classes of student (if any) as the Senate may approve, and for no other purpose whatever" (s 5). This is a strict restriction: commercial uses, non‑student residential uses or alternative institutional uses are excluded unless the Senate approves additional classes of student. That limits flexibility in repurposing the property.

9. Application must be signed by trustees authorised in that behalf:

• The statute insists on a trustees’ signature on the initial application (s 3). If the body seeking the set‑aside is unincorporated, identifying and documenting the authority of trustees who sign will be necessary. Failure to provide proper authorisation could jeopardise the application.

10. Internal rule‑making is limited to implementing the Act:

• The Council has rule‑making power "for carrying into effect the several provisions and objects of this Act" (s 8). The power is not an open‑ended legislative delegation for college governance beyond the Act’s objects; the text limits the scope of rules to the Act's implementation.

11. No express transitional or remedial rules for non‑compliance:

• The Act provides for cancellation of the set‑aside if the s 4 conditions are not satisfied in time (s 4, proviso) but otherwise does not provide specified remedial processes or penalties for post‑grant contraventions of the trust or the leasing/encumbrance restrictions (ss 5-7). That may create ambiguity about the consequences of non‑compliance and the mechanisms for remedying breaches.

Each of these items is grounded in the specific statutory text (ss 3-8) and points to documentary, timing, governance and title risks that applicants and trustees must manage when dealing with applications and proposed grants under the Act.

Compliance under the Act is a sequence of steps predicated on satisfying statutory prerequisites, obtaining the necessary approvals and observing ongoing trust and title constraints. The Act’s text provides a clear checklist of the materials, governance arrangements and approvals necessary to proceed.

Pre‑application and constitution drafting:

• Ensure the body proposing the college has trustees who can be authorised to sign the application (s 3). The application to the Senate "shall be signed on behalf of such body of persons by trustees authorized in that behalf" (s 3). Record and be able to produce evidence of the trustees’ authority to sign.
• Draft the college constitution to provide that "the College shall always be governed in every respect by a Council" (s 3(a)). Make this governance clause explicit and unqualified in the constitution, since it is a statutory prerequisite.

Financial preparation and evidence:

• Prepare documentary evidence that trustees will have available, within five years, at least fifteen thousand pounds for erection of necessary buildings and improvements on the area to be set aside (s 3(b)). The Act requires the trustees to "satisfy the Senate" of this, so documentary proof, investment statements or guarantees may be necessary to meet the Senate’s evidentiary expectations.
• Plan for the second stage financial test required for grant of fee simple: within five years from the date of the Governor’s consent the Council must demonstrate at least six thousand pounds in cash or in investments approved by the Senate, and a further nine thousand pounds in such investments or represented by binding and responsible promises to provide such sum when required (s 4(a)). Ensure that funds earmarked for the six thousand are in cash or Senate‑approved investments and that the nine thousand is secured by recognised commitments or investments acceptable to the Senate.
• Ensure the intended use of funds is demonstrably "to be devoted exclusively to the erection of college buildings and improvements on the said area of land" and that the Council is prepared to expend those sums "within a further period of five years" (s 4(a)). Prepare a documented expenditure plan matching the statutory timeline.

Application to the Senate and Governor’s consent:

• Submit the application to the Senate, signed by authorised trustees, and include the constitution clause and the documentary evidence regarding the availability of the initial fifteen thousand pounds (s 3). Be prepared for the Senate to exercise discretion; the statute uses "may" in relation to setting apart land (s 3).
• Upon Senate setting apart and subject to obtaining the Governor’s consent (s 3), the council must monitor the timeframes carefully. The Governor’s consent is required to set aside and to complete the process later via grant (ss 3-4).

Satisfying the conditions for grant of fee simple:

• Within five years of the Governor’s consent, present evidence to the Senate that the Council has the six and nine thousand pound sums in the forms required and that the amounts will be used exclusively for erection and improvements and will be spent within five years (s 4(a)).
• Additionally, present evidence to the Senate that the College "will be able to provide its students with satisfactory supervision, tuition, and opportunities for study" (s 4(b)). Identify staffing, academic linkage, supervision arrangements and other operational features that demonstrate the college will provide satisfactory supervision and study opportunities in the Senate’s view.

Plan and obtain approvals for construction:

• Before erecting or altering any buildings or making improvements, submit plans, specifications and designs to the Senate and secure its approval (s 6). Do not commence works without formal Senate approval, as s 6 conditions construction on prior Senate approval.

Respect trust and encumbrance limits post‑grant:

• If fee simple is granted, hold and use the land pursuant to the statutory trust: the land must be used as a college for University students and possibly other student categories only as approved by the Senate (s 5). Ensure the trustees’ administration and any leases or arrangements are consistent with that trust purpose.
• Avoid leasing, letting, mortgaging or encumbering the land unless any mortgage or encumbrance is expressly made subject to the Act and the trust (s 7). Where external financing is required, ensure lenders accept that any security will be made subject to the Act’s provisions; secure lender acknowledgments or amendments to mortgage documents to reflect that the mortgage is made subject to the statutory trust.

Use Council rule‑making to give effect to the Act:

• The Council should promulgate rules "for carrying into effect the several provisions and objects of this Act" (s 8). Use the Council’s statutory rule‑making power to set operational policies, admission rules, financial management processes and building maintenance protocols that align with the Act’s requirements and the trust obligations.

Document retention and governance records:

• Maintain comprehensive records of all evidence presented to the Senate and Governor, including trustee authorisations, constitutional clauses, investment statements, binding promises, Senate approvals of plans, and communications from the Governor. This evidentiary trail will document compliance with the Act’s conditions and timeframes (ss 3-6).

Timing and contingency planning:

• Monitor the multiple five‑year time windows carefully and build contingency plans to secure funds and approvals early. The Act provides for cancellation of a set‑aside if the Council does not meet the s 4 conditions within five years from the Governor’s consent (s 4, proviso); therefore take action to meet the conditions substantially before the deadline.

Engage the Senate early:

• Given the Senate’s discretionary role at multiple stages (s 3, s 4, s 6), engage with the Senate early to understand the evidentiary standards it expects and the governance or investment forms it approves. Early engagement can help align documentation, investments and constitutional language with the Senate’s expectations.

Lender and third‑party negotiations:

• If external lenders are required, negotiate mortgage terms that expressly state the mortgage will be made subject to the provisions of the Act and the statutory trust (s 7). Obtain written acknowledgements to that effect from lenders and incorporate the statutory trust language into security documents where acceptable.

Limit requirements for alternative uses:

• If there is any prospect of using the land for categories of students other than University students, secure prior Senate approval for such classes because s 5 limits permitted uses to University students and other classes only as approved by the Senate (s 5).

By following these steps and documenting compliance with the specific statutory requirements (ss 3-8), a body seeking to establish a college can align its constitutional, financial, construction and governance arrangements with the Act’s demands.
