Treaty Authority and Other Treaty Elements Act 2022

The Act organises a small set of legal and administrative concepts around the Treaty Authority. These are structural and operational, and each has precise statutory text.

Entity and composition

• Treaty Authority: defined as the entity established under the Treaty Authority Agreement (s 6(1)). For statutory purposes the Authority consists of the members and acting members specified in the Treaty Authority Agreement, appointed in accordance with that agreement (s 6(2)). The Agreement itself is the instrument that creates composition and appointment processes. The Act does not set numerical membership or appointment criteria; it defers to the Treaty Authority Agreement.

Legal personality and capacity

• The Treaty Authority, though created by agreement and statute rather than by incorporation, has perpetual succession as if it were a body corporate, may sue and be sued in its name, and may acquire, hold and dispose of real and personal property (s 7(1)(a)-(c)). The Act expressly states the Authority has the legal capacity of an individual and may do all acts a body corporate may do (s 7(2)). The Transfer of Land Register must record dealings in the Authority’s name as if it were a body corporate (s 13). The Act therefore creates a non‑corporate legal person with corporate‑like attributes for transactional purposes.

Functions

• The Act imports functions from the Advancing the Treaty Process with Aboriginal Victorians Act 2018 by reference (the statutory definition of "function" refers to s 28(1) and (2) of that Act) and adds any functions agreed under the Treaty Authority Agreement (s 3 definition; s 8). The later insertion of s 8A expands the source of functions to functions conferred by the Statewide Treaty Act 2025 or any other Act (s 8A). Thus the Authority’s functional remit is given partly by the 2018 Act, partly by the Treaty Authority Agreement, and partly by later statutory instruments.

Powers and transactions

• The Authority has the implied general power to do all things necessary or convenient for performance of its functions (s 9(1)). The Act specifically permits the Authority to enter agreements, participate in formation of companies, trusts and partnerships, become a member of a company limited by guarantee, acquire and dispose of shares and interests, and act as trustee (s 9(2)(a)-(e)). The Authority may act interstate and internationally (s 10). Execution provisions prescribe that two members must sign documents and deeds, that deeds need not be witnessed and delivery is not required, and create a presumption of valid execution where two members’ signatures appear (ss 11-12).

Employment, delegation and administration

• The Authority may employ staff and engage consultants necessary to perform its functions (s 14). It may delegate statutory functions or powers (other than the power of delegation) by instrument to a member, employee or consultant (s 15). Delegation instruments are therefore the authorised route for operationalising functions within the Authority’s workforce and contractors.

Funding, liabilities and immunities

• The Act creates an appropriation regime under which amounts are to be paid from the Consolidated Fund in specified financial years to cover member remuneration and expenses, liabilities that arise from performance of functions or exercise of powers and related costs (s 16(1)(a)-(c)). The Act sets maximum appropriations per financial year in detailed tables, and allows additional payments if the Minister and Treasurer agree, provided the Treasurer publishes a notice specifying amount, purpose and financial year; publication triggers payment (s 16(2)-(8)). Liabilities of the Authority are to be satisfied from its property (s 17(1)). Members are not personally liable for the Authority’s acts or omissions (s 17(2)). Members and employees are immune from personal liability for acts or omissions done in good faith under a delegation, or done in the reasonable belief they were within delegated authority; where immunity applies, resulting liability attaches to the Authority (s 18).

Financial reporting

• Section 19 applies section 53A of the Financial Management Act 1994 to the Treaty Authority with two modifications: subsections (1) and (2) of s 53A are omitted; references in subsections (3) to (7) that would otherwise refer to "the body" are instead references to the Treaty Authority (s 19). The Act thus places the Authority within the Financial Management Act reporting framework subject to stated variations.

Temporal and interpretative concepts

• The Act commences the day after Royal Assent (s 2) and expressly ceases to have effect on the day the Treaty Authority is dissolved in accordance with the Treaty Authority Agreement (s 5). The statute must be read as forming part of the Advancing the Treaty Process Act 2018 (s 4), embedding the Authority within that statutory architecture. The Act includes an itemised appropriation schedule with explicit maximum amounts for specific years (s 16 tables).

These main concepts reveal an institutional design that creates a statutory non‑corporate legal person, endowed with corporate-like powers, a prescribed funding pathway through the Consolidated Fund with explicit caps, and a liability regime that centralises financial responsibility in the Authority while insulating individual members and employees from personal exposure for acts in good faith or under reasonable belief of authority.

The Act assigns roles, financial consequences and legal risk across identifiable categories of persons and institutions. The primary affected parties are:

• Treaty Authority members and acting members. The Authority is composed of the members specified in the Treaty Authority Agreement (s 6(2)). The Act affects them by conferring on the Authority corporate‑style powers and by setting decision‑making and execution mechanics requiring two members to sign documents and deeds (s 11). Members are insulated from personal liability for acts of the Authority and for delegated acts performed in good faith or in the reasonable belief of having authority (ss 17-18). The Act therefore materially changes members’ legal exposure and administrative responsibilities.

• The Treaty Authority as an entity. The Authority itself bears legal responsibility for liabilities incurred in performance of functions or exercise of powers; it has legal capacity, may own property, enter corporate structures, and is subject to financial reporting obligations under the Financial Management Act 1994 (ss 7, 9, 13, 17, 19). The Authority will be the counterparty in commercial transactions, employer of staff and principal contractor for consultants (ss 9, 14).

• The State (executive government and Treasury). The State funds the Authority through appropriations from the Consolidated Fund for remuneration, certain liabilities and capital expenditure up to the statutory maxima (s 16(1)-(4)). The Minister and Treasurer retain discretion to agree additional funding (s 16(5)) and the Treasurer is required to publish notices of such agreements in the Government Gazette (s 16(6)-(7)). Treasury’s fiscal and reporting infrastructure will be engaged through the application of the Financial Management Act (s 19) and through the payment of appropriations.

• The Aboriginal Representative Body (First Peoples’ Assembly of Victoria) as party to the Treaty Authority Agreement and the statutory framework. The Preamble states the Authority is established by agreement between the First Peoples’ Assembly and the State, and the Act defers composition and some functions to that Agreement (s 6; s 8). The Assembly’s negotiation and appointment processes, insofar as they are contained in the Treaty Authority Agreement, determine who serves as members and thus who the Act affects in practice.

• Contractors, consultants and prospective employees. The Authority may employ staff and engage consultants necessary for its functions (s 14). These third parties will operate under contract with the Authority rather than directly with the State in ordinary circumstances, with the Authority bearing legal responsibility for performance and liabilities arising from their engagement insofar as those liabilities attach to the Authority.

• Counterparties in commercial and property transactions. Because the Authority may be a party to trusts, companies, partnerships, and may hold and dispose of land and other property (ss 9, 13), vendors, purchasers, financiers, counterparties and the Registrar of Titles are affected. The Transfer of Land Register must record dealings in the Authority’s name as if it were a body corporate (s 13), which affects conveyancing practice and title searches.

• Taxpayers more broadly. The Consolidated Fund is the explicit source for the specified appropriations to fund remuneration and liabilities up to the statutory caps (s 16). Expenditure beyond those caps may occur if the Minister and Treasurer agree additional amounts, which must be published and are then payable (ss 16(5)-(8)). The Act therefore imposes contingent fiscal obligations on the State that may have budgetary implications.

• Courts, regulators and government accounting authorities. The Authority may sue and be sued (s 7(1)(b)), and the Financial Management Act reporting regime applies with specified modifications (s 19). Administrative and financial oversight bodies will have to adapt their processes to the Authority’s statutory form and reporting obligations.

• Other statutory bodies and future legislative schemes. The Act contemplates that functions may be conferred on the Treaty Authority by the Statewide Treaty Act 2025 or any other Act (s 8A). Future legislation or instruments may therefore shift responsibilities to the Authority.

Who does not become a direct subject of detailed statutory direction in this Act? The Act deliberately delegates internal governance design to the Treaty Authority Agreement and does not set out detailed appointment, removal, remuneration rates or operational policies on its face. Those matters are thereby left to the Agreement and to the Authority’s operational instruments.

In practical terms, the Act centralises legal and operational functions in the Treaty Authority and shifts financial and legal risk in defined ways: members are insulated from personal liability (ss 17-18), the Authority itself carries liabilities (s 17(1)), and the State provides specified appropriation support (s 16). Actors negotiating or contracting with the Authority must take account of the signature rules, the Authority’s capacity to hold property and to participate in corporate forms, and the fact that the Authority can act outside Victoria and overseas (ss 11-13, 9-10).

The Act sets out duties and rights in institutional terms: duties of the Treaty Authority to perform functions, and rights such as legal capacity, property rights and immunities.

Duties and performance obligations

• Duty to perform functions conferred by statute, agreement or other Acts: the Treaty Authority must perform the functions referred to in s 28 of the Advancing the Treaty Process with Aboriginal Victorians Act 2018 as imported by the definition of "function" (s 3), any additional functions agreed by the parties under the Treaty Authority Agreement (s 8), and any functions conferred by the Statewide Treaty Act 2025 or other Acts (s 8A). The Act does not set operational standards or timelines for those functions; the duty is to perform functions as conferred.

• Duty to meet liabilities from its property: liabilities incurred as a result of performance of functions or exercise of powers are to be fulfilled through application of the property of the Treaty Authority to those liabilities (s 17(1)). That is an express internal responsibility to meet obligations from available Authority assets.

Rights and capacities

• Right to legal personality and to sue or be sued: the Authority may sue and be sued in its name (s 7(1)(b)). That is a transactional right enabling enforcement of contracts and access to the courts.

• Property rights and disposition powers: the Authority may acquire, hold and dispose of real and personal property, whether on trust or absolutely, in its name (s 7(1)(c)). It may acquire shares and interests, act as trustee, and participate in the formation of corporate and non‑corporate bodies (s 9(2)). Title to land dealings must be recorded in its name as if it were a body corporate (s 13).

• Contracting and transaction rights: the Authority may enter into agreements and arrangements in connection with its functions (s 9(2)(a)). Execution rules define how the Authority legally binds itself , two member signatures are required for execution and for deeds (s 11(1)-(2)); deeds need not be witnessed and delivery is not necessary (ss 11(3)-(4)). Documents purporting to be signed by two members are presumed validly executed unless the contrary is proved (s 12).

• Delegation and administrative rights: the Authority may delegate functions or powers by instrument to members, employees or consultants, subject to the statutory prohibition on delegating the delegation power itself (s 15). It has the right to employ staff and engage consultants (s 14).

Immunities and protections

• Members and employees are protected from personal liability for acts or omissions of the Authority (s 17(2)). Section 18 further immunises members and employees from personal liability for acts or omissions done in good faith in the performance of a function or exercise of a power under a delegation, and for acts done in the reasonable belief the act or omission was within delegated authority (s 18(1)(a)-(b)). Where subsection 18(1) would have created personal liability, that liability attaches instead to the Treaty Authority (s 18(2)). These provisions change the allocation of legal risk arising from performance and delegation.

Financial entitlements and state support

• Entitlement to appropriations: the Treaty Authority has a statutory pathway to receive funds from the Consolidated Fund for specific categories: member remuneration and expenses, liabilities arising from performance of functions or powers that become payable in the financial year, and costs associated with such liabilities (s 16(1)(a)-(c)). The Act sets maximum appropriation amounts for specific years (s 16(2)-(4)). The Minister and Treasurer may agree additional specified payments which, after publication by the Treasurer, are payable from the Consolidated Fund (s 16(5)-(8)).

Obligations under financial reporting

• Application of Financial Management Act reporting requirements: section 19 brings section 53A of the Financial Management Act 1994 into force as to the Treaty Authority, with modifications. Subsections (1) and (2) of s 53A are omitted, and references in subsections (3)-(7) to "the body" are to be read as references to the Treaty Authority (s 19). That places reporting obligations and oversight measures under the FMA framework on the Treaty Authority subject to those specified changes.

Limitations and conditions

• Temporal limitation: the Act ceases to have effect when the Treaty Authority is dissolved in accordance with the Treaty Authority Agreement (s 5). The Authority’s existence and therefore the ongoing applicability of the Act are contingent on the continuing Treaty Authority Agreement.

In sum, the Act confers broad rights to act, contract and hold property, while imposing duties to perform conferred functions, to meet liabilities from Authority property and to comply with adapted financial reporting obligations. It insulates individual members and employees from personal legal exposure for authorised acts and establishes a funding and liability architecture that combines Authority asset responsibility with specified Crown appropriations.

The Act contains no express criminal penalties, infringement fines or administrative penalty scheme. Enforcement mechanics in the statute are primarily civil and structural rather than penal. The enforcement and accountability architecture is therefore implicit in statutory rights (ability to sue and be sued), financial reporting obligations and operational form. Key enforcement‑relevant provisions are as follows.

Civil enforcement and legal remedy

• The Treaty Authority may sue and be sued in its name (s 7(1)(b)). That provision places the Authority within ordinary civil litigation processes, permitting counterparties, employees, contractors and other parties to bring actions against the Authority for breach of contract, tort, equitable remedies and other civil causes of action. There are no specified limits or exclusions on civil liability in the Act beyond the insulation of individual members and employees from personal liability in certain circumstances (ss 17-18).

Liability allocation and indemnification mechanism

• Liabilities incurred by the Treaty Authority as a result of performance of functions or exercise of powers are to be fulfilled through application of the Authority’s property (s 17(1)). Where a member or employee would otherwise be personally liable for acts done in good faith under delegation or in the reasonable belief of authority, s 18 transfers that liability to the Authority. The result is that the Authority is the primary defendant and target for enforcement; individual members are typically protected.

State funding as an enforcement backstop

• The Act provides that specified payments are to be made out of the Consolidated Fund for remuneration and liabilities arising from the Authority’s functions and powers, up to the statutory maxima (s 16(1)-(4)). That appropriation scheme creates a public funding pathway that can operate as a backstop for certain liabilities or costs that become payable in the relevant financial year. Additional funding may be agreed by the Minister and Treasurer, subject to publication requirements (ss 16(5)-(8)). The Act however limits the amounts that are automatically appropriated per year; liabilities beyond those caps will require Minister/Treasurer agreement for additional payment to be provided through the Consolidated Fund.

Accountability and oversight via financial reporting

• Financial reporting obligations flow from the application of s 53A of the Financial Management Act 1994 to the Treaty Authority (s 19), albeit with specified modifications. The Financial Management Act framework provides for auditing, reporting and oversight mechanisms; the Act imports those features into the Treaty Authority’s obligations to the extent section 53A applies. Since s 19 omits subsections (1) and (2) of s 53A and adapts references in subsections (3) to (7), the exact scope of reporting and consequence provisions requires looking to s 53A itself. The Act therefore ties enforcement and accountability to the FMA machinery rather than creating bespoke enforcement mechanisms.

Registry and land dealings

• The Transfer of Land Act 1958 Register must record dealings by and with the Treaty Authority in the name of the Treaty Authority as if it were a body corporate (s 13). This provision ensures that land‑title enforcement and remedies available under the Transfer of Land Act are available against title held by the Authority and that counterparties can rely on public land titles.

Practical enforcement gaps and consequences

• The Act does not create penalties for non‑performance of functions, administrative offences for, for example, breaches of internal governance rules, or personal criminal liability for members beyond the general law. Enforcement therefore relies on common law remedies, statutory suits against the Authority, financial management oversight under the FMA and any contractual enforcement mechanisms in specific agreements. The statutory immunity protections may limit the ability to pursue individual members for acts done in good faith or under a reasonable belief of authority (s 18). Where liabilities are payable but the Authority lacks sufficient property, the Act does not itself create an automatic Crown guarantee, although the appropriation provisions provide for specific payments up to the caps and for Minister/Treasurer agreements to supply additional funds (s 16).

In short, enforcement under the Act is civil and financial in nature. The Act places the Authority within public financial reporting systems and creates a pathway for state funding of specified liabilities, but does not contain criminal penalties or a bespoke administrative penalty regime. Parties seeking remedies will generally enforce against the Authority itself, with the Authority’s property and any appropriations from the Consolidated Fund being the primary resources for satisfying liabilities.

The Act is explicitly constructed to operate in tandem with other statutory instruments and legal frameworks. Its interdependencies and interactions are both textual and practical.

Integration with the Advancing the Treaty Process with Aboriginal Victorians Act 2018

• The Act is to be read as if it formed part of the Advancing the Treaty Process with Aboriginal Victorians Act 2018 (s 4). The definition of the Treaty Authority’s "function" expressly imports functions referred to in s 28(1) and (2) of the 2018 Act (s 3 definition). The Treaty Authority Agreement is an instrument made pursuant to s 27 of the 2018 Act as referenced in the Preamble. Therefore, the Authority’s statutory duties, the boundaries of its remit and its relationship with the Aboriginal Representative Body are embedded within the 2018 Act’s framework and the Agreement. Any interpretation of the Authority’s statutory functions will need to consider s 28 of the 2018 Act and the content of the Treaty Authority Agreement.

Effects on property law and the Transfer of Land Act 1958

• Section 13 requires that the Registrar of Titles record land acquisitions, disposals and dealings in the Treaty Authority’s name as if it were a body corporate. This provision creates a direct interaction with the Transfer of Land Act 1958 and the operation of the Register, ensuring that conveyancing and title records treat the Authority in the same practical way as a corporate proprietor. Counterparties transacting with the Authority will rely on the Register entries for title assurance.

Interaction with the Financial Management Act 1994

• The Act applies section 53A of the Financial Management Act 1994 to the Treaty Authority with specified adaptations (s 19). That brings the Authority within state financial reporting, accountability and audit regimes, subject to whatever obligations s 53A imposes (omitting subsections (1) and (2), with references in subsections (3)-(7) adapted to mean the Treaty Authority). The Financial Management Act will therefore shape the Authority’s budgeting, reporting and financial governance obligations.

Appropriation and budgetary law

• Section 16 creates statutory appropriations from the Consolidated Fund for specific purposes and imposes maxima by financial year. That links the Act to general public finance law, appropriation procedures and Treasury administrative processes. Additional payments require Minister/Treasurer agreement and publication by the Treasurer (ss 16(5)-(8)), which engages Gazette publication rules and the processes for ministerial financial approvals.

Companies, trusts and partnerships law

• The Authority is expressly permitted to participate in formation of companies, trusts and partnerships, to acquire shares and to become a member of a company limited by guarantee (s 9(2)). Consequently, company law (Corporations Act 2001) and trust law will apply to any companies or trusts the Authority forms or participates in. The Act does not exempt the Authority from those laws; rather, it provides statutory capacity to be a party to such corporate forms.

Cross‑jurisdictional interactions

• The Authority may perform functions and exercise powers outside Victoria and outside Australia (s 10). Transactions or conduct abroad will therefore engage foreign legal regimes and interstate regulatory frameworks. The Act does not modify extraterritorial legal constraints; it simply authorises the Authority to operate interstate or internationally. Parties dealing with the Authority should be attentive to applicable foreign law and to jurisdictional issues.

Delegation and administrative law

• The Act allows delegation of functions and powers by instrument to members, employees or consultants (s 15). Delegations are subject to administrative law principles and potential judicial review if delegations are exercised unlawfully. The statutory immunity in s 18 applies to acts done in good faith under delegation and reasonable belief of authority, but that immunity will not protect acts outside legal authority or those not undertaken in good faith.

Other Acts

• Section 8A, inserted by the Statewide Treaty Act 2025, makes clear that functions may be conferred on the Treaty Authority by that Act or "any other Act". This creates a structural opening for further statutory transfer of responsibilities into the Treaty Authority. Future statutes can therefore reshape the Authority’s remit without amendment to the 2022 Act itself, by conferring functions in subsequent legislation.

Interpretive and temporal interactions

• The Act’s temporary backstop is the dissolution clause: the Act ceases to have effect when the Treaty Authority is dissolved according to the Treaty Authority Agreement (s 5). Interactions with other laws therefore depend on the Authority’s ongoing existence, which is contingent on the Agreement.

In sum, the Treaty Authority is designed to sit inside an existing statutory ecosystem: the Advancing the Treaty Process Act 2018 provides the core policy and functional backbone, the Financial Management Act provides reporting and oversight, the Transfer of Land Act governs property recording, and company, trust and administrative law apply to the Authority’s commercial and delegated activities. The Act does not operate in isolation; it depends on and modifies the operation of multiple regimes by conferring capacity, appropriations and specific recording rules while leaving many operational details to the Treaty Authority Agreement and to other legislative instruments.

The Act’s published version incorporates amendments noted in the endnotes and the table of amendments. The key amendment events in the published material are:

• Original enactment: The Treaty Authority and Other Treaty Elements Act 2022 was assented to on 23 August 2022 and commenced on 24 August 2022 (s 2; Endnotes). The Act as originally enacted established the Treaty Authority’s legal capacity, functions, execution and funding provisions.

• Repeal of Part 3 (ss 20-22): The endnotes and table of amendments record that Pt 3 (heading and sections 20-22) was repealed on 24 August 2023 (Table of Amendments note: "S. 22 repealed Pt 3 (ss 20-22) on 24.8.23"). The published Version No. 003 incorporates that repeal. The main body of the Act no longer contains Part 3.

• Statewide Treaty Act 2025 amendment: Section 8A, titled "Functions of the Treaty Authority under Statewide Treaty Act 2025 or other Acts", was inserted by the Statewide Treaty Act 2025, No. 45/2025, s 229. The table records the Statewide Treaty Act’s assent date as 13 November 2025 and commencement of s 229 on 14 November 2025 (Table of Amendments). Section 8A expands the Authority’s functional sources to include functions conferred by the Statewide Treaty Act 2025 or any other Act. This is an explicit cross‑statutory amendment incorporated in Version No. 003.

• Style and interpretive provisions: The endnotes include general information about interpretation and style changes under the Interpretation of Legislation Act 1984, indicating that headings, notes and other style elements form part of the Act as passed. The publication incorporates such style changes where applicable.

No further amendment details, such as minor textual corrections or delegated instruments amending schedules, appear in the endnotes provided. The explanatory details section notes "No entries at date of publication", which indicates that contemporary explanatory memorandum entries or subsequent detailed amendment notes are not included in the printed endnotes.

Practical consequences of the amendment history recorded:

• The repeal of Part 3 in August 2023 removed material originally contained in sections 20-22. Users of the statute should consult historical versions if those earlier provisions are relevant to disputes or to transitional arrangements predating the repeal.
• The insertion of s 8A by the Statewide Treaty Act 2025 is a substantive expansion of the Authority’s potential functions by authorising functions conferred by subsequent legislation. That amendment materially increases the Authority’s statutory flexibility and potential responsibilities.
• The endnotes and tables provide the authoritative record of those changes for legal drafting, interpretation and compliance; practitioners should rely on the consolidated version but be alert to the temporal application of amendments.

The Act’s embedded design, referencing other Acts and allowing functions to be conferred by future statutes, means that its practical scope can change by further legislation rather than by amendment to the 2022 Act itself. Users should monitor later legislative instruments affecting treaty architecture, funding and operational responsibilities for the Treaty Authority.

The published text and endnotes supplied with this version of the Act do not record any judicial decisions, appeals, or litigation that interpret or apply the Treaty Authority and Other Treaty Elements Act 2022. The Act includes no reported case references in its text, and the endnotes’ "Explanatory details" section contains no entries.

What this absence means for practitioners:

• There is no statutory case law embedded in the printed version that clarifies contested interpretive points such as the meaning of "as if it were a body corporate" in practical application, the limits of the immunity in s 18, the scope of delegated powers and their reviewability, or the precise interaction of s 19 with the Financial Management Act 1994. In the absence of litigation, interpretive questions will rely on statutory text, ordinary principles of statutory interpretation, and precedent from analogous contexts.
• Parties and advisers negotiating with the Treaty Authority or litigating against it should be prepared for first-instance judicial consideration of several potentially novel points: the reach of immunities for members and employees under s 18, the effect of the appropriation caps in s 16 on creditors’ remedies, the consequences if the Authority lacks sufficient property to satisfy liabilities under s 17(1), and the implications of the Authority’s capacity to operate outside Victoria (s 10) for service of process and choice of law questions.
• Because the Act integrates with other statutes (notably the Advancing the Treaty Process Act 2018 and the Financial Management Act 1994), litigation may involve multi‑statute interpretation. Courts will likely consider the Preamble and s 1 purposes, but those are statements of legislative intent rather than operative rules.
• Until judicial authorities develop, counterparties should plan for contractual protections (for example, security, guarantees or escrow arrangements) where they cannot rely on judicial clarity about the State’s willingness or obligation to supply funds beyond the statutory appropriation caps (s 16).

If and when litigation arises, the primary questions that would bear on enforcement and funding will be whether the Authority’s obligations are payable from the Authority’s property (s 17(1)) and whether Minister/Treasurer agreements (s 16(5)-(8)) effectively create a Crown payment obligation once published. Those factual and legal issues will be focal points in initial litigation, but as of the published version there is no recorded case law to cite.

The Act contains several features where operational or legal risk may be concentrated or where expectations may diverge from ordinary corporate practice. These are points that commonly cause issues in practice and that practitioners should flag explicitly.

1. Non‑corporate entity with corporate‑like powers

• The Treaty Authority is not incorporated but is given perpetual succession and corporate‑like capacity (s 7(1)-(2)). What looks and functions in many ways like a corporation is nonetheless a statutory entity. This distinction matters for application of certain corporate regimes, statutory licences, and regulatory obligations that depend on corporate status. The Transfer of Land Register is directed to treat the Authority as if a body corporate for land dealings (s 13), but the Act does not say that the Authority is, in all legal contexts, a corporation. Users should check cross‑statutory requirements, licences and regulatory definitions where "body corporate" is a defined term in other statutes.

2. Two‑member execution rule; presumption of validity

• Execution of documents and deeds requires two members’ signatures (s 11(1)-(2)). Documents purporting to be signed by two members are presumed validly executed unless the contrary is proved (s 12). The presumption is helpful for counterparties but creates a risk for third parties if they rely on signatures without further verification; the "unless the contrary is proved" caveat preserves challenge where fraud or misrepresentation is shown.

3. Deeds need not be witnessed or delivered

• The Act permits execution of deeds without witnessing and without delivery (ss 11(3)-(4)). That departs from many commercial practices where witnessing and delivery are customary safeguards. Counterparties and registries should take care about the evidentiary implications of unwitnessed deeds and consider contractual requirements for alternative confirmation where necessary.

4. Funding caps and conditional additional payments

• Automatic appropriations for core categories are capped by financial year (s 16(2)-(4)). While the Minister and Treasurer may agree to additional funds, that power is discretionary and requires publication by the Treasurer before payment is triggered (ss 16(5)-(8)). Creditors and counterparties should not assume an unlimited Crown guarantee. The Authority’s liabilities are to be satisfied from its property (s 17(1)); where property is insufficient, recovery depends on appropriations and any agreements the Minister and Treasurer choose to make. This creates a timing and credit risk for suppliers and contractors.

5. Immunity scope and "good faith" standard

• Members and employees enjoy immunity where acts are done in good faith under a delegation or in the reasonable belief of authority (s 18(1)). "Good faith" and "reasonable belief" are fact‑sensitive standards that may produce litigation about subjective state of mind and objective reasonableness. Immunity shifts liability to the Treaty Authority (s 18(2)), but it does not protect acts done dishonestly or without authority; nonetheless, delay and cost in tracing culpability may be significant.

6. Delegation pathway limited to members, employees and consultants

• Delegation must be by instrument and may be made only to members, employees or consultants (s 15). The Act prohibits delegating the power of delegation itself. Entities expecting to contract out functions to external bodies should be aware that only consultants engaged by the Authority, or the Authority’s employees and members, are formal delegates under the statute. The legal boundaries of delegations and of consultant roles will be relevant for liability allocation.

7. Extraterritorial operations

• The Authority may operate outside Victoria and outside Australia (s 10). Cross‑jurisdictional contracts, service of process, compliance with foreign regulatory regimes and potential conflicts of laws are all practical complications. The Act authorises such activity, but does not create specific protections for counterparties about applicable law or enforcement.

8. Financial reporting without s 53A(1)-(2)

• Section 19 applies s 53A of the Financial Management Act 1994 but omits subsections (1) and (2) of that section. The practical consequences depend on the content of those omitted subsections; practitioners must read s 53A itself to determine which obligations were omitted and how that changes reporting expectations. A superficial reading of s 19 without consulting the FMA may miss key reporting obligations or gaps.

9. Termination contingent on Treaty Authority Agreement

• The Act ceases on dissolution of the Treaty Authority under the Treaty Authority Agreement (s 5). The Authority’s existence is therefore contractually contingent in part, and termination provisions in the Treaty Authority Agreement will be critical to the Authority’s lifecycle and any transitional liabilities.

10. Potential for future legislative expansion

• Section 8A allows functions to be conferred by the Statewide Treaty Act 2025 or any other Act. That creates an open door for additional responsibilities to be placed on the Authority by future legislation, which may have fiscal and operational consequences not contemplated at establishment. Stakeholders should monitor legislative developments.

These "gotchas" crystallise places where the Act’s textual design departs from default commercial expectations or where statutory protections and funding mechanisms might not align with counterparties’ risk appetites. Parties should contract expressly around signature verification, security for payment, insurance and dispute resolution, and should check the Financial Management Act provisions referenced in s 19 to ensure compliance.

For practitioners advising the Treaty Authority, its members, counterparties, or the State, the Act points to a number of concrete compliance tasks and operational controls. Below is a practical checklist keyed to the statutory provisions and to the operational risks identified in the Act.

1. Establish and maintain the Treaty Authority Agreement as primary governance instrument

• The Treaty Authority Agreement determines membership, appointments and many operational features (s 6(2); Preamble). Ensure the Agreement clearly sets out appointment processes, terms of office, quorum and meeting rules, conflict of interest procedures, and removal mechanisms consistent with the Authority’s statutory duties.

2. Signature and execution protocols

• Implement a written execution protocol requiring two authorised members to sign documents and deeds, with clear records of who is authorised. Keep originals or reliable certified copies of executed documents to avoid contesting the s 12 presumption. Note that deeds do not require witnessing or delivery under ss 11(3)-(4), but consider optional witnessing for evidentiary robustness where counterparties request it.

3. Delegation instruments

• Use formal written instruments for any delegation of functions or powers under s 15. Record each delegation, the scope of authority, duration, reporting requirements and retention of powers. Ensure delegations are only to members, employees or consultants as the statute permits, and do not attempt to subdelegate the power of delegation.

4. Employment and consultant contracts

• Draft employment and consultancy contracts consistent with s 14. Contracts should address IP ownership, confidentiality, dispute resolution, termination, performance obligations and indemnities. Given member and employee immunities in s 18, contracts should still contain appropriate indemnity and insurance provisions to manage operational risk.

5. Financial governance and budgeting

• Prepare annual budgets aligned to the appropriation maxima in s 16(2)-(4) and plan contingencies for potential funding shortfalls. Liaise early with the Minister and Treasurer on anticipated additional funding needs to ensure timely agreement and publication under s 16(5)-(8). Track expenditure categories that fall within the statutory appropriation items: member remuneration and expenses, liabilities arising from functions or powers becoming payable in the year, and capital expenditure where appropriate.

6. Financial reporting and audit compliance

• Determine the precise Financial Management Act 1994 s 53A obligations as applied by s 19. Even though ss 53A(1)-(2) are omitted, ensure compliance with subsections (3)-(7) as adapted to the Treaty Authority. Prepare to supply required financial statements, audit processes and reports under the FMA framework; coordinate with Treasury and the Auditor‑General as required.

7. Property and title transactions

• When acquiring or disposing of land, ensure instruments are lodged with the Registrar of Titles in the Treaty Authority’s name in accordance with s 13. Work with conveyancers to confirm that the Registrar will register title in the Authority’s name and that the Authority can give valid covenants and mortgages where necessary.

8. Contracting and counterparty protections

• Where the Authority enters commercial arrangements, negotiate appropriate payment security, performance bonds, retention sums or guarantees, bearing in mind the Authority’s liabilities are to be satisfied from its property (s 17(1)) and Crown funding is capped absent further Minister/Treasurer agreement (s 16(2)-(4), (5)). Counterparties should consider additional contractual mitigants rather than relying solely on Crown backing.

9. Risk management and insurance

• Although the statute shields members from personal liability in specified circumstances (ss 17-18), the Authority itself remains liable. Establish an insurance strategy (professional indemnity, public liability, directors and officers insurance where available and appropriate), and document risk transfer mechanisms in contracts and grants. The Act does not mandate insurance but the liability allocation makes insurance a practical risk control.

10. Cross‑jurisdictional compliance

• If the Authority acts interstate or overseas (s 10), identify registration, licensing and tax requirements in relevant jurisdictions. Ensure legal advice on foreign law risks, service and enforcement processes and currency, tax and regulatory compliance.

11. Record keeping and transparency

• Maintain a central register of delegations, signed instruments, consultancy contracts and financial records to facilitate financial reporting under s 19 and to support Treasury or audit reviews. Implement conflict of interest declarations and minutes that clearly record decisions and signatories to support the s 12 presumption of valid execution.

12. Monitor legislative changes and treaty architecture

• Because functions can be conferred by other Acts (s 8A), maintain a process for monitoring new legislation, particularly the Statewide Treaty Act 2025 and any consequential instruments, to capture newly conferred duties or funding changes.

13. Prepare for dissolution contingencies

• The Act ceases on dissolution under the Treaty Authority Agreement (s 5). Include in the Treaty Authority Agreement and in operational plans explicit transitional provisions for winding up liabilities, transfer or vesting of property, staff entitlements and archival of records.

This compliance list should be treated as operational guidance tied directly to the Act’s text. Practitioners should tailor each item to the Treaty Authority Agreement’s specific terms, to funding realities with Treasury, and to the Authority’s chosen operational model. Where the Financial Management Act or other statutes are engaged, obtain authoritative advice on the detailed reporting and audit mechanics those statutes require.
