Plain English Summary
4/10 complexity
This Act adjusts which parcels around South Bank fall inside the South Bank Corporation area to allow construction and later completion of a busway. It validates past acquisition notices and proclamations, vests specific lots in the State, extinguishes prior interests in those lots without compensation, and empowers the registrar and the chief executive to record and sign documents needed to effect these changes.
It affects the State, South Bank Corporation, rail agencies and private landowners or interest-holders. It matters because it changes ownership and extinguishes rights (no compensation), removes some approval and fee hurdles, and centralises administrative discretion over land records.
This Act is a piece of Queensland land management legislation with two distinct temporal layers. Part 2, enacted in 1999, retrospectively validates the acquisition of land for the construction of a busway in or about South Bank. Section 2 deems certain land listed in Schedule 1 to have been excluded from the South Bank Corporation area under the South Bank Corporation Act 1989, with retroactive effect to dates in 1998. Section 3 validates notices of intention to resume that land under the Acquisition of Land Act 1967, section 7, again with specific retroactive dates. Section 4 does the same for proclamations taking the land under section 9 of the Acquisition of Land Act 1967. The effect is to cure any procedural defects in the original acquisition steps and treat them as having been valid from the start.
Part 3, inserted by amendment in 2005, deals with the situation after busway construction was completed. Its stated purpose (section 5) is "to provide for land dealt with in part 2, and other land, after the completion of the construction of the busway." Section 7 brings the Schedule 1 land back into the corporation area, with different retroactive or prospective dates. Section 8 then excludes a different set of land, listed in Schedule 2, from the corporation area, again with varied effective dates. Section 9 vests four specific lots (Lot 111 on SP141936, Lot 112 on SP141937, Lot 116 on SP150310, Lot 138 on SP150332) in the State in fee simple upon registration of the relevant plans. Critically, section 9(2) extinguishes any easement, lease, right, privilege or other interest in that land upon vesting, and section 9(3) declares that no compensation is payable for that extinguishment. Sections 10 to 14 provide the administrative machinery: the registrar of titles may register plans and instruments; the chief executive can sign plans even where another Act would require another entity's approval; fees and duties (including under the ) are exempted for the State, the corporation, rail government entities, QR Limited, and related bodies corporate; and management statements are terminated to the extent they relate to the vested land.

Duties Act 2001
Mechanically, the Act operates as a series of statutory fictions: it deems things that happened to have been valid, deems land to be included or excluded from a statutory area at specified times, and vests land with immediate extinguishment of interests without compensation. It does not create ongoing obligations; it is a one-off remedial and reorganisation statute for a specific infrastructure project.
Main concepts
Retroactive validation is the central technique of Part 2. Rather than challenge or re-do the original acquisition notices and proclamations, the Act declares them "taken to be valid" and "taken to have been validly given." This prevents any challenge to the busway construction based on procedural defects in the resumption process. The dates assigned to each item in Schedule 1 are specific and differ: some from February 1998, others from August or September 1998. This suggests that the original action was taken on those dates but was later found to be technically deficient, and the Act sweeps the deficiency away.
Deemed inclusion and exclusion of land from the corporation area is another key concept. The South Bank Corporation area is a statutory creation under the South Bank Corporation Act 1989, with its own planning and development rules. Part 2 excluded the busway land from that area (so the Corporation no longer had authority over it). Part 3 re-included that same land (section 7), but also excluded other land (section 8). The effect is to adjust the Corporation's boundaries twice: first to carve out the busway corridor, then to reinstate some of it and also to remove additional parcels. The varied effective dates (some back to 1998, some to 1999, some to the commencement of Part 3 in 2005) create a patchwork of when the Corporation had or did not have authority over each parcel. This is significant for any planning approvals, charges, or development applications that may have occurred during those periods.
Vesting without compensation is the most striking concept. Section 9 vests four specific lots in the State in fee simple upon registration of plans. Simultaneously, all easements, leases, rights, privileges or other interests are extinguished, and no compensation is payable. This overrides the usual common law and statutory principle that compulsory acquisition of interests requires just terms. The Act does not provide for any compensation mechanism, valuation, or appeal. It is a pure extinguishment. The provision appears designed to clear title for the busway infrastructure, but it raises questions about property rights and the limits of legislative power.
Overriding other Acts is explicit in section 12: where another Act would require approval from another entity (e.g., a local government or a state agency) for a plan or instrument to give effect to Part 3, that requirement is dispensed with, and the chief executive's approval and signature alone suffice. This cuts through red tape but also removes any independent oversight of the land dealings.
Exemption from fees and charges (section 13) eliminates transaction costs for dealings by the State, the corporation, rail government entities, QR Limited, and related bodies corporate. This includes stamp duty under the Duties Act 2001. The cost is borne by the public revenue, i.e., taxpayers.
Management statement termination (section 14) deals with a specific instrument (likely a document that governs the management of common property or shared land). Upon registration of the plans, the management statement is terminated only as it relates to the vested land; it continues for other land. This avoids the need for a formal amendment or court order.
Who it affects
Original landowners and interest holders are the directly affected private parties. Section 9(2) extinguishes interests without compensation. This includes easement holders, lessees, mortgagees, or anyone with a right, privilege or other interest in the four specific lots. The Act provides no notice, no hearing, and no remedy. These individuals or entities lose their property rights by operation of statute, with no payment. The retroactive validation in Part 2 similarly affects anyone who might have challenged the original busway resumption on procedural grounds; their rights to bring a legal challenge are extinguished by the deeming provisions.
The South Bank Corporation is affected because its statutory area is changed by sections 2, 7, and 8. The Corporation's planning and development functions, and its ability to levy charges or impose conditions, are altered depending on which land is within its area at which dates. The Corporation also benefits from the exemption from fees and duties under section 13.
The State of Queensland is the acquirer of the four vested lots and the beneficiary of the validation provisions. The chief executive of the relevant department (likely transport or infrastructure) gains powers to sign plans and override other approvals (section 12). The State avoids paying compensation that would ordinarily be required.
Rail government entities and QR Limited are beneficiaries of the fee exemptions and may be involved in dealings for the busway or associated land.
The registrar of titles is required to register plans and instruments to give effect to section 9 (section 10). This is a ministerial duty, but the registrar retains discretion to do "anything necessary and convenient" to give effect to sections 7 to 9.
Future purchasers or developers of the excluded land (Schedule 2) may be affected because that land is no longer within the South Bank Corporation area and thus subject to different planning controls (likely normal Brisbane City Council controls instead of the Corporation's regime). The differing effective dates could cause complications if someone relied on the land being inside or outside the Corporation area at a particular time.
Taxpayers bear the cost of the fee and duty exemptions, and the lack of compensation means that former interest holders may seek political or legal redress.
Key duties and rights
Duty of the registrar of titles: Section 10(1) says the registrar "may register all plans and other instruments and record the particulars of the lots in the freehold land register to give effect to section 9." The word "may" suggests discretion, but given the rest of the Act, it is likely intended to be permitted. Section 10(2) says the registrar "may do anything necessary and convenient to give effect to sections 7 to 9." Section 11 goes further: "The registrar of titles or anyone else required or permitted to record particulars necessary to identify interests in land may, on the written request of the chief executive, record the particulars of any interest in land vested in the State under this part." This imposes no absolute duty, but the registrar is authorised to act.
Right of the State to vest land: Section 9(1) provides that upon registration of specified plans, the described lots vest in the State in fee simple. This is automatic; no further action by the landowner is required. The State does not need to pay compensation or serve notice.
Extinguishment of existing interests: Section 9(2) extinguishes any easement, lease, right, privilege or other interest. This is a statutory right in favour of the State to clear title. The affected interest holders have no right to compensation (section 9(3)).
Right of the chief executive to bypass approvals: Section 12(2) says that if another Act requires another entity's approval to a plan or instrument for Part 3, "the entity's approval is not required and it is sufficient for the chief executive to give approval and sign." This overrides the usual approval processes of local councils, state agencies, or statutory authorities.
Exemption from fees and duties: Section 13 provides that no fee or charge, including duty under the Duties Act 2001, is payable by the State, corporation, rail government entities, QR Limited, or related bodies corporate for dealings to give effect to Part 3. This is a right to avoid transaction costs.
Limitation on management statement: Section 14 terminates a management statement only to the extent it relates to the section 9 land. The statement continues for other land. This prevents the statement from applying to land now vested in the State.
No private enforcement right: The Act creates no enforcement mechanism for affected landowners. There is no right to appeal the vesting, seek compensation, or challenge the retroactive validation. The Act is designed to pre-empt litigation.
Penalties and enforcement
The Act does not contain penalty provisions for non-compliance. It is not a regulatory statute imposing fines or imprisonment. Instead, it operates by deeming, vesting, and overriding other laws. The enforcement mechanism is administrative: the registrar of titles registers plans, the chief executive signs documents, and land is taken to have been excluded or included. There is no offence for a person who fails to comply, because the Act imposes no obligations on private parties.
However, the lack of compensation (section 9(3)) could be seen as a de facto penalty on interest holders whose rights are extinguished. They lose property without payment. If a landowner refused to vacate or continued to assert an interest, the State would rely on its fee simple title, and any challenge would be met with the Act's provisions. The Crown's enforcement would be through standard property law remedies (e.g., ejectment).
The retroactive validation in Part 2 also effectively penalises anyone who might have had a legal challenge to the original resumption. Their cause of action is extinguished by the retrospective legislation. This raises issues of rule of law and legal certainty, though these are not penalties in the criminal sense.
The only potential for enforcement action arises if the registrar of titles refuses to register plans. But section 10 authorises the registrar to do so, and presumably the executive could compel compliance. The Act gives no private party standing to enforce the registrar's duties.
Exemption from fees (section 13) means no penalties for non-payment, since no payment is required.
Overall, the Act is self-executing: it changes legal statuses without needing ongoing compliance. The enforcement risk is borne by former interest holders who may need to prove their rights have been extinguished if they attempt to deal with the land.
How it interacts with other laws
Acquisition of Land Act 1967 (Qld): This Act is directly overridden. Section 7 notices and section 9 proclamations that may have been invalid due to procedural error are deemed valid. The normal processes for resumption, including compensation, notices, and challenges, are bypassed for the specified land. Section 3 and 4 of this Transport Act create statutory fictions that cure any defects.
South Bank Corporation Act 1989: This Act is the primary law governing the corporation and its area. The Transport Act amends the boundaries of the corporation area by deeming land excluded (section 2) and later included (section 7) and further excluded (section 8). The definition of "corporation area" is effectively amended by this Transport Act without amending the principal Act directly. The corporation's functions, rates, and planning powers are thus altered for these parcels.
Duties Act 2001: Section 13(1) expressly exempts dealings from duty under that Act. This overrides the normal liability for stamp duty on transfers, leases, and other transactions.
Transport Infrastructure Act 1994: Section 13(2) references the definition of "rail government entity" from schedule 6 of that Act, incorporating it by reference.
Corporations Act (Cth): Section 13(2) adopts the meaning of "related body corporate" from the Commonwealth Corporations Act, ensuring consistency in identifying entities connected to QR Limited.
Other Acts requiring approvals: Section 12 overrides any Act that requires another entity's approval for plans or instruments to give effect to Part 3. This could include the Land Title Act 1994 (approval for plan sealing), the Planning Act (approval for subdivision), or local government by-laws. The chief executive's approval and signature substitute for those.
General law on compensation: Section 9(3) overrides the common law principle that compulsory acquisition requires compensation. While the Queensland Constitution does not contain a just terms requirement, the common law presumption that statutes do not take property without compensation is displaced.
Property law and interests: Section 9(2) extinguishes interests without compensation, overruling the general law that an easement or lease is a property right that cannot be removed without payment or consent.
The interaction is largely one-sided: this Act trumps other laws where they conflict.
Amendment history
The Act as originally enacted in 1999 comprised only Part 1 (short title) and Part 2 (sections 2-4) with schedules. It was a short Act of four sections.
2005 Amendment (No. 49 of 2005, s 83-86): This was the major amendment. It inserted the current Part 3 (sections 5-14) dealing with post-construction land management. It also amended sections 2, 3, and 4 of Part 2 to add references to additional items in Schedule 1. The 2005 amendment reflects that the busway construction had been completed and the land needed to be dealt with.
2008 Amendment (No. 67 of 2008, s 151): This amended section 13, apparently updating the definition of "rail government entity".
2009 Amendment (No. 36 of 2009, s 872 schedule 2): This amended section 12, likely as part of a general machinery amendment to switch references from "chief executive" to "chief executive" or similar housekeeping.
2010 Amendment (No. 19 of 2010, s 158): This substituted the definition of "rail government entity" in section 13, again reflecting machinery changes.
2013 Amendment (No. 19 of 2013, s 120 schedule 1): This amended section 13(1)(d) to update the ACN of QR Limited or the entity name.
2016 Amendment (No. 27 of 2016, s 609): This amended section 12, possibly updating references to other Acts.
The amendment history shows that the Act was originally a simple validation statute and later expanded to include land vesting and boundary adjustments. It has been updated regularly to reflect changes in entity names and definitions.
Litigation history
The source text provided does not mention any litigation history. No cases are cited in the Act. Given the Act's purpose is to validate and avoid litigation, it may have pre-empted potential challenges. The retroactive validation in Part 2 in particular seems designed to foreclose any court action based on defective notices or proclamations. Section 9's no-compensation provision might have been challenged on constitutional grounds (e.g., if it were argued that it impairs the institutional integrity of the Supreme Court under the Kable principle, or if a federal just terms argument existed). However, Queensland does not have a constitutional guarantee of just terms for state acquisitions (unlike the Commonwealth under s 51(xxxi)). Any challenge would need to rely on other grounds, such as a Mann v Medical Practitioners Board style argument about legislative interference with judicial processes. As of the text, no such litigation is reported. The Act has likely been treated as valid and effective, especially since it is a narrow, project-specific piece.
If any litigation did occur, it would likely involve former landowners arguing that the extinguishment of interests without compensation was beyond state power. Given the dates (1998-2005), any such challenge would have been brought years ago. The lack of recorded cases suggests either that the interests were minor, the landowners were compensated separately, or no one had standing or resources to challenge. The Act also avoids litigation by removing the basis for legal action: validation means no defect to argue about; no compensation means no dispute over quantum.
Practitioners should be aware that the Act's provisions are unlikely to have been tested in court, so the scope of "right, privilege or other interest" in section 9(2) remains untested. A caveat or profit a prendre could be argued to be within that phrase, but the Act does not define them.
Gotchas
No compensation for extinguishment: Section 9(3) is the most significant trap. Anyone holding an interest in the four specified lots at the time of registration of plans loses that interest without payment. This includes lessees, mortgagees, easement holders, and possibly persons with contractual rights to use the land. The Act does not provide for notice to these parties before vesting. If a client has any interest in Lot 111 SP141936, 112 SP141937, 116 SP150310, or 138 SP150332, that interest has been or will be extinguished without compensation. This should have been flagged in due diligence on those lots.
Retroactive effect dates: Sections 2, 3, 4, 7, and 8 contain a patchwork of dates. For example, Schedule 1 item 10 is deemed excluded from the corporation area on 10 September 1998 (by section 2(2)(d)), but then deemed included again on 10 September 1998 (by section 7(2)(b)). The effect is that it was never actually outside the corporation area for any period; the exclusion and inclusion are simultaneous. This could create confusion if someone relied on the land being outside the area between those dates. Similarly, Schedule 1 items 1-9, 12-16, 19 are included on commencement of section 7 (2005), but were excluded from various earlier dates. There is a gap from 1998 to 2005. Landowners might think they were subject to Corporation controls but were actually outside, or vice versa. The legislation creates a complex temporal web.
Chief executive can override other approvals: Section 12 allows the chief executive to sign plans without the approval of other entities. This bypasses local council, planning authority, and possibly environmental agency oversight. A private party dealing with land near the busway should check whether any plan was approved under this section; the usual approvals may not have been obtained. This could affect future development approvals if the plans affect easements or boundaries.
Management statement termination: Section 14 terminates a management statement only to the extent it relates to the vested land. But if the management statement imposed obligations on all lot owners (e.g., maintenance contributions), the termination could affect the balance of the scheme. The Act does not prescribe what happens to contributions already paid or to obligations that cross lots. There is no provision for adjustment.
No limitation on vesting: Section 9 does not specify when the plans must be registered. It says "on registration" the land vests. So the State could register the plans at any time after the Act's commencement. The effective date of vesting is the date of registration, which could be years after 2005. Anyone dealing with these lots after 2005 should have checked whether the plans were registered; the register would show the vesting.
Exemption from fees: Section 13 exempts fees for dealings. But it only applies to dealings "to give effect to this part." If the State later deals with the land for other purposes, fees may apply. The exemption is not blanket.
Potential challenge to retroactive validation: While the Act says notices and proclamations are taken to be valid, a court might still consider whether the validation is effective if the original defect was so fundamental (e.g., no authorising resolution). However, the clear language of sections 3 and 4 likely cures all defects.
How to comply
For state government entities (chief executive, department): The main compliance steps are procedural. To achieve vesting under section 9, ensure the plans (SP141936, SP141937, SP150310, SP150332) are prepared and submitted to the registrar of titles for registration. The chief executive can sign the plans, overriding other approvals (section 12). No duty or fee is payable (section 13). After registration, the land vests automatically. The chief executive may then request the registrar to record the particulars of the State's interest under section 11.
For the South Bank Corporation: The Corporation must update its records of its area. Land in Schedule 1 is included, and land in Schedule 2 is excluded, with specified effective dates. The Corporation should adjust its planning and rating systems accordingly. It should also be aware that its management statement (if any) is terminated for the section 9 land, so it no longer has management responsibility for that land. The Corporation does not need to pay any fees for dealings.
For rail government entities and QR Limited: They benefit from the fee exemptions. They should ensure that any dealings they undertake to give effect to Part 3 rely on the exemption. They may need to confirm that the chief executive has signed relevant plans.
For the registrar of titles: Upon receiving plans and a written request from the chief executive (section 11), the registrar should register the plans, record the lots, and update the freehold land register. The registrar may also record the vesting of interests. The registrar should treat the Act as authorising registration without the usual approvals or fees. The registrar should also note the extinguishment of any recorded easements or interests on the new lots.
For private parties (landowners, interest holders): There is no compliance obligation, but there is a risk. Anyone who owned or held an interest in the four specific lots before the plans were registered should check the current title. If the plans have been registered, their interest is extinguished. They have no right to compensation. If the plans have not yet been registered, the interest may still exist, but it will be lost upon future registration. No action can prevent this; the Act is law. Affected parties may consider political or media avenues, but not legal ones. For land in Schedule 1 or 2 that is merely included or excluded from the corporation area, affected parties should understand the effective dates. If they relied on the land being within the corporation area for planning approvals or rates, they may need to reassess. Legal advice on the specific dates and their rights is prudent.
For practitioners advising clients: When dealing with any land near the South Bank busway or within the former South Bank Corporation area, check whether the land is listed in Schedule 1 or Schedule 2 of this Act. Determine the effective dates of inclusion/exclusion. For any land that may be the four lots vested in the State, confirm registration date and advise client of loss of interest. For land dealings after the Act's commencement, ensure all necessary approvals were obtained; reliance on section 12 may have bypassed normal checks. When reviewing titles, look for any management statement affected by section 14. If a management statement was terminated in part, the continuing obligations on other lots may need adjustment, but the Act provides no mechanism, so parties may need to negotiate a new management statement.
