Torrens University Australia Act 2013

The Act is short and built around a few recurring legal concepts. Set out below are those concepts with their legal content drawn from the statute.

• University as a legal person and autonomy: “University” is defined (s 3) and in s 4(1) is given full juristic capacity and the ability to conduct its affairs “in the manner it thinks fit”, subject to state law. This creates legal personality on which the rest of the Act rests: the University may enter contracts, hold property, litigate and be litigated against in its corporate capacity.

• Not Crown establishment: s 4(2) is explicit that the University is not an instrumentality or agency of the Crown. This establishes the University as a private corporate entity for legal classification purposes within the State statute, with consequences for public law doctrines that attach to Crown entities (the Act does not itself elaborate those consequences).

• Official insignia and intellectual-proprietary interest: the Act defines “logo”, “official insignia”, “official symbol” and “official title” (s 3). The Minister may declare a design to be a logo (s 6). The University holds a proprietary interest in all official insignia (s 7(1)). Use of those insignia in trade or business without written consent is an offence (s 7(2)-(3)) and the University may condition consent, require payment, and revoke consent for breach (s 7(4)). The Act therefore fuses ministerial recognition (Gazette notice) with statutory proprietary protection and criminal sanctions for unauthorised commercial use.

• Consent regime and commercialisation: consent may include conditions requiring payment (s 7(4)(a)). The Act thereby authorises the University to monetise the licensing of official insignia and to contractually condition third-party use, with the force of statutory protection against unauthorised uses and the ability to seek injunctive and compensatory relief (s 7(5)-(7)).

• Trust and gift handling: s 8 allows the University to accept gifts, devises and bequests on trust for beneficiaries that may not be legal persons (for example, internal “chairs”, “centres” or “institutions”), to exercise any power the beneficiary could perform, and to apply property in accordance with the donor’s terms. This removes technical barriers that might otherwise prevent trusts for non‑legal persons.

• Minors’ contractual capacity: s 9 creates a legal fiction for 16 and 17 year‑olds, treating them as having full legal capacity to contract for education at the University and for matters prescribed in regulations. Contracts are enforceable by or against the minor as if they were of full capacity, conditional on the University’s TEQSA registration continuing (s 9(3)).

• Governance transparency duties: the governing body must notify the Minister of changes in board composition and prescribed events “as soon as is reasonably practicable” (s 10), and must present an annual report to the Minister by a fixed date (s 11). The Minister then must lay reports before Parliament within a specified time (s 11(2)).

• Delegated regulation power: the Governor may make regulations necessary or expedient for the Act (s 12), which is the statutory mechanism to add regulatory detail, including the “prescribed” matters referenced in ss 9 and 10.

Several of these concepts operate by giving discretion to particular actors. The governing body “should” establish management principles (s 5) and may give or revoke consents in writing (s 7(4)). The Minister has discretion to declare logos (s 6). The Governor may make regulations (s 12). Courts have equitable and legal enforcement powers under s 7. The Act therefore combines statutory recognition with delegated discretion and civil/criminal enforcement tools concentrated on insignia protection and reporting.

The Act identifies a limited set of affected actors and establishes who pays, who decides and who changes behaviour under the statute.

Primary actors

• Torrens University Australia (the University). The statute’s duties and powers are overwhelmingly centred on the University: it is declared a body corporate with juristic capacity (s 4(1)); it holds proprietary interests in official insignia (s 7(1)); it may accept gifts and administer trusts (s 8); its governing body has notification and reporting duties (ss 10-11); it is directed to establish management principles (s 5). The University decides on consent to use insignia and may impose conditions including monetary requirements (s 7(4)(a)-(c)). The University is the statutory applicant for injunctions and compensation orders under s 7(5)-(6).

• Minister. The Minister decides whether a design is declared to be a logo by Gazette notice (s 6). The Minister receives notifications under s 10 and the annual report under s 11, and must lay the report before Parliament within 12 sitting days (s 11(2)). The Minister therefore occupies an oversight and administrative role, not a day-to-day managerial role.

• Governor. The Governor, via regulation-making power (s 12), can expand or clarify “prescribed” matters (for example, what events must be notified under s 10(2) and what other matters minors can contract about under s 9(1)(b)). The Governor’s delegated power is a vehicle for future rule‑making that will affect stakeholders when exercised.

Affected private parties and third parties

• Businesses and traders. Anyone conducting trade or business who wishes to use the University’s official insignia, or adopt a name including it, must obtain written consent from the University (s 7(2)-(4)). Failure to secure consent exposes the trader to a maximum penalty of $20,000 (s 7(2)-(3)) and to injunctive and compensatory remedies. Those who sell goods marked with official insignia or use insignia to promote goods or services (s 7(2)(b)-(c)) will change behaviour: they must check licences or cease such uses, or face prosecution and civil remedies.

• Donors and testators. Individuals and entities making gifts, devises and bequests that benefit internal university bodies can rely on the University’s statutory capacity to accept and administer such trusts (s 8). Donors must expect the University to exercise the powers and apply property in accordance with the donor’s terms (s 8(2)(a)-(b)).

• Minors aged 16-17. These minors gain statutory capacity to enter and be bound by contracts for their education at the University and other prescribed matters (s 9(1)-(2)). The legal position of minors under other statutes is modified for the specified transactions while the University remains TEQSA‑registered (s 9(3)). Parents, guardians and third parties dealing with such minors must recognise that a 16 or 17 year‑old may bind themselves.

Secondary actors and public bodies

• Courts. The Supreme Court may grant injunctions to restrain breaches of s 7 (s 7(5)); courts of conviction can order compensation under s 7(6). The Act leaves open other civil remedies (s 7(7)). Courts will therefore be engaged in enforcement disputes over insignia use and related compensation claims.

• Parliament. The Minister must table the annual report before both Houses (s 11(2)), enabling parliamentary scrutiny. Parliament is affected insofar as it receives and may react to the reports.

Who pays and who decides

• Who pays: traders using insignia without consent face fines of up to $20,000 (s 7(2)-(3)). Entities seeking consent may be required to pay licensing fees or other charges if the University conditions consent on payment (s 7(4)(a)). The University bears the administrative cost of preparing and presenting annual reports and monitoring governance changes for notification to the Minister (ss 10-11). Donors’ gifts will be administered by the University; the Act does not impose a fee for this but administering trusts has inherent administrative costs.

• Who decides: the University’s governing body decides management principles (s 5) and consents to use of insignia (s 7(4)); the Minister decides what designs become logos (s 6); the Governor (via regulations) decides what matters are prescribed under ss 9 and 10 and may expand the Act’s regulatory scope (s 12). Courts decide enforcement outcomes under s 7 and may grant injunctive and compensatory relief.

Behavioural consequences

• Businesses must adopt compliance checks before using University insignia and alter marketing, labelling and naming practices if consent is absent.

• The University may pursue monetisation of its insignia through conditional consents that require payment (s 7(4)(a)); it may also revoke consents in writing for breach (s 7(4)(c)).

• The governing body must monitor changes to its composition and prescribed events and prepare an annual report on operations, producing an internal administrative and reporting regime (ss 10-11).

• 16-17 year‑olds and those contracting with them must recognise that such minors can enter enforceable education contracts with the University (s 9(1)-(2)), changing parental-consent dynamics for those specific contracts.

This section summarises the statutory duties imposed on, and the rights conferred to, named actors.

Duties on the University and its governing body

• Establish and regularly review management principles: the governing body “should” establish and regularly review principles for the sound and fair management of the University and its staff, and observe them in administration (s 5). Note the language “should” signals guidance rather than a strict enforceable obligation; the Act does not create a specific sanction for failure to establish or observe these principles.

• Notify the Minister of governance changes and prescribed events: the governing body must, “as soon as is reasonably practicable” after any change in the composition of the governing board, notify the Minister (s 10(1)). It must also notify the Minister as soon as reasonably practicable after the occurrence of any event of a kind prescribed by regulation (s 10(2)). The Act imposes time-sensitive notification duties but does not attach penalties.

• Present annual report: the governing body must present to the Minister a report on the operation of the University during the year ending on the preceding 31 December, delivered no later than 30 June each year (s 11(1)). The Act prescribes the reporting period and deadline but not the report’s detailed content.

Rights, powers and capacities of the University

• Juristic capacity and autonomy: the University is a body corporate with full juristic capacity and discretion to conduct its affairs as it thinks fit, subject to the laws of the State (s 4(1)). That confers broad corporate rights to contract, own property, sue and be sued.

• Proprietary interest in official insignia: the University has a proprietary interest in all official insignia (s 7(1)). That right underpins the University’s ability to control commercial use and to grant or refuse consent to use its insignia.

• Control over authorisation of insignia use: the University may give consent to third parties to use official insignia, and may impose conditions on consent including payment, must give consent in writing addressed to the applicant, and may revoke consent for breach by notice in writing (s 7(4)(a)-(c)). Practically, this is a licensing power coupled with contractual enforcement.

• Acceptance and administration of gifts on trust: the University can accept gifts, devises and bequests on trust to benefit entities established within, or associated with, the University even if the beneficiary is not a legal person, and the University may exercise the beneficiary’s powers and must apply property in accordance with the donor’s terms (s 8(1)-(2)). This grants the University a statutory role as trustee/administrator for certain gifts.

• Capacity to contract with minors: 16 and 17 year‑old minors have full legal capacity to contract for the provision of their education at the University and for other prescribed matters, and such contracts are enforceable as if the minor had full capacity (s 9(1)-(2)). This is a statutory enlargement of the contracting capacity of that age cohort for specified transactions.

Enforcement rights and remedies

• Injunctions and compensation: the University can apply to the Supreme Court for an injunction to restrain breaches of the insignia protection provisions (s 7(5)). Where a person is convicted of an offence under those provisions, the convicting court may, on the University’s application, order the convicted person to pay compensation to the University in an amount fixed by the court (s 7(6)). Subsection 7(7) preserves any additional civil remedies the University may have.

Criminal and civil sanctions against third parties

• Prohibited conduct and penalties: without the University’s consent, a person must not, in the course of trade or business, use a name in which the University has a proprietary interest for promoting services or benefits; sell goods marked with official insignia; or use official insignia to promote the sale of goods or services, under a maximum penalty of $20,000 (s 7(2)). Similarly, a person must not assume a name or description that consists of, or includes, official insignia without consent, also punishable by a maximum penalty of $20,000 (s 7(3)). The Act does not specify alternative sanctions such as injunctions without the University’s application; the University must initiate civil or criminal proceedings.

Delegated powers and duties

• Ministerial logo declaration: the Minister has the power to declare by Gazette notice that a design is a logo in respect of the University (s 6). The Minister therefore controls the formal recognition step that feeds into the University’s proprietary protection.

• Regulatory scope: the Governor may make regulations as contemplated by or necessary for the Act (s 12). The regulations can prescribe events for notification (s 10(2)) and other matters for minors’ contracting capacity (s 9(1)(b)), meaning certain duties and rights will be fleshed out in subordinate instruments when made.

In sum, the Act establishes a compact set of duties , reporting, notification and administrative duties for the governing body , and confers rights that support the University’s corporate autonomy, control over its insignia and the ability to hold and administer gifts and enforce contractual relationships with minors in certain cases. Enforcement relies on statutory penalties and court‑based remedies, but many obligations are left flexible or to delegated regulation.

The Act’s enforcement architecture is narrow and focussed primarily on the protection of the University’s official insignia; reporting and notification duties are mandated but the Act does not specify express penalties for breaches of those duties. The key enforcement provisions are as follows.

Statutory offences and monetary penalties

• Use and assumption of official insignia: s 7(2)-(3) creates offences related to unauthorised commercial use and unauthorised assumption of names or descriptions including official insignia. The statutory maximum penalty in each case is $20,000. The prohibited conduct is limited to use “in the course of a trade or business” for promotional purposes and to assuming a name or description that includes official insignia (s 7(2)-(3)).

• Scope of penalty: the Act prescribes only the maximum penalty amount; it does not specify penalty units, minimum fines, or alternative penalties. The text does not attach penalties to failures to notify the Minister under s 10 or to failures to present the annual report under s 11.

Civil injunctive and compensatory remedies

• Injunctions: on application of the University, the Supreme Court may grant an injunction to restrain breach of the insignia protection provisions (s 7(5)). This is an equitable remedy available to prevent ongoing or threatened illicit use of official insignia.

• Compensation orders following conviction: where a person is convicted of an offence against s 7, the convicting court may, on the application of the University, order the convicted person to pay compensation of an amount fixed by the court to the University (s 7(6)). The provision links criminal conviction to potential restorative civil relief.

• Preservation of other civil remedies: s 7(7) expressly provides that ss 7(5) and (6) do not derogate from any civil remedy otherwise available to the University. The University can therefore pursue additional contractual and tort claims in a civil court as needed.

Enforcement actors and procedures

• Prosecutorial pathway: the Act does not define who prosecutes offences under s 7; it has criminalised conduct but leaves standard criminal process to prosecuting authorities. The Act does not itself grant administrative infringement notice powers or private enforcement mechanisms beyond civil actions.

• Court discretion and the role of Supreme Court: the Supreme Court is the statutory forum for injunctive relief under s 7(5). Courts retain their usual equitable and remedial discretion when determining whether to grant injunctions and compensation orders. The Act does not limit other courts from hearing related civil disputes, subject to jurisdictional rules.

Potential enforcement gaps and friction points in the Act

• Reporting and notification penalties: the Act requires notifications to the Minister and annual reports (ss 10-11) but contains no express civil or criminal penalty for non-compliance. Enforcement of these duties would therefore rely on political or administrative levers (such as parliamentary scrutiny when reports are not produced) rather than statutory sanctions.

• Consent formalities and revocation: the Act requires consents under s 7 to be given in writing addressed to the applicant (s 7(4)(b)) and allows revocation by written notice for breach (s 7(4)(c)). These procedural formalities create discrete compliance checkpoints: a party who believes it has consent should ensure the consent complies with s 7(4)(b) to be protected.

• Tight remedial link to conviction for compensation: s 7(6) ties a compensation application to a conviction, suggesting that to secure compensation in that route the University ordinarily requires a criminal outcome. The University can, however, pursue separate civil claims under s 7(7).

Interaction of criminal and civil remedies

• Parallel remedies preserved: the Act permits the University to seek both injunctive relief and criminal sanctions and to pursue civil compensation, either in parallel or sequentially. The University’s remedies are therefore multiple but largely court‑based and demand institutional resources (litigation costs, evidentiary proof of blameworthy use).

In practical terms, the principal enforcement stick in the Act is the combination of a maximum $20,000 penalty for unauthorised commercial use of insignia and the courts’ ability to grant injunctions and award compensation. The Act leaves reporting and governance compliance to administrative and political remedies rather than imposing statutory fines, and it relies on delegated regulations for any further offences or prescribed events.

The Act is framed to operate alongside Commonwealth and State law; it makes express references to other statutes and leaves several interactions to be determined by delegated regulations.

Express statutory cross-references

• TEQSA registration: the preamble records the University’s registration as an Australian university under the Tertiary Education Quality and Standards Agency Act 2011 of the Commonwealth (Preamble para 3). Section 9(3) conditions the minors’ capacity provisions on the University’s continuing registration as an Australian university under the TEQSA Act. That creates an explicit interaction: the substantive effect of s 9 depends on the University’s status under Commonwealth law.

• Business Names Registration Act 2011 (Commonwealth): the definition of “official title” in s 3 expressly refers to “a business name registered by the University under, or otherwise authorised by, the Business Names Registration Act 2011 of the Commonwealth”. The Act therefore ties the statutory protection of official titles to federal business-name registration. That means an “official title” only arises where the University has an applicable business name under the federal scheme or other authorisation under that Act.

• Intellectual property and copyright: the definition of “logo” in s 3 states it is a design “the copyright of which is vested in the University”. The Act presumes the University holds copyright in logo designs; existing copyright law will continue to apply (the Act creates additional proprietary interest protections and criminal sanctions for commercial misuse in s 7). The Act does not displace copyright doctrine but supplements it with statutory rights and penalties within the State.

Delegated regulation and State administrative law

• Regulations fill gaps: s 12 empowers the Governor to make regulations “contemplated by, or necessary or expedient for the purposes of, this Act”. The Act leaves important definitions and triggers to regulations, including the “prescribed” matters referenced in s 9(1)(b) and s 10(2). Administrative and procedural detail about notification events, prescribed contractual matters for minors, or compliance processes may therefore be supplied by subordinate legislation which then forms part of the applicable legal regime.

• Ministerial Gazette declaration and official acts: s 6 gives the Minister power to declare a design to be a logo by notice in the Gazette. That administrative act interacts with, and triggers, the University’s proprietary protections under s 7. The Gazette notice is a formal administrative instrument that creates legal consequence under the Act.

Limits of State competence and Commonwealth law

• “Insofar as it is within the legislative power of the State”: the preamble states the Act’s purpose is to recognise and, insofar as within the State’s legislative power, facilitate the provision of higher education services by the university (Preamble para 5). This signals an awareness that some aspects of higher education regulation fall within Commonwealth power. The Act therefore operates within the residual competences of the State while recognising overlapping federal regulation (for example, TEQSA registration).

• Non‑Crown entity designation and public law consequences: s 4(2) declares the University not an instrumentality or agency of the Crown. That statutory classification interacts with doctrines under state and federal law that treat Crown entities differently (for example, immunities or procurement rules), though the Act does not elaborate those interactions. The university’s corporate status as a private company (Preamble para 2) and its non‑Crown designation situate it within the private law sphere.

Civil and criminal procedural law

• Enforcement through courts and criminal process: s 7 contemplates criminal convictions and civil remedies including injunctions and compensation. The Act relies on existing criminal and civil procedural rules to bring prosecutions and to litigate injunctions and compensation claims. It does not create new courts or special procedures.

What the Act does not do

• The Act does not purport to supplant Commonwealth higher education regulation; rather it acknowledges TEQSA registration and links certain provisions (s 9) to that federal status.

• The Act does not set out employment law, taxation, immigration, or detailed academic regulatory standards. It places a light management-principles obligation on the governing body (s 5) but leaves enforcement and standards largely to other legal regimes and to delegated regulations.

In summary, the Act is designed to sit alongside Commonwealth registration and business-name law, to use state-level administrative instruments (Gazette notices and regulations) to produce specific legal effects, and to lean on the courts and existing legal structures for enforcement and remedies.

The Act as supplied contains a single legislative-history entry and no recorded amendments in the provided text. The principal data in the legislative-history block are:

• Principal Act: Year 2013, No 43, Torrens University Australia Act 2013. Assent date: 3 October 2013. Commencement: 1 November 2013 (Gazette 24.10.2013 p4088). The Act therefore commenced by proclamation on or about 1 November 2013 (s 2 provides commencement will be on a day to be fixed by proclamation).

No amending Acts or subsequent legislative insertions or deletions are included in the supplied document. The Act’s content as presented is the enactment arising from that principal Act.

Implications for legal research and compliance

• Unamended text in this source: because no amendments are listed in the legislative-history block, the text in the supplied document should be treated as the operative text as of commencement, unless users consult updated consolidated legislation or subsequent statutes which are not part of this source.

• Delegated legislation gap: the Act contemplates regulations (s 12) that might have been made after commencement to prescribe events for notification (s 10(2)) or to expand the scope of matters in which minors may contract (s 9(1)(b)). The supplied legislative history does not record any regulations. Practitioners must therefore check the current consolidated legislation and applicable regulations on a government website for any later-made subordinate instruments; the Act’s framework relies on such instruments to fill in “prescribed” content.

• Static record caution: the legislative-history entry confirms dates of assent and commencement but contains no record of parliamentary consideration, amendments, or later modifications in the source provided. For transactional work, counsel should validate whether there have been subsequent amendments or regulations not shown here.

This section is strictly confined to what the supplied Act lists; it does not claim any later amendments exist beyond the principal Act record presented.

The supplied text contains no cases, no recorded judicial interpretations, and no litigation history. The Act itself references the Supreme Court for injunctive relief under s 7(5) and contemplates courts ordering compensation under s 7(6), but the document does not include any reported decisions, enforcement actions, or litigation particulars arising from the Act.

Practical points about potential litigation pathways under the Act

• Likely claim types: based on the Act’s provisions, the University’s likely causes of action under the statute would be for injunctive relief to restrain unauthorised use of official insignia (s 7(5)), civil claims for damages or other remedies preserved under s 7(7), and applications for compensation following criminal convictions under s 7(6). Those are the statutory pathways the Act establishes for enforcement, and they will be litigated in the ordinary courts under existing civil and criminal procedure once invoked.

• Forum and remedies: the Supreme Court is specifically referenced for injunctions (s 7(5)). Criminal prosecutions under s 7 would follow the usual prosecutorial routes, and compensation linked to conviction is to be ordered by the convicting court on the University’s application (s 7(6)). Other civil remedies could be sought in appropriate courts depending on jurisdictional thresholds.

• Absence of reported decisions in source: because the supplied text contains no litigation record, practitioners cannot rely on precedential interpretations of the Act from this document. Parties must therefore treat many provisions as novel for judicial interpretation until litigation establishes judicial construction, particularly regarding scope of “official insignia”, the limits of “in the course of a trade or business”, the meaning of “as soon as is reasonably practicable” for notification, and procedural nuances of consent and revocation under s 7(4).

Recommendation for practitioners seeking precedential material

• Search for judicial decisions and regulatory instruments outside this text: to assess litigation risk and to identify any statutory interpretation, practitioners should review consolidated legislation, case law databases and any subordinate regulations that have been made under s 12. The Act’s enforcement and remedial provisions will be interpreted in practice by courts only after litigation occurs; the supplied document does not contain those interpretations.

Because the source provides no litigation history, this section confines itself to the procedural and remedial pathways the Act enables rather than any historical case law.

The Act is short but contains several drafting features and discrete traps for the unwary. These items are concrete mechanics that affect compliance risk, decision-making, and contractual practice.

1. “Should” versus “must” in management principles (s 5)

• The governing body is instructed that principles “should be established and regularly reviewed” and “should be observed”. The use of “should” is advisory language. There is no express enforcement mechanism or penalty for failing to adopt or observe the principles. Practitioners should not treat s 5 as a mandatory statutory duty enforceable by sanction; however, the recommendation may be persuasive in administrative or reputational contexts.

2. Ministerial role in logo recognition (s 6)

• A logo is only declared by the Minister by Gazette notice. Until such a declaration is made, the Act’s formal statutory protection for a design as a “logo” is not triggered. Parties seeking the protection of s 7 should confirm that a Gazette notice has been issued for the design they rely on. Conversely, third parties using designs need to confirm whether a particular design has been declared a logo before assuming statutory protection applies.

3. Definition of “official title” depends on federal business-name registration (s 3)

• The definition of “official title” requires the University’s business name to be registered under the Business Names Registration Act 2011 of the Commonwealth, or otherwise authorised by it. Therefore, the statutory protection for an “official title” is contingent on federal registration. Users must check the federal business-name register to determine whether a given title is an “official title” under the Act.

4. Formalities for consent to use insignia (s 7(4)(b))

• Consent to use official insignia must be given “in writing addressed to the applicant for the consent”. A purported oral consent may therefore not comply with the Act’s formality. Similarly, consents that are not directed to the applicant in writing are vulnerable to challenge.

5. Revocation of consent and conditional consents (s 7(4))

• The University may give consent with conditions that include payment, and may revoke consent for breach by written notice. Third parties relying on an apparent licence should ensure they have a written, signed consent that clearly sets out conditions, and be vigilant about compliance to avoid revocation.

6. Criminal offence scope is limited to commercial use (s 7(2))

• The offences in s 7 are qualified by “in the course of a trade or business” and by specified uses (promoting services or sale of goods). Non-commercial uses or uses outside the course of trade may fall outside the criminal offence, though civil claims still may be possible. Parties should not assume any unauthorised use automatically attracts the criminal sanction; context matters.

7. Maximum penalty is capped and not tied to turnover (s 7(2)-(3))

• The statutory maximum penalty is $20,000. There is no mechanism in the Act to scale penalties to a defendant’s turnover or the commercial value of the misuse. Remedies beyond the penalty , such as injunctions and compensation , may address loss or disgorgement.

8. Compensation coupling to conviction (s 7(6))

• The power to order compensation under s 7(6) arises in the convicting court on the University’s application. If the University chooses not to pursue criminal charges or if a prosecution fails, the compensation route under s 7(6) will not be available; the University will instead need to rely on other civil remedies preserved by s 7(7).

9. Minors’ capacity limited to 16-17 year olds and contingent on TEQSA registration (s 9)

• The Act defines “minor” as a person aged 16 or over and under 18 (s 3). Subsection 9(1) grants full contractual capacity only to that cohort for specified matters and only while the University remains registered as an Australian university under the TEQSA Act (s 9(3)). Contracts with younger minors or with 16-17 year‑olds when TEQSA registration lapses are not covered by s 9.

10. “As soon as is reasonably practicable” is a variable standard (s 10)

• The notification duties in s 10 use the reasonableness standard “as soon as is reasonably practicable”. That produces variable timing obligations that depend on context and may invite dispute. Governing bodies should adopt internal policies with specific timeframes to reduce ambiguity and potential claims of delayed notification.

11. Annual-report period disconnect (s 11)

• The statutory reporting year ends 31 December but the report is due by 30 June of the next year. This six-month lag should be planned for in the University’s reporting cycle. Failure to produce a report is not linked to a statutory penalty in the Act, but political or administrative consequences may follow.

12. Delegated regulation may change the practical rules (s 12)

• The Governor may make regulations “necessary or expedient for the purposes of” the Act. Such regulations might expand the events that must be notified, define other matters minors can contract about, or create procedural requirements. Parties must monitor subordinate legislation to capture changes that materially affect compliance.

13. Non-exhaustive protection: “official insignia” is defined narrowly (s 3 and s 7)

• The protection targets “official insignia” (logos, symbols or titles as defined). Other University-identifying marks that are not declared logos or are not business names registered under the federal Act may not be covered by s 7. Parties should verify the exact set of insignia protected under the statutory regime and via Gazette notices.

Practitioners and compliance officers should treat these points as operational hazards that require documentary verification (Gazette notices, written consents), internal policy adjustments (notification timelines), and checks on regulatory instruments (regulations under s 12) before advising clients or transacting.

This section provides practical, source-grounded compliance steps mapped to each operative obligation in the Act. The steps are designed to help the University, third parties, and advisors manage legal risk under the statute.

For the University and its governing body

1. Establish documented management principles (s 5)

• Even though s 5 uses “should”, the governing body should proactively draft, approve and publish internal principles for sound and fair management and staff administration. Adopt a review cycle (for example annual) and document reviews to demonstrate observance. Keep an internal record of approvals and minutes evidencing review.

2. Notification procedures for governance changes and prescribed events (s 10)

• Implement an internal register to track the composition of the governing board and to monitor “prescribed events”. Given the statutory standard “as soon as is reasonably practicable”, set internal deadlines (for example 5 working days from becoming aware) for notifying the Minister. Prepare templates for notices to the Minister and a retention policy for proof of dispatch.

3. Annual reporting calendar (s 11)

• Prepare an annual report covering the year ending 31 December and schedule finalisation well before the statutory due date of 30 June. Build internal timetables for information gathering, audit comfort where necessary, and signoff processes so the report can be delivered on time. Retain evidence of delivery to the Minister and follow up to ensure the Minister lays the report before Parliament within 12 sitting days (s 11(2)).

4. Manage gifts and trusts in compliance with donor terms (s 8)

• Establish a formal donations and bequests acceptance policy that records donor terms, ensures that the University can apply property in accordance with those terms (s 8(2)(b)) and documents the University’s exercise of any powers as if it were the beneficiary (s 8(2)(a)). Maintain accounting and audit trails for each trust, and ensure trusteeship complies with donor conditions.

5. Logo registration and copyright housekeeping (s 3, s 6)

• Secure, document and maintain copyright registrations or evidence that copyright vests in the University for any designs to be declared a logo. Coordinate with the Minister’s office or relevant State department to ensure the required Gazette notice under s 6 is obtained for designs intended to be protected as logos. Keep copies of Gazette notices accessible for licensing and enforcement.

6. Consents and licence practice for official insignia (s 7(4)(a)-(c))

• Create a standard written-consent/licence template that complies with s 7(4)(b) (written, addressed to applicant), includes clear, enforceable conditions (including payment terms if desired under s 7(4)(a)) and sets out revocation mechanics consistent with s 7(4)(c). Ensure licences are signed and delivered as written instruments; keep records of issuance and revocation notices.

7. Enforcement preparedness (s 7(5)-(7))

• Maintain a policy for enforcement decisions: set thresholds for when to pursue injunctive relief, criminal prosecution referrals, or civil claims. Preserve evidence of unauthorised use and chain of custody records for marketing materials, goods, and advertising to support injunctive or prosecutorial applications. Engage legal counsel early where infringement is suspected.

For third parties, traders, and licensees

1. Verify whether a design is a declared logo and whether a title is an “official title” (s 6, s 3)

• Before adopting or using any mark resembling the University’s insignia, check Gazette notices for logo declarations and the federal business-name register for the University’s registered business names. Do not assume common-law use protects you from s 7 liability.

2. Obtain and retain written consent addressed to the applicant (s 7(4)(b))

• If you require use of the University’s insignia, obtain a written consent addressed to you, signed by an authorised officer of the University. Confirm and record any conditions, including payment obligations. Treat oral assurances as insufficient under the Act.

3. Monitor licence conditions and compliance to avoid revocation (s 7(4)(c))

• Ensure ongoing compliance with licence conditions (quality control, permitted uses, duration, and payment schedules). Keep records demonstrating compliance, and on receipt of a revocation notice, stop use immediately to mitigate criminal and civil exposure.

4. Avoid assuming names or descriptions that include official insignia (s 7(3))

• Check business names and trading styles for the inclusion of any official insignia. If in doubt, seek legal advice and either apply for consent or select a distinct name.

For parties contracting with minors (s 9)

1. Confirm minor’s age and University’s TEQSA registration (s 9(1)-(3))

• Before relying on the minor-capacity rules for 16-17 year‑olds, verify the person’s age and confirm the University’s current registration status under the TEQSA Act as the statutory effect operates only while that registration continues (s 9(3)).

2. Document terms clearly and obtain appropriate assurances

• Use clear written contracts for education services with 16-17 year‑olds that reflect the statutory capacity conferred by s 9. Where practical, consider obtaining acknowledgment or co-signature from a guardian or additional security to reduce default risk, although the statute treats the minor as of full capacity for the specified transactions.

For compliance officers and advisers

1. Maintain consolidated statutory and subordinate-law watchlists (s 12)

• Because the Act anticipates regulations that may expand or define “prescribed” matters, maintain a system to monitor State regulations and Gazette notices to capture changes that affect duties, notification triggers, and minors’ contract scope.

2. Keep enforcement decision frameworks and documented evidence chains

• Given that remedies under s 7 require court applications and may be linked to criminal convictions for certain compensation orders, ensure processes are in place to gather and preserve evidence, timeline logs, witness statements and provenance for alleged unauthorised uses.

3. Integrate statutory timelines with corporate governance

• Align the University’s corporate governance calendar with the reporting and notification requirements in ss 10-11. Assign named officers responsible for Ministerial notices and annual report delivery and maintain documentary proof of compliance.

4. Audit third-party uses of insignia

• Regularly audit commercial partners and licensees for compliance with any consents and for unlicensed use of University insignia in the marketplace. Proactive audits reduce enforcement costs and reputational risk.

In short, compliance under the Act is document-driven. The most important compliance steps are: ensure Gazette notices and federal business-name registrations are in order before asserting statutory protection; issue and obtain properly addressed written consents for insignia use; maintain timely notification and reporting; and verify TEQSA registration before contracting with minors under s 9. The Act provides remedies but places the burden of proof and procedural formality on the parties seeking to enforce protections.
