The Western Australian Turf Club Act 1892

Chairman as corporation sole and legal actor: The Act defines “chairman” and makes that office the legal centre of gravity. Property, both land and personalty, is vested in and held by the chairman and his successors in trust for the club, and the chairman is the person in whose name legal proceedings must be brought (ss 2, 3, 7, 9). The statutory device is a corporation sole; the chairman is treated as if in law a corporation sole for purposes of holding real and personal property (s 7, s 9). The Act does not incorporate the club itself; members retain pre‑existing liabilities and responsibilities (s 42).

Committee and by‑laws: The “committee” (defined s 2) is empowered to manage the land and buildings and may make by‑laws prescribing matters necessary or convenient for giving effect to the Act (s 13(1)). The Act lists a wide non‑exclusive range of topics for by‑laws including application of income and property, election and management processes, subscriptions, register of members, tolls and charges, general management of land and races (s 13(2)(a)-(m)). By‑laws require an absolute majority of committee members to pass and must be published as the committee considers appropriate (s 13(3)). The Act clarifies that by‑laws are not “written laws or subsidiary legislation” under the Interpretation Act 1984 (s 13(4)), but some specified provisions of that Act apply to by‑laws (s 13(5)). Any by‑law inconsistent with written law or rules of racing made under the Racing and Wagering Western Australia Act 2003 is of no effect (s 13(6)).

Land status and use constraints: The land demised by the Crown in 1877 is specifically described in the preamble and is vested in the chairman for the term created by that grant (s 7). Lands and property vested in the chairman must be used and held only for the purpose of being maintained and used as a public racecourse, and generally cannot be used, demised or let for building purposes or other purposes without written permission of the Commissioner of Crown Lands or subject to the discretion preserved in s 28(4) and the Western Australian Turf Club (Property) Act 1944 (s 10; s 11). If the land ceases to be used as a public racecourse for a 12‑month continuous period without Governor in Council consent, it reverts to the Crown (s 43), subject to the discretion in s 28(4).

Financial powers and securities: The chairman may borrow money and otherwise arrange financial accommodation and lenders are not bound to see to the application of borrowed moneys (s 26). To secure repayment the chairman may create mortgages, charges, assignments or other securities over club assets, including rents, tolls and other revenue (s 28(1)). The Act forbids such security being given over the Crown‑granted land or land demised under s 8 without the Governor’s consent on the recommendation of the Minister administering the Land Act 1933 (now read as Land Administration Act 1997 where applicable) (s 28(2)). Consent may carry requirements that govern the exercise of a mortgagee’s power of sale and, if exercised in accordance with those requirements, the Governor may discharge the land from the trust or purpose affecting it (s 28(3)-(4)).

Mortgagee remedies and receivership: Mortgagees have proportional rights to rents and profits and no special preference by date of mortgage, subject to the Personal Property Securities Act 2009 (s 30). Arrears of interest or principal after written demand enable the mortgagee to apply to the Supreme Court for appointment of a receiver (ss 31-32). Any mortgage may be transferred by deed (s 29).

Supervision and administrative controls: The Commissioner of Crown Lands may authorise inspections and require repairs if inspection reports identify defects or safety issues, with the requirement being served personally and by fixing a copy on the land (ss 33-36). The committee must take security from officers handling money (s 37), keep full and accurate accounts (s 38) and have books balanced to 31 July each year with an annual account prepared and audited (s 40). The Commissioner may appoint and remove an auditor (s 39), a copy of the annual account must be submitted to the chief executive officer of the relevant department by 31 October each year (s 41), and public inspection of that account is permitted during ordinary business hours (s 41A).

Enforcement and penal provisions: Obstruction, trespass and wilful damage on the racecourse are penalised by a fine (s 21). Committee officers and persons called to their assistance may detain transient offenders and hand them to police (s 22). The Act specifies that liability to penalties does not relieve any other liabilities (s 23). These provisions interact with the committee’s powers to fix tolls, let property and recover tolls through agents and lessees (ss 24-25).

Interpretation and statutory cross‑links: The Act contains specific notes tying references to other statutes and amendments and records which provisions were inserted or amended and by which later Acts. It expressly recognises the primacy of rules of racing where inconsistent with by‑laws (s 13(6)) and that mortgagee rights are subject to the Commonwealth Personal Property Securities Act 2009 (s 30). The compilation table and notes identify the Land Act 1933 reference as to be read as the Land Administration Act 1997 unless the contrary intention appears (Notes).

Together these concepts create a hybrid governance model: property and litigation capacity are centralised in an office holder, while governance and day‑to‑day management are left to a committee whose by‑laws and accountabilities are regulated by the Act and overseen by Crown officers.

Members of The Western Australian Turf Club: All individuals who are members are affected in several concrete ways. Membership remains in an unincorporated body; the Act expressly states that it does not incorporate the club and does not relieve members of any responsibilities or liabilities they would otherwise have (s 42). Members stand to benefit from the club’s right to use the racecourse and associated buildings, and may be exempted from tolls by committee by‑law (s 24). Members are also affected by by‑laws regulating admission, subscriptions, register‑keeping, suspension or expulsion (s 13(2)(e)-(i), (f)).

Chairman and committee: The chairman becomes the trustee of the club’s estate and the central legal persona for litigation and property title (ss 3, 7, 9). The chairman carries the office responsibilities, is the nominal party to proceedings, and can give security, borrow and lease authorised parts of the land and tolls (ss 3, 25, 26, 28). Committee members exercise governance: making by‑laws, maintaining and erecting buildings, fixing tolls, and ensuring accounts and repairs are done (ss 12, 13, 24, 38-40). The Commissioner of Crown Lands has powers to inspect and require repairs and the committee must comply with such notices (ss 33-36).

Crown and its officers: The Governor and the Commissioner of Crown Lands have specified supervisory and consent functions. The Governor may nominate trustees under the original Crown grant, consent to demolish or resume land use changes, and must consent to mortgages over Crown‑granted land (s 28(2); preamble; ss 8, 43). The Commissioner may inspect land and authorise repairs by notice, and may have an auditor appointment role (ss 33-36, 39).

Lenders and mortgagees: Entities that lend money to the chairman or the club are expressly addressed. The chairman may borrow and give security over club assets (ss 26, 28). Lenders are not bound to see to the application of the money they provide or accountable for misapplication under s 26(3). Mortgagees are entitled to rents and profits in proportion to their advances and may transfer mortgages by deed (ss 29-30). Mortgagees have the right to apply to the Supreme Court to appoint a receiver for arrears after specified demands (ss 31-32). However, mortgagees seeking security over Crown‑granted land must obtain Governor consent as required by s 28(2).

Members of the public and racegoers: The general public is affected because the land is to be used as a public racecourse, with admission regulated by by‑laws and tolls (ss 10, 24). The preamble and s 10 embed an obligation that the racecourse be maintained for public enjoyment and that race meetings be held at least annually. Trespass and wilful damage on the racecourse attract a penalty (s 21) and transient offenders may be detained and handed to police (s 22).

Regulatory agencies and Ministers: The chief executive officer of the department principally assisting the Minister administering this Act must receive the club’s annual account (s 41). The Racing and Wagering Western Australia regime interacts with by‑laws: rules of racing made under the Racing and Wagering Western Australia Act 2003 prevail over inconsistent by‑laws (s 13(6)). The Minister responsible for the Land Act (or its modern equivalent) is identified in the consent process for mortgages (s 28(2) and Notes).

Contract counterparties and lessees: Persons or companies that lease parts of the land, take toll collection rights, or contract with the club for services must recognise that the chairman and not an incorporated entity holds the title, and that the committee can let land for short terms or for particular race meetings (s 25). Lessees, collectors and agents exercise statutory powers to demand and receive specified tolls and charges (s 25).

Auditors and officers: Officers entrusted with custody of money must give security before taking office (s 37). The Commissioner of Crown Lands may appoint and remove auditors for the annual account (s 39). Accountants, auditors and compliance officers will be involved in preparing, auditing and lodging accounts by the specified deadlines (ss 38-41A).

Police and justices: Police are the enforcement backstop for detention of transient offenders handed over by committee officers (s 22). Justices of the Peace are the prescribed judicial officers for summary convictions under the Act’s penalty provision (s 2 definition of “justice”; s 21).

Indirectly affected parties include mortgagees’ assignees and transferees (s 29), purchasers of club assets, and anyone involved in the land’s use. The Act’s interaction with the Personal Property Securities Act 2009 and land administration law means commercial registrars, land titles offices and PPS registries are relevant to transactions under the Act (s 30; Notes).

In short, the Act places practical legal and financial control in an office holder and committee while embedding Crown oversight over land use, securities and auditing. Those who lend money, contract with the club, or handle club finances should treat the chairman and committee as the contractual and legal counterparty, and should be alert to the statutory constraints on title, security and reversion.

Rights to sue and be sued and continuity of proceedings: The chairman is the statutory nominal plaintiff and defendant in all actions involving the club (s 3). The Act permits proceedings to continue in the name of any person who may become chairman if the original chairman dies or resigns, so actions do not abate due to a change in the office holder (s 3).

Property holding rights: The chairman has the legal right to hold the club’s land and property in trust for the club, as if the chairman were a corporation sole (ss 7, 9). Lands demised by the Crown and other property vested in the chairman are held for racecourse purposes, subject to the Act’s provisos (ss 7, 10-11).

By‑law making power and management rights: The committee has broad rights to make by‑laws on governance, management and property matters (s 13(1)-(2)). The committee has the right to maintain existing buildings, erect new buildings, fix tolls and charges and let land, buildings or tolls (ss 12, 24, 25). By‑laws must be passed by an absolute majority of the committee and be published as the committee sees fit (s 13(3)).

Borrowing and security rights: The chairman may borrow money and arrange financial accommodation and may grant mortgages, charges, assignments and other security over club assets and revenue (ss 26, 28(1)). Lenders are not bound to see to the application of money lent (s 26(3)). Mortgagees have a statutory right to a proportion of rents and profits and to enforce arrears through receiver appointment by the Supreme Court (ss 30-32).

Inspection and repair supervision: The Commissioner of Crown Lands has the right to authorise inspections of the racecourse and buildings and to require repairs by written notice if defects are certified (ss 33-34). The committee must comply with such notices within a reasonable time (s 36). Service is effected by personal service on the chairman or a member or officer and by fixing a copy on the land or building (s 35).

Duties of officers and financial duties: Officers entrusted with funds must give sufficient security before entering office (s 37). The committee must keep full and accurate accounts of receipts and expenditure (s 38). Books must be balanced to and inclusive of 31 July each year and an annual account prepared, examined and audited (s 40). A copy of the annual account must be submitted to the chief executive officer of the relevant department by 31 October each year (s 41). The annual account must be available for inspection during normal business hours (s 41A).

Enforcement duties and limited penal powers: Persons who wilfully obstruct officers, trespass or wilfully injure buildings or fixtures commit an offence that can attract a monetary penalty on conviction before a justice (s 21). Committee officers and those called to their assistance may seize and detain transient offenders whose name and residence are not given and must hand them to police (s 22). Liability to penalties does not relieve other liabilities (s 23).

Restrictions and Crown consent duties: The chairman and committee must ensure the land is held and used as a racecourse and must not use it for building purposes or other purposes without the Commissioner’s written permission or subject to the specific discretion over discharge of trusts (s 10). Where the chairman wishes to provide security over the Crown grant land or demised land, Governor consent (on the Minister’s recommendation) is required and may be accompanied by conditions that affect mortgagees’ power of sale; compliance with those conditions enables the Governor to discharge the land from the trust (s 28(2)-(4)). The committee must avoid uninterrupted 12‑month cessation of racecourse use absent Governor in Council consent to prevent reversion to the Crown (s 43).

Auditor and reporting duties: The Commissioner may appoint and remove the auditor (s 39). The chairman and auditor must certify the balance and account (s 40). The committee must submit the annual account to the chief executive officer by 31 October (s 41) and allow inspection (s 41A). These duties create an administrative reporting chain to the departmental chief executive and an audit function controlled by the Commissioner.

Transfer and mortgagee rights: Mortgagees may transfer their mortgage interest by deed with consideration stated (s 29). Mortgagees are entitled pro rata to revenue and have remedies under ss 31-32 for arrears.

In sum, the Act sets out a mix of rights to hold property and conduct litigation centrally with duties focused on racecourse use, financial transparency, officer security and statutory compliance with Crown supervision and mortgage consent conditions. The combination concentrates operational authority in the chairman and committee while imposing auditing and Crown oversight duties to safeguard public interest in the Crown grant.

Statutory offences and penalties: The primary penal provision in the Act targets wilful obstruction, trespass and wilful damage to the racecourse or associated buildings. A person convicted before a justice for such an offence may forfeit and pay for each offence, in addition to the cost of the injury, any sum not exceeding $20 (s 21). The wording retains the mode of summary conviction before a justice as defined in the Act (s 2 definition of “justice”).

Detention and handover to police: Section 22 empowers members, officers or servants of the committee and persons called by them to seize and detain a person who has committed an offence against the Act and who refuses or fails to give name and residence when required. The detained person must be given into the custody of a police officer who will then deal with the offender according to law (s 22). The provision applies to transient offenders and provides an immediate on‑site enforcement mechanism for committee personnel.

Concurrent liabilities and civil remedies: Section 23 is explicit that liability to statutory penalties does not relieve a person from other liabilities that would apply apart from the Act. That preserves civil remedies against negligent or intentional actors and allows the club or third parties to pursue damages or other relief separate from the summary penalty.

Enforcement against club property and protective exemptions: Section 6 sets out how judgments obtained against the chairman on behalf of the club may be enforced. Judgments may be enforced against the property and effects of the club except for the land vested in the chairman by the Crown grant and any land demised under section 8. Subsection 6(2) preserves the rights of persons to whom security has been given over such excluded land if the Governor has consented under section 28(2) or under the Western Australian Turf Club (Property) Act 1944. The net effect is that ordinary creditors may execute against club property generally but specified Crown‑granted land has special protection and requires prior Governor consent to be mortgaged or otherwise charged (s 6(1)-(2); s 28(2)).

Mortgagee remedies and receivership: Mortgagees have statutory remedies for arrears. If interest is unpaid for 30 days after becoming payable and after written demand, or if principal remains unpaid within six months after becoming payable and after written demand, the mortgagee may require appointment of a receiver by application to the Supreme Court (s 31). Section 32 permits the Supreme Court, after hearing the parties, to appoint a person to receive the whole or a competent part of rents, profits, tolls and other revenue to satisfy interest, principal and costs, and the receiver’s appointment ceases after payment of those sums. This channel places resolution of mortgage default into the Supreme Court’s equitable jurisdiction and provides a statutory route to appointment of receivers, rather than requiring only standard contractual remedies.

Inspection and repair enforcement: The Commissioner of Crown Lands has inspection authority and may require repair of defects or unsafe buildings by giving a notice based on a detailed certificate from an authorised inspector (ss 33-34). Service requires personal service on the chairman or a member or officer and fixing a copy on the land or building; a notice so served and so fixed is deemed duly served (s 35). The committee must repair within a reasonable time after service (s 36). Failure to comply could expose the committee to Crown action including resumption or reversion consequences linked to ss 10 and 43.

Administrative enforcement: Auditing and account submission requirements are enforceable in the administrative sense. The Commissioner appoints the auditor (s 39), and the committee must have books balanced and audited annually and must submit copies to the chief executive officer by statutory deadlines (ss 40-41). Public inspection of the account is permitted (s 41A). While the Act does not prescribe criminal penalties for failure to comply with account submission, non‑compliance would expose the club to administrative sanctions and to increased Crown scrutiny under the Act’s supervisory mechanisms and possibly to statutory consequences under the Land Act or other relevant statutes referenced in the notes.

Practical enforcement pathway and allocation of decision rights: The enforcement regime combines summary penal powers for local disturbances and civil processes for property and contractual disputes. The Crown exercises supervisory enforcement through inspection, notices to repair, and ultimate reversion of land where statutory use conditions are breached (ss 33-36, 43). Mortgagees are given statutory standing to seek equitable remedies via the Supreme Court (ss 31-32). Police and justices supply conventional public enforcement for detention and summary convictions (s 22; s 2).

Incentives and enforcement trade‑offs: The Act balances concentrative property protection with Crown oversight. The special protection of Crown‑granted land (s 6; s 28) reduces the risk that the racecourse will be lost through ordinary execution, but it raises the implementation cost and administrative friction for lenders, who must secure Governor consent to obtain effective security over the land and who must expect court‑based enforcement processes on default. The committee’s duty to keep books and to submit audited accounts to a departmental chief executive creates transparency but also creates recurring compliance costs, including the risk of Crown‑directed auditor appointments (s 39). The Act therefore structures enforcement to preserve the Crown’s public interest in the land while permitting commercial finance under controlled conditions.

Interpretation Act 1984: The Act expressly treats by‑laws as not being written laws or subsidiary legislation under the Interpretation Act 1984 (s 13(4)(a)-(b)), but it also provides that specific provisions of the Interpretation Act apply to by‑laws as if they were subsidiary legislation (s 13(5)). The text identifies sections 43 (other than subsections (6) and (8)(a)(ii)), 44, 45 and 47 of the Interpretation Act 1984 as applying to by‑laws. Practically, this means by‑laws are in a hybrid status: the committee has flexibility over making and publishing them, but certain formalities and legal consequences derived from the Interpretation Act will apply.

Racing and Wagering Western Australia Act 2003 (RWWA Act): The Act contains a clear primacy clause for rules of racing under the RWWA Act. Any by‑law that is inconsistent with written law or rules of racing made under the RWWA Act is of no effect (s 13(6)). The compilation notes indicate that the 2003 amendments also provided transitional arrangements for existing by‑laws (Notes referencing the Racing and Gambling Legislation Amendment and Repeal Act 2003). Practitioners must therefore treat the RWWA rules as supplanting internal club by‑laws where there is conflict.

Land law and Land Administration Act: The Act refers to the Crown grant dated 11 September 1877 and contemplates further demises by the Crown (s 7, s 8). Section 28(2) conditions mortgage security over Crown‑granted land on Governor consent given on the recommendation of the Minister administering the Land Act 1933. The compilation notes clarify that references to the Land Act 1933 should generally be read as references to the Land Administration Act 1997 under s 281(3), unless a contrary intention appears (Notes). Consequently, land administration and Crown consent procedures under modern land law and administrative practice will apply to dealings with the racecourse land.

Western Australian Turf Club (Property) Act 1944: The Act is to be read in conjunction with the Western Australian Turf Club (Property) Act 1944 (Notes). Section 10 is expressly subject to the discretion conferred by s 28(4) and section 4(2b)(b) of the Property Act 1944. The interaction creates an overlay of statutory discretions concerning trust discharge and land use.

Personal Property Securities Act 2009 (Commonwealth): The Act recognises the Personal Property Securities Act 2009 where it addresses mortgagee rights and priorities (s 30). Section 30 states that mortgagee entitlements are subject to the Personal Property Securities Act 2009. This signals that security interests in personal property components or fixtures will interact with the Commonwealth PPSA regime and that priority and enforcement must be considered in that system.

Criminal and policing statutes: Section 22 provides power for committee officers to detain transient offenders and to hand them to police who will deal with them according to law. The cross‑reference to how police exercise powers will involve the Criminal Investigation Act and Police Act frameworks in Western Australia but those are not specified in this text. The Act was amended in 2004 and 2006 by statutes dealing with criminal procedure and criminal investigation consequential provisions, as recorded in the compilation table and amendment notes (Compilation table).

Railways and historical statutes: Section 44 uses the compensation determination process set out in The Railway’s Act 1878 and related amending legislation to determine value of buildings if the Crown resumes possession. That is a historical reference; the compilation notes show that The Railway’s Act 1878 was repealed by Government Railways Act 1904, so the practical operation of that compensation determination mechanism requires checking current law and possibly updating references in light of subsequent legislation.

Administrative law and departmental oversight: The Act requires submission of the annual account to the chief executive officer of the department principally assisting the responsible Minister (s 41) and allows public inspection during normal business hours (s 41A). Administrative oversight is therefore connected with departmental record‑keeping, freedom of information considerations and public accountability obligations.

Interaction with incorporation and corporate law: The Act explicitly states the club is not incorporated (s 42). Therefore, company law, corporations legislation and benefits of incorporation do not apply to making the club an entity with separate legal personality. Commercial counterparties contracting with the club must therefore be aware that legal title and legal personality are held through the chairman (corporation sole) rather than an incorporated entity.

Overall, the Act is cross‑linked with multiple statutory regimes that affect land administration, racing regulation, PPSA registration and priority, and interpretation rules for by‑laws. Practitioners must map proposed transactions and regulatory compliance tasks against these regimes to ensure Governor or Ministerial consents, PPSA registrations, and RWWA rules are observed.

The compilation table and in‑text annotations record multiple amendments and insertions across the 20th and 21st centuries. The Act as compiled includes the following notable amendments and insertions referenced in the text and compilation notes.

• 1965 Decimal Currency Act 1965: The Decimal Currency Act 1965 appears in the compilation table as an amendment instrument. The Act is older and the compilation notes indicate that the Decimal Currency Act affected monetary provisions such as penalties; s 21 carries an amendment note referencing No. 113 of 1965 s. 8(1).

• 1990 Western Australian Turf Club Amendment Act 1990 (No. 77 of 1990): This amendment changed section 40 and introduced reporting transitional arrangements. The notes reproduce s 6 of the 1990 Act providing transitional rules for the first accounting period to which the amended s 40 applied (Notes). The 1990 amendments also inserted ss 41 and 41A concerning submission of annual accounts to the chief executive officer and inspection rights (s 41 inserted; s 41A inserted; see annotations in text).

• 1997 Turf Club Legislation Amendment Act 1997 (No. 24 of 1997): Significant modernising amendments were made in 1997. Sections 26 and 28, and consequentially ss 29-32, were inserted or amended to create explicit statutory borrowing powers, security powers over club assets, transfer of mortgage rights, rights of mortgagees and receiver appointment process (see ss 26-32 and the annotation “inserted: No. 24 of 1997”). The notes contain a validation clause in the 1997 Act declaring prior exercises of the new powers valid where they would have been valid had the new provisions been in force (Notes quoting Turf Club Legislation Amendment Act 1997 s. 12).

• 2003 Racing and Gambling Legislation Amendment and Repeal Act 2003 (No. 35 of 2003): This Act inserted the modern by‑law regime (s 13 inserted: No. 35 of 2003 s. 238), deleted earlier sections 14-20 (deleted: No. 35 of 2003 s. 239) and included transitional provisions preserving pre‑existing by‑laws for a limited period pending replacement or adjustment (Notes quoting Pt. 14 Div. 2 Transitional provision). The 2003 changes placed RWWA rules ahead of inconsistent by‑laws and adjusted the legal status of by‑laws in relation to the Interpretation Act.

• 2004 and 2006 criminal procedure/investigation consequential Acts: The Criminal Procedure and Appeals (Consequential and Other Provisions) Act 2004 (No. 84 of 2004 s. 80) and the Criminal Investigation (Consequential Provisions) Act 2006 (No. 59 of 2006 s. 73) made amendments to sections like s 22 and s 23; those amendments are annotated in the text.

• 2010 Standardisation of Formatting Act 2010 (No. 19 of 2010): Formatting and headings were standardised across the statute book; the First Schedule heading was inserted by this Act (Notes).

• 2011 Personal Property Securities (Consequential Repeals and Amendments) Act 2011 (No. 42 of 2011): Section 30 was amended to make mortgagee rights subject to the Personal Property Securities Act 2009 (Notes and s 30 amended: No. 42 of 2011 s. 97).

• Reprints and consolidations: Multiple reprints of the Act are recorded (1986, 2003, 2008), and the compilation table shows dates of assent and commencement for each amending Act.

The annotations in the text itself show which provisions were inserted or amended by later Acts (for example, s 13 inserted 2003, s 26 inserted 1997, s 28 inserted 1997, s 41 inserted 1990). The Notes appended to the compiled Act provide the statutory cross‑reference that references the Land Act 1933 should be read as the Land Administration Act 1997 under current construction (Notes). The compilation table documents commencement dates and the specific parts of amending legislation that are operative.

For practitioners, the key legislative developments to note are:

• 1997 modernisation of borrowing and security powers (ss 26-32) that materially changed the club’s capacity to finance itself and the priorities and remedies available to lenders;
• 2003 reworking of the by‑law regime and its relationship with RWWA rules; and
• 1990 and later insertions of auditing, reporting and administrative oversight requirements (ss 40-41A).

The Act’s historical character is preserved in parts (for example the Crown grant preamble and references to earlier statutes for valuation on resumption), while later amendments imported modern financial and regulatory concepts. The compilation table and the notes are the statutory record of these changes and should be the reference for confirming the precise textual history and commencement of each amendment.

The compiled text of the Act and the accompanying notes do not record any judicial decisions or case citations construing the provisions of The Western Australian Turf Club Act 1892. The Act’s text contains no references to reported cases, and the compilation table and notes list only amending statutes and reprints. The internal annotations identify where significant amendments were made by later Acts but do not include or summarise any court decisions on interpretation.

Practitioners seeking authority on the interpretation of particular provisions (for example, the corporation sole concept employed in ss 7 and 9, limits on enforceability in s 6, the construction and effect of the Governor’s consent under s 28, or the operation of by‑laws vis‑à‑vis RWWA rules under s 13(6)) should therefore search reported decisions and tribunal determinations in Western Australian courts and specialist registries. Similarly, litigated questions potentially arising under this Act could concern proprietary interests in Crown grants, the validity of security interests in relation to the PPSA, or equitable remedies for mortgagees including receiver appointments under ss 31-32. None of those judicial outcomes are quoted or summarised in this compiled text.

In short, the statute compilation alone does not supply litigation history and practitioners must consult legal databases and court records to locate reported authorities applying or interpreting these provisions. The Act establishes specific routes for judicial relief (notably the Supreme Court’s role in appointing receivers under s 32) so relevant case law will come from the Supreme Court and appellate courts of Western Australia.

Memorial requirement stops litigation: Until a memorial of the chairman’s and committee members’ names is recorded in the Supreme Court in the form in the First Schedule and within the timeframes prescribed (initially within one calendar month after the passing of the Act and subsequently within one month of each new election), the club cannot bring actions in the name of the chairman under the Act (ss 4-5). Failure to record the memorial will prevent the club from using the litigation mechanism created by s 3. This is a procedural gate that can materially affect the club’s ability to pursue legal remedies.

Chairman as corporation sole, but club not incorporated: The Act centralises property and litigation authority in the chairman and treats that office as a corporation sole for holding property (ss 7, 9). However, the club itself is explicitly not incorporated and members remain liable as they would have been without the Act (s 42). Practitioners must not assume incorporation‑style limited liability. Contracts should be drafted to reflect that title is held by the chairman and that the club’s members are not a separate legal entity for statutory incorporation purposes.

Crown grant land has special protection and consents: The Crown‑granted land is excluded from ordinary enforcement (s 6(1)), and mortgage or charge over that land requires Governor consent (s 28(2)). The Governor’s consent may come with requirements about mortgagee power of sale (s 28(3)), and the Governor can discharge the land from the trust where sale is exercised in accordance with those requirements (s 28(4)). This creates transactional friction: lenders focusing on security in Crown grant land must secure ministerial/Governor approvals and anticipate conditional sale regimes.

By‑laws are quasi‑flexible but subordinate to RWWA rules: The committee may make by‑laws on many internal matters (s 13), and publication is at the committee’s discretion (s 13(3)(b)). However, by‑laws inconsistent with written law or rules of racing under the RWWA Act are of no effect (s 13(6)). Additionally, by‑laws are not fully subsidiary legislation but certain Interpretation Act provisions apply (s 13(4)-(5)). This hybrid status creates uncertainty about challenge grounds and procedural requirements; committees should ensure by‑laws are consistent with RWWA rules and published with an eye to transparency.

Auditor appointment under Commissioner control: The Commissioner of Crown Lands may appoint and remove the auditor at pleasure (s 39). That makes the audit function administratively overseen by a Crown official, which can affect perceptions of independence and create the need to engage with the Commissioner’s office early where audit timing or personnel matters are sensitive.

Mortgagee priority is pro rata, subject to PPSA: Section 30 gives mortgagees entitlement to rents and profits in proportion to advances without date priority preference but expressly subjects this to the Commonwealth Personal Property Securities Act 2009. Practically this means lenders must integrate New South Wales priority realities with the PPSA registration regime and ensure security is registered and structured appropriately. The absence of date priority may change how syndicated debt or multiple mortgage positions are structured (s 30).

Receivership route via Supreme Court: The mortgagee must apply to the Supreme Court to obtain a receiver where specified arrears exist (ss 31-32). This is a court‑supervised route rather than a purely contractual, self‑executing power of sale process. Expect cost, time and discretionary judicial oversight as part of enforcement.

Risk of reversion for non‑use or non‑maintenance: If the land ceases to be used or maintained as a public racecourse for a continuous 12‑month period without Governor in Council consent, the land reverts to the Crown (s 43). This creates an operational and strategic constraint on alternative commercial development and can convert unused or under‑utilised real estate back to the Crown, subject to the discretion preserved in s 28(4).

Officer security and internal controls: Officers handling moneys must give sufficient security before entering office (s 37). Failure to obtain such security exposes the committee and members to misappropriation risks and may be a basis for administrative or civil action.

Limits on suing and being sued: Section 3 prescribes that legal proceedings involving the club must be in the chairman’s name. Practitioners must ensure pleadings, service and enforcement actions reflect the chairman as nominal plaintiff or defendant; failure to plead the chairman’s name or to record the required memorial may produce standing and procedural objections.

Publishing by‑laws: The Act leaves publication to the committee’s discretion (s 13(3)(b)). That flexibility can produce transparency risks for stakeholders and may affect enforceability or challengeability of by‑laws in practice, especially where affected parties claim they were not given notice. Apply conservative publication practices to mitigate such disputes.

Intersectional complexity: The Act cross‑references land administration, RWWA rules and the PPSA. Transactions involving security, sale or lease should be checked against each overlay. The compilation notes indicate the Land Act reference should be read as the Land Administration Act 1997 where applicable, and external statutory environments can alter transaction mechanics (Notes).

In sum, common pitfalls are procedural (memorial recording), corporate identity assumptions (not incorporated), transactional hurdles for lenders (Governor consent and pro rata mortgage priorities), and Crown supervisory mechanisms that can lead to reversion. Addressing these gotchas requires early administrative compliance, careful drafting of security instruments and proactive engagement with the Commissioner and the relevant Minister where consents may be required.

Initial corporate‑style formalities

• Record the memorial in the Supreme Court: Ensure a memorial in the form set out in the First Schedule is signed by the chairman and by a majority of the committee and is recorded on oath in the Supreme Court within one calendar month after the passage of the enabling Act and, thereafter, within one calendar month after each election of a new chairman or member (s 4). No action can be brought in the chairman’s name under the Act until the first memorial is recorded (s 5). Practical steps: prepare the memorial in the First Schedule format, obtain majority committee signatures, arrange oath and file in the Supreme Court in time.

Governance and by‑laws

• Make by‑laws properly: Have the committee adopt by‑laws by resolution passed by an absolute majority and publish by‑laws in a manner that maximises transparency and manages risk (s 13(3)). Confirm that by‑laws are consistent with written law and rules of racing under the RWWA Act to avoid invalidation under s 13(6). Record the committee minutes evidencing the absolute majority and the date and method of publication.

Financial controls and officer security

• Take security from officers: Before any officer entrusted with custody or control of moneys (treasurer, collector or other) takes office ensure sufficient security is taken from the officer for faithful execution of duties (s 37). The committee should document the nature and adequacy of the security and maintain a register of bonds, guarantees or insurance.

Accounts, audit and reporting calendar

• Maintain full accounts: Keep accurate and complete accounting records for all receipts and expenditures (s 38).
• Annual balance and audit: Balance the books to and inclusive of 31 July each year and prepare an annual account showing total receipts and expenditure and the balance. Arrange for the account to be audited by the auditor appointed under s 39 and obtain certification by the chairman and the auditor (s 40).
• Liaise with Commissioner on auditor appointment: Recognise the Commissioner of Crown Lands may appoint and remove the auditor. Engage early with the Commissioner’s office to understand audit appointment and timing (s 39).
• Submit and make available accounts: Submit a copy of the annual account to the chief executive officer of the relevant department by 31 October (s 41). Make the account available for inspection in accordance with s 41A during normal business hours, and publish or post the account to minimise access disputes.

Property use and maintenance

• Maintain racecourse use: Ensure the land is maintained and used as a public racecourse and hold at least one race meeting each year as contemplated by the Crown grant in the preamble and the duty to maintain racecourse use under ss 10-11 and the implied obligations in the preamble. Avoid continuous 12‑month cessation of racecourse use without obtaining Governor in Council consent (s 43).
• Respond to inspection notices: If the Commissioner of Crown Lands or an authorised inspector issues a certificate and a notice to repair, ensure personal service is accepted and a printed copy affixed on site. Repair defects and rectify unsafe buildings within a reasonable time after service to avoid enforcement or Crown reversion steps (ss 33-36).

Borrowing, mortgages and lending

• Governor consent for Crown grant land: If seeking to borrow against or mortgage Crown‑granted land vested in the chairman, obtain the Governor’s consent pursuant to s 28(2) on the Minister’s recommendation. Expect conditions that may govern mortgagee power of sale; ensure the documentation respects any stipulated requirements and triggers for discharge under s 28(3)-(4).
• Draft security documents to reflect Act constraints: Draft mortgages and charges over club assets to reflect that the chairman holds title as corporation sole and that some land is protected absent Governor consent (ss 7, 9, 28). Include obligations to register security under the Personal Property Securities Act 2009 where appropriate, and state consideration in transfer deeds (s 29).
• Lender due diligence: Although s 26(3) states lenders are not bound to see to the application of borrowed money, lenders should conduct due diligence, ensure enforceable security is taken where appropriate, and register PPS interests for personal property. Structure multiple lenders’ positions to recognise ss 29-30: mortgages may be transferred by deed and mortgagees’ entitlements to rents and profits are proportional to advances (s 30).

Contracts, leases and tolls

• Use statutory letting powers: The chairman can let land, buildings or tolls for short terms or particular race meetings (s 25). Ensure lease instruments are consistent with the Act’s limitations on land use and the club’s trust obligations (s 10) and include clauses addressing compliance with by‑laws, RWWA rules and Crown notices.
• Tolls and member exemptions: When fixing tolls and charges by by‑law, use the by‑law process and provide for member exemptions as the committee sees fit (s 24). Keep proper records of toll schedules, collections and exemptions to facilitate audits.

Enforcement readiness

• Preparation for dispute and enforcement: Maintain documentation and evidence of continued racecourse use and repairs to avoid reversion risks under s 43. If taking or providing security, anticipate that mortgagee remedies (appointment of a receiver) involve the Supreme Court (ss 31-32) and plan enforcement strategies accordingly.

Documentary and procedural checklist

• (1) Prepare and file the memorial in the Supreme Court (s 4).
• (2) Adopt and publish by‑laws with absolute majority resolution recorded (s 13(3)).
• (3) Ensure officer security before office assumption (s 37).
• (4) Keep accounting records; balance books as at 31 July; prepare annual account and arrange audit (ss 38-40).
• (5) Submit annual account to departmental chief executive by 31 October; make available for inspection (ss 41-41A).
• (6) For any borrowing against Crown‑granted land, obtain Governor consent and comply with any conditions (s 28).
• (7) If inspected by Commissioner’s authorised person, comply with notices to repair promptly; accept service per s 35 and act within reasonable time (ss 33-36).
• (8) For leasing or toll arrangements, prepare written agreements describing term, rights of toll collection and collections procedures (ss 24-25).
• (9) If drafting mortgages, include registration steps, consideration statements for transfers and be mindful of PPSA interaction (ss 29-30).
• (10) Maintain evidence of race meetings and public use to prevent inadvertent operation of s 43.

Operational risk management and compliance costs

• Budget for recurring audit and reporting costs and for potential administrative liaison with the Commissioner and the Minister where consents or audits are required. Recognise that lender due diligence and PPSA registrations add transactional expense for financings. Ensure that the committee’s publication practice for by‑laws and accounts is robust to avoid legal challenges and to align with the Interpretation Act provisions that apply.

Taken together, compliance with the Act requires a combination of procedural filings, consistent record keeping and proactive engagement with Crown officers where supervisory consents or inspections may be invoked. The statutory text provides the map; operationalising it requires timely recording, transparent by‑laws, rigorous financial controls and careful structuring of any financing to respect the Act’s protective provisions for Crown‑vested land.
